The M Street Journal Radio's Journal of Record VEW YORK NASHVILLE SOMETIMES, DEALS JUST AREN'T THAT EZ EZ Communications is restructuring a previously- announced station swap in Philadelphia and Charlotte that will leave it with eight stations in Charlotte and one over the FM limit of five. EZ will exchange dance WIOQ and urban WUSL, Philadelphia plus $10 million for Evergreen Media's urban WPEG, Concord; urban oldies WBAV, Charlotte; urban AC WBAV -FM, Gastonia; CHR WNKS, Charlotte; rocker WRFX, Kannapolis; and sports WFNZ, Charlotte. WRFX will be placed in trust by EZ and sold later. EZ owns classic rock WSSS and country WSOC -FM in Charlotte. EZ had planned to swap WSSS and Evergreen's WNKS for SFX Broadcasting's country WTDR, Statesville, NC (Charlotte) and cash. RADIO'S CIRCLE LINE . Odyssey Communications is buying up stations on 107.1 MHz around the New York metro area. Using the same strategy it has in Los Angeles, Odyssey now simulcasts country on newly -LMA'd WZVU, Long Branch, NJ, which it is buying from K & K Broadcasting, and W'.THB, Hampton Bayc, NY, which it is buying from South Fork Broadcasting. WZVU serves Monmouth -Ocean counties while WWHB covers eastern Long Island. Clear Channel Radio Licenses, Inc. was granted temporary waivers to the Commission's one -to -a- market rule this week for Memphis, TN and Providence, RI, while the Commission considers its cross -ownership rules. The Memphis order granted assignment of license applications of S.E. Licensee G.P.'s WREC and WEGR, Memphis and WRXQ, Olive Branch, TN to Clear Channel Radio Licenses, Inc. and KWAM and KJMS, Memphis from KWAM, Inc. to US Radio Acquisitions, Inc., which Clear Channel controls. Clear Channel is the licensee of WHRK -FM, WDIA and WPTY -TV, and brokers more than 15% of the weekly broadcast hours of WLMT -TV pursuant to an LMA. Clear Channel estimates $275,400 annual savings from common ownership.

In Providence, assignment of license applications were granted for WWBB, Providence and WWRX -FM, Westerly, RI from Radio Equity Partners to Clear Channel. Clear Channel is the licensee of WPRI -TV, and brokers time on WNAC -TV in Providence. The waivers are subject to the outcome of on -going rulemaking proceedings involving television ownership and the attribution of broadcast interests. Given the limited duration of the waiver, the Commission believes that diversity and competition will be unduly affected for the waiver period. Should divestiture be required as a result of the television ownership rulemaking proceeding, Clear Channel will have six months to consent to sell the necessary stations.

The Commission granted a waiver of the one -to -a- market rule and assignment application for WUSS(AM), Atlantic City, NJ from Allan B. Mendelsohn, Trustee, to South Jersey Radio, Inc. In 1995, the Commission approved a one -to -a- market waiver permitting South Jersey to own WMGM -TV, WMGM(FM) and WOND(AM). WUSS(AM) is currently in bankruptcy, lost its transmitter site and has been off the air since Feb. 28, 1996. WUSS(AM)'s license would have been revoked on Feb. 28, 1997 if the station did not return to the air. The Commission found that South Jersey Radio can operate the station at WOND(AM)'s transmitter site, combine management personnel and sales offices at a considerable savings with 36 additional "voices" in the market to allow diversity and competition.

Monte Corporation, licensee of KSWB, Seaside, OR received Notice of Apparent Liability in the amount of $10,000, reduced from $12,000, by twice transferring control of the station without Commission authorization. The first unauthorized transfer occurred when Clark, the sole shareholder, sold the station around Aug. 12, 1993 to "God's Ministry of Deliverance and Restoration," an entity also controlled by Clark. The second unauthorized transfer took place around Apr. 1,

1995, when an LMA between the Ministry and Kenneth Ulbricht went into effect. The LMA itself, indicated that Clark had relinquished control of KSWB to Ulbricht prior to Commission action on the pending application which was granted six months after the transfer. With respect to the unauthorized transfer to Ulbricht, Clark argued that he did not voluntarily cede control but that Ulbricht "commandeered" the station and threatened Clark with arrest by the local police if Clark were to attempt to dislodge Ulbricht. Clark further contended that Ulbricht claimed the Commission would not approve the pending assignment application unless the LMA was signed.

The Commission affirmed an Administrative Law Judge's decision to grant the renewal application for Hometown Media, Inc.'s WAYB(AM) in Waynesboro, VA subject to the condition that the station expeditiously resume broadcast operations and granted the Motion to Expedite to facilitate resumption of service before the Feb. 8, 1997 deadline by which a silent station must return to air or lose its authorization. The Commission also denied Exceptions by the Mass Media Bureau

- that Hometown has done nothing to return to the air beyond seeking a purchaser for the station. The Commission stated that as a result of the lease agreements with its major creditor and LMA with Valley Communications, Hometown has access to the studio site and necessary broadcast equipment and can expeditiously return the station to the air while retaining ultimate control over station operations. Both the lease agreements and LMA will remain in effect for a year, with an option to renew, even if the assignment is disapproved.

Tri -City Broadcasting, Inc.'s KQZR(FM) in Craig, CO has lost its license. It has been silent for several years.

Jacor is buying more stations in the Lexington, KY market, bringing its total there to six. Village Communications, Inc. will sell rocker WKQQ, Lexington; and new rock WXZZ and urban WTKT, Georgetown, KY. Jacor owns sports WLAP, hot AC WMXL, both Lexington; and country WWYC, Winchester, KY. No terms were disclosed. George Otwell and Charles Giddens of Media Venture Partners were the brokers.

Clark Broadcasting is selling oldies WGCO, Midway, GA in the Savannah market to New Adventure Communications. Terms weren't disclosed. New Adventure owns several stations in and around the Savannah and Hilton Head markets, including sports WFXH, jazz WIJY, and classic rock WFXH -FM, Hilton Head Island, SC; standards WLOW, Bluffton, SC; and travel info. WSHG, Beaufort, SC. The company is also in a sales agreement with oldies WOCW, Parris Island, SC.

In the Lancaster /Palmdale, CA market, High Desert Broadcasting is buying news -talk KHJJ and AC KGMX, both Lancaster, from Eric -Chandler Communications for just over $1.4 million. The company is simultaneously purchasing Spanish KUTY, Palmdale and classic rocker KLKX, Rosamond in the market. Elliot Evers of Media Venture Partners brokered the deal.

Brill Media is duopolizing in Owensboro, KY with the purchase of news WVJS and CHR WSTO, Owensboro from Owensboro on the Air, Inc. for an undisclosed amount. Brill owns news -talk WOMI and country WBKR. The LMA began December 1.

The Katz Radio Group has just released an extensive study of radio duopoly ownership practices. "The KRG Duopoly Study: Patterns in The Top 100 Markets" examines group owners' approaches to the three major areas of programming, management and sales. The study analyzed more than 280 duopolies across the country, with duopoly defined as the ownership and operation of two or more stations on the same band (AM or FM) in the same market. The study groups the format approaches into five broad categories -- concentration in one format, concentration in one demo, complementary formats, complementary demos, and different formats and demos. The percentage of stations within each group was then analyzed. The results do show some distinct patterns, but overall, ownership practices vary based on market size, competitive conditions and corporate or personal philosophies. In larger markets, stations tend to concentrate in one format or demo, while stations in smaller markets show as many complementary or concentration approaches. In general, management and national sales roles have become centralized -- three - fourths of duopoly stations have one GM managing all properties, except in the top 10 markets, where nearly seven out of ten duopolies have separate GM's. NEW YORK NASIIVILLE ROCKY MOUNTAIN HIGH . . . Randy Michaels is furthering his regional strategy in Colorado by picking up three stations in the unmeasured Fort Collins market. Jacor is buying news /talk KCOL and gold -based AC KPAW from University Broadcasting and Duchossois Communications' country KGLL, Greeley, which is in an LMA with KCOL /KPAW. Total price for the three stations is $7.2 million. The purchase for Jacor fills a hole between Denver, where it operates eight stations, and Casper, WY, where it is in the process of purchasing two stations. Jacor also picked up two more in Columbus. Details are on page eight.

CLEAR CHANNEL GROWS IN LOUISVILLE . Clear Channel Communications will operate seven stations in the Louisville market after announcing its purchase of rocker WQMF, Jeffersonville, IN for $13.5 million. The Louisville Courier -Journal reported the company will buy the station from Otting Broadcasting, which has owned it for 41 years. The deal will combo WQMF with rocker WTFX, talk WWKY, talk /oldies WHAS, country WAMZ, and country WKJK, all Louisville. Clear Channel also operates country WHKW, Salem, IN through an LMA. The combined AQH share from the Summer Arbitron book for all seven stations is 40.4 Mon -Sun 6am -mid.

WASHINGTON THIS WEEK The Commission denied three petitions concerning broadcast advertising of casino gambling. The New Jersey Broadcasters Assoc.'s petition requested to be treated similarly to broadcasters in Nevada, who are operating under a temporary suspension of the advertising ban. Players International, Inc. filed a petition requesting that any broadcaster be allowed to broadcast for casino gambling so long as it is legal in the state in which the casino is located and The Greater New Orleans Broadcasters Assoc. requested temporary suspension of enforcement to the extent that the regulations prohibit broadcast advertisements pertaining to legal privately- operated gaming activities by broadcasters licensed to Louisiana. The Section provides that whoever "knowingly permits the broadcasting of, any advertisement of or information concerning any lottery, gift enterprise, or similar scheme, offering prizes dependent in whole or in part upon lot or chance...shall be fined...or imprisoned." While the Department of Justice has authority to enforce the section, the Commission has taken responsibility to enforce the statute through civil forfeitures. In enforcing, the Commission has held that casinos may advertise their non -gambling activities, such as entertainment, food, drink and decor, but since there is no new judicial opinion holding the ban unconstitutional, the Commission denied the three petitions until DOJ rules on the issue.

WASHINGTON THIS WEEK (cont'd) License renewal for WNLB Radio, Inc.'s WFYN, Rocky Mount, VA was dismissed. The license was canceled and call letters deleted. The FCC Public Notice provided no reason for the action.

The Commission rescinded the termination of authority to operate and reinstated the call letters for Atlantic Wholesaler Broadcasting's WABV in Abbeville, SC. The renewal of license was granted with the condition that it return to the air and application for transfer of the station to Mark Hellinger was submitted this week.

An extension has been granted by the Commission to enable interested parties to submit comments and replies related to the assessment of whether to revise its newspaper /radio cross -ownership waiver policy as well as its broadcast attribution and television ownership rules. The time for filing comments is extended to Feb. 7, 1997, and the time for filing reply comments is extended to March 7, 1997.

ELSEWHERE Jacor also added to its holdings in the Columbus, OH market with the purchase of Tel Lease, Inc.'s classic rock WAKS, Marysville and 70's oldies WAHC, Circleville, OH. The price wasn't disclosed. Jacor owns talk WTVN and rocker WLVQ, Columbus; standards WLOH and country WHOK, Lancaster; and country WLLD, Upper Arlington, OH --all serving Columbus.

Salem is picking up another major market AM. It's buying Back Bay Broadcasters' WBNW, Boston for $6 million cash. An LMA has already begun. The station currently programs business news. Robert J. Maccini of Media Services Group brokered the deal.

High Desert Broadcasting is expanding its reach in California with the purchase of four more stations. In the Lancaster- Palmdale market, it will pay $1,437,500 cash to Eric -Chandler Communications of Antelope Valley, Inc. for news /talk KHJJ and AC KGMX, Lancaster, CA. In Oxnard -Ventura, it's buying Spanish oldies KXSP, Ventura and country KTND, Ojai from Buena Ventura, Inc. for an undisclosed amount. High Desert also owns standards KKZZ, Santa Paula and classic rock KOCP, Camarillo; and talk KTRO, Port Hueneme and dance KCAQ, Oxnard. In the Lancaster -Palmdale market, it's also buying Spanish KUTY, Palmdale and classic rock KLKX, Rosamond and already owns AC KBET, Canyon Country. Also in Oxnard, McDonald Media Group is picking up the remaining Buena Ventura station - -AC KBBY -FM, Ventura --for an undisclosed amount. McDonald owns news /talk KVEN and country KHAY, both licensed to Ventura, CA. Elliot Evers of Media Venture Partners was the broker for the KHJJ /KGMX, KXSP /KTND, and KBBY -FM deals.

Upper East Tennessee Broadcasting is selling its Johnson City /Kingsport /Bristol market station, soft AC WAEZ, Elizabethton, TN for $3 million to Bristol Broadcasting, Inc. Bristol owns talk WXBQ and country WXBQ -FM in the market. Blackburn & Company was the broker.

Chris Dahl's Community Airwaves Corp. is letting go of a couple of combos in the Dakotas. Roberts Radio LLC is paying an undisclosed price for hot AC KIZZ, country KZPR, and classic rock /talk /sports KRRZ, Minot, ND; and country /talk KKAA and oldies KQAA, Aberdeen, SD. Roberts is headed by Bob Pittman and Robert Sherman. They own stations in Colorado and New Mexico.

Gulfstar Communications is buying into the Four Corners market with the purchase of four stations from J. Thomas Development of NM, Inc. and Radio Properties, Inc. The four are country KTRA and classic rocker KDAG, Farmington, NM; 70's oldies KCQL, Aztec, NM; and country KKFG, Bloomfield, NM. Price was not disclosed. Charles Giddens and George Otwell of Media Venture Partners were the brokers. The stations will be the furthest west of any in the group.

At special meetings of the shareholders of Westinghouse Electric Corporation and Infinity Broadcasting Corporation, an overwhelming majority of voting shareholders approved and adopted an Agreement and Plan of Merger for the companies. The transfers are pending FCC approval.

Interep Radio released its annual report "Marketing Differences Between the Top 10 Radio Metros." The report focuses on the demographic, psychographic and economic differences between the largest, and most requested marketing geographies in the country. New findings are as expected, the median age is rising in all markets. On average, the median age rose from 33.2 last year to 33.5 this year. Currently, New York, Philadelphia, Boston and San Francisco are over the U.S. median age of 34.5 years. Median household incomes also rose in every Top 10 Metro, with an average increase of $1,500 per market. While median income is significantly above the national average for all Top 10 metros, median . incomes vary dramatically within these metros, from a high of $67,192 to a low of $48,280.

Department of Justice Acta in the Broadcasting Industry

For many radio broadcasters, the Telecommunications Act of 1996 brought welcome relief from the FCC's multiple ownership limits. The Act raised substantially the FCC's previous limits on the number of commercial radio stations a single entity could own, operate or control in one market. The FCC limit on the maximum number of commercial stations with overlapping 70 dBu signals a single entity could own was raised from four stations to eight stations in the largest markets. The nationwide limits of 20 FM and 20 AM stations was eliminated entirely.

Historically, when the FCC or the Congress has deregulated a market, they have relied upon the Department of Justice (DOJ) and enforcement of the anti -trust laws to take over the regulatory function of preventing undue control or concentration. Enactment of the Telecommunications Act was followed by a flood of mergers and tremendous consolidation in the radio broadcasting industry. For example, the Department of Justice reports that 189 radio deals were announced in the first half of 1996, worth some $25 billion. The Hart -Scott -Rodino (HSR) Act requires pre- merger notification to the Department of Justice of any transaction where one party has assets of $100 million, the other of $10 million and the property being transferred is worth at least $15 million. The DOJ reports receiving over 100 HSR filings for radio transactions and has opened close to 20 investigations.

The euphoria of many broadcasters created by the relaxed limits of the Telecommunications Act has been substantially dampened by the recent actions of the Anti -Trust Division of the Department of Justice. While both the Department of Justice and the Federal Trade Commission have jurisdiction in this area, DOJ has taken the lead in reviewing proposed mergers and acquisitions. As a result, it has clearly established that in some cases the anti -trust laws will be more restrictive than the limits imposed by the Communications Act.

In two recent cases, the Anti -Trust Division has sent a strong message to the radio industry through these consent decrees and competitive impact statements. First, in the proposed August acquisition by Jacor of Citicasters, and just last month in connection with the proposed acquisition of the Lincoln Group by American Radio Systems Corporation. Analysis of these cases and several public statements by DOJ officials provide us with a revealing glimpse of the emerging Department of Justice position on radio.

DOJ views radio as a separate advertising market despite the fact that most radio broadcasters consider newspaper to be their leading competition. Based on interviews with advertisers in both cases, the Justice Department concluded that radio is a qualitatively different medium from television or newspapers. Significantly, they also concluded that radio gives advertisers the ability to reach target markets far more efficiently than other media. The reason that radio stations attract different types of audiences by adopting different formats so that an advertiser can reach a large percentage of its target audience without also reaching (and thus paying for) listeners outside of its target. In contrast, it considers television and newspapers to be vehicles only for reaching a broad, undifferentiated audience.

Department of Justice Acts . (cont'd) Justice also distinguishes radio as being comparatively inexpensive to produce and easily modifiable with little advance notice. It concludes that radio is also the most effective medium for delivering a message to consumers when they are traveling in their cars or outside their homes.

While the Anti -Trust Division's competitive impact statements read like a radio station's best sales pitch, it has serious consequences to proposed radio acquisitions. Given its conclusion that they would be anti -competitive for Jacor to increase its present 42% of all radio advertising revenues in Cincinnati by the addition of another station, it effectively establishes 40% of market revenues as the de facto suspect revenue share. Moreover, as a result of its stated rationale, it has opened the door to viewing as suspect a high percentage of market revenues in any particular given format or combination of formats targeted to specific demographics within a market. Notably, however, the Justice Department has provided no serious study of the cross elasticity of demand between radio advertising and advertising in other medium. It has relied solely on its interviews and focus group discussions with an undefined group of advertisers. It has not provided any material to the public which would allow a scientific analysis of its study methodology.

In commenting on its decisions, Anti -Trust Division officials have identified several factors that DOJ will consider in the future. They include the share of market revenues that will be concentrated in the surviving entity, the capacity to cover the entire market, the strength of the signals acquired and the number of competitors remaining. In the ARS case, it was considered particularly relevant that after the merger, ARS would own four of the seven Class B FM radio stations in the Rochester area and would have controlled advertising on a fifth class B FM license radio station through a Joint Sales Agreement (JSA).

As a result, DOJ concluded that if ARS raised prices or lowered services to those advertisers who buy ARS stations because of their strength in delivering access to certain specific audiences, non -ARS radio stations in Rochester would be induced to change their formats to attract a greater share of the same listeners and to serve better those advertisers seeking to reach those listeners. It also concluded that other small radio stations would be unwilling to change format to obtain the business of advertisers unhappy with price increases on the ARS stations. Moreover, it concluded that a Joint Sales Agreement was in this case an illegal restrain of trade, violating Section 1 of the Sherman Act. While DOJ acknowledged that some JSAs may be beneficial, based on this case, it will be- incumbent upon JSA operators to demonstrate the redeeming pro competitive virtues of the particular JSA they are operating. Examples of such virtues might include efficiencies achieved through integration of management or operations of the two stations so as to create a pro- competitive benefit for advertisers. Certainly ARS's case was not helped by one key participant explicitly acknowledging that the JSA was entered into because the two stations were fighting needlessly over the advertising dollar."

A further disturbing observation is that the rationale of these two cases applies with equal force to small markets with fewer radio stations to be consolidated. Indeed, statements of government officials indicate that they will be quite interested in small market consolidations and may well apply the same test to those acquisitions.

Another area the Department of Justice is quite concerned about is the recent practice of entering into an LMA for a station being acquired where the transaction requires an HSR filing. The Justice Department's view is that an LMA allows the proposed purchaser to take immediate control of the assets to be acquired prior to the expiration of the HSR waiting period. Accordingly, it has announced that it will view an immediate LMA of an HSR qualifying proposed acquisition to be in violation of Hart -Scott -Rodino unless the 30 day waiting period has expired.

Clearly all broadcasters should be aware that the Department of Justice has weighed in heavily in the radio acquisition marketplace. No acquisition, regardless of size, should be considered without review of its anti -trust implications as interpreted by the Department of Justice. Although it is quite conceivable that the Department of Justice position may be defeated in court should anyone challenge them, it is hard to conceive of a transaction that would survive the years' long court process.

NOT SO FAST. . . The NAB is urging the FCC to suspend the deadline by which stations must purchase equipment for the new Emergency Alerting System. In a letter to Beverly Baker, Chief of the Compliance and Information Bureau, NAB General Counsel Jeff Baumann points out that many state and local government agencies have not yet turned in their emergency plans to the FCC, and, in many cases, these plans will dictate what types of EAS equipment a station may need. Therefore, the NAB is asking to suspend EAS operational compliance for at least 90 days, beginning January 1, 1997. The NAB argues this suspension shouldn't affect the public since EAS and the old EBS systems are both required to be operational in 1997 during the transition to EAS.

The Commission revoked the license of AJI Broadcasting Inc.'s KYEG(FM), Canadian, TX. The station has been off the air due to financial difficulties and AJI was ordered to show cause why the license should not be revoked. AJI argued that it had entered an agreement with Texrock Radio, Inc. who agreed to loan up to $200,000 for construction of the station. Texrock does not have the funds and is dependent upon promised loans from RJ Financial. The Commission received no information from Texrock or RJ Financial indicating their willingness to provide financing and concluded that AJI lacks the capability to return to air.

FCC Chairman Reed Hundt outlined the 1997 FCC agenda, outlining actions for the Commission next year. In a speech at the Institute on Telecommunications Policy and Regulation sponsored by the Practicing Law Institute and FCC Bar Association, Hundt said the Commission should have three general goals for 1997: "(1) Make sure all communications markets move from monopoly to competition; (2) Secure the public interest in communications; and (3) Get rid of all the rules not necessary to reach these other two goals with a red -hot, rule- burning party." Hundt also cited numerous streamlining initiatives that eliminated functions by recognizing that market changes have eliminated the need for those jobs to be done.

Lamouille Broadcasting & Communications revoked. WLVC has been off the air since Sept. 4, 1995. Lamouille failed to file forfeiture was imposed. WLVC's sister license revoked November 4.

American Trust Corporation's WIQR (AM), Prattville, AL's authority to operate was reinstated by the Commission. The license terminated on its own terms June 3, 1996. American filed a petition for reconsideration which was granted, with conditions, on December 5, 1996.

Petitions to Deny the renewal applications for WCCB -TV Inc.'s WPET(AM) /WKSI -FM, Greensboro, NC, by the Southern Region of the National Rainbow Coalition were also denied by the Commission. Rainbow alleged the stations violated EEO rules and policies. Although the Commission found no evidence of employment discrimination, the licensee's EEO efforts were found to be deficient because minorities were present in only eight out of sixteen applicant pools and the licensee failed to maintain the records needed to meaningfully assess the effectiveness of its EEO program. The stations were ordered to pay a forfeiture in the amount of $12,000 and are subject to reporting conditions through 1999.

A Petition to Deny the renewal applications for KNOE, Inc.'s KNOE(AM) and Noe Enterprises, Inc.'s KNOE -FM, Monroe, LA, filed by the Southern Region of the National Rainbow Coalition, was denied by the Commission and renewals granted. Rainbow claims the licensees violated EEO rules and policies. Although there was no evidence of employment discrimination, the Commission cautioned the stations to analyze its EEO efforts more thoroughly and increase its use of minority sources.

Marin Broadcasting Company, Inc.'s KTID -AM & FM, San Rafael, CA was ordered to pay $15,000 for failing to pursue sufficient EEO recruitment efforts and failing to maintain adequate records for meaningful self- assessment. The forfeiture was assessed when Marin did to respond to the Notice of Apparent Liability.

FCC Chairman Reed Hundt announced that he will promote Jackie Chorney to serve as Acting Sr. Legal Advisor and Julius Genachowski to the position of Chief Counsel. Chorney will replace John Nakahata, who will be named Acting Chief of the Competition Division of the Commission's Office of General Counsel. Hundt also announced the promotion of Tom Boasberg, who will serve as his Legal Advisor.

Commissioner James H. Quello announced the following changes to his personal staff of advisors. Lauren J. Belvin, Esq. has resigned as Sr. Advisor to become Chief Counsel to Senator McCain. Rudolfo Lujan Baca, Esq. has been named Sr. Legal Advisor. Baca will continue to advise on wireless and international issues. James Coltharp will now advise on common carrier issues. Coltharp previously served as mass media and cable advisor. Marsha MacBride, Esq. will take Mr. Coltharp's place. MacBride was Special Assistant to the Mass Media Bureau Chief and joined the Commission in 1991.

Bud Paxson's Paxson Communications announced it will buy three more stations in Florida, bringing its total of owned stations in Florida to an unbelievable 39. It's getting Key Chain, Inc.'s CHR WFKZ, Plantation Key; AC WAVK, Marathon; and classical -jazz -easy listening WKRY, Key West. The three stations cover the entire Florida Keys market. Terms weren't disclosed.

Shareholders of both EZ Communications and American Radio Systems voted to approve the merger of the two companies. The deal will give EZ shareholders 0.9 shares of ARS Class A common stock and $11.75 in cash for each share of EZ stock. In order for EZ to merge directly into ARS, rather than as a subsidiary, holders of 9 3/4% Senior Subordinated Notes of EZ due in 2005 have consented to the deal. ARS had originally planned to keep EZ as a separate division of the company. ARS will also increase the authorized capital stock of the company before the end of the year. The merger is expected to be completed in early 1997.

In the wake of rumors that Norm Feuer's Triathlon Broadcasting Co. may be soon sold, the company issued a press release saying it has retained Sillerman Communications Management Corp. to "maximize shareholder value." In order to do that, Feuer, in a statement, said Sillerman will look at all options, including "strategic alliances and additional acquisitions, as well as the possible sale of the company."

The war for the title of #1 jazz station in the country has begun. After hearing Cephas Bowles, General Manager of WBGO(FM) in New York City boasting that "WBGO is the #1 jazz station in the country," Judy Jankowski, GM of KLON, Long Beach (Los Angeles) issued a challenge. Actually, according to Arbitron, KLON and WBGO are very close in the ratings, but, Bowles claims WBGO listeners are more loyal to their jazz station than KLON's. To find out, each station is conducting membership drives from Jan. 31 to Feb. 14. The first station to reach the $500,000 mark from listeners will be declared the winner and will hold the title of "The Country's #1 Jazz Station" for one year.

Musgrave came from Pyramid's WYXR(FM) /WJJZ(FM) in Philadelphia where he served as GSM. Arbitron also promoted Linda Dupree to Vice President, Sales, Advertiser /Agency Services. Dupree will be responsible for all syndicated and special services offered to advertiser and agency customers. Five years to the day after closing up Arbitron's largest competitor in the radio audience measurement business, Tom Birch announced a is reopening Birch Research Corporation --this time using diary methodology rather than telephone interviewing. The seven -day, diary -based service is slated to begin in Fall, 1997, in selected markets. In a press release, Birch said, "We're not out to change the way radio inventory is priced, just the way radio ratings are priced." Birch claims his service will cost broadcasters 40% to 50% less than Arbitron charges, but will mirror the company's format shares, listening levels and listening behaviors. The new service will not include printed reports.

The service has many similarities to Arbitron. It will demographic data Arbitron has, as well as "a variety of consumer behavior, and purchase intent information electronically." A bonus to subscribers: stations will base access, apparently included with the subscription. April, 1997.
