Who we are…. Los Angeles County Employees Retirement Association – LACERA, administers and manages the retirement fund for the County of Los Angeles. It is the largest county retirement system in the United States, with approximately $48 billion in assets, serving 162,000 members and more than 60,000 benefit recipients. Fairness, Integrity & Teamwork Governing Structure… LACERA is governed by two Boards: Board of Investments (BOI) – This Board is re-sponsible for establishing LACERA's investment pol-icy and objectives as well as exercising authority over the investment management of the fund. Diver-sified investments include Stocks/Equities, Fixed In-come/Bonds, Real Estate and Alternative Assets. Board of Retirement (BOR) – This Board is responsible for the overall management of the retire-ment system. Under the policy guidance of the Board of Retirement and the direction of the Chief Executive Officer, LACERA strives to create innova-tive ways to streamline and expedite retirement processes, integrate new technologies, and intro-duce new member services options and upgrades.

Location… LACERA is located in Pasadena, California. Pasadena is located 20 minutes northeast of downtown Los Angeles. Pasadena (pop. 145,000) represents a progressive and dynamic community best known as the home to the Tournament of Roses Parade and the Rose Bowl. The area of-fers charming and distinct centers for shopping and dining and is within close commute of many areas of Los Angeles County. Pasadena also of-fers convenient freeway access, the Gold Line light rail system (with six stations in Pasadena), and public transportation.

The Ideal Candidate… The Ideal Candidate will meet the position's mini-mum qualifications and possess at least four (4) years of relevant experience in the following de-sirable qualifications: Demonstrated first–hand experience inde-

pendently drafting, reviewing and negotiating the following:

+ Agreements with investment advisors, custodians, and consultants relating to institu-tional investments and commercial contracts. + Documents for sophisticated real estate and private equity transactions. + Documents for hedge fund transactions. + Non-disclosure and confidentiality agree-ments. Demonstrated experience supervising outside

counsel in investment related transactions Demonstrated experience working effectively

with and representing investment profession-als.

Demonstrated experience providing legal ad-vice to institutional investors, registered in-vestment advisors and other investment pro-fessionals.

Necessary Knowledge, Skills and Abilities (continued) Demonstrated ability to do the following: + research and analyze legal issues, as-sess risks and distill into succinct, business ad-vice. + set priorities effectively and oversee multiple projects in a fast-paced environment. + work well under time constraints and meet deadlines. + work effectively with other in-house at-torneys, outside counsel and with business ex-ecutives. + manage multiple assignments simulta-neously and have strong organizational skills. Minimum Qualifications… Staff Counsel: Two (2) years experience in the practice of public agency law , or in litigation, contracts, employees relations, probate or family law.

License:

Admission to practice law in all courts of Califor-nia. A valid California Class C Driver License or the ability to utilize an alternative method of transportation when needed to carry out job-related essential functions.

The Staff Counsel Role… The Staff Counsel position reports to a LACERA Senior Staff Counsel and LACERA's Chief Coun-sel. The role of the Staff Counsel includes: Providing legal support on a wide range of

transactional matters. Reviewing, drafting, and negotiating documen-

tation for various investment transactions, in-cluding real estate, hedge funds, public mar-kets, and private equity, and instructing and managing outside counsel with respect to the same.

Reviewing, drafting and negotiating agree-ments with investment advisors, custodians, and consultants relating to institutional invest-ments.

Providing legal advice and contracting advice to investment professionals.

Drafting memos, policies and procedures to the Board of Investments.

Drafting, reviewing, and negotiating commer-cial contracts.

Necessary Knowledge, Skills and Abilities… Excellent drafting, negotiating and written and

oral communication skills.

Ability to work well both in a team environ-ment, and independently with limited supervi-sion.

Excellent negotiation skills, problem-solving capabilities and judgment.

Possess great attention to detail.

The Ideal Candidate (continued) Familiarity with the following: + laws governing investment transactions such as the Investment Advisers Act of 1940, Dodd-Frank and SEC and Blue Sky law. + open meeting laws including the Ralph M. Brown Act. + California contract law. + the California Public Records Act. + the Political Reform Act of 1974 and re-lated regulations. + placement agent and lobbying restrictions associated with public pension investments. + laws governing California public pension systems.

Consideration… Consideration when selecting and hiring a candidate as a Staff Counsel will be based on the level of the candidates' experience and education relevant to the role of the Staff Counsel position, as well as the level of past responsibilities. Annual Salary… Staff Counsel $ 108,753.36 - $164,607.12 Annually Benefits… LACERA offers a comprehensive benefit package that includes medical and dental cov-erage, 401k plan, 457 plan, defined benefit pension plan, retirement healthcare benefits, a tuition reimbursement program, paid holi-days and annual leave.
