ANTITRUST STATEMENT
RILA believes strongly in competition. Our antitrust laws are the rules under which our competitive system operates. It is RILA’s policy to comply with both the letter and the spirit of antitrust laws. This Antitrust Statement has been adopted to avoid even the appearance of impropriety under the antitrust laws.
There are many activities conducted by trade associations, including RILA, that have procompetitive effects, enhance consumer welfare, and are perfectly acceptable under the antitrust laws. However, joint activities by competitors – including association meetings or workshops – can have anticompetitive effects and therefore may raise antitrust concerns. Accordingly, it is necessary to avoid discussions of sensitive topics. Some agreements among competitors are automatically illegal under the antitrust laws, including agreements among competitors to (a) fix prices, terms or conditions related to pricing, or levels of output, (b) allocate markets or customers, (c) rig bids or limit competition in bidding, or (d) engage in product boycotts or refusals to deal with third parties. The fact of an agreement in any of these areas may be sufficient to subject the participants to severe penalties under the antitrust laws, including both criminal and civil penalties. Moreover, an antitrust violation does not require direct proof of a formal agreement; rather, the existence of an agreement can be inferred based on indirect proof. In this regard, discussions among competitors about competitively sensitive subjects can easily be misconstrued as being in furtherance of an illegal agreement.
Violations of the antitrust laws can have serious consequences for a company and its employees. The Sherman Act is a criminal statute. Violations are felonies punishable by steep fines and imprisonment for individuals. Damages in civil antitrust cases are automatically trebled. Moreover, antitrust investigations and litigations are lengthy, complex, and disruptive.
Accordingly, at any association meeting, participants must avoid any discussion of the following subjects in order to avoid even an appearance of impropriety:
•Donotdiscusscurrentorfutureprices,pricequotationsorbids,pricingpolicies,discounts,rebates,orcreditterms.•Donotdiscusscostinformationsuchasproductioncosts,operatingcosts,orwageandlaborrates.•Donotdiscussprofitsorprofitmargins,includingwhatisa“fair”profitmargin.•Donotdiscussallocatingmarkets,territories,orcustomers.•Donotdiscusscurrentorfutureproductionorpurchasingplans,includingplanstotakefacilitydowntime,productionquotas,orlimitsonoutput.•Donotdiscussrefusingtodealwithanysuppliers,customers,orcompetitors(oranyclassortypeofsuppliersorcustomers).•Donotrequireorpressureanysupplier,customer,orcompetitortoadoptanyparticularactionsorpolicies.•Neveragreeonanyaspectoffuturepricingoroutput.
Do not engage in prohibited discussions before a meeting or after a meeting is over. These antitrust guidelines apply not only in formal RILA meetings, but also in hallways, casual conversations, phone calls, emails, text messages, cocktail parties, golf outings, or any other setting that is related in any way to the RILA. If you have questions or concerns, or if you are uncertain about the propriety of any subject of discussion or proposed activity, you should stop the discussion immediately and bring the issue to the attention of RILA staff, or consult your company’s general counsel.

Sandy Kennedy was named RILA president in December 2002. Under her leadership, RILA has grown from a niche trade association into the primary trade association for America’s largest and most innovative retail brands. During her tenure as President, RILA has led a number of high-profile nationwide public policy campaigns that have produced significant victories for the retail community and its customers. Sandy has also incorporated new service offerings that focus on education, collaboration and advocacy to best meet the needs of such a dynamic industry. Kennedy works closely with the RILA Board of Directors, the CEOs of America’s largest retailers, to ensure that the operational and public policy interests of RILA members is effectively promoted to ensure the retail industry continues to grow and prosper.
Rick Dreiling joined Dollar General in January 2008 as CEO, and was named chairman of the board in December 2008. He spearheaded the company’s re-emergence as a public company through a successful Initial Public Offering in November 2009 and eight secondary offerings. Prior to coming to Dollar General, Rick had been the chairman and CEO of Duane Reade Holdings, Inc. Rick earned a bachelor’s degree in Industrial Relations from Rockhurst University in Missouri. He began his career in 1969 as a part-time clerk with Safeway, Inc. in Kansas and he worked his way through the retail ranks before being promoted in 1998 to president of Vons. In 2011, Rick was named “Retailer of the Year” by Mass Market Retailer for his transformation of Dollar General into a major retail force. He was also listed among Supermarket News “Power 50 Retailers” for 2011 and 2012 and named “CEO of the Year” by the Retail Leader in 2012.

Leading a diverse team of technology experts across the globe, Mike directs strategic programs that identify and translate new and emerging technologies into Accenture business solutions, providing tangible business results for large enterprises. Mike’s passion for bold ideas that produce game-changing results has been a constant theme over his 20+ years with Accenture. Michael also leads a cross-functional team of 25 Innovation “Acrobats” who are trained catalysts for innovation and help co-create a wide spectrum of initiatives. Prior to joining GAP, Michael was senior director of global marketing at Levi’s, where he helped reposition the women’s business and develop new products for millennial consumers.

Sally Uren is chief executive at Forum for the Future with overall responsibility for delivering Forum’s mission to create a sustainable future. Sally acts as chair of Kingfisher plc’s Advisory Council and as an independent adviser on advisory boards for several other global businesses. She is also chair of the Advisory Board overseeing Forum for the Future’s growing operations in the United States and is an advisory board member for Sustainable Brands. Sally speaks regularly at international and national conferences on topics as diverse as future trends in retail and food, sustainable business models and brands, and scaling up for system change. She also writes for a range of publications, including recent articles in the New Statesman, Huffington Post and Management Today.

Scholarship PresentationMartin Ojeda, Student, Southeastern University Martin Ojeda is a junior at Southeastern University in Lakeland, Florida, pursuing bachelor’s degrees in both Business Management and Marketing, with minors in Religion and Business as Missions. He currently holds the director of marketing role for Enactus at Southeastern University. Upon graduation, Martin hopes to continue into the Unilever Future Leader’s program or work in that same capacity with another international retailer. In his spare time, Martin enjoys traveling abroad and implementing his academics in developing countries to either help natives grow or start small businesses. Martin has participated in economic development work in India, Ecuador, Honduras, and will be going to South Africa in May of 2015.

s a member of the Federal Reserve Board of Governors (2006-2011), Kevin Warsh was the Fed’s Chief Liaison to Financial Markets, and played a significant role in stabilizing the turbulent financial markets of 2007 and 2008. A key player during this historic period of time, Kevin offers audiences deep insights and perspective on what our country’s leaders need to focus on to turn our economy around, and how business leaders can both deal with the current uncertainty and influence policymakers to enact pro-growth measures.

Kevin Warsh serves as distinguished visiting fellow at Stanford University’s Hoover Institution and as lecturer at its Graduate School of Business. In addition, he advises several companies, including serving on the board of directors of UPS. Kevin served as a member of the Board of Governors of the Federal Reserve System from 2006 until 2011. He served as the Federal Reserve’s representative to the Group of Twenty (G-20) and as the Board’s emissary to the emerging and advanced economies in Asia. Kevin was administrative governor, managing and overseeing the Board’s operations, personnel and financial performance. Prior to his appointment to the Board, Kevin served as special assistant to the President for economic policy and executive secretary of the White House National Economic Council. Kevin received his A.B. from Stanford University, and his J.D. from Harvard Law School.

Mark Udall has represented Colorado in the U.S. Senate and U.S. House of Representatives since 1999. Mike chairs the National Parks Subcommittee of the Energy and Natural Resources Committee and is chairman of the Armed Services Committee’s Subcommittee on Strategic Forces. His work spans issues from creating wilderness areas in our national parks and reducing the risk of wildfire, to promoting Colorado’s aerospace, high-tech, and renewable energy industries and encouraging policies to stimulate innovation and help the private sector create jobs. An avid mountaineer, Mike moved to Colorado’s Western Slope to work for Outward Bound after graduating from Williams College in 1972. As Outward Bound’s executive director from 1985 to 1995, Udall gained firsthand experience running a business, which informs his work to advocate for business-friendly policies.

Ed Gillespie is one of the country’s top communications strategists with a long record of success in business, politics and government. Ed began his political career as a telephone solicitor for the Republican National Committee (RNC) and as an aide for House Majority Leader Dick Armey. Ed later worked as the policy and communications director for the House Republican Conference, where he was a principal drafter of the Contract with America, the 1994 campaign platform on which Republicans gained control of the House for the first time in 40 years. From 1999–2008, Gillespie served as a political strategist, press secretary or senior communications advisor to several prominent Republican politicians. Ed was selected as chairman of the RNC in 2003, serving in that role through the 2004 elections that saw President Bush win re-election. Ed is the author of Winning Right: Campaign Politics and Conservative Policies, and the founder of Ed Gillespie Strategies and a co-founder of Policy Impact Communications and Quinn Gillespie & Associates.

Matt is the business unit leader for the U.S. consumer sector in Global Investment Research, as well as the senior retail analyst covering hardlines and big-box discount retail. He helps coordinate the firm’s dotCommerce research effort, assessing the interplay of retail and ecommerce. Matt joined Goldman Sachs in 1992 as a financial analyst and became a senior analyst in 1995 and a vice president in 1998. He was named managing director in 2004. His past awards include several Institutional Investor awards. This is the 18th year he has covered the retail sector.
