The Investment Plan – 10 April 2010

The AT Network Europe Aerospace Plan has been conceived so that investors are free to choose the area in which they wish to participate. The AT Holding, which holds all the Planning, Programming, Process Management and Patent rights, reserves the right to hold minority (10-+%) and/or majority (50+%) rights in each unit, according to individual opportunities and negotiation positions to be taken.

The original ACRMC-NET project, relative to the Naples Protocol of Dec.2005, had the objective to re-launch a single company, the Tupolev construction plant, KAPO of Kazan. Since then, parallel to the initiators efforts and the results achieved, the Russian Aerospace Industry has undergone a major change and is now faced with a radical decision: in order to maintain the “Russian” element, with the relative control, the ACRMC-AT plan has to be extended and adapted to be in compliance with the UAC Russian Federal Civil Aviation Agency, which now controls most OEMs.

Each investor is free to choose a “basket” of participation, with majority/minority shares in each unit, the prime condition being that “capital coverage” for the total investment, be deposited in the London branch of an International bank, in an account in his name, as a guarantee that the investor is capable and willing to participate in the negotiation of the units he requires. The minimum requirement is a €10 Mil. Unit deposit, covered by a standard “trading” agreement. The funds remain the property of the investor until all negotiations are completed and should no agreement be reached, they will remain his property, free to be retransferred anywhere he requires.

Tupolev 204 Aircraft, a highly versatile passenger and cargo plane of medium dimensions (165-210 pax 25-27 tons cargo).

These Aircraft were fine tuned for greatest price/quality effect and are now, recently, upgraded and improved; still a very good buy.

At under $40 Million the Russian Medium size aircraft cost about half as much as their Western equivalent.

Fuel burn is 40% less than other Western aircraft of the same category. The Tupolev 204 received the certificate of type VTC0185A from the Chinese aviation

authorities in July 2008. TU-204 120CE was certified by EASA on 08 October 2008 to be in compliance with the

applicable Type Certification Basis and environmental protection requirements within the conditions and limitations specified. (as shown on next slide)

The starting point of the ACRMC Tupolev Project was the signing of the Protocol of Understanding in Naples on December 20th 2005, when the Italian and Tatarstan authorities joined forces. It was followed by the Kazan (KAPO) & Moscow (Tupolev) General Agreement (March 2006).
