A Brief Historical Comment on the Founding and Early Years of the Halsted Club (Society)*

Dr. Walter Hughson is generally credited as being the one who conceived the idea of a new surgical travel club, probably as early as the fall of 1922. According to Dr. Wilder Penfield, Hughson first brought the possibility up as they were returning from a Yale-Princeton football game. In April, 1923, five men met in New York City and, following a breakfast at Child’s Restaurant, gathered on a bench in Central Park to continue their discussions on the foundation and naming of this new club. Present at this initial session were Drs. Walter Hughson and Lawrence R. Wharton of Baltimore and Drs. Wilder Penfield, Arthur Purdy Stout, and Harry A. Murray, Jr., of New York City. This group selected the name Halsted Club, as they felt that William Stewart Halsted, who had died on September 7, 1922, less than a year before, had given the surgical profession a new philosophy and a basic scientific approach to surgery. (Several years later the name was changed to Halsted Society.) By the time of the first formal meeting in Baltimore on June 9 and 10, 1924, the Club consisted of eleven members: Percival Bailey, H. Cuthbert Bazett, Frank B. Berry, Loyal E. Davis, Walter Hughson, Robert W. Johnson, Jr., Monroe A. McIver, Harry A. Murray, Jr., Wilder Penfield, Arthur Purdy Stout, and Lawrence R. Wharton. At this first meeting the pattern of future meetings was adopted with a day of presentations by the “host institution” and at least a day of presentations by the members. The local participants included Drs. Samuel J. Crowe, Walter E. Dandy, John Staige Davis, Henry A. Peterson, Harvey B. Stone, and Karl M. Wilson. A highlight of the first meeting was the dinner held at the Baltimore Club, where Dr. William H. Welch spoke informally about Dr. Halsted for some two hours. After these auspicious beginnings the group gradually enlarged, but never to the point of compromising the intimate nature of the organization. As is the case with many such societies, there have been lean years and troubled times. Such was the case in 1939, when some members gave serious consideration to stopping the election of new members and permitting the Society to die out with its current membership. However, through the efforts of such men as I. S. Ravdin and Owen H. Wangensteen, the society was kept alive. In the years following, particularly after World War II, new members were elected with varying talents from widely scattered locations. Today the Halsted Society is a vigorous organization of professional men and women who support the purposes listed in Article II of the constitution: to perpetuate the memory of Doctor William Stewart Halsted; to further the scientific principles and ideals for which he stood; to encourage exchange of ideas, free and informal discussion, and a spirit of sociability and good fellowship among its members. —Peter D. HASLTED SOCIETY INCORPORATED

CONSTITUTION ARTICLE I – Name The name of the Society shall be the Halsted Society (Incorporated). ARTICLE II – Purpose The purpose of the Society shall be:

a) to perpetuate the memory of Doctor William Stewart Halsted b) to further the scientific principles and ideals for which he stood c) to encourage exchange of ideas, free and informal discussion, and a spirit of

sociability and good fellowship among its members ARTICLE III – Officers The officers of the Society shall be the President, Vice-President, and Secretary-Treasurer, and Secretary-Treasurer Elect. The President shall sever a term of one year. The Vice-President shall serve for one year and at the expiration of his term shall become President. The Secretary-Treasurer shall serve for three years (Amendment 1972). The secretary-Treasurer Elect will serve for one year and then succeed the Secretary-Treasurer (Amendment 1996). ARTICLE IV – The Directors There shall be three Directors serving for a term of three years with the terms overlapping so that one Director is elected at each annual meeting. ARTICLE V – Members Section 1 – Membership in this Society shall be by invitation only. The membership shall be designated as Active, Senior, Honorary, and Auxiliary. Section 2 – Active Members. Active members shall be limited to 75 surgeons and other individuals in allied branches of medicine. Active members have the right to hold office, present papers to serve on all committees and to participate in all transactions of the Society. A majority vote of two-thirds of all the members of the Society shall be required to change the existing limit of active members.

Section 3 – Senior Members. Active members, upon reaching the age of 55 or who have been members of the Society for 12 years may apply to the Secretary for senior membership. Senior members shall be exempt for dues. They shall have the right to attend all meetings, present papers, participate in all discussions and vote, but not hold office or serve on committees. Section 4 – Honorary Members. Honorary membership shall be limited to surgeons, and other individuals in allied branches of science. Honorary members shall be exempt from dues, shall have the right to attend all meetings, present papers and participate in all discussion, but they shall not have the right to vote, hold office or serve on any committees. Section 5 – Auxiliary Members. Auxiliary members shall be limited to the spouses of deceased members who will receive meeting correspondences and are invited to attend the annual meeting. ARTICLE VI – Council Section 1 – The Council shall be composed of the President, the past President (Amendment 1995), the Vice-President, The Secretary-Treasurer, and the three Directors. ARTICLE VII - Committees Section 1 – The Society shall have the following committees appointed annually by the President:

a) A Nominating Committee of three b) An Auditing Committee of two c) A Program Committee of two or more d) A membership Committee of three

The President shall appoint one new member each year to serve for three years. ARTICLE VIII – Amendment of the Constitution This Constitution shall be deemed in effect upon adoption by majority vote of the members present. Amendments may be proposed in writing to the Secretary and must be held over for one year before adoption by majority vote of the members present at a meeting. BYLAWS ARTICLE I – Meetings of Members

Section 1 – Members of the Society shall meet annually at such convenient time and place as recommended by the President and Council and approved by majority vote of members present at a meeting. It has been a tradition since 1970, to meet at High Hampton every fourth or fifth year. Section 2 – Such Special Meetings as the activities of the Society shall require may be called by the President. Section 3 – The nature of the scientific program to be presented at the meetings shall be arranged and specified by the Council. Any member of the Society shall have the right to participate in any scientific program. Request for participation together with the title and short abstract must be sent to the Secretary of the Society at least two months prior to the date of the meeting. Nominees selected for membership will become members upon presentation of their first paper before the Society. ARTICLE II – Officers Section 1 – The President shall preside at all meetings of the Society. Section 2 – The Vice-President shall, in the absence of the President, preside at all meetings of the Society. Section 3 – The Secretary-Treasurer shall serve for a three year term and shall be eligible to be re-elected. He shall:

a) Record the proceeds of the Society and have custody of all of its records, b) Notify members of the time and place of the meetings of the Society at least

one month prior thereto, c) Receive proposals for membership and submit to the members a list of

candidates for active membership, d) Receive all requests from members for papers to be presented and coordinate

these with the Program Committee, e) Have custody of all accounts and financial transactions of the Society and

render annual financial statements at each meeting, f) Assume such other duties as are directed by the President.

Section 4 – The Secretary-Treasurer Elect will assist the Secretary-Treasurer during the third year of the three year term. He or she will then succeed to the position of Secretary-Treasurer. Section 5 – In any event of a vacancy in any office by death, resignation or inability to act, the President or in his absence, the Vice-President, shall designate an active member to fill the unexpired term of office then vacant.

ARTIVLE III – The Directors Section 1 – The Directors shall meet as members of the Council. Section 2 – In the event of vacancy among the Directors through death, resignation or inability to act, the surviving member or members shall have full authority to act until the next annual meeting at which the members of the Society shall elect a new Director to fill the unexpired term then vacant. ARTICLE IV – Members Section 1 – Active Members. Nominations for membership shall be submitted to the Secretary at least two months prior to any annual meeting. Election to membership shall be by an affirmative vote of seven-eights of all members present at the next annual meeting. Any member present at a meeting at which the vote is taken, who does not vote, shall be considered an affirmative vote. Nominations for membership received by the Secretary shall be considered by the Membership Committee each of the next three consecutive years and if not elected, the proposal shall be dropped. The sponsor may submit a new proposal after period of one year, which shall be considered each of the next three consecutive years (Amendment 1960). Section 2 – Honorary Members. Nomination s for honorary membership shall be submitted to the Secretary two months prior to any annual meeting. Elections to membership shall require recommendation of the Council an affirmative vote of three-fourths of the members present at the next annual meeting and an affirmative vote of the Board of Directors. There shall be no restrictions on the number of honorary members of the Society at any one time. Section 3 – Dues and Assessments. Active members shall pay annual dues suggested by the Council and approved by the majority of members present at a regular meeting. Special assessments may be recommended by the Council and approved by a majority of members present at a regular meeting to be paid by both active and senior members (Amendment 1968). ARTICLE V – Council Section 1 – The council shall approve the recommendations of the Membership Committee of candidates for active membership. Transfer of active members to senior members and the election of honorary members shall require the affirmative vote of the majority of the Council before presentation to the membership. Section 2 – The Council, through the Secretary, shall receive invitations from members for future annual meeting places and select one prior to submitting the name of the city to the membership for approval.

Section 3 – The Council shall have the authority to drop from membership any active member who shall fail to attend three consecutive meetings without an acceptable excuse. ARTICLE VI – Committees Section 1 – The President shall be at the annual meeting to appoint the following committees:

a) Nomination Committee: This Committee shall consist of three active members and shall submit nominations for President, Vice-President, Secretary-Treasurer, Secretary-Treasurer Elect, and the Directors.

b) Auditing Committee: This Committee shall consist of two, active members and shall review the books for the financial transactions for the Society, and report to the Society.

c) Program Committee: This Committee shall consist of at least two and as many other members as the President desires to appoint. It shall arrange for all meetings of the Society and plan scientific program.

d) Membership Committee: This Committee shall review all completed proposals for membership and submit recommendations to the Council. The Chairman shall attend the Council meeting but not vote on their actions.

ARTICLE VII – Amendments Section 1 – Amendments to these bylaws may be proposed by any member in writing to the Secretary of the Society. An amendment so proposed shall become effective upon approval by a majority vote of the members present at the next annual meeting.
