ARTICLE I - NAME The name of this Congregation shall be Immanuel Evangelical Lutheran Church, Unaltered Augsburg Confession (U.A.C.), in Freeport, Stephenson County, Illinois, as filed on July 24, 1923, in Book J, Page 327, of Stephenson County as a tax exempt corporation. ARTICLE II - PURPOSES The purposes of this Congregation shall be: 1. To conduct regular divine services, proclaiming the Word of God and administering the Sacraments. 2. To provide Christian education for all members, especially the young. 3. To provide Christian fellowship in the Congregation and with sister congregations. 4. To provide spiritual care for the sick and troubled. 5. To bear witness to the Lord Jesus Christ as Savior in the community, and to carry out His missionary command. 6. To help promote the worldwide mission of the Lutheran Church-Missouri Synod. 7. To work for the reunion of the churches on a sound doctrinal basis and in the spirit of Christian love and respect. In furtherance of these purposes and all other things incidental to the conduct of a Christian congregation, this Congregation may acquire, hold title to, sell, transfer, convey, or otherwise dispose of property (real, personal and mixed). The Voters Assembly shall have the sole authority to regulate the spiritual and material affairs of the Congregation. ARTICLE III - DECLARATION OF DOCTRINE This Congregation confesses Jesus Christ to be the only true Savior from sin, death and hell. It confesses Him to be the Eternal Son of God who became incarnate by the Holy Spirit of the Virgin Mary-- True Man and True God. The Creedal basis for all doctrine shall be the Holy Bible, all the Canonical Books of the Old and New Testaments, which we do hold to be the revealed, unerring Word of God, verbally inspired, and the only norm of faith and life. We acknowledge as our own confessions all the symbolical books of the Evangelical Lutheran Church: 1. The Apostolic Creed 2. The Nicene Creed 3. The Athanasian Creed 4. The Unaltered Augsburg Confession and its Apology 5. The Smalcald Articles 6. Dr. Martin Luther’s Large and Small Catechism 7. The Formula of Concord We will judge and regulate all doctrinal questions, discussions and controversies based on these scriptures and confessions. We will teach the exposition of the pure doctrine of the divine Word.

THE CONSTITUTION OF IMMANUEL EVANGELICAL LUTHERAN CHURCH

Freeport, Illinois

PREAMBLE

According to the injunction of Holy Writ (1 Corinthians 14:40), "Let all things be done decently and in order.” Therefore, we, a number of Lutherans in the city of Freeport, Illinois, and vicinity, hereby voluntarily bind ourselves by this document of rules and regulations.

ARTICLE I - NAME

The name of this Congregation shall be Immanuel Evangelical Lutheran Church, Unaltered Augsburg Confession (U.A.C.), in Freeport, Stephenson County, Illinois, as filed on July 24, 1923, in Book J, Page 327, of Stephenson County as a tax exempt corporation.

ARTICLE II - PURPOSES

The purposes of this Congregation shall be:

1. To conduct regular divine services, proclaiming the Word of God and administering the Sacraments. 2. To provide Christian education for all members, especially the young. 3. To provide Christian fellowship in the Congregation and with sister congregations. 4. To provide spiritual care for the sick and troubled. 5. To bear witness to the Lord Jesus Christ as Savior in the community, and to carry out His missionary

command. 6. To help promote the worldwide mission of the Lutheran Church-Missouri Synod. 7. To work for the reunion of the churches on a sound doctrinal basis and in the spirit of Christian love and

respect. In furtherance of these purposes and all other things incidental to the conduct of a Christian congregation, this Congregation may acquire, hold title to, sell, transfer, convey, or otherwise dispose of property (real, personal and mixed). The Voters Assembly shall have the sole authority to regulate the spiritual and material affairs of the Congregation.

ARTICLE III - DECLARATION OF DOCTRINE

This Congregation confesses Jesus Christ to be the only true Savior from sin, death and hell. It confesses Him to be the Eternal Son of God who became incarnate by the Holy Spirit of the Virgin Mary--True Man and True God. The Creedal basis for all doctrine shall be the Holy Bible, all the Canonical Books of the Old and New Testaments, which we do hold to be the revealed, unerring Word of God, verbally inspired, and the only norm of faith and life. We acknowledge as our own confessions all the symbolical books of the Evangelical Lutheran Church: 1. The Apostolic Creed 2. The Nicene Creed 3. The Athanasian Creed 4. The Unaltered Augsburg Confession and its Apology 5. The Smalcald Articles 6. Dr. Martin Luther’s Large and Small Catechism 7. ARTICLE IV – SYNODICAL MEMBERSHIP

This Congregation shall hold membership in a district of the Lutheran Church-Missouri Synod as long as this Synod remains true to the Word of God and to the Lutheran confessions as specified in Article III. The Congregation will send its pastor(s), principal(s) or other synodically trained staff member(s), and a lay delegate to the district conventions of Synod. The principal(s) or other synodically trained staff member(s) of the Congregation will attend all other required conferences. The duty of the Congregation and its individual members will be to support the purposes and work of the Synod with their time, talents, and treasures.

ARTICLE V - MEMBERSHIP

CONDITIONS OF MEMBERSHIP

The membership of this Congregation includes the following:

A. BAPTIZED MEMBERSHIP

Baptized members are all members who have been baptized in the name of God the Father, the Son and the Holy Spirit. B. COMMUNICANT MEMBERSHIP

Communicant members are those members: 1. Who are baptized in the name of God the Father, the Son and the Holy Spirit. 2. Who accept Article III and, if lacking in knowledge of the Symbolical Books, at least are acquainted with

and accept the Small Catechism of the blessed Dr. Martin Luther. 3. Who grow in the Christian faith and life through faithful use of the means of grace, worshipping regularly

in the house of God, searching the Scriptures at home and in fellowship with other members of the Congregation, and partaking of the Lord's Supper frequently after their confirmation. (Ephesians 4:14-15, Acts 2:42)

4. Who provide for the proper Christian training of their children by instruction at home and through the agencies of the Church. (Ephesians 6:4)

5. Who place their God-given talents and abilities at the disposal of the pastor(s), officers, and other agencies of the Congregation so that the purposes and function of the Congregation may be effectively carried out. (Romans 12:1-2)

6. Who contribute toward the maintenance of the Congregation and the extension of the Kingdom of God at home and abroad in proportion to the financial blessings God has given to them. (II Corinthians 9:7)

7. Who live a morally decent life before God and men, abstaining from open works of the flesh and conducting themselves at all times as to bring credit rather than blame upon the Church of Jesus Christ. (Galatians 5:18-21)

8. Who permit themselves to be admonished and corrected in a brotherly way when they have erred. 9. Who submit to the regulations that have been made or may hereafter be established by the

Congregation for the sake of love and peace. 10. Who are not members of an organization whose doctrines and practices conflict with the Word of God

and the confession of Jesus Christ as our only Savior. The membership and corresponding privileges of each member shall remain in force so long as each member shall maintain his eligibility according to the above points. A member who voluntarily severs his connection with this Congregation, who has been transferred, whose membership has been terminated or who has been excommunicated, shall be deemed to have terminated his membership in this Congregation along with all rights and privileges of such membership.

B.1 COMMUNICANT MEMBERSHIP APPLICATIONS

Applicants for communicant membership in this Congregation shall consult the pastor(s) who, in conference with the Board of Elders, shall determine whether such applicants are eligible for membership in accordance with Sections A & B of this article. Applicants not familiar with the doctrines and confessions of the Evangelical Lutheran Church shall be required to attend a course of instruction. Then they will be required to make profession of their faith, either before the Congregation or, at the pastor's discretion, in the presence of witnesses who are members of the Board of Elders, before being received as members. Applicants in good standing from other Lutheran Church-Missouri Synod congregations shall submit a letter of transfer from their former congregation to establish their eligibility for membership. In the case of applicants whose previous membership in a Missouri Synod congregation has lapsed or who held membership in another Lutheran congregation, the pastor(s) may, with the consent of the Board of Elders, arrange for a brief period of re-instruction prior to reaffirmation of faith. The pastor(s) shall recommend the admission of applicants as communicant members to the Board of Elders, which shall have the authority to act on such application. Communicant membership shall become effective upon such action by the pastor(s) and the Board, but shall nevertheless be subject to final ratification by the Voters Assembly at the annual meeting of the Voters Assembly. C. VOTING MEMBERSHIP

A member who meets the qualification below shall be considered a voting member and eligible to vote on matters of concern of this Congregation: 1. Any communicant member of this Congregation who has received the Lord's Supper at least

three times at our altar during the previous 12 months. 2. Because of legal restrictions, individuals under the age of 18 cannot hold the positions of

officers, directors, or synodical delegates, or vote on contractual matters. This qualification is an effort to promote active participation by all qualified members in the concerns of the Church, and our need to partake in the Lord's Supper. D. OTHER MEMBERSHIPS

1. Honorary Member: Former members of Immanuel who have transferred to another congregation in

another area or state but who wish to maintain ties with Immanuel. 2. Provisional Member: Baptized children whose parents are not members of Immanuel. The children

remain on the membership roll until age 16 at which time they are either confirmed or removed from membership.

3. Inactive Member: An individual who is no longer active in the Congregation. See Elders Handbook.

ARTICLE VI - RELEASE OR TERMINATION OF MEMBERSHIP

A communicant member of this Congregation may be transferred, released, terminated, self-excluded, or excommunicated from membership by ratification of the voters at the annual meeting of the Voters Assembly in the following ways: A. Transfer to a sister congregation: A member can be transferred by presenting a written request to the

pastor(s) or the Board of Elders. Upon approval, the senior pastor(s) shall issue a letter of transfer to the sister congregation. B. Release by request: A member may request a release from membership in writing to the pastor(s) or

the Board of Elders. C. Termination of Membership: Members who have joined a congregation of another denomination or

synod not in fellowship with our own. D. Self-Exclusion: Members whose whereabouts are unknown and cannot be established within a

reasonable period of time. E. Excommunication: (as set forth in Article VII of the Constitution) occurs when:

1. A member of this Congregation has not attended worship or communed for an extended period of time without a just cause. (See Board of Elders Procedure Manual.)

2. A member who is persistently in error and thus no longer a confessional Lutheran, but who may nevertheless still be a brother in Christ. (See Board of Elders Procedure Manual.)

A member who is transferred, released, terminated, self-excluded, or excommunicated shall be deemed to have terminated his membership in this Congregation, along with all rights and privileges of such members. ARTICLE VII - CHURCH DISCIPLINE

The process leading to excommunication shall take place when it has become evident that because of his impenitence a sinner is no longer a member of the Church, that his sin is bound upon him on earth and in heaven. (Matthew 18:17-18) The Congregation may proceed to excommunicate only when a sin is involved, i.e.:

open and persistent adherence to false doctrine which undermines the Christian faith, or

giving evidence of an unchristian, immoral and offensive life, or

willfully despising the preaching of the Gospel or

willfully despising the Holy Sacrament of the Lord's Supper.

Such a manifest sinner shall be admonished in accordance with the various steps prescribed by our Lord in Matthew 18:15-20, whenever that procedure is possible. In every case, excommunication must have been preceded by admonition from the Congregation. The purpose of such admonition is to instruct and win the brother or sister by the Word of God. Should the impenitence of a sinner become evident by his refusal to submit to the Word of God, to obey the Lord, and to respond to the calls for action by the Church, such impenitence shall be grounds for excommunication. Excommunication based upon impenitence must be respected by all. God's Word has decided the status of the impenitent sinner. The vote to excommunicate by the Voters Assembly shall be by a two-thirds vote. A communicant member under Church discipline shall be deprived of his right to vote until the question at issue is decided. If the sinner refuses to submit to the various steps of admonition or to appear before the Congregation to hear its testimony, this refusal is further evidence of his impenitence and thus a basis for excommunication. Since there must be no question as to whether the individual has been summoned to appear before the Congregation, such a request shall be sent by certified mail or presented in writing by at least two members of the Board of Elders. A member who has been excommunicated shall be deemed to have forfeited all the rights of a member of this Christian Congregation, including the right to:

Partake of the Lord's Supper, Serve as a sponsor at a baptism, Receive a transfer to a sister congregation, Receive Christian burial, Be a member of a board or committee, Vote.

The purpose of excommunication is that by this last and most severe preaching of the law the sinner might be jolted out of his stubborn impenitence and still come to repentance. Should that purpose be attained and sincere repentance demonstrated, the individual would receive absolution and would be forgiven by the Congregation. The individual shall then be joyfully received back into fellowship as one who "was dead and is alive again, and was lost and is found.” (Luke 15:32)

ARTICLE VIII - OFFICES OF PASTOR, PRINCIPAL AND OTHER SYNODICALLY TRAINED STAFF MEMBERS

The offices of pastor, principal and other synodically trained staff members of this Congregation may be conferred only upon persons who are adequately trained and eligible for such office. The pastor(s), principal(s) and other synodically trained staff member(s) must profess their acceptance and adherence to all the Canonical Books of the Old and New Testaments, as the inspired Word of God and all the symbolical

books of the Evangelical Lutheran Church listed in Article III of this Constitution, as derived from the Word of God. Calling to, releasing, and removing from office will follow procedures established by Synod. We call our servants of the Word to their respective offices, not temporarily, not to be terminated at the arbitrary will of either, but according to the order and arrangement in God's Word, as has always been the custom in the Lutheran Church. The length of call shall be open-ended. If a pastor, principal or other synodically trained staff member shall give offense in doctrine or life, the chairman of the Congregation, or the vice-chairman, or the respective board in charge, or the pastor, or the circuit counselor is to take the first step for the possible removal from office (see Article VIII, F.2). Any one or more of the following shall constitute sufficient cause for removal of a pastor, principal or other synodically trained staff member by the Congregation: A. Persistent adherence to false doctrines. B. Scandalous life. C. Unfaithfulness in the performance of duty of said office. D. Neglect of, or inability to perform, official duties. E. Persistent domineering in office. . In case of inefficiency or incompetence brought about by old age, prolonged illness, or other reason(s), a pastor, principal, or other synodically trained staff member is to be dealt with by the Congregation in all charity. In such case, the Congregation may finally release such a pastor, principal or other synodically trained staff member from his office by a two-thirds vote of the voters present in a special meeting of the Voters Assembly.

The Call Committee (Item XI, Section A) shall consult with the District President or his representative(s) concerning suggested candidates for pastor. At the next regular meeting of the Voters Assembly, or at a special meeting called for that purpose, a call list shall be drawn up. Any communicant

member may propose additional candidates. The voters shall then adopt a list of candidates. This list shall be published for all communicant members. At a subsequent regular or special meeting of the Voters Assembly, one of the proposed candidates shall be elected by written ballot and two-thirds vote. B. OBLIGATION OF THE CONGREGATION TO THE PASTORAL OFFICE

Each member of the Congregation is obligated to:

Accord the pastor honor, love and obedience in his ministry of God’s Word. Support his ministry with diligence and faithful prayers. Help him in the discharge of his duties by willingness, readiness, peacefulness, and in every other

way humanly possible. Provide for his financial maintenance.

In calling (a) pastor(s) to administer the Office of the Keys on behalf of the Congregation, its members do not relinquish the privileges and responsibilities of the sacraments. C. RELEASE AND REMOVAL FROM OFFICE

1. Release into another field of service

If the pastor receives a call into another field, he shall inform the Congregation, and in the fear of God, consider the call. If the pastor accepts the call, the Voters Assembly shall vote by written ballot whether or not to provide a peaceful release from the pastoral office.

2. Removal from office

Charges against the pastor on any count(s) sufficient for removal according to this article of the Constitution shall be brought before the Board of Elders and fully investigated by that board. Should such charges be substantiated by clear and convincing evidence, the appropriate District official(s) shall be consulted. The pastor shall first be given the opportunity to resign from his office. If the pastor does not resign, the

Congregational chairman shall announce the intended removal of the pastor at the regular services on the two Sundays preceding a special meeting of the Voters Assembly called solely for that purpose. In addition, all communicant members shall be notified by mail at least two weeks in advance of the special meeting. A two-thirds vote by written ballot of the eligible voting members present shall be required to remove a pastor.

D. CALLING A PRINCIPAL OR OTHER SYNODICALLY TRAINED STAFF MEMBER

The Call Committee (Item XI, Section A) shall consult with the District President or his representative(s) concerning suggested candidates. Charges against the principal or other synodically trained staff member on any count(s) sufficient for removal shall be brought before the proper responsible board and fully investigated by that board. Should such charges be substantiated by clear and convincing evidence, the appropriate District official(s) shall be consulted. The principal or other synodically trained staff member shall first be given the opportunity to resign from his office. If the principal or other synodically trained staff member does not resign, the Congregational chairman shall announce the intended removal of the principal or other synodically trained staff member at the regular services on the two Sundays preceding a special meeting of the Voters Assembly called solely for that purpose. In addition, all communicant members shall be notified by mail at least two weeks in advance of the special meeting. ARTICLE IX - SOVEREIGNTY OF THE CONGREGATION

The Congregation shall be represented by, and administer all of its official affairs through its Voters Assembly. The Congregation shall have the supreme power in the external and internal administration of its affairs. No officer, council, board, or committee of this Congregation shall have any power or authority beyond that conferred upon it by the Congregation acting through the Voters Assembly. Any power, authority, or duty that may have been delegated by the Congregation to an individual member or to any council, board, or committee within the Congregation shall always be subject to revision or withdrawal by the Congregation.

ARTICLE X - CORPORATE OFFICERS

The Board of Trustees shall be the corporate officers of the Congregation and shall have such powers and duties as may be designated to them by the laws of the State of Illinois and the Bylaws of the Congregation.

ARTICLE XI - MEETINGS AND BYLAWS

The voting membership of the Congregation shall have meetings at such times and in such places as may be provided in the Bylaws. It shall be the duty of this Congregation, through its Voters Assembly, to adopt bylaws to accomplish its purposes, or to enforce this Constitution.

ARTICLE XII - PROPERTY RIGHTS

If at any time a division should take place in the Congregation for any reason, the property of the

Congregation and all benefits connected therewith shall remain with those communicant members who continue to adhere in confession and practice to the confessional standards set forth in this Constitution as determined by the dispute resolution process described in the Bylaws of the Synod. No individual shall have any claim(s) or right(s) to any share of the Congregation’s property or funds. In the event the Congregation should dissolve, the property and all rights connected therewith shall be transferred to the district in which the Congregation was a member at the time of dissolution.

ARTICLE XIII - HYMNS, FORMS, BOOKS, AND TEACHING AIDS

Only doctrinally pure hymns and forms shall be used in public worship and in all official acts. In addition to the Bible and the Small Catechism of Luther, only doctrinally pure books, literature, and teaching aids shall be used for the purpose of religious instruction. All hymns and forms shall be subject to doctrinal review by the pastor(s) and the Board of Elders, while books and teaching aids shall be similarly reviewed by the pastor(s), principal(s), and the Board of Christian Day School Education.

ARTICLE XIV – AMENDMENTS

This Constitution may be changed, or amended, or revoked by a two-thirds vote of the eligible

voting members present in a meeting of the Voters Assembly. The intention to amend the Constitution and the wording of the proposed amendment(s) as well as the present wording of the Constitution, must be published for the Congregation on at least two Sundays prior to the date upon which the proposed amendment(s) is (are) to be voted upon. Such amendment(s) must not conflict with the provisions in Articles III or XII, or with any other section of any other article that pertains to Scriptural doctrine or practice.

Articles III and XII of this Constitution shall not be amended or repealed by the congregation. The revised constitution shall, as a condition of continued membership in good standing in The Lutheran Church—Missouri Synod, be submitted to the president of the district for review by the district’s constitution committee and favorable action by the district’s board of directors before being adopted by the congregation.

ARTICLE XV – ADDITIONS

The Constitution and Bylaws become official upon the approval of two consecutive, properly noticed meetings of the Voters Assembly.

BYLAWS OF THE CONSTITUTION

ITEM I - PRIVILEGES AND DUTIES OF VOTING MEMBERS

It shall be the privilege and duty of all voting members to:

1. Conscientiously and prayerfully exercise their rights in all measures that will advance the work of Christ's Kingdom.

2. Willingly serve in any office or capacity for which their talents and abilities equip them. 3. Faithfully attend the meetings of the Voters Assembly. 4. Assist with diligence in administering the temporal and spiritual affairs of the Congregation. 5. Encourage eligible communicant members to seriously consider accepting the responsibilities and

privileges of voting membership by attending meetings of the Voters Assembly.

ITEM II - MEETINGS OF THE CONGREGATION

SECTION A. REGULAR MEETINGS

Regular meetings of the Voters Assembly shall be scheduled for the following months for the following purposes: 1. May Approval of the Fiscal Year Budget and Election of Officers 2. July Town Hall and Annual Report 3. January Year to date Update

Installation of officers will be at a Church service in July.

All communicant members are encouraged to attend and participate in the meetings of the Voters Assembly. Qualifications for voting membership are described in Article V, C. - Voting Membership of the Constitution. The chairman will read the voting requirements before all meetings. In addition, all voting members present will sign a voters’ attendance sheet affirming that they meet the voting qualifications.

The agenda for the meeting of the Voters Assembly shall be published and made available at the Sunday worship services preceding any Congregational meeting. SECTION B. ORDER OF BUSINESS AT REGULAR MEETINGS Regular meetings of the Voters Assembly shall follow the written policy.

An amendment to a motion will be allowed from the floor, if it is deemed proper.

In general, for purposes of order, if a difference of opinion arises over a procedural matter, the chairman has the power to rule according to Roberts Rules of Order. If the chairman is challenged in his decision, Roberts Rules of Order shall apply, but in no event shall Roberts Rules of Order supersede any provisions of the Constitution or Bylaws of the Congregation. The Voters Assembly has the right to support or overrule the chairman.

SECTION C. SPECIAL MEETINGS The chairman of the Congregation may call special meetings of the Voters Assembly at the request of: 1. The pastor(s) 2. The Governing Board 3. Any 10 members of the Voters Assembly by a written and signed request

Notice of the date, time and agenda of such a meeting shall be given at the Church services on two consecutive Sundays immediately preceding the time of the meeting. No meeting shall be called without the knowledge of the pastor(s) or the chairman of the Congregation. SECTION D. VALIDITY OF RESOLUTIONS AND SPECIAL RULES The eligible voting members (Constitution: Article V, C.) present at a properly convened meeting of the Voters Assembly shall constitute a quorum. All Congregational matters shall be decided by a simple majority vote. (Exceptions to a “simple majority vote” apply as stated in the Constitution and the Bylaws.) In the event of a tie vote, the chairman of the Congregation shall cast the deciding vote. There shall be no voting by proxy. Matters of doctrine are decided by the Word of God. SECTION E. DEFINITIONS

1. Church: includes the Congregation, school, and all sub-organizations as set forth in Article 1,

Articles of Incorporation, Not-for Profit Religious Organizations of the State of Illinois, as a tax-

exempt not-for-profit organization.

2. Congregation: all baptized and communicant members of Immanuel Evangelical Lutheran

Church, Freeport, Illinois.

3. Bulletin or Church Bulletin: the program distributed to those attending worship services.

4. Newsletter: the publication that is made available to all members of the Congregation.

5. Singular shall include the plural, where the context requires.

6. Masculine shall include the Feminine, except for pastor(s).

7. Manager: pastor(s), school administrator.

8. District: Northern Illinois District of the Lutheran Church-Missouri Synod.

9. Synod: The Lutheran Church – Missouri Synod.

10. Voters Assembly: A voting organization consisting of qualified communicant members of

Immanuel Evangelical Lutheran Church, Freeport, Illinois. This assembly has the sole

authority to regulate the spiritual and material affairs of the Congregation. See Constitution

Article V, C.

11. Two-thirds vote: two-thirds of the eligible voters present at a properly called meeting of the

Voters Assembly.

12. Simple majority vote: greater than 50% of the eligible voters present at a properly called

meeting of the Voters Assembly.

ITEM III - CHURCH ADMINISTRATION STRUCTURE

Refer to the Immanuel Policy Manual for the Organizational Chart SECTION A. OFFICERS OF THE GOVERNING BOARD The Congregation shall elect the following officers to the Governing Board of the Congregation in accordance with the Bylaws of this Constitution. These officers, in addition to a Trustee will constitute the Officers of the Governing Board. 1. Chairman of the Congregation 2. Vice Chairman SECTION B. Governing Board

The Governing Board shall consist of the Chair of the Congregation, Vice-chair, Trustee, the Board

of Elders Chair, the Treasurer, the Board of Christian Education Chair which represents both School & CCDC, and three Individuals representing the Immanuel Ministry at Large, the Congregational Secretary, and as ex-officio member, the Senior Pastor. Each will have equal voting rights with the exception of the

Senior Pastor and Congregational Secretary. Two-thirds of the voting Governing Board membership shall

constitute a quorum.

1. The Governing Board shall be responsible for presenting to the Congregation all complete

programs/motions for ministry of Immanuel. 2. The Governing Board shall handle the affairs of the Congregation except items required to be handled

by the Voters Assembly as noted in the Constitution and Bylaws. 3. The Governing Board shall meet monthly. Additional meetings may be called as set forth in Item III,

Section E. SECTION C. ELECTION

1. TIME

Officers, and any other elected positions, along with synodical and alternate delegates of the Congregation shall be elected in the May meeting of the Voters Assembly. They shall assume the responsibilities of their office upon being installed at the Church services in July.

2. ELECTION PROCEDURE All officers shall be elected first, followed by the election of the directors and synodical delegate and

alternate delegate. All electives, even if there is only one candidate, shall be chosen by written ballot, printed, typed or written. To be declared elected, a candidate must receive a simple majority vote.

3. TERMS OF OFFICE

a. GOVERNING BOARD AND OTHER ELECTED POSITIONS

See Duty Roster (Exhibit A) in Policy Manual. b. VACANCIES

Vacancies of officers or directors may be filled by appointment of the chairman with the approval of the Governing Board and Voter’s Assembly. The appointee shall serve the remainder of the vacant term.

In case of the vacancy of the chairman, the vice-chairman shall succeed him. c. REMOVAL OF OFFICERS, OTHER ELECTED POSITIONS AND TRUSTEES Any individual whose communicant membership in the Congregation is terminated for any reason shall automatically forfeit any office to which he has been elected or appointed. Any officer, director or Trustee of the Congregation, whether elected or appointed, who is charged with willful neglect of duty, or non-attendance, or for gross malfeasance in office shall be investigated by the Governing Board. Should the charge(s) be clearly and convincingly substantiated, he shall be given the opportunity to resign his office. If he refuses to resign, he may be removed by a simple majority vote at a regular or special meeting of the Voters Assembly.

SECTION D. NOMINATIONS 1. THE NOMINATING COMMITTEE

The nominating committee shall be made up of selected Governing Board members whose terms do not expire at the end of the current year. This committee shall be formed in the January Governing Board meeting. The chairman of the Congregation shall appoint the chairman of this committee.

2. ELIGIBILITY OF CANDIDATES The nominating committee shall draw up a slate of candidates for all offices needing to be filled,

including the officers of the Congregation, and other elected positions whose terms will expire, as well as the synodical delegate and alternate delegate. Any communicant member of the Congregation who

is 18 years of age or over shall be eligible for nomination. 3. NOMINATING PROCEDURES

Communicant members should submit suggested candidates for office to the nominating committee. All of these suggestions shall be carefully considered along with the committee’s recommendations in drawing up a slate of candidates. The nominating committee shall be required to determine an individual's willingness to serve before placing his name on the slate of candidates. The slate of candidates shall be published for the entire Congregation no later than the Sunday before the May meeting of the Voters Assembly.

SECTION E. BOARD MEETINGS

The Governing board may call special meetings. Notice of meetings shall be reported in the Sunday bulletin. All Governing board meetings will be “open” to the membership except for closed sessions. A session may be established as closed only when it relates to personnel discussions. SECTION F. AUTHORITY Elected officers to the Governing Board shall have such authority as is delegated to them by the Chairman of the Congregational, the Governing Board, the Voters Assembly or the Constitution and Bylaws. No authority may be assumed, granted or taken which is inconsistent with the Constitution or Bylaws of the Congregation. The Governing Board will resolve all duty conflicts. SECTION G. BOARD MEMBERS The chair of the Board of Elders and the Board of Christian Education shall submit their board and committee membership for approval at the first regular Governing board meeting of the fiscal year. These members shall have full voting privileges in their respective board meetings. SECTION H QUORUM A quorum for the transaction of business in any board meeting shall be greater than 50 percent of the board members. SECTION I. LOANS, MORTGAGES, CONTRACTS The Governing Board shall not obligate the Congregation with loans, mortgages or contracts without authority of the Voters Assembly. A Trustee must sign all loans, mortgages, and contracts after approval by motion and kept in Trustee board minutes.

ITEM IV – DUTIES OF THE OFFICERS AND GOVERNING BOARD

SECTION A. DUTIES OF THE GOVERNING BOARD

The Governing Board shall: 1. Discuss, evaluate, and coordinate the programs of Immanuel Lutheran. 2. Determine the motions for regular meetings of the Voters Assembly and see that these motions are

published as required in the Bylaws. (Item II, Section A)

3. If necessary, approve outside contract services contingent upon Congregational approval. 4. Be available at all times to perform any additional functions, which may be conferred upon it by the

Voters Assembly. 5. Annually evaluate the policies and procedures of Immanuel Lutheran and determine their compliance

and effectiveness. 6. Approve annual housing allowances and record in the meeting minutes. 7. Investigate & resolve any charges raised against the pastor(s) and others in a timely manner.

(Constitution Article VIII) In case of a conflict of interest, the interested Governing Board member shall recuse himself from the proceedings.

SECTION B. DUTIES OF THE CHAIRMAN OF THE CONGREGATION The Chairman shall: 1. Preside at all meetings of the Governing Board and the Voters Assembly. In such capacity, he shall

enforce the Constitution and Bylaws of the Congregation & Policy Manual and see that all such meetings are conducted with respect and order. (I Corinthians 14:40)

2. Formulate an orderly agenda, which he will follow in conducting each meeting of the Governing Board, in consultation with the pastor(s).

3. In consultation with the Governing Board, follow the agenda for each meeting of the Voters Assembly. 4. Be responsible for seeing that all resolutions of the Voters Assembly are carried out and that all officers,

boards, and committees carry out their functions as prescribed by the Duty Roster (Policy Manual Exhibit B) and their respective job descriptions as set forth in the Policy Manual.

5. Serve as an ex-officio member of any board or committee and attend the meetings of such groups, either in person or as represented by the vice-chairman, as necessary, or at the request of the Congregation, board, committee, or Senior Pastor. In such capacity, he shall serve as a resource person to the boards and committees.

6. Call special meetings of the Voters Assembly, as necessary, at the request of the pastor, Governing Board, or any 10 members of the Voters Assembly.

7. Call special meetings of the Governing Board, as necessary, at the request of a Governing Board member or the Senior Pastor.

8. Cast the deciding vote in the event of a tie in any meetings of the Governing Board and Voters Assembly.

9. Appoint members of special committees according to the directives of the Voters Assembly. 10. Meet at least once each month with the Senior Pastor to review past, as well as current, efforts and to

coordinate future plans. 11. Appoint all vacancies of the Governing Board with approval of the Governing Board and Voters

Assembly. 12. Appoint a parliamentarian to:

a. When requested, provide a copy of the Constitution and Bylaws to the Congregation. b. Assist the chairman of the Congregation with the proper Constitutional and Bylaw procedures

when requested. c. Advise the chairman on the proper parliamentary procedures as set forth in Roberts Rules of

Order. 13. In consultation with the Governing Board and Board of Elders, regularly evaluate and encourage the

Pastor in his ministry and also provide a written annual review. SECTION C. DUTIES OF THE VICE CHAIRMAN

The Vice-Chairman shall: 1. Function in the stead of the chairman in case of his absence or inability to function. 2. Serve as the appointed representative of the chairman at the meetings of any boards or committees

according to his request. In such capacity he shall serve as a resource person to the boards and committees and shall report to the chairman on the activities of such groups.

3. Perform any other functions delegated to him by the chairman of the Congregation. 4. Serve as contact between the Governing Board & Personnel Advisors when needed and according to

the Policy Manual guidelines.

SECTION D. DUTIES OF THE TREASURER The Treasurer shall: 1. Provide proper and accurate records of all transactions for budget reports to the Church Council

Governing Board and Voters Assembly. 2. Authorize issuance of checks in payment of accounts by authority of the Voters Assembly and in

compliance with the budget adopted by the Congregation. 3. Comply with all local, state and federal laws applicable to the Congregation concerning minimum

wages, withholding, and records of hourly wages and other required reports. 4. Make all records available for financial review. 5. Retain all financial records, in accordance with IRS regulations and the Document retention policy

established in the Policy Manual.

6. Develop and maintain prudent financial and transactional controls for the operating budget in

accordance with generally accepted accounting principles and all regulations.

7. Guide the Finance Committee in meeting their responsibilities outlined in the Policy Manual.

ITEM V – DUTIES OF THE BOARDS SECTION A. DUTIES OF THE BOARD OF CHRISTIAN EDUCATION The Board of Christian Education shall: 1. Be responsible for the Christian education and growth of Immanuel’s Education Centers. 2. Establish and evaluate objectives, goals, and policies by which Immanuel’s Education Centers. 3. Maintain the highest standards of religious education. Meet the requirements of local, state, and federal

regulations.

4. Provide consultation to the Senior Pastor regarding annual evaluations and encouragement of the

ministry of the educational administrator(s).

SECTION B. DUTIES OF THE BOARD OF ELDERS The Board of Elders shall: 1. Exercise care that pure doctrine is taught and maintained in the Congregation. 2. Be alert to the spiritual health and welfare, as well as special needs, of individuals in the Congregation. 3. Oversee all confirmation programs. In conference with the pastor(s), determine the eligibility for

communicant membership and recommend to the Voters Assembly at the January meeting for reception into communicant membership. (Constitution Article V, B. & B.1)

4. Assist the pastor(s) with baptism, communion, reading of Scripture, and other aspects of public worship. 5. Provide pulpit assistance for special occasions, emergencies, or vacancies. 6. Annually evaluate and encourage the ministry of the pastor(s) and recommend to the Governing Board

any suggested change(s) in salaries and benefits. 7. Assist the pastor(s) in finding peaceful, God-pleasing solutions to problems within the Congregation. 8. Investigate (in conjunction with the Governing Board Chair and determine the validity of any charges

raised against the pastor(s), and other synodically trained staff, or Congregational officers. (Article VIII) In case of a conflict of interest, the interested Elder or Governing Board Chair shall recuse himself from the proceedings.

9. Assist the pastor(s) in applying the Word of God in teaching and admonishing the indifferent and erring. Guide the Congregation in the exercise of Church discipline.

10. Monitor member attendance records as set forth in Constitution Article VI, E. 11. Exercise leadership when calling (a) pastor(s). (Constitution Article VIII, A.) 12. Provide oversight to committees and teams that impact the Spiritual growth of Immanuel.

ITEM VI - BOARD OF TRUSTEES

SECTION A. OFFICERS

The Board of Trustees (“Trustees”) shall consist of four officers with equal voting privileges. 1. President 2. Vice president 3. Secretary 4. Treasurer

SECTION B. AUTHORITY 1. GENERAL

The Trustees shall have the care, custody, and control of the property of the Congregation, subject to the direction of the Congregation. The Trustees shall have all such powers of trustees of religious corporations set forth under the laws of the State of Illinois as provided in Illinois Compiled Statutes, Chapter

760, Trusts and Fiduciaries, (760 ILLINOIS COMPILED STATUTES) as hereinafter from time to time

amended.

The Trustees shall also provide oversight and input to committees and teams that impact the financial growth of Immanuel.

2. DOCUMENTS

The Trustees shall sign documents as directed by the Congregation, subject to verification of documentation by the Trustees. The Trustees may also sign any documents on behalf of the various boards and committees, as requested. 3. CONGREGATIONAL FUNDS AND GIFTS

The Trustees shall administer all special gifts, grants, devises, bequests, trusts, endowments, etc., entrusted to them by the Congregation, in accordance with the wishes of the donor. SECTION C. POWERS

The Trustees shall have such powers and duties as entrusted to them by the laws of the State of Illinois and the Constitution and Bylaws of the Congregation. SECTION D. NOMINATION AND APPROVAL OF TRUSTEE APPOINTMENTS

With the approval of the Voters Assembly, the chairman of the Congregation shall appoint a nominating committee composed of three past Congregational chairmen, in good standing, for the purpose of nominating Trustees for appointment. The nominating committee, current Trustees, and pastor(s) will interview each candidate.

The name of the nominee shall be published in the bulletin for two consecutive Sundays prior to the May meeting of the Voters Assembly. At the May meeting of the Voters Assembly, the voters shall select the Trustee by written ballot, with a simple majority vote required. Trustee installation will occur with the installation of Church officers or at any special installation service. Vacancies are appointed in the same manner, with the nominee filling the remainder of the vacant Trustee’s term. A vacancy appointment may be approved at any regular or special meeting of the Voters Assembly.

Trustee’s terms will run six years without restriction of terms SECTION E. INVESTMENT OF FUNDS The Trustees shall have full authority and responsibility for the investment of any funds or assets in their custody and control under Item VI, Section B of these Bylaws and the investment of any other funds that the Congregation may entrust to them. They shall endeavor to maintain a high level of all investments commensurate with sound investment principles. (760 ILLINOIS COMPILED STATUTES) 1. PROFESSIONAL COUNSELING

The Trustees shall seek and obtain professional legal, investment, and counseling advice as they deem in the best interest of the donor and the Congregation. The Trustees shall pay for the professional services rendered from the funds under their custody and control.

2. TRUST OFFICER OR TRUST DEPARTMENT

Any time the Congregation or the Trustees have reason to believe that the Congregation’s or the donor’s best interests can be served better by having a trust officer or trust department manage the funds and securities (under the control of the Trustees), it may do so by proper resolution of the Congregation.

The Trustees shall continue to have the responsibility of representing the Congregation with such trust officer or trust department. All expense of such trust officer or trust department shall be paid out of the funds under their custody and control, as approved by the Trustees. SECTION F. RESTRICTED AUTHORITY The Trustees shall not have any authority or take any action that will defeat or destroy the effect of any special gifts, grants, devises, bequests, trusts, or endowments, etc. made to the Congregation and entrusted to the Trustees.

SECTION G. FUNDS AND SECURITIES 1. FUNDS The Trustees shall execute the depository agreement required by any institution in which any two Trustees shall be authorized to withdraw funds. The Trustees shall be responsible for depositing all funds in appropriate accounts commensurate with 760 ILLINOIS COMPILED STATUTES

2. SECURITIES

The Trustees shall be responsible for the safekeeping of all securities, notes, contracts, mortgages, deeds, abstracts, insurance policies and such other valuable papers, which are the property of the Congregation, as outlined in the Document Retention Schedule. SECTION I. REMOVAL OF TRUSTEE(S)

The Congregation through the Officers of the Governing may remove a trustee from office based upon clear and convincing evidence when the best interest of the Congregation may be better served. The Officers of the Governing Board shall take necessary steps to remove a Trustee for gross malfeasance in office pursuant to Item III, Section C,3,b. SECTION J. DURATION OF CONGREGATIONAL FUNDS

The Immanuel Evangelical Lutheran Church Congregational funds shall continue in existence and shall be used as provided, unless earlier revoked, so long as Immanuel Evangelical Lutheran Church shall continue to exist. If Immanuel Evangelical Lutheran Church ceases to exist, the assets constituting the Congregational funds shall become the property of the district in which the Congregation was a member at the time of dissolution. However, any and all assets in funds subject to special conditions and restrictions shall continue to be subject to the conditions and restrictions that were part of the gift or bequest at the time it was given to Immanuel Lutheran Church. SECTION K. REPORTS BY TRUSTEES The Trustees shall report to the Voters Assembly all income, disbursements, and balance on hand. They shall give a comprehensive report to the members in the meeting of the Voters Assembly. The Voters Assembly may call for an interim report at any time. SECTION L. DESTRUCTION OF RECORDS The Trustees shall follow the Document Retention Schedule as noted in the Trustee policy manual.

ITEM VII - ESTABLISHING A MEMORIAL FOR IMMANUEL LUTHERAN CHURCH

Please contact the Board of Trustees and/or a member of the memorial committee for help in establishing a memorial for Immanuel Lutheran Church.

ITEM VIII - SYNODICAL DELEGATE AND ALTERNATE DELEGATE

The synodical delegate and the alternate delegate shall be nominated and elected in the May

meeting of the Voters Assembly. They shall serve a term of two years. The delegate will be elected in the odd-ending year and the alternate delegate will be elected in the even-ending year.

ITEM IX - THE OFFICE OF THE PASTOR

SECTION A- DUTIES OF THE PASTOR The pastor(s) shall: 1. Exercise the Office of the Keys by preaching the Word of God in its truth and purity according to the

Symbolical Books of the Lutheran Church, administer the Holy Sacraments according to Christ's

institution, and exercise the power to forgive and retain sins in the stead, and by the command of our Lord, Jesus Christ.

2. Supervise all acts of public worship so that they may be in accord with the doctrine and practice of the Lutheran Church and give all glory to God alone.

3. Encourage and provide leadership to the Congregation in its task of Gospel outreach to the community and the world.

4. Instruct all members of the Congregation to grasp and fulfill the mission of the Church by enabling them to see their own gifts for ministry and equipping them to use these gifts to carry out their role in the work of the Church

5. Apply the Word of God in teaching and admonishing the indifferent and erring. 6. Comfort individual members of the Congregation and visit the sick and shut-ins. Minister to all the

members, as their specific needs may require. 7. Guide the Congregation in the exercise of Church discipline. 8. Perform official acts such as baptisms, confirmations, weddings, and funerals for members of the

Congregation and other believers who have come under his ministry. Oversee that accurate records are kept of all official acts in the Congregation as well as records of membership, attendance and participation in the Lord's Supper.

9. Instruct youth and adults in the chief parts of Christian doctrine according to Luther’s Small Catechism and guard their spiritual welfare during their preparation for the reception of Holy Communion.

10. Assist in the programs of Christian education within the Congregation and in the training of the teachers who serve in those programs through direct leadership of their administrators.

11. Provide spiritual leadership and oversight in the various youth and adult organizations within the Congregation.

12. Exercise the privileges of attending any and all meetings of any boards, or committees as time permits or his guidance is needed. He shall be considered an ex-officio member.

13. Set a good example for the Congregation by living a Christian life and representing the Congregation to the community in a positive manner.

14. Perform faithfully all other duties of the ministry and, by the grace of God, do everything possible within the sphere of his calling toward the up building of the Congregation and the advancement of the Kingdom of God both locally and in the church-at-large.

15. Manage and direct his staff to help spread the word of God, strengthen the services of the church, and service the needs of the membership of this Congregation.

SECTION B. – RESPONSIBILITIES OF THE SENIOR PASTOR’S STAFF

The Senior Pastor’s staff shall: 1. Report and be responsible to the Senior Pastor. 2. Recognize spiritual responsibility of the children, teaching staff, parents, elderly and the Congregation

by living closely with Christ through prayer, study of God's word, church attendance, and communion. 3. Be responsible for executing policies adopted by the Pastor, the Board of Elders and the Congregation. 4. Assist the Pastor and the various Boards and Committees in the development of sound religious and

educational policies and services. 5. Assist the Pastor in calling on the elderly, hospitalized, newcomers to Immanuel and the homebound. 6. Assist the Pastor with the implementation of all special Church programs, 7. Assist the day school in religious services, projects and co-curricular activities. 8. If requested by the Pastor, represent the Pastor’s needs and interests before the various Boards and

Committees, the Governing Board and the Congregation. 9. Assist in the development, coordination and promotion of special events, activities, and programs to

welcome and integrate youth, confirmands and their parents into the ministry and worship life of the youth group.

10. Assist the Worship Committee, elders, ushers, and pastor(s) to involve the youth in worship services. 11. Assist in the development and recommendation of appropriate programs from District, Synod, and other

sources to the various boards and Committees for use in the Church. 12. Set a good example for the Congregation, school and community by living a Christian life. Represent

the Congregation and school to the community in a Christian manner.

SECTION A. STANDING COMMITTEES

The Congregational chairman may form standing committees at any time; the Governing Board by means of a simple majority vote approves membership. Standing committees shall exist until they are disbanded by a resolution of the Governing Board.

SECTION B. SPECIAL COMMITTEES

The chairman of the Congregation, Governing Board, or Voters Assembly may form special committees by means of a simple majority vote. Such committees shall exist only until the specific task assigned to them has been completed, at which time the committee shall report to the Voters Assembly that such is the case and it is disbanded. Members of special committees shall be appointed by the chairman of the Congregation at the time of the formation of such committees, or at any other time when a vacancy may occur. All minutes from all special committees will be submitted to the Congregational Secretary upon completion of the specific task.

ITEM XI - FINANCIAL REVIEW AND BONDING

SECTION A. FINANCIAL REVIEW

The accounts and records of the treasurer, financial secretary, Board of Trustees, Sunday School, social organizations, all committees and any other person responsible for funds of the Congregation shall be reviewed annually in either of two ways: 1. By a financial review committee appointed by the Governing Board and approved by the Voters

Assembly. 2. By an audit performed by a Certified Public Accountant approved by the Voters Assembly. Special or

additional audits may be made as deemed necessary by the Voters Assembly. SECTION B. BONDING The Voters Assembly may, at any time, require a bond of any person responsible for funds of the Congregation and the Congregation shall pay the cost of the bond.

ITEM XIII – MISCELLANEOUS

SECTION A. ORGANIZATIONS WITHIN THE CONGREGATION No social, ministerial, fellowship, Bible Study group, or outreach organization shall be formed under the name of Immanuel Lutheran, Freeport IL, without express approval of the Congregation in a meeting of the Board of Elders and approved by the Governing Board. Such organizations shall not tolerate anything that conflicts with the Word of God, the Constitution or the Bylaws of the Congregation. The organization shall be privileged to receive and disburse its own funds, but shall never incur any expense or indebtedness that would reflect adversely on the Congregation. All records of such organizations, to include meeting minutes and financial records, are property of the Congregation and must be reported to the Board of Elders and / or the Trustees for accountability purposes.

Upon request, each organization shall report to the Governing Board the net balance on hand so that the figures can be included in determining the net worth of Immanuel Lutheran Congregation. SECTION B. SOLICITATION WITHIN THE CONGREGATION Solicitation of the membership of the Congregation, for any purpose, shall not be permitted without the express approval of the Governing Board. Fundraisers shall have a purpose that falls within Christian values and witness. Solicitation of the Congregation will not be allowed for games of chance, wagers, or bingo. SECTION C. CONFLICT OF INTEREST Any conflict of interest on the part of any officer of the Congregation or any member of the Governing Board shall immediately be disclosed to the other officers and members. The minutes of the meeting shall reflect such disclosure. The member may discuss the subject matter, but he shall not have a vote on the issue(s) nor shall his attendance be counted in the quorum and the minutes shall so reflect. This provision has nothing to do with differences of opinion on doctrinal matter, or when there is an issue involving Church discipline.

ITEM XIV - AMENDMENTS TO THE BYLAWS

These Bylaws may be changed or amended by a two-thirds vote of the eligible voting members present at a properly convened meeting of the Voters Assembly.

All proposed amendments to the Bylaws must be published at least two Sundays prior to the date upon which the proposed amendment(s) will be voted on.

The present wording as well as the proposed wording of the Bylaws must be presented in writing to those in attendance at the meeting.

The revised constitution and bylaws shall, as a condition of continued membership in good standing in The Lutheran Church—Missouri Synod, be submitted to the president of the district for review by the district’s constitution committee and favorable action by the district’s board of directors before being adopted by the congregation.

ITEM XV – OUTCOME POLICY MANUAL AND OTHER POLICIES

An operations procedure manual detailing specific procedures will be maintained. Any policy/procedural changes must be reported to and approved by the Governing Board prior to their taking effect. The Governing Board shall review these policies and procedures on an annual basis for compliance and effectiveness. (Exhibit A – Operational Procedures & Policy Manuals) A list of all operation procedure manuals along with the issue number and effective date will be maintained with the Policy Manual for Immanuel Lutheran, Freeport, IL.
