1) ADVERTISING: Advertiser agrees to a minimum of _____________ inches, ____________ preprints, or __________ online per ___________ or to spend ____________ per year. For which the effect term and rates stated below apply.

2) TERM: The term of this agreement shall be _____________________________________ from the date of ____________________.

3) RATE CARD: The terms and conditions of the Newspaper’s rate card, a copy of which is available to the advertiser, are incorporated herein by reference. In the event that any terms or conditions of the rate card confl ict with the terms of this Agreement, the terms of this Agreement shall govern. The newspaper may revise its advertising rates at any time upon 30 days written notice to Advertiser, and Advertiser may, without penalty, cancel this Agreement at any time prior to the time the new rates become effective upon prior written notice to the Newspaper. The cancellation option applies if the Advertisers is trending to fulfi ll their contractual agreement.

4) PAYMENT FOR ADVERTISING: Advertiser shall pay for the advertising purchased under this Agreement according to 30 day net terms. In the event that the advertiser fails to make timely payment as provided for the invoices, the Newspaper may reject advertising copy and/or immediately cancel this agreement, and Advertisers agrees to indemnify the Newspaper for all expenses incurred in connections with collection of amount payable under this agreement, including court costs and attorney’s fees. If this agreement is canceled due to Advertiser’s failure to make timely payment, the Newspaper my re-bill the Advertiser for the outstanding balance due at the open or earned contract rate on the applicable rate card.

5) INCORRECT RATES IN ORDER FORMS: When orders are forwarded by Advertiser or its Agency which contain incorrect rates or conditions, the advertising called for will be inserted and charged at the correct rate in force governing such advertising, as may be revised pursuant to Paragraph (4) above, and in accordance with the condition contained herein. Incorrect billing must be resolved within 90 days of insertion.

6) EARNED RATE ADJUSTMENT: If at the end of this agreement, the Advertiser has failed to place the minimum advertising stated in the fi rst paragraph above, to the extent that a different rate would be applicable for the advertising already placed according to the Newspaper’s current rate schedule, the Advertiser’s Rate for all space used during the year shall be changed to the appropriate rate indicated on said rate card, and Advertiser shall pay for the difference.

7) ENTIRE AGREEMENT: This agreement and the rate card applicable this date constitute the complete understanding of the parities and supersedes all prior agreements, understanding, negotiations and/or arrangements between the parties and cannot be amended except in writing and signed by both parties. This Agreement shall be governed by and construed in accordance with the laws in the Sate of Georgia.8) ONLINE DELIVERY: The software used to schedule and track impressions is set to deliver impressions within a standard margin of error. Completed campaigns which have delivered within a seven percent margin (i.e., + or -) will be considered to have been delivered in full. In addition, when advertisers run multiple online impression based campaigns during a month, the combined total number of impressions delivered for a given ad type will be compared to the total number of online impressions ordered to determine if ordered impressions have been fulfi lled.In Witness Whereof, duly authorized representatives of the parties have executed the Agreement as of the date noted above.

POLICYJoint and Several Liability: If advertiser utilized an agency (“Agency”), Advertiser and Agency shall be jointly and severally liable for complying with all the terms of the advertising Agreement and rate card.No Sequential Liability: The advertising Agreement renders void any statements concerning liability which appear on correspondence from Agency/Advertiser and the agreement is binding without the written consent of the Newspaper’s Credit Department. It is further agreed that the Newspaper does not accept advertising orders or space reservations claiming sequential liability.Typographical errors, incorrect insertions or omissions: The advertising Agreement cannot be invalid for typographical errors, incorrect insertions or omissions in advertising published. The Newspaper agrees to run a corrective advertisement for the portion of the fi rst insertions which may have been

rendered valueless by such typographical error, wrong insertion or omission. Advertiser shall notify the Newspaper of such errors in time for correction before the second insertion. The newspaper shall not be otherwise liable to Advertiser for any other loss or damage that results from the incorrect publication for omission of its advertisement.Indemnifi cation: Advertiser agrees to indemnify, defend and hold harmless the Newspaper from all claims (whether valid or invalid), suits, judgments, proceedings, losses, damages, costs and expenses of any nature whatsoever (including reasonable attorney’s fees) for which the Newspaper or any of its affi liates may become liable by reason of Newspaper’s publication of Advertiser’s advertising.Ownership of Advertising Copy: All advertising copy which represents the creative effort of the Newspaper and/or the utilization of creativity, illustrations, labor,

composition or material furnished by it, is and remains the property of the Newspaper, including all rights and copyright therein. Advertiser understands and agrees that it cannot authorize photographic or other reproduction, in whole or in part, of any such advertising copy for use in any other medium without the Newspaper’s prior written consent.Taxes: In the event that any federal, state or local taxes are imposed on the printing of advertising material or on the sale of advertising space, such taxes shall be billed to and paid by the Advertiser.Assignment: Advertising agreements may not be assigned or transferred by Advertiser without written consent of the Newspaper.Credit Check: An advertising Agreement is subject to a satisfactory credit check on Advertiser and/or Agency.

A maximum of two proofs of advertisements, 6 column inches or larger are provided for correction purposes only. All proofs must be returned within four hours of proof-out.

Tear sheets are delivered electronically and can be sent as ads run or at the end of the month. Newsprint tear sheets can be provided at a cost of 25 cents each. Speak to account representative for additional details.

Design services including the use of clipart are provided at no charge to our advertisers. There is a $50 charge per hour for custom services such as original illustrations, logo design and other special requests.

Standard page requirements:The Augusta Chronicle is published by the offset method. 85 line screen - black and white; 100 line screen - color. There are six columns per page. Page depth is 21.25”. Full page layout size is 11.625” x 21.25”.

FILE FORMAT The preferred fi le format for a camera-ready advertisemtn is an Acrobat PDF with all fonts and graphics embedded. This ensures top quality. You may send native fi les in Quark Xpress or Adove InDesign, provided you include all supporting art fi les and all fonts. All layout fi les and art must use Grayscale or CMYK colors - NO PANTONE OR SPOT COLORS.

Ads can be delivered electorinically to The Augusta Chronicle in a variety of ways. The preferred vehicle of delivery is via The Augusta Chronicle FTP (File Transfer Protocol) site. This provides the quickest, most reliable vehicle of delivery. You may send PDFs of all native fi les and fonts via FTP (you will need to have software that can access an FTP site). Please contact you sales rep to set up an individual customer account. PDFs mas also be sent via ad delivery services such as AP, Adsend, Fastchannel, or Ad Direct. Ads may also be sent by email, provided the fi le size is less than 2.5 MB. This is the least reliable vehicle, as there are many factors that may disrupt the delivery on an email. If you use a compression program, please make ure that it can be decompressed using Stuffi t Expander or is saved as a SEA (Self Expanding Archive). Additionally, ads may be sent on CD-ROM. Please notify your account representative prior to transmission. The following information should be supplied with each ad that is submitted: Advertiser name, run date, ad size, fi le name, software/version, and black-and-white or color.
