NOTICE INVITING APPLICATIONS (NIA) FOR

EMPANELMENT OF EXPERIENCED AND CAPABLE PARTIES FOR EPC AND SUBSEQUENT O&M OF PV BASED SOLAR POWER PLANTS

1.0 THDC India limited (THDCIL) is a Joint Venture of Govt. of India and Govt. of Uttar Pradesh. The Equity is shared in the ratio of 75:25 between GoI and GoUP for the Power Component. The Company was incorporated in July’ 88 to develop, operate & maintain the 2400 MW Tehri Hydro Power Complex and other hydro projects. The Company has an authorised share capital of `4000 cr. THDCIL is a Mini Ratna Category-I and Schedule ‘A’ CPSE. Total installed capacity of THDCIL presently is 1,440 MW. THDCIL has three generating stations namely Tehri Stage-I (4x250 MW), Koteshwar HEP (4x100 MW) and Wind Power Project (50 MW) . THDCIL has now grown to a multi project organization having 14 projects totalling to a capacity of 6071 MW under various stages of implementation / development in Uttarakhand, UP, Maharashtra, Gujarat and Bhutan. Towards diversification of the company into Renewable Energy areas, THDCIL has successfully commissioned a 50 MW capacity Wind Power Project at Patan Wind Park, Gujarat. THDCIL has signed MoU with Solar Energy Corporation of India (SECI) for setting up Grid Connected Solar Power Projects up to 250 MW capacity. THDCIL has also signed a tripartite agreement with SECI and Kerala State Electricity Board for development of 50 MW Solar project in Distt. Kasaragod, Kerala and same is under tendering process by SECI. THDC India Ltd. intends to empanel capable parties for EPC and O&M of PV based Solar Power Project(s) to enable the organization to setup the Solar PV Projects on the land banks available with EPC contractor or with THDCIL/ procured through leased agreements and/or participation in the upcoming competitive bidding opportunities (in Solar Park or Non-Solar Park) for Open/Domestic Content Requirement (DCR) category invited by various states/organizations on competitive/preferential tariff based PPA. The enlistment will be done in following two categories:

a) ‘Category A’- Above 25 MW and upto 50 MW, b) ‘Category B’ - Above 50 MW

All above Capacity in MW is of AC.

All parties meeting the eligibility and qualifying after applying evaluation criteria as detailed in NIA will be empanelled/enlisted for that particular category and thereafter would be eligible to participate in the tenders to be floated by THDCIL under that category in future, i.e. for the tenders of development of Solar PV Project as EPC contract with O&M or any other mode of development of Solar PV Power Projects.

In addition to above such empanelled/enlisted parties will also be eligible to participate (up to the limit of their capacity as per enlistment) in the bidding by THDCIL for price discovery before participating in competitive bidding process of Solar PV Projects invited by third parties offering PPA. THDCIL will give an opportunity to the empanelled parties of the relevant category and would obtain techno-commercial & price quotes for specific tender. Based on such quotes received via tendering, THDCIL will determine the lowest evaluated bidder, on whose basis and with internal strategy of THDCIL, will bid in the competitive process.

In case THDCIL wins in the competitive bid process, the lowest evaluated Bidder will be awarded the EPC contract. Accordingly, THDCIL invites online applications in SINGLE STAGE, ONE PART BIDDING SYSTEM from prospective and experienced parties (“Applicant(s)”) for EPC and O&M of Solar Power Plants in accordance with the terms & conditions stipulated in the detailed NIA and Instructions to Applicant(s).

3.0 Post Empanelment Scope of Empanelled Party

The brief scope of the Empanelled Party/firm shall be as follows: 3.1 Finalization of Project technical details as per THDCIL Bid documents, system design

and technical specifications: Type of solar cell, technology, arrangement / facility, layout of the array, comparison of different types of accessories and recommendations, area requirement and plant layout.

3.2 Preparation and submission of the design basis report, project technical specifications, all related project and power evacuation drawings, bill of quantity of the prospective Project.

3.3 Design, Engineering, Manufacture, Assembly, Inspection, Testing at manufacturer’s works before dispatch; packing, supply, delivery at site, unloading, subsequent storage, erection and commissioning and testing at site; including insurance during transit and storage of PV Project along with Solar PV Modules, Inverters and Power Conditioning Units, DC and AC Circuit Breaker, distribution boards (AC and DC), cable, combiner box, distribution transformer and associated work including protection and measuring arrangements etc.

3.4 All associated electrical works required for interfacing with grid (i.e. transformer (s), breakers, isolators, panels, protection system, cables/overhead line, equipment associated to metering and earthing).

3.5 Land Arrangement : In case the bidder has land bank available, the bidder shall have any of the following arrangement for having land with clear title and free from all encumbrances, charges, liens, encroachments or litigation and not subject matter of acquisition for any other purpose:- a) The bidder already having possession of land in record of rights in his own name: b) The bidder already having agreement duly notarized with a third party (an individual or company) who is / are already having possession of land in his / their own name. c) In case of Government land, bidder already having allotment letter of the land for setting up of Solar Power project thereon, in bidder’s own name or in the name of third party (an individual or company) by the competent authority:

3.6 All associated civil engineering works including design and:

(i) Site survey, soil investigation, Geotechnical Studies. (ii) Earthwork for Site grading, cutting, filling, levelling & compacting (iii) Construction of foundation & mounting structures for SPV panels, cable

trenches for HT & LT control and other cables, transformer foundations, substation equipment foundation, PCU foundation, earth pits, fencing of SPV plant with security gate (s) & cabin (s), and CCTV installation.

(iv) Construction of Equipment room, Battery & battery charger room, Office cum Control room, store, pantry, WC etc.

(v) Arrangement of permanent water supply for daily usage, storage and module washing including supply and installation of module washing system.

(vi) Construction of Storm water drainage & sewage network

(vii) Construction of Approach Road to plant from main Road and road network within plant for easy access to main locations

(viii) Erection of Street lighting and area lighting within plant 3.7 Providing SCADA system and solar radiation and weather monitoring system within

plant for information and control of required parameters. 3.8 Clearances:

Adherence to regulations (State & Central) and requirements for statutory approvals required for the Solar Plant.

3.9 Installation and commissioning: (i) Supply and installation of Crystalline Silicon PV modules with Junction

Boxes (JBs), support structure, interconnecting wiring/ cabling, etc. (ii) Supply and installation of Power Conditioning Units including JBs,

Inverters/ PCU complying with the latest CEA grid connectivity regulation, DC and AC circuit breaker(s).

(iii) Implementing operating norms, control systems, scheme for best power evacuation, and schematic diagram for power evacuation, back up arrangement.

(iv) Furnishing details on expected efficiency and Capacity Utilisation Factor (CUF) /Plant Load Factor (“PLF”), overload capacity etc, life of the project, maintenance schedule with major O & M activities. These parameters committed upfront would have to be agreed post bid as well in project execution.

(v) Preparation of road map / action plan for implementation of the project from closure of DPR till commissioning and commencing power distribution and implementation of the schedule post approval from THDCIL.

(vi) Obtain Work completion certificate/ all clearances from Electrical Inspectorate and other agencies as required.

(vii) Preparation and submission of plant technical manual and user Operation and Maintenance manual for THDCIL’s approval.

(viii) Commissioning of the plant to its full capacity, delivering the power to STU/CTU.

3.10 Arranging signing of Power Purchase Agreement (PPA) for THDCIL with State Power utility as per the applicable tariff.

3.11 Post commissioning:

(i) Comprehensive Operation & Maintenance of Solar PV Power Plant along with electrical equipment, consumables and spare parts for a period of Five (5)/Ten (10) years from the date of operational acceptance.

(ii) Warranty support to THDCIL for all supplied items. (iii) Performance warranty of the plant for THDCIL as per the bid requirements

and industry best practices. 3.12 Other works:

(iv) Any other works not specifically mentioned but are required to complete the Project.

(v) Any other conditions specified in the Tender Document for specific Solar PV Project opportunity.

(vi) Scope of work and nature of work is indicative only, however THDCIL reserves the right to modify/ amend scope/nature of work in calling for tenders post empanelment of Applicants.

Post empanelment scope for the empanelled parties/firms as detailed out above is generalized and indicative only. However, the scope of work for a specific Solar PV Project, will be provided in the Tender to be invited in future and which shall prevail.

4.0 GENERAL ELIGIBILITY CRITERIA AND PRE-QUALIFICATION

REQUIREMENTS FOR APPLICANT(S) 4.1 General Eligibility Criteria This invitation for NIA is open to all eligible Applicants meeting the eligibility criteria set forth in this document hereinafter.

4.1.1 The Applicant shall be a private, public or government owned legal entity or any

combination of them in the form of association (s) including Joint Venture (JV)/Consortium under an agreement and engaged in the business of Solar Power. A copy of certificate of incorporation shall be furnished along with the application in support of above.

4.1.2 In case of a company, the intending Applicants shall be a PV cell/module

manufacturer or a reputed EPC player in the global solar market operating at least for the last 3 years.

4.1.3 In case of a Joint Venture (herein after termed as JV)/Consortium, it can be formed between

(a) Manufacturer of PV cell/module with other manufacturers of PV cell/module (b) Manufacturer of PV cell/module and EPC Player (c) Manufacturer of PV cell/module with manufacturer of Inverter or Transformer (d) EPC player with other EPC players or (e) any combination of above four under the following conditions:- (i) Parties in the JV/Consortium would have legal binding agreement for

joint/several responsibilities and shall submit copies of such agreements. (ii) The JV/Consortium should not have more than 2 partners in any case. (iii) One of the partners shall be as a lead partner and his authorization shall be

evidenced by submitting a Power of Attorney signed by legally authorized signatory(s) of other Partner.

(iv) The lead partner shall be authorized by the JV/Consortium to incur liabilities and receive instructions for and on behalf of JV/Consortium and the entire execution of the contract including payments shall be done exclusively to the lead partner authorized by the JV/Consortium.

(v) Lead Partner shall meet minimum 50% of the Financial Eligibility Criteria (i.e. minimum average annual turnover requirement) and second partner shall

meet minimum 20% of the Financial Eligibility Criteria (i.e. minimum average annual turnover requirement) as per the clause 4.3 of Section-I, NIA.

(vi) The Lead Partner shall meet all Technical Eligibility Criteria as per the clause 4.2 of Section-I, NIA.

4.1.4 In case the Applicant is an Indian Arm (subsidiary) of a foreign company, then the subsidiary can claim the credentials of the foreign company for meeting the Qualification Requirements subject to compliance of the following conditions:

(i) An authorization is furnished by the parent company to the bidding Indian Arm

that they can use the experience and credentials of their company in the pre-qualification and in bidding process.

(ii) The parent company whose credentials are being claimed will provide a comfort

letter that the technology expertise and resource available with them shall be fully available to the bidding company and that the parent company will be responsible for the performance of the equipment.

(iii) An undertaking/Corporate guarantee is to be furnished by the parent company to THDCIL that in case of failure of their subsidiary they will be fully responsible for successful performance and all the obligations under the contract. Corporate guarantee shall be furnished during post empanelment bid to be invited by THDCIL.

4.1.5 An Applicant and all parties constituting the Applicant shall not have a conflict of interest and applicant found to have a conflict of interest shall be disqualified. For each package, an applicant may be considered to have a conflict of interest with one or more parties in this Enlistment process, if:

(i) they have controlling partners in common; or (ii) they receive or have received any direct or indirect subsidy from any of them;

or has provided any such subsidy to any other applicant; or (iii) they have the same legal representative for the purposes of this

prequalification; or (iv) they have a relationship with each other, directly or through common control,

that puts them in a position to have access to each other’s information about, or to influence the prequalification of another Applicant, or influence the decisions of the Employer regarding this Pre-qualification process;

4.2 Pre-qualification Requirements

4.2.1 Technical Eligibility Criteria The intending Applicant shall have following minimum experience during the last 3 (three) years ending last date of month previous to the one in which NIT has been published for EPC of Solar PV Projects of capacity as mentioned:-

The reference plant of 10 MWp or above capacity must have been in successful operation for at least six (6) months ending last date of month previous to the one in which NIT has been published on e-portal.

1. Copy of list of projects commissioned alongwith letter of Award/ contract agreement from the client in support of EPC contract signed for development of Solar PV Power Project. 2. Copy of commissioning Certificate from client. 3. Copy of certificate, certifying successful operation of at least one plant for a period of at least six (6) months from the client.

‘Category B’ - Above 50 MW

The applicant should have designed, supplied, erected/supervised erection and commissioned/supervised commissioning of Solar Photo Voltaic (SPV) based grid connected power plant(s) of cumulative capacity of 40 MWp or above, out of which at least one plant of 15 MWp capacity or above should have been necessarily Ground Mounted Grid connected. The reference plant of 15 MWp or above capacity must have been in successful operation for at least six (6) months ending last date of month previous to the one in which NIT has been published on e-portal.

1. Copy of list of projects commissioned alongwith letter of Award/ contract agreement from the client in support of EPC contract signed for development of Solar PV Power Project. 2. Copy of commissioning Certificate from client. 3. Copy of certificate, certifying successful operation of at least one plant for a period of at least six (6) months from the client.

In case of joint venture/consortium the lead partner shall meet all the Technical Criteria specified as above.

4.2.2 Financial Criteria: i) The Applicant should have an Average Annual financial turnover during the last 3

years, ending 31st March of the previous financial year as below:- S. No.

The Capacity given above in MW is of AC Note: Other income shall not be considered for arriving at Annual Turnover.

In case of JV/Consortium, lead partner shall meet minimum 50% of the average annual turnover requirement and second partner shall meet minimum 20% of the average annual turnover requirement as per above. However, both the partners of the JV/Consortium shall collectively satisfy, as a whole, the average annual turnover requirement specified as above.

ii) The Net Worth must be positive during last financial year ending 31st

March. Further, out of the last three financial years, the Net Worth should be positive in minimum two years. Computation of Net Worth shall be based on unconsolidated audited annual accounts of the last financial years immediately preceding the Application submission Deadline. In case of JV/Consortium both partners shall meet individually the criteria of positive Net-Worth for minimum two financial years as stated above in this clause

The formula of calculation of Net-Worth shall be as follows:

Net Worth = Paid up share capital

Add: Free Reserves and surplus Subtract: Miscellaneous Expenditures to the extent not written off and Carry forward losses Subtract: Intangible Assets

Free reserves means reserves created out of profits and securities premium account but does not include reserves created out of revaluation of profits, write back of depreciation and amalgamation or any capital reserve. Securities premium will be considered to be part of net worth only in those cases where it has been realized/received in the form of cash. However, this may not be applicable in case of listed companies. NOTES: � Paid up share capital will include

• Paid up equity share capital • Fully, compulsorily and mandatorily convertible preferential shares

• Fully, compulsorily and mandatorily convertible Debentures.

� Share premium will form an integral part of the Net-Worth provided it is realized in cash or cash equivalents.

iii) In case the bidder is an Indian Arm of a foreign company, the financial criteria of Average Annual Turnover & Net worth specified as above are to be met by Indian Arm Company only. However, bidder can use the experience of foreign company (parent company) for meeting the technical criteria specified as above.

iv) The bidder will provide a copy each of the audited annual report of previous three financial years for ascertaining their turnover and net worth along with Bank Statements for the purpose of verification.

In case where audited results for the last preceding financial year are not available, certification of financial statements from a practicing Charted Accountant shall be considered acceptable, provided the bidder provides the detailed financial statements certified by the Management of the Company.

4.3 Other Criteria

4.3.1 Applicant or member of the joint venture / consortium shall not be under a declaration of ineligibility for corrupt and fraudulent practices issued by the Govt. of India / State Govt. / Govt. Deptts / PSUs / World Bank /Asian Development Bank. A declaration to this effect shall be submitted by the Applicant/JV/Consortium members as per the Proforma given at Form -D

4.3.2 Each Applicant shall submit only 1 (one) APPLICATION, either individually or as a partner in a JV for a specific category. An Applicant who submits or participates in more than 1 (one) APPLICATION for same specific category will be disqualified. However Applicant enlisted for a particular category will also be eligible for the lower category; however he has to indicate his intent for the same in his application in Data Sheet-1 and will be considered for the categories as submitted/ applied.

4.3.3 The Applicant has to submit affidavit that the Applicant is not blacklisted by any central/state agency in India as per APPLICATION Form H

4.3.4 No EMD/ APPLICATION security is envisaged at application submission stage. 4.3.5 Empanelment shall be kept valid for a period of 24 months from the date of

announcement of successfully empanelled Applicants. For interested Applicants who are empanelled, the period of 24 months can be extended as per discretion of THDCIL.

, 4.3.6 The enlistment will open again after declaration of results of empanelment against

this advertisement. For new additional enlistment of parties, applications will be received up to expiry of six months period after declaration of result of empanelment and applications received during this six months period will be evaluated at the end of six months period for enlistment. This process will continue for a period of two years after a gap of six months till the expiry of first enlistment which is valid for two years from the date first enlistment.

5.0 Project timelines: As per industry standards, following would be the recommended timelines for the implementation of Project as per varying categories:-

6.0 Tender Document Availability

6.1 The complete NIA Document shall be available on CPP portal i.e. http://eprocure.gov.in/eprocure/app w.e.f. 29.08.2016

6.2 In case of any amendment/addendum/corrigendum (s) to this NIA shall be issued on https://eprocure.gov.in and no press notice shall be issued in any other form.

7.0 Participation in Bids This NIA is being processed through e-tendering/e-procurement system. The NIA documents are to be downloaded and duly filled in are to be submitted / uploaded through Central Public Procurement Portal (CPP) http://eprocure.gov.in/eprocure/app

7.1 Registration on CPP Portal 7.1.1 The Applicant intending to participate in the e-tendering and download the detailed

NIA document have to register themselves in the portal http://eprocure.gov.in/eprocure using the option “Clickhere to Enroll”. Possession of a Valid Class II/III Digital Signature Certificate (DSC) in the form of smart card/e-token in the Company's name is a prerequisite for registration and participating in the bid submission activities through this web site. Digital Signature Certificates can be obtained from the authorized certifying agencies, details of which are available in the web site http://eprocure.gov.in under the link “Information about DSC”. The said website also has user manuals (Bidders Manual Kit) with detailed guidelines on enrollment and participation in the online bidding process. While registration, the prospective bidders are required to provide PAN, TIN etc as mentioned in the e-registration procedure.

7.1.2 All the Applicants are requested to get themselves registered well in advance and no

extra time will be considered for the delay in on-line Vendor/Bidder Registration, if any. In case Applicants wait till the last moment for registration/uploading of Bids, and if any technical problem is encountered at that time and the closing time lapses, THDCIL shall not be responsible in any manner for such delay/ or any other reason thereof.

7.2 Downloading NIA Document 7.2.1 The complete NIA Application shall be downloaded from the CPP portal website

www.eprocure.gov.in after online vendor registration in above website. The Applicant are required to submit a non refundable Tender fee in the form of Demand Draft for Rs.25000/- inclusive of trade tax in favour of THDC India Limited, Rishikesh at the time of submission of offer for qualification or alternatively, it can be paid through NEFT/RTGS to the THDCIL current account mentioned at ITA Clause 32.0 before due date and time of submission of offer.

7.2.2 The Applicant shall download NIA documents from the website http://eprocure.gov.in/eprocure/app before 17:00 hrs on 13.10.2016 only, for enabling him to participate in e- tendering process after registration and furnishing tender fee Demand Draft details.

7.3 Online Submission of Applications The application invited in SINGLE STAGE, ONE PART BIDDING SYSTEM called “the Prequalification Bid” shall contain Tender Fee, Pre qualification information and documentary evidence in support thereof and it shall be uploaded & submitted on http://eprocure.gov.in/eprocure/app

Applicant(s) are not required to submit EMD at Application Submission Stage.

7.4 The bidder uploading ‘Prequalification Bid’ on the above mentioned website portal, has

7.5 Bids without Tender fee will not be entertained.

7.6 The prospective applicants shall be required to arrange all resources, including Digital Signature and Internet Connections at their own cost, for participating in online tenders/ bids at e-tendering CPP portal i.e. https://eprocure.gov.in/eprocure

8.0 Issuance of Application to any Applicant shall not construe that such Applicant is considered to be qualified. Applications shall be submitted and opened at the address given below in the presence of Applicant's representatives who choose to attend the Application opening.

9.0 THDCIL reserves the right to reject any or all Applications or to annul/withdraw/cancel the empanelment process for the subject package without assigning any reason whatsoever and in such case no Applicant/intending Applicant shall have any claims arising out of such

INSTRUCTIONS TO APPLICANTS (ITA) A. GENERAL

1.0 Introduction

1.1 THDC India Ltd. (THDCIL), a Miniratna, “Schedule-A” organization under the Ministry

of Power Government of India, is a premier Power Sector Company with its Corporate Office at Rishikesh, Uttarakhand. The Corporation has successfully commissioned the Tehri Dam & HPP (1000 MW) Stage-I and Koteshwar HEP (400 MW) during the Xth and XIth plans respectively. Tehri PSP (1000 MW) is under construction and is scheduled to be commissioned in XIIIth Plan. Besides, Vishnugad Pipalkoti Hydro Electric Project (444 MW) on river Alaknanda in Uttarakhand and Dhukwan 24 MW SHEP in Distt. Jhansi (UP) is also under construction. THDCIL today has a footprint in a diversified set of power projects, which includes Hydroelectric Projects Uttarakhand, Uttar Pradesh, Maharashtra and in the neighboring country of Bhutan, a Thermal Power Project in Uttar Pradesh and Wind & Solar Power Projects in Gujarat & Kerala respectively.

1.2 THDCIL has recently diversified into Wind & Solar Power projects. An EPC Contract of 50 MW Wind Power Project at Patan Wind Park in the State of Gujarat has been commissioned. THDCIL has signed an MoU with Solar Energy Corporation of India (SECI) on 13.02.2015 for setting up Grid Connected Solar Power Projects upto 250 MW capacity, of which it is proposed to initially take up 50 MW. SECI has invited bids for development of 50 MW Solar power Project in Distt. Kasaragod from Kerala Govt.

2.0 Scope of the Applications

2.1 THDC India Ltd. intends to empanel capable parties for EPC and O&M of PV based Solar Power Project(s) to enable the organization to setup the Solar PV Projects on the land banks available/ procured through leased agreements and/or participation in the upcoming competitive bidding opportunities invited by various states/organizations on Competitive/Preferential tariff based PPA.

The enlistment will be done in the following two categories:

a) ‘Category A’ – Above 25 MW and upto 50 MW

b) ‘Category B’ - Above 50 MW

All above Capacity in MW is of AC.

All parties meeting the eligibility and evaluation criteria in NIA will be empanelled/enlisted for that particular category and thereafter would be eligible to participate in the tenders to be floated by THDCIL under that category in future for the tenders of EPC contract with O&M of Solar PV Power Project.

2.2 Such empanelled/enlisted parties will also be eligible to participate (up to the limit of

their capacity as per enlistment) in the bidding by THDCIL for price discovery before participation in competitive bidding process of Solar PV Projects invited by third parties offering PPA. THDCIL will give an opportunity to the empanelled parties of the relevant category and would obtain techno-commercial & price quotes for the tender. Based on

such quotes received via tendering, THDCIL will determine the lowest evaluated bidder, on whose basis and with internal strategy of THDCIL, THDCIL will bid in the competitive process. In case THDCIL wins in the competitive bid process, the lowest evaluated Bidder will be awarded the EPC contract.

3.0 Eligible Applicants

3.1 This NIA is open to all Applicants

3.2 Applicant(s) shall not be under a declaration of ineligibility for corrupt and fraudulent

practices by the Central Government, the State Government or any public undertaking, autonomous body, authority by whatever name called under the Central or the State Government.

4.0 Qualification of Applicants

Applicants are required to fulfill the qualifying criteria for both technical and financial as specified in NIA Clause No. 4.0 of Section-I.

5.0 Cost of Bidding

The Applicants shall bear all costs associated with the preparation and submission of its application, and THDCIL will, in no case, be responsible or liable for these costs, regardless of the conduct or outcome of the empanelment process.

B. The Application Documents

6.0 Content of Application Document

6.1 The NIA/Application document consists of following documents listed below and addendum issued in accordance with Clause 9 of ITA, if any:

6.2 The Applicant is expected to examine all instructions, qualifying requirements, forms,

data sheets, terms, conditions and other information in the Application document. Failure to furnish all information required as per the Application documents or submission of an application not substantially responsive to the Application documents in every respect will be at the Applicant’s risk and may result in rejection of its application.

7.0 Clarification on NIA

7.1 The Applicant shall closely peruse all the clauses, specifications and requirements etc., indicated in the NIA/Application documents, before submission of offer. Should the Applicant have any doubt about the meaning of any portion of the tender conditions or find discrepancies or omissions in the documents or if the Application documents are found to be incomplete or require clarifications on any of the technical aspects, scope of work etc., he may notify the owner in writing or by fax / e-mail before 15 days in advance of bid submission date at the owner’s mailing address indicated in the clause 12.0 of Section-I (NIA)

7.2 The THDCIL will respond in writing to any request for clarification on the NIA/Application documents which is received not later than 15 days prior to the deadline for the submission of bid prescribed by an explanation on the query(s) without identifying the source of enquiry. The same will also be hosted on the website http://eprocure.gov.in/eprocure

7.3 Any submission of tender by the Applicant shall be deemed to have been done after careful study and examination of the tender documents and with the full understanding of the implications thereof.

8.0 Pre Submission Clarification Meeting:

8.1 The Applicants/their authorized representatives are invited to attend clarification meeting,

which will take place at the following address:-

Date and time for clarification meeting shall be as indicated in the Notice Inviting Application (NIA).

8.2 The purpose of the meeting will be to clarify the issues and to answer the queries, if any.

The queries of the bidders shall be submitted to the THDCIL at least 4 days prior to the pre-bid meeting.

8.3 Any modifications in the Application documents listed in Clause 6.1 of ITA, which may

become necessary as a result of the clarification meeting, shall be made by the THDCIL exclusively through the issue of an Addendum/Amendment/ Corrigendum pursuant to Clause 9 of ITA.

8.4 Non-attendance at the clarification meeting will not be a cause for disqualification of an

applicant.

9.0 Amendments to NIA

9.1 At any time prior to the deadline for submission of applications, THDCIL may, for any reason, whether at its own initiative or in response to a clarification requested by a prospective applicant, modify the Application documents by issuing an amendment/ addendum/corrigendum(s) and such amendment/addendum/corrigendum(s) to the NIA shall be uploaded on https://eprocure.gov.in/eprocure only and in this regard no press notice shall be issued in any other form.

9.2 All such amendments shall form part of NIA Documents. THDCIL shall bear no

responsibility or liability arising out of non-receipt of the above in time by the Applicants.

9.3 In order to allow prospective Applicants reasonable time in which to take the amendment into account in preparing their Applications, THDCIL, at its discretion, may extend the deadline for the submission and opening of Applications.

C. Preparation of Application

10.0 Language of Application

The Applications prepared by Applicants and all correspondences and documents relating to the Application exchanged by the Applicant and THDCIL shall be in English. Supporting documents and printed literature furnished by the Applicants with their Applications may be in another language, provided they are accompanied by an appropriate and correct translation into English (self certified). For the purpose of interpretation of the Applications and for all future purposes, only English version will prevail.

11.0 Registration for E-Tendering The application is invited online under e-tendering process from the eligible applicants in Single Stage One Part Bidding System. The applicants can enroll themselves on the website http://eprocure.gov.in using the option “Click here to Enroll”. Possession of a Valid Class II/III Digital Signature Certificate (DSC) in the form of smart card/e-token in the Company's name is a prerequisite for registration and participating in the NIA submission activities through this web site. Digital Signature Certificates can be obtained from the authorized certifying agencies, details of which are available in the web site http://eprocure.gov.in under the link “Information about DSC”. The said website also has user manuals (Bidders Manual Kit) with detailed guidelines on enrollment and participation in the online bidding process. While registration, the prospective bidders are required to provide PAN, TIN etc as mentioned in the e-registration procedure.

After completing the required registration for e-tendering the prospective applicant can download the NIA documents from 10:00 Hrs (IST) on 29.08.2016 to 17:00 Hrs (IST) on 13.10.2016. The cost of NIA documents is ` 25000/- (including trade tax) which may be paid through RTGS/ NEFT Fund Transfer to THDCIL current account. The Bank account details are furnished at Clause No. 32.0 of ITA. The RTGS / NEFT transfer details may be provided in FORM-I. Alternatively, the cost of NIA document may be paid in favour of THDC India Limited by way of demand draft payable at Rishikesh. The cost of NIA document viz. original DD/ copy of receipt of RTGS / NEFT transfer details are to be submitted along with Application. The steps for help to contractors/bidders in regard to the registration for e-tendering, downloading of the tender document and up loading & submission of the bids on the central public procurement portal is given on the web site www.eprocure.gov.in/eprocure. The application shall be uploaded on the portal www.eprocure.gov.in/eprocure only. No hard copy of the bid shall be accepted except the documents required in physical form as per Section-II (ITA) clause 16.8.

The bid & the subsequent correspondence should be signed by an authorized person holding power of Attorney to do so. Applicant is required to submit the NIA document duly signed and stamped as a token of acceptance of THDCIL's terms and conditions. Submission of offer by the applicant shall be treated as acceptance of all Terms & Conditions mentioned in NIA Document without any deviation. The applicants shall fill and complete in all respects various bid forms, data sheets and formats attached with the NIA documents.

12.0 Documents Comprising the Applications

12.1 Single Stage One Part Bidding procedure shall be followed through e-tendering/e-

application for Enlistment.

12.2 The Bid shall comprise the following :

12.2.1 Application along with documents in support of qualifying requirements.

12.2.2 Data sheets and forms

12.3 Applicant shall prepare the Application and upload under Application/ Application Part- I in the CPP Portal.

12.4 Documents to be submitted in physical form should be in accordance with ITA clause

no 16.8.

12.5 The bid containing the Application shall be opened at stipulated date and time as per Detailed NIA.

12.6 THDCIL reserves the right to reject any offer, in case the Applicant does not satisfy

the qualifying requirements as stipulated in this NIA.

13.0 Application Validity

13.1 The Application shall be kept valid for a period of 90 (ninety) days initially from the date of opening of the Applications. An application valid for a shorter period may run the risk of rejection by the THDCIL as non-responsive.

13.2 The THDCIL may solicit the applicant’s consent to an extension for the period of

validity of application. The request and the response thereto shall be made in writing by e-mail or fax to be followed by post confirmation copy. The applicant, however, will not be permitted to modify his application.

14.0 EMD

14.1 No EMD/ APPLICATION security is envisaged at the application submission stage.

14.2 However the Enlisted party shall submit an EMD in the form of Bank

Guarantee/Demand Draft/NEFT/RTGS after their enlistment as per the Terms & Conditions detailed out in tenders to be invited by THDCIL for Development of Solar PV Power Projects.

14.3 The EMD may be forfeited in any of the following circumstances:

(i) If the Applicant adopts corrupt or fraudulent practices.

(ii) If the Bidder/Applicant withdraws the Post empanelment Bid submitted to THDCIL after its opening during the period of Bid validity.

(iii) In the case of a successful bidder to post empanelment bid submitted to

THDCIL, if the Bidder fails within the specified time limit to

(a) sign the contract agreement as per tender document, or

(b) furnish the required performance Securities in accordance with the tender document.

14.4 Submission of EMD and ‘EMD forfeiture clause’ of post empanelment tender

documents will supersede the above said conditions in respect of EMD.

15.0 Signing of Application

15.1 Forms submitted online as displayed in bid screen

The Online Application shall be digitally signed by the applicant or a person duly authorized to bind the applicant to this NIA and the authorization of the person shall be submitted in the shape of written Power of Attorney duly attested by Notary Public as per ITA Clause 15.3 hereunder.

15.2 Documents to be submitted/uploaded online

The documents submitted/ uploaded by the applicant shall be duly signed and stamped at each page by the applicant or a person duly authorized to bind the applicant to this NIA with his usual signature before scanning and uploading. Each and every page of the Application should be duly numbered and the contents and pages should be indicated in the index page.

15.3 The authorization in the shape of written Power of Attorney duly attested by Notary

Public shall be submitted in physical form as under:

i) If Application is made by a sole Applicant, it shall be signed by a duly authorized person holding Power of Attorney for signing the Application. A notarized copy of the Power of Attorney shall accompany the Application in such cases. Notarized copy should indicate name, serial no. and other details of the document so entered in the records of Notary.

(ii) If the application is made by a Joint Venture, it shall be signed by the authorized

representative of the Joint Venture partner companies. Notarized copy (ies) of the Power of Attorney (ies) issued to such authorized representative by legally authorized persons of all partner companies of the Joint Venture shall accompany the Application. Notarized copy should indicate name, serial no. and other details of the document so entered in the records of Notary.

15.4 It shall be ensured that person signing the application and other documents has the

authority to sign the same.

15.5 In all above cases, a copy of the Memorandum and Articles of Association of the company (ies)/ Document of constitution, requisite board resolution duly notarized by a Notary Public shall be submitted along with the application.

15.6 In case of foreign partners, Power of attorney(s) and Board resolution confirming

authority on the persons issuing the Power of Attorney for such action, shall be submitted duly notarized by notary public of origin and stamped by Embassy/High Commission. Applicants from member country of “Hague convention” may submit these documents with “Apostille” stamp instead of Embassy. All documents submitted duly notarized by a notary public should indicate name, Sl. No. and other details of document so entered in the records of the notary.

D. Submission of Application

16.0 Submission of Documents Comprising of Application

16.1 The duly filled in application forms, necessary forms/scanned documents, Data Sheets as specified in Section-III: Data Sheets and Forms and supporting document for Qualifications Requirements as mentioned in NIA Clause 4.0 are to be uploaded by the applicant at CPP portal www.eprocure.gov.in/eprocure on or before the last date and time for submission of applications as specified in Clause 2.0 of Section-I of the NIA. Applications in physical form (except documents as mentioned in Clause 16.8 here-in-below) shall not be entertained under any circumstances.

16.2 The submission of application under this NIA shall be deemed to mean an unequivocal acceptance by the Applicant of all terms, conditions & the contents of this NIA read with authorised corrigenda/Addenda and clarifications issued/authorized by the Employer.As such the applicants are not required to upload the Application & the authorized corrigenda/ addenda and clarifications under their digital signatures.

16.3 Applicants shall submit/upload the self certified documentary evidence required for Qualifying Requirement, past experience based on which evaluation is to be made and financial situations. However, in this regard the applicant shall be required to furnish a declaration alongwith his bid as per FORM – J for Self Declaration of proof of documentary evidence.

16.4 THDCIL reserves the right, if it wishes to authenticate/ verify any or all the documentary evidence furnished by the Applicant as above, from the original or otherwise in any other manner considered deemed fit by THDCIL.

16.5 THDCIL further reserves the right to complete the evaluation based on the details

furnished by the Applicant without seeking any additional information.

16.6 Document to be submitted through e-mode:-

Following Documents shall be submitted/uploaded on the e-tendering portal while submitting the Application. The documents uploaded/submitted shall be duly signed as per Clause 15.0. (i) Application & the authorized corrigenda/ addenda and clarifications. (ii) Duly Filled in FORM A: Application Form.

(iv) Certificate of incorporation of Applicant and In case of JV/Consortium,

16.8 Documents to be submitted in physical form:-

Only following documents in physical form in sealed envelope (separate for each category) super-scribed as “Document required for Application for Empanelment of Experienced and Capable Parties for EPC and Subsequent O&M of PV Based Solar Power Plants for Category…….(mention the category as per clause 4.2 of NIA for which application is submitted) ” are to be submitted through post/courier or by hand on or before the scheduled date and time for submission of Applications at the address mentioned under clause 12.0 of Section-I (NIA). Non-receipt of these documents physically by the stipulated date & time shall lead to rejection of the Application.

The above documents shall be duly signed and stamped at each page by the applicant or a person duly authorized to bind the applicant to NIA with his usual signature. The scanned copy of the above documents shall also be uploaded/submitted on the CPP portal website.

17.0 Deadline for submission of Bids

17.1 The Applications shall be submitted in accordance with ITA clause-16 herein above

by the stipulated date of submission of Application indicated in Section-I, NIA.

17.2 THDCIL may, in the exceptional circumstances and at its discretion, extend the deadline for submission / opening of application by issuing an amendment/addendum in accordance with Clause 9 of ITA, in which case all rights and obligations of THDCIL and the applicant(s) previously subject to the original deadline will then be subject to the deadline as extended.

18.0 Late Bid

THDCIL shall not consider any Application/Document that is uploaded/submitted and received in THDCIL after the Deadline for Submission of Applications for whatsoever reasons. Any Application/Document received by THDCIL after the deadline for submission of Applications shall be declared late, rejected and returned unopened to the Applicant.

E. Opening of Applications

19.0 Opening of Applications

19.1 The THDCIL/ Authority inviting Tender will open the Applications (Documents received in Physical form pertaining to this NIA and applications submitted through e-mode) at the date, time and venue mentioned in clause 2.0 of NIA or any extended date in the presence of the Applicant’s designated representatives who choose to attend the opening. The Applicant representatives who are present shall sign a register evidencing their attendance.

19.2 In the event of the specified date for the opening of bids being declared a holiday for

the THDCIL, the bids will be opened at the appointed time on the next working day.

F. Evaluation of Applications

20.0 Confidentiality

Information relating to the examination, clarification, evaluation, and comparison of Applications and recommendations for enlistment shall not be disclosed to applicant(s) or any other person(s) not officially concerned with such process except the notifications of result of enlistment. Any attempt by an applicant to influence THDCIL’s processing of applications evaluation or award decisions may result in the rejection of his application

under this NIA.

21.0 Clarifications of Applications

21.1 To facilitate and assist in the evaluation of applications, THDCIL may, at its sole discretion, ask any Applicant for a clarification (s) of his application which shall be submitted by the applicant within a stated period of time. Any such request for clarification (s) and all clarifications so furnished shall be given/received in writing & through mail/fax/post. Any clarification/additional information submitted by the applicant that is not in response to a request by THDCIL shall not be considered.

21.2 If an Applicant does not provide clarifications on the information requested by

THDCIL within the stipulated date and time, the Applicant’s application shall be evaluated based on the available data.

21.3 No clarification at the initiative of the applicant(s) after submission of Application

under this NIA shall be entertained.

22.0 Responsiveness of Applications

22.1 THDCIL may reject any application which is not responsive to the requirements of this NIA. In case the information furnished by the applicant is incomplete or otherwise in the opinion of THDCIL’s Tender Evaluation Committee requires clarification as per ITA 21.0 and the applicant fails to provide satisfactory clarification and/or missing information, it may result in disqualification of the applicant.

22.2 Even though the applicant(s) meet the qualifying requirements, they shall be

disqualified if they have made misleading or false representations in the forms, statements and attachments uploaded/submitted as a proof of the qualification requirements.

23.0 Evaluation of Applications

23.1 THDCIL shall use the criteria and requirements defined “Qualifying Requirements”

and “Guidelines for Evaluation of Applications” and any other criteria mentioned elsewhere in this NIA to evaluate the qualifications of the Applicants. THDCIL reserves the right to waive any deviations in the qualification requirements if they do not materially affect the capability of an Applicant to perform the empanelment.

23.2 In case of multiple empanelment/category, the applicant should indicate in their

application form, the individual empanelment or combination of empanelment in which they are interested. THDCIL shall enlist each Applicant for the maximum combination of enlistment for which the applicant has thereby indicated its interest and for which the applicant meets the appropriate aggregate requirements of such contracts in accordance with qualification requirements.

24.0 Right to accept and to reject any or all Applications

Notwithstanding anything contained in this NIA, THDCIL reserves the right to accept or reject any Application and to annul the enlistment process and reject all Applications at any time without assigning any reasons and incurring any liability to applicants. Such intimation will be displayed on web-sites only.

25.0 Guidelines for Evaluation of Applications

Evaluation of the Application will be based on the attributes, information/data along-with the supporting documents as per the check list provided in Section-III Data Sheets and Forms submitted by the Applicants with their Applications.

G. Enlistment of Applicants

26.0 Enlistment of Applicants

All Applicants, whose application meets the specified threshold enlistment requirements, will to the exclusion of all others, be enlisted by THDCIL.

Applicant enlisted for a particular category will also be eligible for the lower category; however he has to indicate his intent for the same in his application.

27.0 Notifications of Enlistment

Once THDCIL has completed the evaluation of the applications it shall notify for intimation of all, the names of those applicants who have been enlisted for subject category by displaying such information on THDCIL e-tendering portal/CPP Portal.

28.0 Updating Empanelment information

28.1 Enlisted Applicants, at the time of submission of post enlistment Bids invited by

THDCIL, will be required to update the information in respect of applicant/each partner of the JV/Consortium used for empanelment at the time of submitting their Application, to confirm their continued compliance with the qualification requirements and for verification of the information provided. A Bid will be rejected if the Applicant’s qualification thresholds are no longer met at the time of bidding.

28.2 The Applicant shall update Data Sheet No.2 and Data Sheet No. 3 of the Section III

Data Sheets and Forms after every six month from the date of enlistment.

29.0 Withdrawn of Empanelment

Empanelment can be withdrawn under the following conditions by THDCIL

29.1 By mutual agreement.

29.2 If the firms fails to abide by the terms and conditions under which the Empanelment has been given.

29.3 In the event the shortlisted Applicant fails to maintain the qualification as mentioned in the NIA.

29.4 If the firm fails to execute a contract or fails to execute it satisfactorily.

29.5 If the manufacturing license/dealership license of the manufacturer/supplier has

expired.

29.6 When the required technical / operation staff or equipment are no longer available with the firm or there is change in production / service line affecting its performance

adversely. 29.7 If the firm is declared bankrupt or insolvent.

30.0 Corrupt and Fraudulent Practices

30.1 THDCIL requires that the applicants under this empanelment observe the highest standard of ethics during the selection process and execution of an enlistment.

30.2 THDCIL will reject a proposal for enlistment if it determines that the Applicant recommended

for enlistment or any of his representatives, has been directly or through an agent, engaged in corrupt, fraudulent, collusive coercive or obstructive practices in competing for the enlistment in question.

(a) For the purpose of this provision, the THDCIL defines the above terms as follows:

(i) “Corrupt practice” is the offering, giving, receiving or soliciting, directly or indirectly,

of anything of value to influence improperly the actions of another party;

(ii) “Fraudulent practice” is any act or omission, including a misrepresentation, that

knowingly or recklessly misleads, or attempts to mislead, a party to obtain a financial

or other benefit or to avoid an obligation;

(iii) “Collusive practice” is an arrangement between two or more parties designed to

achieve an improper purpose, including to influence improperly the actions of

another party;

(iv) “Coercive practice” is impairing or harming, or threatening to impair or harm, directly

or indirectly, any party or the property of the party to influence improperly the

actions of a party;

(v) “Obstructive practice” is

� Deliberately destroying, falsifying, altering or concealing of evidence material

to the investigation or making false statements to investigators in order to

materially impede any investigation into allegations of a corrupt, fraudulent,

coercive or collusive practice; and/or threatening, harassing or intimidating

any party to prevent it from disclosing its knowledge of matters relevant to

the investigation or from pursuing the investigation; or

� Acts intended to materially impede the exercise of the THDCIL’s inspection and

audit rights provided for under (c) below.

(b) THDCIL will sanction a firm or individual, including declaring them ineligible, either indefinitely or for a stated period of time, to be awarded a contract if it at any time determines that firm has, directly or through an agent, engaged in corrupt, fraudulent, collusive, coercive or obstructive practices in competing for, or in executing, the contract; and

(c) THDCIL will have the right to require that a provision be included in NIA documents and in enlistments requiring bidders, suppliers, and contractors and their sub-contractors to permit the THDCIL to inspect their accounts, records and other documents relating to the bid submission and contract performance and to have them audited by auditors appointed by the THDCIL.

30.3 THDCIL may declare a firm ineligible, either indefinitely or for stated period of time, to be awarded contract if at any time it determines that corrupt, fraudulent, coercive or collusive practices were engaged by the Applicant or any of its representatives, during the selection process or the execution of the enlistment.

30.4 THDCIL will cancel the enlistment if it determines at any time during the enlistment period that representatives of the Applicant (s) were engaged in corrupt, fraudulent, collusive or coercive practices during the selection process or the execution of that enlistment process.

31.0 Jurisdiction of Court

The Contract shall be governed by the laws of India for the time being in force and shall be subjected to the jurisdiction of the High Court of Nanital (Uttarakhand).

THIS JV/Consortium agreement executed on this _________day of _______________ between (i) M/s__________________a company incorporated under the laws of _______________ and having its registered office at (herein after called the “Lead partner” which expression shall include its successors executors and permitted assigns), (ii) M/s ____________and having its registered, company incorporated under the laws of ____________and having its registered, office at (herein after called the “Partner” which expression shall include its successors, executors and permitted assigns), for the purpose of submission of a bid and entering into a contract (in case of award) against the NIA Ref. WHEREAS the Employer invited Applications as per the above mentioned NIA No._____ for the execution of the works stipulated in the application documents under subject bid package for (name of Project). AND WHEREAS as per Instruction to Applicants the APPLICATION SUBMISSION / PROPOSAL FORM shall be signed by all the partners of the JV/Consortium, who will be jointly and severally liable to perform the contract and all obligations hereunder. The JV/Consortium agreements shall be attached to the Application.

PURPOSE OF THIS AGREEMENT The purpose of this Agreement is to define the principles of collaboration among the Parties to:

• Submit Application jointly to qualify for empanelment for Solar Project development as a JV/Consortium.

• Prepare and submit technical and commercial proposals to the Employer. • Negotiate and sign Contract in case of award. • Provide and perform the Works in accordance with the Contract.

NAME For the purpose of participating in the NIA, the name of the JV/Consortium shall be “…..………..”.

LEGAL RELATIONSHIP OF THE PARTIES

This Agreement shall not be construed as establishing or giving effect to any legal entity such as, a company, a partnership, etc. It shall relate solely towards the Employer for submission of Application for empanelment for Solar Project development for THDCIL and related execution of works to be performed pursuant to the Contract and shall not extend to any other activities. The Parties shall be jointly and severally responsible and bound towards the Employer for the performance of the works in accordance with the terms and conditions of the Application and / or Contract.

NOW THIS INDENTURE WITNESSETH AS UNDER

In consideration of the above premise and agreements, all the partners to this JV/Consortium do hereby now agree as follows:

1. In consideration of the award of the contract by the Employer to the JV/Consortium partners, we, the partners to the JV/Consortium agreement do hereby agree that M/s __________________ shall act as Lead partner. We, the partners to this JV/Consortium further declare and confirm that we shall jointly and severally be bound unto the Employer for the successful performance of the contract and shall be fully responsible for the execution of the works under separate contracts and an overall Contract Agreement for successful performance of the works in accordance with the contract.

2. In case of any breach of the said contract by the Lead partner or any of the other partner(s) of the JV/Consortium agreement, all the partners(s) do hereby agree to be fully responsible for the successful performance of the contract(s) and to carry out all the obligations and responsibilities under the contract in accordance with the requirements of the contract(s).

3. Further, if the Employer suffers any loss or damage on account of any breach in the contract or any shortfall in the performance of the equipment in meeting the performance guaranteed as per the specification in terms of the contract all the partner(s) of these presents undertake to promptly make good such loss or damages caused to the Employer on its demand without any demur. It shall not be necessary or obligatory for the Employer to proceed against Lead Partner to these presents before proceeding against or dealing with the other partner(s).

4. The financial liability of the Partners of this JV/Consortium agreement to the EMPLOYER, with respect to any of the claims arising out of the performance or non-performance of the obligations set forth in the said JV/Consortium agreement, read in conjunction with the relevant conditions of the contract shall, however, not be limited in any way so as to restrict or limit the liabilities of any of the Partners of the JV/Consortium agreement.

5. It is expressly understood and agreed between the Partners to this JV/Consortium agreement that the responsibilities and obligations of each of the partners shall be as enclosed in Annexure I to this agreement (The responsibilities and obligations of each partners to be separately incorporated suitably by the partners in enclosed Annexure-I), it is further agreed by the partners that the above sharing of responsibilities and obligations shall not in any way be a limitation of joint and severally responsibility of the Partners under this contract.

6. This JV/Consortium agreement shall be construed and interpreted in accordance with the laws of India and the Courts (………………) alone shall have the exclusive jurisdiction in all matters arising there under.

7. In case of award of contract(s), we the Partners to the JV/Consortium agreement do hereby agree that we shall be jointly and severally responsible for furnishing contract performance guarantee from a bank in favour of the Employer in the currency/ currencies of the contract(s).

8. It is further agreed that the JV/Consortium agreement shall be irrevocable and shall form an integral part of the contract(s), and shall continue to be enforceable till the end of warranty period / Defect Liability Period. It shall be effective from the date first mentioned above for all purpose and intents.

IN WITNESS WHEREOF, the partners to the JV/Consortium agreement have through their authorised representatives executed these presents and affixed common seals of their companies, on the day, month and year first mentioned above.
