FINDINGS AND ORDER

Hearina Date and Place: This matter ca'me on for hearing before the Virginia Gasand Oil Board (hereafter "Board") at 9:00 a.m; on January 21, 2014 and continued taFebrua'ry 18, 2014 at the Russell County Conference Center, 139 Highland Drive,

Lebanon, Virginia.

Jurisdiction and Nofice: Pursuant to Va Code 55 45,1-361.1ef seq., the Board linda thatit has jurisdiction over the subjecf matter. Based upon the evidence presented byApplicant, the Board also finds that the Applicant has {1)exercised due diligence in

conducting a meaningful search of reasonably available sources to determine the identityand whereabouts of each gas and nil owner, coal owrier, or mineral awner having aninterest in subject Drilling Unit underlying and comprised df subject Lands; and (2)represented to the Board that it has given notice to those parties (heraaffer sometimes"persan(s}'hether refening to individuals, corporations, partnerships associafions,companies, businesses, trusts, joint ventures or other iegal entitles) entitled by va. codeg 45.1-361.19to notice of this appfication. Fudher, the Baard has caused notice of thishearing fo be publhhed as required by Va. Code 8 45.1-361.19.B. Whdreupon, the

7. Relief Granted: The requested relief in this cause shall be and hereby is granted. TheBoard hereby grants Applicant consent to permit and drill proposed Well No. V-.530126which is 2,172.71 feet from Range Resources-Pine Mount'ain, Inc, proposed well No. V-530350; and, 2,374.36 from EQT Weil No, V536803 at the location depicted on the Platattached hereto as Exhibit A,

Seecial Pindinos: The Board specifically snd speoially finds:

6.1 Applicant is Rance Resources-Pine Mountain. Inc. Applicant is dulyauthorized and qual wed to transact business in the Commonweallh of Virginia;

8.2 Applicant Ranae Resources-Pins INountsln. Inc. is an operator in theCommonwealth of Virginia and 'has satisfied the Board's requirements foroperations in Virginia;

8.3 Applicant claiins ovmership of Conventional:Gas Leases of Subject Drilling Unitand the 'right to explore fdr, develop and producx. Gas from Well No. V%30126 aswelt as the right to participate and develop the reciprocal well, being RsrigeReaOuroearPina Mcuntafn, InC. Well NO. V-530350 and EQT Well NO. V-536803

8,4 The proposed Well No. V 530126 is locaWd on the J.L. Lltz 203.10-sere Tractand the surface, coal, gas and oil owners have consented to the proposedlocation for Well No. V-5M128 that is depicted on the Plat attached hereto asExhibit A;

8,5 The Applicant testified it has the right to operate and partidpate in thedevelopment of, Ihe rediprocal Range Resources-Pine IWountatn, Inc. Well NoVW30350 and EQT Well No. V-536863, and'that the granfing of 'the applicsfionfiled herein w'ill not impact the correlative rights of any person;

8.6 An exception to the wsh spacing requirements of Va. Code 5 45.1-361.17forWell No. VW30128 is n~ to efficiently dmin a portion of the commonsources of supply (reservoir) uncteriying Subject Dri9ing Unit, and the Board'sgranting of the requested location exception is in the best interest of preventingthe waste of 525 million cubio feet of Conventional Gas underlying the SubjectDrilling Unit, and to generally effect the purposes of the Virginia and Qil Acl;

8.7 Alxiticant proposes the drill)ng of well hlo. v~126 to a depth of 5 'l84 feet onthe Subject Drilling Unit at the location depicted on Exhibit A to produce sll theMississippian and Devorlian Age formations including, but not limiled to,Ravencttff, INaxon Ster Lithe, Weir, Beraa and Devonian Shale, front surfaceto total depth drilled, 5 184 feet("Subject Formations" );

8.8 Applicant pmposes to drill Well No. V430128 a distance of 321.20feet closer toRange Resources-Pine Slonntain, lnc, proposed Well No. V-530M0 and125.84 feet closer to EQT Well No. V-538803 than the 2500 feet'mandated bystatewide spacvtg;

8.9 Appscant proposes to complete and operate Well hlo. VW3lkl20 for the purposeof producing Conventional Gas;

9. Conclusion: Therefore, the requested relief and all terms and provis'ens set forthabove be and hereby are granted and IT IS SO ORDERED.

10. ~Assis: Appeals of this Order are governed by the provisions of Vs. Code Ann. 545.'l-361.9 which provides that any order or decision of the Board may be appealed tothe appropriate aTrcuit court. Such appeals must be taken in the marmer prescribed i'

the Administrative Pmcess Act, Va. Code Ann. 5 9-6.1vk1 et serf. and Rule 2A of theRules of ths Virginia Supreme Court.

11. Effective Date. This Order shall be effectiv as of the date of the Board's approval of thisApplicafron, which is set forth at Paragraph 1 above.
