January 1, 2009 Dear Colleagues, We are living in challenging but exciting times, where the rules of most of the games are being re – written. Consider Financial Services, which all of us are familiar with. The tumultuous change that swept across the financial services landscape last year created havoc. Institutions, which were the corner stone of the global Financial Services and Capital market crumpled down over night and the rest were either bailed out or are waiting to collapse. Initially, it was difficult for the rational mind to accept this new reality, which is contrary to our beliefs of what was cast in stone. When at one level this is painful, at another level it opens up new opportunities for a young and growing company like Transwarranty with a far more level playing field. We can succeed and conquer greater heights of glory, if we can challenge our belief systems, be in sync with the new reality and have conviction in our ability and ambition to emerge as one of the top 10 financial services group in India. And therefore, this is the time to set our priorities correctly and respond at lightening quick speed to the changing business environment. Working smarter and harder with complete goal orientation will be the need of the hour. This should be backed by sound information and knowledge coupled with decisive and effective action. This naturally would require a performance driven culture in Transwarranty, which in turn would require crystal clear Job Description and Measurable Output for every employee in the company. We have already commenced our journey to usher in this performance driven culture. This would have its share of challenges and pain particularly for those who resist change. Let me assure each one of you that as an organization, we strongly believe that our employees are our most valuable assets and we shall provide all the support, encouragement and reward to all those who are instrumental in this transformation. At the beginning of this New Year, let us all renew our resolution and commitment to our cause: to be a world-class organization and one of the Top 10 Financial Services Group in India. If you write, or sing, or dance, or paint; if you play, think, or create, if you just watch, are you doing what you were meant to do? No one hit Barry Bond’s 73 single-season home runs. No one took four consecutive International Tour de France Cycling Championships for Lance Armstrong. They did these things on their own, by making them happen. They created the miracles. They made them happen. The same is true for you. The day you stand up and say, “Now! Right now is my time to be incredible!” is the moment your mechanism for manifesting miracles will be operational. Until then, it’s just a rusty cog deep in your soul.

New additions to the Transwarranty family Mr. G Sreekumar, Associate Vice President, Corporate Finance Date of Joining: 19th November, 08

Mr. Sreekumar shall be heading one of the strategic Business Unit in Corporate Finance Division at Mumbai. Mr. G. Sreekumar was working as Assistant General Manager with Oriental Bank of Commerce from April 2006 till October 08. He has 24 yrs of experience in Credit delivery System in Corporate Banking and Small and Medium Segment of business loan. In his 10 year stint at OBC, he has handled responsible positions in Credit Management, Business Development, and Relationship Management. He has completed his CAIIB and Btech from IIT (Madras). Mr. G. Sreekumar is married to Mrs.Varsha Variyar. Mrs. Varsha Variyar. They are blessed with two daughters, Purva and Mugdha. Purva is studying BSc. In Biotechnology and Mugdha is doing her BA Economics.

Mr. Rajesh Jha, General Manager, New Delhi Date of Joining: 2nd December, 08

Mr. Rajesh Jha shall be leading the business development function for our North India operations and will be responsible for the branch P&L. Rajesh will report directly to Mr. Kumar Nair. Rajesh is a seasoned banker with 12 plus years of experience. He joins Transwarranty from ING Vysya where he served as AVP-SME segment. He started his career with Bank of Indore (BoI) in 1996 and continued with BoI until beginning of 2008. At BoI, he led complete zonal operations for the bank including sales, marketing and operations. Rajesh has completed his Msc. in Geology from Ranchi University and holds a certification from CAIIB. Rajesh is married to Anuradha, a software engineer by profession. They have two children –Aadyant, 3 ½ yrs and Sheemaira, who is 1 year 8 months.

Mr.B V Govardhana Rao, Vice President, Hyderabad Date of Joining: 1st January, 09

Mr. B V Govardhana Rao shall be leading the business development function for Andhra Pradesh Region and will be responsible for the branch P&L. Mr. Rao will report directly to Mr. Kumar Nair. Mr. Rao has more than 30 years experience in various Banks viz. Public Sector, Multinational and new generation Private Sector Banks in India (for 22 years) and Banks belonging to globally reputed groups overseas (for 8 years). For the last 3 years, he has been a consultant to a group of Banks (India & east Africa). He was also the Chief Executive Officer and Country Manager for Diamond Trust Bank, Uganda from 2002-2005. he has also worked with Bank of Punjab Ltd ( as Vice President), The Commercial Bank of Korea (Head-Credit), Banque Nationale De Paris (Head-Credit), Punjab National Bank (Sr. Manager-Credit) etc. Mr. Rao has completed his MBA (Finance), CFA and holds a certification from CAIIB and from Indian Institute of Bankers in Industrial Finance. Mr. Rao is blessed with a son and a daughter. Mr. Rao’s son, Mr. Swaroop is working with Price Waterhouse Coopers as Infrastructure Consultant and is married to Ms. Pavitra who is a practicing dentist. Mr. Rao’s daughter, Ms. Anusha is doing her Masters in Electrical Engineering from USA.
