FOREWORD

January 1, 2010

Dear colleagues, I wish all of you a very happy new year. We must make the year 2010, the most special year in the history of Transwarranty, a year in which we break all barriers and enter a higher trajectory of growth demonstrating extraordinary performance in terms of income, profits and share price. The change sweeping across the financial landscape across the world is unprecedented. And it is during such tumultuous change that organizations like ours should spot and embrace opportunities for moving into a higher orbit. The pace of change and progress experienced in India during the last 10 years was significantly more than that of the last 50 years and the next 10 years shall be beyond everyone’s imagination. We are fortunate to be at this juncture, where history is being created to be able to seize this opportunity and be a significant participant in this explosive growth. Our employees and clients are our main strengths. We have a committed pool of employees, many of whom associated with the company since inception. We are in the process of augmenting and expanding this committed pool of employees who share a common vision. This year, we shall have the right talent in the right place. A fast growing organization would have place for every one including employees keen to travel on the fast track and those who are happy to travel at their own pace. And it shall be our endeavor to make the environment conducive for all the employees with diverse needs and approach. In financial year 2012 – 13, we should achieve minimum profits of Rs.100 crores and market capitalization of Rs.1,000 crores. Kumar Nair

Change for the Better; Change for the Climate

It was 20th of August, 2025. I looked up the supposed-to-be-monsoon sky expecting at least a

speck of the dark clouds but it was to be naught. All that I could see was the bright-faced sun glaring down at me and injecting me with don’t know how many stinging rays of the Ultra-Violets (UVs). I wondered that even if it did rain, it would be only acid drops which, I think, the Municipality is saving up to supply not to residential places but to the Chemical Plants and Laboratories as an alternative source of income. Gone are those “Rain Dance” days when rain was considered an element of romance; now it’s dreaded. Today it’s apt when we say “Water, water every where but not a drop to drink”. It’s because the Ice Cap in the North and Glaciers have almost evaporated, reducing land masses to just visible chunks and potable water has become a Luxury these days affordable only by the nouveau riche just like the “Amrut” or nectar available only to the Devtas in mythology. For others like us it’s only popping in daily some tabs, invented by our medicos which prevent our kidneys from collapsing at least. The other day I was teaching colors to a Kindergarten class when I came across the color “Green”. I was totally stuck there because I didn’t know what to refer to as there’s nothing green these days. The grass was golden yellow all the time and no more trees except for few casuarinas. Except for a few

house sparrows chirping at nights, you can’t hear them above the din of the vehicles during the day. So, the kids’ books have these birds alive only in them. The Mighty Peacock is no longer the “National Bird” as it’s extinct and the “National Animal” is on the verge of it. Their names are writ only on the History Books and the IUCN’s Red List for endangered species. Someday, I feel, even the human race would be on these journals but then there would be no one to read them. The symptoms are quite evident in the dwindling numbers in the class day after day. Pale faces, blistered skin and discolored eyes of the children signal that the countdown has already begun. The emptiness around looms large everywhere as every day you see someone close succumbing to some strange disease or a baby born who’s deformed for life.

Adding to the irony is the saga of modernization yet an era of Darkness. Eureka!! And Lo there’s another technological breakthrough!! But no one ever realizes that it comes at the cost of the Biosphere we live in. We’ve Nanos and the Micro-Nanos these days Zip-Zap-Zooming the Highways but releasing infinite molecules of CFCs into the air making the Ozone Holes bigger and bigger and us humans more and more vulnerable.

Reuse the past; Recycle the present, save the future!

Blackouts have become the order of the day as Electricity, like many other things, has become a scarce commodity. A

decade ago, what took hourly slots of power cuts for load-shedding, nowadays continues for days together. People now have to do without it as Government says that we don’t even have any scope for undoing what wrong was done earlier. Human wants have taken a toll on the limited resources. Nature has been abused by Man at every step but he forgot that “Nature bats the last and owns the stadium”.

At this juncture, I’m reminded of Mark Twain as he once famously remarked, “Everybody talks about the weather, but

nobody ever does anything about it.” That’s what happened every time we had an International Conference on Climate Change or an Under-water Summit or mud-slinging on each other every time the Kyoto Protocol was flouted. But it’s not just about these world summits, what has happened has obviously begun at a grassroots level, i.e., the Common Man’s level. Knowingly or unknowingly, each and every one of us has contributed to this appalling danger of annihilation of the human race. The unlimited

We killed Mother Nature every instant when we pumped in pollutants from the exhausts of our vehicles, chimneys of our

factories, by dumping polythene bags, and by using Air-conditioners. And even the trees, which could have saved the atmosphere, were rampantly felled. Every time our Government woke up to the deforestation alarm, some plantations were done in various institutions with much media fanfare but how many went back to nurture those saplings? Now, these pollutants have even run into our Water and made it inedible. Water, like Midas’ Gold, has turned into a curse for the humanity because we, then, ignored it by letting our taps run or our buckets overflow for no reason and, on top of this, Municipal Corporations found the water bodies to be ideal dumping grounds for garbage and se wage. While all this was happening, we were slowly aggravating it by misusing Electricity, which led to increased demand and increased generation of Thermal Power by burning fuel which further polluted our environment. Appliances consuming more power were installed in establishments for the comfort of the residents but were incessantly used as though they were the last persons on earth to be using it. This led to a Demand-Supply mismatch, which led to power failures and the damage of increased Carbon emission from the Thermal Power generating plants set up to meet the demand.

Now, when all the damage has been done, we ask o urselves, “What could a Common Man like us possibly have done to stop this?” I have an answer to that: When a Common Man has the capacity to bring the world to this stance, he definitely has the ability to reverse the process as well; all that is required is a little bit of discipline and pursuing the stand with single-minded devotion. Least that someone can do is use his own transport only when absolutely essential, drive more fuel-efficient vehicles, buy energy saving bulbs, switch off electrical appliances when not required, boycott plastics, wisely use and save water for the future, fell fewer trees and plant more. Ingraining these thoughts within him, a person will definitely reflect them in his acts and this will bring about a change, though small. This small change will definitely set a chain of changes and lead to a sea of change. So, today we have to be the change by “Thinking Green” if we want our future to “See Green”.

Celebrations & Achievements!!!

We congratulate all the members of the Transwarranty Group for the successful completion of 15 years of the Company on 9th August, 2009. A la drops of water forming an ocean, the smallest of effort put in by each member counts in making Transwarranty what it is today.

The Nostalgia was relived on 7th August, 2009 with the sharing of experiences and the video show which captured reminiscences of the past. All the members joined hands in the medley of singing, dancing and merry-making.

A cake-cutting ceremony and, then, distribution of trophies to all Transwarranty members added an extra glint to the show making it memorable for everyone present.

The Merchant Banking License renewal for a period of 3 years from April 17, 2009 to April 16, 2012 was an icing on the cake. We received the license renewal certificate from SEBI on October 8, 2009.
