TERMS AND CONDITIONS OF THE SALEThank you for attending the 2020 Diamond-McNabb Ranch Horse Sale. Please be aware of the following Terms and Conditions of the Sale, which will apply to all sales and which provisions are deemed accepted in their entirety by all prospective attendees, bidders and buyers.

1) Inspection. All horses will be made available for viewing and inspection prior to sale. PLEASE EXAMINE HORSES PRIOR TO BIDDING. All horses will have passed a basic veterinary exam prior to entry in the sale.

a. A qualified veterinarian will be on site to answer questions and assist with examination if requested. If the requested veterinarian assistance results in any fee, it will be due and payable from the prospective buyer at the time the assistance is rendered, regardless of whether the horse is purchased by the prospective buyer.

b. Although efforts have been made to assure accurate representations of the horses’ current condition, history and performance record, all horses are sold “as-is” and “where-is”, except as otherwise expressly stated herein.

2) Representations. EXCEPT TO THE EXTENT EXPRESSLY STATED HEREIN, DIAMOND-MCNABB AND INVITED CONSIGNORS HEREBY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THERE ARE NO WARRANTIES, EXPRESS OR IMPLIED, WHICH EXTEND BEYOND THOSE SPECIFICALLY DESCRIBED HEREIN. Diamond-McNabb or the consignor, whichever is the Seller of a given horse, represents as follows:

a. Good title to the horse is held by Seller and will pass to Buyer.b. The horse is sound of limb, heart, eyes and wind as of sale day. c. The horse is not a cribber. d. The horse does not have a MAJOR pre-existing condition. Minor injuries or conditions may exist and are accepted by the highest bidder. e. The horse is accurately described as to age and sex. In the case of stallions, this means that both testicles are descended on sale day. f. The horse has passed a Coggins test (obtained a negative result) in the 6 months prior to sale day. Coggins papers will be given to Buyer upon payment.

CORRECTIONS OR CONDITIONS ANNOUNCED AT SALE TIME TAKE PRECEDENCE OVER CATALOG DESCRIPTIONS, AND THEREFORE CONDITIONS ANNOUNCED IN THE RING ARE ACCEPTED BY BUYER AND WILL NOT VOID, OR ALTER THE TERMS OF, ANY SALE. PLEASE PAY CAREFUL ATTENTION TO ANNOUNCEMENTS.

3) Bidding and Sales. The Sale is complete, and the risk of loss and responsibility for the horse pass to Buyer, when the gavel knocks. a. The Buyer is the highest bidder as recognized by the Auctioneer. If the Auctioneer believes a legitimate dispute may exist between multiple bidders, the

horse will immediately be opened to further bids from those bidders in dispute only. If no higher bid is made, the horse will be sold to the high bidder who was last recognized by the Auctioneer. The decision of the Auctioneer will be final.

b. All Diamond-McNabb horses will sell unless withdrawn prior to entering the sale ring, subject to the following: i. A minimum bid of $2,000 will be imposed at the Sale. Minimum bids will apply to started horses age 3 and older. Any such horse

that receives no bid of $2,000 or more will remain the property of the seller. ii. Please see also item 9 regarding younger horses.

c. If payment is not made by Buyer, then Seller and/or Diamond-McNabb may pursue any legal remedy, including enforcement of the transaction by specific performance.

d. The Buyer grants Seller a security interest in the horse until such time as payment in full has been received by Seller. Title may be withheld by Seller until payment in full has been received.

4) Payment. Payment for all horse purchases and any related fees should be made to Diamond-McNabb, LLC. Personal checks, money orders, cashier’s checks and some major credit cards (a surcharge of 2% will apply) are accepted. Please have personal identification available. All payment will be made in U. S. currency. Thank you.

a. AQHA, APHA and other registration paper transfers will be the responsibility of the buyer. Original registration papers and a signed transfer will be mailed to the buyer after expiration of the 30-day Good Fit Guarantee.

b. For any payments returned by the bank or paying institution, Buyers will pay a return processing fee of $20. c. Successful Buyers using the online auction service will pay an additional service fee equal to 2% of their winning bid.

5) Guarantees of Soundness and Good Fit. Diamond-McNabb, LLC wants to run an honest sale of quality horses. In an effort to help Buyers obtain the right horse for them, we offer the following Guarantees.

a. All horses will have a Soundness Guarantee (limb, heart, eyes and wind) for 48 hours after the gavel knocks. In the event of unsoundness of limb, heart, eyes, or wind, Buyer must provide notice to Diamond-McNabb, LLC within the 48 hour period, and after Buyer returns the horse and its condition is verified and the return is approved by Diamond-McNabb, LLC, Buyer will receive a full refund of the purchase price.

b. All horses age 3 and older will have a Good Fit Guarantee for 30 days after the gavel knocks. In the event that a Buyer is dissatisfied with the horse’s performance (not soundness) during the 30-day period, he or she may contact Diamond-McNabb, LLC during the 30-day period and return the horse for credit toward our sale of the following year, subject to the following:

i. The horse must be delivered to Diamond-McNabb within 72 hours of approval to return the horse, and must arrive in sound condition.

ii. Sale credit will be given up to the amount of the purchase price (excluding service fees, taxes and registration fees, if any) of the horse returned.

iii. Sale credit must be used in the following year and may not be carried forward to future years. iv. Sale credit is not transferable to other parties. v. Unused sale credit will not be refundable by Diamond-McNabb, LLC whether a new horse is purchased or not.

1. For example, if a Buyer acquires a horse in 2020 for $8,000 and returns it under this guarantee, and subsequently purchases a horse using sale credit in 2021 with a winning bid of $7,000, then the Good Fit Guarantee is completed; no further credit or refund will be due.

Notwithstanding anything to the contrary in this section 5, Diemer True or Ken McNabb shall retain sole discretion and final authority to determine whether any claim under the Soundness Guarantee and the Good Fit Guarantee will be approved.

6) Attendee Risks. Attendees agree that they are present on the premises and attend the sale at their own risk. Hazards associated with horses, weather, group gatherings and numerous other conditions are unavoidable and accepted by attendees. Neither Diamond McNabb, LLC, Diamond Land & Livestock, LLC, Diamond Ranches, LLC, Ken McNabb Horsemanship, LLC, the Auctioneer, nor any other sponsor, vendor nor supplier shall have liability for accidents or injuries to person or property that occur on the premises or that are associated with inspections or attending the sale.

7) Exclusive Sale, No Alley Trading. The premises are for the exclusive use of the Diamond-McNabb Ranch Horse Sale. No other horses will be permitted on the grounds;

any horse found on the grounds will be subject to going through the sale ring, and incurring a sale commission and a catalog fee, plus an unconsigned selling fee of $250.

8) Miscellaneous. These Terms and Conditions shall be binding upon and shall inure to the benefit of the parties and their respective heirs, legal representatives, successors and assigns. This Agreement shall be controlled, construed and enforced in accordance with the laws of the State of Wyoming. Venue for any action between the parties shall be in the Seventh Judicial District, Natrona County, Wyoming. Time is of the essence in the performance of the rights, remedies and obligations contained herein. These Terms and Conditions contain the entire understanding of the parties and supersede all previous and contemporaneous statements, negotiations, agreements, representations or understandings, whether written or oral.

9) Production Horse Amendments. The following two conditions apply to all sale horses age 2 years and younger only: i. The Seller may “no-sale” or “pass-out” the horse, electing to retain the horse rather than sell it, if he does so before the horse

leaves the sale ring. ii. Neither Diamond-McNabb nor other Sellers will offer a Good Fit Guarantee on these young horses. They may not be returned

under this Guarantee.

Additional Notice:

Please be aware that Wyoming law recognizes that there is “inherent risk” associated with equine activities, and that risk is assumed by the participant rather than the provider of the equine activity.

“Any person who takes part in any sport or recreational opportunity assumes the inherent risks in that sport or opportunity, whether those risks are known or unknown, and is legally responsible for any and all damage, injury or death to himself or other persons or property that results from the inherent risks in that sport or recreational opportunity.”

Directions:From I-25 North (Casper): (Allow about an hour and 15 minutes from Casper.) Going south on I-25, take the LaPrele Creek Exit (#146). At the stop sign at the end of the ramp, turn right, then immediately left. This is State Highway 96, parallel to I-25. In about 3 miles, turn right onto the Cold Springs Road (State Highway 91). Stay on this paved highway for approximately 23 miles. The Powderhorn Ranch entrance will be on your right within 500 yards after the pavement ends. Signs and/or volunteers will help you park.

From I-25 South (Wheatland or Glendo): (Allow about 35 minutes from Douglas.) Going north on I-25, exit right at the west Douglas exit (#140). At the first stop light, turn right onto South Riverbend Road. Within 1/2 mile, turn right onto the Esterbrook Road (Highway 94) and pass under the Interstate. Within one mile, turn right onto the Chalk Buttes Road (County 9). This road will intersect with the Cold Springs Road (Highway 91) in about four miles; turn left and continue until the pavement ends. The Powderhorn Ranch entrance is on the right shortly after the end of the pavement.

Please Note: Our experience with GPS navigation systems going to the ranch is spotty at best. Please compare its routes to a map to be sure it doesn’t direct you over dirt roads from another direction.

Bidding Options:Via the Internet: If you are unable to attend the sale, online bidding will be offered through DVAuction at http://dvauction.com/account/register. Preregistration is required and you will need high speed Internet the day of the sale. Please take into account time differences if you are not in the Mountain time zone.

Brockleface Starlite, aka “Flint” is a head-turner with his clean, upright build and natural presence. With a pedigree full of old-time Quarter Horses (including 5 AQHA Hall of Fame Horses right on his papers) it’s not often that you find as many legendary names behind a horse of his age. Flint’s foal crops with us have been consistently pretty, well-made and intelligent colts. Quest was just getting started under saddle with us when we began the breeding program, and we’ve ridden, trained and sold dozens of his offspring by now. Gentle natured and reliable, when he is not out with the broodmares you can usually find him under saddle (or bareback) with one of the girls aboard. He is cowy for any job on the ranch and safe for our whole family to ride. Hank O Lena, AKA Stormy, goes down in history as the horse that changed Ken McNabb’s life. “I started riding Stormy in 2006 and I could not believe the difference in him compared to other two year olds. He came along so fast and effortlessly, he had the fundamentals of all the performance maneuvers in his first ten rides. That is a trait that he passes on to all his foals. He is ever the gentleman, always gentle, always kind. These are all traits that his foals display. 3. Attend the sale in person if you can. You get to see the horses and meet the riders “live.”

4. Manage your budget by keeping a longer ‘“Short List”. If you only choose 1 or 2 horses, they might get away from you on sale day.

5. Relax. Introduce yourself. Meet some new friends. Enjoy. It’s a weekend in Wyoming!

There are not enough good words in the dictionary to describe Dudley. He is the kind of horse that Ken tells people “was born broke” and has a steady approach to life. In general, he just never gets flustered or spooked no matter where we are or what we are doing, Dudley takes it all in stride. This guy is a smooth-moving horse that we have used for all levels of riders and all the different jobs on the ranch and he is always a favorite! Looking for a solid family horse? Maximus is your guy! Anyone could ride him; grandmas, kids, you name it! He has a gentle heart and will take good care of any rider. He is comfortable bareback, double and even triple, and has a smooth trot and lope. Maximus is a brave one. He is what people call “bombproof” and I have ridden him with a flag, dragged a log, pulled a sled, dribbled a ball, swung the rope, crossed creeks and even did a headstand on top of him! He has tolerated anything. He has also wrangled horses, moved cattle and herded bison. Max is a great trail horse, goes where you ask and keeps a steady speed even through obstacles. Bugs has the most important role of any horse we own. His job is to take care of Jill and Jill is very handicapped. Bugs is exceptionally well trained and does an exceptional job taking care of Jill. He is extremely smooth which is a must for her. He is responsive but not reactive which is crucial for her as her legs have essentially no feeling. Bugs is very quiet. Jill has ridden him everywhere this winter in Arizona. She went up some big rocky mountains, through very fun rivers and across some mountainside switchbacks where the bottom was a long ways down. She also roped cattle on Bugs. Captain has that calm, gentle eye and I would put anyone on him without a doubt. He does anything you ask and he has never taken a wrong step with me. He is always ready for a good ride! I have laid Captain off for awhile and when I bring him back he is always his same self with no ground work needed. Sergeant is an awesome horse who has been used in all aspects of ranching. He has been roped and doctored off of on cold mornings and worked long days going up and down the mountain trailing cows. Weston is a beautiful palomino with a disposition that will melt your heart. He is the type of horse you can trust to put your kids or great-grandmother on, or truly enjoy for yourself. Quill is a gentle minded gelding that is ready to go for long journeys down the trail or small outings around the neighborhood. Cherry Bomb is truly a unique horse; he has a heart of gold. Cherry is so warm, personable and tries so hard to please. He could be the easiest horse I have ever trained. Talk about a classy ranch horse! Boots is impressive in so many ways: gentle disposition, gorgeous build, great personality, ability to do anything required… the list goes on! Here is a solid gelding with a heart to please! He loves to meet you at the gate and go to work. He would make the perfect trail partner, ranch horse or great prospect for roping. Twister has explored many trails and seen a lot of road miles; he is traffic safe. I have used Twister to pull a sled and feed calves, he has opened and closed gates and in the winter he loves pulling the kids in a sled. Mr. Sensation is one great all-around family horse who is gorgeous to boot. He is calm, cool and collected in every situation. This colt shouts quality in every way. His pedigree shows you reining, cutting, roping and halter horses with millions of dollars of earnings. His coat looks like he has been shot full of bullet holes, hence his name, Bulletproof. This Appaloosa gelding has a laid-back personality and takes everything in stride. He has put up with all of the shenanigans we have put him through from trail riding by the light of the moon to an archery hunter target practicing from his back. He is a stalwart trail horse but can also excel in the arena. Flashy, smaller sized gelding with lots of chrome that is gentle, gentle, gentle. Our boys purchased him as a 2 yo and he quickly became our 10 yo son’s main mount. He is our go-to horse for inexperienced riders and as close to bombproof as you can get for his age. He is so safe that Cooper hops on him bareback in the pasture without a halter. Boots is not only safe but has had a full-time ranch job. He has drug hundreds of calves to the branding fire, sorted pairs and pasture roped dozens of calves and yearlings. This is my main man when it comes to getting work done on the ranch. Hershey is as smooth as great chocolate and as quick as a whip! He is soooo much fun to ride on cattle and rides off of your seat extremely well. He has a very nice handle on him and is very soft sided and very soft in the face. This guy lays off well during our long and cold North Dakota winters and is always ready to go do a job. Rocky is the ultimate guest horse that anyone can ride. He is one gentle, easy-going guy with a sweet disposition. We have let him sit for months and he rides off the same every time. We have used him to snub up colts and aid in training other horses. When we have an extremely timid rider we put them on Rocky for a guaranteed safe and fun ride. We haul him to rodeos with big crowds too. Chrome is well trained and a lot of fun to ride. He is soft and responsive. This is one gentle and safe horse. Maggie has proved over and over to have a sweet disposition. She is easy to get on and off of and will even sidepass to meet you at the mounting block. Maggie is soft and quiet in the bridle, will smoothly lope right out of her tracks and pick up her leads. She is great with obstacles. I have carried a flag, ridden over a tarp, trotted around the barrels, roped the dummy on her and she takes everything in stride! My fiancé loves choosing Maggie for a day on the trail. If I could only use three words to describe Earl, they would be gentle, loving and kind. Earl is one of the safest horses I have ever known. You can turn Earl loose for a month at a time and never worry when you go back to riding him. He has been trail ridden all over the Bighorn Mountains.
