SECTION – 1INSTRUCTIONS TO BIDDERS

INSTRUCTIONS TO BIDDERS FOR PREPARATION OF TWO SEPARATE DETAILED PROJECT REPORTS (DPR) AND "FEASIBILITY ASSESSMENT AND BID PROCESS MANAGEMENT” FOR DEVELOPMENT OF GARMENT / APPAREL PARK AND ALLIED COMMERCIAL USE OF LAND OF MSTC AT EMPRESS MILL, NAGPUR AND NARSINGGIRJI MILL, SLOAPUR."

1. INTRODUCTION: MSTC invites Bids from reputed, experienced and competent consultants / consortium of Consultants for consultancy services for Preparation of two separate Detailed Project Report (DPR), "FEASIBILITY ASSESSMENT AND BID PROCESS MANAGEMENT” FOR DEVELOPMENT OF GARMENT /APPAREL PARK AND ALLIED COMMERCIAL USE OF SAID LAND OF MSTC AT two locations viz. at NAGPUR AND at SLOAPUR."

2. Electronic Submission under two envelopes system (e-Envelope) in the prescribed forms are invited by MSTC, from prospective consultants/bidders for providing the consultancy services listed under the Terms of Reference (TOR) given in this bid document. Interested consultants are hereby invited to submit the proposals in detail as per the instructions given hereafter. The scrutiny of the proposals submitted and, if required, the discussions may ultimately lead to a contract with one of the successful Consultants / firms.

3. The standard terms and conditions of the Contract for providing Consultancy services are contained in this document. The bidders are requested to go through (i) Instructions to Bidders (ii) Terms of Reference (iii) the List of various documents to be submitted by them. The bidders should fully go through all the terms & conditions, scope of work and the local conditions pertaining to this project. It will be presumed and construed that all the Consultants have read and understood the various terms and conditions provided in this Bid Document, before submitting their proposals for the services. The formats for submission are enclosed in this document to help the bidders in submission of online offers.

4. The cost of the prescribed blank e-tender form is Rs.5,000/- (Rs. Five Thousand only) each which is non-refundable.

5. While submitting the e-tender, it is binding on the Bidder to put his signature on every page of Bid document and in case there is a correction in writing, then bidder should initial the correction. After scanning of the duly signed, bid document it shall be uploaded on the website https://mahatenders.gov.in .

6. Bid submitted without signature on all the pages will not be accepted. Likewise any e-tender condition with modification or additional conditions shall be rejected.

7. As per Information and Technology Act, 2000, the Bidder shall obtain Class-II or Class – III Digital Certificate (both signing inscription) from any certified authority by paying prescribed fees, then only bidder will become eligible to submit the e-tender.

8. Bid document is not transferable to other. 9. As per the GR No. GAD-DIT 080/2/2014-GIT (MH) DATED 13/8/2014, ISSUED BY

Information Technology (GAD), Govt. of Maharashtra, the amount of Rs.5,000/- (Rs. Five Thousand only) towards cost of tender form and Rs.1,00,000/- (Rs. One Lac only) for each Location towards interest free EMD will have to be paid online in SBI Account through E-Payment gate way.

10. After opening of the e-tenders at Regd. Office of the Company at Mumbai, discussions will be held with the highest ranked four bidders, who are found qualified after evaluation of Bids

11. After opening of the e-tenders, the EMD amount of Bidders who are not found eligible for discussions will be auto-refunded to them through SBI e-payment get way to their Bank accounts, from where cost of document and EMD amount is paid, only after completion of the e-tender procedure. After discussions the EMD amount of lowest 3 bidders will be retained with SBI. The EMD amount of the remaining bidders will be refunded through SBI through e-payment get way to their respective bank accounts only after completion of e-tender procedure.

12. Under any circumstances, right will not be available to the highest ranked three bidders to withdraw their offer during the period of 90 days from the date of opening of the bid. Their EMD amount shall continue to remain without interest with SBI account.

13. After issuing letter of award of contract to the successful Bidder, the EMD amount will be refunded to two others.

14. Time schedule:- The basic consideration and the essence of the contract shall be strict adherence to the quality and time schedule for performing the services.

15. Language of Bids:- All information in the bid shall be in English. Failure to comply with this may disqualify the bid.

16. Signature of Bidder:- The bid must contain the name, residence and place of business of the bidder. If the bidder is a partnership firm / company etc., an authorized person must sign the bid with the seal of the organization. Significant

evidence of authority of the person signing on behalf of the Bidder shall be furnished with the bid.

17. Local Conditions:-

17.1. Each bidder should fully acquaint himself with all local conditions and factors, which may have any effect on the execution of services covered under these documents and specifications. It must be understood and agreed that all the factors have been properly investigated and considered by the bidders and made due diligence before submitting the proposals. MSTC will not entertain any claim or financial adjustment or modification in the time schedule due to inadequate appreciation by the bidder at the time of submission of bid.

17.2. All costs of preparing the proposals, presentations, site visits etc. shall be borne by the bidders.

18. Price Bids:- The bidders are required to quote a lump sum fee in rupees inclusive of all prevailing taxes and levies except service tax for the consultancy services in the prescribed format given on the e-tendering portal. The service tax as applicable shall be reimbursed separately, on actual basis.

19. Duties and Taxes:- No claim on any duties, taxes (except service tax), charges and other levies which are payable by the bidders will be entertained by MSTC.

20. Validity:- The proposal shall remain valid for a period of ninety (90) days from the stipulated date of opening of Bids. The overall offer including personnel proposed for the assignment, price bid etc., shall remain unchanged during the period of validity.

21. Submission of Bids:- Proposals will be submitted electronically namely under, "Technical Bid" and "Financial Bid". “TECHNICAL PROPOSAL i.e “e-ENVELOP NO. 1”

It shall be the responsibility of the bidder to ensure that the bid is submitted under proper sections.

22. SCOPE OF WORK :

22.1 Prospective bidders are required to identify locational advantages, identify suitable configuration of the proposed development, identify product focus

and services focus of the proposed project and prepare two separate bid documents for selecting developer for the said two locations.

22.2 The consultancy involves rendering services for feasibility study, business

plan based on broad project plan for each site as stated below:

22.3 To study and assess the locational advantage to identify product focus which should be employment oriented.

22.4 Also emphasis should be given for generation of higher revenue which should not be less than of the market value as per prevailing market rate of land considering the applicable FSI on mix zone use, including probable value of structure standing on the respective lands.

22.5 To prepare broad vision for configuration of each project including essential

components, size allocation of each components resulting into maximum land use plan.

22.6 To assess the feasibility of various Public Private Partnerships in the venture.

Also establish commercial viability and bankability of the project in addition to preparation of a Cost Recovery Plan and Cost Benefit Analysis.

22.7 What would be approximate development amount that MSTC may require from successful developer, considering the market value of existing land as per prevailing FSI on mix zone use.

22.8 To prepare separate suitable bid documents for two locations at Nagpur and Solapur along with guiding criteria for selection of developer/bidder as per the project structure approved by MSTC and assist in bidding process till such time that the developer is identified and awarded Letter of Intent (LOI) for establishment of Garment Park/Apparel Park and use of land for allied Commercial purposes and draft development agreement to be signed with successful developer.

22.9 Study the Development Rules of local authority as in force, and also execute all other relevant legislations.

22.10 Also assist to the MSTC Ltd. in successful implementation of project as per DPR and Development agreement, till that time association of the Consultant with the MSTC Ltd. shall be required.

22.11 Consultant shall ensure successfully implementation of the project/s as per DPR and development agreement.

22.12 To give presentation. To submit development plan and model in PPT and 3D Model.

22.13 To earmark land for Garment /Apparel Park and for commercial development including estimation of revenue generation.

23. Rejection of BidThe bid is liable to be rejected if on opening it is found that:

23.1. The bidder has not submitted the required EMD amount.

23.2. The bidder has not strictly followed the procedure laid down for submission of bid and failed to submit information in prescribed format as per Appendix 1 and 2 which are part and parcel of this bid document.

23.3. The Bidder is not qualified as per the eligibility Criteria.

23.4. The Bidder has proposed conditions or qualifications which are inconsistent with or contrary to the terms and conditions as specified.

23.5. The bidder has not attached any of the documents listed in the Technical Proposal.

23.6 The bidder has not signed on all the pages of Bid document

24. Who can bid:- Any individual or firm or a Body Corporate who fulfils the eligibility criteria as given below can bid for the assignment.

25. Eligibility Criteria:It is proposed to short list the Consultants who either singly or in association with others will be capable of rendering high degree of professional services in the fields of work mentioned above and such consultants will be short listed on the basis of their technical capabilities. Among others the following shall be the guiding criteria, broadly for the selection of Consultants: 25.1 Bidder should have minimum of five years of consultancy experience of

preparation of similar Project Reports. Preference would be given to Bidders registered under the Companies Act 1956.

25.2 Preference would be given to the Bidders having experiences in the consultancy for large development projects of integrated textile / apparel parks including infrastructure facilities and factory buildings.

25.3 Should have proven experience of working in a similar role with Central and /or State Governments as a program management or project development agency.

25.4 Should have experience of working in Maharashtra and also have a permanent office set-up in Maharashtra.

25.5 Should have minimum average annual turnover for the last 3 years of Rs.10.00 Crores and Net Worth of Rs.10.00 crores.

25.6 The Bidder should have provided consultancy services including conceptualization, planning, architectural design, structural design, design of utilities, infrastructure and or cluster development for project cost of not less than Rs.50 Crores individually or Rs.100 Crores jointly in any one of the project in the last three years.

25.7 Bidder should have strong consulting and evaluation team with dedicated individuals from diversified backgrounds.

25.8 A firm or an individual debarred by the Authority or any other Government Agency shall not be eligible to be awarded a contract.

25.9 Restrictions for Government-owned Enterprises:- Government-owned enterprises or institutions shall be eligible only if they can establish that they

i) are legally and financially autonomous,ii) operate under commercial law, andiii) that they are not dependent agencies of the ContractingAuthority

25.10 Restrictions for public employees:- Government officials and civil servants are not eligible to be included as Experts in the Consultants Proposal

Explanation : If Bid is submitted on behalf of consortium of Consultants then the eligibility criterion of the Lead Consultant only will be considered so as to fulfill eligibility criterion.

26. Key PersonnelIt is desirable that the Consultant’s team shall consist of the following key personnel with the required professional qualification and experience and who shall discharge their respective responsibilities as per TOR:

Key Personnel Educational Qualification, Experience including Experience on Relevant Assignments

PPP Expert (the “Team Leader”): MBA/ CA/ CFA. He should have led the financial team in preparation of revenue model and/or bid documents for 3 (three) similar Assignments, of which at least 1 (one) should be PPP projects. He should have prepared at least one bankable project report and wherein should have assisted in financial closure of the project costing at least Rs. 50 crore (Rs. Fifty Crores only).

Bidders are free to avail professional services of legal experts on hire basis at their cost. Focus will be given on past performance.

Urban Planner: Post-graduate degree in Urban Planning with 7 years’ experience. He should have worked as a planner in at least 2 (two) Assignments wherein sustainable planning / smart planning principles have been used.

Cluster Development Expert : Post graduate in management field with 7 years‟ experience. He should have worked as a cluster development expert in at least one (1) Relevant Assignments and should have experience in mobilization of at least 50 crore (Rs. Fifty Crores only) under cluster development.

Financial Expert MBA/CA/CFA or equivalent with 7 years experience. He should have worked as member of a financial team in preparation of revenue model and/or bid documents for at least One (1) similar assignment.

Other Terms:

If a firm considers that it does not have all and key personnel the expertise for the assignment, it may obtain a full range of expertise by associating with individual consultant(s) and/or other firms or body corporate or entities in a joint venture or sub-consultancy, as appropriate. In such a case, the proposal must clearly indicate the organizational details, relationship, role & responsibility, etc. of the associate members.

27. Proprietary data

All documents and other information provided by the MSTC or submitted by a Bidder to MSTC shall remain or become the property of MSTC. Bidders have to treat all information as strictly confidential. MSTC will not return any Proposal or any information related thereto. All information collected, analyzed, processed or in whatever manner provided by the selected bidder to MSTC in relation to the Consultancy shall be the property of MSTC.

28. Cost of Bid Document (Non-refundable)

The Bidders shall pay a sum of Rs. 5,000/- (Rupees Five Thousand only) towards the cost of the bid document online through e-payment Gate way.

29. Earnest Money Deposit (EMD)

The bidder shall pay, as a part of the offer, an EMD of Rs. 1,00,000/- (Rupees One Lakh only) for each location online through SBI MOPS E-payment Gate way Only.

29.1. Any bid not accompanied by EMD shall be rejected. 29.2 If after submitting the offer, the bidder withdraws his offer during validity period

or if after acceptance of his offer, fails or neglects to furnish the performance without prejudice to any rights and powers of MSTC, herein under or in law, the EMD shall be forfeited to MSTC.

29.3 The Earnest Money Deposit will be forfeited to MSTC, if the bid is withdrawn by the bidder after its closing date and before the expiry of the validity period.

29.4 In the event of offer being not accepted, the amount of EMD deposited by the bidder, shall unless it is prior thereto forfeited, will be refunded to the bidder through e-payment.

29.5 The EMD shall not carry any interest. 29.6 If it is discovered that the bidder has submitted more than one offer under

different names, all their offers will be rejected and the Earnest Money will be forfeited.

29.7 EMD of successful bidders shall be retained with MSTC as interest free as stipulated elsewhere in this bid document.

30. Pre-bid Meeting:Pre-bid meeting shall be held as per schedule of tendering programme at MSTC office in order to clarify and discuss any provision or requirements with respect to technical / commercial parameters of the project, TOR or any other related issues. The bidders are requested to send their queries at least two (2) days in advance of the pre-bid meeting. If need be the Bid Document will be amended after pre Bid Meeting within three working days. But this is discreatory on part of MSTC and cannot be treated as enabling clause on the part of Bidder

31. PRESENTATION

(i) Bidders are required to make presentation before the MSTC / Govt. Representatives on 5th April, 2017 from 11.30 A.M. onwards at MSTC’s office or Mantralaya. Address of the venue will be informed later.

(ii) The Bidders will be provided with screen / LCD monitor. However they will have to arrange lap top of their own.

(iii) The presentation inter alia shall include:

Strength Analysis of the Organization. Approach (Methodology and Time Line). Marketing Strategies. Targeted Revenue to MSTC. How they will achieve the Targeted Revenue.

(iv) Brief introduction about firm including information

About staff, Association and Consultant. Completed Project details (Photographs). Design concept. Environmental aspects, Master Plan, Building Plan, Details of units

plans, Technology to be adopted for construction. Project feasibility report in detail.

(v) Each Bidder will be allowed a time limit of maximum 20 (twenty) minutes. The representatives of MSTC / Govt. representative shall have right to seek clarifications from the Bidders during or after the presentation.

(vi) Bidders are advised to restrict their representatives to maximum 2 or 3 personnel at the time of presentation.

(vii) The revenue projections made with Methodology and approach to achieve the same shall have bearing on the selection of the consultant.

32. Right of MSTC to modify the Bid Document MSTC reserves right to add delete amend or modify any of the terms of the Bid document prior to the date of commencement of Bid submission. In that event MSTC will issue corrigendum in the web site https://mahatenders.gov.in

33. BIDDING PROCEDURE The bidders meeting the above criteria, may submit their bids (proposals) in e-Envelope covers. The e-Envelope (a) would include technical bid i.e. documents in support of eligibility conditions as mentioned above and also a detailed note on the understanding of the scope of work, proposed approach, and methodology and work plan along with the details of resource persons who would be deployed for this assignment, (b) would include two separate financial bids quoting a fee for proposed assignment for each location. Bidders are free to quote financial bid for any one location. The fee quoted by agency for each location shall be lump sum inclusive of professional cost out of pocket expenses etc. However, the Service Tax would be extra.

34. Evaluation of Bids

34.1. Technical Bids:- Bids received and found valid will be evaluated by MSTC to ascertain the best evaluated bid in the interest of MSTC, for the complete works/services under these specifications and documents. The Bidder should take enough care to submit all the information sought by MSTC in the prescribed formats. The bids are liable to be rejected if information is not provided in the prescribed formats. The Technical Bid to be submitted as per formats enclosed in Appendix-1

The technical proposal shall contain conceptual Design and planning strategy with rough area statement overall cost estimates (excluding professional fees).

34.2. Financial Bids:- The financial bid of only those bidders, who are technically pre-qualified shall be opened. The Bidder will quote for each location a lump sum price for the services for conducting the assignment and will include inter alia, the fee for all components identified in the Terms of Reference. However, bidders are free to quote for any one Location. The total lump sum quoted fee will not be increased due to time and cost overrun. Lack of clarity on any cost of item as called for above could lead to the bid being rejected, if it hinders a uniform evaluation process, even if the bid fulfills all other criteria.

35. Short-listing of Bidders : The pre-qualified bidders shall be short-listed in the second stage.

36. GENERAL TERMS AND CONDITIONS

36.1 If a firm considers that it does not have all the expertise for the assignment, it may obtain a full range of expertise by associating with individual consultant(s) and/or other firms or entities in a joint venture or sub-consultancy, as appropriate. In such a case, the proposal must clearly indicate the organizational details, relationship, role & responsibility, etc. of the associate members.

36.2 The consultants shall submit separate Detailed Project Report for each Locations

36.3 MSTC reserves the right to accept or reject any or all bids received, without assigning any reasons and the decision of the Managing Director, MSTC shall be final and binding on all concerned

36.4 CARE AND DUE DILIGENCE: The successful bidder shall exercise all reasonable care and due diligence in the discharge of all technical, professional and contractual duties to be performed by them under this contract and shall be fully responsible to the MSTC for proper, efficient and effective execution of their duties.

36.5 CONFIDENTIALITY: The consultant shall treat all documents and information received from MSTC and all other related documents/ communications in confidence and shall ensure that all who have access to such material shall also treat them in confidence. The consultant shall not divulge any such information without the prior written information of the MSTC authorities. The consultant, if called upon by MSTC shall return all the documents received from MSTC from time to time after completion of the related work.

36.6 MSTC reserves right to appoint two separate Consultant for both the two locations. Even MSTC can appoint same Consultant for both the two locations.

36.7 It is not mandatory for MSTC to accept highest or lowest bid.

37. Discussions The first four ranked Bidders (the “Selected Bidders”) may, if necessary, be invited for discussions. Issues such as deployment of Key Personnel, understanding of the bid, methodology and quality of the work plan shall be discussed. In case the Selected Bidder fails to reconfirm its commitment, then MSTC reserves rights to designate the next ranked Bidder as the Selected Bidder and invite it for similar discussions.

38. Award of Contract38.1 The bids received and accepted will be evaluated by MSTC to ascertain the best offer

for the complete works / services under these specifications and documents.

38.2 The separate contract for the consultancy services for each location shall be awarded to the bidder who shall quote lowest fee at discussions.

38.3 MSTC, reserves rights to accept or reject any or all the bids without assigning any reason thereof.

38.4 Letter of Award of Contract for the Consultant will be made in writing to the successful Bidder by MSTC for each location.

39. Commencement of Assignment

The selected bidder shall enter into an agreement within 15 days from the date of receipt of letter of acceptance (LOA) from MSTC. Selected Consultant shall commence the services immediately on accepting LOA. If the selected bidder fails to either sign the Agreement or commence the assignment as specified herein, MSTC may invite the second ranked Bidder for further discussions . In such an event, the EMD of the first ranked Bidder shall be forfeited and appropriated.

SECTION – 2TERMS OF REFERENCE (TOR)

1. Background: Maharashtra State Textile Corporation a public sector undertaking of Government of Maharashtra has closed all the 9 Textile Mills under its control as per the policy decision taken by the Govt. of Maharashtra. All the workers and Employees working therein have been relieved and paid all dues in line with the Gujarat Pattern Voluntary Retirement Scheme. Now the Govt. of Maharashtra has decided to establish Garment Parks / Apparel Park and use the land for Allied Commercial purpose at Empress Mills, Nagpur and Narsinggirji Mills, Solapur. Now, MSTC has decided to appoint the Consultant for preparation for two separate Detailed Project Reports (DPRs) for establishment of Garment Park / Apparel Park and use of the land for Allied Commercial purpose.

2. Objective

The objective of this Consultancy (the “Objective”) is to procure transaction related advice, develop a Revenue Model, undertake a financial appraisal and assist in the bidding process and award of the Project in a manner which ensures participation by the best available companies in the bidding process, Financial closure of the project and optimizing the revenue potential of the Project. The objective behind this is to create the employment opportunities.

3. Detailed Scope of Services

3.1 The primary objective of this assignment is to prepare and deliver two separate Detailed Project Reports for DEVELOPMENT OF GARMENT / APPAREL PARK AND ALLIED COMMERCIAL USE OF LAND OF MSTC AT NAGPUR AND SLOAPUR."

3.2 Demand Assessment

3.3 Develop and provide a design framework for the said park, detailing the placement of different services/facilities, based on standards.

3.4 Enlist the infrastructure requirement for common manufacturing facilities.

3.5 Develop Request for Proposals for building various common manufacturing facilities, build & operate models and prepare lease documents for independent manufacturing units as per prevailing system in MSTC.

3.6 Provide a broad financial timeline for the overall project development exercise.

5. Demand Estimation:

5.1 The Consultant shall, study the market dynamics of Establishment of Garment Park / Apparel Park. Consultants shall study alternative case studies of similar development in Maharashtra. Consultants shall identify the factors having impact on the development of Garment Park. Consultants shall carry out necessary primary and secondary survey for the same. Consultants shall identify the strength of such factors in respect of the area wherein land is situated. Consultants shall identify the risk parameters associated with such development.

5.2 Based on demand estimation and risk parameters consultants shall identify the probable demand curve and strategies that need to be adopted for optimal development of the Garment Park / Apparel Park.

7. The DPR inter-alia should cover the following points.

7.1 Recovery of cost of land and infrastructure with reasonable return to MSTC Ltd. by the prospective developer, based on preventing market value, available FSI on use of land under mix zone (Existing Industrial Zone) including the structures standing on the respective land.

7.2 Considering all the schemes available from various departments of GoI and /GoM7.3 Market size of such activities proposed in Maharashtra. 7.4 Market value of land based on infrastructure created7.5 Risk and uncertainty analysis7.6 Activities to be included based on locational requirements7.7 Area allocation for each activity in the complex on the basis of local market need and

Above models shall be used for finalization of product mix. Based on which, consultants shall finalize the land requirements, master plan along with the location of various activities.

8. Detailed financial analysis and development options

8.1 The Consultants shall establish project framework as well as development options. The project framework should incorporate institutional mechanism and responsibilities of each party. Consultant shall evolve alternate project structures in order to have a smooth funding mechanism possible. Consultants shall conduct analysis of objectives of each party towards development, events in development process and roles in managing operations.

8.2 The Consultant shall work out the financial viability of each of the Projects with a view to estimating the likely IRR. The Consultant shall prepare two separate Detailed Project Report for the Project outlining the salient features of the Project, its financial viability and its socioeconomic benefits. The Consultant shall also identify and quantify the estimated financial impact of the Project in the city including employment opportunity.

9. Assistance in the RFQ process/ RFQ cum RFP process

The Consultant shall assist the Authority in arriving at whether EOI/RFQ shall be floated or RFQ cum RFP shall be prepared, i.e. whether to adopt single stage two e-Envelope bidding process or two stage bidding process. Consultants shall submit the report on FDI possibility and how various Government schemes, like Make in Maharashtra, can be worked for betterment of the proposal. Consultants shall define the final project framework in this stage.

10. Preparation of Bid Documents

The Consultant shall prepare two separate Bid documents, draft development Agreements and any other schedules for both the projects. Consultant shall include bankability clauses in the agreements.

11. Assistance in the Bid Process

11.1 The Consultant shall assist the MSTC in the bid process for selection of the Developer from among the bidders and till the signing of the Agreement with the developer and till successfully implementation of projects as per DPR and Development Agreement. This will primarily relate to participation in pre-bid meetings and answering questions or issuing clarifications with the approval of the Authority.

11.2 The Consultant shall also assist the Authority in engaging with the bidders on different aspects of the Project such as its assets, the process of the transaction, the Revenue Model and the structure of the Project. It will also assist the Authority in preparing internal notes and projections for securing governmental approvals, if any.

11.3 The Consultant shall assist the Authority in evaluating the financial proposals and in engaging with the selected bidder till execution of the Development Agreement with the Developer.

This will primarily relate to participation in pre-bid meetings and answering questions or issuing clarifications with the approval of the Authority.

14. Performance Security:

EMD amount of successful bidder will be retained with MSTC Ltd as interest free deposit till bid evaluation, discussions, finalization and awarded of contract and signing of development agreement with the successful Developer and successfully implementation of projects as per DPR and Development Agreement.

15. Deliverables

In pursuance of this TOR, the Consultant shall undertake/deliver the following deliverables (the “Deliverables”) during the course of this Consultancy. Each deliverable shall include an executive summary, analyses, assumptions, results of computations, tables, charts, recommendations, and such other contents that generally comprise deliverables for similar consultancy work by way of best practices. 5 (five) hard copies and 3 (three) soft copies of all the Reports mentioned herein below shall be submitted to the MSTC. The deliverables shall include:

16. Assistance to be provided by Client : To facilitate smooth execution of the assignment, MSTC shall offer due help viz:

17. Monitoring System

The Consultant shall follow the decisions which may be taken by MSTCfrom time to time & communicated to them till the final report is submitted.

18.1 Any reason or condition which makes it unable for either party by reason of “Force Majeure ” or beyond the control of parties and be continuing, then MSTC may at its sole discretion, by written notice to the consultant, foreclose in whole or part of the consultancy service. Payment due thereafter to the consultant under the contract relating to the work done by the consultant till the date of foreclosure of work will be assessed and payment thereon will be released accordingly.

18.2 Upon termination of this contract, the consultants shall take necessary steps to bring the work to proper and orderly manner and shall handover all the documents / reports prepared by the consultant upto and including the date of termination to the MSTC Ltd.

18.3 The Consultants shall be duly paid for the works carried out and services rendered till the date of termination. And EMD amount shall be reimbursed without interest.

19. TERMINATION OF CONSULTANCY SERVICES

If any of the following events shall have happened and be continuing, then MSTC, by written notice to the consultant, terminate the contract forthwith.

19.1 On a default of any of the condition of this contract on the part of the consultant in execution of contract and be continuing, then MSTC may at its sole discretion, by written notice to the consultant, terminate in whole or part of the consultancy service, forthwith. Payment due thereafter to the consultant under the contract shall not be paid and EMD amount shall liable to be forfeited. The work done by the consultant till, the date of termination of work, will be assessed and payment thereon will be released accordingly.

19.2 Any condition referred to in this bid document continues after specified period then MSTC shall have given 7 days written notice with reasons to consultant for termination of contract forthwith.

19.3 In the event MSTC at its sole discretion deciding to terminate the contract, giving not less than 7 days prior notice to the consultant, the consultant can approach MD, MSTC, as the sole arbitrator for redressing their grievances. Decision of the MD shall be final and binding on the consultant.

19.4 The consultant shall promptly notify MSTC in writing of any situation or of the occurrence of any event beyond the reasonable control of the consultant which makes it impossible for the consultant to carry out its obligations hereunder. Upon confirmation in writing by MSTC of the existence of any such situations or event MSTC may at its discretion grant such extension of time in which the consultant will be able to complete the assignment. However, this shall not be treated as binding on the part of MSTC and as a matter of right on the part of Consultant. This is discretionary on the part of MSTC Ltd.

The agreement, its meaning, interpretation and the relation between the parties shall be governed by the Applicable Law of India and Maharashtra State

21. Jurisdiction

All disputes arising out of or in any way connected with the agreement shall be deemed to have arisen in Mumbai and only the courts in Mumbai shall have the jurisdiction to adjudicate the same.

22. COMPLETION CERTIFICATE

The completion certificate will be issued by MSTC on expiry of all the tasks and submission of all reports / documents as indicated in this REP, to the satisfaction of MSTC.
