Sealed tenders for award of rate contract for Authorized Cable TV Operation for the

Chapter-1: GENERAL INFORMATION AND SCOPE OF WORK

1.1 INTRODUCTION

Maharashtra Sadan is a State Guest House of the Government of Maharashtra.

It is situated at Copernicus Marg, New Delhi

1.2 SCOPE OF WORK

a) The Resident Commissioner & Secretary, Maharashtra Sadan is proposing to enter into rate contract for the period of three years for Authorized Cable TV Operation in Maharashtra Sadan, Copernicus Marg, New Delhi from Authorized Cable TV Operators who are capable and willing to provide the same. Rates for Cable TV Operation are, therefore, invited from the reputed authorized Cable TV Operators. The rates are to be submitted in Financial Bid (Annexure 09).

b) Demand of Cable TV Connections i.e. 70 connections are indicative only which

may decrease or increase as per actual requirement.

c) The Financial bids of eligible bidders will be evaluated in whole and Lowest-1 will

be eligible for the award of the tender.

d) Sealed bids should be submitted along with the Earnest Money Deposit (EMD) of Rs. 5,000/- (Rs. Five thousand only) in form of Account Payee Demand Draft/Fixed Deposit Receipt, Banker‟s Cheque in favour of the Resident Commissioner, Government of Maharashtra, New Delhi. Bid security of Rs. 5000/- is to be submitted by all bidders.

e) Bids received without the EMD will be rejected summarily.

f) All bids should be duly sealed/taped and clearly marking the bidder's name and

address on the top of the sealed envelopes as suggested in Tender Document.

Chapter 2: TERMS AND CONDITIONS OF THE CONTRACT

2.1. THE TENDER a) The original tender document must be duly signed and stamped by the authorized

signatory on each page. b) The bidder shall indicate the prices as mentioned in ANNEXURE 09. c) The rate must be stated in words and figures. If there is discrepancy between the

price quoted in word and figures, the price quoted in words would be treated as final. d) The price quoted by the tenderer should be firm and inclusive of all tax (like service Tax)

etc. e) No tenderer shall be allowed to revise its price quoted in the Financial Bid.

2.2. TERMS OF PROVIDING CABLE TV OPERATION a) The Rate contract Authorized C a b l e TV Operation specified in the tender d o c um ent will b e

signed as and when the Tender is finalized. b) The contract does not bind Maharashtra Sadan to prevent use of DTH and other services. c) Un-interrupted a nd quality service in terms of clarity and sharpness of the signals and courteous and prompt response to the satisfaction of Maharashtra Sadan is essence of this tender. d) Quality of the Audio/Video signals should be excellent and uniform throughout the network irrespective of the distance from the control room (minimum 90 db signal at end). e) The Authorized Cable TV Operator shall bear all cost related to maintenance and the operation of Cable TV Network installed in Maharashtra Sadan. f) The Authorized Cable TV Operator is advised to survey the Maharashtra Sadan at his own cost for

proper appreciation of layout and number of present connection before quoting the rates in the bid.

Indicative number of connections is 70. However, Maharashtra Sadan will not guarantee any

minimum numbers of connections. Any clarification sought by the Authorized Cable TV operator

after submission of the bid shall not be entertained by Maharashtra Sadan under any

circumstances. Conditional bids are not acceptable. g) The Authorized Cable TV Operator shall take and provide all safety measures and will be

responsible for all mishaps/mischief etc. resulting from such cable lying and shall indemnify

Maharashtra Sadan / individual against any risk arising out of the same. h) The existing cable from one point connecting the other points is the property of the Maharashtra

Sadan and shall continue to remain the property of Maharashtra Sadan. On completion/ termination o f the agreement all cabling which is laid new to the Ma har as htr a Sa da n premises by the Authorized Cable TV Operator shall also become the property of Maharashtra Sadan. The Authorized Cable Operator shall ensure that no damage is caused to the cabling network.

i) In case of discontinuation of a paid/ un-paid channel due to any circumstances, the same shall be substituted by the mutually agreed another paid/ un-paid channel accordingly.

j) The Authorized C a b l e TV Operator shall operate only those permissible channels which are

approved by the Maharashtra Sadan. k) The installation and transmission of the cable TV Network to all connections will be established

within 07 days from the date of agreement.

l) The Authorized Cable TV Operator or his employees will not, at any time cause or permit to cause any

nuisance at the premises licensed or do anything which shall cause disturbance to the connections of

Maharashtra Sadan. m) Most of area of Maharashtra Sadan is covered by a network of cables. Tenderer may however conduct his own survey and shall take cognizance of the same while quoting the rates.

n) In case the Maharashtra Sadan desires to use the media for communication to the rooms / offices for any message, for transmission of recorded programs/ functions, the Authorized Cable TV Operator shall ensure its transmission promptly.

o) The Authorized Cable TV Operator will supply the list of their employees along with photographs and his representative shall carry proper photo identity card. The Authorized Cable T.V. Operator shall ensure police verification of all its employees and ensure they conduct in gentle man like manner. The Authorized Cable TV Operator shall receive and attend t o the complaints 2 4 x 7 . The Authorized Cable TV Operator / his representative shall take prior permission from the Maharashtra Sadan before entering into their premises. p) The Authorized Cable TV Operator shall duly comply with all instructions issued by Maharashtra

Sadan from time to time. q) The Authorized Cable T.V. Operator shall cater for a suitable power backup facility to ensure

continuous transmission of Cable Network programs. r) Any complaint about the reception/quality o f cable connection lodged with Authorized Cable TV

Operator will be rectified immediately within 02 hours of lodging of complaint. s) The quality and performance of each channel has to be satisfactory and regular. The payment will be

made accordingly (Specified Technical).

2.3. SUBMISSION OF BIDS

2.3.1 SEALING AND MARKING BIDS

The bid should be sent in a properly sealed cover (Main envelope) containing

inside two separate sealed envelopes, one each for technical bid (pre-qualification)

and financial bid subscribed as 'Technical Bid (Prequalification), and Financial Bid':

a) Sealed Main Envelope will contain the Tender Document with Annexure 1,2,3 and two sealed envelopes.

a. Envelope No.1 (Technical Bid- Annexure 4,5,6,7 & 8 )

b. Envelope 2 (Financial Bid- Annexure 9)

The sealed tender will be submitted to Maharashtra Sadan as a Bid. Each

envelope should have the following written thereon:

b) Envelope No.1 (Technical Bid- Prequalification): The technical bid shall not have the price portion

but must include all the required information in Annexure 4, 5, 6, 7 and 8. It shall contain the EMD.

c) Envelope No.2 (Financial Bid):- It should contain all the information in Annexure 9. Price should not be indicated in any of the documents except in Envelop 2. Indication of price bid anywhere else will render the bid disqualified.

d) Bid to be addressed to The Resident Commissioner & Secretary, Maharashtra Sadan, Copernicus

Marg, New Delhi and must reach on or before 15.10.2015 by 15:00 hrs. Bids should be hand delivered o r may be sent by post at the aforementioned address on or before the above mentioned date and time. If the date on which the tender is opened for acceptance is declared to be a holiday, the tenders shall be deemed to remain open for acceptance till the next working day.

e) All the envelopes shall indicate the name and address of the bidder to enable the bid to be

returned unopened if required. f) The bidder shall submit the bid in sealed envelope.

2.3.2 DEADLINE FOR SUBMISSIONS OF BIDS

a) Bids must be submitted in the name of The Resident Commissioner & Secretary, Maharashtra

Sadan, Copernicus Marg, New Delhi, on or before the prescribed date and time.

b) No bids will be received/ accepted after the expiry of the prescribed date and time for submission of the bids.

c) Postal delay or loss of tender in transit will not be the responsibility of Maharashtra Sadan.

d) The Resident Commissioner & Secretary, Maharashtra Sadan, may, at his discretion, extend the deadline for submission of bids through the issuance of an amendment for the reasons mentioned therein in which case all rights and obligations of the Cable TV Operators and the bidders previously subject to the deadlines shall thereafter be subject to the new deadline as extended.

e) The responsibility for submission of the bids in time would rest with the bidder.

2.4. BID OPENING AND EVALUATION

2.4.1 Stage 1: Maharashtra Sadan will open all the Bids on the date, time and the place specified in the Tender document. The bid (MAIN ENVELOPE AND ENVELOPE 1- containing Technical Bid- Prequalification) will be opened in the presence of bidders' representatives, who choose to attend the same. The bidder or bidders‟ representatives present there, shall sign a register evidencing their attendance. In the event of date of opening of the tender being declared as closed holiday for State Government offices, the bids will be opened on the following day at the same time. Envelope 2 (Financial Bids) will not be opened at this stage.

2.4.2 Stage 2: On the basis of Pre-qualification Technical eligibility (Annexure 4), eligible bidders will be notified of presentation before Technical Evaluation Committee (For evaluation as per Annexure 6). Bids not fulfilling the criteria in Annexure 4 will be disqualified at this stage. Technical Evaluation Committee will hold presentation and demo as per timelines given in Annexure 1 to regarding quality and content of Cables. Bidders who receive more than 50 marks will qualify for next stage that is for opening of the financial bids.

2.4.3 Stage 3: The financial bid of the technically evaluated renderers (receiving more than 5 0 marks on criteria mentioned in Annexure 6) only will be opened on the date and time fixed by Maharashtra Sadan, which will be informed in writing at a later date. The financial bid of those bidders disqualified at technical stage shall not be opened and will be returned as such in sealed condition.

2.5. AWARD OF CONTRACT

2.5.1. AWARD CRITERIA

Maharashtra Sadan will award the Contract to the successful Bidder whose bid has been determined to be substantially responsive and has been determined as the best evaluated bid provided further that the Bidder is determined to be qualified to perform the Contract satisfactorily. The

evaluation will be for the total bid value of the entire category and not for individual category in the

details given in Schedule of Requirement in Annexure 9. The total bid value will be as calculated

on the basis of the rate and expected number of connections and the contract shall be awarded to

lowest offer i.e. L-1.

2.5.2 MAHARASHTRA SADAN RIGHT TO ACCEPT ANY BID AND TO REJECT ANY OR ALL BIDS

The Resident Commissioner & Secretary, Maharashtra Sadan reserves the right to accept or reject any

bid's in part or full, and to annul the bidding process and reject all bids at any time prior to award of

Contract, without t h e r e b y incurring any liability to the affected Bidder or Bidders or any any obligation

to inform the affected Bidder or Bidders of the grounds for Maharashtra Sadan‟s action.

-2.5.3 NOTIFICATION OF AWARD

Prior to the expiration of the period of bids validity, Maharashtra Sadan will notify the successful Bidder

in writing by letter, email or by FAX to be confirmed in writing by speed post or hand delivered letter, that its bid has been accepted. The notification of Acceptance will constitute the formation of the

Contract.

2.5.4 SIGNING OF CONTRACT

Upon the receipt of the notification of award by the successful bidder, the successful bidder shall fill

the Agreement in accordance with form of Agreement included in the Bid Documents and submit

the same to the Manager, Maharashtra Sadan within 10 days of the date of receipt of notification

of award. The Manager, Maharashtra Sadan shall return the draft duly approved within 10 days

from the receipt of the draft and the successful bidder shall get the same engrossed, have the

correct amount to stamp duly adjudicated by Superintendent of Stamps and thereafter return

the same duly signed and executed on behalf of the successful bidder, all at his own cost within

two weeks from the receipt of the approved draft.

2.5.5 SECURITY MONEY

The Successful Vendor will furnish security money in favour of the Resident Commissioner &

Secretary, Maharashtra Sadan for an amount of 10% of the contract value for a period of sixty days

beyond the date of completion of all contractual in shape of an Account Payee Demand Draft/ Fixed

Deposit Receipt from a Commercial bank/ Bank Guarantee from a Commercial bank in the Security Money

Deposit Form (as per Format given as Annexure-8)

2.5.6 CORRUPT OR FRAUDULENT PRACTICES

a) Vendors shall observe the highest standard of ethics during the period of contract. b) Maharashtra Sadan will reject a proposal for award if it determines that the Bidder recommended

for award has attended or engaged in corrupt or fraudulent practices in competing for the contract in question.

2.6 PAYMENT

a) The work shall be executed as per the direction and to the satisfaction of the Maharashtra Sadan. b) In case the services of Cable TV were not found satisfactory, the Maharashtra Sadan shall have the

right either to reject the contract or deduct part payment from the bill. c) The Maharashtra Sadan decision as regards the rejection shall be final and binding on the Operator. d) Payment for monthly subscription charges will be made on submission of bills after completion of

month within 30 days. e) No extra payment will be given. Hence rate should be inclusive of all taxes/service tax etc. In case of

non-acceptance of the Cable TV Operation due to poor/bad qu a li t y of transmission, the contract firm

will be removed from the panel from without notice.

2.7. OTHER CONDITIONS APPLICABLE TO CONTRACT

2.7.1 ADDRESS OF THE OPERATOR AND NOTICES AND COMMUNICATIONS ON BEHALF OF THE MAHARASHTRA SADAN

a) For all purposes of the contract, including arbitration there under, the address of the Contractor

mentioned in the tender shall be the address to which all communications addressed to the Contractor

shall be sent, unless the Contractor has notified a change by a separate letter containing no other

communication and sent by registered post, acknowledgement due. The Contractor shall be solely

responsible for the consequences of any omission to notify a change of address in the manner aforesaid.

b) Any communication or notice on behalf of the Maharashtra Sadan in relation to the contract may be issued

to the contractor by the Director or any other officer authorized by him on his behalf and all such communications and notices may be served to the Contractor either by Registered Post or speed post or by ordinary post or by hand delivery or by telephone at the option of such officer.

2.7.2 RESPONSIBILITIES OF THE OPERATOR FOR EXECURING THE

CONTRACT

The Operator shall perform the contract in all respects in accordance with the terms and conditions thereof.

2.7.2.1 RIGHT OF REJECTION

It shall be lawful for the Maharashtra Sadan to reject the contract of Authorized Cable TV Operation in conformity with the terms and conditions of the contract.

2.7.2.2 CONSEQUENCE OF BREACH

i) Should the Operator or Partner in the Operator firm commit breach of either of the conditions, it shall be lawful for the Resident Commissioner & Secretary, Maharashtra Sadan, to cancel the contract and authorize the hiring of Cable TV Services of other Operator at the risk and cost of the Contractor.

ii) The decision of the Resident Commissioner & Secretary, Maharashtra Sadan, as to any matter of thing concerning or arising out of this sub-clause or on any question whether the Operator or

any partner of the Operator firm has committed shall be final and binding on the Operator.

2.7.3 QUOTATION OF THE RATES BY OPERATOR

a) The validity o f prices in financial bid should be for a minimum period of three years. If the

tenderer withdraws the tender during the validity period, the security deposit will be

forfeited.

b) The rate contract of Cable TV provided under the contract by the Contractor shall in no event

exceed the lowest price at which the Operator provides the Cable TV Services of identical

description to any other person during the period.

c) If it is discovered that the Operator has contravened the above condition, then without prejudice to

any other action, which might be taken against him, it shall be lawful for the Resident

Commissioner & Secretary, Maharashtra Sadan to terminate the contract.

2.7.4 LAW COVERING THE CONTRACT

a) The contract shall be governed by the Law of Contract for the time being in force.

b) Jurisdiction of Courts: The courts of the place from where the acceptance of tender has been issued

shall alone have jurisdiction to decide any dispute arising out of or in respect of this contract.

2.7.5 WARRANTY Contractor warrants that the Cable TV Operation provided under this contract are good in all conditions.

2.7.6 ARBITRATION Except where otherwise provided in the Contract, all questions and disputes relating to the quality of Cable TV Operation, and instructions herein before mentioned and as to the quality of the Cable TV Operation, as to any question, claim, right, matter or thing whatsoever, in any way arising out of or relating to the Contract, specifications, estimates, instructions, orders or these conditions or otherwise concerning the works, or the execution of the same whether arising during the process of the work or after the completion or abandonment thereof shall be referred to the sole arbitration of a person nominated by the Resident Commissioner & Secretary, Maharashtra Sadan and if he is unable or unwilling to act to the sole arbitration of some other person appointed by him willing to act as such arbitrator. The submission shall be deemed to be submission to Arbitration under the meaning of the Arbitration Act, 1940 or any satisfactory modification of reenactment thereof for the time being in force, conclusive and binding on all parties of the Contract. The venue of the arbitration shall be Maharashtra Sadan.

2.7.7 PAYMENT UNDER THE CONTRACT

a) No payment in advance shall be considered. b) Payment for providing of Cable TV Operation will be made on submission of bills within 30 days. c) Counter conditions by the tenderers for matters concerning payment of bills shall not be

acceptable.

/Partners/Directors are Proprietor or Partner or Director of such a f i r m which is

the Financial Bid.
