Providing 4 Mbps fully wired Internet Leased Line Connectivity (OFC) (1:1 uncompressed and
unshared) “Always on Internet (AoI)” facility as Managed Service at NABARD, UP Regional Office
Building, Gomti Nagar, Lucknow
Tenders are invited from eligible interested parties to tender for the captioned work. The tender
form can be obtained from the office of Chief General Manager, NABARD Uttar Pradesh Regional
Office,11, Vipin Khand, Gomti Nagar, Lucknow, on or before 28.09.2016 or may be downloaded
from NABARD website (www.nabard.org) after satisfying the fulfillment of the criteria mentioned
therein
The sealed tender in the prescribed tender form in envelopes as follows should be addressed to
Chief General Manager, NABARD, 11, Vipin Khand, Gomtinagar, Lucknow - 226010 and super
scribed as "Providing 4 Mbps fully wired Internet Leased Line Connectivity (OFC) (1:1
uncompressed and unshared) “Always on Internet (AoI)” facility as Managed Service at NABARD,
UP Regional Office Building, Gomti Nagar, Lucknow" The envelope shall be dropped in the Tender
Box provided at the second floor not later than 1500 Hrs on 28.09.2016
If the last date of receipt or opening of the tenders happens to be a holiday for NABARD, then the
receipt and opening by the tenders shall be shifted to next working day without change of time and
venue.
NABARD reserves the right to accept or reject any tender without assigning any reasons for doing so
and do not bound themselves to accept the lowest or any tender.
NABARD also reserves the right to negotiate or accept any tenders received without assigning any
reasons thereof. The tenderer may have to furnish Rate Analysis for the scrutiny of rates by
NABARD for negotiation etc., if required. Tenders, which do not fulfill all or any of the conditions

mentioned in the tender documents or are incomplete in any respect are liable to be rejected. Any
discrepancies, omissions, ambiguities in the tender documents or any doubt as to their meaning
should be reported in writing to The Chief General Manager, NABARD, 11, Vipin Khand,
Gomtinagar, Lucknow - 226 010 , who will review the questions and where information sought is not
clearly indicated or specified. NABARD will issue clarifications to all the tenderers, which will
become part of the contract document. NABARD will not be responsible if the discrepancies,
omissions, ambiguities in the Tender documents or any doubts as to their meaning are not brought
to the notice of NABARD, before three working days prior to the date of submission of the tender.
You are advised to ensure strict observance of commercial aspect of this tender and also of the
following points:-
a. Time of Completion- 1 month including monsoon months from the 10th day of issue of letter of
acceptance for tender.
b. The onus of Cooperation with other contractors for any disciplines in services lie on the tenderer.
c. It may please be noted that all documents that comprise the tender documents should be signed
and sealed by the tenderer.
d. No part of the bill of quantities including specifications should be deleted.
e. Validity of offer: 90 days from the date of opening of price bids.
f. NABARD reserves the right to accept or reject any /all tender/s of any firm / firms without assigning
any reasons for doing so.
g. The successful tenderer will enter into agreement with NABARD as per the standard format given
in the tender on a non-judicial stamp paper as per prevailing Stamp Act of the State within 07
days from the date of issue of work order failing which the bidder’s EMD may stand forfeited.

This Notice Inviting Tender (NIT) shall also form part of the Tender Document.
1. Each tenderer will comprise of two parts viz. Part-I comprising Notice Inviting Tender, Form
of Tender, Instructions to Tenderers, Articles of Agreement, General and Special Conditions
of Contract, Detailed Specifications and Part-II comprising of Schedule of Quantities.
2. Sealed Tenders in the prescribed tender form in two separate envelopes should be submitted

3. Envelope No. I – shall contain Earnest Money deposit, cost of the tender and Part – I (Techno-
commercial bid) of the tender.
Envelope No. 2 – shall contain only Schedule of Quantities (Financial Bid) duly priced and
completed in all respects. This shall not include any conditions whatsoever. In case any
conditions are included in Envelop no. 2, the same shall not be taken into consideration.
Further, the tender in such case is liable to be rejected.
4. Both the envelopes should be submitted to the above office not later than 15:00 Hrs. on
28.09.2016. Envelope No. 1 will be opened at 15:30 Hrs. on 28.09.2016 in presence of
tenderers or their authorized representatives who choose to be present.
5. After opening of the Envelope No.1 and assessing the conditions stipulated by bidders, if any,
the Employer will, if he so decides, may inform all the tenderers about any modifications in the
tender conditions. Tenderers who agree to the changed conditions along with original in- toto
will be allowed to make modifications if they so wish in their tender prices by means of a letter

A tender will be rejected if any tenderer proposes any deviation from the above.
6. The Envelope No. 2 shall be opened only in respect of those tenderers who bring their tenders
in line with the requirements of tender document and are acceptable to the Employer. The
decision of the Employer in this regard shall be binding on the tenderers and not open to
question or appeals. The date and time of opening of Envelope No.2 shall be intimated after
opening of Envelope No.1.
7. Tenders received late on account of any reason whatsoever and telegraphic and faxed tenders
or tenders received through post of any kind or email shall not be entertained.

Introduction:
National Bank for Agriculture and Rural Development, a body corporate established under the
NABARD Act, 1981 (hereinafter referred to as “NABARD”) having its Head Office at Plot No.
C-24, Block ‘G’, Bandra-Kurla Complex, Bandra (East), Mumbai – 400 051 and Regional Office
at 11, Vipin Khand, Gomti Nagar, Lucknow – 226 010. NABARD intends to invite tenders
from eligible service providers for providing dedicated 4 Mbps (OFC) (1:1 uncompressed and
unshared) Leased Line Internet connectivity link on Ethernet as Managed Service and supply of
required devices like Router, Modem and other network devices etc. as necessary for enabling
the service.
General Terms and Conditions:
1.0 Scope of work:
i. To provide dedicated 4 Mbps fully wired internet leased line connectivity on
uncompressed, unshared leased line (OFC) (1:1) at NABARD, UP Regional Office, 11,
Vipin Khand, Lucknow – 226 010. This includes supply, installation, testing,
commissioning & upkeep of the complete link including the router, modem, optical
fibre cables, other network devices etc. for a period of 03 (three) years. The hardware
and software required for the establishment of the fully functional fully wired leased line
will be provided by the bidder. The minimum guaranteed bandwidth should be 4 Mbps
with the provision of increase up to the bandwidth to 16 Mbps.
ii. Uptime Guarantee with Service Level Agreement SLA not less than 99.95% Month on
Month Basis with a penalty for downtime as per clause 10.2.
iii. Last mile connectivity should be provided within the premises of the Regional Office
using optical fibre cable terminating at the server room located on the 3rd
floor of the
Regional Office building.

iv. BIDDER should be able to provide Internet Bandwidth of more than 4 Mbps (if
required) as specified above on demand from NABARD for which required
Infrastructure should be made available.
v. Internal cabling which is required from the service provider mux to the router has to be
laid by the bidder. Optical fibre cable should be laid. The costing of the same should
be included in the price bid.
vi. In all cases, the bidder will be responsible to maintain and monitor the end-to-end
connectivity on 24x7 basis so as to meet the committed SLA.
vii. The bidder is responsible for liaising with government agencies or other
Departments to provide any licenses, approvals etc. that may be required.
viii. The Multiplexers/Modems/Patch Cords/Fiber Converter/Routers etc. and any other
equipments (if necessary) for commissioning of 4 Mbps internet bandwidth link will
have to be supplied, installed and maintained (all throughout the service period) by the
bidder at sites and shall remain their property. However, the infrastructure such as
space, air-conditioning and UPS power will be provided by NABARD within its own
premises.
ix. The bidder should not terminate the connections of others on the devices installed at
our premises and should furnish an undertaking to this effect.
x. Provision of the link is subject to satisfactory Acceptance Test. The bidder shall arrange
for the UAT as per the requirements of NABARD. After commissioning the links, an
acceptance test will be conducted. The methodology for the test will be at the discretion
of NABARD. The link commissioning is deemed to be complete only if the acceptance
test results are found satisfactory. Acceptance tests will be conducted at NABARD, U P
Regional Office at Lucknow.

xi. Bidder should provide 24x7 support and should have facilities for 24x7 centralized call
center / NOC. Also, the Bidder should have adequate resources to provide immediate
support in case of link break downs or any such issues/problems raised by NABARD.
xii. The bidder should provide online portal to view real time Bandwidth
utilization/performance. It should provide report generation on real time basis such as
Hourly, Daily, Weekly and Monthly basis. Besides, the reports should also be made
available on demand.
xiii. Wireless for the last mile will not be accepted.
2.0 Pre-qualification criteria (mandatory, tenderers not meeting the criteria will not be
considered):

Please note that all the documents requested should be arrange in the same order as mentioned
in the Checklist.
Please note that any response which does not provide any / all of the above information in the
specified formats shall be rejected and NABARD shall not enter into any correspondence with
the service provider in this regard.
3.0 General Terms & Conditions:-
The terms and conditions presented are indicative in nature and not exhaustive. Bidders should
note that these conditions and the responses are expected to form the basis of the contract
between NABARD and the Bidder.
1. Standards:
All standards to be followed will adhere to Bureau of Indian Standards (BIS) specifications or
other acceptable standards.
2. Language of Tender
The Tender prepared by the Bidder, as well as all correspondence and documents relating to
the Tender exchanged by the Bidder and NABARD and supporting documents and printed
literature shall be in English language only.

3. Formats of Bids:
The bidders should use the formats prescribed by NABARD in the TENDER for submitting
both techno commercial and price bids.
NABARD reserves the right to ascertain information from the banks and other institutions to
which the bidders have rendered their services for execution of similar projects.
4. Timeframe
The following is an indicative timeframe for the overall selection process. NABATD reserves
the right to vary this timeframe at its absolute and sole discretion should the need arise. Changes
to the timeframe will be relayed to the affected Respondents during the process.

5. Nature & Submission of Tender: It is a two part tender namely:
Part-I: “Techno Commercial bid” and
Part-II: “Price Bid”
5.1 Part –I: Techno Commercial Bid: The sealed envelope duly supercribed shall contain the
following:
i. Duly filled-in and signed and stamped tender document
ii. Technical proposal should contain the solution architecture for leased line
internet bandwidth and detailed technical aspects

iii. All relevant documents for supporting the pre-qualification criteria mentioned
in the tender
iv. Receipt of bank supporting payment of EMD and tender fees.
v. Documents listed in the Annexure (A - I)
vi. Any other information which the bidder would like to submit along with his
tender.
5.2 Part-II: Price bid: The sealed envelope duly superscribed shall contain the following:
Price for each of activities mentioned in part II of tender document is to be quoted separately in
the price bid format attached as part II of tender document, duly signed by the tenderer.
5.3 BID SUBMISSION METHOD: Bids must be submitted in sealed cover as follows:-
5.3.1 One sealed cover (Envelope) containing techno commercial bid as per and clearly
superscripting the cover as “Techno commercial bid for Providing 4 Mbps fully wired Internet
Leased Line Connectivity (OFC) (1:1 uncompressed and unshared) “Always on Internet (AoI)”
facility as Managed Service at NABARD, UP Regional Office Building, Gomti Nagar, Lucknow”.
Documents / declaration in support of pre-qualification should be put in a separate envelope
super scripting “Pre-qualification”, sealed and to be put inside the same envelope for techno
commercial bid.
5.3.2 The 2nd sealed cover shall contain the price bid and clearly stating on the cover as “Price
bid for Providing 4 Mbps fully wired Internet Leased Line Connectivity (OFC) (1:1
uncompressed and unshared) “Always on Internet (AoI)” facility as Managed Service at
NABARD, UP Regional Office Building, Gomti Nagar, Lucknow”.
5.3.3 Above mentioned two envelopes to be wrapped in another sealed cover super scripting
“Techno-Commercial bid and Price Bid for Providing 4 Mbps fully wired Internet Leased Line
Connectivity (OFC) (1:1 uncompressed and unshared) “Always on Internet (AoI)” facility as
Managed Service at NABARD, UP Regional Office Building, Gomti Nagar, Lucknow”
N.B.: 1. Any corrections in the bid document should be authenticated by the bidder by
putting signature with stamp.

2. The price bid enclosed by the bidder along with the techno-commercial bid
instead of keeping it in a separate cover shall be out rightly rejected.
5.3.4 All erasures and alterations made while filling the tender must be attested by initials of
the bidder. Overwriting of any kind is not permitted. Failure to comply with either of these
conditions will render the tender invalid at the discretion of NABARD. No advice of any change
in rate or conditions after the opening of the tender will be entertained.
5.4 Opening of Tenders
5.4.1 All the tenders received up to the time and date of opening will only be considered for
opening and tenders received late shall not be considered under any circumstances.
5.4.2 The techno commercial bids will be opened at 15:30 hours on 28.09.2016 in NABARD,
UP Regional Office, 11, Vipin Khand, Gomti Nagar, Lucknow – 226 0010 in the presence of
Bidders or their representatives should they choose to remain present.
6.0 Offer Validity Period
The offer should remain valid for a minimum period of 90 days from the last date of submission
of the tender. NABARD reserves the right to ask the Bidders for extension of offer validity in
case if it is needed.
7.0 Signatory:
Each page of the Tender document should be signed by the person or persons submitting the
tender in token of Bidder having acquainted himself with the General Conditions of Contract,
Specifications, etc., as laid down and after thoroughly visiting the site.
8.0 Warranty Period:
On successful commissioning and User Acceptance Test, Bidder shall warrant the availability
and functioning of AOI solution / Internet service for a period of three (03) years. Bidder should
be able to trouble shoot the problems, if any, developed in the connection / AOI setup.

9.0 Import Obligations:
In the event of it being necessary to import any materials of foreign manufacture, the Bidder
should obtain the same against his own normal license quota and should not look to NABARD
for any assistance whatsoever for their procurement.
10.0 Uptime Efficiency & Penalties for Downtime:
10.1 Bidder shall ensure guaranteed uptime efficiency of 99.95% for the AOI
connectivity during the warranty period. The efficiency shall be calculated as follows:
E = Monthly Uptime Efficiency
N = Number of days in a month
D = Number of hours the Internet facility is down due to failure of equipment
or service in that month
E = { ( (24 * N) - D ) / (24*N) }*100
Example: If there are 30 days in a calendar month, then total time would be 43,200
minutes. The acceptable down time would be 21.6 minutes (0.05%) for making full
payment for the month based on the following calculations:-
((43200-21.6)/43200)*100=99.95%
The bidder should proactively monitor the downtime status and advise the same to
NABARD. The downtime meter is supposed to have commenced from such time it is
reported either by the bidder or from the time the trouble tickets are raised by NABARD.
10.2 AoI service / facility will be considered down if Internet access is not available at
the last mile / central distribution point due to disruption of ISP service. Levy of penalties
is without prejudice to other rights and remedies available under this agreement:-

month exceeds 3, an additional 0.50%
downtime will be reduced from uptime
and the penalty will be calculated
accordingly.
Penalties, if any shall be calculated for every month and recovered from payments
to be made at the end of e v e r y quarter. The invoice amounts raised every
quarter should have provisions for deduction of penalties as calculated by bidder
and only net amounts should be claimed for payment.
10.3 The Bidder should resolve any technical problem within 24 hrs. A Self certified
letter to that effect should be submitted along with the tender.
11.0 Terms of Payment:
The terms of payment for the supply, installation, testing and commissioning of AOI solution
will be as under:-

a) The annual service payment for AoI Solution (including one-time setup, installation,
registration for the dedicated leased line connectivity, bandwidth charges, circuit
connectivity charges etc.) will be made on quarterly basis after the utilization of the service
on the basis of the invoice raised by the Bidder.
b) All payments will be made in electronic form.
c) First payment will be made only after submission of performance bank guarantee as per
clause 17.0 and Indemnity Bond as per clause 19.0.
12.0 Timely completion & Liquidated Damages:
The entire work related to commissioning of the AoI shall be completed within one month from
10th
day of the date of award of work. In case of delay, NABARD will have the right to claim
liquidated damages @ 0.50% of the cost of AoI solution, per week of delay beyond the stipulated
period subject to a maximum of 5% of the said cost of AOI solution.
13.0 Agreement:
The successful Bidder shall execute a Service Level agreement with NABARD on mutually
agreed terms in line with the terms and conditions mentioned in the TENDER. However, the
clause 10.0 of this document regarding uptime efficiency will form part of service level agreement
without any change. The issue of letter of award of work by NABARD shall be construed as a
binding contract, as though such an agreement has been executed and all the terms and
conditions shall apply on this contract.
14.0 Confidentiality:
The details of the proposed service shall be treated as confidential information between
NABARD and Bidder. Any such information shall not be passed on in part or in full to any
third party without prior written approval of NABARD.
15.0 Settlement of disputes by Arbitration:
The Bidder/Bidder and NABARD shall use their best efforts to settle amicably all disputes
arising out of or in connection with the Agreement, or in respect of any defined legal relationship

associated therewith or derived there-from. If any dispute arising out of or in connection with
this Agreement, or in respect of any defined legal relationship associated therewith or derived
there-from, which cannot be mutually settled within 30 days from the date of receipt of the
notice, the parties agree to submit that dispute to arbitration under the ICADR Arbitration Rules,
1996 to a sole arbitrator. The Authority to appoint the sole arbitrator shall be the International
Centre for Alternative Dispute Resolution. The International Centre for Alternative Dispute
Resolution will provide administrative services in accordance with the ICADR Arbitration Rules,
1996. The language of the arbitration proceedings shall be English. The place of arbitration
proceedings shall be at Lucknow.
16.0 Acceptance Test:
16.1 To assess the operational and functional performance of the various components of the
AOI solution, an acceptance test will be carried out. The Acceptance Test will be carried out
for one week and shall mainly cover the following points:-
• Internet access on nodes: Internet will be accessed simultaneously through configured
nodes ( AoI facility shall be made available on at least 200 nodes)
• Measurement of bandwidth: Actual available bandwidth (in/out) during this time shall
be measured several times through the monitoring tool provided by the Bidder.
16.2 Once the acceptance test is carried out successfully, a Report shall be generated to indicate
the details of all the tests carried out for assessing the performance of AoI solution. The system
shall be taken over by NABARD only after satisfactory conclusion of the Acceptance Test.
17.0 Performance Guarantee:
The successful Bidder/Bidder guarantee that he shall repair or replace free of cost, equipment,
machinery, its parts and components found defective on account of bad workmanship or
defective materials or inferior manufacture as mentioned in the warranty and guarantee clauses.
The successful Bidder/Bidder should provide a performance bank guarantee for a period of
three years for an amount equivalent to 10% of the annual charge fixed for first year from a
Scheduled Commercial Bank in the format specified by NABARD within 30 days from the date

of issue of work order. The Proforma for Performance Bank Guarantee is attached as Annexure
E. In case, the Bidder/Bidder does not perform under the contract to the full satisfaction of
NABARD, it reserves the right to reject the items / services rendered under the contract in its
entirety or partially, as the case may be, during the evaluation period and Bidder/Bidder shall
be liable to refund the full or proportionate amount, if already paid for the said items / services
etc. In this regard the decision of NABARD shall be final and not subject to any arbitration. The
guarantee will be valid for a period of three years from the date of completion of acceptance test.
18.0 Technical support / guidance:
Bidder shall provide end to end technical support and guidance for proper administration of
AOI facility.
19.0 Indemnity Bond:
19.1 The Bidder shall indemnify NABARD against all claims in respect of patent rights, design,
trademarks of name or other protected rights in respect of any plant, machine work or material
used for or in connection with the works or temporary works and from against all claims,
demands proceedings, damages, costs, charges and expenses whatsoever in respect thereof or in
relation thereto. The Bidder shall defend all actions arising from such claims, before any such
infringement and received their permission to proceed, and shall himself pay all royalties, license
fees, damages, costs and charges of all and every sort that may be legally incurred in respect
thereof.
19.2 The successful Bidder shall submit the Indemnity Bond as per the format given in
Annexure F within 7 days from the date of award of the work contract.
20.0 Inspection & Audit
NABARD shall have the right to inspect and test the infrastructure and system of the bidder at
any time. The bidder on demand from NABARD shall carry out such tests in appropriate
manner in the presence of representative/s from NABARD. The expenditure incurred for the
visit of such representative/s will be borne by NABARD.

The bidder shall make available all necessary and relevant records, facilities access to the system
and access to the personnel for audit by NABARD or any representative authorized by
NABARD.
21.0 SPECIAL TERMS & CONDITIONS OF CONTRACT INCLUDING
TERMINATION:
21.1 CONTRACT PERIOD:
This contract shall be valid for a period of three (03) years from the date of commissioning of
the service ie., after the satisfactory conclusion of acceptance test carried out to assess the
operational and functional performance of the equipments/components and uptime efficiency
of AoI Solution.
21.2 TERMINATION OF CONTRACT:
a. NABARD has the individual right to terminate this agreement and discontinue Internet
Bandwidth Services, with a prior notice of at least one month.
b. In case NABARD terminates the agreement for obtaining Internet Bandwidth Services
with necessary prior notice, NABARD shall make the payment to the bidder, at the rate as
agreed and indicated in the letter of award of contract, on pro-rata basis for the period for which
bandwidth services are utilized by NABARD during the contract period. This payment will be
made after adjusting penalty charges/services, if any, as per Clause 10.2 of Tender document.
22.0 REPORTING
22.1 Reports on usage of Internet Bandwidth services performance on the following parameters
shall be provided by the bidder on monthly basis.
• Internet Bandwidth Usage (Download/Upload)
• Network Availability (Uptime Efficiency)
• Network Latency
• Data Delivery (Packet Loss)
• Downtime due to Scheduled Maintenance

22.2 The report shall be sent in soft form to [email protected] by the first week of the
succeeding month.
22.3 On-line Monitoring - A facility to monitor the general parameters like bandwidth usage,
network latency, packet flow etc., shall be made available online.
22.4 Monitoring Notification – the bidder shall properly monitor the performance of AoI
connection provided to NABARD. The bidder shall record a Service Outage and will notify
NABARD within 60 minutes of recording the Outage. The notification shall take place via email.
23.0 SCHEDULED NETWORK MAINTENANCE
Scheduled Network Maintenance refers to upgrades or modifications to network equipment
software, network equipment hardware, or Network capacity. Scheduled Network Maintenance
may temporarily degrade the quality of the Internet Service, including the possibility of short-
duration outages. Such effects related to Scheduled Network Maintenance shall not give rise to
service penalty under this SLA. Scheduled Network Maintenance shall be undertaken only after
giving prior notification to NABARD and only after acceptance of the same by NABARD.
24.0 SERVICE OUTAGE DEFINITION
Service Unavailability for all Service Levels shall mean an incident when Service is unavailable
for at least sixty continuous (60) minutes in duration, which is not caused, directly or indirectly,
by a negligent act or omission of NABARD. Service Outage shall not include any service outage
or interruption resulting from:-
a. Maintenance actions requested by or attributed to NABARD.
b. Preplanned scheduled maintenance operations. The bidder will notify NABARD Two
(2) days in Advance of a scheduled maintenance period. A single maintenance period will not
exceed Four (4) hours.
c. Outage due to external interference the occurrence of a Force Majeure event and other
such incidents.

25.0 FORCE MAJEURE
If at any time during the term of this Agreement the performance in whole or in part of either
Party of any obligation under this Agreement (other than the making of a payment) is prevented
or delayed by reason of Force Majeure.
a. No party shall be liable for any delay or failure for the performance of any of its
obligations under this Agreement to the extent that such delay or failure is caused by Force
Majeure, provided that the party whose performance is prevented or delayed by such Force
Majeure shall make every good faith effort to overcome or dispel the event of Force Majeure.
b. The events that would, inter-alia, constitute Force Majeure would include war,
revolution, riot, act of public enemy, terrorism, sabotage, epidemic, accident, fire, flood,
tempest, earthquake, civil disturbance/commotion, labor dispute, governmental action or
inaction (including without limitation, action under export or import control regulation and delay
in obtaining customs clearance or other permits or authorizations or other causes which are
beyond the reasonable control of the party.
26.0 NOTICES
All the notices or communications required or permitted hereunder shall be in writing facsimile,
email of registered/express mail service. All the notices or other communication shall be deemed
effective on the calendar day following the date of facsimile or electronic mail or when received
if sent by registered mail.
27.0 COMPLIANCE WITH LAWS
The Service must not be used for any purpose that:-
a. Does not comply with any instructions given by any public telecommunications operator,
the Satellite Operator or Ministry of Communication, Government of India.
b. Would put the bidder in breach of terms of any agreement the bidder has with the
Licensor, any public telecommunication operator.

28.0 INITIAL SECURITY DEPOSIT
“Initial Security Deposit” of 5% of accepted value of the 1st year cost shall be provided by the successful
tenderer in form of bank draft from a scheduled bank or NEFT/RTGS transfer in the NABARD Current
Account as mentioned earlier within 15 days of intimation to him of acceptance of tender. The EMD
already furnished shall be taken in to account while determining the ISD. In other words, EMD shall
become a part of ISD. Thereafter, the ISD may be adjusted for the 2nd and 3rd year as per the accepted
value of the 2nd year & 3rd year cost respectively. The ISD will be liable to be forfeited in case the
contractor commits any breach of any terms and conditions of the Contract or fails to complete the
work/provide the services. This forfeiture is independent of the liquidated damages provided for in the
Contract.
29.0 Other Terms:
29.1 NABARD does not bind itself to accept the lowest or any tender and reserves to itself the
right to accept or reject any or all the tender without assigning any reasons for doing so.
29.2 If any conditions are stipulated, at the time of submission of the tender it will be liable to
be summarily rejected.
29.3 The Bidder shall take all reasonable steps to avoid or reduce any delay in supply, installation
and commissioning of Always On Internet facility in NABARD as per the conditions of the
TENDER. However, if in the opinion of NABARD, the said works is delayed due to force
majeure NABARD will make a reasonable extension of time for completion of the said works.
The decision of NABARD in this regard shall be final and shall not be questioned in arbitration
or other legal proceedings.

In response to the said TENDER of NABARD, Service Provider submitted its tender and agreed
for providing 4 Mbps fully wired Internet Leased Line Connectivity (OFC) (1:1 uncompressed
and unshared) “Always on Internet (AoI)” facility as Managed Service at NABARD, UP Regional
Office Building, Gomti Nagar, Lucknow, as per terms and conditions mentioned in the Tender
Document which forms an integral part of this Service Level Agreement.
AND WHEREAS NABARD has accepted the tender of SERVICE PROVIDER and has issued
a work order (Ref. No. ------------------------- dt ---------------------)
The terms used but not defined in this Agreement shall have full meaning given to such terms in
the said Tender Document for providing 4 Mbps (1:1) Internet Bandwidth Service issued by
NABARD.

computer hardware and / or Internet solution and / or associated components have failed to
perform as per the said contract, and also as to whether the contractor has failed to maintain
the computer hardware, Internet solution and associated components as per the terms and
conditions of the said contract will be final and binding on the Bank and the Bank shall not

be entitled to ask the purchaser to establish its claim or claims under this Guarantee but shall
pay the same to the purchaser forthwith on mere demand without any demur, reservation,
recourse, contest or protest and/or without any reference to the contractor. Any such
demand made by the purchaser on the Bank shall be conclusive and binding notwithstanding
any difference between the purchaser and the contractor or any dispute pending before any
Court, Tribunal, Arbitrator or any other authority.
3) This Guarantee shall expire on -----------------; without prejudice to the purchaser’s claim or
claims demanded from or otherwise notified to the Bank in writing on or before the said

4) The Bank further undertakes not to revoke this Guarantee during its currency except with

enforceable till the aforesaid date of expiry or the last date of the extended period of expiry

5) In order to give full effect to the Guarantee herein contained purchaser shall be entitled to
act as if the Bank is the purchaser’s principal debtors in respect of all the purchaser claims
against the contractor hereby Guaranteed by the Bank as aforesaid and the Bank hereby
expressly waive all its rights of surety and other rights if any which are in any way inconsistent
with the above or any other provisions of this Guarantee.
6) The Bank agrees with the purchaser that the purchaser shall have the fullest liberty without
affecting in any manner the Bank’s obligations under this Guarantee to extend the time of
performance by the contractor from time to time or to postpone for any time or from time
to time any of the rights or powers exercisable by the purchaser against the contractor and
either to enforce or forbear to enforce any of the terms and conditions of the said contract,
and the Bank shall not be released from its liability for the reasons of any such extensions
being granted to the contractor for any forbearance, act or omission on the part of the
purchaser or any other indulgence shown by the purchaser or by any other matter or thing
whatsoever which under the law relating to sureties would, but for this provision have the
effect of so relieving the Bank.
7) The Guarantee shall not be affected by any change in the constitution of the contractor or
the Bank nor shall it be affected by any change in the constitution of the purchaser by any
amalgamation or absorption or with the contractor, Bank or the purchaser, but will ensure

for and be available to and enforceable by the absorbing or amalgamated company or
concern.
8) This guarantee and the powers and provisions herein contained are in addition to and not
by way of limitation or in substitution of any other guarantee or guarantees heretofore issued
by us (whether singly or jointly with other banks) on behalf of the contractor heretofore
mentioned for the same contract referred to heretofore and also for the same purpose for
which this guarantee is issued, and now existing uncancelled and we further mention that
this guarantee is not intended to and shall not revoke or limit such guarantee or guarantees
heretofore issued by the Bank on behalf of the contractor heretofore mentioned for the
same contract referred to heretofore and for the same purpose for which this guarantee is
issued.
9) Any notice by way of demand or otherwise under this guarantee may be sent by special
courier, telex, fax or registered post to the Bank’s local address as mentioned in this
guarantee.
10) Notwithstanding anything contained herein:-
a. The Bank’s liability under this Bank Guarantee shall not exceed --------

officers, servants, agents and other authorised persons from all costs and other expenses that
they may be put to or incur in that connection in accordance with the terms as provided for

indemnified NABARD from any loss, damages, costs, charges, fine and expenses which may be
incurred or sustained by NABARD on account of imposition or increase in rates by the
Government, Central or State, of any kind of taxes, duties, cess, Sales tax on works contract,
excise duty, Octroi, service taxes etc. on the materials or otherwise during the discharge by us of
the said work of providing 4 Mbps fully wired Internet Leased Line Connectivity (OFC) (1:1
uncompressed and unshared) “Always on Internet (AoI)” facility as Managed Service at
NABARD, UP Regional Office Building, Gomti Nagar, Lucknow.
We, M/s ________________________________ further agree and undertake to bear and pay
the said taxes, duties, octroi etc. as and when imposed by the Government, Central or State.
We shall not revoke it without the written consent of NABARD.
