Dear Sir/Madam, REQUEST FOR PROPOSALS (RFP) FOR SUPPLY, DELIVERY AND INSTALLATION OF LED MONITORS AT SINGAPORE POOLS BRANCHES AND AUTHORISED RETAIL OUTLETS FOR A PERIOD OF 1 YEAR (TENDER REF: 2201000020) 1. You are invited by Singapore Pools (Private) Limited (hereinafter called “SPPL”) to

tender for SUPPLY, DELIVERY AND INSTALLATION OF LED MONITORS AT SINGAPORE POOLS BRANCHES AND AUTHORISED RETAIL OUTLETS FOR A PERIOD OF 1 YEAR (TENDER REF: 2201000020) according to the requirements and scope of services in Section I Annex C and the specifications of products/services in Section I Annex D of this document.

2. The contract period is 1 year commencing from 1 July 2015 to 30 June 20161 (both

dates inclusive). 3. The Tender Document comprises the following (all of the following shall be referred

to as the “Tender Document”):

4. Tenderers are to ensure the followings: (a) All documents must be submitted in sealed envelopes.

(b) All documents and every page, including the cover page of the documents and

all information contained within the media (e.g. in compact disc) should clearly marked “CONFIDENTIAL”.

(c) All documents must be bound into a book or binded and clearly labelled at the front, bottom-right hand corner as “ORIGINAL” or “COPY”. The duplicated copy can be printed on double-sided A4 papers.

INSTRUCTIONS TO TENDERERS 1. Instructions for Tender Submission 1.1 The Tenderers who wish to participate in this Tender, are to deliver to Singapore

Pools (Private) Limited (“SPPL”) the documents that are set out in the Checklists under paragraph 3 below, in accordance with their stated requirements thereto, in a sealed envelope marked with a label at the top left-hand corner. The label is to bear the following:

The sealed envelopes are to be addressed to:

1.2 Tender Proposals should be less than 5cm thick and 35cm wide each so that the

proposals can be slotted into the tender box. Tenderers who wish to submit bulky supporting documents thicker than 5cm and/or 35cm wide are to pack their supporting documents into smaller parcels of size not exceeding less than 5cm thick and 35cm wide each. These parcels must be properly sealed, serial numbered into “Part 1 of ___ (total no. of parts submitted)”, “Part 2 of ___ (total no. of parts submitted)” etc, and submitted by hand into the designated Tender Box.

1.3 The sealed envelope must be deposited in Tender Box F at the Singapore Pools (Private) Limited, 210 Middle Road, #01-01, Singapore Pools Building, Singapore 188994 not later than 2.00pm sharp, 11 June 2015, Thursday (the “Closing Date”).

1.4 SPPL shall not be responsible for placing the sealed envelope received through the post into the designated tender box and by the Closing Date. Any Tender Proposal that is not deposited in Tender Box F shall be disqualified / rejected.

1.5 Tenderers are to treat this tender as strictly confidential and not to communicate their prices to a third party nor reveal anything about it or any matter relating to the Tender to the public or press.

1.6 Incomplete tender submissions and/or tender submissions received after the Closing Date and Time shall be invalidated. Submission of Tender by electronic mail or facsimile is not permitted. Failure to strictly comply with these instructions shall subject the Tenderer’s Tender Proposal to disqualification / rejection.

The Tenderer must prepare the Tender Proposal in accordance with the submission of proposal set forth in the Checklists under paragraph 3 below and number ALL Pages of his Tender Proposal.

3. Checklists 3.1 Tenderers are to ensure that following documents in sealed envelopes are submitted:

4. Tender Enquiries/Clarifications 4.1 Any queries or clarifications on any aspect of the Tender Document should be

4.2 No oral or email representations from either of the abovementioned individuals or any

other representatives from SPPL shall be construed to modify or vary any of the provisions, terms or conditions of the Tender Document.

5. Prices 5.1 The Tenderer shall quote in Singapore Dollars an itemized all-in-price, excluding the

Goods and Services Tax (GST) for the supply and delivery of the goods and the services to be performed.

5.2 SPPL shall reimburse the successful Tenderer any GST charged on the goods, services or works supplied.

5.3 The Tenderer shall be deemed to have satisfied himself before the submission of his Tender Proposal as to the correctness and sufficiency of his tender.

5.4 Unless otherwise requested or approved in writing by SPPL, all prices quoted shall not be amended by the Tenderer and must be held good throughout the Contract period. SPPL will not entertain any claims made by the Tenderer in respect of any increase in costs due to the rise in the cost of materials, labour, duties, transportation expenses or anything affecting the cost of performance of the Tenderer’s obligations under the Contract. All and any such increase in costs will be wholly borne by the Tenderer.

INSTRUCTIONS TO TENDERERS 6. GST Registration 6.1 The Tenderer shall declare his GST status in his Proposal. He shall clearly indicate

whether he is, or whether he will be a taxable person under the GST Act (Cap 117A). He shall, if available, furnish the GST registration number to SPPL.

6.2 The Tenderer will be deemed to be a taxable person if no declaration to the contrary is

made in the Tender Proposal. A Tenderer who declares himself to be a non-taxable person under the GST Act but who becomes a taxable person after accepting the award shall forthwith inform SPPL of its change in GST status. He shall be entitled to reimbursement by SPPL of any GST charged on the goods, services or works he supplies after his change in GST status.

7. Expenses

Tenderers are to bear all expenses incurred in the preparation of their submission. 8. Alterations and Amendments 8.1 Any alteration or amendment made to the Tender Document by the Tenderer shall

have no effect and the original text of the Tender Document shall be adopted and adhered to unless the alterations, amendments and cancellations are specifically allowed in the Tender Document by an express provision thereto or they are expressly stated in the Letter of Acceptance/Purchase Order to form part of the agreement between the parties or otherwise authorised in writing by SPPL.

8.2 Subject to paragraph 8.1 and 11.1 of these Instructions to Tenderers, any alteration, amendment or cancellation made to the Tender Document by the Tenderer will not be accepted unless such amendments are initialled by the Tenderer.

9. Omissions and Errors The Tenderer shall be solely responsible for any omissions or errors in their Tender Proposal. A Tenderer who has submitted his Tender Proposal before the Closing Date and who wishes to amend or vary his Tender Proposal before the Closing Date may not do so once he has already made a submission unless expressly agreed to by SPPL.

10. Validity Period

Every Tender Proposal submitted will remain valid for acceptance for a period of six (6) calendar months from the Closing Date and during such extension of the period as may afterwards separately be agreed in writing by the Tenderer at the request of SPPL.

INSTRUCTIONS TO TENDERERS 11. Additional Conditions 11.1 SPPL reserves the right at any time prior to the Closing Date to vary any terms and

conditions in the Tender Document and to introduce additional terms and conditions of contract. Without prejudice to the aforesaid, any variation or new terms and conditions that are introduced after the Closing Date by SPPL are subject to the agreement of the parties.

11.2 Any additional information or clarification of the Tender Proposal or any part thereof submitted in writing by the Tenderer, in response to SPPL’s enquiry and prior to the acceptance of the tender, shall form part of the Tenderer's offer.

11.3 Prior to the acceptance of the tender, SPPL may request the Tenderer to amend the offer he has submitted and any amendments agreed upon shall be in writing and shall form part of the Tender Proposal.

12. Acceptance of Tender 12.1 SPPL shall be under no obligation to accept the lowest or any Tender Proposal nor be

required to give any reason for non-acceptance of any Tender Proposal. SPPL retains absolute discretion in accepting a Tender Proposal. SPPL may also choose to abandon this tender and in such an event SPPL shall not be liable in any whatsoever to any Tenderer arising from such abandonment and shall not be liable to any Tenderer for the costs and expense incurred by the Tenderer in preparing and submitting their Tender Proposal or relating to this tender. SPPL will not enter into correspondence with any Tenderer regarding the reasons for non-acceptance of a Tender Proposal.

12.2 SPPL shall be at liberty to accept such portion of a Tender Proposal as it deems appropriate and reject the rest of the Tender Proposal. SPPL’s acceptance and/or entering into any formal agreement with any successful Tenderer(s) shall in no way be construed as granting any exclusive rights to the successful Tenderer(s) to supply the goods, services or works specified in the Letter of Acceptance/Purchase Order or formal agreement.

12.3 When accepting a Tender Proposal or part thereof, SPPL may amend any part of the Specifications including without limitation the quality, type(s) and/or quantity of goods, services or works to be supplied, subject to reasonable standard adjustment to the prices quoted in the Tender Proposal.

13. Award of Tender 13.1 SPPL reserves the right to award the tender to more than one tenderer and/or the

tender in whole or in part. SPPL also reserves the right not to disclose the details of the selected Tender Proposal and Tenderer.

13.2 A Letter of Acceptance/Purchase Order will be sent via electronic mail or facsimile or delivered by post to the successful Tenderer’s address as given in his Tender Proposal and such delivery shall be deemed good service of the Letter of Acceptance/Purchase Order/Purchase Order on the Tenderer. Notification will not necessarily be sent to unsuccessful Tenderers by SPPL. Unless and until the formal agreement referred to at paragraph 14 of these Instructions to Tenderers is executed by both the said successful Tenderer and SPPL, the said Tenderer’s offer and SPPL’s acceptance by way of the Letter of Acceptance/Purchase Order thereof shall not constitute a binding contract between the successful Tenderer and SPPL.

14. Formal Agreement

The Tenderer whose Tender Proposal is accepted shall enter into a formal agreement with SPPL within fourteen (14) calendar days from the issue of the Letter of Acceptance/Purchase Order or on such other date or extended period/date mutually agreed upon by the Tenderer and SPPL.

15. Security Deposit for Due Performance (Not Applicable for this tender)

16. Confidentiality 16.1 Tenderers are to note that the information contained in the Tender Document is

confidential. Such information and any other information disclosed to the Tenderers in the course of this tender exercise shall be used by the Tenderers for the sole purpose of preparing their tender submission.

16.2 Tenderers are not to disclose or allow to be disclosed to any person such confidential information without the prior written consent of SPPL except for disclosure to their employees on a need-to-know basis.

16.3 Tenderers must exercise utmost care and diligence in safeguarding the confidential information and shall not disclose the same to any of the abovementioned employees / authorised persons unless they have already extracted a confidentiality undertaking from such persons in terms similar to this clause.

16.4 Tenderers shall be wholly responsible for all unauthorised dissemination of the confidential information by any person to whom they have disclosed the information.

17. Non-Compliance

Non-compliance with the terms and conditions stipulated in the Tender Document (including a Tenderer’s failure to submit the Tender Proposal in the manner

INSTRUCTIONS TO TENDERERS prescribed by SPPL) will render the Tender Proposal liable to rejection. The decision of SPPL on what constitutes non-compliance is final and no further correspondence will be entered into by SPPL.

18. Export Approval

The Tenderer shall indicate whether there is any requirement for SPPL to furnish end-user certificates or statements. The Tenderer shall also indicate clearly in his tender or Tender Proposal if there is a need for SPPL to enter into separate agreement(s) with the Tenderer to satisfy export requirements of the Tenderer’s or any foreign government.

19. Clarifications of Tenderer’s Submission

In the event that SPPL requires clarification on any aspect of the Tenderer’s submission/proposal, the Tenderer shall provide full and comprehensive response within three (3) working days of the date of such request, or such other date as agreed upon by SPPL.

20. Ownership of Documents

All documents submitted by the Tenderer shall become SPPL’s property. However, intellectual property in the information contained in the Tender Proposal submitted by the Tenderer shall remain vested with the Tenderer. Notwithstanding the aforesaid, by the Tenderer’s submission of the Tender Proposal, the Tenderer agrees that SPPL has an irrevocable and perpetual licence to reproduce and use the information in the Tender Proposal. This paragraph is without prejudice to any provisions to the contrary in any subsequent contract between the Tenderer and SPPL including the formal agreement referred to at paragraph 14 of these Instructions to Tenderers. In the event of any inconsistency between this paragraph and the formal agreement, the latter shall prevail.

21. Ownership Status The Tenderer shall provide full information on

(a) the name and address of any person, company or corporation which owns,

whether directly or indirectly, at least 50% of the total number of shares in the Tenderer; and

(b) the number, percentage and class of shares held by such person, company or

corporation.

INSTRUCTIONS TO TENDERERS 22. Re-Submission of Tender 22.1 SPPL reserves the right to shortlist Tenderers and give those so shortlisted the

opportunity to submit new or amended Tender Proposals on the basis of SPPL’s revised requirements, in accordance with a common deadline; including through the calling of a tender.

22.2 The Tender Proposals received in the final round shall be complete and comprehensive, and shall over-ride all Tender Proposals previously submitted. The final offer shall not make references to previous offers. All the Tender Proposals received in the previous rounds shall be treated as lapsed. Such final offers shall be submitted in sealed envelopes and deposited in the tender box or electronic mail or facsimile as instructed by SPPL.

23. Currency

The currency of the offer shall be Singapore Dollars (S$).

24. Others

All references in these Instructions to Tenderers to the "Tenderer" shall include individuals, bodies corporate, unincorporated associations and partnerships. Words importing the singular shall include the plural and vice versa and words denoting the masculine gender shall include the feminine and neuter genders.

REQUIREMENTS AND SCOPE OF SERVICES 1. REQUIREMENTS AND SCOPE OF SERVICES

1.1 Please refer to Section I Annex D - Price Schedule for the required specifications

and quantity. 1.2 There will be no contractual volume or value tied to this term contract. 1.3 SPPL shall not be obliged to place any order or any order for any minimum number

of the items (i.e. no minimum order quantity is required). 1.4 There shall be no delivery charges incurred regardless of any amount order. 1.5 The Supplier shall provide, at his own cost, samples when required by SPPL. 1.6 Items can be added or removed by SPPL during the contract period. 1.7 In the event that the model of the product/items offered by the Supplier in the

Tender Offer has become obsolete and cannot be supplied if a PO is issued for it, the Supplier shall make available an improved model to SPPL at the same or lower price than that of obsolete model, provided that the Supplier must obtain the written approval of SPPL before supplying the improved model. If the written approval is granted, the obsolete model shall be replaced by the improved model thereafter. The Supplier shall not supply the obsolete model thereafter.

1.8 Delivery and installation will be progressive to different locations. The instructions

will be stipulated in the Purchase Order(s) issued by SPPL and/or email instruction from authorized personnel from SPPL. Purchase Order(s) will be issued as and when required.

(Note: Purchases of items/equipment will be made as and when required by SPPL). 1.9 The Supplier shall keep a proper documentation and record of equipment installed

at SPPL’s authorized retail outlets and branches. For example, the Supplier’s document/record should contain the name of SPPL’s authorized retail outlets and branches, installation date, model and serial nos., expiry date of equipment etc.

1.10 The Supplier shall submit the monthly report/record of the list of SPPL’s authorized

retail outlets and branches installed with the LED monitors on the first week of every month or upon request by SPPL. The submission shall be sent via email to SPPL’s IT and copy to the respective User Departments.

1.11 The LED monitors shall be mounted securely, and shall not come off its mounting, resulting in danger to users or damage to other SPPL property. In providing the services to SPPL, the Supplier shall ensure that its personnel are qualified and adequately trained in the provision of the services, reliable, committed to providing SPPL with the relevant deliverables on a timely manner and responsive to requests made by SPPL on any matters pertaining to the contract.

1.12 Insurance and Risk related matters 1.12.1 The Supplier shall at his own cost procure and provide all necessary insurance for

his services including but not limited to the following: (a) All Risk Property damage insurance with limits of at least $50,000 per

occurrence

(b) Public Liability Insurance, including but not limited to coverage for product liability and breach of warranty both express and implied with combined single limits of $ 1 million per occurrence.

1.12.2 All insurance policies provided shall be maintained at Supplier’s sale cost and

expense. Copies of the insurance policies and receipts of premium payment must be submitted to SPPL prior to the commencement of the contract.

1.13 Support Services After Installation and During Warranty Period 1.13.1 The Supplier shall adhere to the stipulated service support hours as follows:

(i) Monday to Friday from 8:30am to 5:30pm; and (ii) Saturday from 8:30am to 1:00pm. Note: Services shall include change of damage parts onsite.

1.13.2 Upon SPPL’s notification, the Supplier’s Support Engineer shall response within 4

hours to do phone verification on the symptom of fault call. 1.13.3 The Supplier’s Engineer shall be onsite the next business day to repair or furnish

the faulty unit. If the problem is unable to resolve within next 24 hours, spare unit shall be sent to replace the faulty unit.

1.14 Evaluation of Services From time to time, SPPL will evaluate the Supplier’s services in terms of reliability, timely delivery, client servicing, responsiveness, resources and meeting of deadlines.

1.15 Termination of Contract

a) In the event where SPPL wishes to terminate the contract prematurely, SPPL shall give the Supplier one (1) month’s written notice.

REQUIREMENTS AND SCOPE OF SERVICES b) In the event where the Supplier wishes to terminate its services before the

end of the contract, the Supplier shall serve one (1) month’s written notice to SPPL provided there is no outstanding projects. Outstanding projects are to be closed or completed as mutually agreed upon before termination.

2. SUBMISSION OF PROPOSAL 2.1 The Supplier shall submit the following (but not limited to) for evaluation:

a) Price Schedule for the requirements and scope of services as set out in

Section I Annex D. All prices shall be quoted in Singapore Dollars, excluding GST.

b) Tenderer’s Particulars as set out in Section I Annex B.

2.2 Suppliers are to bear all expenses incurred in the preparation of their proposals and submission of the same.

EVALUATION CRITERIA 1. The Tenderer shall comply with the Invitation to Tender including the followings: Annex A Instructions to Tenderers

Annex B Tenderer’s Particulars Annex C Requirements and Scope of Services Annex D Price Schedule Annex E Evaluation Criteria

2. The Tenderer will be evaluated based on the following criteria: 2.1 Should have good proven track record (i.e. list of clientele using similar

requirements/services and list of clientele using similar brand quoted);

2.2 Ability to meet the requirements and/or specifications specified in this Tender Document;

2.3 Ability to provide most of the items specified in this Tender Document; 2.4 Price tendered/quoted should be the most competitive price. SPPL does not

bind itself to accept the lowest quoted price. SPPL reserves the right to award the tender in whole or in part to one or more successful Tenderers.
