Public Relations and Investor Relations at TCT

JC Weigelt may introduce you to a member of the media or investment community and ask you to demonstrate the product where you are stationed.

When engaged in a discussion with a Wall Street analyst or the media, be respectful, talk to them at a high level, and focus on specific product features and benefits. Ensure a member of the Corporate Relations team is present.

Simple rule of thumb is avoid answering any questions with a number. Look at the badge. If they are a member of the press or an investor, direct

Compliance Reminders Educational, sales, promotional, and business meetings with HCPs

being held incidental to the HRS:

Generally these meetings should be held prior to or after the scheduled hours of the HRS (e.g., later in the evening, early morning, day after the symposium, etc.)

Meetings should have a valid business purpose, valid topics may include: Product training and education Discussion of approved products Company story and vision Business strategy session Sales terms Scientific and educational information

Compliance Reminders

Meal expenses should be modest. St. Jude Medical has defined a “modest” meal to be no more than $150

per person per event plus tax and tip. Keep documentation of each healthcare professional for whom you are

paying. Good practice would include writing on the receipt the names and titles of attendees.

Unless the person attending has a legitimate professional interest in the information being shared, he/she should not attend the business meeting. In the event someone shows up who does not have a business interest in the information, you are not allowed to pay for that person, i.e. spouses or guests of healthcare professionals.

Remember Massachusetts and Vermont Implications (see next slides). More stringent rules apply for physicians licensed in Massachusetts and

in Vermont. Good practice would be to inquire on their license status before any meetings take place at a restaurant.

Compliance Reminders Massachusetts Implications:

Generally you are prohibited from paying for meals of physicians and other health care providers licensed in Massachusetts. The law’s restrictions follow the physicians/HCPs licensed in

Massachusetts wherever they go. Physicians/HCPs licensed in Massachusetts must pay for their own

meals. (See exceptions below). Check for dual licenses. Even if a healthcare professional practices

outside of Massachusetts, if the physician maintains a license from Massachusetts, the prohibition applies.

Snacks and refreshments in the booth at the HRS are allowed for HCPs licensed in Massachusetts.

Meals may be provided in the following circumstances: Healthcare professionals who are parties to consulting agreements

under which payment for meals may be appropriate. Meals as part of legitimate technical product training meetings.
