LICENSE AGREEMENT DO NOT OPEN THE SOFTWARE PACKAGE AND/OR USE ANY OF THESE MATERIALS UNTIL YOU HAVE READ THIS AGREEMENT CAREFULLY. IF YOU OPEN THE SOFTWARE PACKAGE AND/OR USE ANY OF THE MATERIALS IN THIS PACKAGE, YOU ARE AGREEING AND CONSENTING TO BE BOUND BY AND ARE BECOMING A PARTY TO THIS AGREEMENT. The materials in this package are NOT for sale and are not being sold to you. You may NOT transfer these materials to any other person or permit any other person to use these materials. You may only acquire a license to use these materials and only upon the terms and conditions set forth in this license agreement. Read this agreement carefully before opening the Software package and/or using these materials. Do not open the Software package and/or use these materials unless you agree with all terms of this agreement. NOTE: You may already be a party to this agreement if you registered for a Becker Professional Education CPA Review program (the “Program”) or placed an order for these materials on-line or using a printed form that included this license agreement. Please review the termination section regarding your rights to terminate this license agreement and receive a refund of your payment. Grant: Upon your acceptance of the terms of this agreement, in a manner set forth above, DeVry/Becker Educational Development Corp. (“Becker”) hereby grants to you a non-exclusive, revocable, non-transferable, non-sublicensable, limited license to use the accompanying Software (as defined below) and/or Printed Materials (as defined below) and any Software and Printed Materials to which you are granted access as a result of your license to use the accompanying Software and/or Printed Materials and/or in connection with the Program on the following terms: You may: • use the Printed Materials and the Software for the Program, for preparation for one or more parts of the CPA exam (the “Exam”), and/or for

your studies relating to the subject matter covered by the Program and/or the Exam; • use the Software on any single computer; • use the Software on a second computer so long as the first computer and the second computer are not used simultaneously; • use the Software on a third computer so long as the first, second and third computer are not used simultaneously; • copy the Software for archival purposes only, provided any copy must contain all of the original Software’s copyright and other proprietary

notices; • take electronic and/or handwritten notes during the Program; provided, however, that all notes taken by you during the Program that relate to

the subject matter of the Program are and shall remain Printed Materials subject to the terms of this agreement. You may not: • use the Printed Materials and/or the Software for any purpose other than as expressly permitted above; • use the Software on more than one computer, computer terminal or workstation at the same time; • make copies of the Software except as expressly permitted above; • make copies of all or any part of the Printed Materials; • use the Software in a network, other multi-user arrangement, on an electronic bulletin board system, or other remote access arrangement; • rent, lease, license, lend, or otherwise transfer or provide (by gift, sale, or otherwise) all or any part of the Software and/or the Printed

Materials to anyone; • permit the use of all or any part of the Software and/or the Printed Materials by anyone other than you; • reverse engineer, decompile, disassemble, or create derivate works of the Software; • create derivate works of the Printed Materials. Software: Software means and includes any and all electronically and/or digitally stored and/or accessed materials included in this package and/or otherwise provided to you and/or to which you are otherwise granted access by Becker (directly or indirectly) in connection with your license of the

accompanying materials and/or the Program. Software may include, but is not limited to, one or more of the CPA Exam Review and PassMaster®

program, the Simulations and Final Exam (CBT) program, and/or course lectures encoded on CD-ROMs and/or DVDs. Printed Materials: Printed Materials means and includes any and all written materials included in this package and/or otherwise provided to you and/or to which you are otherwise granted access by Becker (directly or indirectly) in connection with your license of the accompanying materials and/or the Program, and shall include notes you take (by hand, electronically, digitally, or otherwise) during the Program relating to the subject matter of the Program. Printed Materials may include, but are not limited to, one or more textbooks for each of the financial, auditing, regulation, and business subject matter areas of the Exam and/or flashcards. Title: Becker is and will remain the owner of all title, ownership rights, intellectual property, and all other rights and interests in and to the accompanying Software and Printed Materials and all other Software and/or Printed Materials that are subject to the terms of this agreement. The Software and Printed Materials are protected by the copyright laws of the United States and international copyright laws and treaties. Termination: This license shall terminate the earlier of: (i) ten (10) business days after notice to you of non-payment of or default on any payment due Becker which has not been cured within such 10 day period; or (ii) immediately if you fail to comply with any of the limitations described above; or (iii) with respect to Software, upon expiration of the period ending eighteen (18) months after the order date of the Software; or (iv) with respect to each item subject to this license that is a Printed Material, upon expiration of the eighteen (18) month period beginning upon your receipt of such Printed Material. On termination of this license in its entirety, you must destroy all copies of the Software and Printed Materials, including, but not limited to, any archival copies you may have made. On termination of this license with respect to a particular Software or Printed Material, you must destroy such Software or Printed Material, including, but not limited to, any archival copies you may have made. Your Limited Right to Terminate this License and Receive a Refund: You may terminate this license for the in-class online and self study CD/DVD Programs in accordance with Becker’s refund policy as provided at http://www.becker.com/accounting/cpaexamreview/courses/CPA-Review/policies-procedures.cfm.

Limited Warranty: Becker warrants that the media containing the Software, if provided by Becker, is free from defects in materials and workmanship and will remain so for 90 days from the date you acquired the Software. Becker’s sole liability for any breach of this warranty shall be, in Becker’s discretion, to repair or replace your defective media without charge or to refund the license fee you paid for the Software. Defective media may be returned for replacement or refund during the 90-day warranty period unless the media has been damaged by your actions or while under your control. Due to the complex nature of computer software, Becker does not warrant that the Software is completely error-free, will operate without interruption, or is compatible with all equipment and software configurations. You expressly assume all risk for use of the Software. Indemnification and Remedies: You agree to indemnify and hold Becker and its employees, representatives, agents, attorneys, affiliates, directors, officers, members, managers and shareholders harmless from and against any and all claims, demands, losses, damages, penalties, costs or expenses (including reasonable attorneys’ and expert witness’ fees and costs) of any kind or nature, arising from or relating to any violation, breach or nonfulfillment by you of any provision of this license. If you are obligated to provide indemnification pursuant to this provision, Becker may, in its sole and absolute discretion, control the disposition of any indemnified action at your sole cost and expense. Without limiting the foregoing, you may not settle, compromise or in any other manner dispose of any indemnified action without the consent of Becker. If you breach any material term of this license, Becker shall be entitled to equitable relief by way of temporary and permanent injunction and such other and further relief as any court with jurisdiction may deem just and proper. Severability of Terms: If any term or provision of this license is held invalid or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the validity or operation of any other term or provision and such invalid term or provision shall be deemed to be severed from the license. This license agreement may only be modified by written agreement signed by both parties. Governing Law: This license agreement shall be governed and construed according to the laws of the state of Illinois, save for any choice of law provisions. Any legal action regarding this Agreement shall be brought only in the U.S. District Court for the Northern District of Illinois, or another court of competent jurisdiction in DuPage County, Illinois, and all parties hereto consent to jurisdiction and venue in DuPage County, Illinois.

QUICK START Below is a brief overview of what you need to do to install the software and prepare for the course. PC:

1. Install the software. a. Insert the Startup Disc in your DVD drive. b. Run BPEAutoLoader from the AutoPlay menu or navigate to your DVD drive and run setup.exe. c. Select Start Software Installation and follow the instructions.

INSTALLING THE SOFTWARE This section shows you how to install and activate the software and provides a brief description of what is installed.

MINIMUM SYSTEM REQUIREMENTS PC:

You will need a PC that meets the following minimum specifications to use the Becker applications: • Microsoft Windows XP / Vista / 7 • 1.5 GHz processor or faster • 1 GB RAM or greater (2 GB highly recommended) • Hard drive with 500 MB or more free space (to copy optional homework files you will need an additional 500 MB of free

space) • Video card capable of 1024 × 600 resolution and 32-bit color or more • Sound card and speakers • DVD drive • To print the Performance Summary Report, a Windows-compatible printer is required • Administrative-level access is required to activate and operate the software • You must have access to the Internet at some point (not necessarily from this computer) to activate the software

* Support for Windows Millennium Edition (ME), and Windows 2000 Although Windows ME/2000 operating systems are no longer supported by Microsoft, the Becker applications normally run successfully under these operating systems. However, we will not be able to provide support for running the software under Windows ME, or Windows 2000.

Mac:

You will need a Mac that meets the following minimum specifications to use the Becker applications: • Mac OS-X 10.6 (Snow Leopard) or 10.7 (Lion) • Intel x86 based processor* • 512 MB RAM or greater (1GB highly recommended) • Hard drive with 500 MB or more free space (to copy optional homework files you will need an additional 500 MB of free

space) • Video card capable of 1024 × 768 resolution and 32-bit color or more • Sound card and speakers • DVD drive • To print the Performance Summary Report, a Mac-compatible printer is required • Administrative-level access is required to activate and operate the software • You must have access to the Internet at some point (not necessarily from this computer) to activate the software

*Support for PowerPC based Macs All Becker native Mac applications have been designed to run on Intel x86 based Macintosh computers. The Becker native Mac applications will not run on any PowerPC based Macintosh computers. We will not be able to provide support for running the software on any PowerPC based Macintosh computer.

INSTALLING THE APPLICATIONS PC:

We recommend using the default options

ACCESSING THE INSTALLED APPLICATIONS PC: You have the option to create a shortcut to the CPA Exam Review application on your desktop when the software is installed. Additionally, the installation process creates a shortcut on your computer's Start menu for easy access. To launch the software, click Start, Programs, and then the Becker’s CPA Exam Review – 2012 Edition program folder. You will see the CPA Exam Review application as well as a link to the uninstaller. Mac: To launch the CPA Exam Review application browse to the Becker’s CPA Exam Review - 2012 Edition folder inside your Applications folder. Once inside the Applications folder, click the icon titled Becker’s CPA Exam Review.

SOFTWARE REGISTRATION AND ACTIVATION Becker’s CPA Exam Review Course applications are copy-protected. The first time you start the CPA Exam Review application, you will see the Software Registration Wizard screen.

The Software Registration Wizard will walk you through the registration and activation process step by step. Click Next to begin the registration process.

Note: Please make sure the date in your computer is accurate before activating the software. Activating with an incorrect date will result in improper activation of your software.

Postponing Software Registration If you do not have the necessary information to register the product or encounter any difficulty in the process, you have the option of postponing the registration process. To do so, click the Later button at any time during the registration process. You will be able to use the CPA Exam Review Course software for fifteen (15) days, which will give you ample time to register your software. After this period, you MUST register the software to continue using it.

What You Need to Register Your Software You will need the following to register and activate your software:

• The software serial number You will find the serial number on the back cover of the Becker’s CPA Exam Review Startup Disc package.

• Internet access Internet access is required to verify your enrollment in the course and the validity of the serial number.

Please note that Internet access from the computer you are installing the software on is NOT necessary. This will be explained in more detail later.

Step 1 - Serial Number When you click Next from the welcome screen of the Software Registration Wizard, you will be asked to enter your 16-digit serial number from the back cover of the Becker’s CPA Exam Review Startup Disc package. If you have entered the serial number incorrectly, you will see an error message. At this point, you can click Later to postpone the registration (see the Postponing the Software Registration section). You can also click Cancel to terminate the application.

Step 2 - Personal Information After your have successfully provided your serial number, you will see the Personal Information screen. To complete this step, please enter the requested information on the screen. All the fields are required and must be completed in order to continue to the next step. Please make sure to enter all the information accurately. The data you provide here will be verified via the Internet later in this process and must match the information you provided when you registered for the course. Furthermore, this data will be saved permanently with this serial number and must match EXACTLY every time you need to activate your software. Therefore, please take special care and enter the information accurately.

Please note that the information you provide here will NOT be shared, nor will it be used for marketing purposes. It will be used for the sole purpose of registering your software.

Click Next to continue.

Step 3 - Online Registration and Activation In this step, the information you have provided thus far will be verified via the Internet. You have two options to complete this step:

1. Automatic Activation If you have an Internet connection from the computer you are activating, the wizard can perform this process automatically. Click Automatic to start the process; you will see the Automatic Activation section on the following page.

2. Manual Activation If you do not have an Internet connection, or if you experience any difficulty using the Automatic option, you can activate your software manually. Click Manual and skip to the section titled Manual Activation.

AUTOMATIC ACTIVATION Once the automatic activation process is completed successfully, you will see the Software Registration Wizard Completed screen. If you see this screen, skip to the Completing the Registration section. If the activation process is not completed successfully, you will see a screen with a brief explanation of the problem. Please see the Explanation of Activation Errors section for a detailed list of the possible errors you may encounter and suggestions on how to correct them.

MANUAL ACTIVATION Please follow the steps below to manually activate your software.

1. If necessary, click Manual and make sure that the Manual Activation Instructions screen of the wizard is displayed.

2. Click Print My Data and get a printout of the information you have provided here. If you don't have a printer, click this button anyway. A print preview of the report is shown by default. Write down all the information that appears in the Activation Preview window.

3. Click Cancel to terminate the application. Optionally, if you need to use the software in the meantime, click Later to postpone the registration process and start the software (see the Postponing the Registration Process section).

4. From a computer that has an Internet connection, point your browser to the Web site address indicated in the printout you received in Step 2.

5. In this Web site, enter all the requested information EXACTLY as it appears in the printout and click Activate.

6. If the Web site is able to verify the information you have provided, you will be given a 16-digit Activation Code. If you receive an activation code, skip to Step 7. Otherwise, you will see a brief description of the problem encountered. Please see the Explanation of Activation Errors section for a detailed list of the possible errors and how to fix them.

7. Start the CPA Exam Review application. When you see the Software Registration Wizard, click Next until you see Step 3 of the Software Registration Wizard and then click Manual.

8. In the Manual Activation Instructions screen, click Next. You will see the Step 4 - Activate Software screen.

9. Enter the 16-digit activation code you received in Step 6 in the space provided on this screen and click Activate.

10. If you have entered the activation code correctly, you will see the Software Registration Wizard Completed screen. Skip to the Completing the Registration section.

11. If you see the Invalid Activation Code Error message it may be because of one of the following reasons: A. You may have mistyped the activation code. Check your entry, make any necessary corrections, and try again. B. The personal information and/or serial number you entered in the software does not match those you entered on the Web

site. Click Back and repeat the previous steps. The information you enter here MUST match what you enter on the Web site EXACTLY. Otherwise, you will continue to see the Invalid Activation Code message.

Please note that there are no other reasons for receiving this error message other than the reasons mentioned previously. As a result, technical support or customer service cannot correct the problem for you. Please follow steps 1 through 9 and make sure that the information you enter in the Web site is EXACTLY as it appears here.

Explanation of Activation Errors Following is a list of the possible errors or warnings you may receive during the activation process along with a detailed explanation of how to address them.

UNABLE TO CONNECT TO THE INTERNET If an error is encountered when you are attempting to connect to the Internet, you will see a message indicating that the wizard was unable to connect to the Internet. When you click OK to close this message, you will see the Manual Activation Instructions screen. If you wish to try the automatic process again, click Back to return to Step 3 of the wizard and click Automatic. Otherwise, return to the Manual Activation section to activate your software manually.

INVALID SERIAL NUMBER This error occurs when you have entered the serial number incorrectly. Click Continue and enter the 16-digit serial number exactly as it appears on the back of the Startup Disc package.

MISMATCHED NAME This error occurs when the serial number has been previously activated with a different name. The software can be activated on multiple computers; however, it can only be registered and used by one student. The software license is nontransferable, and the software can only be used by the person who purchased the course. If you see this message, go back in the wizard (by clicking Back) and check to make sure you have correctly entered the serial number (in Step 1 of the wizard) and your personal information (in Step 2 of the wizard). If you have confirmed that the information you have provided is correct and you continue to see this message, follow the steps below:

1. Click Cancel to terminate the application. If you need to use the software, click Later to postpone the registration process and start the software (see the Postponing the Registration Process section).

2. Send an e-mail to [email protected]. In the subject line of the e-mail enter "Activation Mismatched Name Error," and in the body of the e-mail include the following information:

Your full name and address The serial number of the software

Please note that this issue can only be resolved via e-mail. Please do not telephone customer service or technical support for this issue.

3. You will receive a reply with instructions on how to correct this issue within one week after the receipt of your email. Please

note that you can use the CPA Exam Review software during this period by clicking Later when the registration screen appears.

EXPIRED LICENSE This error occurs when a serial number is activated AFTER the license for that serial number has expired. If you see this message, contact a customer service representative for information on how to purchase an upgrade.

MULTIPLE ACTIVATION WARNING This warning message occurs when a serial number has been activated on three computers. Although the software is activated on these three computers, you will not be able to activate the software on any additional computers. If you attempt to activate the software again after seeing this message, you will receive the Unsuccessful Authentication error (described in the next section).

UNSUCCESSFUL AUTHENTICATION This error occurs when the serial number has been activated more than the maximum activations allowed or when suspicious activity has been detected on the serial number. If you see this message, you must contact a Becker customer service representative to correct the issue.

Please note that this issue can only be resolved by the Becker customer service representatives. Please do not contact technical support for this issue.

Completing the Registration Once you have activated the software, you must confirm your understanding of two important terms of the software license to complete the registration process. First, please note that the software is for the sole use of the individual who purchased it and is nontransferable. Therefore, the first step to complete the registration process is to acknowledge that you are the authorized licensee to use this software. Click the check box confirming this fact and click Finish. Finally, you will see the Software License and Use Policy screen. Please note that the software is licensed to you for a limited time, and the software will not function after the license has expired. This screen indicates how long the license is valid and when your license expires. Once the software license expires you must reenroll to continue to use it. You must confirm your agreement to this policy by clicking Agree. After you click Agree the software will be activated and the main screen will appear.

Uninstalling the Applications PC: Follow these steps to remove the software from your computer:

1. Close all open windows and applications. 2. Open the Windows Control Panel. 3. Double-click Add/Remove Programs or Uninstall A Program applet. 4. Click Becker’s CPA Exam Review – 2012 Edition icon. 5. Click Uninstall. This button may have a different name depending on the version of Windows installed. 6. Follow the instructions to remove the application.

Mac: Follow these steps to remove the software from your computer:

1. Close all open windows and applications. 2. Open Finder from your dock and then select Applications from the Places heading. 3. Drag the Becker’s CPA Exam Review – 2012 Edition folder from the Applications folder to the Trash bin. 4. Remove any remaining Becker files. Open Finder and then open your user account. Open the Library folder, and then open

the Application Support folder. Delete the folder for the appropriate version of the software (e.g., Becker’s CPA Exam Review – 2012 Edition). Return to the Library folder and open the Preferences folder. Locate any com.Becker files and delete them.

TROUBLESHOOTING Before contacting technical support for assistance, please check this section and apply the suggested system settings for the problem you are experiencing. Following the suggestions made here will fix the problem in most cases.

DISPLAY PROBLEMS WITH THE SOFTWARE In order to correctly use Becker’s CPA Exam Review software you must have your monitor display set for 32-bit color or higher and a resolution of 1024 × 600 at a minimum. Although you can use the application with lower resolutions, many of the screens will be cut off. The resolution at the actual exam will be 1024 × 768, so it is highly recommended that you use the same setting on your computer to get familiar with the size. The Large Font setting also results in the applications not displaying properly. Please turn off Large Font setting and make sure to use the normal 96 DPI font size.

TURN OFF SCREEN SAVERS Please disable the screen saver when viewing lectures. Although the lecture playback is in progress, the operating system may conclude that your computer is idle and start the screen saver.

USING OTHER APPLICATIONS ALONG WITH THE PROGRAM Switching to other applications while viewing a lecture does NOT stop the lecture presentation (it will continue to run in the background). Exit the program first and then run the other application. Using other applications while the software is running is not recommended.
