Dear Prospective Spring Diva Womenʼs Expo Vendor: BlackFrederick.com cordially invites you to participate in our upcoming 2012 Spring Diva Womenʼs Expo. The event will be held at the William Talley Recreational Center, on Saturday, April 21, 2012 from 10 am - 4 pm. The expo will include fabulous giveaways, musical entertainment, a fashion show, and most importantly an opportunity to meet with the community face to face and market your products and services. Since this is our inaugural expo we can only speculate how many will participate. We do however expect a good crowd of at least 500 potential buyers. We will need you to pass the word, but together we can make this the best Womenʼs event Frederick has to offer. Each vendor will be supplied a pipe and drape booth, including a linen covered table with 2 chairs and small trash can. Electrical connectivity can be purchased separately. Pre-promotion of the event will include direct mail to over 1,000 website members, signage, flyers distributed at select retail locations, links to your website, Facebook updates, and other print ads. In addition, we will be negotiating with radio and TV as media partners for the event and will be promoting the event through multimedia advertising. Each prospective customer will be encouraged to pre-register and to visit with all participating businesses. They will each receive a listing with all the participating vendors and their locations onsite as well as a swag bag with vendor coupons and giveaways and the opportunity to win a free gifts once they have visited a collection of booths. Each swag bag participating vendor is required to donate a coupon or a gift for the giveaways. This is a wonderful opportunity to join in partnership with other quality businesses in our community. Spring Diva def. (n) A woman who is strong, confident, & comfortable in her own skin.

The goal of Spring Diva is to celebrate and meet the diverse needs of the women of Frederick. All women are special and have their own needs and desires.

The Spring Diva Women’s Expo will be held at the William Talley Recreation Center in Frederick, MD on Saturday, April 21, 2012, giving mothers, daughters and girlfriends a chance to explore, test, learn and laugh during the day long event of inspiration, education and entertainment. 

The fun begins with exhibits featuring all things that women love — apparel, jewelry, handbags, makeup, skin-care products, spa services, health and fitness products, gourmet foods, and designer items and services for the home. There will also be a “Body Type” fashion Expo,

complimentary wine tasting, and a chance to win some great prizes.

The Expo will take place outside and inside, and will have continuous information and demonstration sessions on the main stage throughout the day.

Presentation/Demonstration space can be secured via our online form or via mail. Space is only reserved after payment is made and no spaces will be held without payment. The Vendor is solely responsible for requesting o r f u r n i s h i n g n e c e s s a r y equipment to per form said demonstration or instruction. For specific set ups, we ask that you contact Expo Organizers to d e t e r m i n e a n d s a t i s f y

presentation needs. Unused time or space is at the discretion of the Vendor. Time will not be held for Vendors that are not ready or unprepared. Time spaces will proceed and end on t ime. Demonstrations requiring electric must be requested at the time of your booking. Please advise Expo Organizers of any special needs. We are here to do whatever it takes to make your presentation the best it can be!

Selling ProductsAll vendors selling products at the Expo are required to

carry a valid business license. If you donʼt have a business license, vendors should obtain temporary vendor license from the City of Frederick in accordance to city code. Please contact the Clerk of the Circuit Court for further information on obtaining this type license at 301-600-1960.

Food & Beverage Sales Food and beverage services and sales would need a health permit from the Frederick County Health Department. Cancellation

Reservations will be confirmed upon receipt of a completed form and full payment. Refunds are available minus a $50 processing fee before March 30, 2012. No refunds available after April 1st will be issued. All space is based on availability upon receipt of signed contract and payment in full. Exhibitor space is limited. Booths are assigned on a payment first-come, first-served basis.

Set-up and Breakdown Set up will begin at 7:00 a.m. on Saturday, April 21,

2012. Early set up may be arranged by contacting event organizers at [email protected]. Set-up of your space must be completed no later than 9:00 a.m as doors will open promptly at 10:00 a.m.

Breakdown of vendor space shall not begin before 4:00 p.m., unless prompted by event organizers. Breakdown of vendor space must be completed by 5:00 p.m. Damages to assigned space and/or event property will be billed to the vendor renting said space. An inspection of the space should be done before leaving the premises.

Parking spaces will be reserved for brief drop-off or pick-up of vendor property.

1. The following rules and guidelines are issued to maintain an organized, safe, and profitable atmosphere for all exhibitors. Please contact Spring Diva Womenʼs Expo at [email protected] if you have any questions concerning these rules and guidelines.

2. For and in consideration of the fees specified, Spring Diva Womenʼs Expo grants Exhibitor a revocable license to occupy space in the Spring Diva Womenʼs Expo(hereinafter referred to as “Expo”).

3. Exhibitor may enter Expo facility for purposes of booth set-up only during scheduled move-in hours. Set up of exhibit must be completed no later than one hour prior

to Expo opening. Should Exhibitor fail to occupy its space during the scheduled setup period, Expo Management shall have the right to take possession of said space and reallocate it to another Exhibitor; however, Exhibitor shall remain responsible for full payment. Should Exhibitor arrive after the designated setup time, the Exhibitor may be permitted to occupy an available space at the sole discretion of Expo Management. Exhibit must be removed no later than one hour after the close of Expo

4. Exhibitor may demonstrate products and/or services, solicit orders, and distribute advertising material (including, but not limited to, signs, literature, and/or business cards) only from their assigned exhibit space and only for products and/or services which are provided" in" Exhibitorʼs" normal operation of business. Distribution or display of advertising materials from non-exhibitors is prohibited. Distribution of materials in aisles, registration areas, seating areas or grounds of Expo facility is prohibited. Exhibitor may not assign its contract for exhibit space or permit any other person or company to use any part of such space.

5. Expo Management reserves the right to restrict displays which, because of noise or method of operation, interfere with other exhibitors, and to prohibit or remove such displays and/or personnel which in the opinion of Expo Management become objectionable and/or detract from the character or appearance of Expo. The use of sound equipment shall be coordinated between Expo management and vendors wishing to use audio equipment to ensure an orderly and mutually beneficial Expo. Use of music or live musicians must be noted on entry form.

6. Distribution of edible items is restricted to items normally" distributed" in vendorʼ s course of business and only for promotional purposes. Vendor assumes all liability associated with edible items it distributes. In addition, vendor agrees to not utilize any kitchen facilities at the William R. Talley Recreation Center.

7. Reasonable precautions will be taken by Expo Management to protect persons and property during Expo; however, neither Expo Management, Expo facility, nor representatives of any of the same, shall be responsible for the personal safety of Exhibitor or its representatives from injury, nor for the safety of the property of the exhibitor from theft or damage. Exhibitor agrees to indemnify and hold harmless Expo Management, expo facility, and representatives of the same, for all claims" by" Exhibitor," E x h i b i t o r ʼ s agents, employees, contractors, or by any other

person, arising out of any act or omission in any way related to Exhibitorʼs participation in the Expo. Exhibitor waives, without limitation, all claims for damages based on personal property damage, destruction, loss or theft, personal injury, and any other act or failure to act of Expo Management. Exhibitor must carry liability insurance applicable to participation in a public Expo.

8. Exhibitor is charged with having knowledge of and compliance with all laws, ordinances, and regulations pertaining to licensing, sales tax, health, fire prevention, public safety, copyright, and the Americans With Disabilities Act. Exhibit decorations must be fire safe. If an exhibit does not comply with these regulations, or otherwise presents a hazard or danger, Expo Management may remove the exhibit without liability for refund of exhibit fees.

9. Payment is due in full with submission of this agreement. All payments are nonrefundable and nontransferable, and, except as specified herein, this agreement may not be cancelled. Exhibitor shall pay a fee of $50 if any check presented for payment is returned by bank. Exhibitors with a history of collection problems, bad debts or non- sufficient funds checks that are not honored will not be invited to participate in future Expos.

10. In the event of extreme weather conditions, fire, casualty, disaster, labor disputes, acts of God, or any other emergency situation beyond the control of Expo Management, Expo Management will, at its discretion, reschedule and/or procure alternate space for Expo. Exhibitor agrees that the terms and conditions set forth in this agreement shall apply to any rescheduled date and/or relocation, and Expo Management shall not be liable to Exhibitor for any loss or damage suffered by Exhibitor by reason of such rescheduling and/or relocation of Expo.

11. Except as specifically provided in this agreement, should Expo Management shall fail to hold Expo as herein provided or to furnish to exhibitor the space herein described, Expo Management shall refund to Exhibitor all amounts paid hereunder and such refund shall be accepted by Exhibitor as complete settlement and discharge of Exhibitorʼs claims and"demands.

12. Expo Management will make reasonable efforts to assign the exhibit size and" location of Exhibitor ʼs choice; however, Expo Management reserves the right to alter the Expo floor plan and/or relocate the location of Exhibitor. In the event of the relocation of an exhibit space, Exhibitor shall receive a refund of the cost difference, if any, between the original and the relocated exhibit. Exhibitor agrees that Expo

Management shall not be liable to Exhibitor for any loss or damage suffered by Exhibitor by reason of such relocation.

13. A list of attendees will be made available to Exhibitor, provided Exhibitor has fulfilled all terms of this agreement. Exhibitor agrees to be held liable for any unauthorized use of the list and that the damages to Expo Management resulting from each unauthorized use will be set at a dollar amount equal to that of the Exhibitorʼs space in the Expo.

14. Exhibitor acknowledges that empty spaces reflect negatively on the Expo. Therefore, any vendor vacating its space prior to the distribution of the grand prize shall forfeit its right to receive a copy of the list of attendees.

15. Shall litigation be necessary for Expo Management to enforce any condition of this agreement, Expo Management, in addition to any damages or relief awarded, shall be entitled to receive interest at the rate of one and one-half percent per month from the date of breach, court costs, and attorneyʼs fees of one-third of the total exhibitor fee. Exhibitor agrees that jurisdiction, venue, and choice of law shall be in the State of Maryland.

16. The agreement between Expo Management and Expo facility shall supersede the agreement between Expo Management and the Exhibitor. Any promotional and/or instructional information provided by Expo Management to Exhibitor is accurate as of publication; however, Expo Management reserves the right to change or modify details of the Expo without notice. Expo Management may issue additional rules, or amend any existing rule, as it deems necessary for the orderly presentation of Expo, provided such addition or amendment does not substantially diminish the rights or increase the liability of Exhibitor.

17. This agreement shall represent the entire agreement between Exhibitor and Expo Management. Expo Management shall not be bound by any representation or understanding not expressly set forth in this agreement. No provision of this agreement shall be modified except by the written mutual consent of the parties. Exhibitor, in signing this agreement, or having same signed by a representative, acknowledges his, her, or their authority to do so and hereby assumes liability for the terms, conditions, and amounts stated herein. If any clause of this agreement is found to be invalid or unenforceable, the remainder of the agreement shall continue in full force and effect without regard to the invalidated clause.

18. Submission of application and payment determines agreement with the above terms.
