PLEASE NOTE: Signature of the sponsoring company confirms agreement to the terms of the sponsorship detailed in the sponsorship brochure. Signature of both parties constitutes a contract. The Application for Sponsorship serves as an addendum to the Application for Exhibit Space. All rules, requirements, and other information required of exhibitors also apply to the Application for Sponsorship and to sponsors. This is inclusive. Any additional requirements will be the responsibility of the sponsoring company.

Terms & Conditions

1. International Floriculture Expo (herein called the “Show”) is owned and operated by Diversified Communications (herein called the “Producer”.)

2. If Exhibitor desires to cancel this Agreement, Exhibitor may only do so by giving notice thereof in writing sent to the Producer by Certified Mail, Return Receipt Requested. If notice is received after April 7, 2016, 100% of the total fee is due Producer. If any sponsorship or advertising services are provided by the Producer prior to April 7, 100% of the total fee is due Producer. If Exhibitor cancels participation in the Show, this agreement will be cancelled and the exhibitor will be liable for payment as outlined above.

3. Priority Points are assigned for sponsorship and advertising at the sole discretion of the Producer. Points are assigned as follows: ½ point for the first $1000 in total sponsorship and advertising fees paid by Exhibitor and ½ point for each additional $1000 in total sponsorship and advertising fees. A maximum amount of 10 Priority Points may be assigned to Exhibitor for all sponsorship and advertising fees. No priority points are assigned for total sponsorship or advertising fees under $1000. In all cases, total sponsorship and advertising fees paid will be rounded down to the nearest $1000 increment before assigning Priority Points. If Exhibitor cancels this agreement, Priority Points assigned for sponsorship or advertising are forfeited regardless of payments received by Producer. Priority Points assigned for sponsorships and advertising are not retroactive. Priority Points will be applicable to International Floriculture Expo in 2016.

4. All Sponsorship and Advertising opportunities are subject to approval by Producer. Producer reserves the right to restrict promotions which, because of noise, method of operation, materials or for any other reason become objectionable, and also to prohibit or to remove any pro motion which, in its opinion, may detract from the general character of the Show. This reservation includes persons, things, conduct, printed matter and anything of character which Producer determines is objectionable. In the event of such restriction or removal, Producer shall not be liable for any refunds or other promotion expenses.

5. Exhibitor shall be responsible for providing the “finished” Sponsorship and/or Advertising material by the deadline date and for meeting the exact specifications indicated, as provided by Producer. In the event that such deadline is not met by the Exhibitor, the space and/or opportunity in question shall revert back to Producer without any obligation to refund monies.

6. Producer is not liable for delays in delivery and/or non-delivery as the result of an Act of God, action by any government or quasi-government entity, fire, flood, insurrection, riot, explosion, embargo, strikes whether legal or illegal, labor or material shortage, transportation interruption of any kind, work slowdown, or any other condition beyond the reasonable control of Producer affecting the production or delivery in any manner.

7. Under no circumstances will Producer be liable for loss of profits or other incidental or consequential damages for any of its acts or omissions whatsoever whether or not appraised with the possibility or likelihood of such lost profits or damages.

8. Exhibitor hereby agrees to indemnify, defend and hold harmless Producer from any and all liability for content (including illustrations, representations, sketches, maps, trademarks, labels or other copyrighted matter) of promotions, printed or unauthorized use of any person’s name or photograph arising from the reproduction and display of such promotion pursuant to the order.

9. Exhibitor agrees that the Terms and Conditions in the Exhibitor Application and Agreement, and the Exhibitor Service Manual are an integral part of this agreement. Exhibitor shall observe and abide by additional Show Regulations made by the Producer for the efficient, safe operation and success of the Show.

10. Producer reserves the right to interpret, amend and enforce these Term and Conditions as it deems proper to assure the efficient, safe operation and success of the Show.

11. If any term or provision of this Agreement shall be declared invalid or unenforceable, the remainder of the Agreement shall continue in full force and effect.
