INTRODUCTION PENDAHULUANThis Service Agreement, dated as of the ……. of ………., 2005, is made and entered into by and between ……………………, a company incorporated under the laws of Republic of Indonesia, having it’s registered office at ………………………, Indonesia (hereinafter called “Contractor”) and PT. EXCELCOMINDO PRATAMA, a company incorporated under the laws of Republic of Indonesia and having its principal office at grha XL, Jl. Mega Kuningan Lot E4-7 No.1, Kawasan Mega Kuningan, Jakarta 12950, Indonesia (hereinafter called “Excelcom”).

Perjanjian Layanan ini, terhitung sejak tanggal ……. bulan ………., 2005, dibuat dan dilangsungkan oleh dan antara ……………………, sebuah perusahaan yang secara sah didirikan berdasarkan peraturan perundangan Negara Republik Indonesia, yang berkedudukan dan berkantor resmi di ………………………, Indonesia (selanjutnya dalam Perjanjian ini disebut sebagai “Kontraktor”) dan PT. EXCELCOMINDO PRATAMA, perusahaan yang secara sah didirikan berdasarkan peraturan perundangan Negara Republik Indonesia, yang berkedudukan dan berkantor pusat di Grha XL, Jl. Mega Kuningan Lot E4-7 No.1, Kawasan Mega Kuningan, Jakarta 12950, Indonesia (selanjutnya dalam Perjanjian ini disebut sebagai “Excelcom”).

WHEREAS: DIMANA:A. The Excelcom holds a nationwide cellular license

to provide and operate a GSM mobile telephone network in the Republic of Indonesia;

A. Pihak Excelcom merupakan pemilik lisensi jaringan seluler nasional yan menyediakan dan mengoperasikan jaringan telepon GSM mobile di wilayah Negara Republik Indonesia

B. The Excelcom intends to erect towers and all of its supporting equipment to provide and support a nationwide GSM mobile telecommunications system, and the Excelcom appointed the Contractor to carry out the associated civil construction work (hereinafter called “Services”);

B. Pihak Excelcom dengan ini bermaksud mendirikan serta memasang sejumlah menara berserta segala peralatan pendukungnya dalam rangka menyediakan dan mendukung sistem telekomunikasi GSM mobile nasional, dan untuk maksud tersebut Excelcom menunjuk Kontraktor untuk melaksanakan pekerjaan konstruksi dan sipil terkait (selanjutnya dalam Perjanjian ini disebut sebagai “Layanan”);

C. The Contractor agrees, subject to the terms and conditions of this Service Agreement to carry out the Services.

C. Pihak Kontraktor setuju, dengan tetap mematuhi segala syarat dan ketentuan Perjanjian Layanan ini untuk melaksanakan dan menyelesaikan Layanan tersebut.

Now, therefore, the Excelcom and the Contractor agree to enter into this Service Agreement (hereinafter “Contract”) on the following terms and conditions:

ARTICLE 1DEFINITIONS

PASAL 1ISTILAH DAN PENGERTIAN

1. ‘Completion Date’ means the date for Final Acceptance of milestones and Services for each Site as stated in the Implementation Schedule which has been agreed by the Parties during Kick of Meeting;

1. ‘Tanggal Penyelesaian” berarti tanggal Penerimaan Akhir semua target antara (milestones) dan Layanan untuk setiap Lokasi sebagaimana yang dinyatakan dalam Jadwal Pelaksanaan yang telah disepakati oleh Para Pihak dalam Acara Peresmian Awal Pelaksanaan (Kick of Meeting);

2. ‘Contract’ means this Service Agreement executed between the Excelcom and the Contractor for the provision of Services, including all attachments and appendices, and all documents incorporated by reference herein;

2. ‘Kontrak’ berarti Perjanjian Layanan ini yang dilaksanakan antara Pihak Excelcom dan Kontraktor dalam rangka penyediaan Layanan, termasuk seluruh lampiran dan apendiks, dan seluruh dokumen sebagaimana dimaksud dan ditetapkan dalam Perjanjian ini;

3. ‘Contract Price’ means the consideration to be paid by the Excelcom to the Contractor for the Services as set forth in Attachment 2;

3. ‘Harga Kontrak’ berarti imbalan yang akan dibayarkan oleh Pihak Excelcom kepada Kontraktor atas Layanan sebagaimana dimaksud dalam Lampiran 2;

4. ‘Days’ means calendar days; 4. ‘Hari’ berarti hari kalender;

5. ‘Document’ means : 5. ‘Dokumen’ berarti :

a. Document for Payment, means a document as indicated in Article 4.2 of this Contract, which should be submitted by the Contractor, indicating that the Excelcom is liable to make payment for the Service supplied;

a. Dokumen Pembayaran (Document for Payment), adalah suatu dokumen sebagaimana dimaksud dalam Pasal 4.2 Kontrak ini, yang harus diserahkan oleh Kontraktor, serta menunjukkan bahwa Excelcom berkewajiban menyelesaikan pembayaran atas Layanan yang telah diberikan;

b. Document for Acceptance, means a document as indicated in Attachment 4 and must be provided in a form as set out in Attachment 5 of this Contract, indicating that the Services have been completed as per Excelcom Specification and requirement.

b. Dokumen Penerimaan (Document for Acceptance), berarti suatu dokumen sebagaimana dimaksud dalam Lampiran 4 dan harus dibuat dalam bentuk dan format sebagaimana dimaksud dalam Lampiran 5 Kontrak ini, yang menunjukkan bahwa Layanan tersebut telah diselesaikan sesuai dengan Spesifikasi dan persyaratan yang diminta Pihak Excelcom.

6. ‘Down Payment Bond’ means the bond to be provided by the Contractor pursuant to Article 17 of this Contract;

7. ‘Effective Date of Contract’ means the date this agreement is signed by both parties;

8. ‘Final Acceptance’ means in respect to any and all Materials and/or Services supplied according to this Contract or any relevant Purchase Order, that the Materials and/or Services have been performed as per the specifications and accepted as such by the Excelcom;

8. ‘Penerimaan Akhir’ berarti, berkaitan dengan setiap dan seluruh Material dan/atau Layanan yang disediakan berdasarkan Kontrak ini atau Pesanan Pembelian (Purchase Order), bahwa Material dan/atau Layanan dimaksud telah dilaksanakan dan diselesaikan sesuai dengan Spesifikasi yang telah ditetapkan dan telah diterima sebagaimana mestinya oleh Pihak Excelcom;

9. ‘Force Majeure Event’ means, with respect to Excelcom or Contractor (the "affected party"):

9. ‘Peristiwa Keadaan Memaksa’ berarti, berkaitan dengan Pihak Excelcom atau Kontraktor ("pihak yang terkena dampak"):

a. an event which is beyond the control of the affected party or one which, by the exercise of a reasonable standard of care and diligence, the affected party is unable to prevent or overcome and which is not the result of a breach of this Contract or any law by the affected party (or any affiliate, officer or employee of the affected party), or any negligent act or omission of the affected party (or any affiliate, officer, employee, sub Contractor or agent of the affected party);

a. sebuah peristiwa diluar kendali pihak yang terkena dampak atau suatu peritiswa dimana, setelah dilakukannya suatu tindakan atau penelitian yang sewajarnya, pihak yang terkena dampak tidak mampu mencegah atau mengatasinya dan bukan merupakan akibat dari pelanggaran Kontrak ini atau pelanggaran ketentuan hukum apapun oleh pihak yang terkena dampak (atau siapapun dari pihak afiliasi, pejabat atau karyawan dari Pihak yang terkena dampak), atau kelengahan atau kealpaan/penghapusan Pihak yang terkena dampak (atau siapapun dari pihak afiliasi, pejabat, sub Kontraktor, atau agen dari Pihak yang terkena dampak);

b. an act of God, fire, lightning, explosions, flood, or subsidence;

b. bencana alam, kebakaran, petir, ledakan, banjir, atau subsiden;

c. military operations, government restraint, expropriation, prohibition, intervention, direction or embargo; or

c. operasi militer, larangan pemerintah, penyitaan, pelarangan, intervensi, perintah atau embargo; atau

d. an industrial disturbance that has general effect on the performance of this Contract by either party.

d. gangguan industri yang memiliki pengaruh umum terhadap pelaksanaan Kontrak ini oleh masing-masing pihak.

10. ‘Kick of Meeting (hereinafter “KOM”)’ means the meeting as scheduled by the Excelcom after the Contractor received Purchase Order from the Excelcom. In this KOM the Parties will set up Implementation Schedule of each Site;

10. ‘Peresmian Awal Pelaksanaan atau Kick of Meeting (selanjutnya disebut sebagai “KOM”)’ berarti pertemuan sebagaimana ditentukan atau dijadwalkan oleh Pihak Excelcom setelah Kontraktor menerima Purchase Order dari Excelcom. Dalam KOM ini, Para Pihak akan menyusun dan menetapkan Jadwal Pelaksanaan untuk setiap Lokasi;

11. ‘Implementation Schedule’ means the actual agreed time for completion as agreed by the parties at the KOM, which will be the measure of performance used by the Excelcom for future allocation of work and for the purpose of determining liquidated damages;

11. ‘Jadwal Pelaksanaan’ berarti waktu sesungguhnya yang disepakati oleh para pihak pada KOM, yang merupakan ukuran kinerja yang digunakan oleh Pihak Excelcom bagi alokasi kerja nantinya dan untuk tujuan menetapkan kerusakan terlikuidasi;

12. ‘Insurance Certificate’ means the insurance bond to be provided by the Contractor pursuant to Article 17 of this Contract;

12. ‘Sertfikat Asuransi’ berarti jaminan asuransi (insurance bond) yang akan disediakan oleh Kontraktor sesuai dengan ketentuan Pasal 17 Kontrak ini;

13. ‘Material’ means mechanical and electrical equipment for shelter (including any software), PLN Connection equipment and all of its supporting equipment (including any software) as listed in Attachment 1 which Contractor is to make available for installation and includes self supporting tower (“SST”), monopole antenna, anchor bolts and all of the supporting or ancillary equipment which should be picked up by the Contractor from tower vendor which has been appointed by the Excelcom, where the Contractor is required to install under this Contract;

13. ‘Material’ berarti peralatan mekanik dan listrik (termasuk segala software), peralatan sambungan daya PLN dan seluruh peralatan pendukung lainnya (termasuk segala software) sebagaimana yang tercantum dalam Lampiran 1 yang akan disediakan oleh Kontraktor dalam rangka instalasi dan termasuk self supporting tower (“SST”), antenna satu tiang (monopole antenna), anchor bolts dan seluruh peralatan pendukung atau pelengkapan lainnya yang harus diambil oleh Kontraktor dari tower vendor yang telah ditunjuk oleh Excelcom, peralatan mana seluruhnya harus dipasang oleh Pihak Kontraktor berdasarkan Kontrak ini;

14. ‘Project Manager’ means the member of either parties staff dully appointed by that party to act as its representative in connection with the implementation of the Services;

14. ‘Manajer Proyek’ berarti staf kedua belah pihak yang diangkat secara sah untuk bertindak sebagai wakil para pihak dalam hubungannya dengan pelaksanaan Layanan ini;

15. ‘Project Meeting’ means the regular meetings as scheduled by the Excelcom for monitoring and evaluating Contractor performance;

15. ‘Rapat Proyek’ berarti segala rapat yang diadakan secara teratur dan dijadwalkan oleh Excelcom dalam rangka monitoring dan evaluasi Kinerja Kontraktor;

16. ‘Purchase Order (hereinafter “PO”)’ means an order for Services issued by the Excelcom to the Contractor;

16. ‘Pesanan Pembelian atau Purchase Order (selanjutnya disebut sebagai “PO”)’ berarti sebuah pesanan Layanan yang diterbitkan oleh Pihak Excelcom kepada Kontraktor;

17. ‘Services’ means, as set out in appendices to this Contract or in a relevant PO, and may include but is not limited to tasks such as, shipping and handling of Material, obtain installation permit, installation, supervisory activities, testing and commissioning, provide Acceptance Test Procedure (“ATP”) document included as built drawing and during Warranty Period that the Contractor is obliged to provide or perform under

this Contract; selama Masa Jaminan dimana Kontrakor berkewajiban untuk menyediakan atau melaksanakanya sesuai dengan ketentuan Kontrak ini;

18. ‘Service Entry Sheet’ means the certification as provided by the Excelcom shown in Attachment 6, indicating that the Service has been completed by the Contractor and accepted by the Excelcom. This Service Entry Sheet, should be attached by the Contractor when submitting the invoice of the final payment;

18. ‘Lembar Entri Layanan’ berarti sertifikasi sebagaimana ditetapkan oleh Pihak Excelcom yang ditunjukkan dalam Lampiran 6, sebagai bukti bahwa Layanan telah selesai dilaksanakan oleh Kontraktor dan diterima dengan baik oleh Pihak Excelcom. Lembar Entri Layanan ini, harus di lampirkan oleh Kontraktor pada saat menyerahkan tagihan (invoice) pembayaran terakhir;

19. ‘Site’ means each physical location where the Materials will be installed and the Services will be performed;

19. ‘Lokasi’ berarti lokasi fisik dimana Material yang akan dipasang dan Layanan yang akan dilaksanakan berada;

20. ‘Specifications’ means the specifications in relation to the Materials and Services as defined in Attachment 1 of this Contract;

20. ‘Spesifikasi’ berarti segala Spesifikasi yang berhubungan dengan Material dan Layanan sebagaimana ditetapkan dalam Lampiran 1 Kontrak ini;

21. ‘Valid Invoice’ means an invoice to be presented by the Contractor to the Excelcom. It must be include the PO number reference and must attached with original tax invoice (faktur pajak) on all its invoices;

21. ‘Tagihan Yang Sah’ berarti suatu tagihan yang akan diberikan oleh Kontraktor kepada Excelcom. Dokumen ini harus mencakup nomor referensi PO dan faktur pajak asli harus dilampirkan pada seluruh tagihannya;

22. ‘Warranty Bond’ means the warranty bond to be provided by the Contractor pursuant to Article 17 of this Contract;

22. ‘Jaminan Garansi’ berarti jaminan garansi yang akan disediakan oleh Pihak Kontraktor sesuai dengan ketentuan Pasal 17 Kontrak ini;

23. ‘Warranty Period’ has the meaning indicated in Article 10.

23. ‘Masa Garansi’ memiliki arti sebagaimana dimaksud dalam Pasal 10.

ARTICLE 2PERIOD OF CONTRACT

PASAL 2MASA BERLAKU KONTRAK

The term of this Contract shall commence upon the Effective Date of Contract, and shall continue in effect but no later than December 31, 2007 unless extended by mutual consent or terminated by the parties pursuant to the terms and conditions as provided for in this Contract.

Masa berlaku Kontrak ini mulai sejak tanggal mulai berlakunya Kontrak, dan akan terus berlaku sampai namun tidak melewati tanggal 31 Desember, 2007 kecuali apabila kemudian diperpanjang berdasarkan kesepakatan bersama atau dihentikan oleh para pihak sesuai dengan syarat dan ketentuan sebagaimana ditentukan dalam Kontrak ini.

ARTICLE 3SCOPE OF WORK

PASAL 3LINGKUP KERJA

1. The Contractor shall carry out the Services in accordance with this Contract or any relevant PO. Technical specifications and standards required by the Excelcom for the Materials and/or Services are referenced in Attachment 1 of this Contract;

1. Kontraktor harus melaksanakan dan menyelesaikan Layanan ini sesuai dengan Kontrak ini atau seluruh PO terkait yang ada. Spesifikasi dan standard teknis yang dipersyaratkan oleh Pihak Excelcom atas Material dan/atau Layanan yang diberikan mengacu pada ketentuan di Lampiran 1 Kontrak ini;

2. The Contractor shall complete the Services within the time for completion as stated in Implementation Schedule which has been agreed between the Parties at KOM. Failure to complete the Services within that times will result in the Contractor being liable for liquated damages, unless they have received an extension via the Change Order process as contained within this Contract;

2. Kontraktor harus menyelesaikan Layanan yang dimaksud dalam waktu penyelesaian sebagaimana dimaksud dalam Jadwal Pelaksanaan yang telah disepakati oleh Para Pihak pada KOM. Kegagalan untuk menyelesaikan Layanan tersebut dalam jangka waktu tersebut akan menyebabkan Kontraktor harus bertanggung jawab atas kerugian atau kerusakan terlikuidasi (liquated damages), kecuali apabila mereka telah menerima perpanjangan melalui proses Perubahan Pesanan atau Change Order sebagaimana dimaksud dalam Kontrak ini;

3. The Excelcom reserves the right to cancel or postpone the PO (with no penalty to the Excelcom), prior to implementation of the Services and/or the Contractor fails to attend the KOM as scheduled by the Excelcom in accordance to Article 6.1 (i). Upon cancellation or postponement of the relevant PO by the Excelcom for any reason, the Contractor shall within fourteen (14) Days from the date of notification, credit or pay to the Excelcom (at Excelcom option) the total amounts of down payment paid by the Excelcom including 10% of VAT of the relevant PO.

3. Pihak Excelcom memiliki hak untuk membatalkan atau menunda PO (tanpa penalti atau denda apapun yang akan dikenakan kepada Excelcom), sebelum dilaksanakannya Layanan dan/atau Kontraktor gagal atau tidak menghadiri KOM sebagaimana dijadwalkan oleh Pihak Excelcom sesuai dengan ketentuan Pasal 6.1 (i). Setelah dibatalkan atau ditundanya PO terkait oleh Pihak Excelcom dengan alasan apapun, Pihak Kontraktor tidak lebih dari empat belas (14) hari sejak tanggal pemberitahuan, harus membayar kepada Excelcom (sesuai dengan cara yang dikehendaki oleh Pihak Excelcom) seluruh uang muka yang telah dibayarkan oleh Pihak Excelcom termasuk PPN 10% sebagaimana tercantum pada PO terkait.

ARTICLE 4CONTRACT PRICE AND PAYMENT

TERMS

PASAL 4HARGA KONTRAK DAN KETENTUAN

price of the Services ordered by the Excelcom shall be as per the price list attached to this Contract (Attachment 2). The unit price of the Service as contained in paragraph 1 hereof

shall be reviewed by Exelcom at the beginning of each year in which the contract proceeds;

sebagaimana tercantum didalam ayat 1 Pasal ini akan di tinjau kembali oleh Excelcom pada tiap awal tahun kontrak berjalan;

2. The payment shall be divided into 3 (three) instalments as follows :

2. Pembayaran dilakukan sebanyak 3 (tiga) kali yakni sebagai berikut :

30 % of total PO value as down payment to be paid within 14 (fourteen) days of receipt of Document for Payment of down payment (Valid Invoice, Down Payment Bond and Insurance Certificate);

30 % dari nilai total PO sebagai uang muka yang akan dibayarkan dalam waktu paling lambat 14 (empat belas) hari setelah diterimanya Dokumen Pembayaran Uang Muka (Tagihan Yang Sah, Jaminan Uang Muka dan Sertifikat Asuransi);

65 % of total PO value to be paid after receipt of Document for Payment of final payment (Valid Invoice and signed Service Entry Sheet);

65 % dari nilai total PO akan dibayarkan setelah diterimanya Dokumen Pembayaran Akhir (Tagihan yang Sah dan Lembar Entri Layanan yang telah ditandatangani);

5 % from total price of PO as retention to be paid 6 months from the date of signed Service Entry Sheet, after receipt of Document for Payment of retention payment (Valid Invoice, copy of Service Entry Sheet and Warranty Bond).

5 % dari total harga PO sebagai retensi yang akan dibayarkan dalam waktu 6 bulan sejak tanggal Lembar Entri Layanan yang ditandatangani, setelah diterimanya Dokumen Pembayaran retensi (Tagihan Yang Sah, salinan Lembar Entri Layanan dan Jaminan Garansi atau Warranty Bond).

Except for the payment of the down payment, the Excelcom will make all other payments within thirty (30) days of receipt of Document for Payment as stated above.

Kecuali untuk pembayaran uang muka, Pihak Excelcom akan menyelesaikan pembayaran dalam waktu paling lambat tigapuluh (30) hari terhitung sejak tanggal diterimanya Dokumen Pembayaran sebagaimana dimaksud diatas.

3. The Contractor shall deliver such Document for Payment as stated in paragraph 2 above directly to the Excelcom with the attention of finance account payable.

3. Pihak Kontraktor akan menyerahkan Dokumen Pembayaran sebagaimana dimaksud dalam ayat 2 di atas langsung kepada Pihak Excelcom dengan tembusan kepada bagian tagihan keuangan atau finance account payable.

ARTICLE 5TAXES

PASAL 5PAJAK

1. Tax inclusive prices 1. Harga termasuk pajak

Subject to Article 5.2, all fees payable under this Contract are inclusive of all taxes which are assessed, levied or imposed in any jurisdiction in connection with this Contract.

Dengan tetap mengacu pada ketentuan Pasal 5.2, seluruh biaya yang dibayarkan berdasarkan Kontrak ini sudah termasuk pajak yang dihitung, dipungut atau dikenakan sesuai dengan peraturan perundangan di wilayah hukum di mana Kontrak tersebut berlaku.

2. VAT 2. PPN

a. In this Article 5.2, "VAT" means Indonesian Value Added Tax.

a. Dalam Pasal 5.2 ini, “PPN atau VAT” berarti Pajak Pertambahan Nilai yang berlaku di Indonesia.

b. Subject to Article 5.2.c, in addition to the amounts payable under this Contract, (to the extent that they are expressed to be VAT exclusive), the party making the payment will pay any applicable VAT at the prevailing rate, provided Contractor provides Excelcom with a faktur pajak (VAT invoice) in respect of those amounts.

b. Dengan mengacu pada ketentuan Pasal 5.2.c, sebagai tambahan tentang jumlah yang dibayarkan dalam Kontrak tersebut, (apabila biaya tersebut dinyatakan tidak termasuk PPN), pihak yang melakukan pembayaran akan membayar PPN sesuai dengan tarif yang berlaku, dengan ketentuan bahwa Kontraktor atau Contractor menyediakan faktur pajak sesuai jumlah yang dibayarkan oleh Excelcom.

c. All amounts set out in a Contract Price are exclusive of VAT. Any VAT payable in respect of any of those amounts which is payable by Excelcom on a self assessment basis will be paid by Excelcom.

c. Biaya-biaya lain yang ditetapkan dalam Harga Kontrak tidak termasuk PPN. PPN dari biaya-biaya tersebut ditanggung oleh Excelcom.

3. Withholding taxes 3. Pemotongan Pajak

If Excelcom is required to pay any withholding tax in respect of any payment it makes under this Contract, Excelcom may deduct the amount of that withholding tax from the amounts paid to Contractor, provided that Excelcom delivers to Contractor, as soon as reasonably possible, the withholding tax slip and such other documents as Contractor may reasonably request to enable Contractor to obtain a tax credit in respect of the withholding tax paid by Excelcom.

ARTICLE 6RESPONSIBILITIES

b. On completion of the Services, the Contractor will carry out an acceptance test which will be witnessed by the Excelcom. The Contractor will notify the Excelcom seven (7) Days before the planned test date as specified in the agreed Implementation Schedule or its amendment and the Excelcom will notify the Contractor of their ability to attend, or suggest a different date which will be no more than seven (7) Days from the original proposed date from the Contractor. In the event that the Excelcom does not respond or attend the Contractor may deem that the Services are accepted. In the event of a disagreement between the Parties the dispute will be escalated as per the procedure outlined in this Contract. If acceptance is not agreed, or there are minor items to be rectified, the issues must be resolved within fourteen (14) Days from the originally agreed acceptance test date;

b. Setelah menyelesaikan Layanan tersebut, Kontraktor akan melaksanakan uji atau tes penerimaan yang akan disaksikan oleh Excelcom. e. The Contractor shall provide Services in accordance with the specifications provided by the Excelcom as an attachment to this Contract and described in the relevant PO, or as formally transmitted and agreed with the Contractor by means of a Change Order;

f. The Contractor is responsible at their own expense for cleaning the rubbish off the Site and leaving the area clean and tidy;

g. The Contractor shall be responsible for all loss or damage to Materials prior to Final Acceptance. Any item of the Materials that is found by Excelcom and/or its Project Manager to be damaged shall be replaced by Contractor at their own expense. Any delay to the completion of the project arising out from the replacement of damaged Materials shall not be considered as grounds for an extension of time;

j. Attend the KOM’s and Project Meetings as reasonably scheduled by the Excelcom for which the Contractor will be notified seven (7) Days prior notification;

l. The Contractor must resolve any dispute arising out from the site’s community or any other third party, in accordance to the implementation of the Services. All cost’s, claims and demands arising out of any related dispute shall be the Contractors responsibility.

The Contractor shall provide all of the Document for Acceptance in the form of both hardcopy and softcopy (CD-Rom) and must be submitted by the Contractor within seven (7) Days from the date of Final Acceptance. Within seven (7) Days from the date of receiving Document for Acceptance from the Contractor, the Excelcom shall issue Service Entry Sheet to the Contractor.

m. INSURANCE ASURANSI1. The Services that fall within the scope of this

Contract shall be fully insured by the Contractor in a freely convertible currency, against loss or damage incidental to transportation, storage and final delivery until signed of Service Entry Sheet;

In the case of a particular PO, where mutually agreed and appropriate, the Contractor shall provide and maintain, at its own cost, all lights, security, fencing and warning signs, when and where necessary as normally required for Services of this type or as reasonably requested by the Excelcom or by any duly constituted authority,

1. Contractor shall not subcontract any of its obligations under this Contract or any PO, without the prior written consent of the Excelcom’s and/or its Project Manager, and such consent shall not be unreasonably withheld;

2. The engagement of subcontractors shall not relieve Contractor from any liability or obligation under this Contract or any PO, and Contractor shall be responsible for the acts and omissions of any subcontractor as fully as if they were the acts or omissions of Contractor;

The Contractor is responsible for all aspects of the performance and quality of all subcontractors work on their behalf, and for entering into contracts with all subcontractors, which provide for warranty and post-warranty maintenance and support comparable to that of Contractor. The Contractor is also responsible for all aspects relating to coordinating on-site repair and support with said subcontractors in order to fulfill its obligations to the Excelcom.

3. This section describes the warranty the Contractor provides to the Excelcom for the Services supplied under this Contract.

1. The Contractor hereby warrants that: 1. Kontraktor dengan ini menjamin bahwa:

a. The Materials provided will comply with the functional and performance criteria set out in and otherwise conform with all Specifications and requirements;

b. All Materials provided are and will be of good and merchantable quality and are new and have not been used by any person;

b. Semua material yang disediakan dalam keadaan baik dengan kualitas layak jual, baru dan belum pernah digunakan oleh siapapun;

c. The Materials provided will comply with all of the provisions of this Contract, including, but without limitation, the Specifications and requirements;

d. The Services provided shall comply with the Specifications provided with this Contract during the Warranty Period. In addition, the Contractor shall ensure that the Services provided in respect to a particular PO adheres strictly to and complies in all reasonable respects with all the provisions and requirements of this Contract, and will, in all reasonable respects, be fit for the purposes described in this Contract;

e. The Services will comply with all relevant standards, including, but without limitation, the functional and performance criteria set out in this Contract and attachments, and conform with all Specifications and requirements issued and agreed with the Excelcom;

The Warranty Period for each Material (including any hardware material or software material) and Services supplied under this Contract, is the period of twelve (12) months commencing on the date of signed Service Entry Sheet of the relevant PO.

The actual cost of the remedial works will then be deducted from the Warranty Bond.

If Contractor at any time has reason to believe that the date of delivery or Completion Date of the Services will be delayed, Contractor shall promptly notify, in writing, Excelcom with the reasons for such delay, the estimated period of delay, and a revised schedule for delivery or completion. The Excelcom will confirm in writing the acknowledgement of the delay and the acceptance or rejection of the new schedule. Contractor will make every effort to minimize the period of the delay.

Pihak Kontraktor akan berusaha semampunya untuk meminimalkan atau mempersingkat waktu penundaan tersebut.

2. Delay Due to Force Majeure 2. Penundaan Karena Keadaan Kahar/Memaksa

The Contractor may suspend its performance under this Contract and any outstanding PO if and for so long as a Force Majeure Event subsists, promptly following which the Contractor will resume its performance under this Contract and any outstanding PO.

Pihak Kontraktor dapat menunda pekerjaannya dalam Kontrak ini dan PO yang belum dapat diselesaikan jika dan selama suatu keadaan memaksa terjadi. Segera setelah itu, pihak Kontraktor akan melanjutkan kembali pekerjaannya dalam Kontrak ini dan PO yang belum dapat diselesaikan tersebut.

3. Claims 3. Klaim

If the Contractor fails to complete the Services within the time for completion specified in the Implementation Schedule except where such a delay is due to the Excelcoms non performance of its obligations, or any extension thereof in accordance with the terms of this Contract or relevant PO, Excelcom shall be entitled to liquidated damages as follows :

between the originally scheduled time for completion of the Services and the actual date of completion;

b. the liquidated damages shall in no case exceed ten percent (10%) of the respective PO value;

c. in the event the Excelcom has reached the limit of liquidated damages for the relevant PO, the Excelcom may notify the Contractor of their intention to procure from an alternative source. The Contractor shall reply within seven (7) Days acknowledging the Excelcom’s intention, but may request a meeting within this period to review and resolve the outstanding PO to the Excelcom’s satisfaction. If still unresolved at the end of this period the Excelcom may procure, upon such terms and in such manner as the Excelcom may deem appropriate, Materials and Services similar to those not yet supplied by the Contractor. The Contractor shall be liable to the Excelcom for any excess costs for such similar Materials and Services, and for any additional loss, damages, costs or expenses arising directly or indirectly from the default of the Contractor, provided, however, that the Excelcom has used its reasonable effort to mitigate such costs.

c. Dalam hal pihak Excelcom telah mencapai batas perbaikan kerusakan dari PO terkait, Excelcom dapat memberitahukan kepada Kontraktor keinginan mereka untuk memperoleh sumber alternatif. Pihak Kontraktor akan memberikan jawaban dalam jangka waktu tujuh (7) hari untuk menyetujui dan mengakui keinginan Excelcom, tapi dapat juga meminta suatu pertemuan selama periode ini untuk mereview dan mengatasi PO yang belum terselesaikan sesuai dengan kepuasan Excelcom. Jika tetap tidak dapat diatasi sampai akhir periode tersebut, pihak Excelcom dapat meminta, dalam jangka waktu dan cara tertentu yang dianggap tepat oleh Excelcom, material dan Layanan yang mirip dengan yang tidak dapat diberikan oleh pihak Kontraktor. Pihak Kontraktor harus bertanggung jawab kepada Excelcom atas segala kelebihan biaya untuk memperoleh material dan Layanan yang mirip, dan juga tambahan untuk kerugian, kerusakan atau biaya lain yang timbul secara langsung atau tidak langsung yang disebabkan oleh kelalaian pihak Kontraktor, akan tetapi, dengan syarat pihak Excelcom telah berusaha sekuat tenaga untuk mengurangi biaya-biaya tersebut.

4. Exclusions 4. Pengecualian

5. Notice to Contractor 5. Pemberitahuan ke Kontraktora. If Excelcom has become entitled to the

maximum reduction under Article 11.3.b for any part of the Services, Excelcom may, by written notice, require Contractor to complete. Such notice shall fix a final time for completion that shall be reasonable.

b. If Contractor fails to complete the Services within such time, and this is due to a cause for which Excelcom is not responsible, Excelcom may, by further written notice to Contractor, either:

a. Except when a notice of termination is issued by Excelcom as contemplated in Article 11.5, the payment of liquidated damages does not relieve Contractor from its obligation to deliver any or all of the Services.

If, upon receipt by the Contractor of the PO, the Contractor unilaterally returns the PO received to Excelcom, then Excelcom shall be entitled to impose a penalty of five percent (5%) of the total PO Price on the Contractor plus the refund of the entire advance paid by Excelcom, including a 10% VAT as contained in the related PO.

Jika PO telah diterima oleh Kontraktor, Kontraktor secara sepihak mengembalikan PO yang telah diterimanya tersebut kepada Excelcom, maka Excelcom berhak untuk mengenakan sanksi pinalti kepada Kontraktor sebesar lima persen (5%) dari total harga PO ditambah pengembalian seluruh uang muka yang telah dibayarkan oleh Pihak Excelcom termasuk PPN 10% sebagaimana tercantum pada PO terkait.

ARTICLE 12TERMINATION FOR BREACH

PASAL 12PEMUTUSAN AKIBAT PELANGGARAN

1. In the event of the following circumstances, either party may terminate this Contract or any PO :

1. Dalam keadaan berikut ini, salah satu pihak dapat mengakhiri Kontrak ini atau PO apapun :

a. if the other party is in breach of any material obligation under this Contract and fails to remedy that breach within fifteen (15) Days of written notice requiring it to do so; or

a. Jika pihak lainnya melakukan pelanggaran kewajiban secara material sebagaimana ditetapkan dalam Kontrak ini dan gagal memperbaiki atau melakukan pemulihan atas pelanggaran tersebut dalam lima belas (15) hari sejak pemberitahuan tertulis yang mengharuskan dilakukannya perbaikan tersebut; atau

b. The other party repudiates this Contract or a particular PO.

b. Pihak lainnya menolak meneruskan Kontrak ini atau PO tertentu.

2. Upon the termination of this Contract or a particular PO, Excelcom will pay to Contractor the verified amounts due for Services that have been provided prior to the termination date;

order request is to be used only for requesting a change to following reasons:

Pesanan (change order). Permohonan perubahan pesanan tersebut hanya dapat digunakan untuk mengajukan permintaan perubahan dengan alasan-alasan sebagai berikut :

a. Abnormal soil works; a. Pekerjaan tanah yang tidak normal;

b. Special grounding conditions; b. Kondisi-kondisi grounding khusus;

c. Driven pile length; and c. Panjang tiang pancang (driven pile); dan

d. Any other conditions which will be determined by the Excelcom.

d. Kondisi-kondisi lainnya yang akan ditentukan kemudian oleh Excelcom.

Within seven (7) Days from the date of change even was found by the Contractor, the Contractor shall submit the change order request to the Excelcom with the attention of Procurement, Logistic and Facility Management Director as stipulated in Article 15.2 of this Contract.

Dalam waktu tujuh (7) hari setelah tanggal ditemukannya perubahan kondisi diatas oleh Kontraktor, Kontraktor akan menyerahkan permohonan Perubahan Pesanan ke Excelcom melalui Direktur Pengadaan, Logistik dan Manajemen Fasilitas sebagaimana ditetapkan dalam Pasal 15.2 Kontrak ini.

If at the above time frame the Contractor does not submit their change order request, then all of the differences in costs shall be borne by Contractor

Jika dalam jangka waktu diatas Kontraktor tidak menyerahkan permohonan Perubahan Pesanannya, maka Excelcom akan menganggap bahwa Kontraktor melaksanakan seluruh pekerjaan berdasarkan syarat dan ketentuan yang tercantum didalam PO.

2. At any time during the performance of this Contract the Excelcom may request a change order. A change order is to be used for requesting a change to :

3. The party issuing the change order request shall promptly prepare and furnish to the other party a written statement. This may includes a list of milestones that may be affected by the changes with a detailed description of such effect for each milestone and a recommended change to the bill of quantity (‘BOQ’) and its effect on the completion date;

4. The change order request must be carried out in accordance with change order procedure as set forth in Attachment 3 and must be authorized by the parties senior representative responsible for the process. The initial Excelcom and Contractor senior representative are identified in Article 15 of this Contract;

The change order request process can not be used to remove either parties liability from this Contract and will not form grounds for dispute if a request is rejected by the other party and the time consuming for change order process shall not be considered as grounds for an extension of time for completion of the Services;

Proses permohonan perubahan pesanan tidak dapat dianggap sebagai dasar untuk menghilangkan segala bentuk kewajiban para pihak dalam Kontrak ini dan tidak akan dianggap sebagai dasar atas suatu perselisihan jika suatu permintaan ditolak oleh pihak lainnya dan lamanya waktu yang digunakan dalam rangka pemrosesan Perubahan Pesanan tesrsebut tidak dapat dianggap sebagai dasar perpanjangan waktu untuk penyelesaian Layanan ini;

6. Any difference in costs as a result of actions brought by change order process will be reconciled in the retention payment for the Services.

6. Perbedaan biaya apapun yang timbul sebagai akibat proses Pengajuan Perubahan Pesanan tersebut akan direkonsiliasikan dalam pembayaran retensi (bentuk penundaan) atas Layanan tersebut.

ARTICLE 14FORCE MAJEURE

PASAL 14KEADAAN MEMAKSA

1. Grounds for Relief 1. Dasar Pembebasan Kewajiban

To gain the right to suspend performance due to a Force Majeure Event, the party prevented from rendering its performance under this Contract shall notify the other party in writing of the occurrence of a Force Majeure Event. Said notice shall also indicate the expected length of the delay in performing its contractual obligations to the extent possible at such time.

Untuk mendapatkan hak untuk menunda pelaksanaan karena keadaan memaksa atau force majeure, salah satu pihak yang berhalangan untuk menyelesaikan kewajibannya sebagaimana diatur dalam Kontrak ini akan memberitahukan pihak lain secara tertulis mengenai peristiwa keadaan memaksa tersebut. Pemberitahuan tersebut juga harus mencantumkan lamanya penundaan yang diperkirakan akan terjadi dalam menjalankan kewajiban kontraknya sejauh hal tersebut memungkinkan dilaksanakan dalam jangka waktu tersebut.

The parties shall meet to discuss and agree measures or actions each will take to alleviate or minimize the impact of the Force Majeure Event, such meeting(s) to occur at intervals as appropriate.

Promptly upon cessation of the Force Majeure Event, the party which was prevented from performing its obligations under this Contract shall re-commence performing its obligations and shall notify the other party in writing of such a re-commencement and the date on which it anticipates completing interrupted works. The Contractor shall take all steps reasonably necessary to minimize the nature and duration of any delay attributable to a Force Majeure Event.

Segera setelah berakhirnya peristiwa keadaan memaksa, pihak berhalangan melaksanakan kewajibannya sebagaimana diatur dalam Kontrak akan memulai kembali melaksanakan kewajibannya dan akan memberitahukan pihak lain secara tertulis mengenai kelanjutan pelaksanaan kewajiban tersebut dan perkiraan tanggal untuk menyelesaikan pekerjaan yang tertunda tersebut. Kontraktor akan mengambil semua langkah perlu yang dianggap wajar untuk mengurangi sifat dan lamanya penundaan apapun yang disebabkan Peristiwa Keadaan Memaksa tersebut.

2. Duration of Delay 2. Lamanya penundaan

If a delay in performance lasts for a period of more than one hundred and twenty (120) Days, due to a reason caused by a Force Majeure Event, as aforesaid, and the Force Majeure Event no longer exists, the Parties shall negotiate the suitable modification of this Contract. In case the Parties cannot come to an agreement within fifteen (15) Days from the expiration of the aforesaid one hundred and twenty (120) Days period, either party shall be entitled to serve upon the other party a thirty (30) Days notice to terminate the Contract.

Jika penundaan pelaksanaan berlangsung selama lebih dari seratus dua puluh (120) hari, karena alasan yang disebabkan oleh Peristiwa Keadaan Memaksa, sebagaimana tersebut diatas, dan ternyata Peristiwa Keadaan Memaksa tidak lagi ada, maka Para Pihak tersebut akan merundingkan perubahan atau modifikasi yang dianggap layak berasarkan Kontrak ini. Dalam hal Para Pihak gagal mencapai kesepakatan dalam waktu lima belas (15) hari sejak berakhirnya masa seratus dua puluh (120) hari tersebut, maka masing-masing pihak berhak untuk menyampaikan pemberitahuan pembatalan Kontrak dalam jangka waktu tiga puluh (30) hari.

3. Exclusions 3. Pengecualian

A party shall be excused from performance or punctual performance of any of its obligations under this Contract or any relevant PO directly affected by a Force Majeure Event, the time within which such obligations shall thereafter be performed shall be extended by a period reasonable under the circumstances.

Satu Pihak dapat dijinkan atau diperbolehkan untuk menunda pelaksanaan kewajibannya berdasarkan Kontrak ini atau PO terkait pada waktunya akibat dampak langsung Peristiwa Keadaan Memaksa, dalam waktu mana kewajiban tersebut kemudian harus diselesaikan melalui perpanjangan waktu yang dianggap wajar menurut sifat dan keadaan yang ada.

Any notice, demand or other communication so addressed to the relevant party shall be deemed to have been delivered (a) if given or made by letter, when actually delivered to the relevant address at or prior to 5:00 p.m. (local time in the place to which such notice, demand or communication is sent) and (b) if given or made by fax, when dispatched with confirmed transmission report at or prior to 5:00 p.m. (local time in the place to which such notice, demand or communication is sent), provided that, if (aa) such Day is not a working day in the place to which it is sent or (bb) any notice, demand or communication is delivered (in the case of a letter) or is dispatched (in the case of a fax) with confirmed transmission report after 5:00 p.m. (local time in the place to which such notice, demand or communication is sent), then such notice, demand or communication shall be deemed to have been delivered or dispatched on the next following working day at such place. Each notice, demand or other communication hereunder and any other documents required to be delivered hereunder shall be in English. Either party may amend its address for notices by giving 7 Days prior written notice thereof.

Segala pemberitahuan, permintaan atau bentuk komunikasi apapun lainnya yang ditujukan ke pihak yang bersangkutan akan dianggap telah dikirim sebagaimana mestinya (a) jika diberikan atau dikirm melalui surat, ketika dikirim ke alamat yang bersangkutan pada atau sebelum jam 5 sore (waktu setempat di daerah dimana pemberitahuan, permintaan atau komunikasi dikirim atau dilakukan) dan (b) jika diberikan atau dikirim melalui faksimili, pada saat dikirim dengan laporan konfirmasi transmisi pada atau sebelum jam 5 sore (waktu setempat dimana pemberitahuan, permintaan atau komunikasi dikirim atau dilakukan), dengan syarat bahwa, jika (aa) Hari tersebut bukan hari kerja ditempat tujuan pengiriman atau (bb) pemberitahuan, permintaan apapun atau komunikasi dikirim atau dilakukan (dalam hal ini sebuah surat) atau dikirim (dalam hal ini sebuah faksimili dengan laporan transmisi yang dikonfirmasi setelah jam 5 sore (waktu setempat didaerah dimana pemberitahuan, permintaan atau komunikasi dikirim atau dilakukan), lalu pemberitahuan, permintaan atau komunikasi itu dianggap telah dikirim atau diantarkan dengan semestinya pada hari kerja berikutnya di tempat tujuan tersebut. tersebut dalam Kontrak ini dan serta dokumen terkait lainnya yang diperlukan harus dibuat dalam Bahasa Inggris. Pihak itu juga dapat merubah alamat pemberitahuan dengan memberikan pemberitahuan secara tertulis 7 hari sebelumnya.

ARTICLE 16ESCALATION PROCEDURE

PASAL 16PROSEDUR ESKALASI

1. Escalation Procedure 1. Prosedur Eskalasi

The Excelcom’s and Contractor’s Project Managers, are responsible for resolving issues regarding a particular project or PO. In the event there is no resolution at this level, the following escalation procedure will be followed:

Para Manajer Proyek Excelcom dan Kontraktor bertangggungjawab penyelesaikan serta penerbitan PO dan proyek tertentu. Pada saat tidak ada penyelesaian pada tingkat ini, prosedur eskalasi berikut ini dapat ditempuh:

a. either Project Manager can escalate the issue; a. Manajer proyek dapat melakukan eskalasi masalah (issue);

b. the escalation is to the next higher level above each Project Manager;

b. Peningkatan ke tingkat yang lebih tinggi lainnya diatas Manajer Proyek;

c. the escalation must be done formally, in writing to both parties;

c. Peningkatan harus dilakukan secara resmi, tertulis kepada kedua belah pihak;

d. the escalation notice must be issued and signed by both Project Managers;

d. Pemberitahuan eskalasi harus diterbitkan dan ditanda tangani oleh Manajer Proyek kedua belah pihak;

e. a party must respond to an escalation notice within five (5) Days;

e. Satu pihak harus menanggapi pemberitahuan peningkatan dalam lima (5) hari;

f. the issue should be resolved within ten (10) Days, unless the parties agree to extend such time.

f. Penerbitan harus diselesaikan dalam sepuluh (10) hari, kecuali apabila pihak-pihak tersebut setuju untuk memperpanjang waktunya.

2. If the dispute can not be resolved via the escalation procedure then the matter can be referred to and finally resolved in Jakarta by the arbitration Rules of the Board of Indonesian National Arbitration (Badan Arbitrasi Nasional Indonesia). The tribunal shall consist of 3 (three) arbitrators and its decision shall be final and binding for both Parties;

2. Jika perselisihan tidak dapat diselesaikan melalui prosedur eskalasi masalah dapat diserahkan dan pada akhirnya diselesaikan di Jakarta oleh Peraturan Arbitrasi Badan Arbitrasi Nasional Indonesia. Dewan abritrase tersebut akan terdiri dari tiga (3) arbitrator dan keputusannya akan berkuatan hukum tetap dan mengikat kedua belah pihak;

ARTICLE 17BONDS

PASAL 17JAMINAN (BOND)

1. Down Payment Bond and Insurance Certificate 1. Jaminan Uang Muka dan Sertifikat Asuransi.

The Contractor shall deliver to the Excelcom a Down Payment Bond in an amount equal to thirty percent (30%) of total PO value when submitting their invoice for Down Payment;

Kontraktor akan menyerahkan Jaminan uang muka ke Excelcom sebesar tiga puluh (30%) persen dari total nilai PO pada saat memasukkan faktur tagihan uang muka;

At the same time with the delivery of the Down Payment Bond, the Contractor shall also deliver to the Excelcom an Insurance Certificate in an amount as stated in Article 7.

Pada saat menyerahkan jaminan uang muka, Kontraktor (Contractor) juga akan menyerahkan ke Excelcom (Excelcom) sebuah polis asuransi dalam jumlah sebagaimana dimaksud Pasal 7.

The Down Payment Bond and Insurance Certificate above shall be valid and irrevocably until the date which is six (6) months after received the relevant invoice, and the Excelcom shall be entitled to enforce the respective bond immediately in the event the Contractor breaches its obligation under this Contract.

Jaminan uang muka dan Sertifikat Asuransi diatas harus masih berlaku dan tidak bisa dicabut sampai 6 (enam) bulan sesudah diterima faktur dan Konsumen berhak untuk memberlakukan jaminan masing-masing segera dalam hal Kontraktor melakukan pelanggaran kewajibannya berdasarkan Kontrak ini..

2. Warranty Bond 2. Garansi Bank

When submitting their invoice for retention, the Contractor shall deliver to the Excelcom a Warranty Bond in an amount equal to 5% of total PO value. The Warranty Bond shall be valid and irrevocable until the date which is six (6) months after issuance of Service Entry Sheet by the Excelcom. The Excelcom shall be entitled to enforce the Warranty Bond immediately in the event the Contractor breaches its obligation under Article 10.

Jika menyerahkan faktur untuk retensi, Kontraktor harus menyerahkan kepada Konsumen sebuah Warranty Bond sebesar 5% dari nilai PO. Warranty Bond dimaksud harus berlaku dan tidak dapat dicabut kembali sampai tanggal setelah enam bulan penerbitan dari Lembar Entri Layanan oleh Konsumen. Konsumen berhak untuk segera memberlakukan Garansi bank dalam hal Kontraktor melangar ketentuan berdasarkan Pasal 10.

ARTICLE 18CONFIDENTIALITY OF INFORMATION

PASAL 18KERAHASIAAN INFORMASI

1. Confidential information 1. Informasi Rahasia

Confidential information of a party ('disclosing party') means all information:

Informasi Rahasia dari satu pihak (‘pihak yang mengungkapkan’) berarti semua informasi:

a. treated by the disclosing party as confidential; or

a. diperlakukan atau dianggap oleh pihak yang mengungkapkan sebagai suatu rahasia; atau

b. disclosed by the disclosing party to the other party or information of the disclosing party of which the other party becomes aware, whether before or after the date of this Contract;

b. diungkapkan oleh pihak yang mengungkapkan ke pihak lainnya atau informasi dari pihak yang mengungkapkan dimana pihak lainnya menjadi tahu, baik sebelum atau setelah tanggal Kontrak ini;

c. the other party creates (whether alone or jointly with any third person) independently of the disclosing party; or

d. that is public knowledge (other than as a result of a breach of confidentiality by the other party or any of its permitted discloses).

2. Confidentiality obligations 2. Kewajiban Kerahasiaan

Each party ('recipient'): Masing-masing pihak (‘penerima’):

a. may use confidential information of a disclosing party only for the purposes of this Contract or any PO; and

a. dapat menggunakan informasi rahasia dari pihak yang mengungkapkan hanya untuk tujuan Kontrak ini atau yang terkait dengan PO; dan

b. shall keep confidential all confidential information of each disclosing party except:

(i) for disclosures permitted under this Contract or a relevant PO; and

A recipient may disclose confidential information of a disclosing party to persons who:

a. have a need to know for the purposes of this Contract or a particular PO (and only to the extent that each has a need to know); and

b. before disclosure, have been given a direction.

4. Directions 4. Perintah

A recipient shall: Seorang penerima harus:

a. ensure that each person to whom it discloses confidential information of a disclosing party complies with its direction; and

a. meyakinkan bahwa setiap orang yang mengungkapkan informasi rahasia dari suatu pihak yang mengungkapkan akan mematuhi apa yang diperintahkannya; dan

b. notify the disclosing party of, and take all steps to prevent or stop, any suspected or actual breach of a direction.

b. memberitahukan pihak yang mengungkapkan dan mengambil semua langkah yang dianggap perlu untuk mencegah atau menghentikan, hal-hal yang mencurigakan atau pelanggaran yang nyata atas perintah tersebut.

5. Publicity 5. Publisitas

Any publications, publicity or other public statements by Contractor, directly or indirectly, whether written or oral, of any aspect relating to this Contract or any PO, shall require the prior written consent of Excelcom. Without limitation to the generality of the foregoing, no publicity relating to this Contract or any PO shall be released or publicized for publication in any newspaper, magazine, journal or any other medium without prior written approval of Excelcom.

Publikasi, publisitas apapun atau pernyataan di depan umum lainnya oleh Kontraktor, baik langsung atau tidak langsung, baik tertulis maupun lisan, dari aspek apapun yang berhubungan dengan Kontrak ini atau PO apapun, akan memerlukan persetujuan tertulis dari Excelcom sebelumnya. Tanpa pembatasan terhadap kelaziman sebagaimana disebut diatas, tidak ada publisitas yang berhubungan dengan Kontrak ini atau PO apapun yang akan diterbitkan atau diumumkan untuk publikasi di koran, majalah, pemberitahuan atau media lainnya apapun tanpa persetujuan tertulis sebelumnya dari Excelcom.

ARTICLE 19MISCELLANEOUS

2. Entire Contract 2. Keseluruhan Kontrak

The terms and conditions contained in this Contract supersede all prior oral or written understandings between the Parties with respect to the subject matter of this Contract. This Contract shall not be modified or amended except as provided for in this Contract under the terms of Article 13.

Seluruh syarat dan ketentuan yang terkandung dalam Kontrak ini menggantikan serta membatalkan semua kesepemahaman atau kesepakatan tertulis dan lisan sebelumnya di antara para pihak yang berhubungan dengan Kontrak ini. Kontrak ini tidak akan dimodifikasi atau dirubah kecuali apabila ditentukan lain sebagaimana dimaksud dalam ketentuan Pasal 13.

3. Waivers 3. Pengesampingan atau Waiver

No delay or omission on the part of either party in exercising any right, power or remedy under this Contract or any PO will impair such right, power or remedy or operate as a waiver thereof. The single or partial exercise of any right, power or remedy under this Contract or any PO will not preclude any other or further exercise thereof, or the exercise of any other right, power or remedy.

Tidak ada penundaan atau penghilangan oleh salah satu pihak dalam hal pelaksanaan atau penyelesaian hak, kekuasaan, atau cara pemulihan apapun berdasarkan Kontrak ini atau PO apapun yang akan mengurangi hak, kekuasaan, atau cara pemulihan atau pelaksanaaan sebagai suatu bentuk pengesampingan atau waiver. Pelaksanaan hak, kekuasaan atau secara tunggal atau sebagian dalam Kontrak ini atau PO apapun tidak akan menghalangi kelanjutan dari pelaksanaan apapun atau lainnya, terhadap pelaksanaan hak, kekuasaan atau cara apapun.

In witness whereof, the parties hereby cause this Contract to be executed on the date first written above.
