The law judge found that the United States District Court for the Eastern District of

Virginia had issued an order with Respondents consent without admitting or denying

liability permanently enjoining the Respondents from violating Sections 2061 2062and 2064 of the Investment Advisers Act of 1940 and Advisers Act Rule 2064-

1a5 and from violating an earlier Commission Order Making Findings and Imposing

Remedial Sanctions and Cease and Desist Order On the basis of the injunction the law

judge revoked the registration of Seaboard and suspended Hansen from being associated

with an investment adviser for period of twelve months

Among the issues likely to be argued are the following

whether the record establishes that the Respondents were permanently

enjoined from violating antifraud provisions of the securities laws and from

violating an earlier Commission cease-and-desist order and

if so what sanction if any is appropriate in the public interest

IN THE MATTER OF RALPH LEBLANC

On November 21 an administrative law judge issued an initial decision In the Matter of

Ralph LeBlanc The Division of Enforcement Division alleged that from 1992

through February 1996 Respondent LeBlanc participated in the offer and sale of Alpha

Diversified industries Inc Alpha common stock which was penny stock as defined

by the Securities Exchange Act of 1934 Exchange Act and Rules thereunder and that

through that period Respondent LeBlanc was presidentand chairman of the board of

directors of Alpha The Division further alleged that on September 10 1997 the Securities

and Exchange Commission Commission commenced an action cyhieSified

1ndustnes Inc. et al Civil Action No 97-2814 E.D La in the United States District

Court for the Eastern District of Louisiana and on March 26 1999 the Court entered

judgment enjoining Respondent LeBlanc from future violations of Section 17a of the

Securities Act of 1933 and Section 10b of the Exchange Act and Rule lOb-S thereunder

The administrative law judge found that Respondent LeBlanc had been so enjoined and

that it was in the public interest that he be barred from participatingin an offering of

penny stock

Consequently in the initial decision pursuant to Section 15b6 of the Exchange Act

Respondent Ralph LeBlanc was barred from participatingin an offering of penny stock

NASD CENSURE AND FINE OF KEITH PERKiNS SUSTAINED

The Commission sustained the disciplinaryaction the National Association of Securities

Dealers Inc NASD imposed on Keith Perkins general securities representative

The NASD had found that Perkins violated Conduct Rule 2110 by creating and

submitting false expense receiptsfor reimbursement of costs he did not incur The

NASD had censured Perkins and imposed $7500 fine Rel 34-43599 File No 3-

SEC SUES JEFFREY LEACH HUBERT LEACH AND LMC ASSETS CORP FOR

FRAUDULENT MINI TENDER OFFERS

The Commission today announced the filing of lawsuit against Jeffrey Leach his

brother Hubert Leach both of whom are residents of Philadelphia Pennsylvania and

LMC Assets Corp for fraud in connection with three mini tender offers The complaint

alleges that Jeffrey and Hubert Leach president and former vice-president of LMC

Assets made millions of dollars in unlawful profits and caused investors to suffer

millions of dollars in losses by making fraudulent mini tender offers for shares of

Fleming Companies Inc Fruit of the Loom Ltd and Mattel Inc Mini tender offers

are offers for less than five percent of class of securities registered with the

Commission The fraudulent offers were made through two shell corporations that

Jeffrey Leach created and controlled defendant LMC Assets and Carnegie Investment

Management Ltd Cayman Islands company that recently filed petition for

bankruptcy

The complaint alleges that all three tender offers were fraudulent for several reasons

including

The offering documents contained material omissions and false statements about the

offerors intent in making the offer its ability to pay for the tendered shares and

other material matters

The defendants made numerous false and misleading statements outside of the offering

documents in particular they made many false promises to tendering shareholders that

they would be paid for their shares typically by date certain and simply never paidfor many shares tendered

The defendants structured the offers without the use of any escrow account or

independent receiving agent and failed to disclose that they could not pay for the

shares thus they gained control of the shares before payment and obtained the

equivalent of an unsecured loan and free call option on the tendered shares Thedefendants then used the unpaid-for shares as collateral to receive millions of dollars

in cash from margin loans and to engage in extremely risky margin trading schemes

The defendants engaged in other practices that are specifically unlawful in

connection with tender offers For example the defendants unlawfully amended the

Mattel offer by changing the offering price but failing to give shareholders sufficient

time to consider the amended offer The defendants also unilaterally and illegally

amended the Fruit of the Loom offer five weeks after its purported closing and

coerced shareholders into accepting significantly lower price or the return of their

shares And in connection with all three offers the defendants failed to pay for or

return the shares promptly after the close of each offer

The Commissions complaint seeks to permanently enjoin Jeffrey Leach Hubert Leachand LMC Assets from violating Sections 10b and 14e of the Securities Exchange Act

of 1934 and Rules lOb-5 and 14e-1 thereunder The complaint also seeks disgorgementof all ill-gotten gains and losses avoided prejudgment interest and civil monetarypenalties against the defendants
