GE~ESIS I~~ESTMENT CORPORATION ORDERED TO CEASE AND DESIST

The Commission announced that on April 27 it entered an Order pursuant t~ Section 21C of the Securities Exchange Act of 1934 (Exchange Act) that Genesis Investment Corporation (Genesis) permanently cease and desist from committing or causing anyviolation of, or any future violation of, Section l6(a) of the Exchange Act and Rules 16a-2 and l6a-3 promulgated thereunder. The Comtnission simultaneously acceptedGenesis's Offer of Settlement. The Order alleges that since October 1986, Genesis, a Utah corporation, located in Salt Lake City, Utah, has owned more than ten percentof the common stock of Multivest Corporation (Multivest) and that since June I, 1989, Genesis has owned more than ten percent of the stock of New Age Corporation (New Age). The Order finds that Genesis filed a Form 3 and twenty Forms 4 from one to 182 weeks late for its holdings and transactions in excess of $612,000 in Multivest's securities and that between January 1989 and April 1991 Genesis filed a Form 3 and six Forms 4 from seven to sixty-eight weeks late for transactions in excess of $535,000 in New Age's securities. CIVIL PROCEEDINGS

FORMER SALESMAN OF CALIFORNIA AND WASHINGTON BROKER-DEALERS ENJOINED FROM VIOLATING INDUSTRY BAR ORDER

The Commission announced that on February 24, 1992 the Honorable Barbara J. Rothstein enj oined Richard Dale Radcliffe of Seattle, Washington, formerly a securi ties salesman with Spokane, Washington and Los Angeles, California broker-dealers. The injunction was entered against Radcliffe with his consent in the U.S. District Court for the Western District of Washington. The Commission's complaint alleged that Radcliffe violated Article II Section 3(b) of the By-Laws of the National Association of Securities Dealers, Inc. (NASD) by associating with three different NASD member firms after he had been barred from being so associated after January 1990. The Cow~ission also alleged that in order to obtain employment he signed under oath applications on Form U-4 with each of the three brokers for filing with the NASD. These applicationseach contained at least ten misrepresentations or omissions of material facts regarding his disciplinary history, past employment and bankruptcy. (SEC v. STEPHEN KLOS, S. ANTHONY L&~SON AND JOHN NYE ENJOINED AND ORDERED TO PAY DISGORGEMENT

The Commission announced that on April 13, 1992 Judge Thomas S. Zilly of the U.S. District Court for the Western District of Washington permanently enjoined StephenJ. Klos, S. Anthony Larson and John M. Nye with their consent and without their admitting or denying the allegations of the Commission's complaint.

Judge Zilly enjoined Klos, Larson and Nye from violating the antifraud provisions of the Securities Act of 1933 and the Securities Exchange Act of 1934 and enjoined Klos and Larson from violating, and Nye from aiding or abetting violations of, the registration provisions of the Securities Act of 1933. Klos was also enjoined from violating the broker-dealer registration provisions of the Securities Exchange Act of 1934. Judge Zi11y also ordered disgorgement of $380,160.65 by Klos, $391,000 byLarson, and $20,000 by Nye, with prejudgment interest.

The Commission's complaint alleged that Klos and Larson, aided and abetted by Nye, offered and sold about $3,427,000 of unregistered notes and bonds issued by Fortune Group, Ltd. and Fortune Income Fund, Inc. in a Ponzi scheme and that Klos failed to register as a broker-dealer. PENNY STOCK FIRM FOUND TO VIOLATE COLD CALL RULE

The Commission announced that on April 1, 1992 an order of partial summary judgmentwas entered by Judge Carolyn R. Dimmick against Kochc ap Lt eL, Inc., a Bellevue,Washington brokerage firm and Russell G. Koch, its president, finding violations byKochcapital of Section l5(c)(2) of the Securities Exchange Act of 1934 and Rule l5c2-6 thereunder, the "cold call" rule. In granting the Commission's motion for partialsummary judgment the Court found that Kochcapital sold three securities: Genesis Services, Inc., International Environmental Group, Inc. and Unifirst Corporation as nondesignated (exempt) securities and that the firm failed to follow the rule's necessary procedures. Trial is scheduled for June 2, 1992. [SEC v. Kochcapital,Inc., et al., C91-547D, W.O. WA] (LR-13232)

ELIZABETH MORGAN AND MICHAEL MCLOUGHLIN ENJOINED

The Commission announced that on February 5, 1992 the U.S. District Court for the Western District of Washington entered a Final Judgment of Permanent Injunction byDefault against Elizabeth Anne Morgan and Michael McLoughlin enjoining them from further violations of the antifraud provisions of the federal securities laws. Morganand Mcloughlin were also ordered to disgorge $3,501,811, plus prejudgment interest of $563,401. Morgan and Mcloughlin are residents of Vancouver, British Columbia.

The Court found that Morgan and Mcloughlin defrauded United States investors bysoliciting, and by causing others to solicit, investments in certain Canadian securities without intending to deliver such securities. and that salespersons made numerous fraudulent claims in the course of solicitations. Morgan and McLoughlinalso defrauded United States investors in that potential investors were solicited initially by letters signed by Morgan who also participated in all aspects of Growth's fraudulent operations. Further, Morgan and McLoughlin defrauded United States investors in that McLoughlin solicited investments directly as a salesperson usingthe fictitious name Keith Gregory and that McLoughlin, as Growth's sales manager,caused others to solicit investments.
