ARTICLES OF ASSOCIATION

STAMPEDE CAPITAL LIMITED1. Subject as hereinafter otherwise provided expressly or impliedly. The regulations contained in

Table A in the first schedule to the Companies Act, 1956 will be the regulations of the Company.

2. INTERPRETATION

The headings hereto shall not affected the construction hereof and in these presents unless the

context otherwise requires

a) The Company or This Company means STAMPEDE CAPITAL LIMITED

b) The Act and The Rules means the Companies Act, 1956 and the Rules and Regulations

made thereunder or any statutory modification or re-enactment thereof for the time being in

force.

c) These presents or These regulations mean these Articles of Association as originally

adopted or as altered from time to time.

d) The Seal means the Common Seal of the Company

e) The Board or The Board of Directors means a meeting of the Directors duly called and

constituted or as the case may be, the Directors assembled at the Board, or the requisite

number of Directors entitled to pass a circular resolution in accordance with these Articles.

f) The office means the Registered Office of the Company.

g) Member means the duly registered shareholder from time to time of the shares of the

Company and includes subscribers to the Memorandum of Association of the Company.

h) Month and Year means calendar month and calendar year respectively and Financial

Year shall have the meaning assigned hereto in the Act.

i) Proxy includes Attorney duly constituted under a power of Attorney

j) Registrar means the Registrar of Companies in Andhra Pradesh

k) In writing and Written includes printing, lithography and the other modes of representing or

reproducing words in a visible form or in ink.

l) Paid Up shall include credited as fully paid up.

m) Special Resolution and Special Notice shall have the meaning assigned thereto under the

Act.

n) Words imparting the masculine gender shall include the feminine gender and vice versa and

words imparting the singular shall include the plural and vice versa.

o) Persons shall include corporations.

3. COMMENCEMENT OF NEW BUSINESS

Subject to the provisions of the Act, the company may from time to time by a special resolution,commence any new business in relation to any of the objects set out in Clause III (C) of the

Memorandum of Association.

4. OFFICE

The office of the Company shall be in the State of Andhra Pradesh or such other place as the

Board may, subject to the provisions of the Act, from time to time, determine, and the business of

the Company shall be carried on at such place or places as the Board may from time to time,

determines.
