Enforcement Benchmarks

1. BENCHMARKS

1.1 The Cancellations Benchmarks are set out in Appendix 1 (CancellationsBenchmark Table).

1.2 The Capacity Benchmarks are set out in Appendix 2 (Capacity BenchmarkTable).

1.3 The Network Rail Benchmarks are set out in Appendix 3 (Network RailBenchmark Table).

1.4 The Service Delivery Benchmarks are set out in Appendix 4 (Service DeliveryBenchmark Table).

2. INFORMATION PROVISIONS

Cancellations Benchmarks

2.1 At the end of each Reporting Period the Franchisee shall, in accordance withthe relevant requirements of Appendix 3 (Operational Information) to Schedule 13.2(Information), report to the Authority (in respect of all Service Groups) and to theSPTE (in respect of Service Groups C, D and E) the total number of Cancellations orPartial Cancellations in that Reporting Period. Each such report shall be broken downbetween the Service Groups.

2.2 For each Reporting Period, the Authority shall calculate a moving annualaverage of the Franchisee's performance against the Cancellations Benchmark inaccordance with the following formula:

B is the total number of Cancellations or Partial Cancellations ofPassenger Services operated in that Reporting Period, on the basis that:

(a) a Cancellation shall count as 1;

(b) a Partial Cancellation shall count as 0.5; and

(c) any Cancellations or Partial Cancellations during thatReporting Period which were caused by:

(i) the Franchisee's implementation of a Service RecoveryPlan during that Reporting Period; or

(ii) the occurrence or continuing effect of a Force MajeureEvent,

shall be disregarded in determining such total number;

C is the total number of Passenger Services scheduled to be operated inthat Reporting Period, disregarding any Cancellations or PartialCancellations during that Reporting Period which were caused by:

(a) the Franchisee's implementation of a Service Recovery Planduring that Reporting Period; or

(b) the occurrence or continuing effect of a Force Majeure Event;and

D is the sum of the values of A in each of the 12 preceding ReportingPeriods.

Capacity Benchmarks

2.3 At the end of each Reporting Period the Franchisee shall, in accordance withthe relevant requirements of Appendix 3 (Operational Information) to Schedule 13.2(Information), report to the Authority (in respect of all Service Groups) and to theSPTE (in respect of Service Groups C, D and E) the total Capacity provided by thePassenger Services in that Reporting Period against the total Capacity planned to beprovided in that Reporting Period for each such Passenger Service in the Train Plan.Each such report shall be broken down between the Service Groups and shall set outthe consequences for the Capacity provided of each of the circumstances set out in (a)to (c) in the definition of B below.

(a) the Franchisee's implementation of a Service Recovery Planduring that Reporting Period;

(b) the occurrence or continuing effect of a Force Majeure Event;or

(c) a Passenger Service not passing such Formation MonitoringPoint.

C is the aggregate of the Capacity planned to be provided at theFormation Monitoring Point for each Passenger Service in accordancewith the Train Plan disregarding Capacity that is less than thepassenger carrying capacity specified for such Passenger Service in theTrain Plan as a result of:

(a) the Franchisee's implementation of a Service Recovery Planduring that Reporting Period; or

(b) the occurrence or continuing effect of a Force Majeure Event;or

(c) a Passenger Service not passing such Formation MonitoringPoint

and

D is the sum of the values of A in each of the 12 preceding Reporting Periods.

2.5 If and to the extent that any Passenger Service is operated with passengercarrying capacity in excess of the passenger carrying capacity specified for thatPassenger Service in the Train Plan, the excess capacity shall be disregarded for thepurposes of the calculation referred to in paragraph 2.4.

2.6 [Not in use]

Network Rail Benchmarks and Service Delivery Benchmarks

2.7 At the end of each Reporting Period the Franchisee shall, in accordance withthe relevant requirements of Appendix 3 (Operational Information) to Schedule 13.2(Information), report to the Authority (in respect of all Service Groups) and to theSPTE (in respect of Service Groups C, D and E) the total number of Minutes Delay:

(a) in that Reporting Period attributable to the Franchisee and Network Rail;

(b) in that Reporting Period for which the attribution is hi dispute betweenNetwork Rail and the Franchisee;

(c) from the 12 preceding Reporting Periods for which the attribution remains indispute; and

(d) from the 12 preceding Reporting Periods for which disputed attributions havebeen resolved or determined since the Franchisee's last report pursuant to thisparagraph 2.7, and the number of such Minutes Delay attributed to each of theFranchisee and Network Rail as a result of such resolution or determination.

Each such report shall be broken down between the Service Groups.

2.8 For each Reporting Period, the Authority shall calculate a moving annualaverage of the Franchisee's performance against:

(a) the Network Rail Benchmark by calculating the sum of the number of MinutesDelay that are attributable to Network Rail:

(i) in such Reporting Period; and

(ii) hi the 12 preceding Reporting Periods,

and dividing the sum by 13; and

(b) the Service Delivery Benchmark by calculating the sum of the number ofMinutes Delay that are attributable to the Franchisee:

(i) in such Reporting Period; and

(ii) hi the 12 preceding Reporting Periods,

and dividing the sum by 13.

2.9 In performing the calculations pursuant to paragraph 2.8(b), the Authorityshall disregard any Minutes Delay that are caused by the occurrence or continuingeffect of a Force Majeure Event.

2.10 Where the attribution of any Minutes Delay is in dispute between NetworkRail and the Franchisee at the end of a Reporting Period the Authority shall, for thepurpose of performing the calculations referred to in paragraph 2.8, allocate anydisputed Minutes Delay between the Franchisee and Network Rail in the proportionsof:

A is the total number of undisputed Minutes Delay from the 12 precedingReporting Periods that are attributable to the Franchisee; and

B is the total number of undisputed Minutes Delay from the 12 precedingReporting Periods that are attributable to Network Rail.

2.11 The Franchisee agrees with the Authority and the SPTE to comply with therequirements of the Track Access Agreement in respect of Minutes Delay attribution.

First 12 Reporting Periods of the Franchise Term

2.12 For as long as fewer than 13 Reporting Periods have elapsed following theFranchise Commencement Date, the Authority shall, for the purposes of performingthe calculations referred to in paragraphs 2.2, 2.4 and 2.8(b), assume performance atthe Target Performance Level in respect of any of the 13 reporting periods thatprecede the Franchise Commencement Date.

Calculations

2.13 The Authority shall perform the calculations referred to in paragraphs 2.2, 2.4and 2.8 rounded to 2 decimal places, with the midpoint (that is, 11.115) roundedupwards that is, 11.12).

Notice of Performance Results

2.14 As soon as reasonably practicable after the end of each Reporting Period, theAuthority shall notify the Franchisee and the SPTE of the results of the calculationsperformed pursuant to this paragraph 2.

Further performance information, records and documents

2.15 The Franchisee shall provide to the SPTE such further information, records ordocuments relating to the Franchisee's performance under this Schedule 7.1 as theSPTE reasonably requests.

Meaning of Train Plan

2.16 For the purposes of this Schedule 7.1, Train Plan shall, unless otherwisestated, mean the then current train plan which has been finalised pursuant toparagraph 13.2 of Schedule 1.1 (Service Development) and which includes anyamendments thereto:

(a) pursuant to paragraphs 3.2 and 3.5 of Schedule 1.2 (Operating Obligations);

(b) pursuant to paragraph 4 of Schedule 1.2, where:

(i) such amendments are required as a consequence of Network Railexercising its rights pursuant to the Track Access Agreement; and

(ii) the Franchisee has complied with the provisions of such paragraph inrespect thereof; and

(c) pursuant to paragraph 3.3 of Schedule 1.2, where such amendments are agreedby the Authority in accordance with such paragraph.

3. BENCHMARK ADJUSTMENTS

3.1 The Network Rail Benchmark and the Service Delivery Benchmark for anyReporting Period commencing next after a Passenger Change Date shall be revised asfollows:

NB-OBxMOM

where:

NB is the new Benchmark after revision in accordance with this paragraph 3.1;

OB is the old Benchmark prior to revision in accordance with this paragraph 3.1;

NM is the scheduled Train Mileage of the Passenger Services in the Timetableimmediately after the Passenger Change Date; and

OM is the scheduled Train Mileage of the Passenger Services in the Timetableimmediately before the Passenger Change Date.

3.2 If:

(a) there is a Change to the Service Level Commitments previously in force; and

(b) the Authority reasonably considers that any revision to the Network RailBenchmark or the Service Delivery Benchmark (as the case may be) pursuantto paragraph 3.1 is insufficient to hold constant the risk of the Franchiseefailing to satisfy the requirements of either such Benchmark,

the Authority shall make such revisions to the Network Rail Benchmark or theService Delivery Benchmark (as the case may be) as it reasonably considersappropriate to hold constant such risk. The Authority agrees with the SPTE that itwill consult with the SPTE before giving any such notification.

3.3 The Authority shall notify the Franchisee and the SPTE of any revision to theNetwork Rail Benchmark or the Service Delivery Benchmark (as the case may be) inaccordance with the procedural stipulations pursuant to paragraph 5.2 of Schedule 1.1(Service Development).

4. PERFORMANCE LEVELS

Expectation of Good Performance

4.1 The Authority and the SPTE (in relation to the Benchmark Tables relevant toit) each expect the Franchisee to use all reasonable endeavours to procure that in eachReporting Period during the Franchise Term, the moving annual average of thenumber of:

(a) Cancellations and Partial Cancellations will be equal to or better than theTarget Performance Level specified in the cell relating to each such ReportingPeriod in the Cancellations Benchmark Table;

(b) Passenger Services operated with less passenger carrying capacity than thepassenger carrying capacity specified for each such Passenger Service in theTrain Plan will be equal to or better than the Target Performance Levelspecified in the cell relating to each such Reporting Period in the CapacityBenchmark Table;

(c) Minutes Delay occurring in respect of the Passenger Services which areattributable to Network Rail, will be equal to or better than the TargetPerformance Level specified in the cell relating to each such Reporting Periodin the Network Rail Benchmark Table; and

(d) Minutes Delay occurring in respect of the Passenger Services which areattributable to the Franchisee, will be equal to or better than the TargetPerformance Level specified in the cell relating to each such Reporting Periodin the Service Delivery Benchmark Table.

Consequences for Poor Performance

4.2 The consequences of the Franchisee's - performance exceeding (that is,equalling or being worse than) the Improvement Plan Performance Levels relating toeach Benchmark are set out in paragraph 3.14 of Schedule 13.2 (Information).

4.3 The Franchisee shall, subject to paragraph 1.6 of Schedule 1.2 (OperatingObligations) in respect of paragraph 4.4(c), procure that in each Reporting Period, themoving annual average of the number of:

(a) Cancellations and Partial Cancellations does not exceed (that is, is neitherequal to nor worse than) the Breach Performance Levels and the DefaultPerformance Levels specified in the cells relating to each such ReportingPeriod in the Cancellations Benchmark Table;

(b) Passenger Services operated with less passenger carrying capacity than thepassenger carrying capacity specified for each such Passenger Service in theTrain Plan, does not exceed (that is, is neither equal to nor worse than) theBreach Performance Levels and the Default Performance Levels specified inthe cells relating to such Reporting Period in the Capacity Benchmark Table;

(c) Minutes Delay occurring in respect of the Passenger Services which areattributable to Network Rail does not exceed (that is, is neither equal to norworse than) the Breach Performance Levels and the Default PerformanceLevels specified in the cells relating to such Reporting Period in the NetworkRail Benchmark Table; and

(d) Minutes Delay occurring in respect of the Passenger Services which areattributable to the Franchisee does not exceed (that is, is neither equal to norworse than) the Breach Performance Levels and the Default PerformanceLevels specified in the cells relating to such Reporting Period in the ServiceDelivery Benchmark Table.

4.4 Certain consequences of the Franchisee's performance exceeding (that isequalling or being worse than):

(a) the Breach Performance Levels relating to :

(i) the Cancellations Benchmark;

(ii) the Capacity Benchmark; and

(iii) the Service Delivery Benchmark,

are set out in Schedule 10 (Remedies, Termination and Expiry);

(b) the Breach Performance Levels relating to the Network Rail Benchmark arereferred to in paragraph 1.6 of Schedule 1.2 (Operating Obligations); and

(c) the Default Performance Levels relating to each Benchmark are set out inSchedule 10.
