OnMarch25,thecityofSalinasofficiallylaunchedits“RipewithOpportunity”(or“GrowinSalinas”)economicdevelopmentcampaign,whichincludestheunveilingofanewbrand,logoandtaglineforthecity;aneweconomicdevelopmentwebsite;amarketingbrochurethatincludesthecity’skeymessages,assetsandadvantages;detailedmapsofSalinasandthesurroundingregion,highlightingthearea’sincrediblegeographiclocation;and
anupdateontheactivitiesthecityhasundertakentodatetobringinnewjobsandcompaniestothecommunity.Thegoalsofthe“RipewithOpportunity”campaignaremanifold,includingthefollowing:•ElevateSalinas’sprofilenationallyandpositionthecommunityasagreatplacetodobusinessintheeyesofcorporatedecisionmakers,suchasCEOs,otherC-levelexecutivesandsiteselectionconsultants•Educatetheseexecutivesandconsultantsabouttheregion’sbusinessassetsandadvantagesofinvestinginSalinas•ShowcasewhatSalinashastoofferbusinesseslookingtolaunch,relocateorexpand•Showcasethecity’sabilitytoproviderealestate,incentives,etc.•Showcasetheregion’sstrongqualityoflifeassets•ForgestrongrelationshipsbetweensiteselectionconsultantsandC-levelexecutiveswiththecity’sleaders,includingitseconomicdevelopmentdirector,JeffreyWeirandrecentlyelected
Mayor,JoeGunter,aswellasotherofficialstohelpgeneratemorerequestsforproposalsinthesitelocationprocess•HelpcorrectanymisperceptionsthatmayexistaboutSalinas. InthewakeofCapitalOne’sannouncementinMay2012thatthecompanywouldcloseitsSalinaslocationafterbuyingHSBC,resultinginthelossof800localjobs,thecityofSalinasengagedDevelopmentCounsellorsInternational,anagencythatspecializesexclusivelyinmarketingcities,states,countriesandregions,tocreateastrategicmarketingplanthatthecitycouldusetoattractnewbusinesses.BeginninginJune2012,DCIembarkedoncreatingamarketingplanforthecityofSalinasthatcouldbeusedtoguidethecommunityinitseffortstoclearlycommunicateitsassetsandadvantagesbothdirectlyandindirectlywithcorporatedecisionmakers,throughface-to-faceconversationsandthroughthenationalandtrademedia.Informulatingtheplan,DCIinterviewedmorethan25businessandcityleaderstogatherbackgroundresearchandgetinputonthecommunity’sstrengthsandweaknesses.DCIpresentedthisplantotheSalinasCityCouncilonOct.23,2012,includingeightstrategictacticsandactivitiesthecommunitycouldtaketomarketitselftobusinesses.DCIwasthenchargedwithimplementingseveral
piecesofthismarketingplan,beginninginAugust2012andcontinuingthroughMay2013. InlessthanayearsincetheCapitalOneannouncementwasmade,thecityhasmadeincredibleprogressinbringingthemessagethatitis“RipewithOpportunity”directlytodecisionmakers,includingunveilinganewbrand,logoandtaglineforthecity,developingseveralpiecesofmarketingcollateral,hostingtwositeselectionconsultantfamiliarizationtours,engaginginaleadgenerationprogramtospeakdirectlywithcompanieslookingtorelocateorexpand,andlaunchinganeconomicdevelopmentwebsite.TheMarch25eventwastheofficialunveilingofthiscampaign–andamilestoneinthecity’sprogresstodateintheefforttobringnewjobsandbusinesstoSalinas.Marketing Collateral Workingwiththecityandconductingadditionalresearch,DCIhasalsodevelopedkeybusinessmessagesforthecity,abusinessdevelopmentPowerPoint,fourdetailedmapsoftheSalinasregionanditsassets,andaneconomicdevelopmentbrochure.Key Business Messages•Unmatchedopportunitiesfornew-economycompanies•Renownedglobalreputationasagricultureandinnovationhub

PartoftheChamber’sroleinrepresentingourmembersistoreachouttogroupsthataffectourlivesandbusinesses.Thisyear,wehavebeguninvitingcommunityleaderstopresenttoourBoardofDirectorssothatwemaylearnfromthemandbettercollaborate.Withthisarticle,I’dliketosharewithyousomeofwhatwelearnedwhenwehadthepleasureofspeakingwithMontereyCountySuperintendentofSchoolsDr.NancyKotowskiatarecentboardmeeting.HervisitwasvaluableastheChamberrecognizesthevitalroleeducationplaysinthebusinesscommunity. “Criticalthinking,creativeimaginationandinnovationareAmerica’sgreateststrengthsandmust
continuetobeanimportantaspectofourstudents’education”Dr.KotowskistatedinthefirstannualEducationReporttotheCommunity,whichshesharedwithus. “TheintentoftheEducationReporttotheCommunityistohelpthecommunitybetterunderstandtheprogressofpubliceducationinMontereyCounty,andhowthecommunitycanworktogethertosupporttheeducationofallstudents,”shecontinued. Thereportprovidesimportantinformationaboutthepublicschoolsinourcountyandthe71,232studentsthatattendthem.ThegreatestprogresscanbeseeninMontereyCounty’s10-yearacademicperformancegrowth.Since2000,MontereyCounty’soverallstudentacademicperformancehasgrownby23percentcomparedtothatofthestateat17percent.Moreover,thereportprovidesinformationonhowourtaxdollarsarebeingspent,
howourcountycompareswithstateaverages,andrecognizesremarkableandinspiringlocalteachersthroughtheKSBWCrystalAppleAwardpresentedbyDoleFreshVegetables. “Everygenerationstrivestoleavetheworldabetterplaceforthenextgeneration.Today,unprecedentedfundingcutsarediminishingthescopeofeducationopportunitiesourschoolscanoffer,”statedKotowskiinthereport. Overtheyears,theChamberhashostedtripstoexoticlocalesincludingSpain(lastyear),theEasternMediterranean,andChina.Whenpresentedwithvariousoptionsforwherewecouldgothisyear,IwasadvisedthatItalyisalwayspopular.Butjustasimportantastherecommendationwasmypersonalexperiencevisitingthecountrytheyearbeforelast.PleaseletmeshareabitofwhyItalyis“fantastico”andwhyIencourageyoutojoinmeinvacationingtherewiththeChamberinearlyNovember. “MagicItaly.”“Allyourdreamswillcometrue.”ThesearesomeoftheslogansforItaly.Everycountrythatcovetstouristdollarspaysmarketinggurustocome

LeadershiptoleadtheeffortonCEQAreform.Hismoderate,middle-of-the-roadpoliticswassupportedbymanyofthoseinvolvedinthereformeffort.OnMarch6th,SenatePresidentProTemDarrellSteinberg(D-Sacramento),nominatedSenatorJerryHill(D-SanMateo)toreplaceMr.Rubioaschair.In the Crosshairs Ofthemorethan2200billsintroducedthusfarinthecurrentsession,theCalChamberhastakenaimatitsfirsttwo“JOBKILLERS.”TheChamber’sGovernmentRelationsCommitteeiscurrentlytrackingandanalyzingthesebillsandmore.AccordingtoCalChamber,SenateBill626(Beall,D-SanJose)isamassiveWorkers’Compensationcostincreasethatunravelsmanyoftheemployercost-savingprovisionsinlastyear’sworkers’compensationreformpackageandresultsinemployerspayingnearly$1billioninbenefitincreasestoinjuredworkerswithoutanexpectationthattheincreaseswillbefullyoffsetbysystemsavings.On Federal Front Federalspendingisnearly$4.7billiondailyaccompaniedby$1.9billionindailyborrowing–40%ofthebudget(probablycloserto47%inrealnumbers).Totalnationaldebtisalmost$17trillion.Thisyear’sbudgetis$1.725trillionwithincomeatonly$1.035trillion.Tobalancethebudget,weborrow$690billion.Sequestercutsequateto$85billionor5%ofthebudget.Shouldsequestercutsberetainedfortheremainderoftheyear,wewillstillborrow$605billion.Thebudgetpicturedoesn’tgetanybrighterascutsthatwereproposedbythebi-partisanNationalCommitteeonFiscalResponsibilitywerenotapprovedbyCommitteemembers. DespitestrongobjectionsfromDemocrats,theHousehaspassedaRepublicansponsoredbillthatwouldeliminateorconsolidateseveraljob-trainingprograms,whichproponentssayareredundantorineffectiveintoasingle,$6billionprogramwithfundsfrozenforthenextsevenyears.CurrentlyintheSenateisH.R.803,SupportingKnowledgeandInvestinginLifelongSkills(SKILLS)Act,Thebill
reauthorizestheWorkforceInvestmentAct(WIA)throughFY2020,consolidatesandeliminatesdozensofseparateWIAprogramsandotheractivities,andmodifiesthefunctioningofstateandlocalWorkforceInvestmentBoardsthatoperateemploymentandjobtrainingprogramsatthelocallevel.Specifically,themeasureconsolidates35programs,mostofthemWIAprograms,intoasinglefundingstreamforstateandlocaluseandrequiresthefederalgovernmenttoreduceadministrativejobsaccordinglyandallowsforcontractingdirectlywithcollegesforservices.ItalsochangesboththecompositionandfunctionofWorkforceInvestmentBoardstoincreaselocalbusinessrepresentationinoperatingtheemploymentandjobtrainingsystem,andestablishesnewstandardsforevaluatingtheeffectivenessofWIAandotherprograms.

TheAllianceonAging,thelargestnon-profitagencyservingseniorsinMontereyCountysince1970,providesmultipleservicesforthose55andover.Asmallstaffandalargecorpsofvolunteers
offerMedicareandTaxAssistance,PeerCounselingandAdvocacyforlong-termcareresidents,EmploymentTrainingandCommunityOutreach. AOAreferralstoagencieslikeMealsonWheels,LegalServicesforSeniors,theAlzheimer’sAssociationandotherscreatelinkagestovitalservices.ThemajorityofseniorsservedbyAOAandtheseotheragenciesarelow-incomeandcannotaffordtopurchaseservicesthatareavailable(iftheyareavailable)intheprivatesector. Thecomingtsunamiofaging
willchallengeAOA’sservicesandpartnershipswiththepublicandprivatesectorasneverbefore. Allnonprofits,includingAOAdependuponcontributionsfromthepublicsotheycanoffersafetynetservicestothoseleastabletopurchasetheseservices.Theprolongedrecessionhashadadramaticadverseimpactonmillionsofus,whiletheneedforbasichumanserviceshasneverbeengreater.Aspublicfundingforserviceshasbeencurtailed,wehopeyouwillpleaseconsidermakingacharitablecontributiontoday.

ThedeadlinetointroducenewbillstotheCaliforniaLegislaturehasnowpassed,andthereareseveralproposedbillsofinteresttoemployers. Minimum Wage/aB 10:LocalAssemblyMemberLuisAlejointroducedAB10whichwouldincreasetheCaliforniaminimumwageto$8.25beginningonJanuary1,2014,andtoatleast$8.75in2015,andatleast$9.25in2016.Thebillalsoprovidesforannualadjustmentsbeginningin2017tomaintainemployeepurchasingpower.TheadjustmentswouldbecalculatedusingtheCaliforniaConsumerPriceIndex.ThebillwouldprohibittheIndustrialWelfareCommissionfromadjustingtheminimumwagedownwardinyearswithnegativeinflationlevels. Workplace Flexibility act/SB 607:
SenatorTomBerryhillintroducedSB607whichwouldgiveemployersmorefreedomtoallowhourly,non-exemptemployeestoworkflexibleworkscheduleswithouthavingtopayovertime.Currently,anemployermustgothroughaprocessofproposals,meetings,andasecretballotelectionifitwantsemployeestowork“alternativeworkweekschedules,”i.e.,4daysaweek/10hoursaday,withoutincurringovertimeliability.Underthisbill,non-exemptindividualemployeescanrequestthistypeofflexibleworkschedule.Nosecretballotelectionwouldbenecessary,andnoovertimewouldbeincurreduntiltheemployeeworksmorethan10hoursinaworkdayormorethan40hoursinaworkweek. Incentive for Early Resolution of Wage Claims/aB 228:AssemblyMemberDanLogueintroducedAB228.Undercurrentlaw,ifanemployerfailsto

Talkaboutbeingbornwithagreenthumb!NormGrootstartedinAgriculturebypullingweedsathisDad’snurserywhenhewasjustfive.Paidataquarterperbucketofweedspulled,therewasalotofhardworkwithonlyafewcoinsattheendofaday(granted,atfive,concentrationisstillalimitingfactor).ThisprovidedthesparkforNormtobecomeanurserymanonhisown,butmaybewithabitofadifferentapproach.Whileheenjoyedworkingwithplantsandplantingflowersintheyard,hisemphasisincollegewasBusinessAccountingandFinancewhileattheUniversityofSouthernCalifornia(FightOn!).Aftergraduation,anopportunitytoworkinthefamilybusinessturnedfromatwoyearoptionintofourteenjam-packedyears.Duringthatperiod,Normlearnedfarmorethanjustthefinancesofthebusiness,havingrunthecomputerdepartment(itwasn’tcalledInformationTechnologythen)andhumanresources. AllthisprovidedasolidbasisforjoiningMonroviaNurseryCompanyin1993,aftera
year-longretirementwhenhisDadsoldthefamilybusiness(whatagreatopportunitytocatchuponvacations,workinthekids’classrooms,andconcentrateonvolunteerwork!).Workingforanationalcompanyprovidingcontainerplantstoretailgardencenters,Normgainedabroaderunderstandingofmarketingandbranding,aswelltheopportunitytotravelacrossthecountryvisitingcompanygrowinggroundsandretailcustomers.DuringtheMonroviayears,Normwasalternativelyaskedtoheaduptransportationinitiatives,managetheinstallationofanewenterprisesoftwaresystem,andplanproductionforallsixnurserygrowinggrounds,inadditiontohismainworkofFinancialServicesforcustomers. Exhaustedfromoverwork,theopportunitycamealongforachange,anout-of-the-boxopportunitytorunalocalnon-profitcalledMontereyCountyFarmBureau.BeinganativeofOrangeCounty,themovetoMontereywasbothenticingandunsettlingatthesametime(what,
moveawayfromfamilyandfriendsandahomelivedinfor25years?).SettlinginPacificGrovein2011,theadaptationtolifeinMontereyCountyhasbeensmoothanddefinitelypreferredtothehomogeneous,plannedcommunityatmosphereofSouthOrangeCounty.WorkingastheExecutiveDirectorofMontereyCountyFarmBureauhasaffordedagreatopportunitytobecomeinvolvedincommunityactivitiesandpolitics. ThepurposeoftheLeadershipSalinasValleyprogramistoprovidetheskills,contactsandmotivationtoequipindividualstodevisetheirownmethodsofleadershipthrougheducationandcommunityservice.Excellentexamplesofthesuccessofthisapproacharedemonstratedintheaccomplishmentsrecognizedbyavarietyofprestigiouscommunityorganizations-includingourSalinasValleyChamberofCommerce. Recently,HelenDunston,aBranchManageroftheCentralCoastFederalCreditUnionandgraduateofLeadershipSalinasValleyClass27,wasrecognizedbytheSalinasValleyChamberofCommerceasBusinessWomanoftheYearwiththeAthenaAward.Helenhasusedherleadership
trainingforthebenefitoftheSalinasNortheastRotaryClub,theSalinasValleyBusinessWomen'sNetwork,andnumerousothercommunityorganizations. OfthevarietyofservicesUnitedWayMontereyCountyprovidestocountyresidentsthistimeofyear,thetwomostpopularareVolunteerIncomeTaxAssistance(VITA)FREETaxPrepand2-1-1.Bothhelpputmoneyinthepocketsoflocalresidents,therebyhelpingstimulateourlocaleconomy. 2-1-1,UnitedWay’sinformationandreferralclearinghouse,linkspeoplewiththeservicestheyneed.Aspartofitsroutinescreeningprocess,2-1-1hasidentifiedthatmanyresidentsarenottakingadvantageoftheCalFreshprogram,whichhelpsstretchfooddollarsandputmoneybackintothelocaleconomy.Whethersomeoneisyoungorold,employedornot,theymayqualify.Ifallwhoareeligiblesignedup,nearly$135millionfederaldollarswouldbereturnedtoMontereyCounty.It’sworthcheckingout. Anotherservicethatisbeing
underutilizedisVITA.Todate,VITAhashelped1,200countyresidentspreparetheirtaxesandclaimmorethan$2,000,000inrefundsandcredits.Basedonstudies,eachdollarreturnedtoourcountyresultsinastimulustolocalbusinessesof$1.40. Thatmeansthattodate,VITAhashelpedboostourlocaleconomyby$2,800,000.Unfortunately,therearemanymoreworkersinourcommunitywhoqualifybuthavenottakenadvantageofthisfreeservice. Toqualify,householdincomemusthavebeenlessthan$57,000in2012.TaxpreparersaretrainedandcertifiedbytheIRSandhelpworkersclaimallavailabletaxcreditsaswellastheirfullrefund.VITAprovidesfreee-fileandrefundswithin7-10dayswithdirectdeposit.Bothstateandfederalreturnsarepreparedfree;therearenohiddenfees.

Identifying Properties in a 1031 Exchange

Manycommercialandresidentialleasescontainoptionstorenew.Ifthereisanoptiontorenew,thenpriortotheexpirationoftheoriginalleaseterm,thelesseecanexercisetheoptiontorenewtheleasesolongasitisdoneinconformitywiththespecifictermscontainedinthelease.ArecentCaliforniacaseaddressedtheissueofwhentherearemultiplepeoplenamedaslesseesunderalease,ifoneco-lesseeexercisestheoptiontorenew,thenisthatbindingontheotherco-lessees?Thecourtdeterminedthatanysuchexerciseoftheoptionwasnotbindingontheotherco-lessees. InthecaseofJefferyKavinvs.HaroldFrye,KavinownedsomecommercialpropertythatheleasedtoAndreaFrye,HaroldFrye,WilliamMorganandSescieKarabuykov.AndreaFryeandSescieKarabuykovwantedtooperateaboutiquedressshoponthepremises.However,theydidnothavegoodcreditandKavinrequiredthatHaroldFrye(whowasAndrea’sfather)andWilliamMorgan(whowasKarabuykov’sfather)alsosigntheleaseasco-lessees.Therefore,allfourindividualssignedtheleaseasco-lessees.TheinitialleasetermcommencedonMay1,2004andendedonApril30,2007. Theleaseprovidedthatthelesseedidnothaveanyrighttoholdoverpossessionofthepremisesaftertheexpirationoftheinitialleaseterm.Ifthelesseedidholdover,thenthebaserentwouldincreaseto
200%ofthenormalbaserentpriortotheexpirationoftheleaseterm.Italsograntedthelesseeoneoptiontorenewtheleaseforanadditionalthreeyears.Thelesseehadtoexercisetheoptionbygivingwrittennoticeofsuchexerciseatleastsixmonthspriortotheexpirationoftheinitialleaseterm.ThismeantthatthelesseewouldhavehadtohavegivenwrittennoticebynolaterthanOctober31,2006. AndreaandKarabuykovwerepartnersinthebusinessandtheyranthebusiness.In2005,Karbuykovhadababyandwasnolongerinvolvedinthebusiness.InNovember2006,KarabuykovgaveherentireinterestinthebusinesstoAndrea.ThedressbusinessdidnotdowellandAndreadidnotexercisetheleaseoptionbyOctober31,2006. InMarch2007,HaroldFryesentalettertoKavinstatingthathedidnotwanttobeapartytoanyleaseextension.AftertheleaseexpiredinApril,2007,Andreacontinuedtomakethenormalmonthlyrentpayments,whichKavinaccepted.InJulyorAugust2007,KavinmetwithAndreaatthepremisesandsaidthatheneededhertoexercisetherenewaloption.Whilehewasatthestore,KavinhadAndreawritealettertoKavinstating:“Weherebyexerciseouroptiontoextendourleaseforanother36monthlease.”Andreathensignedtheletterbutdidnotdateit.Afterthat,Andreapaidthesamemonthlyrentasbeforetheleaseexpired. AndreavacatedthepremisesinJanuary,2009andtoldKavinthatshecouldnot
continuetooperatethebusiness.Atthatpoint,Kavinsuedallfourlesseesforbreachofcontractandalsoforthedifferencebetweenthenormalmonthlybaserentpaymentsandthe200%holdoverbaserent.KavinarguedthatallfourlesseeswereboundbyAndrea’sexerciseoftherenewaloptionandthatallofthemwereliabletopayKavinfortheunpaidrent. ThetrialcourtruledthatAndreadidnothaveauthoritytobindanyoftheotherco-lesseestotheexerciseoftherenewaloptionandthereforetheyhadnoliabilitytoKavinfortherent.ThetrialcourtalsoruledthatKavinwaivedanyclaimshemayhavehadforthe200%holdoverbaserentwhenhecontinuedtoreceiveandacceptthenormalbaserentpaymentsaftertheoriginalleasetermexpiredwithoutrequiringAndreatopaythe200%baserentamount. Theappellatecourtupheldthetrialcourtinitsentirety.BoththetrialandtheappellatecourtruledthatKavin’sdictatingthetermsofthelettertoexercisetherenewaloptiontoAndreaandKavin’sacceptanceoftherentalpaymentattheoriginalbaserentamounteffectivelywaivedanyclaimsbyKavinforthe200%holdoverbaserentpayment.Furthermore,Andreadidnothaveanyactualorapparentauthoritytobindanyoftheotherco-lesseestotheleaseextension.Theleasedidnotstateanyoneco-lesseecouldsignfor,andbind,theotherco-lesseesfortheextension.Furthermore,HaroldFryehadspecificallyinformedKavinthatFryewould
notberesponsibleforanyrenewaloftheleasetermpriortoKavinmeetingwithAndreatoexercisetherenewaloption. BoththetrialandtheappellatecourtalsoreasonedthatAndreaandKarabuykovwerepartnersinthebusinessandthatAndreamighthavebeenabletobindKarabuykovunderapartnershiptheoryofliability.However,KarabuykovhadrelinquishedherentireinterestinthebusinesstoAndreapriortoAndreaexercisingtherenewaloption.Furthermore,theleasedidnotspecifythattheyweredoingbusinessasapartnershipandthefourindividuals(andnotapartnership)wereidentifiedintheleaseasthelesseesofthepremises.Finally,therewasnoindicationthatHaroldFryeorWilliamMorganwereinanywayinvolvedwiththebusinessandthereforenopartnershiptheoryofliabilitycouldattachtoeitherofthem. Bothlandlordsandtenantsmustbecarefulindraftingleasesandinterpretingleaseswithrespecttooptionstorenewtheleaseoranyotheressentialtermsandconditionsofthelease.Ifpartieshavequestionsondraftingorinterpretingalease,theyshouldseekarealestateprofessionalorattorneytoadvisethemontheseissues.
