On March 25, the city of Salinas officially launched its“Ripe with Opportunity”(or“Grow in Salinas”) economic development campaign, which includes the unveiling of a new brand, logo and tagline for the city; a new economic development website; a marketing brochure that includes the city’s key messages, assets and advantages; detailed maps of Salinas and the surrounding region, highlighting the area’s incredible geographic location; and an update on the activities the city has undertaken to date to bring in new jobs and companies to the community. The goals of the“Ripe with Opportunity” campaign are manifold, including the following: • Elevate Salinas’s profile nationally and position the community as a great place to do business in the eyes of corporate decision makers, such as CEOs, other C-level executives and site selection consultants • Educate these executives and consultants about the region’s business assets and advantages of investing in Salinas • Showcase what Salinas has to offer businesses looking to launch, relocate or expand • Showcase the city’s ability to provide real estate, incentives, etc. • Showcase the region’s strong quality of life assets • Forge strong relationships between site selection consultants and C-level executives with the city’s leaders, including its economic development director, Jeffrey Weir and recently elected Mayor, Joe Gunter, as well as other officials to help generate more requests for proposals in the site location process • Help correct any misperceptions that may exist about Salinas. In the wake of Capital One’s announcement in May 2012 that the company would close its Salinas location after buying HSBC, resulting in the loss of 800 local jobs, the city of Salinas engaged Development Counsellors International, an agency that specializes exclusively in marketing cities, states, countries and regions, to create a strategic marketing plan that the city could use to attract new businesses. Beginning in June 2012, DCI embarked on creating a marketing plan for the city of Salinas that could be used to guide the community in its efforts to clearly communicate its assets and advantages both directly and indirectly with corporate decision makers, through face-to-face conversations and through the national and trade media. In formulating the plan, DCI interviewed more than 25 business and city leaders to gather background research and get input on the community’s strengths and weaknesses. DCI presented this plan to the Salinas City Council on Oct. 23, 2012, including eight strategic tactics and activities the community could take to market itself to businesses. DCI was then charged with implementing several pieces of this marketing plan, beginning in August 2012 and continuing through May 2013. In less than a year since the Capital One announcement was made, the city has made incredible progress in bringing the message that it is“Ripe with Opportunity”directly to decision makers, including unveiling a new brand, logo and tagline for the city, developing several pieces of marketing collateral, hosting two site selection consultant familiarization tours, engaging in a lead generation program to speak directly with companies looking to relocate or expand, and launching an economic development website. The March 25 event was the official unveiling of this campaign – and a milestone in the city’s progress to date in the effort to bring new jobs and business to Salinas. Marketing Collateral Working with the city and conducting additional research, DCI has also developed key business messages for the city,a business development PowerPoint, four detailed maps of the Salinas region and its assets, and an economic development brochure. continuetobeanimportantaspectofourstudents’education”Dr.KotowskistatedinthefirstannualEducationReporttotheCommunity,whichshesharedwithus. “TheintentoftheEducationReporttotheCommunityistohelpthecommunitybetterunderstandtheprogressofpubliceducationinMontereyCounty,andhowthecommunitycanworktogethertosupporttheeducationofallstudents,”shecontinued. Currently,theGRCisprovidingfeedbacktotheCityontheirbusinesslicenseauditprocess,monitoringRegionalWaterQualityControlBoardactivityontheagriculturaldischargewaiver,implementationofStateprogramsonhealthcare,theFortOrdReuseAuthority(FORA)landusereauthorization,County,ValleyandPeninsulawatersupply&qualityprojects,SalinasCityCharterrevisions,MontereyCountyGeneralPlanimplementationordinances,landuse,politics,electionsandmore.Hereisa“50,000footoverview”ofsomeoftheimportantissueswe’relookingat.plastic Bag Bans & Fees for paper Bags Asoflate,thereisrenewedactivityonbanningsingle-useplasticbagsontheCounty(unincorporated)andregionalcitylevelsfortheexpressedpurposeofreducinglitterandprotectingnaturalresources.AdraftordinanceimpactingourregionisslatedtocomeoutoftheSupervisor’sAlternativeEnergyandEnvironmentCommitteeandforwardedtoCountySupervisorsinlateMarch.TheproposedbanwouldmirrorthatofMonterey’s-banningplasticbagsandprohibitingthefreedistributionofpaperbags.Paperbagfeeswouldbeginat$.10andincreaseto$.25followinga6monthphase-inperiod.Exemptionsareprovidedforproduce,bulkfood,prescriptionsandmeats.Theordinancewouldnotlikelyapplytorestaurants/publiceatingestablishmentsandnon-profitcharitablere-users.ExemptedconsumerswouldincludequalifiedparticipantsinWIC,CalFreshFoodStamp,orothersubsidized

governmentfoodprograms. Undertheproposedordinance,retailersmustitemizecustomerreceiptsforbagspurchasedaswellsaskeepanaccounting,availableforinspectionofallrecycled-contentpaperbagspurchasedandsold.Penaltiesfornon-compliancemayincludecitations,feesandremediesassetforthinmunicipalcodes.State Revenues Statetaxrevenueisoutpacingearlierprojectionsbyabout$4.5billionoverthelasteightmonths-numbersresultingfromincometaxescomingintostatecoffersatahigherratethanwhatwaspredicted.Thosestrongincometaxnumbershavemadeupforsoftsalesandcorporatetaxnumbers.AllshouldbecomeclearinAprilwhenthestatetypicallycollectsthebulkofitsincometaxdollars,takinginmorethan$10billionofthe$61.8billioninincometaxesthatbudgetmakersarecountingonfortheyear.Implementation of the affordable Care act InearlyMarch,bothHousespassedidenticalbillsthatwouldexpandMedicaidtomorethan1millionlow-incomeCalifornians,acriticalsteptoimplementingfederalhealthcarereforms.SB1xpassedofftheSenateFlooronaparty-linevoteof24-7,whereasAB1x1(Perez)wasabletogetoneRepublicanvote,AssemblymemberKatchoAchadijian(R-SanLuisObispo),topassofftheSenateFloor53-22.ThebillswillgototheotherHousewhereseriousnegotiationswillrampupbetweentheLegislature,stakeholdersandtheGovernor.Thebillsareexpectedtonowstallforabitinthepolicycommitteeswhiletheyawaitsubstantialamendments.CEQa Reform InFebruary,SenatorMichaelRubio(D-Bakersfield)resignedtotakeajobwithChevronastheirGovernmentAffairsManager.Thisissignificantfortworeasons:first,Mr.Rubio'sresignationchangesthearithmeticoftheSenate’ssuper-majorityforthenexttwomonths.TheGovernorsetthespecialelectionforhisseatforMay21st.ThesecondreasonisthatasChairoftheSenateCommitteeonEnvironmentalQuality,Mr.Rubiowastaskedby

LeadershiptoleadtheeffortonCEQAreform.Hismoderate,middle-of-the-roadpoliticswassupportedbymanyofthoseinvolvedinthereformeffort.OnMarch6th,SenatePresidentProTemDarrellSteinberg(D-Sacramento),nominatedSenatorJerryHill(D-SanMateo)toreplaceMr.Rubioaschair.In the Crosshairs Ofthemorethan2200billsintroducedthusfarinthecurrentsession,theCalChamberhastakenaimatitsfirsttwo“JOBKILLERS.”TheChamber’sGovernmentRelationsCommitteeiscurrentlytrackingandanalyzingthesebillsandmore.AccordingtoCalChamber,SenateBill626(Beall,D-SanJose)isamassiveWorkers’Compensationcostincreasethatunravelsmanyoftheemployercost-savingprovisionsinlastyear’sworkers’compensationreformpackageandresultsinemployerspayingnearly$1billioninbenefitincreasestoinjuredworkerswithoutanexpectationthattheincreaseswillbefullyoffsetbysystemsavings.On Federal Front Federalspendingisnearly$4.7billiondailyaccompaniedby$1.9billionindailyborrowing–40%ofthebudget(probablycloserto47%inrealnumbers).Totalnationaldebtisalmost$17trillion.Thisyear’sbudgetis$1.725trillionwithincomeatonly$1.035trillion.Tobalancethebudget,weborrow$690billion.Sequestercutsequateto$85billionor5%ofthebudget.Shouldsequestercutsberetainedfortheremainderoftheyear,wewillstillborrow$605billion.Thebudgetpicturedoesn’tgetanybrighterascutsthatwereproposedbythebi-partisanNationalCommitteeonFiscalResponsibilitywerenotapprovedbyCommitteemembers. DespitestrongobjectionsfromDemocrats,theHousehaspassedaRepublicansponsoredbillthatwouldeliminateorconsolidateseveraljob-trainingprograms,whichproponentssayareredundantorineffectiveintoasingle,$6billionprogramwithfundsfrozenforthenextsevenyears.CurrentlyintheSenateisH.R.803,SupportingKnowledgeandInvestinginLifelongSkills(SKILLS)Act,Thebill

reauthorizestheWorkforceInvestmentAct(WIA)throughFY2020,consolidatesandeliminatesdozensofseparateWIAprogramsandotheractivities,andmodifiesthefunctioningofstateandlocalWorkforceInvestmentBoardsthatoperateemploymentandjobtrainingprogramsatthelocallevel.Specifically,themeasureconsolidates35programs,mostofthemWIAprograms,intoasinglefundingstreamforstateandlocaluseandrequiresthefederalgovernmenttoreduceadministrativejobsaccordinglyandallowsforcontractingdirectlywithcollegesforservices.ItalsochangesboththecompositionandfunctionofWorkforceInvestmentBoardstoincreaselocalbusinessrepresentationinoperatingtheemploymentandjobtrainingsystem,andestablishesnewstandardsforevaluatingtheeffectivenessofWIAandotherprograms.

AOAreferralstoagencieslikeMealsonWheels,LegalServicesforSeniors,theAlzheimer’sAssociationandotherscreatelinkagestovitalservices.ThemajorityofseniorsservedbyAOAandtheseotheragenciesarelow-incomeandcannotaffordtopurchaseservicesthatareavailable(iftheyareavailable)intheprivatesector. ThedeadlinetointroducenewbillstotheCaliforniaLegislaturehasnowpassed,andthereareseveralproposedbillsofinteresttoemployers. Minimum Wage/aB 10:LocalAssemblyMemberLuisAlejointroducedAB10whichwouldincreasetheCaliforniaminimumwageto$8.25beginningonJanuary1,2014,andtoatleast$8.75in2015,andatleast$9.25in2016.Thebillalsoprovidesforannualadjustmentsbeginningin2017tomaintainemployeepurchasingpower.TheadjustmentswouldbecalculatedusingtheCaliforniaConsumerPriceIndex.ThebillwouldprohibittheIndustrialWelfareCommissionfromadjustingtheminimumwagedownwardinyearswithnegativeinflationlevels. Workplace Flexibility act/SB 607:

SenatorTomBerryhillintroducedSB607whichwouldgiveemployersmorefreedomtoallowhourly,non-exemptemployeestoworkflexibleworkscheduleswithouthavingtopayovertime.Currently,anemployermustgothroughaprocessofproposals,meetings,andasecretballotelectionifitwantsemployeestowork“alternativeworkweekschedules,”i.e.,4daysaweek/10hoursaday,withoutincurringovertimeliability.Underthisbill,non-exemptindividualemployeescanrequestthistypeofflexibleworkschedule.Nosecretballotelectionwouldbenecessary,andnoovertimewouldbeincurreduntiltheemployeeworksmorethan10hoursinaworkdayormorethan40hoursinaworkweek. Talkaboutbeingbornwithagreenthumb!NormGrootstartedinAgriculturebypullingweedsathisDad’snurserywhenhewasjustfive.Paidataquarterperbucketofweedspulled,therewasalotofhardworkwithonlyafewcoinsattheendofaday(granted,atfive,concentrationisstillalimitingfactor).ThisprovidedthesparkforNormtobecomeanurserymanonhisown,butmaybewithabitofadifferentapproach.Whileheenjoyedworkingwithplantsandplantingflowersintheyard,hisemphasisincollegewasBusinessAccountingandFinancewhileattheUniversityofSouthernCalifornia(FightOn!).Aftergraduation,anopportunitytoworkinthefamilybusinessturnedfromatwoyearoptionintofourteenjam-packedyears.Duringthatperiod,Normlearnedfarmorethanjustthefinancesofthebusiness,havingrunthecomputerdepartment(itwasn’tcalledInformationTechnologythen)andhumanresources. AllthisprovidedasolidbasisforjoiningMonroviaNurseryCompanyin1993,aftera

OfthevarietyofservicesUnitedWayMontereyCountyprovidestocountyresidentsthistimeofyear,thetwomostpopularareVolunteerIncomeTaxAssistance(VITA)FREETaxPrepand2-1-1.Bothhelpputmoneyinthepocketsoflocalresidents,therebyhelpingstimulateourlocaleconomy. 2-1-1,UnitedWay’sinformationandreferralclearinghouse,linkspeoplewiththeservicestheyneed.Aspartofitsroutinescreeningprocess,2-1-1hasidentifiedthatmanyresidentsarenottakingadvantageoftheCalFreshprogram,whichhelpsstretchfooddollarsandputmoneybackintothelocaleconomy.Whethersomeoneisyoungorold,employedornot,theymayqualify.Ifallwhoareeligiblesignedup,nearly$135millionfederaldollarswouldbereturnedtoMontereyCounty.It’sworthcheckingout. Anotherservicethatisbeing

underutilizedisVITA.Todate,VITAhashelped1,200countyresidentspreparetheirtaxesandclaimmorethan$2,000,000inrefundsandcredits.Basedonstudies,eachdollarreturnedtoourcountyresultsinastimulustolocalbusinessesof$1.40. Thatmeansthattodate,VITAhashelpedboostourlocaleconomyby$2,800,000.Unfortunately,therearemanymoreworkersinourcommunitywhoqualifybuthavenottakenadvantageofthisfreeservice. Identifying Properties in a 1031 Exchange

Manycommercialandresidentialleasescontainoptionstorenew.Ifthereisanoptiontorenew,thenpriortotheexpirationoftheoriginalleaseterm,thelesseecanexercisetheoptiontorenewtheleasesolongasitisdoneinconformitywiththespecifictermscontainedinthelease.ArecentCaliforniacaseaddressedtheissueofwhentherearemultiplepeoplenamedaslesseesunderalease,ifoneco-lesseeexercisestheoptiontorenew,thenisthatbindingontheotherco-lessees?Thecourtdeterminedthatanysuchexerciseoftheoptionwasnotbindingontheotherco-lessees. InthecaseofJefferyKavinvs.HaroldFrye,KavinownedsomecommercialpropertythatheleasedtoAndreaFrye,HaroldFrye,WilliamMorganandSescieKarabuykov.AndreaFryeandSescieKarabuykovwantedtooperateaboutiquedressshoponthepremises.However,theydidnothavegoodcreditandKavinrequiredthatHaroldFrye(whowasAndrea’sfather)andWilliamMorgan(whowasKarabuykov’sfather)alsosigntheleaseasco-lessees.Therefore,allfourindividualssignedtheleaseasco-lessees.TheinitialleasetermcommencedonMay1,2004andendedonApril30,2007. Theleaseprovidedthatthelesseedidnothaveanyrighttoholdoverpossessionofthepremisesaftertheexpirationoftheinitialleaseterm.Ifthelesseedidholdover,thenthebaserentwouldincreaseto

200%ofthenormalbaserentpriortotheexpirationoftheleaseterm.Italsograntedthelesseeoneoptiontorenewtheleaseforanadditionalthreeyears.Thelesseehadtoexercisetheoptionbygivingwrittennoticeofsuchexerciseatleastsixmonthspriortotheexpirationoftheinitialleaseterm.ThismeantthatthelesseewouldhavehadtohavegivenwrittennoticebynolaterthanOctober31,2006. AndreaandKarabuykovwerepartnersinthebusinessandtheyranthebusiness.In2005,Karbuykovhadababyandwasnolongerinvolvedinthebusiness.InNovember2006,KarabuykovgaveherentireinterestinthebusinesstoAndrea.ThedressbusinessdidnotdowellandAndreadidnotexercisetheleaseoptionbyOctober31,2006. InMarch2007,HaroldFryesentalettertoKavinstatingthathedidnotwanttobeapartytoanyleaseextension.AftertheleaseexpiredinApril,2007,Andreacontinuedtomakethenormalmonthlyrentpayments,whichKavinaccepted.InJulyorAugust2007,KavinmetwithAndreaatthepremisesandsaidthatheneededhertoexercisetherenewaloption.Whilehewasatthestore,KavinhadAndreawritealettertoKavinstating:“Weherebyexerciseouroptiontoextendourleaseforanother36monthlease.”Andreathensignedtheletterbutdidnotdateit.Afterthat,Andreapaidthesamemonthlyrentasbeforetheleaseexpired. AndreavacatedthepremisesinJanuary,2009andtoldKavinthatshecouldnot

continuetooperatethebusiness.Atthatpoint,Kavinsuedallfourlesseesforbreachofcontractandalsoforthedifferencebetweenthenormalmonthlybaserentpaymentsandthe200%holdoverbaserent.KavinarguedthatallfourlesseeswereboundbyAndrea’sexerciseoftherenewaloptionandthatallofthemwereliabletopayKavinfortheunpaidrent. ThetrialcourtruledthatAndreadidnothaveauthoritytobindanyoftheotherco-lesseestotheexerciseoftherenewaloptionandthereforetheyhadnoliabilitytoKavinfortherent.ThetrialcourtalsoruledthatKavinwaivedanyclaimshemayhavehadforthe200%holdoverbaserentwhenhecontinuedtoreceiveandacceptthenormalbaserentpaymentsaftertheoriginalleasetermexpiredwithoutrequiringAndreatopaythe200%baserentamount. Theappellatecourtupheldthetrialcourtinitsentirety.BoththetrialandtheappellatecourtruledthatKavin’sdictatingthetermsofthelettertoexercisetherenewaloptiontoAndreaandKavin’sacceptanceoftherentalpaymentattheoriginalbaserentamounteffectivelywaivedanyclaimsbyKavinforthe200%holdoverbaserentpayment.Furthermore,Andreadidnothaveanyactualorapparentauthoritytobindanyoftheotherco-lesseestotheleaseextension.Theleasedidnotstateanyoneco-lesseecouldsignfor,andbind,theotherco-lesseesfortheextension.Furthermore,HaroldFryehadspecificallyinformedKavinthatFryewould

notberesponsibleforanyrenewaloftheleasetermpriortoKavinmeetingwithAndreatoexercisetherenewaloption. BoththetrialandtheappellatecourtalsoreasonedthatAndreaandKarabuykovwerepartnersinthebusinessandthatAndreamighthavebeenabletobindKarabuykovunderapartnershiptheoryofliability.However,KarabuykovhadrelinquishedherentireinterestinthebusinesstoAndreapriortoAndreaexercisingtherenewaloption.Furthermore,theleasedidnotspecifythattheyweredoingbusinessasapartnershipandthefourindividuals(andnotapartnership)wereidentifiedintheleaseasthelesseesofthepremises.Finally,therewasnoindicationthatHaroldFryeorWilliamMorganwereinanywayinvolvedwiththebusinessandthereforenopartnershiptheoryofliabilitycouldattachtoeitherofthem.
