ARIZONA KARTING ASSOCIATION OPERATING RULES AND PROCEDURES  

DISCLAIMER: The goal of Arizona Karting Association and AKA Speedway is to provide a place for safe and fair competition in the sport of kart racing. The rules set forth here and those referred to in the IKF (International Kart Federation) Speedway rules are meant to provide for orderly conduct of racing events and to establish requirements, uniform rules and race procedures. No expressed or implied warranty of safety shall result from the publication of, or compliance with these rules and regulations. They are intended as a guide for the conduct of the sport and are in no way a guarantee against injury or death of a participant, spectator, or official. GENERAL RULES 1. INSURANCE/WAIVER REQUIREMENTS 1.1 RELEASE AND WAIVER OF LIABILITY, ASSUMPTION OF RISK,and INDEMNITY AGREEMENT: All persons who intend to enter a restricted area (thereby becoming a participant of that event) shall sign the official Release and Waiver of Liability, Assumption of Risk, and Indemnity Agreement before being allowed to participate in any event. All participants, by signing the waiver, hereby elect to use the track at their own risk 1.2PARENTAL CONSENT RELEASE AND WAIVER: It is mandatory that at least one parent or legal guardian of a minor 17 years old or younger sign a parental consent 1.3 Insurance wristbands: All persons, ages 9 and older, entering the track surface or pit area must purchase and display an insurance wristband. Failure to comply will result in penalties as defined in AKA by-laws. 2. RACE OFFICIALS 2.1 Officials: All officials in their assigned duties must be familiar with all rules and regulations which apply to those duties. The designated officials of an AKA event shall have and exercise the power of rule enforcement and race supervision as found in these competition regulations, during the entirety of any event. Officials reserve the right to prevent any member from participating in any AKA event. 2.1.1 Race Worker Compensation: Any compensation for race workers will be determined by the board of directors. 2.2 Race Director: The Race Director shall be that official having complete charge of the karts while on the track. The Race Director shall disqualify (through signals to the Starter) any driver who, in their opinion or that of their observers, is in violation of the rules or whose kart is or has become unsafe to operate. The Race Director is also in charge of the Starter and Turn Marshals. The Race Director shall conduct a meeting for all drivers prior to the start of the event to explain the flags and other competition rules. 2.3 Starter (or Chief Flagman): The Starter shall be the official having complete charge of the flags. The Starter shall follow the instructions of the Race Director. The Starter's flag signals are to be obeyed without exception. Further details concerning the Starters' duties are contained in the IKF rulebook. 2.4 Chief Scorer: The Chief Scorer shall be that official in charge of timing and/or scoring. The Chief Scorer shall keep the starter informed of positions, laps completed, etc. Each entrant's kart shall be assigned an identifying number which will be carried at all times during an event. The number shall be of sufficient size and color to promote

accurate scoring. The entrant shall accept the assigned number or make ready to the Chief Scorer the number the driver is using, and affix these numbers to their kart-in a manner acceptable to the Chief Scorer. 2.5 Turn Marshals/Flaggers: Flag personnel shall be strategically located around the course to report any rule infractions or trackconditions, etc. to theRace Director. The flag personnel shall use a yellow flag at the direction of the Starter to signal drivers as to accidents, debris, fluid or other hazards on their portion of the track. 2.6 Pit Steward: The Pit Steward shall be that official having charge of the pit/ hot grid area. The Pit Steward shall keep unauthorized personnel out of the area, direct karts entry on the track and report any irregularities or rule infractions to the Race Director. 2.7 Pre- Tech Director:The Pre-tech Director shall be the official in charge of pre- race inspection of all karts entering competition. 2.8 Tech Inspector: The Tech Inspector shall be the official(s) in charge of the post-race inspection. 3 DRIVER DUTIES: 3.1 Drivers will be at all times responsible for their own conduct and the conduct of their crews. Any offense committed by a crewmember will be chargeable directly to the driver whether in the pits or on the track 3.2 Attendance at all drivers meetings is mandatory. If a driver is not present, they may be subject to tagging the field or disqualification at the Race Director's discretion. This also applies to late entries. 3.3 FLAGS: Every competitor is responsible for the knowledge of and adherence to the following flag rules: Failure to comply with the directions of race officials concerning flags may result in warning or disqualification. GREEN: Displayed at the start of competition or practice and kept visible as long as the track is clear for racing YELLOW: Caution, be prepared to stop. Track partially blocked by an accident or debris. Slow down, use caution, hold your position; no passing until the track is clear and the green flag appears again. RED: Track is hazardous and unsafe for racing. Slow immediately and stop safely asdirected by designated officials. All entrants shall proceed to designated area. No work on karts is permitted during the red flag period. YELLOW AND RED FLAG: Complete restart. Drivers reform pack for restart ata slow pace. BLUE WITH ORANGE STRIPE: Faster competitor is trying to lap you: maintain yourcurrent line & allow them to pass. WHITE: One lap to go. BLACK: Continue one more lap at a reduced speed and stop at the designated raceofficial for directions. ROLLED BLACK: Warning to driver it is pointed at for rough or aggressive driving. BLACK WITH ORANGE BALL: Commonly called the “mechanical” black flag. Indicates tothe driver and crew that their kart has a potentially dangerous

mechanical problem. Signal that you are reducing speed, and proceed to the pits for inspection and further instruction. CHECKERED: Displayed at the finish of competition or practice; one more lap at reduced speed before stopping or follow Race Director’s instructions. 4. MEMBERS DUTIES: All members must abide by all rules and regulations in this rule book and the by-laws of Arizona Karting Association. 5. SAFETY EQUIPMENT REQUIREMENTS 5.1 Helmet: Must be of full face coverage design for competitive motor sports and must meet one of the following standards: 1. Snell Foundation Specification A) 2005 SA and M - Legal until 12/20/2015 B) 2005 - Legal until 12/20/2015 C) CMS 2007 (youth helmet) – legal until 12/20/2015 D) CMR2007 (youth helmet) – legal until 12/20/2015 E) M 2010 – legal until 12/20/2020 F) SA 2010 – legal until 12/20/2020 5.2 Gloves: are required at all times while driver and kart are on the track 5.3 Jacket: or driving suit of heavyweight leather, heavyweight vinyl material or approved heavyweight abrasion resistant nylon material 5.4 Pants: Full length pants of above materials or heavyweight denim 5.5 Suits: Fire resistant suits with a SFI rating of 3.2 A1 required for all drivers who are confined within the racing vehicle with seat belts (Quarter Midgets, cage Karts, etc.) Appropriate arm restraints are also required. 5.6 Shoes: High top shoes (and socks) must cover the anklebone and be secured as designed. 5.7 Neck collar: including foam insert must be worn while on the track. The neck collar may not be modified in any manner. 5.8 Chest protection: is required for all racers entered in Jr classes. This device must be certified per SFI Section 20.1 5.9 Pre-tech of Safety Equipment: All required safety equipment must be available with the kart during pre-tech safety inspection. Failure to provide acceptable safety equipment for inspection will result in the driver not being allowed to compete during that event. No exceptions will be allowed. 5.10 Use of Safety Equipment: All required safety equipment must be worn whenever drivers are on the track in their kart. Failure to wear required safety equipment will result in removal from the track immediately. No exceptions will be allowed. 6. TECHNICAL INSPECTION 6.2 All karts shall pass a pre-tech inspection: prior to the beginning of the driver's meeting at each race event. Any kart not completing pre-tech inspection shall not be allowed to compete. 6.2.1 Pre- tech inspection shall include, but may not be limited to these items: 1. Helmets, other safety equipment as required by age and class

2. Steering: All steering component bolts and nuts, must be safety wired or cotter keyed; quick release type steering wheel allowed in kaged kart classes. 3. Braking system: All bolts and fasteners to be safety wired or cotter keyed. 4. Weights: All bolts used to fasten weights to the kart must be cotter keyed, safety wired, or double nutted. All weights attached to karts must be painted white. Kart number should be on the weight. 6.3 Failure to complete pre-tech before the beginning of the driver's meeting will result in being placed at the back of both heat races. Pre-tech is closed as soon as the driver's meeting begins and drivers must have completed registration. 6.4 The top four finishers: in each class shall proceed directly from the scales to the post-tech impound area. Any unauthorized contact between the kart and crewmembers may result in disqualification. 6.5 The Tech Inspector shall designate an area where karts and drivers will be checked for: A) Minimum class weight B) Maximum kart size C) Bodywork specifics D) Engine legality E) Exhaust legality F) Legal attachments of weights G) Fuel legality 6.5.1 The Tech Inspector shall only check for legality of an engine in respect to the techmanual and shall not add or delete from it. 6.5.2 The Tech Inspector has the discretion to tech as much as deemed necessary to assure that the engine is legal in respect to the tech manual. 6.5.3 The Tech Inspector is required to do tech on at least two (2) unrelated tech procedures. 6.5.4 Entrants are responsible to the Technical Inspector while in the impound area and are subject to disqualification if they leave without the Technical Inspector's approval. 6.5.5 Tech may not necessarily be conducted after each race event, this will be left up to the Tech Inspectors discretion. 6.5.6. All other technical inspection details are covered by the current IKF rulebook. 6.6 Post race scale and tech areas shall be cordoned off from persons other than the competitor, officials.

7. AKA GENERAL SAFETY RULES 7.1 Consumption of Alcohol - No alcohol is allowed to be consumed in the pits during racing or practice. 7.2 Absolutely no glass containers are allowed on the AKA premises. 7.3 Drivers will be held accountable for the actions of their pit crew and team members. Unacceptable behavior may result in disqualification of the driver. 7.4 No smoking within 15 feet of the pre-grid and scale areas. 7.5 No riding of bicycles, mopeds, motorized skateboards, ATV’s, or any other motorized vehicle in the pits (unless authorized by the Board of Directors) from the beginning of the drivers meeting until the completion of all competition. 7.6 No driving of karts in the pit area. 7.7 Karts must be shut off at the scales and pushed to their pit area 7.8 Driver must be seated in the kart before they are started in the pre-grid area (practice or races) 7.9 Entering the Track:

7.9.1 Except as defined below, ONLY track officials are allowed on the track during racing. 7.9.2 In red flag or emergency situations, one parent or crewmember is permitted to enter the track at the direction of the Race director. 7.9.3 One crewmember per quarter midget or Junior Junior is allowed in the infield at the direction of the Race Director. 7.9.4 The Race Director may authorize crewmembers from other classes to observefrom the center section of the infield. 7.10 New drivers will start at the rear of the field for three race dates, and display a colored streamer or orange number plate at the rear of the kart, unless approved by the race director. 7.11 Any kart stalled on the track will be pushed to the infield and remain there until the race is completed. 7.11.1 In 4 Cycle classes, should a competitor's motor cease running after the kart is stopped byan Official, the competitor shall have 90 seconds to restart his/her motor. 7.12 Yellow Flags: 7.12.1 Any yellow flag is a full course yellow. No racing to the flag. Karts are restarted in the order of the last scored lap. 7.12.2 Karts causing the yellow flag shall be penalized by restarting at the back of the field. If no clear fault can be determined, any kart(s) involved may be placed at the backof the field. 7.12.3 These decisions are made at the discretion of the Race Director and may not be protested. 7.12.4Karts in the Junior Junior class will be provided one opportunity to restart theirengineunder yellow flag conditions. 7.13 Red Flags: 7.13.1 Drivers causing a red flag due to an accident must leave the track for at least that race to make sure the driver and the kart are OK for racing. 7.13.2 The kart must be inspected by Race Officials prior to racing again. 7.14 Black Flags: 7.14.1 Drivers who spin out excessively may be black flagged by the Race Director or the Starter. This type of black flag is for safety reasons. 7.14.2 Generally a racer will be black flagged following the third spin in which the racer is determined to be at fault. 7.14.3 Anyone who does not get into the proper order lineup by order of the Starter or Race Director will be given a black flag. 7.15 Safety Zones: Identified by red lines in the grid area: 7.15.1 Only authorized personnel are allowed in Safety Zones. 7.15.2 Anyone who is found in a safety zone without authorization will be warned once. Following a warning the driver you are supporting is subject to disqualification. 7.16. All dogs need to be on a leash during racing or practice. 7.17 All persons in the facility area shall conduct themselves in an orderly manner. No physical contact, verbal abuse or violence of any kind will be tolerated by an official, participant, spectator or other person. Violators of this policy will be asked to leave the facility and, if necessary, removed from the site. Local law enforcement will be called if needed.

8 SCORING 8.1. AKA will use the IKF method of speedway scoring as defined in the current IKF Rulebook (Speedway Scoring) except as provided in the following sections. 8.2 Format: unless specified in driver’s meeting, each class shall run 2 qualifying heat races. Line up in first heat will be determined by pill draw, line up in second heat will be by inversion of first heat. 8.3 Starting position in main events is determined by finish position in heat races per IKF scoring system. In the event of a tie, position is determined by lower pill draw. 8.4 For clarification, any kart taking a green flag in any attempted start of a heat race or main event start shall be awarded at least last place season points for that race event unless a flagrant DQ is assessed. 8.5 At the sole discretion of the race director, any flagrant driving DQ may result in the loss of all season points for that event. This decision may not be protested. 8.6 At the sole discretion of the tech inspector, any flagrant violation in post tech may result in loss of all season points for that event. This decision may not be protested. 8.7 In the event of any starting position or finishing position tie, the correct order will be determined by giving the better position to the lower pill draw. 8.8 Kart numbers 8.8.1 All entrants (including QM and Caged Karts) must have a number plate on all sides of their vehicle. Either a white plate with black numbers, or black plate with white numbers is acceptable. A kart entering the track without all sides having a number plate, may result in not being scored or disqualification. 8.8.2 Existing club members will be given first option of kart numbers and the ability to reserve that number at a cost of $5. Visitors or new members will be required to select a different number if there is a conflict. 9. Season Points 9.1 Season points will be accumulated per IKF procedures. 9.2 The season point’s championship will run from the first point’s race of the calendar year until the final point’s race of the year. At the discretion of the AKA board, from time to time there may be additional non-points races added to the racing calendar. 9.3 Season points will be awarded only for the main event finishing order, subject to the provisions of the rules. No season points will be awarded for heat race finishes. 9.4 Three entries are required to make up a senior class. Two entries are required to make up a junior class. To be eligible for season points and awards the class must run fifty percent (50%) of the seasons' races. If there are not three senior or two junior karts entered in a class, participating driver(s) will receive 25 points towards their season 9.5 Awards: 9.5.1 Both members and non-members may compete for individual racetrophies; only members are eligible for season points awards. 9.5.2 Subject to AKA Board approval, a minimum of three places in each qualifying class will receive season points awards. 9.6 Championship fund: for the 2015 season, $5 from each entry fee collected in regular season points races shall be placed in a special “Points Championship

Fund”. This money shall be awarded to the “points champions” (or by board discretion, the top 3) in each class at the end of the season. 9.7. Throw away races- for the 2015 season, there will be 2 “throw away” races. The 2 lowest scored races points shall be dropped from the final points tally. Races missed can be dropped, but a race in which the competitor was disqualified cannot be counted as a dropped race. 9.8 Points awarded for finish positions will be as follows: 1st – 200 points+* / 2nd – 190 points+* / 3rd – 180 points+* / 4th – 175 points+* / 5th – 170 points+* / 6th – 165 points+* / 7th – 160 points+* / 8th – 155 points+* / 9th – 150 points+* / 10th – 145 points+* / 11th – 142 points+* / 12th – 139 points+* / 13th – 136 points+* / 14th – 133 points+* / 15th – 130 points+* / 16th – 127 points+* / 17th – 124 points+* / 18th – 121 points+* / 19th – 118 points+* / 20th – 115 points+* *Points equal to number of entries in class All finish positions below 20th position will receive two points less than the higher finishing position; 21st would receive 113 points plus the number of entries, 22nd position would receive 111 points plus the number of entries, etc. 35th position and over would receive only number of entries. 10. INFRACTIONS/ DEFINITIONS PENALTIES 10.1 The Race Officials, consisting of the Race Director and other board designated representatives, shall interpret and uphold all rules and regulations. Officials shall observe participant driving habits, supervise all drivers entered in an AKA event and submit a written report to the AKA Board of Directors on flagrant infractions of the rules and unsafe or unsportsmanlike conduct on the part of any driver or crew member. 10.2. Definitions: To eliminate any confusion as to the meaning of the following descriptions, use the following definitions as guidelines for driver and crew behavior. 10.2.1 CARELESS: Departing from the standard of a reasonably prudent and competent driver and/or personal conduct. 10.2.2 RECKLESS: Performing an act, or omission which creates an obvious and serious risk to others without due consideration of the consequences. 10.2.3 DANGEROUS: Performing an act, or omission which creates an obvious andserious risk to others with deliberate disregard of the consequences. 10.3 Penalties: 10.3.1 The Race Director shall assess penalties for on-track offenses. The Board of Directors shall assess penalties for all other issues except post-tech inspection and as otherwise provided by IKF rules. The following penalties are available to race officials: A) Verbal Warning B) Dock one or more positions C) Dock one lap D) Disqualification from the race E) Disqualification from the event or day F) Recommendation for suspension/probation

10. PROTESTS 10.1 There are no protests allowed on non-performance items. 10.2 Protests to the decisions of the race and driver conduct will follow these rules: The protest must be made by the entrant in the same class, in writing to the Race Director, within 30 minutes of the end of the protested race. If a decision cannot be made at the time of the event, the protest shall be referred to the Board of Directors. 10.3 Engine protest must be made by entrant in the same class. Protesting party shall post a fee of $25.00 with the Race Director. Fee is refunded to the protesting party if the protest is upheld by tech. If there are no illegal findings, the fee will be given to the party being protested. 10.6 Every effort shall be made to handle all protests at the time of the event where witnesses can present evidence pertaining to the protests. 11. OTHER GENERAL RULES: 11.1. Any aspect not covered here will revert to IKF rules and regulations, as printed in the Official IKF Rules Manual. 11.2 Primary Class Rules: AKA will use IKF regulations for all race classes except as defined below in class information as local options. 11.3 Voting Eligibility: Only primary and associate membership holders may vote at AKA club meetings. 11.4 Tire Rules: 1. Any brand kart tire is allowed in all classes (except special events as directed by theevent) 2. All tires may be slicks or treaded. 3. There is no limitation to tire preparation. 4. Tires must be dry, no wet tires on the hot grid. Violators will be asked to return to their pits to dry their tires, racing will continue regardless of return from pits or not. 11.5 AKA’s Competition age is the highest age of the driver during the racing season (Jan 1 – Dec 31) 11.6 AKA’s Attained age is age of the driver on the day of the event. 11.7 Rules Changes: If any time it is deemed necessary to change the rules, or the by-laws, it can be done so by the Board of Directors as stated in Article 7 of the By-Laws. 12. CLASS INFORMATION: In all other classes not mentioned below, AKA will follow IKF rules. All classes competing at AKA Speedway are required to comply with race and safety procedures previously described.

12.1 Junior Junior class is designed to be an introduction to karting for the youngest racers and rule changes will always be governed by safety and may be changed at the discretion of the board. 1. Age 5-8:must be attained age 5 and competition age 8

BY-LAWS OF ARIZONA KARTING ASSOCIATION

ARTICLE ONE 1. Name: This Association shall be known as the Arizona Karting Association (AKA). ARTICLE TWO 2. Offices: 2.1 Known Place of Business: The Associations known place of business in the State of Arizona shall be the address of its statutory agent or such other address as may be set forth in a statement filed with the Arizona Association commission in accordance with Arizona law. 2.2 Changes in Known Place of Business: The Association shall have and continuously maintain in the State of Arizona a known place of business which may be changed from time to time upon the approval of the Board of Directors of the Association provided, however, that any such changes be promptly reported to the Arizona Association Commission. ARTICLE THREE 3. Purpose and Powers: The Association shall operate to accomplish only the purpose or purposes set forth in its Articles of Association, as amended from time to time, shall have all powers necessary or convenient to effect such purpose or purposes, without limiting the general purposes and powers set forth in the Associations Articles of Association, the objectives of the Association shall include the furtherance and the promotion of the following: 3.1 The highest standards of courtesy and safety on the race track. 3.2 The enjoyment and sharing of goodwill and fellowship engendered by owning a motorized vehicle which complies with the specifications prescribed from time to time by the International Karting Federation, Inc. (hereinafter referred to as a "Kart") and by operating and racing a Kart in such events as may be organized and promoted by the Association. 3.3 The maintenance of the highest operation and performance of Karts through the sharing of technical and mechanical information. 3.4 The interchange of ideas and suggestions with other Kart Clubs throughout the world and in such other association efforts as may further the purposes of the Association. 3.5 The establishment of such mutually beneficial relationships with other Kart clubs as well as other organized compatible motor racing; such as dwarf cars, as may further the purposes of the Association. ARTICLE FOUR 4. Membership: 4.1 Classes: The memberships shall be divided into two classes. 4.1.1 Basic members 4.1.2 Associate members 4.2 Eligibility: The memberships in the Association shall be restricted to individuals who own or drive Karts, or who are interested in the accomplishment of the Association's purpose as set forth in its Articles of Association, Bylaws and rules. In addition, to the forgoing eligibility requirements applicable to all members, membership of the specific classes shall be restricted as follows: 4.2.1 A Basic Member: shall be at all times a member in good standing with the Arizona Karting Association. 4.2.2 An Associate Member: must be a parent, spouse, or child of an individual who is a Basic Member in good standing 4.3 Application and Dues: Any person eligible for membership shall become a member upon: 4.3.1 The acceptance by the Board of Directors of such persons' written membership application after the same has been submitted in the form required by the Board. 4.3.2 The payment of dues for the fiscal year in the amount of the class, and onsuch date as may be prescribed by the Board of Directors from time to time with respect to the class of membership applied for. 4.4 Obligations: In addition to the payment of dues prescribed by the Board of Directors, the members of the Association shall at all times observe and obey the rules and regulations adopted from time to time by the Board of Directors regarding the

use of the Association facilities and the personal conduct of persons attending events sponsored by the Association. 4.5 Privileges: All members of the Association, regardless of class, shall be entitled, on an equal basis with all other members, to enjoy the rights and privileges of membership subject to the rules, fees and conditions prescribed by the Board of Directors from time to time with respect thereto, except as follows: 4.5.1 Family members shall not have the right to vote with respect to any matter which is referred to or determined by a vote of the membership, unless they are an associate member. ARTICLE FIVE 5. Termination or Suspension of Membership: 5.1 Voluntary: A member may withdraw from membership in the Association by requesting the Secretary to delete his or her name from the membership rolls. The Secretary may comply with the request without further authority than this provision of these bylaws. 5.2 Involuntary: A member may be suspended by two-thirds vote of the Board of Directors if: 5.2.1 Such member fails to pay when his or her membership is due for the current fiscal year. 5.2.2 In the judgment of two-thirds of the Board of Directors, such member engages in conduct which violates the rules and regulations prescribed from time to time by the Board of Directors, or which is otherwise detrimental to the best interest of the Association. Upon written notice of such suspension, thesuspended member shall be afforded reasonable opportunity to be heard, in person or through a representative of his or her choosing, by the Board for this purpose, concerning the alleged misconduct which is the basis for suchsuspension. After such hearing the Board of Directors, by two-thirds vote, may continue the suspension for a definite period of time, or terminate the suspension, or expel the member, and the Boards decision shall be final. Upon suspension or expulsion of a Basic member, the Board may, at its discretion, suspend or expel any Associate member whose eligibility for membership depends upon the standing of the suspended or expelled Basic member. ARTICLE SIX 6. Meetings of Membership: 6.1 Annual Meeting: An annual meeting of the membership shall be held on the first Monday of November of each year, at the hour of 7:00PM, for the purpose of electing Directors in the manner provided by these bylaws and transacting such other business as may come before the meeting. If the day fixed for the annual meeting shall be a legal holiday in the State of Arizona, such meeting shall be held on the next succeeding Monday. If the election of Directors shall not be held on the day designated herein for any annual meeting, or at any adjournment thereof, the Board of Directors shall cause the election to be held at a special meeting of the members as soon as may be convenient. 6.2 Special Meetings: Special meetings of the membership may be called by the President, the Board of Directors, or not less than one-tenth of the members having voting rights. 6.3 Place of Meetings: The Board of Directors may designate any place, either within or without the State of Arizona, as the place of meeting for any annual meeting of membership or for any special purpose be otherwise called, the place of meeting called by the Board of Directors. If no designation is made or if a special meeting be otherwise called, the place of meeting shall be the known place of business of the Association in the State of Arizona; but if all of the members shall meet at any time and place, either within or without the State of Arizona, and consent to be holding of a meeting, such meeting shall be valid without call or notice. 6.4 Notice of Meetings: Written or printed notice stating the place, day and hour of any meeting of members shall be delivered, either personally or by mail, to each member entitled to vote at such meeting not less than ten or no more than fifty days before, the date of such meeting, by or at the direction The President, or the Secretary, or the officers or persons calling the meeting. In case of a special meeting or when required by statute or by these bylaws, the purpose or

purposes for which the meeting is called shall be deemed to be delivered when deposited in the Unites States mail addressed to the member at the address as it appears on the records of the Association, with postage thereon prepaid. Any annual or special meeting of the membership may be adjourned to another meeting if the time and place thereof are announced at the meeting at which the adjournment is taken, and if the adjournment is for thirty days or less. 6.5 Informal Action by Members: Any action required by law to be taken at a meeting of the members, may be taken without a meeting if a consent in writing, setting forth the action so taken, shall be signed by all of the members entitled to vote with provisions of Section 6.4 hereof. 6.6 Quorum: The members holding one tenth of the votes which may be cast at any meeting shall constitute a quorum at such meeting. If a quorum is not present at any meeting of members, a majority of the members present may adjourn the meeting from time to time without further notice, subject to the provisions of Section 6.4 hereof. 6.7 Proxies: At any meeting of members, a member entitled to vote may by proxy executed in writing by the member or by his duly authorized attorney-in-fact. No proxy shall be valid after twenty-five months from the date of its execution. ARTICLE SEVEN 7. Board of Directors: 7.1 Duties: The affairs of the Association shall be managed by the Board of Directors, which shall be responsible for determining all matters of policy and proper performance by the Association's Officers of their respective duties. 7.2 Size of the Board and Qualifications: The Board of directors shall consist of seven (7) individuals. Each Director shall be a resident of the State of Arizona and a member in good standing of the Association as a condition to holding such office. The size of the Board of Directors may be increased or decreased within the foregoing limits, by majority vote of the members present and entitled to vote thereon at any annual membership meeting, and such increase or decrease shall be effective on the first day of the fiscal year of the Association next following the holding of such annual membership meeting. 7.3 Manner of Election: Directors shall be elected at each annual - membership meeting by vote of members who are entitled to vote thereon. Each Director elected at an annual memberships meeting (or deferred annual membership meeting) shall hold office for a one year term commencing upon the first day of the next fiscal year (January), with the exception of completing the next year’s race schedule to be shared with the membership as soon aspossible. Voting shall be by secret ballot, and "write-in" votes for candidates not formally nominated shall be valid. The Secretary of the Association shall cause the results of the election of Directors to be published in the Association's official publication or newsletter. 7.4 Nominations: The Nominating Committee shall prepare for each fiscal year a slate of at least one nominee for each position on the Board of directors and shall submit the list of such nominees to the Secretary of the Association prior to the annual membership meeting at which the Directors for such fiscal year are to be elected. Nominations of other candidates may be made by any voting member of the Association by submitting the name of any such nominee to the Secretary of the Association at or prior to the annual membership committee, the names of all nominees submitted to the Secretary prior to the date on which such publication or newsletter went to press. 7.5 Annual Meetings: Each annual meeting of the Board is to be held immediately following the holding of each annual meeting of the membership at the same place as such membership meeting was held. At the annual meeting, the Directors shall elect officers and conduct and transact such other business as may be properly brought before the meeting. If any annual meeting of the Directors is for any reason not held on the date determined as aforesaid, a deferred annual meeting of Directors may thereafter be called and held in lieu thereof, at which the same proceedings may be conducted. Any officer elected at the annual meeting or deferred annual meeting of Directors will hold office for the term of one year commencing on the first day of the next succeeding fiscal year of the Association, and until his or her successor is elected and qualified.

7.6 Special Meetings: Special meeting of the Directors may be held whenever and wherever called for by the President or by the written demand of not less than 30% of all the Directors. Any written demand by the Directors shall state the purpose of the proposed meeting, and business to be transacted at any such meeting shall be confined to the purposes stated in the notice thereof, and to such additional matters as the Chairman of the meeting may rule to be germane to such matters. 7.7 Notices: Notices of regular and special meetings of the Directors shall be given to each Director, orally or in writing, at least twenty-four (24) hours before the time fixed for the meeting, and such notice shall advise each Director as to the time, place and general purpose of the meeting, and shall be delivered personally, or by telephone or telegram, or mailed postage pre-paid, to each Director at his last post office as it appears on the books of the Association. Any Director may waive call or notice of any annual, deferred annual or special meeting (and any adjournment thereof) at any time before, during which or after it is held. Attendance of a Director at any such meeting in person will automatically be evidence of his waiver of call and notice of such meeting (and adjournment thereof) unless he is attending the meeting for the express purpose of objecting to the transacting of business because the meeting has not been properly called or noticed. 7.8 Quorum: A quorum for the transaction of business at any meeting or adjournment meeting of the Board of Directors will consist of a majority of those then in office. Once a quorum has been formed, the Directors remaining in attendance at such meeting prior to its adjournment will continue to be legally competent to transact business properly brought before the meeting, notwithstanding the prior departure from the meeting of enough directors to leave less than a quorum. 7.9 Voting: Any matter submitted to a meeting of the Board of Directors will be resolved by a majority of votes cast thereon. 7.10 Committees: The Board of Directors, from time to time, by resolution adopted by a majority of the full Board, may appoint standing or temporary committees from its membership and vest such committees with the powers as the Board may include in its resolution. The Board of Directors shall select the members and Chairman of each such committee, and may remove and replace the same at any time at its discretion. The Association may have the following standing committees: 7.10.1 Activities 7.10.2 Technical 7.10.3 Nominating 7.10.4 Rules 7.10.5 Publicity 7.10.6 Safety 7.10.6 Preparation 7.11 Presumption of Assent: A Director of the Association who is present at a meeting of the Board of Directors or of any committee at which action is taken unless his dissent is entered in the minutes of the meeting or unless he files his written dissent before adjournment thereof or forwards such dissent by registered or certified mail to the Secretary of the Association within two business days after the adjournment of the meeting. A right to dissent will not be available to a Director who voted in favor of such action. 7.12 Action by Directors Without a Meeting: Any action required or permitted to be taken at a meeting of the Board of Directors, or of any committee thereof, may be taken without a meeting of all Directors, or Committee members, as the case may be, consent thereto in writing. Such consent shall have the same effect as a unanimous vote of the Directors or committee members of the Association at a meeting duly called for and noticed. 7.13 Meetings by Conference Telephone: Any member of the Board of Directors or committee thereof may participate in any meeting of the Board or such committee by means of a conference telephone or similar communication equipment whereby all members participating in such a meeting can hear one another. Such participation shall constitute attendance in person. 7.14 Reserves: The Board of Directors may establish sinking funds and other reserves from time to time by resolution for any proper obligation of the Association, provided, however, that

any funds which are deposited or otherwise committed to the funding of any such reserve shall be used to defray those obligations authorized in the Board's resolution in effect at the time of such funding, unless other uses are expressly authorized and approved by two-thirds of all members of the Association (not merely those members present) at an annual meeting. 7.15 Privileges: Anyone serving on the Board shall be entitled to free membership. 7.16 Disqualification of Board Members: No one can serve on the Board of Directors of the AKA while they are owning or controlling a business that is in direct competition with the AKA. This will make certain that AKA has first priority. ARTICLE EIGHT 8. Officers: 8.1 Elections and Appointments: The Board of Directors will elect or appoint a President, one or more Vice-President, a Secretary, and a Treasurer. The regular election or appointment of officers will take place at each annual meeting, which is the first Monday in November, but elections of Officers may be held at any other meeting of the Board. No person shall hold more than one office at the same time. Each officer shall be required to be a member in good standing of the Association. 8.2 Additional Appointments: In addition to the officers contemplated in 8.1 above, the Board of Directors may elect or appoint other Corporate or Divisional officers or agents with such authority to perform such duties as may be prescribed from time to time by the Board of Directors or by the President. 8.3 Relinquished Duties: If a Board member resigns from the Board but still wants to continue receiving benefits of membership they will have to buy a full membership. 8.4 Removal: Delegation of Duties: The Board of Directors may, whenever in its judgment and the best interests of the Association, will be served thereby, remove any officer or agent of the Association or temporarily delegate his powers and duties to any other officer or to any Director by two-thirds majority vote. If a Board member must miss a scheduled meeting, they must attend the next meeting. If at any time a board member misses two (2) scheduled meetings in a row or 3 in a calendar year, the remaining Board members shall appoint a replacement director. 8.5 President and Vice-President: Unless otherwise specified by resolution of the Board of directors, the President will be the Chief Executive of the Association, and shall act as chairman at all meetings of the membership and the Board of Directors. The President will supervise the business and affairs of their respective duties, subject to the control of the Board of Directors. One or more Vice-Presidents shall be elected by the Board of Directors to perform such duties as may be designated by the Board or be assigned or delegated to them by the Chief Executive Officer. Anyone of the Vice- Presidents as authorized by the Board will be vested with all of the powers and charged with all of the duties of the President in the event his or her absence or inability to act. Except as may otherwise be specifically provided in a resolution of the Board of Directors, the President and any Vice-President are the proper officers who must sign on behalf of the Association any deed, Bill of Sale, assignment, option, mortgage, pledge, note, bond, evidence of indebtedness, application or other instrument of any significant importance to the Association. 8.6 Secretary: The Secretary shall keep the minutes of the meetings of the membership, the Board of Directors and any committee, and the unanimous written consents of the board of directors and any committee of the Association, and will see that all notices are duly given in accordance with the provisions of these bylaws or as required by law. The Secretary will be custodian of the corporate records, and in general, perform all duties incident to the office. 8.7 Treasurer: The treasurer will keep full and accurate accounts of receipts and disbursements in books belonging to the Association, and will cause all money and other valuable effects belonging to the Association to be deposited in the name and to the credit of the Association in such Federal Insured Depositories, subject to withdrawal in such manner as may be designated by the Board of Directors, provided, however that the Treasurer and at least one other Officer

shall be required signatories on all checks withdrawals drawn on the Associations accounts, with the exception of routine monthly expenses (under $500) such as insurance, electric, water, trash, and portable toilets. He or she will render to the President and the Directors at each meeting of the Board of Directors an account of all his or her transactions as Treasurer and of the financial condition of the Association. The Treasurer shall be responsible for preparing and filing such financial reports, financial statements and returns as may be required by law. The Treasurer shall insure strict compliance with the provisions of this section 8.7 in all matters pertaining to the financial affairs of the Association, and any failure or neglect to perform his or her duties shall be grounds for immediate expulsion as a member of the Association by the Board of Directors under Section 5.2.2 hereof. 8.8 Treasurer’s Checks: There shall be two signatures required on all checks paid from the club bank account. The Treasurer will sign all checks and be responsible for obtaining the second signature from another authorized Board member. The number of authorized signers will be determined by the number of board members. No less than 50% and no more than 80% of the Board Members will be authorized signers. ARTICLE NINE 9. Budget, Contract, Checks, Deposits, and Funds: 9.1 Budget: The Board of Directors will be required to prepare a budget for the upcoming race season. The budget will be submitted to the general membership at the first meeting following their appointment to the board. 9.2 Contract: The Board of Directors may authorize any officer or officers, agent or agents, of the Association, in addition to the officers so authorized by these bylaws, to enter into any contract or execute and deliver any such instrument in the name of and on behalf of the Association, and such authority may be general or confined to specific instances. No officer or any other person shall be authorized to incur on behalf of the Association any obligation or indebtedness in excess of $100 dollars without prior approval of the Board of Directors, except for: 9.2.1 The costs of printing, postage, and stenographic expenses of the Association’s official publications. 9.2.2 The ordinary and necessary administrative supplies. No personal liability whatsoever shall be incurred by any such officer or agent by reason of any acttaken on behalf of the Association if such act is properly authorized by the Board of Directors or by these bylaws. Any officer or person who incurs any unauthorized obligation on behalf of the Association shall personally indemnify the Association against all liabilities and costs arising there from. 9.3 Checks, Drafts, Etc.: All checks, drafts, or orders for the payment of monies, notes, or other evidence of indebtedness issues in the name of the Association, and by such other person or persons (if any) as shall from time to time be designated by resolution of the Board of Directors. 9.4 Deposits: All funds of the Association shall be deposited from time to time to the credit of the Association in such banks, trust companies or other depositories as the Board may select, provided that such deposit is insured by an instrumentality of the United States Government. 9.5 Gifts: The Board of Directors may accept on behalf of the Association any contribution, gift bequest or device for general purposes or for any special purpose of the Association. ARTICLE TEN 10. Amendments: The membership shall have the power to make, amend, and repeal the bylaws of the Association by vote of a majority of members present at any annual or special membership meeting at which a quorum is present, provided that written notice of meeting, and provided that

Section 7.14 shall be amended only upon the approval of at least two-thirds of all members. Voting on any such amendment shall be by secret ballot. Any member may propose an amendment to these bylaws by submitting the same in writing to the Secretary, who shall cause a copy of the proposed amendment, together with the name or names of the members who submitted the same, to be included in the notice of the next annual or special membership meeting. ARTICLE ELEVEN 11. Miscellaneous: 11.1 Notices: Official notices and communications to the membership or the Directors may be contained in a newsletter or in such other mailings as the Board of- Directors may authorize. 11.2 Fiscal Year: The Associations Fiscal Year shall be the calendar year. 11.3 Indemnification: To the extent permitted by Arizona law, the Association shall indemnify its Officers and Directors against any and all liability and costs arising from any act done in good faith on behalf of the Association or in the course of performing their duties.
