Separate sealed proposals are requested from interested contractors and material suppliers for the various items of work required for the construction of the CHRISTUS Trinity Mother Frances Rose Stadium Press Box Addition and Renovation, Tyler, Texas. Sealed proposals will be received by the Construction Manager, RPR Construction Company, Inc., until 2:00 p.m. on November 2, 2017, at the office of RPR Construction Company, Inc., Tyler, Texas. Sealed proposals will be privately opened by the Construction Manager. Dollar amounts of sealed proposals will not be made public until after the award of the contract or within seven (7) days after the date of final selection of proposals, whichever is later, as required by Senate Bill 669 effective September 1, 1999.

Proposals will be received until 2:00 p.m. on November 2, 2017 via the following methods:

PROJECT DESCRIPTION In general, the project consist of 4,792 square foot of additions and renovations to an existing press box including but not limited to demolition, erosion control, earthwork, termite control, pavement markings, asphalt paving, utilities, storm drainage, fencing, retaining wall, concrete, masonry, structural steel, rough carpentry, millwork, waterproofing, insulation, composite wall panels, metal wall panels, metal roofing, modified roofing, joint sealants, steel and wood doors, aluminum storefront, hardware, metal studs and drywall, tiling, acoustical ceiling, painting, signage, fire extinguisher cabinets, toilet accessories, elevator, plumbing, HVAC, fire sprinkler, electrical and special systems.

PART 4 METHOD OF SEALED PROPOSAL

Sealed proposals will be received by Work Categories as listed below. Proposals that exclude any Specification Section of a given Work Category may not be considered. Sealed proposals combining more than one Work Category will be accepted.

PART 5 WORK CATEGORIES

A. Each Work Category shall include Specification Sections Division 00, Division 01, Invitation To Submit Proposals, Instructions To Proposers, Sealed Proposal Form, General Conditions, Agreement, Supplementary General Conditions and Special Conditions, and the related Drawings and Specification Sections including all items inferred by the documents for the Work Category.

B. Receive, Handle and Install (RHI) – DEFINITION

When the Instructions to Proposers states that a specific Work Category is to (RHI) materials or equipment furnished by another Work Category, the (RHI) Work Category Sub Contractor is responsible for all materials / equipment management including the following:

1. Accept delivery of material / equipment, confirm material / equipment has not been damaged in transit and confirm bill of laden accurately identifies the material / equipment received. If there is a discrepancy between what the vendor has noted to have been shipped and what is actually received or

if the material is damaged in shipment the (RHI) Trade Sub Contractor is to notify Construction Manager immediately.

2. Furnish personnel and equipment to unload material / equipment in a manner so as not to damage material / equipment.

3. Furnish personnel and equipment to properly store material / equipment in location(s) acceptable to the Construction Manager and protect material / equipment from damage or loss due to inclement weather, vandalism and / or theft. Any claim for damage or loss will be filed against the Builder’s Risk Policy provided by the Owner, but the (RHI) Sub Contractor will be responsible for all justification for the claim to the insurance company and be responsible for payment of the deductible.

4. Furnish personnel to inventory material / equipment received to insure that materials stored are as

shown in shipping receipts and as noted in approved submittals. Any discrepancies are to be brought to the attention of the Construction Manager in ample time to avoid any delays to the progress of the project due to insufficient or incorrect material / equipment. This requirement also includes reviewing the submittals and Contract Documents to confirm that ample material is available to complete the installation(s) in accordance with the Contract Documents. Failure to do so will result in the cost of supplementary material being deducted from the (RHI) Contractor’s contract.

5. Furnish personnel to properly install material / equipment in accordance with approved shop drawings

and the Contract Documents as amended by approved change order(s) without damaging or wasting material / equipment furnished by others.

6. (FO) Denotes furnish FOB to Jobsite.

7. No designation noted, Furnish and Install complete.

C. Subcontractor Performance and a Labor and Materials Payment Bonds may be a requirement for Work Categories 4A, 5A, 5B, 5C, 7D, 8D, 9B, 21A, 22A, 23A, 23C, 26A, 27A, 27B, 28A and 28B. Construction Manager and / or Owner may require the other successful subcontractors / suppliers to furnish Performance and a Labor and Material Payment Bonds, each in the amount of 100% of his subcontract amount and written in favor of RPR Construction Company, Inc. The cost of said bonds shall be added to the Sealed Proposal and will be included in the Subcontract.

PART 9 SUBCONTRACT FORM

The Form of Agreement between Sub Contractor and Construction Manager will be a RPR Construction standard subcontract agreement. The standard Form of Agreement is available for review in the office of the Construction Manager, RPR Construction Company, Inc.

PART 10 EXAMINE CONTRACT DOCUMENTS AND VISIT SITE

Before submitting a Sealed Proposal, Sub Contractors / Suppliers should carefully examine the Contract Documents; visit the site of work; fully inform themselves as to all existing conditions and limitations, including those of labor; and shall include in the Sealed Proposal a sum sufficient to cover the cost of all items contemplated by the Contract Documents. No consideration will be granted for any alleged misunderstanding of the material, article or piece of equipment to be furnished or work to be done; it being understood that the tender of a Sealed Proposal carries with it the agreement to all items and conditions referred to herein or indicated in the Contract Documents.

PART 11 DISCREPANCIES OR OMISSIONS

Should a plan holder find discrepancies or omissions from the Contract Documents, or should the plan holder be in doubt as to their meaning, the plan holder should at once notify the Construction Manager, who will notify the Architect who will, time permitting, issue a written instruction in the form of an addendum to all plan holders of record. Neither the Owner, RPR Construction Company, Inc., nor the Architect will be responsible for any oral explanations or interpretations of the Contract Documents.

PART 12 ADDENDA

All addenda issued during the time of sealed proposals shall become a part of the Contract Documents and receipt thereof shall be listed in the Sealed Proposals.

PART 13 MATERIAL ONLY PROPOSALS

Proposals for work categories shown to be “furnish only” (FO), shall be accompanied by a letter stating availability of materials and anticipated delivery date. Timing of materials is most critical to this project and will be considered in evaluating proposals.

PART 14 SALES TAX

The Sub Contractor shall not be required to pay state sales or use taxes on materials or equipment which are affixed and made part of the real estate of this Project since the Owner is a public school and is exempt from paying state sales tax. PART 1 - AIA GENERAL CONDITIONS

1.1 “The General Conditions of the Contract for Construction, AIA Document No. A201, 2007 Edition, published by the American Institute of Architects, 1735 New York Avenue, Washington DC 20006 will be used on this project. These General Conditions will be referred to hereafter as “General Conditions”.

1.2 Where any Article of the AIA General Conditions is supplemented hereafter, the general provisions of such Article

shall remain in effect, and all supplemental provisions of such Article shall remain in effect, all supplemental provisions shall be considered as added thereto. Where any Article of the AIA General Conditions is amended, modified, voided or superseded hereafter, the provisions of the Article not specifically amended, voided or superseded shall remain in effect. PART 2 – SUBCONTRACT AGREEMENT

2.1 The Form of Agreement between Contactor and Subcontractor will be a RPR Construction Company, Inc. Standard Subcontract Agreement. PART 3 - GENERAL INFORMATION

3.1 INVESTIGATION

A. Soil and Subsurface Investigations were conducted at the Site, the results of which are to be found in the report issued by ETTL Engineers & Consultants, Inc. .

B. A copy of the report is available for review at the offices of the Architect, Construction Manager and in

specification section 023200 “Geotechnical Data”.

C. Subcontractors are urged to examine soil investigation data enclosed and to make their own investigation of the site before bidding.

3.2 INTERPRETATION

A. Soil investigation data is provided only for information and the convenience of the Sub Contractors. The

Owner, Construction Manager and Architect / Engineer disclaim any responsibility for the accuracy, true location and extent of the Soils Investigation that has been prepared by others. They further disclaim responsibility for interpretation of that data by Sub Contractors, as in projecting soil-bearing values, rock profiles, soil stability and the presence, level and extent of underground water.

A. “The following shall constitute the order or precedence in the event that there is conflict between the Contract Documents:

B. Large-scale details on drawings shall take precedence over smaller scale drawings and scale measurements.

Figures marked on drawings, shall, in general, be followed in preference to scale measurements. Where conflicting duplications are encountered in the specifications and drawings, the one requiring the greater quantity or higher quality shall take precedence. All conflicting duplications shall be brought to the attention of the Architect immediately for clarification. Omissions from the Contract Documents, of which are customarily performed, shall not relieve the Subcontractor from performing such omissions and details of work, but they shall be performed as if fully and correctly set forth and described in the Contract Documents.”

1.2.4 1.2.4 should read as follows:

“In the event of conflict among the terms of any of the Contract Documents, the terms of the Agreement between Construction Manager and Subcontractor, as modified or amended, shall control.”

ARTICLE 2. OWNER

2.1.1 Delete 2.1.1 and replace with the following:

“The Owner is the Board of Trustees of Tyler Independent School District, and is referred to throughout the Contract Documents as if singular in number. The Owner may designate in writing one or more persons to represent Owner; however, such representatives shall have the authority to bind Owner only to the extent expressly provided by Owner and shall have no implied or apparent authority. Except as otherwise provided in Subparagraph 4.2.1, the Architect does not have the authority to bind Owner.”

2.1.2 Delete 2.1.2 and replace with the following:

“Subcontractor acknowledges that no lien rights exist with respect to public property. Subcontractor agrees that it will not attempt to file or otherwise perfect any lien against the Project or other property of Owner. Subcontractor also agrees that it will not permit any of its material suppliers or workers to file any lien against the Project or other property of Owner, and will bear the cost of extinguishing such attempted liens. Subcontractor will notify all such material suppliers or workers of their right to file a claim against the Subcontractor’s payment bond in the event of payment dispute.”

ARTICLE 3. CONTRACTOR:

3.1 Definition.

A. Add subparagraph 3.1.2: “In the General Conditions, Supplementary General Conditions and Special Conditions, where the term “Contractor” appears alone and not preceded by “Mechanical”, “Electrical”, etc., it refers to the Construction Manager, RPR Construction Company, Inc. In the Technical Sections of this Specification and Plan Notes, the term “Contractor” refers to the subcontractor for the related Work Category.”

3.2 Review of Contract Documents.

A. Add the following to subparagraph 3.2.1: “The Contractor and Subcontractor shall compare all drawings and

verify the figures before laying out the work, and will be held responsible for any subsequent errors that might have been avoided by such check. When measurements are affected by conditions already established, the Contractor and Subcontractor shall take measurements in the field drawings. Deviations from the drawings and dimensions therein given, whether or not an error is believed to exist, shall be made only after authority is obtained from the Architect in writing.”

A. Add the following to subparagraph 3.3.1: Subcontractor working in trench excavation shall bear sole

responsibilities for design and execution of acceptable trenching and shoring procedures, in accordance with State of Texas HB 662 and HB 665. On trench excavations in excess of five feet in depth, Subcontractor shall pay a qualified engineer, experienced in the engineering, design and preparation of drawings and specifications for compliance with state requirements for trenching and shoring, to prepare and professionally seal detailed drawings and specifications directing Subcontractor in the safe execution of trenching and shoring. Costs for trenching and shoring engineering and execution shall appear as a pay line item in the “Schedule of Values.”

3.3.4 Add 3.3.4 as follows:

“Sub Contractor making excavations shall bear responsibility for design and execution of acceptable trenching and shoring procedures in accordance with Texas Government Code, § 2166.303 and Texas Health and Safety Code, Subchapter C, §§ 756.021, et seq. Contractor shall request separate payment for such work in accordance with such statutes.”

3.4.1.1. Add the following:

“Attention is called to Texas Government Code, Chapter 2258. Contractor and any subcontractor must pay not less than the prevailing rates of hourly wages in the locality at the time of construction to all laborers, workmen and mechanics employed by them in the execution of this Contract. In compliance with the Texas Government Code, Ch. 2258, Owner’s Board of Trustees has determined that the general prevailing rate of wages in the locality in which the work under this contract is to be performed which determination has been incorporated into the specifications for the Work. Rules regarding compliance and prevailing wage rates to be paid on this project are found in Owner’s Board Policy, CV(Legal) which provisions are incorporated here by this reference as if set forth at length. A copy of the policy will be made available upon request. The policy provides a procedure for complaints and enforcement of the prevailing wage rate and penalties for noncompliance by Contractor and Subcontractors.”

3.6 Taxes.

A. Add the following to subparagraph 3.6.1: State Sales Tax: The Owner qualifies for exemption from State

and Local Sales Tax pursuant to the provisions of Rule 3.322 Texas Tax Code 151-310; Texas Revised Civil Statutes Article 342-908. The Contractor performing this contract may purchase materials, supplies, equipment used or consumed in the performance of this contract by issuing to his suppliers and exemption certificate in lieu of the tax; said exemption certificate complying with the latest State Comptroller of Public Accounts Ruling No. 3.287 as amended to be effective November, 1984. In the event that any change in State Law should require the Contractor to pay Sales Tax, the Owner shall reimburse the Contractor for any such sums expended.

3.6.1 Add the following:

“Contractor shall not include in the Contract Price or any Modification any amount for sales, use, or similar taxes for which (1) a Texas school district is exempt, and (2) Owner has provided Subcontractor with a tax exemption certificate or other documentation necessary to establish Owner’s exemption from such taxes.”

3.7 Permits, Fee and Notices. A. Change subparagraph 3.7.1 to read: The Contractor shall secure and pay for the building permit. Each

Subcontractor shall secure and pay for all other permits and governmental fees, licenses and inspections necessary for the proper execution and completion of his work. The contractor shall also obtain all permits and approvals and pay all fees and expenses, including engineering cost, if any, associated with National Pollutant Discharge Elimination System (NPDES) regulations administered by the Environmental Protection agency (EPA) and local authorities, if applicable, that require completion of documentation and / or acquisition of a “Land Disturbing Activities Permit” for the project.

B. Add the following to subparagraph 3.7.3: If the applicable laws, statutes, building codes or regulations

conflict with the specifications, the laws, etc. shall govern except where the specifications exceed them in quality or quantity of labor or materials.

3.8 Allowances.

A. Subparagraph 3.8.1 is supplemented by the addition of the requirements specified in Special Conditions. 3.10 Progress Schedule. A. Change subparagraph 3.10.1 to read: In collaboration with the various Subcontractors, the Contractor shall

prepare a bar graph progress schedule that integrates all the major activities of the Contractor and Subcontractors and that meets the time requirements of Article 8. The Contractor shall determine the sequence of all such work activities. There will not be any extensions of time granted on this project. The Owner desires to complete as soon as possible but not later than July 1, 2017. Note, Weekend work as well as overtime will be required.

B. Add subparagraph 3.10.4: Weekly progress meetings shall be held at the job site. Field supervisors from

each Subcontractor working “on site” shall attend all such meetings.

“3.10.4 - Days. The term day shall mean a calendar day of 24 hours commencing at 12:00 midnight. The term working day shall mean a calendar day except Saturdays, Sundays and legal holidays at the site of the Project. The term weather day shall mean a working day at the site of the Project whereby weather conditions prevent the normal execution of the work. All weather and work days shall be recorded with actual dates by the job superintendent, the reason for the claim and a description of the work unable to proceed that date, and submitted to the Architect for verification by the Owner prior to each month’s application for payment. Attach a record of all weather and work days as verified by the Owner with each application for payment. Submittal of any requested weather days to the Architect must occur on a weekly basis. Any submittal past 21 calendar days will not be considered.”

C. Add subparagraph 3.10.5: Weekly progress meetings shall be held at the job site. The Architect and the

Contractor may provide the services of qualified main office personnel at each such meeting. Each Subcontractor shall provide the services of qualified main office personnel and his field supervisor at each progress meeting until completion of his subcontract.

D. Add subparagraph 3.10.6: Contractor reserves the right to assist the various Subcontractors in the expediting

of their material and equipment deliveries without assuming the responsibility for said deliveries. Upon request, the Subcontractor shall furnish copies of their equipment and material purchase orders complete with scheduled shipping and receiving dates to the Contractor.

E. Add subparagraph 3.10.7: When it becomes apparent from the monthly progress meeting that any activity

completion date may not be met, the responsible Subcontractor shall take some or all of the following actions at no additional cost to the Owner or the Contractor: 1. Increase construction manpower in such quantities as will eliminate the backlog of work and put the

Project back on schedule. 2. Increase the number of working hours per shift, shifts per working day, working days per week, or the

amount of construction equipment, or any combination of the foregoing as will substantially eliminate the backlog of work and put the Project back on schedule.

3. Reschedule activities to achieve maximum practical concurrence of accomplishment of activities and put the Project back on schedule.

If a Subcontractor fails to take any of the above actions, the Contractor shall take action to attempt to put the Project back on schedule, and deduct the cost of such actions from the monies due or to become due the Subcontractor.

3.11 Documents and Samples at the Site.

A. Change subparagraph 3.11.1 to read: The Contractor shall maintain at the site for the Owner one copy of all Drawings, Specifications, Addenda, Change Orders and other Modifications, in good order and marked currently to record all changes made during construction, and approved Shop Drawings, Product Data and Samples. These shall be available to the Architect.

B. Add subparagraph 3.11.2: Each Subcontractor shall maintain at the site, one copy of all Drawings,

Specifications, Addenda, approved Shop Drawings, Change Orders and Modifications, in good order and marked currently to record all changes made during construction relating to his work. Each Subcontractor shall keep the Contractor informed of all such changes.

C. Add subparagraph 3.11.3: At the completion of the Work, each Subcontractor shall submit “Record”

drawings to the Contractor who, in turn, will forward said drawings to the Architect.

3.12 Shop Drawings, Product Data and Samples.

A. Add the following to subparagraph 3.12.4: Shop drawings product data and samples shall be submitted by subcontractors and material suppliers in sufficient quantity to allow Architect / Contractor to retain four (4) copies and return the number of copies required by subcontractor or material supplier.

B. Add the following to subparagraph 3.12.6: The subcontractor shall not be relieved of responsibility for any

deviation from the requirements of the Contract Documents by the Contractor’s approval thereof.

3.13 Add the following:

“Contractor and all subcontractors shall comply with Owner’s rules and regulations prohibiting weapons, drugs, tobacco, and sexual harassment on Owner’s property. Contractor shall ensure that on-site fraternization shall not occur between all construction personnel and Owner’s students, employees, and patrons.”

3.18.1 Modify 3.18.1 as follows:

A. The font should be all caps, 12 pt, bold to comply with Texas case law regarding the conspicuousness of indemnity provisions.

B. Remove the words “but only” from the sixth line and add the words “WILFUL OR” before the word “negligent”

in the seventh line.

C. Add the following before the last sentence: “THE INDEMNITY PROVIDED IN THIS PARAGRAPH SHALL NOT APPLY TO ANY CLAIM THAT ARISES FROM THE SOLE NEGLIGENCE OF OWNER, OWNER’S CONSULTANTS, ARCHITECT, OR ARCHITECT’S CONSULTANTS UNMIXED WITH THE FAULT OF ANY OTHER PERSON OR ENTITY; PROVIDED THAT WHERE THE NEGLIGENCE OF OWNER OR ARCHITECT IS A CONCURRING CAUSE, CONTRACTOR’S OBLIGATION TO INDEMNIFY IS LIMITED TO THE AMOUNT NECESSARY TO CAUSE THE RELATIVE LIABILITY OF OWNER, ARCHITECT, AND CONTRACTOR TO REFLECT THE COMPARATIVE NEGLIGENCE FINDINGS OF A TRIER OF FACT OR AS AGREED IN A SETTLEMENT AGREEMENT TO WHICH OWNER, ARCHITECT, AND CONTRACTOR ARE ALL PARTIES.”

ARTICLE 4. ARCHITECT: 4.2 Administration of the Contract.

A. Add the following to subparagraph 4.2.2: Inspectors, employed by the Architect, shall be authorized to inspect all work executed and materials furnished. Such inspection may extend to all or any part of the work, and to the preparation or manufacture of the materials to be used. In case of any dispute arising between the Contractor and the Inspector as to materials furnished or the manner of performing the work, the Inspector shall have the authority to reject material or suspend the work until the question at issue can be referred to and decided by the Architect.

4.2.13 Modify 4.2.13 by changing “Architect’s” to “Owner’s”

ARTICLE 5. SUBCONTRACTORS:

5.1.3 Add the following as a new subparagraph 5.1.3

“Contractor shall promptly notify Owner and Architect of any material default by any sub- contractor. Owner has not agreed and will not agree, expressly or implicitly, to allow any sub-contractor, materialman, or workman employed by Contractor the right to obtain a personal judgment or to create a lien against Owner for any amount due from Contractor.”

5.2 Award of Sub-Subcontracts and other Contracts for Portions of the Work.

A. Add the following to subparagraph 5.2.1: Within fifteen (15) days after award of subcontract, each

Subcontractor shall furnish the Contractor with the list of proposed sub-subcontractors, equipment and material suppliers, along with the description of the corresponding item of Work.

Change the first sentence of subparagraph 5.3.1 to read: The Subcontractor shall be bound to the Contractor by the terms of the Contract Documents, and shall assume toward the Contractor all the obligations and responsibilities which the Contractor, by these Documents, assumes toward the Owner and the Architect.

ARTICLE 7. CHANGES IN THE WORK:

7.2 Change Orders.

A. Add subparagraph 7.2.3: The cost or credit to the Owner for work covered by approved changes shall be determined on the basis of either: 1. A previously agreed upon and approved lump sum, or, if no agreement can be reached. 2. The actual cost of the work.

B. All lump sum proposals shall include a detailed cost breakdown for each component of work indicating both

quantities and unit prices and shall be submitted to the Contractor within one (1) week after receipt of the proposal request. The actual cost of the work shall be based upon: 1. Labor (including Social Security Insurance, Workman’s Compensation Insurance, Unemployment

Insurance, Welfare Contributions and other fringe benefits) 2. Materials 3. Applicable Taxes 4. Equipment Rentals 5. Sub-subcontractors’ cost (including not more than 10% sub-subcontractor overhead and profit) 6. Subcontractor Overhead and Profit - To the above items 1, 2, 3 and 4 there shall be maximum

compensation of 10% to cover cost of supervision (job and office), overhead, bond, profit and any other general expenses. To item 5 there shall be added a fixed fee of five percent (5%).

C. All labor, material and equipment expenditures for work performed at actual cost shall be approved daily by

the Contractor. Material invoices shall be presented to the Contractor with all payment requests.

D. Add subparagraph 7.2.4: Claims for additional compensation, an account for extra work done, will not be recognized unless such extra work has been authorized, in advance and in writing by the Owner and the method to be followed in computing the same, shall be agreed upon in advance and shall be incorporated in the written authorization above required.

E. Add subparagraph 7.2.5: Owner hereby assigns to Contractor any and all claims for overcharges associated with this Contract which arise under the antitrust laws of the United States, 15 USCA Sec. 1 et. seq. (1972).”

ARTICLE 8. TIME:

8.1 Definitions.

A. Change subparagraph 8.1.1 to read: The Contract time is the period of time allowed in the Contract Documents for Substantial Completion of all Work Categories as defined in subparagraph 8.1.3, including authorized adjustments thereto. The time requirements of each individual / Subcontractor shall be in accordance with the duration established in the Progress Schedule. See preliminary Progress Schedule in Section 00800 of these specifications. There will not be any extensions of time granted on this project. The Owner desires to complete as soon as possible but not later than July 1, 2017.

B. Change subparagraph 8.1.2 to read: The Contract Time shall commence on the date of the Contract.

8.2 Progress and Completion.

A. Add the following to subparagraph 8.2.1: The Owner desires to occupy this facility as soon as possible.

Owner will occupy areas as they are completed. There will not be any extensions of time granted on this project. The Owner desires to complete as soon as possible but not later than July 1, 2017.

8.3 Delays and Extension of Time.

A. Add the following to subparagraph 8.3.1: If the Contract Time is extended pursuant to this subparagraph, such extension shall be the exclusive remedy of the Subcontractors, and said Subcontractors shall not be entitled to recover damages from the Owner, the Contractor or the Architect.

9.2 Schedule of Values.

A. Add the following to subparagraph 9.2.1: Each Subcontractor shall submit a Schedule of Values to the Contractor fifteen (15) days after the award of subcontract.

9.3 Application for Payment.

A. Change subparagraph 9.3.1 to read: On or before the 20th day of each month, each Subcontractor shall submit to the office of the Contractor an itemized partial payment request supported by such data substantiating the Subcontractor’s right to payment as the Owner, the Architect or the Contractor may require for work completed during the previous calendar month and as estimate of the cost of work to be completed during the next calendar month. The Contractor shall process the partial payment request of each Subcontractor and present it along with his recommendations to the Architect within five (10) days. Contractor and Supplier payment requests submitted after the 20th day of the month shall not be processed until the following month.

B. Add the following sentence to subparagraph 9.3.2: Payments will not be made on account of materials or

equipment stored off-site in a bonded warehouse and insured. C. Add subparagraph 9.3.4: Subcontractor partial payment requests, submitted on AIA Documents G702,

G702A and G703 shall be based upon one hundred percent (100%) of the value of the work installed and for the actual invoice amount of materials and equipment suitably stored and protected at the site, less ten percent (10%) retainage. The first payment will be made to the Subcontractor without lien waivers. Subsequent partial payment requests must be accompanied by lien waivers from the Subcontractor and his subcontractors, and sub-subcontractors and suppliers for the principal portions of the Work, amounting to one hundred percent (100%) of the partial payment that was paid to the Subcontractor for the previous calendar month. All lien waivers must show the amount paid. A ten percent (10%) retainage will be held on Subcontractor until substantial completion.

9.6 Progress Payments

A. Change subparagraph 9.6.2 to read: Payments to each of the Subcontractors shall be made within (10) ten days from date Contractor receives payment from Owner.

9.8 Substantial Completion.

A. Change subparagraph 9.8.2 to read: Within thirty (30) days after the Certificate of Substantial Completion has been issued for a given Work Category, the Contractor shall be paid a sum sufficient to increase the total payments to one hundred percent (100%) of the Subcontract amount, less such retainage as the Architect deems equal to the cost of all incomplete work and unsettled claims. Payments to the Subcontractor shall be made within (10) ten days after payment has been received by the Contractor.

9.10 Final Completion and Final Payment

A. Add the following to subparagraph 9.10.1: Final payment for a given Work Category constituting the entire unpaid balance of the Subcontract amount shall be paid by the Owner to the Contractor thirty (30) days after a final Certificate for Payment has been issued by the Architect. Final payments (not including retainage) to the Subcontractor shall be made within (10) ten days after the Contractor has received payment from the owner provided all Closeout Documents have been received from Subcontractor.

ARTICLE 10. PROTECTION OF PERSONS AND PROPERTY:

10.2 Safety of Persons and Property.

A. Add the following to subparagraph 10.2.2: Each Subcontractor shall be responsible for the safety of persons and property and compliance with all Federal, State and local statutes, rules, regulations and orders. Each Subcontractor shall be responsible for the payment of all fines levied against the Owner, Architect or Contractor for any damages or liability resulting from any claim made by or on behalf of any employee of the Subcontractor relating to the conduct of the work by said Subcontractor.

ARTICLE 11. INSURANCE:

A. Add the following to subparagraph 11.1.2: Coverage shall be written on a Comprehensive General and Automobile Liability form and shall include contractual liability insurance as applicable to the Contractor’s obligations under Paragraph 4.18. Coverage shall also include the perils of explosion, collapse and underground liability (XCU); Personal injury; Broad Form Property Damage including Completed Operations; and Completed Operations insurance. Completed Operations insurance shall remain in effect for five (5) years after substantial completion of the Project.

B. Add subparagraph 11.1.4: The Contractor shall see that certificates of insurance are furnished to the

Architect for transference to the Owner by the carriers of coverage outlined in paragraph above and below before work commences under the Contract, such certificates to identify each coverage by policy number, limits of liability, inception, expiration dates and to provide that in event of cancellation, or material changes in any coverage, the Owner shall be given thirty (30) days advance written notice prior to effective date of such cancellation or material change.”

C. Add subparagraph 11.1.5: Each Subcontractor shall procure and maintain during the life of his Subcontract,

insurance of the type and in the same amount as listed in this Article. Certificates of Insurance shall be submitted by each Subcontractor to the Contractor no later than thirty (30) days prior to the commencement of his Work (except for Subcontractors who are scheduled to start work immediately after award of subcontract, who must submit prior to moving on-site). No Subcontractor and Sub-Subcontractor shall be allowed to continue on site after the expiration of full insurance coverage. RPR Construction Company, Inc., PBK Architects, Inc. and Tyler Independent School District will be named as additional insured on all policies. Subcontractor partial payments shall be withheld until current Certificates of Insurance are submitted to the Contractor.

D. Add subparagraph 11.1.6: Worker’s or Workmen’s Compensation as required by applicable state laws and

adopted Amendment 110.110, adopted October 12, 1995. Copy is available for review in RPR Construction Company, Inc.’s office. This insurance will include the following features and the certificates will so indicate: 1. Waiver of Subrogation 2. 30-Day Notice of Cancellation

E. Add subparagraph 11.1.7: Comprehensive General Liability with Bodily Injury and Property Damage limits

of not less than One Million Dollars ($1,000,000) combined single limit per occurrence. This will include the following features and the certificates will so indicate: 1. Contractual Liability covering the above indemnity agreement 2. Products Liability, including completed operations coverage any work performed under this contract 3. Coverage for explosion, collapse or underground damage arising out of the work 4. Waiver of Subrogation 5. 30-Day Notice of Cancellation 6. Additional Insured Endorsement (applies to premises, operations, products and completed products) 7. Policy should not contain exclusion regarding damage to your work performed by subcontractors on

your behalf. 8. Policy should not exclude coverage for claims resulting from an uninsured subcontractor.

F. Add subparagraph 11.1.8: Comprehensive Automobile Liability covering all owned, non-owned and hired

vehicles with Bodily Injury and Property Damage limits of not less than One Million Dollars ($1,000,000) combined single limits per occurrence. Include Waiver of Subrogation, 30-Day Notice of Cancellation and Additional Insured Endorsement.

G. Add subparagraph 11.1.9: Owner’s Protective Liability with One Million Dollars ($1,000,000) combined

single limits for both bodily injury and property damage liability. H. Add subparagraph 11.1.10: Subcontractors shall have Two Million Dollars ($2,000,000) umbrella policy.

11.1.4 Add the following as a new subparagraph 11.1.4

“Contractor’s Workers’ Compensation Coverage shall comply with the terms of 28 Tex. Admin. Code. § 110.100(c)(7) and Owner’s Policy CV(Legal) as incorporated into the article 8 of the Agreement.”

11.4 Property Insurance

A. Add subparagraph 11.4.11: The Owner will provide all Builders Risk insurance policy with Subcontractors being named as additional insured. In case of Subcontractor loss, Subcontractor shall be responsible for any deductible.

11.5 Performance Bond and Labor and Material Payment Bond

A. Add subparagraph 11.5.3: Subcontractor Performance and Labor and Material Payment Bonds will be a requirement for Work Category #’s N/A. Construction Manager and Owner may require the other successful bidders to furnish Performance and Labor and Material Payment Bonds, each in the amount of 100% of his subcontract amount and written in favor of RPR Construction Company, Inc. The cost of said bonds shall be added to the Bid Proposal and will be included in the Subcontract. Bonds shall be provided by a bonding company that is listed on the United States Department of Treasury List as a Certified Surety Company.

11.5.1 Replace with the following:

“Contractor, Subcontractor and Suppliers shall provide performance bond an payment bond in compliance with article 8.3 of the Agreement.”

13.6.1 Replace with the following:

“Payments due and unpaid under the Contract Documents shall bear interest in accordance with the Texas Prompt Payment Act, Tex. Gov’t Code Ann., Chap. 2251.”

ARTICLE 12. UNCOVERING AND CORRECTION OF WORK:

12.2 Correction Work

A. Add the following to subparagraph 12.2.2: For the purpose of establishing the guarantee period, the Date of Substantial Completion shall be deemed to occur when Certificates of Substantial Completion have been issued for all Work Categories for this phase of the Project. In the case of Owner use and occupancy of a portion of the Work prior to completion of this phase of the Project, the guarantee period for said portion of Work shall commence upon the date of Owner occupancy. Completion of future phases of the Project shall not affect the guarantee period for work performed during this phase.

B. Add subparagraph 12.2.6: In the case of minor repairs to newly finished interior surfaces of the building (not

covered by Property Insurance), the cost of said repairs shall be prorated to the Subcontractors in proportion to the manpower employed during the period when damage occurred, unless it can be determined which Contractor is responsible for said damage. In this case, said Subcontractor shall pay all damages.

the Contractor in this Article. B. The SITEWORK Subcontractor (Work Category #2A) shall:

1. Lay out all site work including final grades at curbs, walks, retaining walls, and other site improvements.

1.3 Other Subcontractors

A. Other Subcontractors shall lay out all work required to complete his particular Work Category except as noted to be performed by the Contractor in this Article.

1.4 Construction Manager will pay for services of Registered Professional Land Surveyor as required for As-Builts

ARTICLE 2. FIELD OFFICES

2.1 Contractor

A. The Contractor shall provide a telephone for use of Subcontractors in making local calls only.

2.2 Subcontractor

A. Each Subcontractor shall provide a field office for his exclusive use as required. ARTICLE 3. PROJECT SIGNS

3.1 Project Signs A. The Contractor shall furnish and install one (1) Project Sign on the site where directed by the Architect and

Owner. The sign shall be 4’x8’ in size, constructed of metal or wood frame, with ¾” thick exterior grade plywood surface, and supported by two (2) 4’x4” wood posts, properly braced. All surfaces of sign and frame shall be painted with two (2) coats of exterior paint and lettered thereon shall be the following information:

Name of Project, name of Owner, name of Architect, and name of the Contractor B. No other Project Signs shall be allowed. ARTICLE 4. TEMPORARY STORAGE

4.1 Each Subcontractor shall provide suitable and sufficiently enclosed and covered spaces, with raised flooring, to protect materials and equipment from damage by weather or construction work.

4.2 Temporary structures and sheds shall be arranged to avoid interfering with construction. Location shall be approved

be the Contractor.

4.3 Upon completion of the work, or sooner if directed by the Contractor, each Subcontractor shall remove his temporary structures and sheds and remove all debris and rubbish and place the area in a clean and orderly condition.

ARTICLE 5. WATCHMAN

5.1 The services of a watchman will not be provided by either the Owner or the Contractor. ARTICLE 6. TEMPORARY TOILET FACILITIES 6.1 The Contractor shall provide and maintain adequate chemical toilet facilities in a clean and sanitary condition for the

use of all Subcontractors. ARTICLE 7. DRINKING WATER 7.1 Each Subcontractor shall provide his own drinking water and cups. All trash must be properly disposed. ARTICLE 8. TEMPORARY ELECTRICAL POWER AND LIGHTING

8.1 The ELECTRICAL Subcontractor (Work Category # 26A) shall furnish, install, and maintain a complete temporary electrical service and distribution system and temporary lighting for use by all Subcontractors during the construction period. Note, during phase 1 while the gear is being switched the electrical subcontractor will provide a generator for the other trades to use and will maintain the generator until the main power is restored.

8.2 Any electrical requirements for power or lighting beyond those listed in this Article shall be the responsibility of the

Contractor requiring them. 8.3 Overtime work requiring standby electricians shall be at the expense of the Subcontractor requiring same. 8.4 Installation of temporary electrical power and lighting shall be as scheduled by the Contractor. 8.5 All temporary electrical installations shall be in compliance with the latest National Electrical Code (NEC) or

OSHA, whichever is more stringent. Compliance with NEC Section 210-8 (b) shall be the responsibility of the ELECTRICAL Subcontractor, including all testing which may be required.

8.6 The ELECTRICAL Subcontractor (Work Category #26A) shall completely remove the temporary electrical service

and distribution system when directed to do so by the Contractor. The Subcontractors responsible for the installation of all ceilings and partitions shall patch their work as necessary after removal of the temporary electrical system at no additional cost to the Contractor or Owner.

8.7 The Contractor shall pay for all electrical energy consumed during the construction period except for energy

consumed to provide power or lighting in excess of those listed in this Article. As required, the subcontractors shall provide their own portable generators at no additional cost to the Contractor or Owner.

ARTICLE 9. TEMPORARY WATER SUPPLY 9.1 The PLUMBING Contractor (Work Category # 22A) shall furnish, install and maintain a temporary water supply

system for his use during the construction period.

9.2 The Contractor shall pay for all water consumed during the construction period. ARTICLE 10. BUILDING ENCLOSURE 10.1 Building Enclosure of a portion of the new structure shall be defined to occur when exterior sheathing and

temporary interior wall enclosures (polyethylene sheets) are in place, and temporary closures have been installed at all wall and roof openings, thereby enclosing said portion of the new structure. The Contractor shall provide and maintain the temporary interior wall enclosures and the temporary closures at all openings.

11.1 The Contractor shall not provide a temporary materials hoist. 11.2 Each Subcontractor shall provide the hoisting equipment necessary to complete his subcontract. ARTICLE 12. TEMPORARY LADDERS 12.1 Each Subcontractor shall provide his own ladders until the metal decking for a given floor is in place, at which

time the Contractor shall furnish, install and maintain all necessary ladders. ARTICLE 13. SCAFFOLDING 13.1 Each Subcontractor shall be responsible for his own scaffolding. ARTICLE 14. TEMPORARY BARRICADES

14.1 All protection and safety barricades, devices, covers, etc., shall be provided by each Subcontractor as it relates to the safe conduct of his Work in accordance with all local, State and Federal regulations.

ARTICLE 15. CONSTRUCTION STORM WATER POLLUTION PREVENTION PLAN 15.1 All firms working on this project will abide by the above mentioned plan and be required to sign Part 10 of plan

bound in the back of this specifications Section. ARTICLE 16. FIRE EXTINGUISHERS 16.1 Each Subcontractor shall furnish fire extinguishers in accordance with OSHA requirements for temporary fire

protection during construction. ARTICLE 17. ADJACENT STREETS 17.1 Each Subcontractor shall be responsible for the necessary cleaning and repairing of adjacent streets and parking

lots resulting from said Subcontractor’s operations. ARTICLE 18. TEMPORARY FENCE 18.1 The Contractor shall provide temporary fencing unless identified to be by a Work Category. ARTICLE 19. PUMPING AND DRAINAGE 19.1 All pumping necessary to keep site utility lines, sewers, manholes and meter pits excavations free from water shall

be the responsibility of the Subcontractor who is responsible for said excavations. Do not discharge water on adjoining property.

19.2 All pumping necessary to keep building and site excavations free from water shall be the responsibility of the

SITE WORK (Work Category # 2A), UTILITIES (Work Category # 2E), GENERAL WORK (Work Category # 1A), CONCRETE (Work Category # 3A), FIRE SPRINKLER (Work Category # 21A), PLUMBING (Work Category # 22A), HVAC (Work Category # 23A) and ELECTRICAL (Work Category # 26A) Subcontractors. He shall construct or maintain a temporary site surface drainage system. Do not discharge water on adjoining property.

19.3 The CONCRETE Subcontractor (Work Category # 3A) shall be responsible for keeping the new building and

adjacent overdig free from water until said building is watertight and backfilled. ARTICLE 20. BLOCKING, BACKING AND GROUNDS 20.1 Each Subcontractor shall be responsible for providing the blocking, backing and grounds necessary for the

installation of his work, unless shown to be wood on the Architectural or Structural Drawings, in which case said blocking, backing or grounds shall be provided by the GENERAL WORK Subcontractor (Work Category # 1A).

21.1 Each Subcontractor shall be responsible for furnishing the necessary access panels for items of work installed under his Subcontract.

21.2 Installation of all access panels shall be the responsibility of the Subcontractor erecting the wall or ceiling system. 21.3 If not specified, these access panels shall be approved by the Architect prior to installation. ARTICLE 22. FELONY CONVICTION NOTIFICATION 22.1 State of Texas legislative Senate Bill No. 1, Section 44.034, Notification of Criminal History, Subsection (a) states

“a person or business entity that enters into a contract with a school district must give advance notice to the district if the person or an owner or operator of the business entity has been convicted of a felony. The notice must include a general description of the conduct resulting in the conviction of a felony”. This has been revised by Senate Bill 9 which directs school district contractors to obtain state and national criminal history background searches on all individuals who will be on a school construction site adjacent to a school that is occupied by students. RPR Construction Company, Inc. will require a list of all employees who will be working on the site at least ONE WEEK prior to employees first scheduled day at the site. At this time (one week prior to being onsite) the employee will need to take the Fast Fingerprint Pass form (available to subcontractors through RPR Construction Company, Inc.) to the nearest FAST Contractor location for fingerprinting. The nearest location for fingerprinting is at 3408 SSW Loop 323 in Tyler. Please note that appointment must be made with the FAST Contractor for fingerprinting; a fee of $44.20 will be due at the time of fingerprinting. This may be paid by personal check, cashiers check, or money order. The fee may also be paid during appointment scheduling over the phone. This cost will be paid by the subcontractor employing the individual being fingerprinted. You may contact RPR Construction Company, Inc. or the Texas Department of Public Safety Access and Dissemination Bureau at 512.424.2365 with any questions concerning this matter. NO EMPLOYEE WILL BE ALLOWED ONSITE UNTIL THEY ARE FINGERPRINTED AND RETURN THE POSTCARD RECEIVED AT THE TIME OF FINGERPRINTING TO RPR CONSTRUCTION COMPANY, INC.

22.2 Subsection (b) states “a school district may terminate a contract with a person or business entity if the district

determines that the person or business entity failed to give notice as required by Subsection (a) or misrepresented the conduct resulting in the conviction. The district must compensate the person or business entity for services performed before the termination of the contract”.

ARTICLE 23. APPLICABLE LAW

23.1 This agreement shall be governed by the IBC 2006 Code. Wherever the term “Code” is used, it shall be construed as meaning the IBC 2006 Code as adopted in the State of Texas effective and in force on the date of this agreement.

ARTICLE 24. VENUE 24.1 All parties agree that venue for any litigation arising from this contract / project shall lie in Smith County, Texas. ARTICLE 25. ANTI-KICKBACK ACT (18 USD 874) 25.1 All contracts and subgrants for construction or repair shall include a provision for compliance with Copeland

“Anti-Kickback” Act (18 USD 874) as supplemented in Department of Labor Regulations (29 CFR, Part 3). This Act provides that each contractor or subgrantee shall be prohibited from inducing, by any means, any person employed in the construction, completion or repair of public work, to give up any part of the compensation, to which he is otherwise entitled. School districts shall report all suspected or reported violations to the Texas Education Agency.

ARTICLE 26. COMPLIANCE REQUIREMENTS 26.1 Items below apply to and become a part of terms and conditions of any subsequent contract unless superseded by

any attached terms and supplemental conditions or specifications in which case attached condition will prevail. Any exceptions must be in writing. Successful offeror must comply with the following federal laws regarding contracts: A. Contract Work Hours and Safety Standards Act, Section 103 and 107 (40USC327-330O) B. Equal Employment Opportunity Act C. Energy Policy and Conservation Act (PL 94-163)

ARTICLE 27 LEGAL REMEDIES 27.1 Violation or breach of the federal requirements entitled “Contract Work Hours and Safety Standards Act”, “Equal

Employment Opportunity Act” and “Energy Policy and Conservation Act” may be grounds for termination of the contract and debarment from future awards.

27.2 For contracts awarded in excess of $10,000 by the school district, successful proposer and their contractors or

subgrantees must be in compliance with executive order 11246 “Equal Employment Opportunity” as amended by executive order 11375 and as supplemented by Department of Labor Regulations (41CFR Part 60) - Executive Order #1 1246, as amended, prohibits job discrimination because of race, color, religion, sex or national origin and requiring affirmative action to insure equality of opportunity in all aspects of employment.

27.3 The successful offeror must agree to provide to the school district, the Texas Education Agency, the Comptroller

General of the United States or any other duly authorized representative access to any books, documents, papers and records of the contractor which are directly pertinent to that specific contract for the purpose of making audit, examination, excerpts and transcriptions. Successful offeror must also agree to maintain all required records for five (5) years after the school district makes final payment and all other pending matters are closed.

27.4 For contracts awarded by the school district for $25,000.00 or more, the successful offeror and subgrantees must

comply with Section 103 and 107 of the Contract Work Hours and Safety Standard Act (40USC327-330) as supplemented be Department of Labor Regulations (29 CFR, Part 5) Section 103 - Each contractor is required to compute wages of every laborer and mechanic on the basis of a standard workday of eight hours and a standard workweek of 40 hours. Work in excess of eight hours per day or forty hours per week shall be compensated at a rate of not less than 1 ½ times the basic rate of pay. No contractor may require a laborer or mechanic to work in surroundings or under working conditions which are unsanitary, hazardous, or dangerous to his / her health and safety as determined under construction, safety and health standards promulgated by the Secretary of Labor.

27.5 Successful offeror must comply with mandatory standards and policies relating to energy efficiency which are

contained in the State Energy Conservation plan issued in compliance with the Energy Policy and Conservation Act (PL 94-163).

ARTICLE 28. TOBACCO FREE PROJECT 28.1 The district has a policy prohibiting the use of tobacco products on district property. This policy will be enforced

on this Project. Contractors shall comply with all aspects of this policy, including but not limited to, removing employees from the Project site who use tobacco products on the Project site.

ARTICLE 29. CLEANING UP

29.1 The CONTRACTOR shall: A. Oversee cleaning and ensure that building and grounds are maintained free from accumulations of waste

materials, rubbish and debris. B. Remove all undefinable debris and prorate the cost of such employed during the time period. C. Remove from the site all waste materials, rubbish and debris after placement in the trash containers. D. Leave the work “broom clean”.

29.2 Each SUBCONTRACTOR shall:

A. Clean up all waste materials, rubbish and debris resulting from his own operations at such frequencies as required by the Contractor - a minimum of once per week.

B. Place waste materials, rubbish and debris outside of building in trash containers provided by Sub Contractor.

C. Remove grease, dust, dirt, stains, labels, fingerprints and other foreign materials from interior and exterior surfaces of fixtures, hardware and equipment furnished as a part of his subcontract.

D. Repair, patch and touch-up marred surfaces to match adjacent finishes damaged by his own operations. 29.3 If the Subcontractor fails to comply with the requirements of this Article, the Contractor shall perform the

necessary clean-up and deduct the cost of such work from the money due or to become due to said Subcontractor. ARTICLE 30. CLOSE-OUT DOCUMENTS 30.1 Prior to final payment before the issuance of a final certificate for payment in accordance with provisions of the

AIA General Conditions, file the following documents with the Architect: A. Final Certificate for Payment (G702 and G702A) in triplicate

30.1.1 After completion of the work, certify by endorsement the following affidavits. These affidavits are bound at the

end of this section. A. Affidavit of Non-Use of Asbestos B. Contractors Lead Free Affidavit C. Subcontractors / Material Suppliers Affidavit D. Affidavit of Non-Use of Urea-Formaldehyde E. Contractors Affidavit

30.2 The guarantee (in duplicate) required by the AIA General Conditions and any other extended guarantee stated in

the technical sections of the specifications shall be required.

30.3 Furnish three (3) complete sets of manuals containing the manufacturer’s instructions for maintenance and operation of each item of equipment and apparatus furnished under the Contract and any additional data specifically required under the various sections of the Specifications. Arrange the manuals in proper order, indexed and suitably bound. Certify by endorsement thereon that each of the manuals is complete and accurate. Assemble these manuals for all divisions of the work, review them for completeness and submit it them to the Contractor.

30.4 As the work progresses, keep a complete and accurate record of changes or deviations from the Contract

Documents and the shop drawings, indicating the work as actually installed. Changes shall be neatly and correctly shown on the respective portion of the affected document, using mylar sepia and blue line print of the Drawings affected or the Specifications, with appropriate supplementary notes. This record set of Drawings, shop drawings and Specifications shall be kept at the job site for inspection by the Architect and Owner.

30.4.1 The records above shall be arranged in order, in accordance with the various sections of the specifications, and

properly indexed. At the completion of the work, certify by endorsement thereon that each of the revised prints of the Drawings and Specifications is complete and accurate.

30.4.2 Prior to application for final payment, and as a condition to its approval by the Architect and Owner, deliver the

record Drawings and Specifications, arranged in proper order, indexed and endorsed as herein before specified.

30.4.3 No review or receipt of such records by the Architect, Contractor or Owner shall be a waiver of any deviation from the Contract Documents or the shop drawings or in any way relieve the Contractor from his responsibility to perform the work in accordance with the Contract Documents and the shop drawings to the extent they are in accordance with the Contract Documents.

ARTICLE 31. USE AND OCCUPANCY OF COMPLETED PORTIONS OF THE WORK 31.1 The Owner shall have the right to take possession of any completed portion of the Work provided the Architect

has issued the Certificate of Substantial Completion for said portion of Work. ARTICLE 32. ALLOWANCES (By Construction Manager)

32.1 BUILDING BETTERMENT ALLOWANCE: A lump sum of $ TBD shall be allowed for by Construction Manager.

ARTICLE 33. ALTERNATES

1. Alternate 1 – Provide decorative metal fencing and pilasters as shown in contract documents. Provide ticket booths and canopy at three (3) locations as indicated in contract documents. Provide asphalt top coat and re-strip parking lot as shown in contract documents. 2. Alternate 2 – Provide visitor side access drive, stairs and ramp as shown in contract documents. Refer to demo plans for additional scope at alternate. 3. Alternate 3 – Install new LED stadium lighting provided by Owner. 4. Alternate 4 – Provide new sound system. Refer to MEP documents.
