CHARTER

WHERAS, certain citizens and residents of Rota Island, Mariana Islands District, have

associated themselves for the purpose of forming a body corporate to conduct business under the

laws of the Trust Territory of the Pacific Islands, submitting Articles of Incorporation and By-

Laws which have been reviewed and approved.

NOW, THEREFORE, pursuant to Section 1116 of the Trust Territory Code and the

authority vested in me as High Commissioner, the ROTA PRODUCERS ASSOCIATION is

hereby constituted a body cooperate and granted a charter to conduct business necessary or

related to raising and marketing agricultural produce on a cooperative basis in its corporate name

and with full rights to contract and be contracted with, sue and be sued and do all things

necessary and proper to carry on such business within the scope of its Articles of Incorporation

and duly adopted and approved By-Laws, subject to the following conditions:

1. The Association shall keep such books and accounts as will clearly reflect income

and the equities of its members.

2. The books of the association shall be open to inspection by an authorized

representative of the Trust Territory Government at all reasonable times.

3. The Association shall pay all license fees and taxes imposed by law and shall make

such reports as may be required by the Government from time to time.

4. If at any time an inspection of the books and records of the Association by an

authorized representative of the Government reveals impairment

of capital or management practice endangering the solvency of the Association the High

Commissioner may take such steps as are necessary to protect the equities of creditors

and members of the Association, including the appointment of a receiver and dissolution

of the Association.

IN WITNESS WHEREOF the foregoing Charter of the ROTA PRODUCERS

ASSOSIATION is granted by and pursuant to the authority vested in the undersigned by

Section 1116 of the Code of the Trust Territory of the Pacific Islands, provided, however

that this Charter shall be subject to amendment, suspension, or revocation by any future

law, proclamation, regulation or special order of the High Commissioner applicable

thereto having the force of law.
