I. School AgreementMicrosoft School Agreement is an annual, subscription licensing program specifically created to address the unique needs of primary andsecondary education organizations. With the simplicity of counting computers just once per year, School Agreement makes it easy for youto license all of your computers and keep your technology up to speed—even on a limited budget.

School Agreement gives you the rights to run the licensed software for a specified period, and licenses all upgrades and downgrades of thesoftware throughout the term of the subscription. At the end of the term, you may renew the agreement, cancel out of the annual subscrip-tion model through the Buy-out Option, or remove the software from your machines. School Agreement also offers the convenience of athree-year subscription option. With this option, per-unit pricing to your distributor remains constant for all software products ordered during your three-year subscription period.

HOW PRICING WORKSPricing for School Agreement application, system, and CAL products is based on the number of eligible PCs in the participating school ordistrict. Eligible PCs include all of the Pentium machines, Power Macs, iMacs or better. You must also include any 486 machines or belowand any Apple, UNIX, or Windows Terminals on which any of the software will be run. Please note that your reseller determines your actualpricing. Please discuss pricing details with your reseller.

PLACING YOUR ORDERThe minimum requirement for placing an order for School Agreement is 300 units. Total units per order are a factor of the products selected and the number of eligible PCs reported. You can choose any individual product or combination of products to meet thisrequirement.

Calculating total units per order is easy. Unit values for application, system, and CAL products are not weighted — each has a unit value of 1. Multiply the number of these products selected by the number of eligible PCs to get the first component of the equation. Server products are weighted and each is assigned a specific unit value. Multiplying the unit value of the server product selected by the numberordered to get the second component of the equation. Then add each component together to assess whether the minimum requirementhas been met.

II. School AgreementWith School Agreement, you can also provide your students with the software they need. Through the Student Option, you may licenseyour students for one or more of the available products to use on a personally-owned computer or a school-owned computer designatedfor a student’s exclusive use (i.e. a computer checked-out to a student for the school year). The products selected do not have to matchyour faculty/staff selections.

MINIMUM ORDER REQUIREMENTWhen selecting the Student Option, you choose a specific number of students to license. This number cannot be changed over the courseof the subscription term. Your student count and the respective product selection for those students must meet the minimum requirementof 300 units. To calculate your total Student Option units, multiply the number of students by the number of student products selected. Youcannot combine your faculty/staff and student purchases to meet the 300 unit minimum.

STUDENT USE RIGHTSStudents are licensed to use the software for the subscription term. These licenses are non-perpetual. Upon leaving the organization orexpiration of the subscription term, students are required to remove the software. However, your organization may convert non-perpetualstudent licenses to perpetual licenses via the Buy-out option as an alternative to removing the software.

By placing an initial orderfor as few as five licenses with any Authorized Education Reseller (AER), you can obtain the most current Microsoft software products whilemanaging overall costs and staying compliant.

software licenses. > Flexibility—Academic Open License is flexible enough to meet the needs of a broad range of organizations. You can choose

from a wide selection of products. After an initial order of five or more licenses, you may reorder as few as one license at a time as needed.

MANAGING YOUR LICENSESWhen Microsoft accepts an Academic Open License order, the authorization number and license number are created and posted to theeOpen site within 24 hours, giving a view of Microsoft’s record of your license status. This site provides immediate authorization to begincopying software and deploying software licenses. It allows schools to electronically track transactions online and gain access to transactionhistory including acquisitions, reorders, and returns. It helps reduce administrative costs associated with manually tracking license certificates and software compliance. IV. Academic Select LicenseFor medium-to-large educational organizations with approximately 250 or more computers and the ability to forecast software needs overtime, Microsoft Academic Select License offers a wide range of Microsoft products at high-volume discounts. With a three-year AcademicSelect License agreement, you can acquire discounted licenses on an ongoing basis and reduce your total cost of software ownership.

Each product within Academic Select License is assigned a point value and is organized into one of three product categories called “pools.”Product pools enable you to aggregate the point values of a variety of similar Microsoft products. In order to qualify for the pricing offeredthrough Academic Select License, your school must forecast to meet the minimum point requirement of 1,500 per pool over three years.

Academic Select License also offers a complimentary CD kit subscription containing the products covered by the agreement. Your organiza-tion may immediately reproduce and use these products based upon licenses acquired. Academic Select License is available through anyAuthorized Education Large Account Reseller (LAR).

HOW TO GET SOFTWARE ASSURANCEYou can get Software Assurance by including it with licenses acquired through Academic Open or Academic Select. For School Agreementcustomers, all products included in your agreement are already covered by Software Assurance for the designated term.

If you acquire operating system or server software licenses through retail Full Packaged Product (FPP) or from an Original EquipmentManufacturer (OEM), you have 90 days to enroll those licenses in Software Assurance. Beginning with Microsoft Office 2003, you may alsoenroll Microsoft Office System 2003 desktop application product licenses acquired from an OEM Partner in Software Assurance within 90 days.

Licenses for desktop application products acquired through retail Full-Packaged Product may not be enrolled in Software Assurance. Youmay acquire Upgrade Licenses through the retail channel.

BENEFIT ELIGIBILITYThe specific benefits included with Software Assurance vary according to your volume licensing agreement. Not all license types receiveeach benefit and offerings may vary by region. VI. Fresh Start for Donated ComputersThe Fresh Start for Donated Computers program provides qualifying K-12 schools that receive donated personal computers without theappropriate paperwork and/or original Microsoft Windows operating system with the proper documentation and installation CDs at no costand with minimal process. Both Windows 98 and Windows 2000 are offered through this program so that schools can choose the versionthat best matches the functionality of the donated personal computer as well as their technology environment and standards.

HOW IT WORKSSchools complete a short online application. Once we have reviewed and approved the application, we will provide the school with a letterthat serves as proof of valid Windows 98 or Windows 2000 licenses for their donated personal computers. We will also provide one copy ofthe software on CD for customers who have received donated personal computers that no longer have the original Windows operating system installed.

WHO IS ELIGIBLE FOR FRESH START?Accredited academic organizations that:1) Serve students from kindergarten through twelfth grade; 2) Are located in the Canada; and 3) Receive donated personal computers are eligible for this program. This includes public, private and religious K-12 schools and districts.

The personal computers licensed through the Fresh Start for Donated Computers program must meet the following specifications: > Personal computers must be received as a donation. > Personal computers must be previously used. > Personal computers, to the best of your knowledge, must have had an original Windows operating system previously installed. > Only personal computers with Intel Pentium II (or equivalent) and older processors are eligible for inclusion in this program. > The school must retain ownership of the personal computers licensed through this program and cannot transfer ownership to students

or other external organizations.

Note: Donated personal computers with Intel Pentium III (or equivalent) and newer processors that have a Windows Certificate of Authenticity(COA) affixed to the machine as a sticker as well as some form of proof that the machines were acquired as a donation already have sufficientdocumentation for a valid Windows operating system license and therefore do not need to be reported through the Fresh Start program.

HOW PRICING WORKSCampus Agreement pricing for application, system and CAL products is based on a count of all of your organization's faculty/staff Full-Time Equivalent (FTE) employees. Pricing for some products is tiered depending on the number of FTE. Please discuss pricing details with your reseller.

PLACING YOUR ORDERThe minimum requirement for placing an order for Campus Agreement is 300 units. Total units per order are a factor of the products selected and the number of FTEs reported. You can choose any individual product or combination of products to meet this requirement.

Calculating total units per order is easy. Unit values for application, system, and CAL products are not weighted—each has a unit value of 1. Multiply the number of these products selected by the number of FTEs to get the first component of the equation. Server products are weighted and each is assigned a specific unit value. Multiply the unit value of any server product selected by thenumber ordered to get the second component of the equation. II. Campus Agreement Student OptionWith Campus Agreement, it’s easy to provide your students with the software they need. Through the Student Option, you may license yourstudents for one or more of the available products to use on a personally-owned computer or an institution-owned computer designatedfor a student’s exclusive use (i.e. a computer checked-out to a student for the school year). The products selected do not have to matchyour faculty/staff selections.

CALCULATING STUDENT FTEWith the Campus Agreement Student Option, you license 100% of your students. You must include all of the students enrolled in the segment of the organization covered by your faculty/staff subscription. Your total student FTE count is calculated as follows:Full-time student + Part-time students divided by 3 = Total student FTE count

MINIMUM ORDER REQUIREMENT FOR STUDENT OPTIONYour student FTE count and the respective product selection for those students must meet the minimum requirement of 300 units. To calculate your total Student Option units, multiply your student FTE count by the number of student products selected. You cannotcombine your faculty/staff and student purchases to meet the 300 unit minimum.

PERPETUAL STUDENT USE RIGHTSUpon graduation, students licensed under the Student Option are granted perpetual use rights for the selected Campus Agreement products.You will be responsible for ensuring that graduating students receive a Student License Confirmation. Upon leaving the organization(besides graduation) or expiration of the subscription term, students are required to remove the software. However, you may convert non-perpetual student licenses to perpetual licenses via the Buy-out option as an alternative to removing the software.

If you acquire operating system or server software licenses through retail Full Packaged Product (FPP) or from an Original EquipmentManufacturer (OEM), you have 90 days to enroll those licenses in Software Assurance. Beginning with Microsoft Office 2003, you may alsoenroll Microsoft Office System 2003 desktop application product licenses acquired from an OEM Partner in Software Assurance within 90days.

Licenses for desktop application products acquired through retail Full-Packaged Product may not be enrolled in Software Assurance. Youmay acquire Upgrade Licenses through the retail channel.
