SEPTEMBER 13, 2016

The regular monthly meeting of the Richland Lutheran Church Congregation Council was held on Tuesday, September 13th with Acting President Sandy Steele opening the meeting at 7:01 p.m. Sandy Steele provided opening devotions. Communications:

Sandy Steele stated that the nominating committee has identified a candidate to fill the remainder of Bob Thompson’s expired term as President of the Congregation Council. The individual’s name will be presented to the Congregation at the annual meeting on October 30.

An amendment to the Richland Lutheran Church Articles of Incorporation as approved by Council by email vote has been approved by the Internal Revenue Service (Included below as Attachment 1). This amendment was filed in order to qualify Richland Lutheran Church for 501c3 recognition for tax exempt status and to update the church affiliation to LCMC.

Sandy Steele stated she had received Council members’ input relative to Pastor Ernst’s Annual review and that she will complete the evaluation for Council review at a subsequent monthly meeting.

He has completed the Staff evaluations. The Executive Committee has reviewed those and will be providing a summary to the Council for approval.

The first Sunday-evening worship service was held on September 11 followed by a pie social. Attendance at the service was similar to Saturday services and was well received.

Pastors completed the sermon series in the book of Malachi. There were a number in the congregation who expressed their appreciation for the study of a rather difficult book. This evidences our congregation’s continued maturing.

Associate Pastor – Corey Smith

The Block Party on was held on September 10 with the help of many volunteers, including the Boy Scouts.

Ann Brandes has stepped down as the lead for the Jefferson Tutoring. She has suggested for a couple of people who might take this on.

a. The Soul Care Policy (new) (Included below as Attachment 3). b. Nominating Committee Candidates for 2017-2018 to be presented for

Congregation vote at the October 30 Annual Meeting: Sandy Steele, Shirley Fast, Elaine Keys.

c. Appointing Mot and Pam Hedges as Richland Lutheran Church delegates to the October 2016 LCMC National Gathering in Denver, CO.

d. The hire of Kaitlyn Smart as a Substitute Nursery Attendant at a rate of $10.50/hour per the approved Salary Plan.

2. "Council approved the RLC Facilities Strategic Plan dated September 2016 to include

the following revised "Recommendations and Next Steps" section (page 22).

“The RLC Facilities Building Committee further recommends that the

Congregation Council vote to approve four motions associated with the RLC

Facilities Strategic Plan.

1. To initiate fundraising by forming a facilities fundraising

committee that will:

Investigate, and within one year, propose to the

congregation aa recommendation for securing the

services of a professional fundraising firm and

Determine and propose to the congregation (at the

same time as the professional fundraising services

recommendation) aa recommendation for a target

cash reserve that will be needed to acquire new

facilities (this includes RLC’s willingness to borrow

funds.)

2. To create two new budget accounts in RLC’s annual budget

for:

Facilities life-extension actions; and

Facilities replacement.

3. To hold a congregational meeting to authorize up to $25,000

for a professional facilities condition assessment that will

determine what life-extension actions are needed to ensure

RLC ministries continue to be enabled while we prepare to

replace our facilities.”

3. Council approved the Facilities Building Committee request to schedule a

Congregational Meeting for 12:30 pm on Sunday, November 13 - contingent

upon informational workshops and Congregational meeting presentations being

provided to and approved by Council prior to presenting to the RLC congregation.

4. Council approved the Finance Committee proposal to move investments to Wells Fargo thereby retaining Mr. James Utz as primary manager/advisor- contingent upon

review of his and Wells Fargo’s performance records, with subsequent reviews to be conducted at least semi-annually.

5. Council approved the 2017 Ministry Plan (sans the 2017 Operating Budget) to be presented to the Congregation for approval at the Annual Meeting. (The 2017 Operating Budget will be reviewed by Council at a later date and included for Congregation review.)

6. Council approved the Agenda for the October 30 Annual Congregational Meeting.

7. Council approved the following motion presented by the RLC Executive Committee: “The RLC Council through its Executive Committee, has reviewed the appraisals of the staff for period July 1, 2015 through June 30, 2016, as required by the Constitution Bylaws and based on the report of that review hereby approves and confirms the staff evaluations as having been appropriately completed by the Lead Pastor. “

8. Council discussed the draft 2017 budget but took no action pending further review. Adjournment – Acting President Sandy Steele adjourned the meeting and closed with the Lord’s Prayer at 9:21 p.m.

Attachment 1 Current Articles of Incorporation read as follows with regard to purpose and dissolution: Part III The purposes for which this corporation is formed shall be:

1. To conduct and maintain a Church in Richland, Benton County, Washington, and to provide a place for teaching, worship and Christian fellowship, in accordance with the traditions and customs of the American Lutheran Church.

2. To establish, maintain and conduct schools for the religious instruction of the young and to further other religious and charitable work; and

3. To build, buy, receive as gift, sell, own, hold, mortgage, or otherwise encumber, lease, or otherwise hold and dispose of real and personal property necessary and proper for these purposes.

Part VII The existence of this corporation shall be perpetual. Approved Amendment to current Articles of Incorporation: Part III (add #4) The purposes for which this corporation is formed shall be:

1. To conduct and maintain a Church in Richland, Benton County, Washington, and to provide a place for teaching, worship and Christian fellowship, in accordance with the traditions and customs of the Lutheran Congregations in Mission for Christ.

2. To establish, maintain and conduct schools for the religious instruction of the young and to further other religious and charitable work; and

3. To build, buy, receive as gift, sell, own, hold, mortgage, or otherwise encumber, lease, or otherwise hold and dispose of real and personal property necessary and proper for these purposes.

4. Exclusively for charitable, religious, and educational purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations described under Section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code.

Part VII The existence of this corporation shall be perpetual. In the event of an unforeseen dissolution of the Church, assets shall be distributed for one or more exempt purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose. Any such assets not disposed of shall be disposed of by a court of competent jurisdiction in the county in which the principal office of the organization is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.

GIFT ACCEPTANCE POLICY

The following policies have been adopted by the Congregation Council for the purpose of achieving the following goals:

protecting the interests of Richland Lutheran Church and the people and entities who support its ministry

ensuring all gifts to or for the use of Richland Lutheran Church ministries are structured to provide maximum benefit to all parties involved

encouraging giving to Richland Lutheran Church without encumbering Richland Lutheran Church with gifts that cost more than benefit Richland Lutheran Church

avoiding gifts with donor restrictions inconsistent with the goals of Richland Lutheran Church

defining and standardizing terminology related to giving I. GIFTS

A. Cash 1. Richland Lutheran Church will accept gifts in the form of cash and checks regardless of

amount, unless:

(a) a question exists as to whether the donor has legal title to the asset; or (b) a question exists as to the legal capacity of the donor to transfer funds; or (c) a question exists as to expectation that the gift will cause RLC, in whole or in part, to benefit the donor or the donor’s relatives.

2. Donors shall make all checks payable to Richland Lutheran Church. Checks made payable

to an employee, director, agent, or volunteer for the credit of the Richland Lutheran Church will be returned to the maker of the check.

B. Publicly Traded Securities

Richland Lutheran Church shall accept publicly traded securities. Richland Lutheran Church may sell such securities at its discretion.

C. Closely Held Securities

1. Richland Lutheran Church’s Congregation Council may only accept closely held securities upon written approval.

2. The Congregation Council will review offers for closely held securities using the following criteria:

(a) there must be a readily available market for their disposition; and

(b) accepting such securities may not create any potential liability to Richland Lutheran Church; and

(c) the closely held entity engages in no activities that would be inconsistent with Richland Lutheran Church’s vision, mission, values, and objectives.

D. Real Property

1. The Congregation Council must approve all gifts of real estate in advance of accepting the

gift and in writing.

2. Richland Lutheran Church may require that a licensed appraiser issue an appraisal of the real estate before acceptance. The licensed appraiser shall not have any business or other relationship with the donor. The costs of the appraisal shall be borne by the donor.

3. Richland Lutheran Church cannot accept any gift of real estate until the Congregation Council determines that no environmental waste contaminates the property. Richland Lutheran Church may require a Level I Environmental Survey. All costs related to the survey will be borne by the donor.

4. In general, residential real estate located within the state of Washington will be accepted, unless the Congregation Council shall determine for some reason that the property is not suitable for acceptance.

5. Special deliberation shall be given to the receipt of real estate encumbered by a mortgage, as the ownership of such property may give rise to unrelated business income for the Richland Lutheran Church, as well as payments, taxes, and insurance that may burden the Richland Lutheran Church’s finances.

E. Tangible Personal Property 1. No personal property shall be accepted by Richland Lutheran Church unless there is

reason to believe the property can be quickly sold.

2. No personal property shall be accepted that obligates the Richland Lutheran Church to retain it in perpetuity.

3. No perishable property or property which will require special facilities or security to

properly safeguard it will be accepted without prior written approval of the Congregation Council

4. Notwithstanding the forgoing, if there is reason to believe personal property such as

jewelry, artwork, and collections has a value of $1,000 or more, it may only be accepted after receipt and review by the Congregation Council or those empowered to act on its behalf, after an appraisal qualified under the terms of the Internal Revenue Code governing gifts of personal property.

Other property of any description including mortgages, notes, copyrights, royalties, easements, whether real or personal, shall only be accepted by further action of the Congregation Council or persons duly acting on its behalf.

II. Deferred Gifts

Richland Lutheran Church shall execute no planned giving agreement without the advice of legal counsel. Prospective donors shall be strongly encouraged to seek their own legal and tax counsel in matters relating to their charitable gifts, taxes, and estate plans.

A. Bequests

1. Richland Lutheran Church shall encourage gifts through wills and living trusts.

2. In the event of inquiry by a prospective donor, representations as to the acceptability of a bequest

to Richland Lutheran Church shall be made in accordance with this Gift Acceptance Policy.

3. Richland Lutheran Church shall at all times retain the right to refuse a gift from an individual or from an estate when it is not in the best interest of Richland Lutheran Church to accept the gift.

4. When Richland Lutheran Church is the recipient of a gift from a will or trust, the Congregation Council shall review the restrictions upon the gift and determine if it is in the best interests of Richland Lutheran Church to accept the gift.

5. Richland Lutheran Church will not accept a gift that might result in conflict within Richland Lutheran Church or confusion as to the utilization of the gift or that might create an undue financial burden upon Richland Lutheran Church.

6. When Richland Lutheran Church receives an unrestricted estate gift, the Congregation Council, in consultation with Richland Lutheran Church’s Lead Pastor shall determine its highest and best use at the time.

7. If Richland Lutheran Church has created an endowment fund over which it has exclusive control, and the unrestricted funds are not needed for the ordinary and everyday expenses of the Richland Lutheran Church, unrestricted gifts shall be as an addition to the Richland Lutheran Church’s endowment fund. B. Life Estate Gifts

1. Donors shall not be encouraged to make gifts of a remainder interest in real property in

which the donor retains a life estate.

2. Such gifts may be accepted by the Congregation Council when the asset involved appears to be a minor portion of the donor’s wealth, and the Congregation council is satisfied there has been full disclosure to the donor of the future ramifications of the transaction.

3. This policy is based upon the possibility the donor may need to sell the home in the future

and find that the value of the life estate is a small portion of the value of the property.

C. Gifts of Life Insurance

1. Richland Lutheran Church will encourage donors to name Richland Lutheran Church as a

beneficiary of all or a portion of a person’s life insurance policies.

2. Richland Lutheran Church will not accept gifts from donors for the purpose of purchasing life insurance on the donor’s life. Exceptions to this policy will be made after researching relevant state laws to assure Richland Lutheran Church has an insurable interest under applicable state law.

3. No insurance products may be endorsed for use in funding gifts to Richland Lutheran

Church. Under no circumstances shall lists of Richland Lutheran Church’s donors be furnished to anyone for the purpose of marketing life insurance for the benefit of donors or Richland Lutheran Church. This policy is based on the fact that this practice represents a potential conflict of interest, may cause donor relations problems, and may subject Richland Lutheran Church to state insurance regulation should the activity be construed as involvement in the marketing of life insurance.

D. Memorials and Honorariums

1. Richland Lutheran Church accepts financial gifts in memory or honor of individuals and groups as long as the donation is consistent with all governing documents of the congregation.

2. Unless specifically designated to a Congregation Council approved account, all memorials and honorariums are considered temporarily restricted funds and will be entered individually into the Memorial/Honorarium list in the chart of accounts.

3. Interest earned on the Memorial/Honorarium funds is distributed into the General Memorial Fund and not to individual funds.

4. The Biblical Stewardship Ministry is responsible for compiling and updating a list of approved, potential memorials for consideration by donors.

5. Requests to use memorial funds for items not included on the list must be approved by the Congregation Council.

6. Unless a time extension has been approved by the Congregation Council, designated gifts for approved purposes not achieved within two years from the date of approval will be placed in the Memorial General Fund.

7. Memorial funds are intended to memorialize or honor individuals by creating a lasting memory contributing to the memory and heritage of the church.

8. Memorial funds may not be used for general operations. III. Designated Gifts Establishing Designated Accounts

A. Establishing Designated Accounts

1. The Congregation Council, with input from Richland Lutheran Church’s Lead Pastor, will determine what designated accounts may be established.

2. Any donor to Richland Lutheran Church may request in writing to the Congregation Council the establishment of a designated account. Once an account is established, Richland Lutheran Church may accept funds into that account.

3. The Congregation Council will determine the length of time the account shall exist. When that time has passed, the Congregation Council will review the designation and may either extend the time period for expiration of the account or transfer any remaining funds to the general fund.

B. Disbursing Designated Funds

1. Designated funds may only be spent for the purpose for which they are designated.

2. If, at any time, Richland Lutheran Church accepts custody of designated accounts which have not been approved and established by the Congregation Council, and Richland Lutheran Church does not intend to use the designated funds for the purpose designated, Richland Lutheran Church will use the following procedure:

a. If the amount is insignificanti, redirect the gifts to a project with a similar

purpose.

b. If the amount is insignificant and appropriate redirection is not possible,

contact donor directly to discuss redirection or return of gift.

c. If the amount is significantii, contact donor to get approval for redirection or

offer a return of the gift

d. If the amount is significant, and for whatever reason it is not possible to

contact the donor, file an order with the court allowing the congregation to

redirect the funds, seek approval from the Secretary of State, and take

whatever other steps are outlined by state law at the time.

C. Notice to Donors

1. Richland Lutheran Church shall include in fund raising, solicitation materials and donor receipts the following statement:

“All donations are subject to the Gift Acceptance Policy. Richland Lutheran Church will treat the donor’s designations as suggestions unless the Congregation Council has approved of the designations before receiving the gift. Copies of the policy are available on the website and in the finance office.”

IV. Finder’s Fees and Commissions

No finder’s fee or commission shall be paid to anyone as consideration for directing a gift to the

Richland Lutheran Church.

Richland Lutheran Church defines commonly used terms as follows:

a. General Purpose and Nature: The stated purpose of Richland Lutheran Church as

recorded in the Constitution

b. Unrestricted: A gift made for the purpose that is not more specific than the

congregation’s general purpose and nature.

c. Restricted: A gift made for a purpose more specific than the congregation’s general

purpose and nature.

d. Permanently Restricted: Gifts made to the congregation that must be invested in

perpetuity to provide for an ongoing source of revenue for a specific purpose. Also

known as endowment funds.

e. Temporarily Restricted: Gifts made to the congregation with donor-imposed

restrictions of purpose, time, or both. These gifts expire either by passage of time or

as a result of actions taken by the congregation.

f. Designated: Council-designated funds are those funds which the Congregation

Council, rather than the donor, has been determined are to be retained and invested.

The church council has the right to decide at any time to expend the principal of these

funds.

g. Preference: A non-binding expression of preference of the donor, considered to be

advisory in nature, allowing the congregation full discretion for use

h. Significant: Single gifts $1,000 and over

i. Insignificant: Single gifts under $1,000

j. Donor: The individual, agent, or entity making the gift to the congregation

k. Closely Held Securities: Shares owned by one individual owner or by a small group

of controlling stockholders.

l. Publically Traded Securities: Securities listed on any organized exchange and sold

under a prospectus

m. Memorials and Honorariums: Gifts made to Richland Lutheran Church in memory or

in honor of an individual or a group.

ATTACHMENT 3

RICHLAND LUTHERAN CHURCH

SOUL CARE POLICY

INTRODUCTION

We have an inner life – it’s called a soul. While our soul may not be visible it is real and very

critical to our well-being. Our souls are a living thing that needs nurture, care and attention.

Christian ministry can be demanding for all in church leadership roles – pastors, church staff,

and volunteers. In their daily ministering to others they sometimes become tired, stressed, and

burned out and often neglect themselves and their families. The purpose for this policy is to help

to re-energize those in church leadership roles. In other words, to take care of the people at

Richland Lutheran Church who take care of others and this policy is designed to guide us in this

endeavor.

Philippians 2:3b-4, “Rather, in humility value others above yourselves, 4 not looking to your own

interests but each of you to the interests of the others.”

PASTORAL STAFF

Purpose

Members of pastoral staff serve in a unique position in their full-time ministry. The demands of

pastoral ministry are great and often physically, emotionally, and spiritually draining. Despite the

use of accumulated vacation time, pastors often find themselves stressed and spiritually

depleted over the years.

Recognizing the importance of maintaining strong, effective, and long-term pastoral leadership,

it is the desire of Richland Lutheran Church to provide a time of personal and spiritual

refreshment for the pastors.

Sabbatical Policy

The term "sabbatical" means the pastor is relieved of all routine and emergency duties during

the time granted. This is a time solely for the purpose of rest, refreshment, replenishment, and

renewal. This is a personal spiritual sabbatical, not an academic policy.

Prior to the sabbatical, the pastor and congregation council will develop a plan for covering the

pastor's duties during the absence. Sabbatical is separate and distinct from accrued vacation.

No vacation time should be used within four weeks before or after the sabbatical.

All full-time pastoral staff shall be eligible for sabbatical upon completion of six years of service

at Richland Lutheran Church and should occur every six years thereafter. Eligibility will be

reached following the pastor's anniversary date.

The recommended length of the sabbatical is twelve weeks. If requested, adjustments to the

length of time may be granted.

Scheduling shall be based on seniority of position as pastor at Richland Lutheran Church. No

two pastors may be on sabbatical at the same time. In the event of two or more pastors, there

should be a minimum of three months between each pastor’s sabbatical leave. Leave should

be taken within one year of eligibility.

Well in advance of the starting time of the sabbatical, the lead pastor shall submit a sabbatical

proposal in writing to the congregation council outlining how the time will be used. This

proposal shall be agreed upon by the pastor applying for the sabbatical and the congregation

council.

Other pastoral staff shall first present a written request to the lead pastor following the same

guidelines. The request shall then be presented to the congregation council for final approval.

The proposal shall include the following: Type of ministry-related activity planned for sabbatical,

plans for physical rest and personal recreation, family responsibilities, intellectual stimulation,

spiritual renewal, strategy for coverage during the sabbatical, and commitment by the pastor for

continued service at Richland Lutheran Church.

A written report shall be presented to the congregation council at the conclusion of the

sabbatical. This report should include how the time was invested and what benefits were

realized.

The pastor's full wages and benefits shall continue during the sabbatical. No compensation shall

be given for unused sabbatical time. Pastors should covenant with the church to serve at least

two more years with the congregation following the sabbatical. The congregation council will

address exceptions to the above policy on a case-by-case basis.

Silence Retreats

Richland Lutheran Church pastors should be encouraged to take up to three days every quarter

for an extended solitude and silence retreat.

Continuing Education

Richland Lutheran Church requires its full-time pastors to engage in a program of continuing

education to improve their skills and performance, and provides an allowance and time away

from work to aid in achieving individual educational goals related to their assignments. The

congregation council will hold the pastors accountable for using their annual continuing

education.

Educational time away from work is not to be construed as vacation. Unused educational time

away from work will be forfeited upon termination.

The allowance and time away from work shall be provided immediately in proportion to the

remainder of the initial calendar year and on January 1 of subsequent years.

During each year of employment, Richland Lutheran Church shall provide full-time pastors an

allowance of $800 and two weeks of time away from work. This allowance may accumulate to a

total of $2,400. Unused educational time away from work is permitted to accumulate to a total

of six weeks.

Pastors’ Peace Teams

Each pastor will establish a “peace” team. This is a group of individuals, normally selected by

the pastor, who meet together along with the pastor to pray, talk, listen - offering guidance and

support. If the pastor or pastors do not have a “peace” team, the congregation council will assist

them in establishing such a team.

Pastor Appreciation

October is Pastor Appreciation Month. The congregation council, along with non-pastoral staff,

should highlight this event in appreciation of the pastors – HeBrews Café,

The congregation council should encourage and teach congregation members to practice

affirmation of our pastors.

The “Hard Stuff”

The congregation council should position themselves to handle the difficult member issues,

relieving the pastors of any burdensome, disruptive developments that sometimes occur.

Soul Monitoring

The congregation council will develop a process to regularly meet with the pastors to listen and

hear how they are progressing in their soul care. The Executive Committee will be responsible

for implementation of this process. It can be as simple as no less than two people from the

Executive Committee will meet with each pastor every two months or as needed.

RICHLAND LUTHERAN CHURCH STAFF

Office Hours

Change church office hours to be open for the public from 9:00 a.m. to 5:00 p.m. Hours for full-

time staff will begin at 8:00 a.m. The first half hour (8:00 a.m. to 8:30 a.m.) should be used for

personal spiritual study and prayer to energize for the day. The second half hour (8:30 a.m. to

9:00 a.m.) should be used to organize and prepare for the work day (check emails, organize

priorities, plan their calendars, etc.).

Spiritual Health

Each staff member will be granted a two-hour morning (8:00 a.m. to 10:00a.m.) every two

weeks for to go to their chosen “quiet” place for spiritual prayer and study. They will work out the

details with their supervisor and other staff members as needed.

CONGREGATION VOLUNTEERS

Richland Lutheran Church volunteers are critical to the spiritual health of our pastors and staff

but are also vulnerable to the demands of leadership roles that contribute to burn-out. It’s

important to encourage and support RLC’s volunteers and this can be done in various ways

such as volunteer appreciation and recognition programs. The pastoral and non-pastoral staff

will be responsible for developing and implementing an annual program to recognize and honor

RLC’s volunteers.
