1 Introduction

1.1. Background

1.1.1. About Gujarat Urban Development Company Limited

Urban issues are increasingly prominent on national policy agendas. Cities are the hub for human development and help attract investments and improve quality of life. Urban development requires both, creation of new cities as well as development of existing cities. The result of this infrastructure and urban development is evident in the quality of life and industrial growth.

Cities and metropolitan areas are major contributors to national economies and play a key role as nodes in global markets. Moreover, at a time of deepening globalization and increasing international competition for investment, metropolitan regions have become the targets of a wide range of public interventions.

Urban development policies seek to address a range of issues – from managing urban expansion and congestion to fostering competitiveness, innovation, social inclusion and environmental sustainability.

To Facilitate sustainable development of urban areas, both new and existing in order to achieve high living standards and growth of economic activities, Gujarat Urban Development Company Limited (GUDC) was created as a special purpose vehicle (SPV) in 1999 under the Companies Act, 1956.

GUDC facilitates Urban Development by assisting State Government and existing agencies in formulation of policy, institutional capacity building and project implementation, and to assist in the funding and implementation of projects.

The major Corporate Objectives of GUDC is to undertake activities on a self-sustaining basis and balance its development- oriented roles and activities with commercially viable alternatives.

GUDC actively seeks partnership with the private sector, government agencies and educational institutions in order to accomplish its roles and support the existing Urban Institutions. It is proactive in understanding the trends, needs and interventions required in the field of urban development for provision of sufficient and high quality urban areas and urban infrastructure either directly or by strengthening other entities responsible for the same.

1.1.2. Solid and Liquid Waste Management Project Feasibility and

Implementation

The Authority seeks the project management and advisory services for the Solid Waste Management and Liquid Waste Management together or separately. This project will be viable for 50 towns/ cities from all the 159 Urban Local bodies of Gujarat. The projection for this project will be 25/30 years. Project Instructions and Terms of Reference (the “TOR”) for this assignment are specified below.

2 Instructions to bidders

2.1 Definitions

(i) “Contracting Authority (CA)” means the agency (GUDC Ltd.) with which the selected Bidder signs the Contract for the Services

(ii) “Bidder” means any entity or person that may provide or provides the Services to the CA under the Contract.

(iii) “Contract” means the Contract signed by the Parties and all the attached documents

listed in its Clause 1 that are the General Conditions (GC), the Special Conditions (SC), and the Appendices.

(iv) “Day” means calendar day.

(v) “Government” means the government of the CA’s country.

(vi) “Instructions to Bidders” (Section 2 of the RFP) means the document which provides

- Bidders with all information needed to prepare their Proposals.

(vii) “LOI” (Section 1 of the RFP) means the Letter of Invitation being sent by the CA to the Bidders.

(viii) “Personnel” means professionals and support staff provided by the Bidderassigned

to perform the Services or any part there of; “Foreign Personnel” means such professionals and support staff who at the time of being so provided had their domicile outside the Government’s country; “Local Personnel” means such professionals and support staff who at the time of being so provided had their domicile inside the Government’s country.

(ix) “Proposal” means the Technical Proposal and the Financial Proposal.

(x) “RFP” means the Request for Proposal to be prepared by the CA for the selection of

Consultants.

(xi) “Services” means the work to be performed by the Consultant pursuant to the Contract.

(xii) “Terms of Reference” (TOR) means the document included in the RFP as Section 5,

which explains the objectives, scope of work, activities, tasks to be performed, respective responsibilities of the CA and the Bidder, and expected results and deliverables of the assignment.

2.2 General instructions

(i) The Bidders are invited to submit a technical proposal and a financial proposal separately for consultancy services for “Consultancy services towards establishment of solid and liquid waste management projects for ULBs in Gujarat”.

(ii) The cost of preparing the proposal, consultation with any experts on tasks and

actions directly and indirectly related towards preparation of proposal or presentation of proposalshall be borne by the bidder.

(iii) Bidder cannot hire the services of any other agency / consultancy firm or form consortium forrendering the services under this assignment. CA reserves the right to accept or reject any and / or all the proposals without assigning anyreasons thereof.

2.3 Purchase of the RFP Document

The copy of RFP Document is being sent to the bidders along with the invitation for which bidders are required to make a non-refundable payment of Indian Rupees Ten Thousand (INR 10,000) in the form of Demand Draft drawn on any scheduled bank in favour of Gujarat Urban Development CompanyLtd and payable at Gandhinagar, which shall be furnished along with the Proposal in the manner prescribed in clause 2.8.

2.4 Important Dates

Schedule of submission & opening of Proposal is as below- (i) Pre-Bid Meeting: 11/04/2014 @ GUDC Conference Hall, 15:00 hrs

(ii) Submission of Proposal: 21/04/2014 @ GUDC Conference Hall, 18:00 hrs (iii) Presentation for qualified bidders: 28/04/2014 @ GUDC Conference Hall, 15:00 hrs

(Shortlisted bidders shall be intimated by GUDC Ltd.)

2.5 Only One Proposal

Bidders should submit only one proposal. If a Bidder submits or participates in more than one proposal, all such proposals shall be disqualified.

2.6 Amendment of RFP Documents

At any time before the submission of Proposals, the CA may amend the RFP by issuing an addendum in writing or by standard electronic means. The addendum shall be sent to all the Bidders and shall be binding on them. Bidders shall acknowledge the receipt of all amendments. To give Bidders reasonable time in which to take an amendment into account in their Proposals the CA may, if the amendment is substantial, extend the deadline for the submission of Proposals.

2.7 Preparation of Proposals

(i) The Proposal with all accompanying documents and all communications in relation to or concerning the Selection Process shall be in English language and strictly on the forms provided in this RFP. No supporting document or printed literature shall be submitted with the Proposal unless specifically asked for and in case any of these Documents is in another language, it must be accompanied by an accurate translation of all the relevant passages in English, in which case, for all purposes of interpretation of the Proposal, the translation in English shall prevail.

(ii) In preparing their Proposal, Bidders are expected to examine in detail the documents comprising the RFP. Material deficiencies in providing the information requested may result in rejection of a Proposal.

2.8 Submission of Proposal

Proposals as per this ‘Request for Proposal format’ (RFP) in accordance are sought by the due date and time for the study. Proposal submission includes a statement of qualification, technical proposal, financial proposal, non-refundable application fee, and bid security deposit. The statement of qualification, technical proposal, financial proposal, non-refundable application fee, and bid security is to be submitted in four different sealed envelopes clearly mentioning the contents on cover and name of assignment. Contents of the four envelopes must be as follows:

(i) Envelope 1 - Statement of Qualification: Bidder shall submit single copy of the statement of qualification as per the formats given in forms QUAL-1, QUAL-2, QUAL-3 included in this document. Bidder shall examine all terms and instructions included in this document. Failure to provide all requested information shall be at bidder’s risk and may result in rejection of proposal.

(ii) Envelope 2 - Technical Proposal: Bidder shall submit single copy of the technical

proposal as per the formats given in forms TECH-1, TECH-2, TECH-3, TECH-4, TECH-5 included in this document. Bidder shall examine all terms and instructions included in this document. Failure to provide all requested information shall be at bidder’s risk and may result in rejection of proposal.

(iii) Envelope 3 - Financial Proposal: Bidder shall submit single copy of the financial proposal as per the formats given in forms FIN-1, FIN-2 included in this document. Bidder shall examine all terms and instructions included in this document. Failure to provide all requested information will be at bidder’s risk and may result in rejection of proposal.

(iv) Envelope 4 – Non-refundable Application Fee and Bid Security Deposit

a. Non-refundable Application Fee: Bidders are required to make a payment towards non-refundable application fee of Indian Rupees Ten Thousand (INR 10,000) in the form of Demand Draft in favour of Gujarat Urban

Development CompanyLtd and payable at Gandhinagar.

b. Bid Security Deposit: A Bid Security of INR 1,00,000 (Indian Rupees One Lakh only) in the form of Demand Draft in favour of Gujarat Urban Development

Company Ltd and payable at Gandhinagar, must be submitted along with the Proposal. Proposals not accompanied by Bid Security shall be rejected outright as non-responsive. No interest shall be payable by CA for the sum deposited as earnest money deposit. No bank guarantee will be accepted as Bid Security. The Bid Security shall be returned to bidders within one month of issuance of LoI to successful bidder. Bid Security shall be forfeited by CA in the following circumstances:

o If the bid is withdrawn during the bid validity period or up to the extension period ifnotified

o If the offer is modified or varied in a manner not acceptable to CA after opening ofthe proposals during the bid validity period or any extension thereof.

The above four envelopes shall finally be enclosed in one bigger sealed envelope as

submission. The envelope cover must clearly state the name of the assignment. Document submitted in parts or after the bid submission time shall not be considered for evaluation. GUDC Ltd. also reserves the right to postpone part/complete study or scrap the very bidding process itself.

2.9 Proposal Validity Period

The proposal shall be valid for acceptance by GUDC Ltd. for a period of 120 days after the

submission date.

2.10 Late Bids

2.10.1. Bids received by the Authority after the specified time on the Bid Due Date shall not be eligible for consideration and shall be summarily rejected.

2.11 Proposal Evaluation

The proposals shall be evaluated on technical and financial bids. The evaluation of proposals shall be carried out in three stages as follows: (i) Opening of Statement of Qualification:

In the first stage, envelopes containing statement of qualifications from all bid submissions received by the CA will be opened. The qualifying criteria are as follows:

(a) Experience with ULBs of Gujarat: Bidder must have experience in providing consultancy services related to urban infrastructure for at least five(5) projects for urban local bodies in Gujarat.

(b) Project experience with Government of Gujarat: Bidder must have experience in providing consultancy services to Government of Gujarat for at least five advisory projects.

(c) Financial capability: Bidder must have average annual turnover of at least Indian Rupees Ten Crores (INR 10,00,00,000) over past three years from consultancy services.

(d) Presence in Gujarat: Bidder should have established office in Ahmedabad or Gandhinagar.

(ii) Opening of Technical Proposal and Evaluation:

In the second stage, only theenvelopes containing technical proposals of qualified biddersin stage 1 will be opened and evaluated on the basis of the following score card:

(iii) Evaluation of Financial Proposal: Financial bids shall be opened after the technical evaluation for those proposals scoring minimum of 65 marks out of 100 in the technical evaluation.

The price bids of only technically qualified bidders would be opened for further consideration. The consultant (L1) who has quoted the lowest price will be given a score of 100. The consultants will be allotted score relative to the score of L1, which will be as below:

sf = 100 x FL/F

Where: Sf = The financial score of the Financial Proposal being evaluated

FL = The price of lowest priced Financial Proposal

F = The price of Financial Proposal under consideration

(iv) Selection of Successful Bidder: Final ranking of all proposals shall be done with weightageof 80:20. Weightage of 80% shall be given to technical competence and 20% to the fee quoted in financial proposal. The weighted total score of both the Technical and Financial proposals shall be used to rank the Consultants. The first ranked consultant may then be called for negotiations.

a) The detailed contents of each Financial Proposal will be subsequently reviewed by the CA. During the examination of Financial Proposals, the CA’s staff and any others involved in the evaluation process will not be permitted to seek clarification or additional information from any Consultant who has submitted a Financial Proposal.

b) Financial Proposals will be reviewed to ensure that the figures provided therein are consistent with the details of the corresponding Technical Proposal.

c) Financial Proposals will be checked for computational errors, and prices will be corrected and adjusted as necessary.

d) The total price for each Financial Proposal will be determined. e) The CA reserves the right to reject, at its sole discretion, any or all evaluated

Financial Proposals and if necessary, calls for submission of new Financial Proposals.

2.12 Commencement of Services

The bidder with whom the negotiation is successful shall be issued a LoI. On issue of LoI the bidder shall have to enter into a contract with CA on or before next 10 days from the date of receipt of such LoI.

2.13 Confidentiality

Information relating to evaluation of Proposals and recommendations concerning awards shall not be disclosed to the Bidders who submitted the Proposals or to other persons not officially concerned with the process, until the publication of the award of Contract. The undue use by any Bidder of confidential information related to the process may result in the rejection of its Proposal and may be subject to the provisions of the CA’s antifraud and corruption policy.

2.14 Arbitration

In case of dispute arising upon or in relation to or in connection with the contract between the CA and the consultant, which has not been settled amicably, any party can refer the dispute for Arbitration. Such disputes shall be referred to the sole Arbitrator – Additional Chief Secretary, Urban Development Department, Government of Gujarat / Managing Director, GUDC Ltd. The decision of the arbitrator shall be final and binding upon the parties. The expenses of the arbitration shall be shared equally by the CA and the consultant.

2.15 Performance Security

The selected bidder shall give a performance guarantee of 10% of the contract value in the form of a Bank Guarantee (BG) from a nationalized/scheduled bank for the duration of the contract, with claim period of further three months after contract expiry, in favour of “The Managing Director, Gujarat Urban Development Company Ltd” within 15 days from written communication from GUDC Ltd. The Bank Guarantee will have to be executed on stamp paper of appropriate value. GUDC Ltd. will not pay any interest on the security depos

3 Terms of Reference

3.1 Introduction

The total urban population of Gujarat as per census 2011 is about 60.4 Million. The total population of the urban area is 25.7 Million (42.58%).Gujarat is one of the leading States in Urbanization as compared to other States. Gujarat Urban Development Company Ltd (GUDC) intends to facilitate Integrated Waste Management (IWM) services to 159 ULBs by creating an efficient waste segregation, collection, transportation, and processing and disposal mechanism. On the occasion of Mahatma Gandhi’s 150th birth anniversary, Gujarat Government proposes to name 2019 as “Clean Cities” year. To achieve “Clean Gujarat” status by 2019, the Government of Gujarat (GoG) plans to establish projects for solid as well as liquid waste management across all ULBs in Gujarat. To assist in this vision, the Gujarat Development Company Limited, (GUDC) plans to appoint consultants for assistance in development and roll-out of technically and commercially viable models for implementation in a phased manner across the ULBs of Gujarat. To cover the present issues of waste management in Gujarat, it has been decided to develop waste management facilities for urban local bodies of Gujarat. Viable 50 ULBs will be selected for Solid and Liquid Waste Management Project. In this context, GUDC seeks the services of a qualified Consultant to help design, structure and manage waste management systems with local body responsibility and private sector participation for integrated waste management facilities. Objectives of this study are listed below:

3.2 Objectives the study

� Achieving Integrated Municipal Waste Management in 50 ULB areas to ensure 100%

collection, processing and safe disposal of waste generated.

� To design strategic framework ensuring urban local bodies discharge their responsibilities efficiently with appropriate private sector participation in the design, management and operations in collection, transportation, processing and sanitary disposal of waste as allocated in consultation with the local bodies & GUDC.

3.3 Scope of Work

GUDC is considering 50 ULBs for this project. Selection of 50 ULBs on the basis of viability. The prioritization of ULBs to be covered in the first and second phases should be done by the Consultant in consultation with GUDC and Urban Development Department, Government of Gujarat before commencement of the study. The scope of work for the consultant is summarized as follows:

Task 1: Validation of Basis data, Collection of relevant secondary data & Analysis

Consultant shall study the current scenario of waste generation and management across ULBs of Gujarat based on data available with the GUDC, if required collect from relevant site/ ULB and identify projects. Consultant shall also determine best approach

(centralized/decentralized) for achieving economies of scale including possibilities of developing projects on a cluster basis.

Task 2: Project Conceptualizing and preparation of DPR

To formulate project development options on a PPP/EPC/other basis for implementation of the identified projects from output of Task 1. In structuring the project, consultant shall take into account factors influencing techno-commercial viability, existing regulatory scenario, awareness as well as potential support mechanisms for making projects financially viable. For appointment of agency, preparation of DPR shall be done by the consultant for the identified projects. Task 3: Bid Document, Bid Process Management & Selection of Waste Management

Agencies

To assist in development of Bid Documents and bid management process for selection of suitable waste management agencies to take up the projects developed from output of Task 1, Task 2, and Task 3.

Task 4: Project Management

Upon selection of waste management agencies after completion of every construction phase, the consultant will assist GUDC in conducting quarterly reviews of the progress against milestones committed by the agencies during construction phase of the awarded projects.

3.4 Phase wise Implementation

Further the activities for development of solid and liquid waste management projects shall be conducted through separate but parallel components by the consultant in every implementation phase.

3.5 Duration of assignment

(i) The consultant shall be engaged by the CA through an annual contract to perform the services as listed in the scope of work, renewable at the end of every year at the discretion of GUDC, with the objective of establishing solid and liquid waste management infrastructure in the ULBs. Under the contract, the consultant shall support the GUDC by providingtechnical, transaction advisory, and project monitoring support against the scope of work as outlined in this RFP. GUDC reserves the right to terminate the annual contract at any point of time in the assignment.

3.6 Output Schedule

(i) The consultant shall prepare monthly work-plans in consultation with GUDC that are aligned with the scope of work, and shall be expected to submit monthly progress reports to the CA against the milestones achieved in line with the agreed upon work plans.

(ii) The consultant shall submit all the reports and documents at the completion of each Task period to the CA.

(iii) All the DPRs and Bid Documents shall be submitted to the CA.

3.8 Fee

The bidder shall quote for their service professional feeson a lump-sum man-month basis, including all deductibles, administrative and other expenditure as per the standard formats included in Section 4 (Financial Proposal) of this RFP. The fees quoted shall be inclusive of

all expenses to be incurred in relation to the study by the consultant and exclusive of service tax, which shall be payable as per applicable rates.

3.9 Payment Schedule

Monthly payments shall be made against the lump-sum man-month fees quoted by the consultant for the staff provided for the assignment against the staff requirements as outlined in Section 3.5.

3.10 Penalty

In case the monthly progress reports are not submitted within the period stipulated as above due to reasons attributable to the consultant, the consultant will be liable to pay at the discretion of GUDC Ltd., a liquidated damages to GUDC Ltd. of 0.5% per week on the contract price subject to maximum of 10% reckoned on the contract value. Fraction of a week will be considered as a full week for the purpose of liquidated damages calculations.

3.11 Additional Work

If, in the opinion of the CA, it is necessary to carry out any work outside of the Terms of Reference for the purposes of the Project in addition to the Services, the Bidder, shall carry out such additional work and with the prior authorization of the CA. Personnel required and the fees for such services shall be decided by mutual understanding.

3.12 Property of the CA

� All work submitted to the CA by or under the authorship and signature of the consultant shall be the professional responsibility of the consultant.

� All data collected studies and surveys conducted, financial model developed for this assignment shall be the property of the CA and to be submitted to the CA in soft copies and in hard copies, in whichever form it is available along with the final report.

3.13 Custody of Drawings/ Reports/ Data etc

� Original data/ charts/ photocopies of classified documents and all other documents received from the CA shall remain in the custody of the Consultant during the period of assignment only and shall be used exclusively in connection with the Services and shall not be made use of for any other purpose. These shall be carefully preserved by the Consultant till the completion of the job and shall be handed over to the CA on preparation of final report or on termination of the contract.

3.14 Responsibilities of the Authority

� The Authority shall act as a facilitator in availing all existing information & all available data on the proposed assignment to the consultant;

� The Authority shall issue suggestions and comments along with an Acceptance letter accepting the previous report so that the timeline for the next deliverable shall start from the date of issuing of Acceptance letter.
