Terms and Conditions of Sale

1. Terms: See Invoice. F.O.B. Taylorsville. No anticipation allowed. A Dealer may be charged a convenience fee for all forms of payment accepted in an alternative payment channel outside the Company's customary payment channels.

2. Cancellation: No cancellations or changes will be accepted after the order has been entered into production.

3. Fabrics: The Company will not guarantee nor assume responsibility for the fastness of colors or the wearability of any upholstery material. Any adjustment will depend upon the fabric manufacturer’s willingness to stand behind its product.

4. Dimensions: Dimensions listed for each style are approximate and are rounded off to the nearest one-half inch. Sometimes these dimensions may vary more than an inch due to the handwork of the upholsterer. If confirmation is needed on a dimension, please contact our factory sales office.

5. Transportation Claims: Any damage or shortage of goods should be noted on the freight carrier’s bill of lading before signing. If damage is discovered after delivery, the purchaser should notify the carrier at once requesting an

inspection and filing a claim. Refusal to accept goods from the carrier does not relieve the purchaser from responsibility for payment. The title of the property transfers to purchaser upon delivery to the carrier.

6. Merchandise Return Procedure: No merchandise may be returned without written authorization from the Company. Notification of factory error or defect must be reported within 15 days from invoice date. Local repair charges may not be billed to the Company without factory authorization. Dealers are expected to provide transportation without reimbursement to and from the customer's home when repairs or returns are necessary, as a part of their normal service obligation. Dealers are responsible for properly packaging the piece for return to the factory. Packaging materials may be purchased from the factory if needed.

7. Scheduling: All delivery dates are approximate and subject to conditions beyond our control.

8. Prices: Prices are subject to change without prior notice.

9. Order Acknowledgement: Order acceptance is by issuance of an acknowledgement form. All orders will be filled from the acknowledgement form – please double check this form against your purchase order.

WarrantyA limited lifetime warranty is offered on the frame and spring construction against defective materials or workmanship. To express

our appreciation for your choice of our furniture, we offer this limited lifetime warranty to the original purchaser for residential use only. It is valid only if the furniture has received normal usage and has not been subjected to abuse or improper care.

The standard Prestige XL seat cushion has a five year warranty. A two year warranty is offered on our Spring Blend/Down,

Catalina Down or Memory Down seat cushions, Elite or 1090 back cushions , and Posh or 1090 Down throw pillows; however, softening and flattening will occur in all foam as a result of use and age which is considered completely normal. Due to the extremely soft nature of the E-Z Down seat cushions, this cushion is limited to a one year warranty. Freight charges for all replacement cushions will be covered for one year from invoice date.

Note: Upholstery fabrics are not guaranteed by the mills, therefore, we are unable to accept responsibility for wear, fading, or shrinkage.

Warranty LimitationsThe company will replace or repair, at our option, any part or parts of the warranted product found to be defective within terms

of the warranty. In order for these repairs to be made without charge for materials, labor, or transportation between an authorized dealer and our factory, you must send a notice of the defect within one year from the date of retail delivery of your furniture. After one year, the company will not be liable for transportation and handling between the factory and the authorized dealer.

S Recommended Cleaning Instructions

Clean this fabric with pure solvents (Petroleum distillate-based products, Energine, Carbona, Renuzit, or similar products may be used). Professional dry cleaning is recommended. CAUTION: Use of water-based detergent-based solvent cleaners may cause excessive shrinking. Water stains may become permanent and unable to be removed with solvent cleaning agents. To prevent overall soil, frequent vacuuming or light brushing to remove dust and grime is recommended.

SW Recommended Cleaning Instructions

Clean this fabric with water-based cleaning agents, foam, or pure solvents (Petroleum distillate-based products. Energine, Carbona, Renuzit or similar products may be used). W Recommended Cleaning Instructions

Clean this fabric with water-based cleaning agents or water-based foam to remove overall soil. Many household cleaning agents are harmful to the color and life of a fabric. Professional dry cleaning is recommended. To prevent overall soil, frequent vacuuming or light brushing to remove dust and grime is recommended.

X Recommended Cleaning Instructions

Clean this fabric only by vacuuming or light brushing to prevent accumulation of dust or grime. Water-based foam or solvent-based cleaning agents of any kind may cause excessive shrinking or fading.

CAUTION: Never remove cushion covers for separate machine washing, even though they do have zippers. The zippers are there to enable the manufacturer to fill the cushion cover with the cushion core. Do not use any tumble method of cleaning as this may destroy the backing of the fabric or in some other way cause damage to the fabric.

Standards1. Frames: Hardwood kiln dried frames double doweled, glued, corner blocked, and stapled.

2. Spring-up: 8-way individually hand tied coil springs either 3 or 4 rows of coils deep (depending on depth of frame).

3. Prestige XL: A 2.4 density polyurethane foam is complimented by a super-soft, 2.4 density polyurethane foam cap on the top and bottom of the cushion. The foam caps are contoured to provide a soft crown to the cushion. This cushion is encased by a non-woven, down-proof ticking. The all-foam construction will provide consistency in comfort and in performance, without compromising the soft, inviting appearance. This cushion meets California Flammability Code #117, and is poured environmentally safe. Prestige FM: This cushion is for the customer who desires a firmer seat. It is made in the same high-quality manner as the Prestige XL. The foam selected has a higher compression resistance, which makes the cushion firmer in comfort. (Must specify on order)

4. Elite Back Cushions: Made of 37 denier conjugated polyester fiber. Back cushions meet UFAC II and California Spec 117 requirements as a standard feature. Fibers are naturally non-absorbent and resist matting, clumping and mildew. They are odorless, lint-free and non-allergenic. All fibers are blown into channel-sewn backs of 1.5 oz. accord ticking. These channels help maintain the proper proportion of the back filling.

5. 10-90 Throw Pillows: The ultimate luxury fill for throw pillows. All feathers and down in a ratio of 10% down and 90% feathers.

6. Fabric Welt: All fabric welt is cut on the bias.

The combination of foams is then wrapped with a 2 ounce polyester fiber on all sides. The cushion is completed with a down envelope made with down-proof ticking, which is blown with a mixture of 90% feathers and 10% down, and no fiber.

We have initiated a frame change for our swivel rockers and swivels that results in a more sturdy frame. In doing this however, a customer cannot change a stationary chair which has already been shipped to a swivel rocker or swivel only.

Warranty

If a mechanism fails to perform within the first year of the invoice date, Taylor King will replace it at no charge, incur UPS charges and pay an installation charge not to exceed $75.00. A mechanism may be replaced at the factory only if the chair can be returned by an approved LTL carrier that carries a free-astray agreement with Taylor King.

If a mechanism fails after the first year and up through the fourth year from the origi-nal invoice date, Taylor King will replace the mechanism at no charge. Taylor King will not be responsible for any shipping costs or local mecha-nism installation fees on any mechanism past one year from the original date.

If a mechanism fails after five years from the original invoice date, Taylor King will replace the mechanism on a charge basis. Credit may be issued for the cost of the mechanism after the defective mechanism has been returned to the factory and inspected. Taylor King will not be responsible for any shipping cost or local installation fees. Mechanisms will be replaced based on the availability of the mechanism from the manufacturer.

Railroaded Fabrics1. The “Standard” fabric layout places the top of the cutting pattern

in the direction of the fabric bolt. However, the direction of the design woven on the fabric may dictate that the top of the cutting pattern be placed toward the side of the roll (selvage) for proper interpretation of the fabric on the upholstered piece. In so doing, the fabric will be applied “Railroaded”.

NO CUSTOM CHANGES: Each recliner is designed around the constraints of the mechanism specifications. Therefore, no size adjustments or custom changes may be allowed.

Warranty

If a reclining mechanism fails to perform within the first year of the invoice date, Taylor King will replace it at no charge, incur UPS charges and pay an installation charge not to exceed $75.00. A mechanism may be replaced at the factory only if the recliner can be returned by an approved LTL carrier that carries a free-astray agreement with Taylor King.

If a mechanism fails after the first year and up through the fourth year from the original invoice date, Taylor King will replace the mechanism at no charge. Taylor King will not be responsible for any shipping costs or local mechanism installation fees on any mechanism past one year from the original date.

If a mechanism fails after five years from the original invoice date, Taylor King will replace the mechanism on a charge basis. Credit may be issued for the cost of the mechanism after the defective mechanism has been returned to the factory and inspected. Taylor King will not be responsible for any shipping cost or local installation fees. Mechanisms will be replaced based on the availability of the mechanism from the manufacturer.

Motorized mechanisms have the same warranty as above EXCEPT for the power transformer and/or the motor, which carry a one year warranty only.

Recliners

Mechanism Type and Descriptions

Weight Limit: 350 pounds

High Leg (H):This mechanism is used with all styles that feature an exposed wood leg. Because the mechanism works with a base that is stationary, the back must be positioned 12 to 16 inches away from any object when the chair is in full recline. To recline simply push back with both hands firmly grasping each arm of the chair.

Wall Hugger (W):This mechanism has a metal base and is used with styles that are skirted or down to the floor. As the chair reclines, the arms move forward. This allows the recliner to be placed only 4 inches away from any object.

Optional Choices for Wall Hugger Recliners

•SwivelGliderWallHugger(WSG): This wall hugger recliner also has the ability to swivel 360 degrees and is a glider rocker. The glider rocker functions will lock when the inside handle is activated to recline, although the recliner will continue to swivel if desired. Recliner must be placed 10-14 inches away from wall.

•MotorizedWallHugger(WM): The inside handle controls the motorized movement of the recliner. This option is ideal for the person that needs and wants assistance in the operation of the recliner. The motorized option also allows the recliner to rest and lock in many reclining positions. Battery backup feature standard. The 9 volt battery is not included. Requires access to power source.

•MotorizedLiftWallHugger(WLM): This optional mechanism is an ideal choice for the consumer that has physical limitations that would prevent their ability to be able to stand from the seated position without assistance. This dual-motor allows one motor to control the footrest and lift, while the other controls the back. The footrest can be stopped at any position. The chair back may recline to a full horizontal position. Entire base frame, all cross members, and lifting members are heavy gauge welded tubing to prevent twisting and bending. Battery backup feature standard. The 9 volt battery is not included. Requires access to power source.

•SwivelGliderMotorized(SGM): This motorized recliner has the ability to swivel 180 degrees and is a glider rocker. The inside handle controls the motorized movement of the recliner. 3 – Average the two costs.

4 – Multiply by 1.1 (adds an additional 10% for special handling)

Characteristics and Care

NATURAL VARIATION & SHADINGPremium aniline-dyed leather displays subtle variations of color across the surface of the hide. When the hide is cut and sewn together, care is taken to attempt to match adjacent pieces, but subtle color differences may occur. These are not signs of poor quality; in fact, they highlight the unique and natural quality of premium leather, left unmasked by opaque dyes and varnishes.

NATURAL TEXTUREPremium leather hides used for upholstering furniture slightly non-uniform qualities, depending on the area of the hide from which they were cut. Pigmented-dyed leathers are buffed and embossed to obscure these natural texture characteristics. Variations in texture are not flaws and will not effect leather durability.

Common Surface Variations

I. Scratches - Smooth to the touch, these rub marks accept dye with slight variation to the surrounding area.

II. Wrinkles - Natural folds highlight unique grain patterns.

III. Healed Scars - Barbed-wire scratches and deeper rubs create organic surface texture and one-of-a-kind authentic leather character. These marks do not affect the durability of the hide.

SAUVAGEA coloring effect created by blending two similar dyes to create a mottled or marbled appearance. Increases the “depth” of leather.

SPOTS AND SPILLSWhile the leather initially repels most spills, they will be absorbed if not treated properly. Blot any liquids immediately with a clean absorbent cloth or sponge, the let air dry. If a spill is absorbed, it will dissipate over time as the leather naturally diffuses the stain.

CLEANING:If cleaning is attempted, use only a mild hand soap and water to remove stains. Thorough rinsing is required to remove soap residue. Use of leather cleaners or conditioners of any kind is not recommended and may damage the leather. If a product of this type is used, apply to a hidden area before using on the visible soiled area.

Leather Types and Glossary

FAT WRINKLE – Natural wrinkles in the leather grain that are part of the unique beauty. These are only visible in top grain leathers.

FINISHING – Any process performed after the initial dyeing stage such as buffing, embossing, flame-proofing, milling, spraying, waterproofing, waxing, etc.

FULL ANILINE – Leather receiving its color from dyes and also a topical stain, wax, and/or water repellent.

HAND – Term that describes leather’s softness and feel.

LEATHER – A hide or skin that has been tanned into a non-perishable material.

PATINA – A surface luster that develops on Pure Aniline and Nubuck which grows more beautiful with the passing of time.

PURE ANILINE – Leather receiving its color from dyes and also a topical stain, wax, and/or water repellent.

TANNING – The process of converting a raw hide into a stable nonperishable state.

FULL ANILINE• the finest leather available, always made from premium-quality, full-top grain hides (the surface of a full-grain hide has not been
