Application and EligibilityApplication for booth space must be made online at R4RC20.com. The North Carolina Association of REALTORS®, Inc. (hereinafter NC REALTORS®) must contain the information as requested; and it must be executed by an individual who has the authority to act for the applicant (hereinafter “Exhibitor”). NC REALTORS® reserves the absolute right to decline any application for space for any reason, including without limitation if, in NC REALTORS® judgment, the products or services to be shown or demonstrated are not applicable to the real estate business, are inconsistent with the stated purposes of NC REALTORS® and the interests and welfare of its members, or are unreasonably duplicative of services or products offered by or available from NC REALTORS®. NC REALTORS® further reserves the right, in its sole discretion, to limit the types of companies and products represented in its trade show, to accept or reject booth setup and design and to assign booth space as NC REALTORS® deems appropriate.

Payment DatesFull payment is due with online registration in order to hold your booth.

Cancellation of Booth Space/Loss of PaymentIn the event the Exhibitor cancels or otherwise notifies NC REALTORS® of its intent to repudiate this contract prior to August 1, 2020, NC REALTORS® shall retain half of the full booth payment as liquidated damages. If NC REALTORS® receives such notice on or after August 1, 2020, NC REALTORS® shall retain the full exhibit booth price as liquidated damages. The parties acknowledge and agree that the precise damages which will be suffered by NC REALTORS® as a result of an Exhibitor’s canceling or repudiating this contract are uncertain and not subject to precise calculations and that the liquidated damages set forth herein are a reasonable estimate of the damages likely to be incurred.

Booth Furnishings, Equipment and ServiceA Uniform Style exhibit booth 10’ wide x 8’ deep will be provided with pipe, drape, one table and two chairs. Additional booth needs may be specified by the Exhibitor on the contract and will be provided by NC REALTORS® if possible. If there is a charge for any of these additional needs, Exhibitor will be notified before such charges are incurred. Additional display units and furnishings will be available through the display company. The Exhibitor is responsible for any additional charges for such additional equipment or furnishings. Exhibitors are responsible for contacting the convention center directly for electrical and internet equipment needs and will also be responsible for any additional charges for such electrical, telephone or internet needs. A form from the convention center will be provided for these specific purposes. Payment for these additional services must be made with the company providing the service.

Assignment of Booth SpaceBooth space will be assigned by NC REALTORS® at its sole discretion as online registration and full payment are received and accepted; however, annual sponsors and member benefit partners of Kentucky, North Carolina, South Carolina and Tennessee state REALTOR® associations shall be given preference in the allocation of exhibit space and assignments of exhibit locations. NC REALTORS® will do its best to accommodate exhibitors’ booth choices noted on the Application. NC REALTORS® reserves the right to make and/or to change all booth assignments, as it deems appropriate.

Dismantling and Staffing of ExhibitsExhibit booths must be staffed during all open hours, and no Exhibitor will

REGION 4 REALTORS® CONFERENCE EXHIBITOR TERMS & CONDITIONSbe permitted to dismantle prior to the close of the show on Wednesday. Dismantling exhibits can take place after the end of the show. Any Exhibitor violating this regulation of dismantling will be fined $200 and may be denied exhibit space in future Region 4 event trade expositions.

Exhibit Staff RegistrationEach exhibitor is allotted two complimentary full Conference registrations per booth rented. Additional Expo-only passes may be issued for $100/person. Expo-only passes permits registrants into the Expo (only). Full Conference registrations may be purchased at the member rate and will permit registrants to attend all non-ticketed functions.

Failure to Occupy SpaceAny space not occupied by 11:30 a.m. on Monday, October 12, 2020, shall be forfeited by the Exhibitor and space may be resold, reassigned, or used by the exhibit staff without refund, unless a written request for delayed occupancy has been received by the NC REALTORS® office, at 4511 Weybridge Lane, Greensboro, NC 27407, by September 1, 2020, and received written approval. NC REALTORS® reserves the right to reject future applications for exhibit booth space at future Region 4 event trade expositions and other functions in the event the Exhibitor does not staff its exhibit booth during all open show hours.

Sound/Music/LicensingIn general, Exhibitors may use sound equipment in their booth as long as the noise level does not disrupt the activities of neighboring Exhibitors. Speakers and other devices should be positioned so as to direct sound into the booth rather than into the aisle. SOUND and NOISE MAY NOT EXCEED 80 DECIBELS. SPECIAL WARNING: If the noise level is still disruptive after NC REALTORS® warnings, Exhibitor’s equipment responsible for the noise violation will be disconnected/removed for the duration of the show.

A) In the event Exhibitor plays recorded music at the space which is the subject of this contract, Exhibitor warrants that it shall have obtained appropriate licenses and the authority to use such copyrighted music, and that is shall comply with all terms and conditions of said licenses. Exhibitor agrees not to have any live musical performances at exhibit space.B) Exhibitor warrants further that it is the sole owner of all copyrighted materials appearing in its exhibit space, or in the alternative, that it has obtained appropriate licenses to display such materials. C) Exhibitor agrees to defend, indemnify, save and hold NC REALTORS® harmless from and against all claims brought against NC REALTORS® arising out of any alleged breach of the warranties made in this paragraph.

SecurityWhile NC REALTORS® shall use reasonable efforts to have the exhibit hall secured during non-exhibition hours, NC REALTORS® does not guarantee or ensure that the exhibit hall shall be so secured and does not assume responsibility for the safety of property left in the exhibit hall at any time. Any exhibit booth, which is not located in the exhibit hall, shall not be secured. Exhibitors agree that they shall be solely responsible for valuables and other possessions left in an exhibit booth.

Liability for Damages or Loss of PropertyExhibitor shall be fully responsible to pay for any and all damages to property owned by the Savannah Convention Center, its owners or

managers which results from any act or omission of Exhibitor. Exhibitor agrees to indemnify and hold harmless the Savannah Convention Center, its owners, managers, officers or directors, agents, employees, subsidiaries and affiliates from any damages or charges (including attorneys fees and costs incurred by Convention Center) resulting from or arising from or out of the Exhibitor’s use of the property. Exhibitor’s liability shall include all losses, costs, damages or expenses arising from or out of or by reason of any accident or bodily injury or other occurrences to any person or persons, including the Exhibitor, its agents, employees, and business invitees which arise from or out of Exhibitor’s occupancy and/or use of the exhibition premises, the Savannah Convention Center or any part thereof. The Exhibitor understands that the Savannah Convention Center does not maintain insurance covering the Exhibitor’s property, and it is the sole responsibility of the Exhibitor to obtain such insurance.

Unacceptable ExhibitsThe Exhibitor agrees not to utilize any displays which NC REALTORS® determines, in its absolute discretion, would endanger the person or property of the attendees or of the Exhibitors, are in bad taste, are liable to discredit or subject the NC REALTORS® to criticism or legal liability, are inconsistent with the stated purposes of NC REALTORS® and the interest and welfare of its members, are inimical to the property rights of the NC REALTORS®, or violate any other provisions of this contract. In the event NC REALTORS® determines at any time that any exhibit may/or does violate this paragraph and the Exhibitor is unable or unwilling to cure or correct such violation, NC REALTORS® may terminate this contract immediately and prevent erection of the exhibit or may remove or cause the exhibit to be removed at Exhibitor’s expense and Exhibitor hereby waives any claim for refund of the exhibit booth fee or other damages arising out of such termination and/or exhibit removal. If Exhibitor is uncertain whether an exhibit is in compliance with all regulations and requirements, contact NC REALTORS®.

The Exhibitor agrees they will not conduct any raffle prize drawings including door prize drawings in their booth or the Exhibit Hall. The Exhibitor is permitted to give away promotional items in their booth.

Social Functions/Suitcasing/OutboardingExhibitors may only conduct social functions which do not conflict with scheduled programs or activities of the Region 4 REALTORS® Conference. No exhibitor shall conduct or sponsor during published Show or Seminar hours any banquet, breakfast, luncheon, party or other function for attendees, or for those who have been invited to attend the Region 4 REALTORS® Conference, without the written approval of NC REALTORS®. Exhibitors and non-exhibitors who solicit in the aisles, or anywhere else on the property outside the exhibit hall, or support any event within the venue that is hosted by a non-exhibiting supplier, without NC REALTORS® approval, may be subject to penalties that include cancellation/closure of their exhibit space from the Region 4 REALTORS® Conference without refund, loss of space selection priority points and may have their application for space denied for two (2) years from the year of the infraction. Non-exhibitors will be asked to leave the Region 4 REALTORS® Conference, without refund of any monies paid, and will not be allowed to attend the event for two (2) years from the year of the infraction.

Insuring the ExhibitsNC REALTORS® will not provide insurance for Exhibitors’ exhibits, mechanical or display materials. Exhibitors are encouraged to insure their

exhibits, merchandise and display materials against theft, fire, etc. at their own expense.

Canceling ExhibitIf for any cause beyond the control of NC REALTORS®, such as, but not limited to, the destruction of exhibit facilities by an act of God, the public enemy, authority of law, fire or other force, NC REALTORS® is unable to comply with the terms of this contract and deliver the space allotted hereunder, this contract shall be considered terminated and any payments made hereunder by Exhibitor shall be refunded to the Exhibitor, less expenses incurred by NC REALTORS® to the date of termination allocable to Exhibitor after prorating thereof among all exhibitors.

MiscellaneousThe Exhibitor expressly agrees to be bound by all the terms, conditions and specifications herein listed and by the Terms and Conditions established by NC REALTORS® from time-to-time thereafter modified, and expressly agrees that this contract and such Terms and Conditions contains the entire agreement between the parties hereto and supersedes any prior agreements, written or oral. This contract shall be interpreted under the laws of the United States and North Carolina.

Statement of Appropriate Event ConductNC REALTORS® strives to provide an event experience that is positive and rewarding for everyone. By attending an NC REALTORS® event, you agree to abide by this Event Conduct Policy. All attendees (including without limitation NC REALTORS® members, guests, exhibitors and vendors) are expected to conduct themselves professionally and with good judgment and common sense. That means at all times being respectful of others attending or working at events and of the venues in which events are held, including while in transit to and from such venues. NC REALTORS® aims to provide a safe event experience for all attendees and does not tolerate inappropriate behavior or harassment in any form.• Inappropriate Behavior Defined. Inappropriate behavior includes,

but is not limited to, harassing or defamatory verbal or written comments, displays of illicit images or use of illicit language, threats, intimidation and unwanted physical contact. This Event Conduct Policy applies to your conduct at or in conjunction with an NC REALTORS® event, both on site and elsewhere and both during the event and after hours. A more complete description of harassing behavior is set forth in the NC REALTORS® Anti-Harassment Policy.

• Reporting threats/harassment. If, at any time, you feel threatened or harassed, you are encouraged to report the incident directly to police via 911. You may also contact NC REALTORS® Chief Executive Officer or NC REALTORS® President. Please include the date, time, location and a description of the incident being reported.

• Discipline. Attendees who violate this Event Conduct Policy may be asked to leave the event without a refund. In addition, the attendee may not be permitted to participate in future NC REALTORS® events. Any discipline will be imposed at the discretion of the NC REALTORS® management.

• Relationship to Anti-Harassment Policy. This Event Conduct Policy shall not be deemed to limit the applicability of the NC REALTORS® Anti-Harassment Policy.
