Background RBI's Central Office Departments, Regional Offices and Training Establishments are located throughout the country. All Offices/locations of the Bank are well connected on the Wide Area Network (WAN) using the INdian FINancial NETwork (INFINET) and individual Local Area Network (LAN). INFINET is a communication backbone for the Indian payment system for enabling financial transactions between banks, financial institutions and the central bank of country (Reserve Bank of India). The INFINET is a CUG (Closed User Group – consists of Reserve Bank of India (RBI), Banks and Financial Institutions) network. INFINET, using MPLS technology, is designed and implemented in High Availability (HA) mode. The MPLS backbone network is a full mesh VPN backbone network connecting all the RBI offices. Corporate e-mail, Internet Access, Intranet Website, Banking applications, Video Conferencing etc. are currently live on this network. Internet access is localized for each office. It is proposed to replace Routers, used for internet access, and Switches, used for connecting routers, Perimeter Security Solution and Secured LAN, as mentioned in Annexure I. The list of Offices/locations for installation and operationalisation of Routers and Switches is enclosed as Annexure II 2 Bid details 2.1 Bidders must follow all the instructions given in this document while submitting the tender

document. 2.2 RBI will follow a two-stage evaluation and selection process. In the first stage, only the

‘TECHNICAL BIDS’ submitted online by the bidder will be opened based on eligibility criteria. Bids that do not comply with the eligibility criteria will not be technically or financially evaluated. Those bidders satisfying the technical requirements of the solution, as determined by the Reserve Bank of India and as per the requirements/specifications and the terms and conditions of this document, shall be short-listed. The Procedure and rules applicable for online Technical Bidding will be furnished by the service provider.

2.3 Under the second stage, after technical evaluation of the bids, those bidders who are found

eligible will be short listed for commercial bid opening. After evaluation of commercial bids of eligible bidders as per para 6.5, they will be invited to participate in the Reverse Auction.

• The reverse auction will be conducted by M/s e-Procurement Technologies Ltd’; (abc procure) and the date, time and venue of the Reverse Auction will be advised separately.

• Necessary online training on the bidding process will be provided by the M/s e-Procurement Technologies to the vendors qualified in the technical bid.

2.4 The technical tender documents should be submitted online with our service provider M/s e-Procurement Technologies Ltd., at the website https://rbitenders.abcprocure.com. Last date of online Submission is March 19, 2012 at 3.00 PM. Tenders received after the above date and time will not be considered. The technical details with the relevant information/documents/acceptance of all terms and conditions as mentioned in this document will be submitted online. The vendors will have to upload the duly signed and scanned documents along with scanned copy of EMD Bank Guarantee as part of technical bid. The original hardcopy of the EMD should be sent by post at the address of the communication before 3.00 pm on March 19, 2012. Please ensure that all the documents are attached while submitting the tender. The vendors are requested to note

that they cannot make their online submission after the time stipulated above and no extension of time will normally be permitted for submission of tenders. This tender document is not required to be sent to us in hard copy.

2.5 The bidders are requested to note that it is mandatory to have a valid digital certificate issued by any certifying authority approved by Govt. of India to participate in the online bidding. The bidders are requested to ensure that they have the same, well in advance or if any assistance is required for the purpose, bidder can contact our service provider (M/s e-Procurement Technologies Ltd.) at the under mentioned numbers:

Bidders who wish to participate in online tender have to register with the website through the “New User Registration” link provided on the home page. Bidder will create login id & password on their own in registration process. The service provider will provide training to the bidder for registering as user for participation in the tender. For this purpose bidders are requested to contact the service provider.

2.6 Opening of bids: The technical bid/tender will be opened online on the same day i.e., on

March 19, 2012 at 3.30 PM. Any change in opening date and time will be notified by the Bank. After opening of the Tender Bid through online procedure, during technical evaluation, if any further clarifications are warranted, the same should be submitted online.

2.7 Reserve Bank of India will not be responsible for any delay due to any reasons. 2.8 Bidders are not permitted to submit more than one bid and any alternate product. The

cost of bidding and submission of the bids is entirely the responsibility of the bidders, regardless of the conduct or outcome of the tendering process. The response to the present tender will be submitted in two parts as mentioned in para 2.2.

2.9 Each and every page of the bid document uploaded on the site should be properly

stamped and signed by the authorised signatory. However, RBI can seek hard copy of the document for verification.

2.10 The tender/quotations not submitted in the prescribed format or incomplete or after due

date in any sense are liable to be rejected. 2.11 The RBI reserves the right to accept or reject any bids without assigning any reason

and Reserve Bank of India’s decision in this regard will be treated as final.

2.12 RBI reserves the right to alter / increase / decrease the hardware and software requirements as well as add/reduce locations, as the case may be to meet Reserve Bank of India’s requirements at any point of time.

2.13 All Bidders, or their authorized representatives, shall be present at the time of the opening of the technical bid. Only two persons per Bidder will be allowed to be present at Conference Room No. 2, 15th Floor, Central Office Building, RBI, SBS Marg, Fort, Mumbai at the time of the opening the technical bids through e-tendering process

3 Bidders’ Eligibility Criteria

Bidders must meet the following eligibility requirements. Bids of non-compliant bidders will not be technically or financially evaluated.

3.1 The Bidder should be System Integrator having back to back support of Original Equipment

Manufacturers (OEM). The proof in support of the same must be enclosed along with the technical bid as per the format given in Annexure–XIII.

3.2 The bidder should be a registered company incorporated in India, registered under Company Act 1956. Copy of registration certificate to be enclosed.

3.3 Bidder should warrant about its financial solvency i.e. it should be able to meet all its debts as and when they fall due. Certificate to that effect from statutory auditors may be submitted. Bidder’s Company Profile should be given as per Annexure XVI. Bidder should furnish duly audited and approved copies of last three years Balance sheet and Profit and Loss Accounts.

3.4 The bidder must warrant that there is no legal action taken or being taken against it for any cause in any legal jurisdiction. If such an action exists, it shall provide details of the action(s).

3.5 The bidder themselves should have ISO 9001-2000 certificate in the Domain of Networking and System Integration.

3.6 The bidder should be in business of supply, installation, configuration and maintenance and support of network hardware for at least three (3) years as on the date of issue of this tender. Accordingly, Purchase Orders (PO) and corresponding Installation Certificates should be furnished. POs should not be more than 3 years old from the last date of submission of the bid. Bidders should give reference of: 3.6.1 Two organisations where they have supplied at least 20 Routers and 90 switches of the same make/brand which bidder is proposing in their proposal.

OR Three organisations where they have supplied at least 15 Routers and 60 switches of the same make/brand which bidder is proposing in their proposal. 3.6.2 Solution should be working presently. 3.6.3 The Bidder shall provide references (including Referee names and contact details) in respect of the projects implemented. The reference sites should be currently functional and maintained by the bidder as per Annexure XVI.

3.7 Bidders should be ready to give 7 years product support for active components and maintain the “Total Solution” for 7 years, both from the date of Acceptance by the Bank. If, bidder is unable to provide support for the said period then the Bidder shall upgrade the component/sub-component with an alternative that is acceptable to the Bank at no

additional cost to and without causing any performance degradation. Accordingly, a written undertaking may be submitted as given in Annexure-IX

3.8 Any component or sub-component should not go End of Sale from OEM within the period of at least 2 years from the date of signing of ATP(Acceptance Test Plan) and should have support from OEM for minimum period of five years from the date of End of Sale. The written commitment from OEM should be obtained and submitted along with the technical bid. If, the OEM is unable to provide support for the above period, the OEM should upgrade the component/ sub-component with an alternative that is acceptable to the Bank at no additional cost to the bank and without causing any performance degradation and/or project delays. Accordingly a written undertaking should be submitted by the OEM as given in Annexure-X.

3.9 The bidder should offer equipments from the OEM who is in Gartner’s leaders or challengers quadrant for Enterprise LAN (Global) as per the latest report published by Gartner.

3.10 Bidder must upload scanned copy of Earnest Money Deposit (EMD) in the form of Bank Guarantee, along with the other required documents, of the amount equivalent to Rs. 20,00,000/- (Twenty Lakhs only). The Bank Guarantee should be in favour of Reserve Bank of India, Mumbai. EMD should be valid for the period of one year from the last date of submission of bid. The non-submission of EMD will lead to rejection of the bid. The irrevocable Bank Guarantee issued by a scheduled commercial bank only, shall be in form acceptable to the RBI as per Annexure XVIII. The EMD of unsuccessful bidders will be returned to them. The EMD will not carry any interest. The EMD of successful bidder shall be forfeited in case the bidder fails to commence the work awarded to him within the prescribed time limit. The successful bid, if withdrawn, is also liable for forfeiture of the EMD. Refund of the EMD will be made only on completion of the Tender exercise.

Note: The Bidder shall upload relevant documentation supporting the above eligibility/ qualification

criteria. In case of non-compliance with any of the eligibility criteria mentioned above the Bidder shall be liable to be disqualified without any notice and the bids of the bidder may not be processed further. Any additional / irrelevant document enclosed with the bid, may lead to disqualification. The compliance matrix of eligibility criteria may also be submitted as given in Annexure XX. It may be ensured that response to each of the items in the compliance matrix should be ‘yes’ and should be consistent with the documents submitted.

4 Scope of the Work

4.1 Total solution would cover supply, installation and operationalisation of new Switches

and Routers at various R B I l o c a t i o n s a s g i v e n i n A n n e x u r e - I I . Locations and Quantity of equipments may be increased or decreased as per RBI’s requirements. The specification of the Switches to be supplied is given in Annexure III & IV and Routers in Annexure-V. If existing passive components, cabling etc., needs to be replaced then vendor will remove the old cables and store at location.

4.2 Additional hardware, accessories, software products, etc if any required for providing the ‘Total Solution’ as envisaged above in the Tender Document at the location should be specified and quoted. Required technical details/brochures of such products offered by the Bidder duly supported by schematic diagrams and technical specifications of each component offered should be furnished along with the reasons justifying the

requirement/s for such additional components, accessories and software products as part of the Technical Bid and furnish the cost of each of such component/s in the Commercial Bid in a sealed cover as per format given in Annexure VIII. If any additional items not mentioned in Bill of Material are required by the bidder at the time of implementation, the same will be provided by the bidder with no extra cost to the bank.

4.3 The proposed solution should be seamlessly integrated with our existing WAN set-up i.e. INFINET, the close user group network comprising Leased Lines, MPLS, Routers, Firewalls and IPS.

4.4 The scope of this tender is to provide routers to terminate internet links and switches for connecting routers, Perimeter Security Solution and Secured LAN. It covers the supply, installation, testing, commissioning, training, warranty and maintenance support of the Network Equipments, Software and Services.

4.5 The proposed solution should be open ended and should integrate equipments from different OEMs.

4.6 The bidder should supply and install all associated components that may be necessary to complete the job as per the functional requirements specified in this tender. The bidder should mention the make / brand of the components in the Technical Bid.

4.7 New Switch and Routers should be installed in the existing networking Rack of 19" Mounting, 42U X 800W X 800D/ 32Ux600Wx800D.

4.8 Installation and operationalisation of t h e new switches and routers should be done without disturbing existing services.

4.9 New switches and routers should have features to be manageable from GUI of NMMS from central location. Details of the existing NMMS are given in Annexure VI.

4.10 A successful bidder has to install switches and routers as per RBI’s requirement and has to reconfigure as and when RBI needs, without any additional cost.

5 Terms and Conditions

5.1 The capabilities, operating characteristics and other technical details of the

Switches, Routers and other Components offered should be furnished together with product brochures, literature, etc in the Technical Bid. The make a n d model o f each component shall be indicated.

5.2 The switches, routers and its components will have to be delivered and installed at RBI locations mentioned in Annexure-II without disturbing any existing system. If deemed necessary, the bidder is required to give presentation on the systems offered. RBI may increase or decrease the number of locations.

5.3 The Bidder should provide clear licensing terms & conditions for all the products offered to the complete satisfaction of the Bank. If any discrepancies are found later with the licensing terms vis-a-vis the total solution, then such additional cost will be borne by the bidder.

5.4 The bidder shall ensure to supply and install all the hardware/network components/software of the advanced/latest versions available in the market.

5.5 The Bidder should specify the exact versions and releases that are proposed in the solution for every component (Software, Hardware & System software loaded on the hardware) including the additional/optional components and should also provide the life time of the product and availability of the proposed versions. The detailed list of additional /optional components also needs to be provided.

5.6 The quotations shall be submitted strictly in conformity with the specifications given in Annexure III, IV and V or of better quality. Compliance Matrix may be submitted by indicating Yes/No against every item.

5.7 All the proposals / declarations / assertions made by Bidder should be on their letter head. Format of undertaking on supply of material free from defects and keeping the system working is at Annexure XIV. Format of the undertaking on copyright related matters is given at Annexure XV.

5.8 It would be the responsibility of the successful bidder to liaise and do necessary configuration on related equipments in consultation with the officials of the Bank.

5.9 Establishing and providing uninterrupted performance throughout the implementation and afterwards will be the responsibility of the bidder.

5.10 The acceptance of tender, subject to contract, will be communicated in writing at the address supplied for the successful bidder in the tender process. Any change of address of the Bidder, should, therefore , be promptly notified to the Chief General Manager, Department of information Technology, Reserve Bank of India, 14th floor, Central Office Building, Shaheed Bhagat Singh Marg, Fort, Mumbai 400 001, India.

5.11 The successful Bidder shall be required to enter into a contract (Purchase Agreement/Service Level Agreement) with Reserve Bank of India, within thirty (30) days of the award of the tender or within such extended period as may be specified by the CGM, Department of Information Technology, Reserve Bank of India, Mumbai. At the time of execution of the contract a Memorandum of Understanding (MoU) containing the terms and conditions necessary for the due performance of the work in accordance with the bids and acceptance thereof will be signed, which will be prerequisite for payment release.

5.12 The successful Bidder will have to bear all the legal charges like cost of Stamp duty etc. at the time of signing Purchase Agreement/Service Level Agreement.

5.13 Bidder should be willing to accept payment through Electronic Payment System (RTGS or NEFT)

5.14 The bidder should indicate the presence of permanent offices at locations mentioned in Annexure-XII.

5.15 The bidder should have 24x7x365 support centre in India and should be able to provide onsite support within 2 hours of escalation without any cost and the details of same should be provided as per Annexure-XIX.

5.16 The Bidder shall be responsible for generation and submission of necessary documentation required during various phases of project viz. Planning, installation,

commissioning, roll out, acceptance and periodic reporting. Documentation shall be approved by RBI.

5.17 The bidder is required to get prior approval of all the project plans and processes from RBI before commencement of the project. This will be reviewed from time to time based on the agreed milestones. Reports on progress of the project should be submitted by the Project Manager of the Bidder once a week to RBI till the completion of the project.

5.18 Total Solution must cover supply and implementation of hardware and software as mentioned in the Annexure III, IV and V and also maintenance of the same.

5.19 Dimensions and weight of each piece of equipment offered shall be specified with necessary power, AC and wiring requirements.

5.20 Bidder should submit the detailed Bill of Material (without prices) with part number, along with the Technical bid as per Annexure-VII.

5.21 All the technical specifications and other terms and conditions of the offer proposed by the Bidder should be valid for a minimum period of One Year from the last date of submission of Tender.

5.22 On expiry/termination of the contract, the selected Bidder shall handover all equipments to RBI in good working condition, before the release of that quarter’s payment.

5.23 There should be a Single Point of Contact from Bidder’s side during the implementation of the project. The bidder should provide the escalation matrix for problem resolution as required in Annexure XIX along with the technical bid.

5.24 A compliance matrix as per Annexure-XXI should be submitted on adherence to the above terms and conditions and, deviations from Technical Specifications as mentioned in the Tender Document as per Annexure XI, if any, may be indicated.

6 Commercial Bid: The Commercial Bid should be in accordance with the following:

6.1 The bidder should quote the commercial value as per the Annexure VIII.

6.2 The bidder should indicate unit price of each and every components proposed by them.

6.3 The prices quoted by the bidder shall be in Indian Rupees, firm and not subject to any price escalation within the period of one year from the date at which L1 is declared.

6.4 The price quoted should be inclusive of all Central/State Government levies, taxes, service tax, sales tax, excise duty, custom duty, insurance charges, etc. The Octroi / Entry Tax, if any, shall be paid as per the actuals.

6.5 The Bidder should give their best Total Price. Any Bidder whose Total Price is higher by more than 30 % from the lowest Total Price (which will be ascertained by physically opening the commercial bids for price discovery) will not be considered eligible to participate in reverse bidding. In case at least two bidders (not being a sister concern or an

associate company or a group company) and two OEMs are not found eligible in terms of this clause, the Bank may raise the threshold from 30% to a higher level to an extent that at least two bidders (not being a sister concern or an associate company or a group company) and two OEMs become eligible.

6.6 Further, subsequent to the orders being placed/agreement executed, the successful bidder shall pass on to RBI all fiscal benefits arising out of reductions in Government levies viz. sales tax, excise duty, custom duty, etc.

6.7 L1 bidder will be selected on the basis of Total cost of Ownership (TCO) after Electronic Reverse Auction.

7 Delivery Schedule:

7.1 The Bank would like to have the following schedule for completion of the activities from the

date of placement of orders. Delivery of hardware and software: 6 weeks. Installation and Operationalisation : 4 weeks

7.2 However, the Bidder should specify minimum and maximum possible period of delivery

and installation required by them, if any, for completion, in their technical bid.

7.3 The delivery of the solution will be deemed complete when the hardware, software and associated documentation are received in good working condition at the designated locations of the bank.

7.4 The installation will be deemed to be complete after successfully conducting ATP and acceptance of the same by Reserve Bank of India.

7.5 The Bidder has to resolve any hardware, system software and integration issues with existing systems and application related problems during installation of the Total Solution.

7.6 On the evaluation of the Acceptance Test results and if required in view of the performance of the Total Solution, as observed during the Acceptance Test, the Vendor shall take remedial measures including up-gradation of the Total Solution or of any component there under, including replacement thereof, at no additional cost to the RBI, to ensure that the Total Solution meets the requirements of RBI as envisaged in the Tender Document.

8 Site Particulars

8.1 Non-familiarity with the site conditions will not be considered a reason either for extra

claims or for not carrying out the work in strict conformity with the timelines and specifications. Successful bidder is expected to familiarise themselves with the site conditions and operationalise the solution.

9 Warranty

9.1 Warranty will start from the date of signing of Acceptance Test Plan (ATP) document.

9.2 The selected Bidder shall give warranty for a minimum period of three years from the date

of acceptance of the systems by Reserve Bank of India. During the warranty period, the Bidder will have to undertake comprehensive maintenance of the Total Solution including hardware and software part of the solution.

9.3 During the warranty period the vendor should maintain the systems and shall be responsible for all costs relating to labour, spares, maintenance (preventive and corrective) and transport charges from and to the Site in connection with the repair/replacement of the Systems or any component/part thereunder.

9.4 During the Warranty Period, the selected vendor will have to provide at no additional cost to the Bank all software (IOS etc) updates, releases, Version upgrades, New Versions etc within 30 days of their availability.

9.5 The selected Bidder shall provide preventive maintenance at least once per month.

9.6 The selected Bidder shall ensure 99.995% uptime for individual product and 100% uptime for the solution. In the case of any breakdown / malfunctioning of hardware, Switch modules, switch active and passive components etc., the relevant defect should be attended to immediately and rectified within 2 hours of the receipt/notice of the complaint. The hot swappable parts should be replaced immediately for which the selected Bidder should store all the critical and hot swappable spares at the site. Further, proportionate penalty will be levied in case of down time of the systems, which shall include extension of warranty period to the extent of down time and penalty of Rs 1000/- per hour which may extend up to the total cost of solution.

9.7 The vendor shall guarantee the availability of spares for a period of at least seven years in respect of all the switches and Routers and its components supplied by them.

9.8 Besides the above, the vendor will have to confirm the terms and conditions mentioned in the tender.

10 Maintenance

10.1 After completion of warranty period of three years, the bidder has to give Comprehensive

Annual Maintenance (AMC) service for the total solution including hardware and software part of the solution for at least four years.

10.2 During maintenance period, selected Bidder shall ensure 100% uptime for the solution. In the case of any break down / malfunctioning of hardware, software etc. the relevant defect should be attended to immediately and rectified within 2 hours of the receipt/notice of the complaint.

10.3 The hot swappable parts should be replaced immediately for which the selected Bidder should store all the critical and hot swappable spares at the site. Selected Bidder should replace all the defective components at their own cost, and no extra payment will be made for freight, travel or incidentals.

10.4 Further, proportionate penalty will be levied in case of down time of the systems, which

shall include extension of warranty period to the extent of down time and penalty of Rs 1000/- per hour which may extent up to the total cost of solution.

10.5 The total cost of Comprehensive Annual Maintenance Contract (AMC) for Hardware and

System Software should be minimum 8% of the total cost of Hardware and System Software. The AMC rates will remain same and valid for all four years during AMC period after expiry of warranty period of three years. These rates will be considered in the calculation of Total Cost of Ownership (TCO).

10.6 As a part of the maintenance contract, the Selected Bidder will have to provide all software

(IOS) updates, releases, Version upgrades, New Versions etc. of all the Application Software and Custom Software included in the Products. The Supplier will also undertake to carry out implementation / operationalisation / customisation of such software updates, releases, Version upgrades, New Versions etc. The maintenance contract shall also require that the Selected Bidder maintain all supplied documentation in such a state as to correctly reflect the state of the Products at any point in time.

10.7 If RBI desires, the service contract shall be renewed after the initial contract period of 7

years including three years of warranty period. At the time of such renewal of the contract after the expiry of the original validity, the new contract AMC amount will be arrived at based on the following formula:

10.8 The Selected Bidder at the time of signing Annual Maintenance Contract, after warranty

period will have to bear the legal charges like cost of Stamp duty etc.

11 Right to Verification

11.1 The RBI reserves the right to verify any or all statements made by the Bidder in the tender

document and to inspect the Bidder’s facilities, if necessary, to establish to its satisfaction about the Bidder’s capacity to perform the job. The technical evaluation will be based on such information.

11.2 The RBI, if deemed fit, will inspect any or all of the equipments at OEM's manufacturing

site before shipment to the Bank, to verify that the equipments supplied to RBI are as per the technical specification specified in the tender document or purchase agreement.

12 Terms of Payment

The following will be the terms of payment applicable for Switches, Network Active and Passive components, etc.

12.1 Selected Bidder should raise single invoice for entire project which should contain Total Cost of Hardware, Software and installation charges.

12.2 80% of the Total Cost will be released after signing the ATP document and SLA / Purchase Agreement by Reserve Bank of India.

12.3 20% of Total cost will be released on expiry of the warranty period or against Bank Guarantee as per Reserve Bank of India’s format.

12.4 Payment for the Annual Maintenance after expiry of Warranty Period will be made on half yearly basis, in arrears, after receiving satisfactory report from our locations.

13 Indemnity to the Bank

13.1 The Bidder shall indemnify the RBI and keep indemnified against any loss or damage that

the RBI may sustain on account of any violation of patents, trademark etc., by the Bidder in respect of hardware, system software, products supplied.

13.2 The vendor should furnish a photocopy of the Agreement with their principals in respect of

hardware and software products offered. Further, the vendor shall indemnify Reserve Bank of India and keep indemnified against any loss or damage that Reserve Bank of India can sustain on account of any violation of patents, trademarks etc.

14 Delay in Performance

14.1 The Bidder must strictly adhere to the implementation schedule, specified in the purchase

order issued by the RBI to the successful Bidder for performance of the obligations arising out of the purchase order and any delay will cause the RBI to resort to any or both of the following: 14.1.1 Claim liquidated damages at 0.5 per cent of the Contract Amount for delayed

performance per day of such delay, subject to a maximum of 10% of the Contract Amount.

14.1.2 In case of the termination of the purchase order by the RBI due to non-performance of the obligations arising out of the purchase order, the Ernest Money Deposit will be forfeited.

14.2 All disputes of any kind arising out of supply, commissioning, acceptance, warranty,

maintenance etc., shall be referred by either party (Bank or Bidder) after issuance of 30 days notice in writing to the other clearly mentioning the nature of dispute to a single arbitrator acceptable to both the parties.

14.3 All disputes or differences whatsoever arising between the parties out of or in relation to the construction, meaning and operation or effect of these Tender Documents or breach thereof shall be settled amicably. If, however, the parties are not able to resolve them amicably, the same shall be settled by arbitration in accordance with the applicable Indian Laws, and the award made in pursuance thereof shall be binding on the parties.

15 Acceptance Test:

15.1 The Acceptance Test shall be carried out jointly by the representatives of the RBI and the

Bidder, after the devices have been installed and operationalised at each of the Site and within two weeks from the date of receipt of the written advice by the RBI from the Bidder in this matter.

15.2 A comprehensive “Acceptance Test Plan” document, containing various aspects of the

‘Acceptance Test’ to demonstrate all the features of the Solution Proposed as envisaged in this tender document and claimed by the bidder shall be held accordingly. The Acceptance Test shall be deemed to be complete only on the issuance of the ‘Acceptance Certificate’ by the RBI to the Bidder.

15.3 Without limiting the scope of the Acceptance Test, the Acceptance Test shall

cover the following tests, to be c a r r i e d out in this connection. On evaluation of the Acceptance Test results and if required in view of the performance of the Router and Switches, as observed during the Acceptance Test, the Vendor shall provide necessary components at his own cost thereof, to ensure the performance of the Router and Switches, as envisaged in this document. 15.3.1 The Goods suppl ied by t h e Vendor meet the technical and other

specifications, as envisaged in this document. 15.3.2 Demonstrate high availability features of the switches, dual connectivity to

the existing core switches( Layer-3 switches) for no single point of failure on the connection to the core switch including automatic failover features, when one of the core switches fails, other core switch taking over the connectivity without manual intervention as envisaged in this document.

15.3.3 Demonstrate e-mail messaging and Workflow backbone, Proxy Server,

Domain Controller etc, Virtual LAN (VLAN) on the LAN, as envisaged in this document.

16 Force Majeure

16.1 Neither Party shall be responsible for any failure to perform due to unforeseen

circumstances or due to causes beyond the defaulting Party’s control even after exertion of best efforts to prevent such failure, which failure may include, but not be limited to, acts of God, war, riots, embargoes, strikes, lockouts, acts of any Government authority, delays in obtaining licenses or rejection of applications under the Statutes, fire or floods.

17 Arbitration

17.1 In the event of any dispute or differences between the parties relating to the “Contract or

LOI whichever is issued later” the same shall be referred to arbitration to be conducted in accordance with the Arbitration and Conciliation Act, 1996 and the venue of arbitration shall be at Mumbai, India.

17.2 In the event of failure to resolve the differences through arbitration, either of the parties shall be free to undertake necessary further legal course with the Courts of Law in Mumbai who shall have jurisdiction for preventive, interlocutory and other incidental relief applied for by any party under or in relation to this Agreement

Compliance Matrix for Eligibility Criteria

1. The Bidder should be System Integrator having back to back support of Original Equipment Manufacturers (OEM). The proof in support of the same must be enclosed along with the technical bid as per the format given in Annexure–XIII.

2. The bidder should be a registered company incorporated in India, registered under Company Act 1956. Copy of registration certificate to be enclosed.

3. Bidder should warrant about its financial solvency i.e. it should be able to meet all its debts as and when they fall due. Certificate from statutory auditors may be submitted. Bidder’s Company Profile should be given as per Annexure XVI. Bidder should furnish duly audited and approved copies of last three years Balance sheet and Profit and Loss Accounts.

4. The bidder must warrant that there is no legal action being taken against it for any cause in any legal jurisdiction. If such an action exists and the bidder considers that it does not affect its ability to deliver the requirements as per the Tender, it shall provide details of the action(s).

5. The bidder themselves should have ISO 9001-2000 certificate in the Domain of Networking and System Integration.

6. The bidder should be in business of supply, installation, configuration and maintenance and support of network hardware for at least three (3) years as on the date of issue of this tender. Accordingly, Purchase Order (PO) and corresponding Installation Certificate should be furnished. PO should not be more than 3 years old from the last date of submission of the bid. Bidders should give reference of:

• Two organisations where they have supplied similar

kind of, at least 20 Routers and 90 switches of the same make/brand which bidder is proposing in their proposal.

OR • Three organisations where they have supplied similar

kind of, at least 15 Routers and 60 switches of the same make/brand which bidder is proposing in their proposal.

• Solution should be working over Wide Area Network.

The Bidder shall provide references (including Referee names and contact details) in respect of the projects implemented. The reference sites should be currently functional and maintained by the bidder as per Annexure XVI.

7. Bidders should be ready to give 7 years product support for active components and maintain the “Total Solution” for 7 years both from the date of Acceptance by the bank. If, bidder is unable to provide support for the said period then the bidder shall upgrade the component/sub-component with an alternative that is acceptable to the Bank at no additional cost to and without causing any performance degradation.

Accordingly, a written undertaking may be submitted as given in Annexure-IX

8. Any component or sub-component should not go End of Sale from OEM within the period of at least 2 years from the date of signing of ATP and should have support from OEM for minimum period of five years from the date of End of Sale. The written commitment from OEM should be obtained and submitted along with the technical bid. If, the OEM is unable to provide support for the above period, the OEM should upgrade the component/ sub-component with an alternative that is acceptable to the Bank at no additional cost to the bank and without causing any performance degradation and/or project delays. Accordingly a written undertaking should be submitted by the OEM as given in Annexure-X.

9. The bidder should offer equipment from the OEM who is in Gartner’s leaders or challengers quadrant for Enterprise LAN (Global) as per the latest report published by Gartner.

10. Bidder must upload scanned copy of Earnest Money Deposit (EMD) in the form of Bank Guarantee, along with the other required documents, of the amount equivalent to Rs. 20,00,000/- (Twenty Lakhs only). The Bank Guarantee should in favour of Reserve Bank of India, Mumbai. EMD should be valid for the period of one year from the last date of submission of bid. The non-submission of EMD will lead to rejection of the bid. The irrevocable Bank Guarantee issued by scheduled commercial bank only, shall be in form acceptable to the RBI as per Annexure XVIII. The EMD of unsuccessful bidders will be returned to them. The EMD will not carry any interest. The EMD of successful bidder shall be forfeited in case the bidder fails to commence the work awarded to him within the prescribed time limit. The successful bid, if withdrawn, is also liable for forfeiture of the EMD. Refund of the EMD will be made only on completion of the Tender exercise.

Annexure-XXI

Compliance Matrix – Terms and Conditions

1. The capabilities, operating characteristics and other technical details of the Switches, Routers and other Components offered should be furnished together with product brochures, literature, etc in the Technical Bid. The make a n d model o f each component shall be indicated.

The switches, routers and its components will have to be delivered and installed at RBI locations mentioned in Annexure-II without disturbing any existing system. If deemed necessary, the bidder is required to give presentation on the systems offered. RBI may increase or decrease the no of locations.

3. The Bidder should provide clear licensing terms & conditions for all the products offered to the complete satisfaction of the Bank. If any discrepancies found later with the licensing terms vis-a-vis total solution, then such additional cost will be borne by the bidder.

4. The bidder shall ensure to supply and install all the hardware/network components/software of the advanced/latest versions available in the market.

5. The Bidder should specify the exact versions and releases that have been proposed in the solution for every component (Software, Hardware & System software loaded on the hardware) including the additional/optional components and should also provide the life time of the product and availability of the proposed versions. The detailed list of additional /optional components also needs to be provided.

6. The quotations shall be submitted strictly in conformity with the specifications given in Annexure III, IV and V or of better quality. Compliance Matrix may be submitted by indicating Yes/No against every item.

7. All the proposals / declarations / assertions made by Bidder should be on their letter head. Format of undertaking on supply of material free from defects and keeping the system working is at Annexure XIV. Format of the undertaking on copyright related matters is given at Annexure XV.

8. Each and every page of the bid should contain name of company and initials of the authorised signatory.

9. It would be the responsibility of the successful bidder to liaise and do necessary configuration on related equipments in consultation with the officials of the Bank.

10. The RBI is not responsible for non-receipt of quotations within the specified date and time due to any reason.

11. Establishing and providing uninterrupted performance throughout the implementation and afterwards will be the responsibility of the bidder.

12. The acceptance of tender, subject to contract, will be communicated in writing at the address supplied for the prime bidder in the tender response. Any change of address of the Bidder, should therefore be promptly notified to the Chief General Manager, Department of Information Technology, Reserve Bank of India, 14th floor, Central Office Building, Shaheed Bhagat Singh Marg, Fort, Mumbai 400 001, India .

13. If RBI finds necessary, the successful Bidder shall be required to enter into a contract (Purchase Agreement/Service Level Agreement) with Reserve Bank of India, within thirty (30) days of the award of the tender or within such extended period as may be specified by the CGM Department of Information Technology, Reserve Bank of India, Mumbai. At the time of execution of the form of contract a Memorandum of Understanding (MoU) containing the terms and conditions necessary for the due performance of the work in accordance with the bids and acceptance thereof will be signed, which will be prerequisite for payment release. Failure of the Bidder to comply with the above requirement will result in the annulment of the award.

14. The Selected Bidder at the time of signing Purchase Agreement/Service Level Agreement, if Bank need, will have to bear all the legal charges like cost of Stamp duty etc.

15. Bidder should be ready to accept payment through Electronic Payment Systems (RTGS or NEFT)

16. The bidder should indicate their presence of permanent offices at locations mentioned in Annexure XII.

17. The bidder should have 24x7x365 support centre in India and should be able to provide onsite support within 2 hour of escalation without any cost.

18. The Bidder shall be responsible for generation and submission of necessary documentation required during various phases of project viz. Planning, installation, commissioning, roll out, acceptance and periodic reporting. Documentation shall be approved by RBI.

19. The Bidder is required to get prior approval of all the project plans and processes from RBI before commencement of the project. This will be reviewed from time to time based on the milestones.

20. The Bidder should document the base line configuration for all equipments and get it approved from RBI prior to commencement of installation.

21. Total Solution must cover supply and implementation of hardware and software as mentioned in the Annexure III, IV and V and also maintenance of the same.

22. Dimensions and weight of each piece of equipment offered shall be specified with necessary power and wiring requirements

23. The tenders found incomplete in any respect are liable to be rejected.

24. Bidder should submit the detailed Bill of Material (without prices) with part number, along with the Technical bid

25. All the technical specifications and other terms and conditions of the offer proposed by the Bidder should be valid for a minimum period of One Year from the last date of submission of Tender.

26. On expiry/termination of the contract, the selected Bidder shall handover all equipments to RBI in good working condition, before the release of that quarter’s payment.

27. There should be a Single Point of Contact from Bidder’s side during the implementation of the project.

28. The Bidder should fill all the Annexures attached and must upload the same with
