Introduction

Purpose

The Louisville & Jefferson County Visitors & Convention Commission, doing business

as the Louisville Convention & Visitors Bureau (“LCVB” or “Bureau”), is requesting Proposals

for banking services for LCVB. Using this Request for Proposals (“RFP”), LCVB intends to

contract with a vendor who will be available to provide the services during the contract term.

LCVB may select multiple vendors to provide the services described in the Scope of Services.

Vendors interested in assisting LCVB with the product or service as defined above must

prepare and submit a response in accordance with the Submission Requirements and

Procurement Schedule in this RFP. LCVB will review proposals from those vendors that submit

a proposal, which includes all information required to be included as described herein.

Definitions

“LCVB” means Louisville Convention & Visitors Bureau.

“Respondent(s)” refers to the interested individual(s) and/or firm(s) that submit a response to

this Request for Proposal.

“RFP” refers to this Request for Proposals, including any amendments, supplements or

addendums thereto.

“Proposal” refers to the complete responses to this RFP submitted by the Respondent(s).

Business Overview & Background

Overview of LCVB

The Louisville Convention and Visitors Bureau is a special district under the laws of the

Commonwealth of Kentucky and has been established pursuant to provision of 91A.350(1) and

91A.370 of the Kentucky Revised Statutes for the purpose of promoting recreational, convention

and tourist activities in Louisville and Jefferson County, Kentucky. LCVB is governed by a

nine-member Board of Commissioners, three of whom are appointed by the Governor and six of

whom are appointed by the Mayor. LCVB has 60 full-time employees and an operating budget

of approximately $18 million.

LCVB’s mission is to enhance greater Louisville’s economy through tourism by

positioning and selling the community worldwide, in partnership with the public and private

sector, as a premier destination for conventions, trade shows, corporate meetings, group tours,

and individual leisure travel. In pursuit of its mission, LCVB generates increased visitor

spending, local tax receipts, and job development.

Scope of Services

Areas of Specialized Services

The Bureau is requesting proposals for Business Checking, Merchant Credit Card

Processing, and Corporate Credit Card services as further described below. The Bureau may

select a single provider for all services or one or more separate providers for each service.

Describe the financial institution’s ability to provide the general banking services listed below:

General

1. For Business Checking services, maintain a branch office near LCVB office or in

Jefferson County, KY.

2. Provide one person as the single point of contact between the Bureau and the bank.

Business Checking

3. Establish demand deposit accounts as necessary to meet the banking requirements of

the Bureau. It is important that public funds and private funds remain separate. Seven

(7) accounts are expected to be utilized:

o Public Funds

• Operating (sweep checking account)

• Payroll (zero-balance account)

• Dedicated Funds (savings account with check-writing)

o Private Funds

• Operating account (sweep checking account)

• VIC Credit Card Receipts (sweep checking account)

• Office Credit Card Receipts (sweep checking account)

• Dedicated Funds (savings account with check-writing)

The Bureau may add other accounts in the future and requests similar pricing.

4. Provide an overnight investment service (sweep) for excess cash balances in the

applicable accounts, after minimum concentration account balance requirements are

met. Public and private funds invested in the overnight investment service should

remain separate. Describe how the rate of interest is determined and how often it is

repriced to market. Typically, $2-4 million is available for overnight investment.

5. Process approximately 350 disbursement checks per month through payables and

payroll valued at approximately $1 to $2 million.

6. Monthly deposits average $1-2 million with the majority being: wire transfer, ACH or

EFT. Daily deposits of physical checks and/or credit card transactions also occur

regularly.

7. Collateralize all collected balances, in excess of balances insured by the FDIC, at

100%.

8. Disburse funds via wire transfer upon on-line request of an authorized person(s).

9. Accept and send ACH transactions and provide on-line notification of ACH deposits

within 24-hours.

10. Describe your on-line capabilities for executing business checking transactions and

for viewing/downloading reports (e.g. daily activity, transaction reports, monthly

statements, etc). Outline the security measures in place for the protection of sensitive

information.

11. Provide stop payment services. Can stop payments be placed on-line? What is the

deadline for same day action? How long will a stop payment remain in effect? Do

you have different duration options, such as 6 months, 1 year, or 2 years, without the

need to implement extensions? Can stop payments be automatically renewed? If so,

for how long and is there an additional charge?

12. In the case of stale dated checks, will the bank agree to not honor any checks that

have been outstanding (based on the dated date of the check) for six months or more?

Is there a cost to the Bureau for reviewing and returning stale dated checks?

13. How does the bank compensate the Bureau for checks that are cashed after a stop

payment is placed or if a stale dated check is cashed? How many days does it take for

the bank to reimburse the Bureau?

14. Provide automated balance reporting services for all the Bureau accounts. Available

information should include: closing ledger, closing collected, opening ledger, opening

collected, float, previous day debit and credit detail (including bankcard deposits, and

ZBA), and ACH credit and debit detail. Automated balance reporting should be

available at the Bureau for multiple authorized users with multiple levels of approval

authority.

15. Does the bank provide electronic payment services? The Bureau currently does not

use electronic payment services. Briefly describe the process involved with

electronic payment services and the costs associated with it.

16. Provide monthly activity statements and reports for all accounts. The statement cutoff

should be the last day of the month. Please specify when statements are sent or

electronically available, which should be no later than the 5th business day of the

following month.

17. Provide monthly imaging of disbursement checks (front and back) and statements.

18. Does the bank offer Visa or Mastercard gift cards for purchase at branch locations?

19. Does the bank provide positive-pay for checks and ACH debit? The Bureau does not

currently utilize positive-pay; however, we are considering this as a safeguard against

check fraud. Briefly describe the process involved with positive-pay and the costs

associated with it.

20. Please describe how the bank deals with check fraud.

Merchant Credit Card Processing

21. Provide remote processing terminals at two locations for Visa, MasterCard, American

Express, and Discover. Annual volume consists of approximately 8,000 transactions

totaling approximately $500,000 in sales.

22. Please provide a detailed description of the entire merchant card process within your

institution.

23. Is your program housed through a third party vendor? If so, please explain.

24. Outline the security measures in place for the protection of data transmitted for

processing.

25. What are your daily workflow deadlines and when are funds credited to a merchant’s

account?

26. What process do you use to ensure that transactions qualify for the lowest interchange

category? Please describe in detail.

27. Provide a detailed rate and fee structure with a breakdown of all fees, including bank

and association charges as well as any one-time or setup charges.

Corporate Credit Card

28. Provide approximately 50 corporate credit cards for Bureau staff. Total corporate

credit card spending averages approximately $90,000-$120,000 per month.

29. Describe your experience in corporate credit card services, and include the number of

years you have offered this service.

30. On what platform do you issue corporate credit cards? (e.g. American Express, Visa,

MasterCard)? What are the prime benefits of this platform?

31. How do you ensure that the Bureau is protected from unauthorized charges?

32. Describe your 24/7 support structure for our employees.

33. If a cardholder has a dispute or issue with a charge, what is the resolution process and

timeline?

34. Describe the process for reporting a card lost or stolen.

35. Describe the procedure for de-activating cards, including online capability.

36. Detail all automatic and optional insurance coverage available.

37. Do you offer a rewards program? If yes, please describe the benefits for our

organization and the cardholder. Include a rebate percentage if applicable. How

often is the rebate/reward remitted (e.g. monthly, quarterly, annually, etc.)?

38. Will your corporate credit card interface with the Concur T&E expense processing

software tool?

39. Please describe any card programs that provide the option to set varying monthly or

single transaction limits, and block one or multiple suppliers for an individual card or

multiple cardmembers.

40. How many days following statement close until interest is assessed?

41. Can the statement close be set at the end of each calendar month?

42. Please describe and/or provide a sample centralized billing statement.

Term

LCVB intends to award a 5-year contract with the option to renew month-to-month

following the term. The contract should commence or become effective in July 2018 or as soon

as practical thereafter.

Form of Contract

If selected to provide services, the successful Respondent(s) may be required to execute a

form contract, which includes indemnification, insurance and termination provisions if

applicable as well as the compensation provisions. The successful Respondent(s) must also

accept and agree to abide by LCVB Terms and Conditions.

General Procurement Information

Procurement Process

The Evaluation Committee shall evaluate proposals, interview top applicants if it deems

interviews to be helpful, and complete its evaluation based on the best interests of LVCB.

Procurement Schedule

The RFP process commences upon the issuance of this RFP. The steps involved in the

procurement process and the anticipated completion dates are as follows:

to this RFP will only be available through LCVB’s web site. LCVB will not provide or be

responsible for verbal responses.

Proposals will not be accepted by facsimile transmission and no more than one Proposal

from any Respondent will be considered. In addition, all Proposals and all related information

must also be stapled or bound, and signed by a responsible party with authority to bind the

Respondent.

Addenda or Amendments to RFP

During the period provided for the preparation of the responses to the RFP, LCVB may

issue addenda, amendments, or answers to written inquiries. All such addenda, amendments, or

answers will be posted/issued as noted in “Obtaining Procurement Documents” herein and shall

constitute a part of the RFP. Respondents are encouraged to view the listed website regularly for

any issued addenda, amendments or answers, as it is the responsibility of the Respondent to

obtain same and to acknowledge receipt of same through the Affidavit attached hereto as

Appendix B. Any failure to so acknowledge such changes will make the proposal non-responsive

and it will be rejected.

Submission Requirements

Proposal Format

Each proposal must conform to the following outline. Response should be as thorough

and detailed as possible so that each Respondent’s capabilities are properly evaluated as to the

provision of LCVB’s required services. Proposals must not exceed thirty (30) single side pages,

inclusive of the Executive Summary.

Proposal Content

Respondents must provide the following information to be considered responsive. In

addition, in order to expedite evaluation of submittals, the Respondent’s information must be

organized in the following sequence:

A. Executive Summary – Each proposal must be accompanied by an executive

summary, signed by an officer authorized to enter into a contractual relationship

with LCVB on behalf of the firm. The executive summary shall include a brief

statement of approach to the work, understanding of the scope of services, and

objectives.

B. Qualifications and Experience – Describe the qualifications and experience of the

organization and the personnel that will be involved in the management of the

Bureau’s account.

1. Describe the organization, date founded, ownership, and other business

affiliations.

2. Provide the address of the office locations that will service the Bureau’s

account.

3. Provide the address of the branch location nearest the Bureau office.

4. Describe the experience of the financial institution in providing similar

services for other similar clients.

5. Provide biographical information on the financial institution officers that will

be directly involved in the management of the Bureau account, including how

long they have been with your financial institution, who the primary contact

will be, and their level of experience working with quasi-government clients.

C. Banking Services – Describe the financial institutions ability to provide the

banking services described in the Scope of Services section above.

D. Financial Stability – Respondent is required to provide information pertaining to

the firm’s financial integrity including:

1. Audited financial statement for the past two years, including income

statements, balance sheets, and any changes in financial position.

2. The latest quarterly financial report and a description of any material changes

in financial position since the last audited financial statement.

3. Respondents most recent Dun & Bradstreet, Value Line Reports or other credit

or bank rating/report.

Respondent may mark the financial statement as “Confidential”. LCVB will

maintain the confidentiality of the statements to the extent permitted by law.

Respondent shall submit the requested financial statements to be considered

responsive to this RFP.

E. References – Respondent must provide no less than three (3) client references for

similar services performed within the last five (5) years. The client reference list

must include:

- Name and address of client

- Name and telephone number of client contact

- Name and title of team members who worked with client reference that will be

assigned to work with LCVB

Respondent must also include a statement authorizing LCVB to contact

Respondent’s references in conjunction with the evaluation of Respondent’s

Proposal.

F. Cost Proposal – LCVB’s goal relating to the Cost Proposal is to obtain an overall

view of the Respondent’s pricing standards for the Scope of Services outlined

herein. Respondent may bid on one or more of the three service elements outlined

herein. Please separate the Cost Proposal into each of the following service

elements as applicable:

1. Business Checking – Provide a complete fee schedule for all Business

Checking services described in your proposal (e.g. account maintenance,

collateralization, stop payment, sweep fees, positive pay, electronic payments,

setup fees, etc.).

2. Merchant Credit Card Processing – Provide a complete fee schedule for all

Merchant Credit Card Processing services described in your proposal (e.g.

monthly maintenance, monthly minimum discount, chargeback fees,

authorization fees, online access fees, setup fees, etc.).

3. Corporate Credit Card – Provide a complete fee schedule for all Corporate

Credit Card services described in your proposal (e.g. interest rate on

outstanding balances, annual maintenance, conversion fees, late fees,

technology, training, account/program management, etc.). Outline your

financial rebate offer to the Bureau. Include details and exclusions.

Any costs associated with the requested services not listed on the Fee Schedule at

the end of this proposal will be assumed to be free of charge. If fees will vary

based on being awarded more than one of the above three service elements, please

explain how such award will impact the fees presented.

Evaluation of Respondents

Evaluation Process

The Bureau will review responses that meet the criteria outlined herein, and may or may

not choose to hold oral interviews prior to making a final decision. Should interviews be held, it

will be imperative that the lead representative for the Bureau’s engagement be in attendance.

Only those individuals directly involved with the presentation should attend the interview.

All responses should be valid for a 90-day period from the due date of the RFP and

should be signed by an individual authorized to bind the organization.

LCVB reserves the right to reject any and all proposals.

Evaluation Criteria

The Bureau will review all Proposals to determine if the Respondent has satisfied the

criteria described in this RFP. The following criteria will be considered in selecting the

successful Respondents:

• Responsiveness and ability to provide the requested services and reports.

• Experience, references, and continuity of bank and bank officials.

• Banking services costs and earnings potential.

• Quality and conciseness of responses.

• Creditworthiness and stability of the bank.

• Technological innovation in providing banking services (online functionality).

• The value of any service suggestions, or other new ideas and enhancements.

Special Terms and Conditions

Rights Reserved

All materials submitted to LCVB in response to this RFP will become the property of

LCVB, which reserves the right at its sole discretion, to use, without limitation, all information,

concepts, and data contained therein.

LCVB reserves the right to reject any and all submittals, to waive any informality or

irregularity in any response, and to make an award to the Respondent or Respondents deemed, in

the sole discretion of LCVB, to be the most suitable to LCVB.

This RFP does not commit LCVB to award a contract to any Respondent, or to pay any

cost incurred in preparation of materials filed in response to this RFP.

This RFP does not commit LCVB to accept Proposals except as set forth in this RFP.

LCVB reserves the right to negotiate with any Respondent, to award multiple contracts or

portions of the specified services, or to cancel in part or in its entirety this RFP, if it is deemed, in

the sole discretion of LCVB, to be in the best interest of LCVB.

Future Work

LCVB may, at its discretion, negotiate with the successful Respondent to include further

services not identified in this RFP.

Disclosure of Proprietary Information

The Respondent may attempt to restrict the disclosure of proprietary information that is

contained in the Proposal by marking each applicable page prominently with the words

“Proprietary Information”. After either a contract is executed pursuant to the RFP, or all

submissions are rejected, if access to documents marked “Proprietary Information” is requested

under the Kentucky Open Records Act, LCVB will notify the Respondent of the request and it

shall be the burden of the Respondent to establish that such documents are exempt from

disclosure under the law.

Notwithstanding the foregoing, in response to a formal request for information, LCVB

reserves the right to release any documents if LCVB determines that such information is a public

record pursuant to the Kentucky Open Records Act. LCVB shall have no liability to any

Proposer or anyone else for releasing any Proprietary Information of a Proposer.

Laws and Regulations

LCVB requires that all responses to this RFP, and any contract that may result, be in

accordance with all applicable laws, ordinances, rules, and regulations of the Commonwealth of

Kentucky, Metro Louisville, and LCVB.

Any contract developed as a result of this RFP shall be governed by the laws of the

Commonwealth of Kentucky with venue and jurisdiction in Jefferson County, Kentucky.

2. I have personal knowledge of the statements made herein and authority to bind

Respondent.

3. Respondent is submitting on the date hereof the attached Proposal in response to a

Request for Proposals (RFP) issued by the Louisville Convention & Visitors Bureau

(“LCVB”) for services as described herein, and with consideration of any addenda,

amendments and/or written responses to inquiries written subsequent thereto.

4. The Proposal contains accurate, factual and complete information.

5. Respondent acknowledges that all costs incurred by it in connection with the preparation

and submission of the Proposal, any other documents prepared and submitted in response

to the RFP, and any negotiation which may result there from shall be borne exclusively

by the Respondent.

6. All materials submitted in response to this Request for Proposal shall become the

property of LCVB upon delivery.

7. Respondent hereby declares that the only persons anticipated by Respondent to perform

the services for which the Proposal is submitted are named in the Proposal and that no

person other than those therein mentioned has any participation in the Proposal or in any

contract to be entered into with respect thereto. Additional persons may subsequently

perform services for which this Proposal is submitted, but only if acceptable to LCVB.

8. Respondent declares that this Proposal is made without connection with any other person,

firm or parties who have submitted a Proposal and that it has been prepared and has been

submitted in good faith and without collusion or fraud.

9. Respondent acknowledges and agrees that LCVB may modify, amend, suspend and/or

terminate the procurement process in its sole discretion. In any case, LCVB shall not

LCVB to provide the services outlined herein, for the term stated herein, will comply

APPENDIX C

LCVB TERMS AND CONDITIONS

The Louisville Convention & Visitors Bureau (“LCVB”) is committed to providing high quality,

cost-effective services as described herein and engages outside partners in this endeavor.

Respondent is expected to represent LCVB with integrity, professionalism, competence, and due

diligence in providing the described services, and to make all efforts to deliver those services as

efficiently and cost effectively as possible.

The following terms and conditions for selected Respondent (“Terms and Conditions”)

set forth the LCVB’s expectations. The Terms and Conditions will be effective for all services

performed under this contract awarded by LCVB pursuant to this Request for Proposal.

1. Form of Contract

LCVB may retain selected Respondent through a written contract. If requested, selected

Respondent must properly execute the original contract and return it to LCVB, along with any

additional documents or information the contract requires.

2. Conflicts of Interest

Prior to engagement, selected Respondent shall perform a thorough check for actual or

potential conflicts of interest, as defined by applicable rules of professional conduct, which may

arise from selected Respondent’s representation of LCVB. Selected Respondent must use their

best efforts to identify and discuss with LCVB’s Chief Financial Officer (“CFO”) any potential

conflicts of interest, including any philosophic conflict that may compromise a position taken by

LCVB. Throughout the course of selected Respondent’s representation, any conflict must also be

promptly disclosed and discussed with LCVB’s CFO as soon as it becomes known.

If selected Respondent requests a waiver, the request shall set forth, in detail, the

measures the selected Respondent will take to protect LCVB, its agents, officials and employees

from any prejudice, and/or any detrimental or adverse consequences. The CFO, however,

reserves the right to make an independent determination of whether selected Respondent has an

actual or potential conflict of interest in any matter and to grant or deny, on behalf of LCVB in

its sole discretion, such request.

Acceptance of an engagement on a matter by selected Respondent without written

disclosure of any conflicts constitutes a representation by selected Respondent that a conflict

check has been conducted and that no conflicts exist.

3. Communication

In addition to performing services in a professional, competent and timely manner and

making informed, ethical decisions on behalf of LCVB, selected Respondent shall keep CFO

informed of all material developments. Selected Respondent must provide regular, timely, and

effective communication to LCVB’s CFO as applicable.

4. File Retention

Selected Respondent shall retain all documents, papers, accounting records and other

work product pertaining to this engagement for a period of no less than five (5) years after the

date of final payment. The selected Respondent shall make such materials available for

inspection by LCVB at a reasonable time. Copies of such data shall be furnished to LCVB upon

request. The selected Respondent is entitled to reasonable reimbursement for the cost of

furnishing such copies.

5. Confidentiality

In the course of representing LCVB, selected Respondent may occasionally gain access

to non-public and confidential information. In addition, in such cases, LCVB requires selected

Respondent to maintain the confidentiality of such information both during and after the course

of its representation of LCVB. Selected Respondent must have in place appropriate procedures

to ensure the protection of all such information. Selected Respondent must follow all statutory,

regulatory, and ethical provisions relating to privacy, confidentiality and non-disclosure of all

privileged, proprietary and confidential information, and must take appropriate measures to

ensure that personnel are familiar with this requirement and are effectively supervised

accordingly.

Selected Respondent must consult with LCVB’s CFO before disseminating any

potentially sensitive information acquired from LCVB or developed or learned while

representing LCVB.

6. Media

Selected Respondent shall not make any statements to the media on behalf of LCVB or

relating to LCVB matters. All media inquiries must be immediately reported to LCVB’s CFO,

or as otherwise directed.

LCVB does not permit selected Respondent to advertise or promote their relationship

with LCVB, other than to list LCVB as a representative client in the course of marketing efforts.
