REQUEST FOR PROPOSALS

LICENCING OPPORTUNITY FOR CHILD CARE FACILITY AT QUEENSBOROUGH COMMUNITY CENTRE

The City of New Westminster is seeking proposals from qualified non-profit child care providers to license space within the newly expanded Queensborough Community Centre for the operation of a child care facility. Completion of the Community Centre expansion is expected in the fall late of 2012. Occupancy for the child care space is January, 2013. Nature of Proposals The City will consider proposals to license a portion of the Community Centre, measuring approximately 2230 square feet, for a term of five years for the purpose of operating a child care facility from Monday to Friday, during the hours of 6:00 am to 6:30 pm. The licensed premises will be fully furnished and equipped by the City (with the exception of learning materials and toys) and will accommodate up to 25 children aged 30 months to 5 years. A more detailed description of the premises and permitted uses, as well as the proposed terms and conditions of the contract to be entered into with the City, are set out in the attached Queensborough Child Care Facility License Agreement. The City will charge an annual license fee sufficient to cover its own costs under the License Agreement, and may license the premises to a non-profit society at less than market value in accordance with the Community Charter. It is anticipated that the license fee will be in the range of $1,450 to $1,600 per month in Year 1 of operation. Proposal Content Proposals should include: (a) a brief outline of the proponent’s understanding of this licensing opportunity;

(b) a work plan setting out the proponent’s intended approach and methodology to successfully

operate a child care facility at the Community Centre. This work plan shall include provisional budgets information;

(c) the proponent’s organizational programming methods, including

i. the proponent’s policies and practices demonstrating a commitment to quality, affordability and accessibility in providing child care services to a diverse range of children and families,

ii. processes for requesting and receiving parental input about their child care services, iii. processes for setting standards and evaluating the quality of its programs and facilities, iv. examples of building positive and collaborative relationships with the community, City

and other levels of government, and v. examples of the proponent’s engagement with other child development service providers

in service planning and coordination of service delivery.

(d) details of the proponent’s qualifications, training and experience in the operation of a childcare facility, and confirmation of appropriate licensing;

(e) names, qualifications, training and experience of all personnel who will be involved in the operation of the proposed childcare facility;

(f) names and contact information for three (3) references; and

(g) a statement of commitment to undertake the operation of, and to provide the staff and support necessary to carry on, a childcare facility at the Community Centre.

By submitting a proposal to the City, each proponent represents and warrants to the City that the information contained in its proposal is accurate and complete. Each proponent is solely responsible for the costs of preparing and submitting a proposal in response to this request. Inquiries and Addenda

Inquiries relating to this request for proposals shall be directed, in writing, to:

The City may issue addenda changing or clarifying this request for proposals by posting such addenda on the City’s website at any time but no later than three (3) days prior to the deadline for the submission of proposals. Proponents are responsible for checking the City’s website for addenda and other information relating to this request for proposals. Proponents must acknowledge receipt of addenda in their proposal. Information Meeting The City will hold an information meeting on Wednesday, April 18th, at 1:30pm at the Queensborough Community Centre located at 920 Ewen Avenue, New Westminster, BC. This meeting is not mandatory and any information provided at this meeting, at the sole discretion of the City, will be posted as an addendum to this RFP. Right to Cancel RFP and Acceptance/Rejection of Proposals The City may cancel this request for proposals at any time by addendum without liability for any loss, damage, cost or expense incurred or suffered by any proponent as a result of such cancellation. Should the City decide to cancel this request for proposals, the City may at any time invite further proposals or enter into discussions or negotiations with any party for the license of the child care facility premises. The City may reject any or all proposals, and may waive defects (including material defects) and informalities in or accept any proposal it considers most desirable. Confidentiality of Proposals The City is subject to the provisions of the Freedom of Information and Protection of Privacy Act (British Columbia) and proposals will not be treated as confidential regardless of whether a proposal is submitted as confidential, either implicitly or explicitly.

A: BACKGROUND AND CONTEXTUAL INFORMATION

Residential feedback has identified a shortfall of licensed child care spaces in the Queensborough Neighbourhood in the City of New Westminster. To address this need, the City has allocated space in the Queensborough Community Centre to accommodate a non-profit licensed child care license facility. Queensborough forms part of Lulu Island and is accessed via the Queensborough Bridge. The area Community Centre currently comprises 14,608 square feet and offers a range of programming options catering to all ages. The child care facility will be an integral part of the expansion to the Queensborough Community Centre. This overall facility expansion will see an additional 13,244 square feet of community space built and will accommodate the following uses: (a) additional multi-purpose rooms; (b) child care; (c) expanded weight room facilities; (d) flex offices; (e) library services; (f) police office space. The child care facility, which will comprise about 1,805 square feet, will accommodate 25 licensed child care spaces (30 months to 5 years of age). Construction commenced in summer of 2011 with building occupancy expected to occur in January of 2013. The Community Centre acts as the focal point for the neighbourhood, which had a population of 5,502 in 2006, and is located within the 6.4 hectare Ryall Park and immediately adjacent to Queen Elizabeth Elementary School and Queensborough Middle School. Together the park and schools site constitute a 10 hectare site that serves as the heart of the community. The population of Queensborough is projected to increase to about 11,000 by 2031. Queensborough’s housing mix is more family-oriented than for the City-as-a-whole. As evidence, 59.5% of its housing stock is comprised of single-family (30.3%), single family with suite (15.3%), and townhouse/duplex (13.9%) in 2006 (compared to 28.3% for the City-as-a-whole). Queensborough had 1,040 children aged 0 to 12 years in 2006, which represented 18.9% of the population. By comparison, for the City-as-a-whole, children aged 0 to 12 represented 12.6% of the population. Queensborough also had 800 females who were in the labour force and who had children at home in 2006. Based on New Westminster’s Child Care Needs Assessment (October 27, 2008), Queensborough had the smallest share of child care spaces by sub-area in New Westminster (i.e., 4.9% of the total). It also had the lowest proportion of group child care spaces per 100 children aged 0 to 12 by sub-area in New Westminster (i.e., 3.8). By comparison, there were 14.6 group child care spaces per 100 children aged 0 to 12 for the City-as-a-whole. Since the completion of the Needs Assessment, only 25 new licensed child care spaces have been created in Queensborough. These spaces, all of which are school-age care, are located in Queen Elizabeth Elementary School.

The Society wishes to licence that portion of the Building shown outlined in heavy black on the sketch plan attached as Schedule “A” (the “Premises”) for the purpose of operating a licensed child care facility, and the City wishes to grant to the Society a non-exclusive licence to use and occupy the Premises on the terms and conditions of this Licence;

D. In accordance with section 24 of the Community Charter (British Columbia), the City has published notice of its intention to provide assistance to the Society by licensing the Premises at market value;

THIS LICENCE is evidence that, in consideration of the licence fee to be paid and the promises exchanged below, and other good and valuable consideration (the receipt and sufficiency of which the parties hereby acknowledge), the parties covenant and agree as follows:

1 Licence

1. The City hereby grants to the Society a non-exclusive licence to enter upon and use the Premises for the Term, on the terms and conditions set out in this Licence.

2 Term

2. The term of this Licence is 5 years (the “Term”), commencing on January 2, 2013 (the “Commencement Date”) and expiring on December 31, 2017 (the “Expiry Date”).

3 Renewal

3. If the Society wishes to renew this Licence, the Society may, by providing notice to the City no less than 180 days before the expiry of the Term, request a renewal of this Licence. If, upon receiving such request, the City wishes, in its sole discretion, to grant the requested renewal of this Licence, the City shall provide notice of renewal to the Society and upon giving such notice this Licence shall be renewed, on the same terms and conditions (including this renewal provision), for a further term of 5 years.

4 Licence Fee

4. The Society shall pay to the City an annual licence fee of $______ (the “Licence Fee”), which Licence Fee shall increase throughout the Term by 3% annually. The Society shall pay the Licence Fee to the City on the Commencement Date and annually thereafter. The Society acknowledges and agrees that the Licence Fee amount does not include HST, PST or GST (as applicable).

5. The Society shall not be entitled to any refund of their Licence Fee as a result of any planned or unplanned temporary closures or partial closures of the Building with a duration under 3 business days.

5 Society Use of Premises

6. The Society shall only use the Premises for the purpose of carrying on a licensed child care facility from Monday to Friday between the hours of 6:00 am to 6:30 pm, which purpose may include hosting parents’ programs to support child development. The Society shall not use the Premises for any other purpose. The Society shall have exclusive use of the Premises during the hours of 6:00 am to 6:30 pm. The Society shall not use the Premises between the hours of 6:30 pm to 6:00 am, on statutory holidays or on weekends without the prior written consent of the Queensborough Community Centre Facility Manager. If request is granted

then appropriate rental rates will apply as indicated in New Westminster Parks, Culture and Recreation Fees and Charges.

6 City Use of Premises

7. The Society acknowledges and agrees that the City may use the Premises on weekends, on statutory holidays and from Monday to Friday during the hours of 6:30 pm to 6:00 am, and that such use will include meetings or activities where city staff are present at all times and that no food or beverages, excluding water, be permitted or consumed during usage. The City will not have access to learning materials or toys or any equipment with exception of tables and chairs

7 Furnishings and Equipment

8. The City has installed at the Premises the furnishings and equipment listed in Schedule “B”, and the Society may use all such furnishings and equipment for the purpose of carrying out its permitted activities under section 5. Specifications of the items identified in Schedule B will be determined in consultation with the Society.

8 Outdoor Play Equipment

9. The Society and its employees, volunteers and invitees may use all outdoor “as is” condition play equipment situated on the Land (the “Play Equipment”). The Society acknowledges that use of the Play Equipment is shared by all users of the Land, including members of the public, and is subject to rules and restrictions imposed by the City from time to time. If the Society or any of its employees, volunteers or invitees observes any deficiencies in the Play Equipment, the Society shall promptly notify the Queensborough Community Centre Facility Manager. The Society acknowledges that any use of the Play Equipment is at the Society’s own risk.

Parking Facilities

10. The City shall designate an area in the parking lot for short term / child drop off parking. Child care facility staff can park in the unassigned portion of the lot when depending on availability.

9 Society’s Covenants

11. The Society covenants and agrees as follows:

(a) to use the Premises only for the purpose set out in section 5 of this Licence;

(b) to promptly pay the Licence Fee when due;

(c) to provide all additional equipment and supplies (including learning materials and toys) that may be required to use the Premises for the purpose of this Licence;

(d) not to do, suffer or permit any thing that may be or become a nuisance or annoyance in, on or from the Premises to other occupiers or users of the Building, the Land, or to the owners, occupiers or users of adjoining lands, or to the public;

(e) not to commit or allow any wilful or voluntary waste or destruction of the Premises, and not to do, suffer or permit any act or neglect that may in any manner directly or indirectly cause injury to the Premises;

(f) not to allow any animals within the Premises without the City’s prior written consent;

(g) to take all precautions to ensure the safety of all persons using the Premises;

(h) to obtain in respect of every employee or volunteer of the Society a complete and current criminal record check with satisfactory results;

(i) to repair and maintain and replace all furnishings and equipment listed in Schedule “B”, and any additional furnishings or equipment brought into the Premises by the Society, in a safe and sanitary condition;

(j) to notify the Queensborough Community Centre Facility Manager promptly of any extraordinary repair and maintenance issues in relation to the Premises;

(k) not to erect or display any sign or notice on or in the Premises or adjoining City lands without the City’s prior written consent;

(l) to keep the Premises free of any rubbish, litter and debris and keep the areas adjacent to the Premises free of any rubbish, litter and debris originating from the Premises;

(m) to dispose of all non hazardous domestic waste and recycling materials associated with its use of the Premises in the appropriate receptacles provided at the Building, the removal of which shall be dealt with by the City;

(n) to arrange for appropriate pickup and removal of all hazardous or non-domestic waste associated with its use of the Premises;

(o) to carry on and conduct its activities on the Premises in compliance with any and all laws (including environmental laws), statutes, enactments, bylaws, regulations and orders from time to time in force and to obtain all required approvals, licenses and permits thereunder and not to do or omit to do anything on or from the Premises in contravention thereof;

(p) not to store, dispose, treat, use, release or transport any environmental contaminants on or from the Land, and to promptly remove all environmental contaminants from the Land which it has released or permitted to be released into the Land;

(q) to pay to the City all HST, PST and GST (as applicable) payable in respect of this Licence;

(r) to arrange and pay all costs and expenses for the provision of telephone, internet and cable services to the Premises;

(s) to promptly discharge any builders lien which may be filed against the title to the Land relating to any work or construction that the Society undertakes on the Premises, and to comply at all times with the Builders Lien Act (British Columbia) in respect of any such work or construction undertaken on the Premises.

10 Workers Compensation

12. The Society shall, in its use of and activities on the Premises, comply with the Workers Compensation Act (British Columbia) and all regulations and orders from time to time in force thereunder, including the Occupational Health and Safety Regulations, and, upon request from the City, shall provide evidence of any required registration under that Act and evidence of compliance with any requirement under that Act to make any payments or pay assessments. In addition, the Society shall be the “prime contractor” for the Premises under the Workers Compensation Act (British Columbia) and shall fulfill all of the “prime contractor’s” obligations under that Act, including by ensuring that the activities of any employers, workers, volunteers and other persons on the Premises relating to occupational health and safety are coordinated and by doing everything that is reasonably possible to establish and maintain a process that shall ensure compliance with that Act and regulations thereunder, including the Occupational Health and Safety Regulations.

11 Structural Maintenance and Repairs

13. The City shall maintain and repair the Building infrastructure at its own cost, other than repairs and maintenance resulting from the Society’s misuse of the Premises in contravention of this Licence, the costs for which the Society shall be solely responsible in accordance with Schedule “D”.

12 Utilities

14. The City shall provide heat, water and electricity to the Premises and non hazardous domestic waste and recycling collection from the Premises as part of the licence agreement.

13 Janitorial Services

15. The City shall provide janitorial services and related supplies at the Premises at its own cost, in accordance with Schedule “C”

14 Security

16. The City shall provide electronic security monitoring at the Building, including at the Premises, at its own cost. The Society shall lock and secure the Premises at the end of its daily use. The City shall lock and secure the Premises following its own use. Unless caused by the City’s failure to secure the Premises following its own use, damages and costs resulting from theft shall be the sole responsibility of the Society.

15 Liaison

17. The Society shall appoint a liaison to work with the City’s Parks, Culture and Recreation Department and the Society shall notify the City of the name and contact information for its appointed liaison upon execution of this Licence. The Society’s appointed liaison shall attend all meetings scheduled by the City from time to time for the purpose of discussing this Licence and addressing related concerns.

18. The Society’s appointed liaison or alternate shall attend monthly meetings with community centre staff and quarterly meetings with the administration team that will comprise all key service providers at the Building (Library, Police, Community Centre and Child Care Provider).

16 Society’s Representations and Warranties

19. The Society represents and warrants that:

(a) it is a not-for-profit society validly incorporated and in good standing under the laws of British Columbia, and it does not carry on its activities for profit or gain;

(b) it has the power and capacity to enter into and carry out its obligations under this Licence; and

(c) all necessary resolutions and other preconditions to the validity of this Licence have been completed by the Society.

(d) it will apply for and maintain a valid provincial child care licence for the Premises through the Fraser Health – Community Care Facilities Licencing for the term of this contract.

17 Condition of Premises

20. The Society accepts and uses the Premises and the Play Equipment “as is”, without any representations, warranties or assurances from the City as to their state or condition or their suitability for the Society’s purposes.

18 No Interest in Land

21. The Society acknowledges and agrees that this Licence creates a non-exclusive contractual licence only and the Society acquires no interest in the Land but only the non-exclusive right to use the Premises and the Play Equipment in accordance with the terms and conditions of this Licence.

19 Further Interests

22. The City may, from time to time, grant additional licenses and other rights and privileges to third parties with respect to use of the Premises, provided that such rights and privileges do not substantially impair the Society’s rights under this Licence.

20 Society Alterations

23. The Society shall not make any improvements or alterations to the Premises without the prior written consent of the City, which consent may be withheld at the City’s sole discretion.

21 Notice under Builders Lien Act

24. The Society acknowledges that the City may file a notice against the title to the Land pursuant to section 3(2) of the Builders Lien Act (British Columbia).

22 Insurance

25. The Society shall, at its sole cost, obtain and maintain during the Term and any renewal term:

(a) comprehensive general liability insurance providing coverage for death, bodily injury, sexual and physical abuse, non-owned automobile, property loss and damage, and all other losses arising out of or in connection with the Society’s operations at and use of the Premises in an amount of not less than $5,000,000.00 per occurrence; and

(b) “all risk” property insurance for replacement cost on all of the Society’s improvements on or to the Premises and all of the Society’s fixtures and personal property on the Premises;

(c) owned automobile liability insurance (in the event that the Society picks up or drops off children) in the amount of not less than $5,000,000.00; and

(d) any other form or forms of insurance that the City may require from time to time in amounts and for perils against which a prudent licensee acting reasonably would protect itself in similar circumstances.

26. All policies of insurance required to be taken out by the Society must be with companies satisfactory to the City and must:

(a) name the City as an additional named insured;

(b) include that the City is protected notwithstanding any act, neglect or misrepresentation by the Society which might otherwise result in the avoidance of a claim and that such policies are not affected or invalidated by any act, omission or negligence of any third party which is not within the knowledge or control of the insured;

(c) be issued by an insurance company entitled to carry on the business of insurance under the laws of British Columbia;

(d) be primary and non-contributing with respect to any policies carried by the City and that any coverage carried by the City is in excess coverage;

(e) not be cancelled without the insurer providing the City with 30 clear days written notice stating when such cancellation is to be effective;

(f) be maintained for a period of 12 months per occurrence;

(g) not include a deductible greater than $5,000.00 per occurrence;

(h) include a cross liability clause; and

(i) be on other terms acceptable to the City.

27. The Society shall obtain all required insurance at its sole cost and expense and shall, at least 14 days prior to the Commencement Date, provide the City with certificates of insurance confirming the placement and maintenance of all required insurance. The Society shall, throughout the Term, provide copies of all required insurance policies promptly upon request by the City.

23 Release and Indemnity

28. The Society shall at all times and does hereby indemnify, save harmless, release and forever discharge the City from and against all manner of actions, causes of action, claims, debts, suits, damages, demands, promises, and costs (including all legal costs associated with defending a claim) at law or in equity whether known or unknown, including without limitation for injury to persons or property, including death of any person, directly or indirectly arising or resulting from, or attributable to, any act, omission, negligence or default of the Society in connection with or in consequence of this Licence and its operations at the Premises, including its use of the Play Equipment.

24 Survival of Indemnities

29. The obligations under section 25 survive the expiry or earlier termination of this Licence.

25 Termination Due to Default

30. If and whenever:

(a) any of the Society’s goods or chattels are at any time seized or taken in execution or attachment by any creditor of the Society or under bill of sale or chattel mortgage;

(b) a writ of execution issues against the goods and chattels of the Society;

(c) the Society makes any assignment for the benefit of creditors or becomes insolvent or bankrupt;

(d) proceedings are begun to wind up the Society;

(e) the Society ceases to be a not-for-profit society in good standing under the Society Act (British Columbia);

(f) the Society is in default in the payment of the Licence Fee or any other amount payable under this Licence and the default continues for 30 days after delivery of written notice by the City to the Society;

(g) the Society does not fully observe, perform and keep each and every term, covenant, agreement, stipulation, obligation, condition and provision of this Licence to be observed, performed and kept by the Society, and persists in such default for 30 days after written notice by the City; or

(h) the Society vacates or abandons the Premises or uses or permits or suffers the use of the Premises for any purpose other than the purposes permitted by this Licence, and such default persists for 30 days after written notice by the City,

then the City may, at its option, terminate this Licence and the Term shall then become immediately forfeited and void and the Society shall immediately cease all use and occupation of the Premises and shall vacate and deliver up possession of the Premises and the City may without notice or any form of legal process and without any adherence to public law duties or procedural fairness or the principles of natural justice, forthwith re-enter the Premises and repossess and enjoy the same.

26 Surrender

31. Within 30 days after the Expiry Date or earlier termination of this Licence (unless this Licence is terminated for default in accordance with section 27, in which case the Society shall comply with the requirements under this section immediately upon termination), the Society shall cease its use of the Premises, remove all equipment and supplies brought into the Premises and leave the Premises in a safe, clean and tidy condition, and otherwise in the condition in which the Premises are required to be kept throughout the Term.

27 Condition of Premises

32. If the Society fails to leave the Premises in the condition required by this Licence, the City may do so on behalf of the Society and the Society shall, on demand, compensate the City for all costs incurred.

28 Entry by City

33. The City may enter onto the Premises at any time for the purpose of inspecting the Premises in order to determine whether the Society is complying with the requirements of this Licence.

29 No Assignment or Sublicence

34. The Society shall not assign the Society’s interest in this Licence or sublicence the Premises or any portion of the Premises, nor may the Society charge, mortgage or encumber or purport to charge, mortgage or encumber the Land or the Building.

30 Entire Agreement

35. The provisions in this Licence constitute the whole of the agreement between the parties and supersede all previous communications, representations, warranties, covenants and agreements, whether verbal or written, between the parties with respect to the subject matter of this Licence.

31 No Joint Venture

36. Nothing contained in this Licence creates the relationship of principal and agent or of partnership, joint venture or business enterprise or entity between the parties or gives the Society any power or authority to bind the City in any way.

32 Notices

37. Where any notice, request, direction or other communication (any of which is a “Notice”) shall be given or made by a party under this Licence, it shall be in writing and is effective if delivered in person, sent by registered mail addressed to the party for whom it is intended at the address set forth above in the Licence, or sent by fax to the City at (604) 527-4509, as the case may be, provided that any Notice to the City shall be to the attention of the City’s Chief Administrative Officer. Any Notice is deemed to have been given if delivered in person, when delivered; if by registered mail, when postal receipt is acknowledged by the other party; if by fax, when transmitted. The address or fax number of a party may be changed by notice in the manner set out in this provision.

33 No Effect on Law or Powers

38. Nothing contained or implied herein prejudices or affects the City’s rights and powers in the exercise of its functions pursuant to the Community Charter

(British Columbia) or its rights and powers under any enactment to the extent the same are applicable to the Lands and the Building (including the Premises), as if this Licence had not been fully executed and delivered.

34 Interpretation

39. In this Licence:

(a) reference to the singular includes a reference to the plural and vice versa, unless the context requires otherwise;

(b) a particular numbered section is a reference to the correspondingly numbered section of this Licence;

(c) an “enactment” is a reference to an enactment as that term is defined in the Interpretation Act (British Columbia) of the day this Licence is made;

(d) any enactment is a reference to that enactment as amended, revised, consolidated or replaced;

(e) section headings are inserted for ease of reference and are not to be used in interpreting this Licence;

(f) a reference to a party is a reference to a party to this Licence;

(g) time is of the essence;

(h) where the word “including” is followed by a list, the contents of the list shall not circumscribe the generality of the expression immediately preceding the word “including”; and

(i) a reference to a party is deemed to include the heirs, executors, administrators, successors, assigns, servants, employees, agents, contractors, elected and appointed officials, officers, directors, licensees and invitees of such party where the context so requires or allows.

35 City Discretion

40. Wherever in this Licence the approval or consent of the City is required, some act or thing is to be done to the City’s satisfaction, the City is entitled to form an opinion, or the City is given the sole discretion:

(a) the relevant provision is not deemed to have been fulfilled or waived unless the approval, consent, opinion or expression of satisfaction is in writing signed by the City or its authorized representative;

(b) the approval, consent, opinion or satisfaction is in the discretion of the City, acting reasonably; and

(c) the sole discretion of the City is deemed to be the sole, absolute and unfettered discretion of the City.

36 Severance

41. If any portion of this Licence is held invalid by a court of competent jurisdiction, the invalid portion shall be severed and the decision that it is invalid shall not affect the validity of the remainder of the Licence.

37 No Public Law Duty

42. Whenever in this Licence the City is required or entitled at its discretion to consider granting any consent or approval, or is entitled to exercise any option to determine any matter, or to take any action or remedy including, without limiting the generality of the foregoing, the termination of this Licence, the City may do so in accordance with the contractual provisions of this Licence and no public law duty of procedural fairness or principle of natural justice shall have any application.

38 Binding on Successors

43. This Licence enures to the benefit of and is binding upon the parties and their respective successors and assigns, notwithstanding any rule of law or equity to the contrary.

39 Laws of British Columbia

44. This Licence shall be construed according to the laws of the Province of British Columbia.

40 Waiver or Non-Action

45. Waiver by the City of any breach of any term, covenant or condition of this Licence by the Society shall not be deemed to be a waiver of any subsequent default by the Society. Failure by the City to take any action in respect of any breach of any term, covenant or condition of this Licence by the Society shall not be deemed to be a waiver of such term, covenant or condition.

As evidence of their agreement to be bound by the above terms, the City and the Society each have executed this Licence on the respective dates written below:
