��� INTRODUCTION

��� The erstwhile Maharashtra State Electricity Board was restructured in the year 2005-06 into 4 Companies viz., 1) MSEB Holding Company 2) MahaGenco 3) MahaTransco and 4) MahaVitaran (MSEDCL).

��� Maharashtra State Electricity Distribution Co. Ltd. (hereinafter referred to as “MSEDCL”) is a company registered under The Companies Act, 1956 and entrusted with the function of undertaking electricity distribution in the State of Maharashtra.

��� After restructuring, a comprehensive review of the existing infrastructure in the company was taken and it was found that there is an immediate need of renovation, modernisation and upgradation / augmentation of the existing distribution system. There is also need to adopt the latest technology available to enable good governance of the Company.

��� In order to prepare MSEDCL to meet the challenges thrown up by Electricity Act 2003 effectively, a comprehensive 5 years Infrastructure Plan (05-06 to 09-10) has been prepared. The 1st phase of this plan (2006-07 and 2007-08) comprising of various works to be undertaken amounting to approximately Rs. 7,568 Crores is planned to be implemented with the objective of:

i. Reduction of T&D Losses;

ii. Providing Reliable & Quality supply to the consumers;

iii. Meeting the Load growth;

iv. Upgrading the existing deteriorated system and

v. Providing Administrative Support with latest technology;

��� The works identified to be undertaken for implementation under the Infrastructure Plan include establishment of 33/11kV S/s, 22/11kV S/s, switching S/s, distribution transformers of various capacities viz. 630, 500, 315, 300, 200, 100, 25, 16 kVA, etc. erection of 33kV, 22kV, 11kV lines, LT single phase 2 wires, single phase 3 wires, three phase 4 wires and so on, augmentation of capacity of existing power Transformers, replacement of deteriorated structures, Circuit Breakers, energisation of the agriculture pumps, extending the electric supply to house holds, industries, etc.

��� These works are slated to be carried out within a time frame of two years. As an implementation strategy, the said projects are envisaged to be implemented on a Turnkey basis. The Contracts for turnkey works are to be awarded to contractors at the Circle level.

�� Further, it is decided to appoint suitably qualified and experienced consultants as Project Management Consultants at Corporate Office and Zonal Offices to assist MSEDCL in implementation of the project within the stipulated period.

�� In view of this, it is decided to invite proposals from reputed consultants with requisite experience to provide Project Management Consultancy Services at Corporate Office and Zonal Offices for implementation of the Infrastructure Plan Projects.

��� MSEDCL seeks to selects competent and capable party or a consortium of parties (hereinafter referred to as the “bidders”) as a Project Management Consultant.

���� All the bidders are required to submit the information in accordance with the guidelines set forth in this document. Bidders should provide information sought herein in order to establish their competence, satisfactorily and suitability for appointment as Project Management Consultant.

��� DETAILS OF WORKS TO BE UNDERTAKEN AS PART OF INFRASTRUCTURE PLAN

��� The tentative details of packages/sections of work to be undertaken and implemented as part of the Infrastructure Work Plan through turnkey contracts include the following, as required on existing/proposed alignments:

��� In addition to the above, other works to be undertaken include various type of works proposed in R&M viz. revamping of sub-stations (Indoor to Outdoor Sub-Stations), replacement of old CT’s, PT’s, battery sets, battery charger, deteriorated structures such as poles, stays, crimping of jumpers, etc.

��� The details of the Zone-wise works to be undertaken are enclosed at Annexure XIII.

��� INFORMATION AND INSTRUCTIONS TO THE BIDDERS

��� Acknowledgement of the RFP

����� All the potential bidders must fill out, sign and return the “Acknowledgement of RFP and Notice of Intent to Bid” form, in the format as attached to this RFP at Annexure-I, within 7 days from the receipt of this document by the Bidder.

��� Details regarding appointment of PMC/(s)

����� Considering the scale of the project, MSEDCL has proposed to appoint Project Management Consultants at the Corporate (hereinafter referred to as “Main PMC”) as well as the Zonal offices (hereinafter referred to as “Zonal PMC”).

����� The details of the Zonal Offices of MSEDCL and the districts/areas under the jurisdiction of the respective zones where the Zonal PMC/(s) are proposed to be appointed are as given below:

i) Zone Akola:

o Districts – Akola , Amaravati, Yavatmal, Washim, Buldhana; ii) Zone Aurangabad:

o Districts - Aurangabad, Jalna, Parbhani, Hingoli; iii) Zone Bhandup:

��� Broad Terms of Reference for Main PMC and Zonal PMC/(s)

����� The broad terms of reference for the Main PMC to be appointed at the Corporate office and the Zonal PMC/(s) to be appointed at the Zonal offices are as follows:

Main PMC:

Assisting the Chief Engineer (Infrastructure Plan) at Corporate Office, Mumbai for implementation of the Infrastructure Plan in the following manner;

o Main PMC shall ensure the timely implementation and completion of the overall Infrastructure Plan;

o Main PMC to be responsible for co-ordination amongst the Zonal PMC’s through regular meetings and visits to the zones;

o Design, develop and implement an Integrated Project Management Information System (MIS) at the Corporate and all the Zonal Offices capable of tracking the overall progress of the projects. The system should encompass modules like documentation control system, Invoice processing system, payment tracking system, financial and physical progress tracking, contract management system and other modules as deemed necessary for the efficient working of the system;

o Ensure regular monitoring of the progress of the projects underway at different zones and establish a feedback mechanism;

o Regular reporting of the status of the projects to the concerned officials and flagging of issues at appropriate times with suggestions/solutions;

o Training to the MSEDCL personnel at corporate office in project management in general and in respect of implementation of the projects in particular and co-ordinating the training programs of the field offices;

o Finalization of tenders for Turnkey contracts received after first level scrutiny and evaluation by Zonal PMC’s from the Zonal offices;

o Liaisoning with REC/PFC or any other Financial Institutions for availing financial assistance;

o Liaisoning with Maharashtra Electricity Regulatory Commission (herein after referred to as MERC);

o Assistance to MSEDCL in contractual or any other dispute resolution;

o Co-ordination with the external Quality Control Consultant;

o Any other incidental works related to above subjects;

Zonal PMC:

o Zonal PMC to ensure the timely implementation and completion of the Turnkey Projects in the Zone;

o Finalization of Tenders for the already prepared Detail Project Reports (DPRs) in the Zone and co-ordination with the Main PMC in this regards;

o Finalization of Turnkey Project Contracts for implementation of the total project;

o Operationalise the Integrated Project Management Information System (MIS) at the Zonal Office implemented by the Main PMC capable of tracking the overall progress of the project. The Zonal PMC would be responsible for the regular updation of data, generation of Reports, etc. in the MIS system.

o Regular monitoring the progress of the projects and flagging of issues to concerned officials of MSEDCL and also to the Main PMC with suggestions/solutions;

o Coordination, Monitoring and Operation of implementation of these projects in the zone;

o Liaisoning with competent authorities, Statutory Bodies for arranging various clearances/permissions;

o Training to the MSEDCL personnel at Zonal Office in Project Management in general and in respect of implementation of the projects in particular, in consultation with the Main PMC;

o Overall Supervision of the works being undertaken & development of a system to validate the Measurements recordings done by the MSEDCL staff and certification of the same for release of payments subject to the terms & conditions set in Order / Tender;

o Ensure quality of works being implemented through the turnkey Contractors in the project through a proper internal Quality Control system to be setup

by the Zonal PMC;

o Assistance to MSEDCL in contractual or any other dispute resolution;

o Co-ordination and interaction on a regular basis with the Main PMC at the Corporate Office;

o Providing requisite information to the Main PMC with regards to the status of the projects and any other information regarding the project, as required by the Main PMC, as and when required;

o Co-ordination with the external Quality Control Consultant;

o Any other incidental works related to above subjects;

��� The detailed Terms of Reference for the Main PMC and Zonal PMC/(s) is enclosed at Annexure-II.

��� In order to obtain first hand information on the assignment and the local conditions, it is considered desirable that a representative from the bidders’ firm visits the Corporate Office at Mumbai and zonal office at respective locations before the proposal is submitted.

��� Tenure of Engagement:

����� The Tenure of the contract for the Zonal PMC would be 2 years from the date of commencement of the contract or successful completion of the turnkey project being implemented at the Zone and final acceptance thereof by MSEDCL, whichever is later;

����� The Tenure of the contract for the Main PMC would be 2 years from the date of commencement of the contract or successful completion of the turnkey projects being implemented at all the Zones and final acceptance thereof by MSEDCL, whichever is later;

�� Qualifying Criteria

���� The Qualifying criteria for the bidding firms to participate in the bidding process for appointment of the Main PMC and Zonal PMC is:

4.7.1.1 Prior Experience of handling atleast a single Infrastructure Project as the Project Management Consultant, having project cost of:

� For Main PMC (Corporate Office) - Rs. 400 Crores or more; � For Zonal PMC (Zone Office) – Rs. 100 Crores or more;

during the last five years (FY 2001-02 to 2005-06).

���� The bidders not meeting the above mentioned Qualifying criteria would be dis-qualified and the bids will not be evaluated.

�� Information Required

���� The information required to be submitted by the bidder along with the RFP document is outlined under section 8 of the RFP document.

���� Strict adherence to the formats wherever specified, is required. Wherever the information has been sought in specified formats, the bidder shall refrain from referring to brochures / pamphlets. Non-adherence to the formats and/or submission of the incomplete information shall be ground for declaring a bid as non-responsive. Each format has to be duly signed and sealed by the bidder.

���� The bidder should note that:

4.8.3.1 If the bidder deliberately gives wrong information in its response to create circumstances for acceptance of its bid, MSEDCL reserves the right to reject such bid and/or cancel the award, if made.

4.8.3.2 The bid submitted by the bidder shall become the property of the MSEDCL and MSEDCL shall have no obligation to return the same to the Bidder.

��� Earnest Money Deposit (EMD)

����� The bidder shall pay Rs. 2,00,000 (Two Lac Only) with the RFP document as Earnest Money Deposit in the form of a Demand Draft drawn in favour of “Maharashtra State Electricity Distribution Company Limited” payable at Mumbai from any Nationalised Bank. The proposals without the payment of EMD shall be summarily rejected.

����� Separate EMD will have to be paid along with each bid submitted by the bidder.

����� EMD of unsuccessful bidders

4.9.3.1 EMD shall be returned to the unsuccessful bidders as soon as possible after the bids have been decided, and on submission of receipt of EMD payment.

���� Security Deposit

������ The successful bidder is required to make a payment of 10% of the fees quoted by him for undertaking the work, as Security Deposit within 15 days from the date of issue of “Letter of Intent” by MSEDCL

������ The Security Deposit shall be payable in the form of Demand Draft or Bank Guarantee in the format of Bank Guarantee which shall be made available to the successful bidder along with the “Letter of Intent”.

������ The EMD deposited by the bidder at the time of submission of the RFP document as mentioned under section 4.8 of the document, would be adjusted against the amount payable as Security Deposit.

������ The Security deposit shall be refunded to the bidder on completion of the contractual obligations by the PMC.

��� SUBMISSION OF PROPOSALS:

��� In case of bids being submitted by a Consortium:

����� The proposal should mention the Lead Consortium Member and the Lead Consortium Member should designate one person to represent the consortium in its dealing with MSEDCL. The person should be authorized to perform all the tasks including, but not limited to providing information, responding to queries, entering into contractual commitments on behalf of the consortium, etc.

����� The submitted proposal should include a Joint Deed Agreement, as per Annexure-III, entered into between the consortium members, clearly indicating the responsibilities of each consortium member, in the proposed role as the Main PMC or Zonal PMC/(s). Each Consortium member shall duly sign the Joint Deed Agreement. In absence of such a document, the bid would not be considered for evaluation and will be rejected.

����� The submitted proposal should contain the signed letters (“Letter of Consent”) as per format provided at Annexure-IV, submitted by each member of the consortium, stating that the entire proposal has been reviewed and each key element of the proposal is agreed to. Any substantive exception should be mentioned in the letter.

����� Any request for change in the membership of the consortium, or in responsibilities of any consortium member is allowed, however, such change should be communicated to MSEDCL in writing for its approval. MSEDCL reserves its right to cancel the award of the project to the consortium, which in its opinion adversely affects the consortium strength and does not meet the qualification criteria as mentioned in this document. Accordingly the EMD will be forfeited in such cases.

��� METHOD OF SUBMISSION OF BIDS:

All the pages of the response submitted by the bidders must be duly initialed by the authorized signatory on behalf of the bidder.

The bidder has to submit the proposal in duplicate i.e. 1 Original + 1 Duplicate Copy.

The main envelop should contain a covering letter in the format prescribed at Annexure X.

The bidder has the option of sending his proposal by registered post or submitting the same in person so as to reach MSEDCL at the designated address by the time and date stipulated by MSEDCL under section 5.5. However, it has to be noted that the EMD would have to be deposited with MSEDCL before the submission of the bid and the requisite Money Receipt (MR) would have to be obtained by the bidder from MSEDCL Head Office, Mumbai. Responses submitted by telex/fax/telegram shall not be considered under any circumstances. MSEDCL shall assume no responsibility for the late receipt of the proposals. Any proposal received after the time as stipulated by MSEDCL shall not be considered for evaluation.

No change or supplemental information to a proposal shall be accepted after the scheduled time for submission of the bid. However, MSEDCL reserves the right to seek additional information from the bidders, if found necessary, during the course of the evaluation of the proposal.

If the envelop is not sealed and not marked as per the requirement, MSEDCL would assume no responsibility for the bids misplacement and premature opening.

��� OPENING OF PROPOSAL

��� The Technical Proposal will be opened for scrutiny in presence of the representatives of the bidding firms at 3.00 pm on 6th June 2006 in the chamber of the Chief Engineer (Infrastructure Plan), MSEDCL, 4th Floor, Prakashgad, Mumbai.

��� The Financial Proposal will not be opened till the Technical evaluation is completed. The date, time and venue for opening of the financial proposal will be intimated to the bidder by MSEDCL.

���� EVALUATION CRITERIA – TECHNICAL PROPOSAL

���� An evaluation committee would be formed by MSEDCL to evaluate the proposals received from the bidders. The Decision of the evaluation committee shall be final and binding on all the bidders.

���� A two-stage procedure will be adopted in evaluating the proposals with the technical evaluation being completed prior to any financial proposals being opened.

���� The technical proposals will be evaluated on the criteria detailed below:

���� Further, the FINANCIAL proposals of bidders, securing less than 60 marks in the Technical evaluation, would not be opened and considered for evaluation.

���� EVALUATION CRITERIA – FINANCIAL PROPOSAL

���� Quality of Service and Competence of the Consultant providing the desired services as the PMC will have paramount importance and shall have the highest bearing while awarding the contract to the prospective PMC.

���� Technical proposals scoring not less than 60 marks will only be considered for financial evaluation.

���� The Financial Proposals shall be opened in the presence of the technically qualified consultant’s representatives who choose to attend. The name of the

Consultant, the Technical Scores, and the prices quoted by the consultant shall be read aloud and recorded when the Financial Proposals are opened.

���� The bidders should quote lumpsome fees in Indian Rupees and not as a % of the Project Cost, for undertaking the project and the price quoted will include all the other expenses like establishment charges, stationery, travel related, communication expenses, accommodation, etc. The prices quoted by the bidders will include the statutory taxes payable by the bidder except the Service Tax payable on the Consultancy Services. The same would be borne by MSEDCL at actuals on submission of valid registration certificate.

���� The fees quoted by the bidders would be for the entire tenure of the contract as specified under section 4.6 of the RFP document.

���� The evaluation committee formed to evaluate the proposals will determine whether the Financial Proposals are complete, correct and free from any computational errors. The evaluation shall include all taxes payable by the bidder.

���� EVALUATION OF OFFERS

���� The bid evaluation process comprises of the following two steps:

� Step I – Responsiveness and prerequisites check � Step II – Bidder evaluation

���� Step 1 – Responsiveness check

������ The Bids submitted by Bidders/ Bidding Consortia shall be initially scrutinized to establish “Responsiveness”. The following conditions shall cause the bid to be deemed “Non-responsive”:

� Responses not received by the due date and within specified time � Sufficient information not submitted for the bid to be evaluated and/or

information not submitted in specified formats � Bid not signed by authorised signatory and / or sealed in the manner and to the

extent indicated in this Invitation for Bids � Bid not including the covering letter as per format in Annexure-X. � Bid submitted by a Bidding Consortium not including the Joint Deed Agreement � A firm shall submit only one bid in the same bidding process, either individually

as Bidding Company or as a partner of a joint venture or consortium. No firm can be a subcontractor while submitting a bid individually or as a party of a joint venture or consortium in the same bidding process. A firm, if acting in the

capacity of Subcontractor in any bid, may participate in more than one bid, but only in that capacity. A Bidder who submits, or participates in, more than one bid will cause all the proposals in which the Bidder has participated to be disqualified.

���� Step II - Bidder evaluation

������ Step II (Bidder evaluation) will be carried out considering the information furnished by Bidders.

������ Proposals received and found responsive will be evaluated by the evaluation committee formulated by MSEDCL.

������ The proposal submitted by the bidders will be evaluated based on the evaluation criteria outlined above.

������ The technical proposal would be evaluated on parameters mentioned under point 10.3 of the document.

���� The marks awarded for the proposed Methodology and Work plan would be based on the presentation to be made by the bidders to the evaluation committee constituted by MSEDCL. The Presentation shall include:

������ Details of the technical proposal submitted by the bidder.

������ The presentation shall also cover in sufficient detail:

• Appreciation of the project. • Approach & methodology proposed to be adopted by the PMC for undertaking

the project. • Proposed manning details along with information with regards to the Key

���� The objective of presentation is to evaluate the firms with regards to their understanding and preparedness for the assignment and get clarifications, if any, as required by MSEDCL;

���� The date & venue of presentation will be decided by MSEDCL and intimated at least one week in advance;

��� The financial proposal will be evaluated in the following manner:

The score on price quote will be calculated in the following manner:

Proposal evaluation : 100 × X / Y

where

X= Price of lowest responsive Bidders

Y= Price of any other Bidders

The percentage marks allocated to the lowest responsive Bidders will be 100 and on a pro-rata basis to other Bidders i.e. 100 × X / Y.

��� The Final Total score will be worked out by adding the weighted marks on technical and financial proposals.

���� The Weightages for the aforementioned proposals would be as under:

� Technical Proposal including presentation : 70% � Financial Proposal : 30% � Total : 100%

����� The firm achieving the highest combined Technical and Financial score will be considered for award of contract.

����� The decision of the evaluation Committee will be final and binding on all the bidders.

����� MSEDCL reserves the right to accept or reject any or all of the bids without assigning any reasons whatsoever.

���� VALIDITY OF THE PROPOSALS

���� The proposal submitted by the bidders shall be valid for a period of one hundred and twenty (120) days from the stipulated last date for receipt of proposals as mentioned hereafter.

���� In case the period of 120 days as mentioned above elapses, MSEDCL may seek an extension of the validity of the bids or may request for a revised proposal from the existing bidders or from other bidders who are not part of the present process.

���� The overall offer including key personnel proposed for the assignment and the prices quoted shall remain unchanged during the period of validity. Any changes to the proposed key personnel shall be done only after written permission from MSEDCL in response to an application by the bidder.

���� During negotiations the consultant must be prepared to furnish the detailed cost break-up and other clarifications to the proposals submitted by him, as may be required to adjudge the reasonableness of his price proposals.

���� If the negotiations with this consultant are successful, the award will be made to him. If negotiation fails, and if it is concluded that a contract with reasonable terms cannot be concluded with this consultant, the consultant quoting second lowest cost will be invited for negotiations. This process will be repeated till an agreed contract is concluded.

���� Please note that MSEDCL reserves its right to select or reject any or all of the proposal without providing any reasons whatsoever.

���� PAYMENT TERMS

���� Payments to the PMC will be milestone linked.

���� The Milestones for the release of the payment will be mutually agreed upon by the PMC and MSEDCL at the time of signing the contract.

���� FORCE MAJEURE CONDITIONS

���� Force majeure is herein defined as any cause which is beyond the control of the PMC or MSEDCL as the case may be, which they could not forsee or with a

reasonable amount of diligence could not have forseen and which substantially affects the performance of the contract such as:

� Natural Calamity including but not limited to flood, drought, earthquake, epidemics, volcanic activities, typhoon or cyclone, hurricane and nuclear disaster;

� Act of any government, domestic or foreign, including but not limited to war declared or undeclared, quarantines, embargoes, etc. provided either party shall, within 15 (fifteen) days from the occurrence of such a cause, notify the other the writing of such causes. Unless otherwise directed by MSEDCL in writing, the PMC shall continue to perform its obligation under the contract as far as reasonably practical and shall seek all reasonable alternative means of performance not prevented by the force majeure event;

� Rebellion, revolution, insurrection, mutiny, usurpation of civil or military government, conspiracy and terrorist acts;

� Confiscation, nationalisation, mobilisation, commandeering or requisition by or under the order of any government or de jure or de-facto authority or ruler of any other act or failure to act or any local or state of national government authority;

� The PMC or the MSEDCL shall not be liable for delay in performing their respective obligations resulting from any force majeure cause as referred to and/or defined above, the date of completion shall be extended by a reasonable time even though such cause may occur after the PMC’s performance of his obligations has been delayed for other causes.

���� JURISDICTION OF CONTRACT

���� All disputes or differences arising under, out of or in connection with this tender or contract if concluded, shall be subject to the exclusive jurisdiction of the Courts in Mumbai.

��� OTHER TERMS AND CONDITIONS

��� Please note that the cost of preparing a proposal and of negotiating a contract, including visits to Mumbai, if any, is not reimbursable as a direct cost of the assignment to the bidder.

��� Please note that if you consider that your firm does not have all the expertise for the assignment, there is no objection to your firm associating with another firm to enable a full range of expertise to be presented.

��� Please note that the remuneration/fees which the PMC will receive from MSEDCL will be subject to applicable tax liability in India. Kindly contact the concerned tax authorities for further information in this regard if required.

��� Both parties agrees to hold in confidence and not to disclose to third parties or use for any purpose other than performance of this assignment, all or any part of any information which is received or ascertained by the other party.

��� MSEDCL shall not be liable for or in respect of any damage or compensation payable at law in respect or in consequence of any accident or injury to any employee or other person in the employment of the PMC or any consortium member, save and except an accident or injury resulting from any act or willful default of MSEDCL.

��� MSEDCL reserves the right to make any changes/additions/deletions in the terms and conditions mentioned in the RFP before the last date of submission of the bids. However, in event of any such changes, the bidders will be intimated about the same.

ANNEXURE II

DETAILED TERMS OF REFERENCE FOR MAIN / ZONAL PMC/(S)

1. In order to prepare MSEDCL to meet the challenges thrown up by Electricity Act 2003 effectively, a comprehensive 5 years Infrastructure Plan (05-06 to 09-10) has been prepared. The 1st phase of this plan amounting to Rs. 7,568 Crores is planned to be implemented in the years 2006-07 and 2007-08 with the objective of:

i. Reduction of T&D Losses;

ii. Providing Reliable & Quality supply to the consumers;

iii. Meeting the Load growth;

iv. Upgrading the existing deteriorated system and

v. Providing Administrative Support with latest technology;

2. The works identified to be undertaken for implementation under the Infrastructure Plan include establishment of 33/11kV s/s, 22/11kV s/s, switching s/s, distribution transformers of various capacities viz. 630, 500, 315, 300, 200, 100, 25, 16 kVA, etc. erection of 33kV, 22kV, 11kV lines, LT single phase 2 wires, single phase 3 wires, three phase 4 wires and so on, augmentation of capacity of existing power Transformers, replacement of deteriorated structures, Circuit Breakers, energisation of the agriculture pumps, extending the electric supply to house holds, industries, etc.

3. These works are slated to be carried out within a time frame of two years. As an implementation strategy, the said projects are envisaged to be implemented on a Turnkey basis. The Contracts are to be offered to contractors at the Circle level.

4. Further, it is decided to appoint suitably qualified and experienced consultants as Project Management Consultants at Corporate Office and Zonal Offices to assist MSEDCL in implementation of the project.

5. In view of this, it is decided to invite proposals from reputed consultants with requisite experience to provide Project Management Consultancy Services at Corporate Office and Zonal Offices for implementation of the Infrastructure Plan Project.

6. MSEDCL seeks to selects competent and capable party or a consortium of parties (hereinafter referred to as the “bidders”) as a Project Management Consultant.

7. Broad Scope of Work – Main PMC at Corporate Office

Assisting the Chief Engineer (Infrastructure Plan) at Corporate Office, Mumbai for implementation of the Infrastructure Plan in the following manner;

o Main PMC shall ensure the timely implementation and completion of the overall Infrastructure Plan;

o Main PMC to be responsible for co-ordination amongst the Zonal PMC’s through regular meetings and visits to the zones;

o Design, develop and implement an Integrated Project Management Information System (MIS) at the Corporate and all the Zonal Offices capable of tracking the overall progress of the projects. The system should encompass modules like documentation control system, Invoice processing system, payment tracking system, financial and physical progress tracking, contract management system and other modules as deemed necessary for the efficient working of the system;

o Ensure regular monitoring of the progress of the projects underway at different zones and establish a feedback mechanism;

o Regular Reporting of the status of the projects to the concerned officials and flagging of issues at appropriate times with suggested solution;

o Training to the MSEDCL personnel at corporate office in project management in general and in respect of implementation of the projects in particular and co-ordinating the training programs of the field offices;

o Finalization of tenders for Turnkey contracts received after first level scrutiny and evaluation along with the recommendation by Zonal PMC’s from the Zonal offices;

o Liaisoning with REC/PFC or any other Financial Institutions for availing financial assistance;

o Liaisoning with Maharashtra Electricity Regulatory Commission (herein after referred to as MERC);

o Assistance to MSEDCL in contractual or any other dispute resolution;

o Co-ordination with the external Quality Control Consultant;

8. Broad Scope of Work – Zonal PMC at Zonal Offices

Assisting the Chief Engineer (Zone) at Zonal Office, for implementation of the Infrastructure Plan in the following manner;

o Zonal PMC to ensure the timely implementation and completion of the Turnkey Projects in the Zone;

o Finalization of tenders for the already prepared Detail Project Reports (DPRs) in the Zone and co-ordination with the Main PMC in this regards;

o Finalization of turnkey project contacts for implementation of the total project;

o Operationalise the Integrated Project Management Information System (MIS) at the Zonal Office implemented by the Main PMC capable of tracking the overall progress of the project. The Zonal PMC would be responsible for the regular updation of data, generation of Reports, etc. in the MIS system.

o Regular monitoring of the projects and flagging of issues to concerned officials of MSEDCL and also to the Main PMC with probable solution;

o Coordination, Monitoring and Operation of implementation of these projects in the zone;

o Liaisoning with competent authorities, Statutory Bodies for arranging various clearances;

o Training to the MSEDCL personnel at Zonal Office in Project Management in general and in respect of implementation of the projects in particular, in consultation with the Main PMC;

o Overall Supervision of the works being undertaken & development of a system to validate the Measurements recordings done by the MSEDCL staff and certification of the same for release of payments subject to the terms & conditions set in Order / Tender;

o Ensure quality of works being implemented through the turnkey Contractors in the project through a proper internal Quality Control system to be setup by the Zonal PMC;

# The Date of Commencement for the purpose of this document shall mean the date of issue of the “Letter of Intent” by MSEDCL. The bidder would have to accept the same within 7 days from the receipt of the “Letter of Intent”. The format for acceptance of the offer by the bidder is enclosed at Annexure – XI.

10. Inception Report:

10.1. The consultants shall submit the Inception Report covering details like anticipated problems in implementation of the project, expected delay in implementation, if expected, etc. Details regarding the work plan for undertaking the project should also be included in the inception report. The “As-Is” status of the project, site, etc. should also be included in the report. The Inception Report shall be submitted within 1 month of the

commencement date. The Inception Report should help the competent authority of MSEDCL to take suitable decision concerning the implementation of the project.

10.2. Implementation Schedule: The Consultant will prepare a works schedule for implementation of the project such that key dates may be included within the contract documents and thus assist supervision of the contractor.

11. Bid document Scrutiny and Finalisation (Turnkey Contracts)

11.1. The Main and the Zonal PMC is expected to assist MSEDCL in finalisation of the Bid documents for issue to the potential bidders;

12. Bid process management:

12.1. The PMC at the Zonal office is expected to conduct the bid process to appoint the Turnkey Contractors at the Zonal Offices. However, the Main PMC will review the entire process;

12.2. The Zonal PMC’s should prepare and finalise the tender documents for the already prepared DPR’s in co-ordination with the Main PMC and MSEDCL;

12.3. Invitation of Bids: The PMC shall assist MSEDCL in inviting bids for selecting suitable contractors. This shall include drafting the bid notice for publication in all prominent news papers and keeping ready adequate numbers of Bids for sale;

12.4. Pre-Bid meeting: The PMC shall be present for the Pre-Bid meeting provide the necessary clarifications regarding the bid conditions, Technical specifications, Quality control norms and requirements, site conditions, payment terms and any other information sought by the prospective contractors. The PMC shall also assist MSEDCL in arranging any site visits to the prospective contractors if necessary.

12.5. Bid Evaluation and selection of Contractors: The Zonal PMC would evaluate the bids received at the zonal offices and prepare an evaluation report for submission to the Tender Evaluation Committee of MSEDCL. The Main PMC shall assist the Tender Evaluation committee in evaluating and selecting the suitable contractor /Contractors for the works, as directed by MSEDCL. The selection of the contractors shall be made as per the standard public procurement practices and as per the bid evaluation methodology stipulated in the Bid documents. The PMC shall provide all the

necessary assistance for the evaluation committee in selecting and recommending the Contractor/Contractors to the competent authority.

13. Establishment and Operationalisation of an Integrated Project Management Information System:

13.1. The Main PMC is responsible for Design, development and implementation of an Integrated Project Management Information System (MIS) at the Corporate and all the Zonal Offices capable of tracking the overall progress of the project. The same would be made operational at the Zonal Offices by Zonal PMC in consultation with the Main PMC.

13.2. The system should encompass modules like documentation control system, Invoice processing system, payment tracking system, financial and physical progress tracking, contract management system and other modules as deemed necessary for the efficient working of the system;

13.3. The Main PMC is responsible for co-ordination amongst the zonal PMC’s and compilation of the requisite information at the corporate level for monitoring the progress of the projects and reporting to the MSEDCL management.

13.4. The Main PMC would be responsible for recommending the necessary software for the purpose of establishing and operationalising the MIS system.

13.5. It would be the responsibility of the Main PMC to implement the same system across all the zones. Further, if deemed necessary, the Main PMC would have to train the employees of the Zonal PMC’s and MSEDCL to operate the software.

13.6. Any customization of the software, if necessary, would have to be undertaken by the Main PMC considering inputs from MSEDCL. Any such customization of the standard software done by the Main PMC would be finally the Intellectual Property of MSEDCL.

13.7. The Main PMC would be responsible to procure the software and necessary licenses on behalf of MSEDCL. He would also have to undertake the necessary assessment study to determine the requirement of licenses for corporate as well as zonal offices and procure the same after approval from MSEDCL.

13.8. The expenditure incurred for procurement of software, licensees, etc. would be borne by MSEDCL. The same would be reimbursed to the Main PMC on successful implementation of the system and submission of relevant documents like invoices, license copies, etc.

13.9. At the end of the contract period, the licenses, software, project related databases, etc. should be handed over to MSEDCL.

13.10. The hardware required for implementing the MIS system would be procured by the PMC at is own cost.

13.11. The PMC is at liberty to use any other software in addition to the prescribed one at his own cost.

14. Establishment of internal quality control system for execution of works:

14.1. The PMC is required to establish an internal quality control system to ensure quality in work being done by the Turnkey contractor.

14.2. Required documentation would have to be maintained by the PMC;

15. Conducting Training Sessions for MSEDCL Officials:

15.1. The PMC is responsible for providing required training to the MSEDCL personnel at Zonal Office in Project Management in general and in respect of implementation of the projects in particular, in consultation with the Main PMC;

15.2. PMC has to arrange and impart training to each and every employee involved in the implementation of the infrastructure plan. It is estimated that around 900 employees (all Zones) would have to be trained by the bidders.

15.3. The training programs are to be designed giving due consideration to the requirements of the different cadres/levels of the employees being trained;

15.4. The main PMC is responsible for co-ordinating the training program across the zones;

16. Development of the feedback and monitoring system for monitoring the progress of the work at the sites.

17. Periodic Progress report:

17.1. The PMC at the Corporate Office and the Zonal Offices has to submit

19. The PMC has to submit 8 copies of each report along with the soft copy to MSEDCL.

20. Role of MSEDCL:

20.1. Zonal CE would be responsible for the supervision of the work been carried out at the zonal Level;

20.2. CE (IP) would be responsible for the overall supervision of the progress of the implementation of the entire Infrastructure Plan;

20.3. MSEDCL would undertake MB recording through its officers, however, the PMC is the final certifying authority for release of payments;

20.4. MSEDCL will have a separate team for the supervising the implementation of the works at the Zonal Level as well as at the corporate office;

21. Accommodation and Vehicles: The PMC will be responsible for making his own arrangement for all his accommodation and vehicles on rental basis.

22. Office space and other infrastructure: MSEDCL will provide office space to the main PMC at the Corporate Office in Mumbai. However, the Zonal PMC’s would not be provided any office space at zonal offices. They would be responsible for arranging office space for their use. No other infrastructure support like office stationery, printers, communication facilities, accommodation, etc. would be provided by MSEDCL and the PMC would be responsible for arranging the same at his own cost.

23. Technical Advisory Committee: It is proposed to establish a Technical Advisory Committee (TAC) to guide the project. The role of this committee will be to review the consultants findings and provide advise to the team on technical matters. It is expected that the TAC will meet every 2 week. Consultants will submit all reports for review and suggestions by TAC.

24. In addition to the above meeting, the PMC has to meet the client/contractors atleast twice in a week and more if required.

25. Possible Additional Services: The consultant may be required to carry out the following additional services as and when requested by the client, and on terms to be negotiated. The events are:

i) Preparation of additional reports or contract documents, if required, for carrying out of additional work, if any;

ii) Any other specialist services by the Engineer or by other specialists as may be agreed upon.

iii) Fees for additional works/ services carried out by the consultants shall be paid after mutual discussions and agreement.

26. The Supervision team of PMC would have to be composed of suitably qualified and experienced staff with relevant professional experience in the concerned area on similar projects. The quality of experience will be given due weightage during the technical evaluation.

27. Other responsibilities of the PMC would include:

27.1. Monitor and check the daily quality control and quantity measurements of the works carried out under the contracts, keep all measurement records as per the directions of the client and submit interim payment proposals when

the quality of the works is satisfactory and the quantities are correct to the Engineer in-charge, MSEDCL;

27.2. to direct the contractors to take all necessary steps including those mentioned in the construction contract to protect the environment on and off the site which arise due to construction operations;

27.3. to issue certificates for interim payments to the contractors, and certify completion of parts of the totality of the works where applicable.

27.4. Other responsibilities of the PMC will be to carry out all such duties which are essential for the effective implementation of the construction contracts including, but not limited to, the following:

a) to assist/advise the client in handing over the sites and in establishing milestones (if any) for completion of contracts. The actual site handing over will be done by the Executive Engineer concerned;

b) to prepare and give the site handing over letters to the contractors;

c) to verify the list of items and quantities of all items in the BOQ and propose modifications to the same, if necessary, for the approval of MSEDCL;

d) to assist the client in monitoring the progress of the works and in project implementation through computer aided project management techniques and Management information Systems (MIS);

e) to write a daily project diary which shall record all events pertaining to the administration of the contracts, requests from and orders given to the contractors, and any other information which may at a later date be of assistance in resolving queries which may arise concerning the execution of the works and shall be submitted to Engineer incharge;

f) to prepare and submit monthly and quarterly progress reports, together with detailed quality control statements with regards to the execution of works in an approved format and to prepare a detailed sectional/final completion report for each contract and complete team final report for the project;

g) to advise the client on all matters relating to the execution of the works and on claims submitted by the contractors, and to make recommendations thereon.

h) to prepare as necessary detailed recommendations to the client for contract variations and addenda to ensure the best possible technical results are achieved with the available funds;

i) to assist the client in taking over of completed works from the contractors, in particular by preparing lists of defects to be corrected by the contractors;

j) to prepare specific engineering reports when requested by the Engineer which shall include an analysis of the problems encountered and proposed solutions;

k) to assist the client in providing clarifications/explanations to observations, if any, made from time to time by the Auditor;

l) to prepare a training manual outlining the training procedures and to impart on the job training to MSEDCL’s personnel associated with the project.

m) to prepare revised estimates etc., if required and accordingly advise the client in modifying the cash flow estimate.

n) to assist the client in co-ordination with other agencies and hold co-ordination meetings to facilitate the proper and timely implementation of the project.

o) to carry out any other duties relevant to the project agreed during contract negotiations.

p) to assist the client and provide periodic supervision during defect liability in accordance with standard procedures. The defect liability period of all structures will be 5 years.

27.5. Interim and Final Payments: All the interim and final payments to the contractors would be made after necessary certification by the PMC

28. Services During Defects Liability Period: The services to be provided by the consultants during the defects liability period shall include the following;

28.1. During the first year after completion of the project, the PMC’s representative shall participate in the joint inspections of the work which shall be carried out at every 3 months by the Engineer in-charge, MSEDCL and the Contractor’s representatives. After the inspections the consultants

shall submit a report (in 8 copies) detailing the defects noticed and the remedial measures to be taken by the Contractor. The consultants shall supervise the remedial measures, if any, require to be carried out by the contractor during defects liability period.

29. Reporting Requirements : The consultants shall prepare and submit the following reports, in a format approved by the Employer in-charge, MSEDCL:

29.1. Monthly Progress Reports: The PMC shall, by no later than the eighth working day after the end of each month, prepare a brief progress report summarising the work undertaken for the preceding month. The report will outline any problems encountered (administrative, technical or financial) and give recommendations on how such problems may be resolved. The reports shall also record the payment status of all contracts, all claims for costs or time extensions submitted by the contractors, and any actions required of the client and/or other agencies to facilitate timely works implementation. The reports shall also be submitted in electronic format in addition to 8 nos. hard copies.

29.2. Quarterly Progress Reports: The PMC shall, by no later than the eighth working day after the end of each quarter, prepare a comprehensive report summarising all activities under the services of the end of each quarter, and at other times when considered warranted by either the Engineer or the client due to delay of the construction works or due to the occurrence of technical or contractual difficulties. Such reports shall summarise (i) the activities of the Engineer (ii) the progress of the contracts, (iii) all contract variations, (iv) the status of contractor’s claims, if any, (v) details and brief descriptions of any technical and contractual problems, being encountered, (vi) details of the contracts as a whole comprising costs incurred, forecast costs and the financial plan (by Financial Institutions and MSEDCL), (vii) any other relevant information for each of the ongoing contracts. The reports shall also be submitted in electronic format in addition to the 8 nos. hard copies.

29.3. Engineering Reports: The PMC shall prepare specific report, required in the event of particular or unforeseen circumstances. Such reports shall be prepared on an ‘ad-hoc’ basis as requested by the Engineer and shall include on analysis of the engineering matter in question and shall propose possible solutions thereto.

29.4. Sectional/Substantial Completion Reports and Team Final Report: The

PMC shall prepare a comprehensive sectional/substantial completion report for each of the construction contracts, which reaches sectional/substantial completion during the period of the services. These reports shall be submitted immediately after sectional/substantial completion of the works by the contractors and before taking over by the client. The reports shall summarise the method of construction, the construction supervision performed, problems encountered, solutions undertaken, and recommendations for future projects of a similar nature. The PMC shall summarise and consolidate in a single Team Final Report the key information from the individual sectional/substantial completion reports.

29.5. “As Built” drawings: the consultant shall check the ‘As built’ drawings submitted to the contractors.

30. Implementation Schedule: The projects will be implemented in a time bound schedule.

30.1. After award of the contract, the Client expects all the proposed key personnel to be available during implementation of the project. The Client will not consider substitutions during contract implementation except; under exceptional circumstances up to a maximum of one third of the key personnel. In case of replacements the Supervision Consultant will ensure that there is a reasonable overlap between the staff to be replaced and the replacement. The replacement should be strictly with the approval of MSEDCL.

30.2. Data, Services, Facilities and Assistance To Be Provided by MSEDCL: MSEDCL will provide the following:

� Project report, including detailed engineering drawings and relevant data prepared/collected by the design consultants.

30.3. Co-ordination and Consultation: The consultant will be required to liaise and co-ordinate with all agencies affected by the proposed works. In particular, the consultant is required to co-ordinate project implementation standards and specifications with other agencies or consultant engaged in the final engineering for other sections.

31. Additional Copies of Reports: The consultants shall submit additional copies of the above-mentioned report as required by MSEDCL. The consultant will be paid a standard rate for each additional copy of the report fixed per copy. The rate per additional copy shall be mutually agreed between the consultants and the

32. MSEDCL Reviews: MSEDCL will make periodic reviews of the progress of the work but, there are a number of key outputs which will condition the continuing work. The consultant will also produce working papers on important issues as required by the client. The MSEDCL will review consultant's reports as given in para above and also working papers. Additionally, MSEDCL would require and review periodic progress reports, the draft "bidding documents" ,supporting material, etc.

33. Project Co-ordination: The Chief Engineer (Infrastructure Plan) HO Mumbai, MSEDCL will function as a principal co-ordinator to oversee the execution and progress of the Infrastructure Plan and provide a principal point of contact with the consultant on behalf of the MSEDCL.

WHEREAS MSEDCL desired to appoint Main PMC / Zonal PMC through Competitive Bidding process; WHEREAS, MSEDCL had invited Bids vide its Bidding Document no (RFP Document No.) AND WHEREAS Section 5.1.2 of the RFP document stipulates that the Bidders qualifying on the strength of a Bidding Consortium will have to submit a legally enforceable Joint Deed Agreement in a format specified by MSEDCL wherein the Consortium Members have to identify specific roles and responsibilities to be performed during the engagement as Main / Zonal PMC. and on their behalf. It is further understood that the entire execution of the Contract including payment shall be done exclusively by the Lead Member. Further, MSEDCL shall make all payments exclusively to the Lead Member.

3. The Lead Member shall be liable and responsible for ensuring the individual and

collective commitment of each of the members of the consortium in discharging all their respective obligations towards MSEDCL under the said Contract. Each Consortium member further undertakes to be individually liable for the performance of its part of the obligations without in any way limiting the scope of collective liability envisaged inter alia in para 1 herein above.

4. Subject to the terms of this Agreement, the share of each Member of the

consortium in the “issued equity share capital of the Project Company” (if such a company is to be established) shall be in the following proportion: (if applicable)

5. The Lead Member shall inter alia undertake full responsibility for liaising with

6. In case of any breach of any of the terms of said Contract by any of the Consortium

Members, the other Consortium Members shall also be liable for the consequences thereof jointly and severally.

7. In the event of MSEDCL suffering any loss or damage on account of any breach of

the Contract, Partner-1, Partner-2, Partner-3 and Partner-4 of these presents do hereby undertake and confirm to jointly and severally make good such loss or damage caused to MSEDCL as per the provisions of the Contract, on its demand without any demure, protest and contest. demand without any demure, protest and contest It shall, however, not be necessary or obligatory for MSEDCL to proceed against Partner (1) to these presents before proceeding against the Partner (2), Partner (3) and Partner (4).

8. It is expressly understood and agreed between the Partners to this agreement that

responsibilities and obligations of each of the partners shall be clearly delineated in Appendix-I# to this agreement. It is further agreed that sharing of responsibilities as aforesaid and obligations thereto shall not in any way be a limitation of joint and several responsibilities of the partners under those presents.

9. It is further specifically agreed that the financial liability of each of the partners of

this joint deed agreement, to MSEDCL with respect of any and all claims arising out of breach or non- performance of the Contract(s) shall, however, not be limited in any way so as to restrict or limit the liabilities of either of the partners. All the partners would be jointly and severally liable irrespective of their scope of work or financial commitments.

10. This Joint Deed Agreement shall be construed and interpreted in accordance with

the Laws of India and courts at Mumbai alone shall have the exclusive jurisdiction in all matters relating thereto and arising thereunder.

11. It is further expressly agreed that the Joint Deed Agreement shall be irrevocable

and shall form an integral part of the Contract and shall remain valid till the term of the Contract unless expressly agreed to the contrary by MSEDCL.

12. The Lead Member shall be fully responsible for the accuracy and veracity of the

representations and information submitted by the Consortium Members respectively from time to time in response to the RFP and for the purposes of the project.

13. It is hereby expressly understood between the partners to this joint deed

agreement that neither partner may assign or delegate its rights, duties or obligations under the contract except with prior written consent of MSEDCL.

The details of the districts covered under each of the zones are provided in the RFP documents at 4.2.2 page No. 8 being issued to the bidders. Further, generally the area of one circle is equivalent to the area of the districts covered under it barring a few exceptions like:

2. Kindly furnish the total costs of the projects circle wise as turnkey contracts will be formulated circle wise.

Response:

The Zonal PMC is expected to monitor the works in the entire zone which may comprise of several circles. The aggregate details at the zonal level have been provided for the reference of the bidders at Annexure XIII of the RFQ document. The circle level details may be provided once the PMC for the zones have been shortlisted.

3. Kindly clarify whether Turnkey contracts will be based on the type of works or

all works of one circle will be awarded to one contractor. Response:

It is being clarified that the Turnkey Contracts are to be given to a single contractor at the Circle Level and it would encompass all the type of works to be undertaken in that circle.

4. Since Contractors' will work on Circle wise, will MSEDCL insist on Zonal

PMCs to have their establishments at Circle levels to match the establishments of Turnkey contractors?

Response:

It is being clarified that it is the duty of the PMC to monitor the progress of the works being undertaken by the Turnkey Contractors in the different circles in the zone allocated to them. The PMC is being given the freedom to decide his establishment requirements and MSEDCL would only be concerned with the timely completion of the projects with required quality of work.

5. During Training who will provide class room space for conducting training, will

trainees be provided study material? Response:

It is being clarified that the space for conducting the training sessions would be provided by MSEDCL in the Zonal/Corporate offices, while it will be the responsibility of the PMC to make available and provide any study material,

as deemed necessary, to the participants for the successful conduct of the training sessions. However, it has to be noted that, In case the PMC does not provide any study material and it is felt by MSEDCL that the same would be required for better understanding of the participants, it may direct the PMC to provide the same.

6. What is the Circle wise distribution of duration of training of each category

and what will be the different categories of trainees with reference to experience, educational qualifications and status in organisation?

Response:

It is being clarified that the duration of the training may be decided by the PMC conducting the training sessions. However, it has to be ensured that the participants would be adequately trained to be able to handle the work assigned to them with regards to the implementation of the Infrastructure Plan. Refresher courses would have to be conducted every quarter for all the employees. The different cadres of employees who will participate in the training sessions will include Senior Officials from the Management (MD, Director’s, ED’s, etc.), Chief Engineers to Junior/Sub-Engineers from the Technical Cadre and Chief General Managers to External Auditor from the Finance/Accounts Cadre.
