Commercial Bid Evaluation In case existing software if any needs to be utilised for the project RBI will get authorization from the OEM of the said software to be used for EDMS project as well The same software should be in support from the OEM

GPS This requirement is subject to bank having an MADP platform and current RBI website capabilities DMS shall provide all necessary web services for integration but will be dependent on website team for MADP and UI

In case of the Go-Live delays by the Bidder the financial Penalty as per the Banks discretion will be imposed on the Bidder at 5 of the total contract value per month of delay to the maximum of 10 of the total contract value as per the agreement between the Bank and the successful Bidder

We request that delay penalty be applicable on the implementation value and not on total contract value

If any defect in the Solution is not rectified by the Bidder before the end of the Warranty Period the Warranty Period shall be extended until

We submit that warranty cannot be extended as it is provided by OEM However product will be supported through the warranty and AMCATS support period

(a) the defect has been corrected and (b) the Solution functions in accordance with the Contract


The Bank will reserve the right to terminate the services of the successful Bidder at any point of the Project (during the implementation phase and post go-live) without assigning any reasons In such cases the Bank may consider making payment commensurate with the last completed phase

We understand that a notice period of 90 days will be provided prior to invocation of this termination for convenience in order for the bidder to wind-up the project and re-allocate resources and terminate back-end contracts

We understand that in event of such termination for convenience customer will pay for all products and services delivered till the effective date of termination We understand that in event of such termination for convenience customer will also pay for the annual AMCATS charge for the relevant year as the vendor would have paid AMCATS charges of OEM in advance for the relevant year


RBI reserves the right to cancel the contract of the selected Bidder and recover expenditure incurred by RBI if the progress regarding execution of the contract made by the selected Bidder is found to be unsatisfactory for any reason

We understand that a written notice with a reasonable cure period will be provided prior to contract cancellationtermination

87 Without prejudice to the other rights of the Purchaser under the Contract in the matter the proceeds of the performance security shall be payable to RBI as compensation for any loss resulting from the Bidderrsquos failure to complete its obligations under the Contract

The BIDDER undertakes that it has not supplied is not supplying similar product services or sub-services during last one year from the date of issuance of this RFP at a price lower than that offered in the present bid to any other entity If it is found at any stage that similar product services or sub-services was supplied by the BIDDER to any other entity at a lower price then that very price with due allowance for elapsed time will be applicable to the present case and the difference in the cost would be refunded by the BIDDER to the BUYER if the contract has already been concluded

We submit that there is no time period reference provided for this confirmation We understand that this compliance will be checked for the bid-evaluation period

47 General Query Liability We noticed that there is no aggregate liability language on bidder liability We propose that the aggregate liability of the bidder will not exceed the TCV of the project


48 General Query Agreement We noticed that there is no language on disclaimer of liability of either party for indirect and consequential claims We propose that neither party will be liable for indirect or consequential claims and damages lost profits or lost revenue in relation with the project


49 Page No 262 and Annexure Q Section A

Section A - A1 Bidder requests clarification as to whether this is line item cost is related to digitization of old records if so the same shall be removed from A1 and moved to A2 or a separate section to be created in the Commercial Bid Format as this cost needs to be paid on actual documents Scanned

Bidder is expected to provide the License cost for the Scanning Imaging solution against this line item

Section B Bidder submits that the Unit Price column shall be removed and total cost for the resources to be allowed to be quoted for each year separately

NPV calculation will be done considering 5 escalation rate and 8 discounted rate only for TCO purpose

We also request to remove the reference of 5 escalation rate and allow us to quote for the actual inflation by each bidder separately to allow the bidders to provide maximum benefit to RBI for the NPV

As the commercial format allows to quote separate values for each year the Indexation references is no longer relevant and the payment for the later years can be made at the mentioned prices

51 Page No 265 and Annexure Q Section B3

Section B3 Bidder submits that the minimum of 8 for AMC shall be changed to Sub-Total A1 excluding the ScanningImaging as the AMC should typically include on the product cost

AMC for the first year after warranty period (should be min 8 of Total onetime cost)

We further request clarity whether the AMC is for 3 years or 4 years as the template indicates Year 3 to Year 7 which is 4 years while the Note below the table mentions it for 3 years please clarify we further request that this note mentioned in the adjacent column shall be removed as the commercial template is modified to allow bidders to quote for each year separately

Below rates are mentioned for first year Actual payment for subsequent years as applicable will be done on applying the indexation formulae

middot Cost of L1 and L2 for the subsequent period of 6 years

middot Development Team Cost for the subsequent period of 6 years

middot AMC for the subsequent period of 3 years

Section D Bidder submits that the Rates for the Resources both the Support resources and the Development Resources is available in the Section B Table the rate for any additional resources can be used from the same table hence request removal of the additional table

41 Software Cost Bidder submits that the heading of the section is an error as the payment terms are related to services and not Software cost we also request the following modifications to the payment terms

43 Warranty pay-outs Bidder submits that the pay-outs for Warranty and AMC shall be made quarterly in arrears which is the industry standard practice for these payments

3 Any objectiondispute to the amounts invoiced in the bill shall be raised by RBI within reasonable time from the date of receipt of the invoice Upon settlement of disputes with respect to any disputed invoice(s) the Bank will make payment within thirty (30) working days of the settlement of such disputes

Bidder submits that the payments for the invoices shall be made within 30 days from the receipt of the invoice any objectiondispute to the amounts invoiced shall be made within 25 days from the date of receipt of the invoice


4 The fees payable by the Bank to Bidder shall be inclusive of all costs such as insurance taxes (GST as per the rates applicable) transportation installation that may be levied imposed charged or incurred and RBI shall pay the fees due under this RFP and subsequent agreement after deducting any tax deductible at source (ldquoTDSrdquo) as applicable The Bidder will need to provide the details for the tax rates as considered in the pricing This will be used for subsequent tax changes RBI shall pay each undisputed invoice raised in accordance with this RFP and subsequent agreement within thirty (30) working days after its receipt unless otherwise mutually agreed in writing provided that such invoice is dated after such fees have become due and payable under this RFP and subsequent agreement

56 45 Other Payment terms As per RFP


8 The Bidders should note that the contract entered with the successful Bidder will be for implementation and post go‐live period of 7 years (3 years‟ warranty amp 4 years AMC amp FMS support) extendable at the Banks discretion The Bank will have the right in its sole discretion to renegotiate the prices terms and conditions

Bidder understand that the right of Bank to negotiate the prices terms and conditions is in the event of extension beyond the period of current contract (implementation and post go‐live period of 7 years (3 years‟ warranty amp 4 years AMC amp FMS support) and not during the current contract period please confirm


56 Penalties Bidder submits that the Penalty for Rollout delays shall be 1 of the delayed components cost of the One-time cost (Section A - Annexure Q) per week subject to a maximum of 10 of the delayed components cost of the One-time cost

The successful Bidder is expected to complete the responsibilities that have been assigned as per the specified time frame In case of the Rollout delays by the Bidder the financial Penalty as per the Banks discretion will be imposed on the Bidder at 5 of the total contract value per month of delay to the maximum of 10 of the total contract value as per the agreement between the Bank and the successful Bidder

Business Utility and Business Downtime would be the key considerations for determining the ldquoPenaltiesrdquo that would be levied on the Bidder for ldquoNon‐Adherencerdquo to the SLA for the Services offered The inability of the Bidder to provide the requirements as per the scope or to meet the deadlines as specified would be treated as breach of contract and invoke the Penalty Clause The maximum limit on the penalties during the period of contract shall be 10 of the total contract value The applicable ldquoPenaltiesrdquo would be the same irrespective of the root causes

In case of Non-Adherence to the SLA the maximum penalty shall be limited to 10 of the Quarterly Invoice value for the respective quarters


711 Duration and Condition of Engagement

Bidder submits that in case of termination of the contract without assigning any reason the Bank shall allow the Bidder a notice of 90 days for ramp-down of the resources etc We further submit that in case of termination with or without reason Bidder shall be paid for the completed deliverables as per the commercials quoted

59 87 Performance Bank Guarantee As per RFP


The successful Bidder shall at his own expense deposit with The Chief General Manager-in-Charge Department of Information Technology Reserve Bank of India Mumbai within thirty (30) days from the final result of the bidding process and declaration of the successful Bidder a Performance Bank Guarantee from a scheduled commercial bank payable on demand in terms of Annexure C for an amount equivalent to ten percent (10) of the contract price for the due performance and fulfilment of the contract by the Bidder Without prejudice to the other rights of the Purchaser under the Contract in the matter the proceeds of the performance security shall be payable to RBI as compensation for any loss resulting from the Bidders failure to complete its obligations under the Contract RBI shall notify the Bidder in writing of the invocation of its right to receive such compensation indicating the contractual obligation(s) for which the Bidder is in default The Performance Bank Guarantee shall be denominated in INR and shall be in the form of bank guarantee unless another form is specified by RBI After Go Live Performance Bank Guarantee will be returned back to bidder on submission of Financial Bank Guarantee which shall be submitted by the Bidder within

Bidder submits that the Performance Bank Guarantee shall be for a value of 10 of the One-time cost as this is to ensure proper execution of the roll out

90 days of Go-Live Non-submission of Performance Guarantee shall constitute sufficient grounds among others if any for the annulment of the award of the tender

60 88 Financial Bank Guarantee As per RFP

The successful Bidder shall at his own expense deposit with The Chief General Manager-In-Charge Department of Information Technology Reserve Bank of India Mumbai within Ninety (90) days of Go-Live of application before the issuance of Certificate of Completion a Bank Guarantee from a scheduled commercial bank payable on demand in terms of Annexure O for an amount equivalent to ten percent (10) of the contract price as mentioned in Annexure Q of Commercial Bid submitted by the bidder for the due performance and fulfilment of the contract by the Bidder during the warranty and AMC period of 7 years After Go Live Performance Bank Guarantee will be returned back to bidder on submission of Financial Bank Guarantee Without prejudice to the other rights of the Purchaser under the Contract in the matter the proceeds of the performance security shall be payable to RBI as compensation for any loss resulting from the Bidders failure to complete its obligations under the Contract RBI shall notify the Bidder in writing of the invocation of its right to receive such compensation indicating the contractual obligation(s) for which the Bidder is in default The Financial Bank Guarantee shall be valid till the

5 Inward Management - When a postal mailphysical letter is Inwarded directly the System should capture the details of the incoming physical letter viz from address subject language etc Data like subject should be auto-filled but should be editable The application should support generation of Suo Moto note which is an Inward generated without any incoming letteremail

Bidders request to share the meaning for Auto-filled in case of manual scanning



17 Outward Management - Approval of the Outward should be done by the User at least one level higher in the hierarchy (N+1) as per the AD than the User who created the Outward Admins should be able to configure exceptions to this rule for users at senior management level as decided by the concerned departments of the Bank

Bidder request to clarify if the implemented AD has the hierarchy defined to handle the workflow scenarios

21 Scan amp Upload - The Scanning product should have inbuilt capability to do a full page OCR amp ICR (for both Hindi amp English documents) and also convert the images to searchable forms like Searchable PDF

ICR will be helpful for Incurable colour dropout user form Since all documents are office papers it may not be useful so bidder request to remove the ICR component

42 OCR amp ICR - By using ICR technology any handwritten text should be converted into word text searchable PDF format or word document format with high accuracy

Bidder understands that ICR used for a handwritten document has max accuracy may not be more than 70 as per industry standards Request Bank to remove ICR technology only for structured format only

The hardware system software application software should be compatible with Data Centre policy network architecture etc already established in the Bank

18 Though the system should be used prospectively for the workflow it should have the capability to capture and integrate the paper based as well as electronic records created so far in the Bank

6 The Bidder is expected to provide an archival solution within the proposed application for the historical data The necessary configuration and implementation of the archival solution shall be the responsibility of the Bidder

Bidder wants to know what is the archival policy for RBI Is it seven years or more



12 RBI reserves the right to data migration by respective stakeholders of proposed solution and any gaps discrepancies found during the functions of application are to be rectified by the Bidder

Bidder wants to know if the data migration is other than DMIS system

16 The Bidder is required to certify completeness and accuracy of migrated data transaction history and balances at each data migration instance
