9Acceptance Procedure

4.9

On successful completion of installation,

commissioning, acceptability test, receipt of

deliverables, etc., and after the solution runs

successfully for three months after going live and

Bank/RRBs is satisfied with the working on the

system, the acceptance certificate (as mutually

decided and approved by the Bank/RRBs signed

by the Supplier and the representative of the

Purchaser will be issued. The date on which such

certificate is signed shall be deemed to be the

date of successful commissioning of the systems

as per Bank’s Format 6.9.

As this is unusual to RFPs, Request bank to

consider successful commissioning as the date

commissioning at the parent bank and allow the

service provider to commence billing for the

respective sites as they go live

10Insurance

4.12

The Successful Bidder shall take adequate

insurance cover against all kinds of risks

including fidelity clause for the loss arising from

acts of omission / commission /dishonesty of its

employees and / or agents/any claims by vendor’s

employees on Bank of India and would be

required to keep the insurance policy alive at all

times during the currency of the Contract.

deliberation because, the solution is deployed at

banks' premises and has access to vendors' as well

3.32 Signing of Contract

from the date of receipt of the Form of contract,

4.4 Use of Contract Documents and Information

i. The Supplier shall not, without the Bank’s prior

written consent, disclose the Contract, or any

provision thereof, or any specification, plan,

drawing, pattern, sample or information furnished

by or on behalf of the Bank in connection

therewith, to any person other than a person

employed by the Supplier in the performance of

the Contract. Disclosure to any such employed

person shall be made in confidence and shall

extend only as far as may be necessary for

purposes of such performance.

ii. The Supplier shall not, without the Bank’s prior

written consent, make use of any document or

information for purposes of performing the

Contract.

iii. Any document, other than the Contract itself,

shall remain the property of the Bank and shall be

returned (in all copies) to the Bank on completion

of the Supplier’s performance under the Contract,

if so required by the Bank.

Bidder requests that the proposal to be submitted by

the Bidder shall also be treated confidential by the

Bank and the ownership of the same shall be with

the Bidder.

4.5 Patent Rights

i. In the event of any claim asserted by a third

party of infringement of copyright, patent,

trademark, industrial design rights, etc. arising

from the use of the Goods or any part thereof in

India, the Supplier shall act expeditiously to

extinguish such claim. If the Supplier fails to

comply and the Bank is required to pay

compensation to a third party resulting from such

infringement, the Supplier shall be responsible for

the compensation to claimant including all

expenses, court costs and lawyer fees. The Bank

will give notice to the Supplier of such claim, if it is

made, without delay.

4.36 Patent Rights/Intellectual Property Rights

In the event of any claim asserted by a third party

of infringement of trademark, trade names,

copyright, patent, intellectual property rights or

industrial design rights arising from the use of the

Products or any part thereof in India, the Supplier

shall act expeditiously to extinguish such claim. If

the Supplier fails to comply and the Bank is

required to pay compensation to a third party

resulting from such infringement, the Supplier

shall be responsible for the compensation

including all expenses, court costs and lawyer

infringement of intellectual property rights is

restricted to Indian territory and for solution that are

created and delivered "as is" by BIDDER but

BIDDER will not assume the obligation for use or

misuse of the solution by the Bank or any use by

Bank or its persons due to lack of visibility or

modification of the solution or combination with any

equipment, other hardware, or software, method or

data that is not provided, recommended or approved

by BIDDER or services done by any 3rd party other

than the BIDDER.

4.22 Assignment

its obligations to perform under the Contract,

4.24 Liquidated Damages

i. LD on Delivery and Installation If the

Supplier fails to deliver any or all of the softwares,

licenses etc within the time period specified in the

Contract, the Bank shall, without prejudice to its

other remedies under the Contract, deduct from

the Contract Price, as liquidated damages, a sum

equivalent to 1% per week per site of the total

contract value ordered out of contract price

subject to maximum deduction of 5% of the total

contract value for each week or part thereof of

delay, until actual delivery. Partial delivery shall

be treated as non-delivery of the entire goods

ordered. Once the maximum is reached, the Bank

may consider termination of the Contract. All

items placed under one purchase order to be

delivered within the stipulated delivery period.

ii. LD on delay in commissioning of service

inclusive of all modules, applications and portals.

The bidder shall commission the Solution and

ensure its signoff required to obtain complete

certification all features to Bank officials within 2

months from the date of issuance purchase order.

If the Supplier fails to deliver any or all of the

features within the time period specified in the

Contract, the Bank shall, without prejudice to its

other remedies under the Contract, deduct a sum

4.25 Termination for Default

i. The Bank, without prejudice to any other

remedy for breach of Contract, by a written notice

Products and Services within the period(s)

specified in the Contract, or within any extension

thereof granted by the Bank;

or

• if the Supplier fails to perform any other

action or remedy, which has accrued or will

accrue thereafter to the Bank.

4.40 Indemnity The vendor shall keep and

losses and any other expenses which may be

caused to or suffered by or made or taken against

the Bank arising out of:

i. breach, default or non-performance of

undertakings, warranties, covenants or

obligations under this agreement by the Vendor

and/or

ii. Malfunctioning of the reconciliation software

solution under the project as supplied installed

and migrated by him/her and/or

iii. Any contravention or Non-compliance with any

applicable laws, regulations, rules, statutory or

legal requirements by the vendor and/or

iv. an act or omission (including misconduct or

negligence) of the Vendor, its employees, its

agents, sub-contractors in the performance of the

obligations of the Vendor under this Agreement;

and/or claims made by employees or

subcontractor's or subcontractors employees who

are deployed by the Vendor against the Bank;

for breach of confidentiality, applicable laws and IP

Contract by giving written notice to the Supplier if

accrue thereafter to the Bank.

i. Bank of India (hereinafter referred to as BOI or

Bank) wishes to put in place Reconciliation of

Transactions of Alternate Delivery Channels in

Bank of India and a minimum uptime time of

99.95%.

extended on a 24/7 or will the proposed vendor be

required to maintain the said uptime during the

standard working hours of 10am to 6pm on all Bank

for DC DR replication will be 15 minutes.

Application and database to have separate

instance for Bank and each RRB. Implementation

will be at DC (CBD Belapur-Navi Mumbai) and

DR at Bengaluru. These locations, if changed, the

solution be implemented accordingly. Network

security and other infrastructure will be provided

by the Bank.

Request clarification on whether the location of

implementation of a separate solution for RRBs

Head Office are within Mumbai preferably at Bank of

India, DC to help in managing the solution efficiently.

For scattered deployments, there will be

uncontrollable delay in implementation and

maintenance of the solution including operations

managing the deliverables.

3.4 Eligibility Criteria

bidder must offer the solution to Bank, for internal

use for unlimited period at a special cost of Re.1/-

IPR owned by the Proposed Vendor, be paid to the

Vendor through mutual negotiations as the solution

has been customized to suit the Bank requirements.

Support, if any required by Bank for the customized

application should also be chargeable, due to the

Please clarify, during the course of implementation

there will be certain requirements which the vendor

might not have and will have to tie up with a third

party. In this case what if the third party refuses to

share the solution / application, what will be the

penalty or the implication on this RFP.

During the last tender it was observed that quoted

accepted was below the industry standard more on a

trial and error basis. This is not an industry practice

and might lead to unfair practices. How the bank will

handle such situation in the proposed RFP?

Since the Reverse Auction was

adhered to in the process , Bank does

not have any control on the same since

it is vendor's descretion to quote any

amount, and Bank has to honour the
