WHEREAS, the Village of Oswego (“Village”) has a population of more than 25,000

and is therefore a “Home Rule Unit” under the 1970 Illinois Constitution; and

WHEREAS, the Illinois Constitution of 1970 provides that a Home Rule Unit may

exercise any power and perform any function pertaining to its government and affairs, including

but not limited to the power to regulate for the protection of the public health, safety, morals and

welfare; to license, to tax; and to incur debt; and

WHEREAS, the Village has in full force and effect a codified set of those ordinances of

the Village which are of a general and permanent nature, which said codified set is known and

designated as the Village Code of the Village of Oswego, as amended; and

WHEREAS, Speedway LLC, dba Speedway 2120 at 1830 Route 30 has submitted an

application for a Class “F” Liquor License for the business; and

WHEREAS, a Class “F” license authorizes the licensee to sell to the public beer and

wine only in original packages for consumption off the premises located at 1830 Route 30,

Oswego IL ; and

NOW, THEREFORE, BE IT ORDAINED BY THE VILLAGE PRESIDENT AND

BOARD OF TRUSTEES OF THE VILLAGE OF OSWEGO, KENDALL AND WILL

COUNTIES, ILLINOIS IN THE EXERCISE OF THEIR HOME RULE, STATUTORY

AND OTHER POWERS, AS FOLLOWS:

SECTION 1: To increase the number of Class “F” Liquor Licenses from three (3) to

four (4) licenses. That Section 3-7-11 of the Village Code of the Village of Oswego is hereby

amended as follows:

3-7-11: NUMBER OF LIQUOR LICENSES: There shall be no more than four (4) Class A licenses in effect at any one time. There shall be no more than eighteen (18) Class B licenses in effect at any one time. There shall be no more than eighteen (18) Class C licenses in effect at any one time. There shall be no more than three (3) Class D licenses in effect at any one time. There shall be no more than three (3) Class E licenses in effect at any one time. There shall be no more than four (4) Class F licenses in effect at any one time. There shall be no more than two (2) Class G license in effect at any one time. There shall be no more than zero (0) Class H license in effect at any one time. There shall be no more than zero (0) Class I license in effect at any one time.

There shall be no more than one (1) Class J license in effect at any one time. There shall be no more than one (1) Class K license in effect at any one time. There shall be no more than one (1) Class L license in effect at any one time. There shall be no more than one (1) Class M license in effect at any one time. There shall be no more than one (1) Class N license in effect at any one time.

SECTION 2: SEVERABILITY

This ordinance and every provision thereof shall be considered severable. If any section,

paragraph, subdivision, clause, sentence or provision of this Ordinance shall be adjudged by any

Court of competent jurisdiction to be invalid, such judgment shall not affect, impair, invalidate or

nullify the remainder thereof, which remainder shall remain and continue in full force and effect.

SECTION 3: REPEALER

All ordinances or parts of ordinances in conflict herewith are hereby repealed to the extent of

such conflict.

SECTION 4: EFFECTIVE DATE

This Ordinance shall be in full force and effect immediately upon its passage, approval and

Publication in pamphlet form which is hereby authorized, as provided by law.

Purpose: To review the Façade Improvement Program application for 6 E. Washington Street. Background: The Facade Improvement Program is intended to facilitate and encourage the rehabilitation of buildings in the downtown by providing a matching grant, up to $10,000 per façade, for qualified work that is consistent with the Village’s “Downtown Design Guidelines”. Eight (8) applications have been approved in the past:

The property subject to this request is an adaptive reuse structure, originally built as a residence and now being used as an office. Proposed façade improvements per the grant application include new windows (including front bay window), new wrought iron railings, sliding door replacement and porch “wind break” replacement. Discussion: According to the Village’s Architectural Resources Survey, the Tudor Revival structure was constructed in approximately 1940, with minor alterations. The building itself is not historically significant; however, it is a contributing structure to the historical character of the downtown

The façade program provides that funded improvements should be supported by the Downtown Design Guidelines. Historic Preservation Commission Action: On June 24, 2015 the HPC reviewed the grant application. The Commission discussed the components of the funding application. It was discussed as follows:

· The replacement of the wrought iron railings would be an appropriate and advisable expenditure under the program.

· The replacement/addition of the wind break to the front porch is not keeping in character with the style and time period of the building, and wouldn’t support the design guidelines. While Commissioners acknowledged a need to protect waiting clients from the weather/wind, they discussed other suggestions to accomplish this including using landscape material/tall shrubs or a lattice with climbing plants to provide a wind break. HPC members did not support funding the wind break component.

· The replacement of the front conference window was recommended as an improvement to the visible front façade and entry. It was discussed that this is a wood window and should be replaced with same.

· The sliding glass door on the interior side yard façade would not be eligible for funding as the program only supports improvement to public entrances – and this sliding door is not, and per building code, cannot be a public entrance to the building.

· Remaining windows in the structure – only those windows on eligible facades would be funded. The front façade (Washington Street) and side (Madison Street) facades would be eligible for window replacement under the program, including 4 windows on the Washington Street façade, and 5 windows on the Madison Street façade. Further, existing windows are wood, multi-pane (6 over 1), double hung, and should be replaced with same, as recommended by the Downtown Design Guidelines.

Staff Comment: The applicant has obtained updated estimates to reflect the window recommendations, and the costs for eligible grant expenditures remain below the $10,000 per façade threshold. Of note, we recognize that the recommended wood windows are more costly than the originally proposed vinyl windows. However, the Downtown Design Guidelines were put in place to protect the character of the downtown area, and encourage sensitive redevelopment and maintenance activities that promote the overall appearance, quality and vitality of downtown. The purpose of this grant program is to assist and support businesses/property owners in improving their property in such a way that supports these goals. Funding: The funds for the Façade Improvement Grant Program were allocated as part of the 2015/2016 FY budget for Economic Development. As a side note, upon establishment of the Economic Development Commission, it is anticipated that an amendment will be proposed to the Façade Improvement Program to provide review by the Economic Development Commission in lieu of the Historic Preservation Commission.

WHEREAS, the VILLAGE has established a Facade Improvement Program for application

within the Oswego Facade Improvement Business District ("District"); and

WHEREAS, said Facade Improvement Program is administered by the VILLAGE with the

advice of the Oswego Historic Preservation Commission and is funded from the general fund for the

purposes of controlling and preventing blight and deterioration within the District; and

WHEREAS, pursuant to the Facade Improvement Program the VILLAGE has agreed to

participate, subject to its sole discretion, 1) in reimbursing Owners/Lessees for the cost of eligible

exterior improvements to commercial establishments within the District up to a maximum of one-

half (1/2) of the approved contract cost of such improvements and 2) in reimbursing

Owners/Lessees for 100% of the cost of the services of an architect for such facade improvements

up to a maximum of $4,000 per facade or per building, as set forth herein, but in no event shall the

total VILLAGE participation exceed ten thousand dollars ($10,000) per facade, as defined herein,

for eligible improvements to the front and/or side of a building, and ten thousand dollars ($10,000)

per building for eligible rear entrance improvements; and

WHEREAS, the OWNER/LESSEE's property is located within the Oswego Facade

Improvement Business District, and the OWNER/LESSEE desires to participate in the Facade

Improvement Program pursuant to the terms and provisions of this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and agreements obtained

herein, the VILLAGE and the OWNER/LESSEE do hereby agree as follows:

SECTION 1: With respect to facade improvements to the front and side of a building and

related eligible improvements, the VILLAGE shall reimburse OWNER/LESSEE for the cost of

improvements to the OWNER/LESSEE's property at the rate of fifty percent (50%) of such cost,

and shall reimburse OWNER/LESSEE for 100% of the cost of fees for architectural services

pertaining to such improvements, up to a maximum amount of $4,000 per facade as defined herein,

provided that the total reimbursement for improvements to the front of the building and related

eligible improvements and architectural services shall not exceed ten thousand dollars ($10,000) per

facade as defined herein.

The actual total reimbursement amount per this Agreement shall not exceed $6,625.00 for

facade improvements to the front (Washington Street) and shall not exceed $4,675.00 for facade

improvements to the side (Madison Street) of the building. The improvement costs which are

eligible for Village reimbursement include all labor, materials, equipment and other contract items

necessary for the proper execution and completion of the work as shown on the plans, design

drawings, specifications and estimates approved by the Village. Such plans, design drawings,

specifications and estimates are attached hereto as Attachment “A”.

SECTION 2: The Director of Community Development shall periodically review the

progress of the contractor's work on the facade improvement pursuant to this Agreement. Such

inspections shall not replace any required permit inspection by the Building and Zoning

Department. All work which is not in conformance with the approved plans, design drawings and

specifications shall be immediately remedied by the OWNER/LESSEE and deficient or improper

work shall be replaced and made to comply with the approved plans, design drawings and

specifications and the terms of this Agreement.

SECTION 3: Upon completion of the improvements and upon their final inspection and

approval by the Director of Community Development, the OWNER/LESSEE shall submit to the

VILLAGE a properly executed and notarized contractor statement showing the full cost of the work

as well as each separate component amount due to the contractor and each and every subcontractor

involved in furnishing labor, materials or equipment in the work. In addition, the

OWNER/LESSEE shall submit to the VILLAGE proof of payment of the contract cost pursuant to

the contractor's statement and final lien waivers from all contractors and subcontractors. The

OWNER/LESSEE shall also submit to the VILLAGE a copy of the architect's statement of fees for

professional services for preparation of plans and specifications, if applicable. The VILLAGE shall,

within fifteen (15) days of receipt of the properly completed contractor's statement, proof of

payment and lien waivers, and the architect's statement, issue a check to the OWNER/LESSEE as

reimbursement for one-half of the approved construction cost estimate or one-half of the actual

construction cost, whichever is less.

In the alternative, at its sole discretion, the VILLAGE may reimburse OWNER/LESSEE in

two payments. The first reimbursement may be made only 1) upon completion of work

representing 40% or more of the maximum reimbursement specified in Section 1 hereof, and 2)

upon receipt by VILLAGE of the architect's invoices, contractor's statements, invoices, proof of

payment and notarized final lien waivers for the completed work, and 3) upon a determination by

the Director of Community Development that the remainder of the work is expected to be delayed

for thirty days or more following completion of the initial work due to weather, availability of

materials, or other circumstances beyond the control of the OWNER/LESSEE. The second, final

reimbursement payment shall be made by the VILLAGE only upon submittal of all necessary

documents as described herein.

SECTION 4: If the OWNER/LESSEE or his contractor fails to complete the improvement

work provided for herein in conformity with the approved plans, design drawings and specifications

and the terms of this Agreement, then upon written notice being given by the Director of

Community Development to the OWNER/LESSEE, by certified mail to the address listed above,

this Agreement shall terminate and the financial obligation on the part of the VILLAGE shall cease

and become null and void.

SECTION 5: Upon completion of the improvement work pursuant to this Agreement and

for a period of five (5) years thereafter, the OWNER/LESSEE shall be responsible for properly

maintaining such improvements in finished form and without change or alteration thereto, as

provided in this Agreement, and for the said period of five (5) years following completion of the

construction thereof, the OWNER/LESSEE shall not enter into any Agreement or contract or take

any other steps to alter, change or remove such improvements, or the approved design thereof, nor

shall OWNER/LESSEE undertake any other changes, by contract or otherwise, to the

improvements provided for in this Agreement unless such changes are first submitted to the

Director of Community Development, and any additional review body designated by the Director,

for approval. Such approval shall not be unreasonably withheld if the proposed changes do not

substantially alter the original design concept of the improvements as specified in the plans, design

drawings and specifications approved pursuant to this Agreement. OWNER/LESSEE shall execute

and record a restrictive covenant, in a form substantially the same as Attachment "B" hereto, at

VILLAGE's request.

SECTION 6: The OWNER/LESSEE agrees to place a certificate, as provided by the

VILLAGE, indicating the building improvements were partially funded by a Village grant, in the

front window or other location on the premises that is visible to the public for a period of one (1)

year from the date of reimbursement.

SECTION 7: The OWNER/LESSEE releases the VILLAGE, its officials, officers,

employees, and agents, from, and covenants and agrees that the VILLAGE, its officials, officers,

employees, and agents, shall not be liable for, and covenants and agrees to indemnify and hold

harmless the VILLAGE and its officials, officers, employees and agents from and against, any and

all losses, claims, damages, liabilities or expenses, of every conceivable kind, character and nature

whatsoever arising out of, resulting from or in any way connected with directly or indirectly with

the facade improvement(s), including but not limited to actions arising from the Prevailing Wage

Act (820 ILCS 130/0.01 et seq.). The OWNER/LESSEE further covenants and agrees to pay for or

reimburse the VILLAGE and its officials, officers, employees and agents for any and all costs,

reasonable attorneys' fees, liabilities or expenses incurred in connection with investigating,

defending against or otherwise in connection with any such losses, claims, damages, liabilities, or

causes of action. The VILLAGE shall have the right to select legal counsel and to approve any

settlement in connection with such losses, claims, damages, liabilities, or causes of action. The

provisions of this section shall survive the completion of said facade improvement(s).

Prevailing Wage. The Owner / Lessee understands that by utilizing the Village

Grant that the Project may become subject to the Illinois Prevailing Wage Act, therefore the

Owner / Lessee covenants and agrees to comply, and to contractually obligate and cause its

construction manager, any general contractor, each subcontractor or other applicable entity or

person to comply with the applicable requirements of the Illinois Prevailing Wage Act. All

contracts subject to the Prevailing Wage Act shall list the specified rates to be paid to all

laborers, workers and mechanics for each craft or type of worker or mechanic employed pursuant

to such contract. If the prevailing wage rates are revised, the revised rates shall apply to all such

contracts. The Owner/ Lessee shall provide the Village with copies of all such contracts entered

into by the Owner/ Lessee or others to evidence compliance with this Section. The Owner/

Lessee together with its contractors, subcontractors, agents, employees and others may be

obligated to provide such documents, information and certifications, including appropriate

payroll certifications, as are necessary to comply with the Illinois Prevailing Wage Act. The

Owner / Lessee will maintain segregated accounting records detailing expenses incurred and paid

for with public and private funds.

SECTION 8: Nothing herein is intended to limit, restrict or prohibit the OWNER/LESSEE

from undertaking any other work in or about the subject premises which is unrelated to the facade

improvement provided for in this Agreement.

SECTION 9: This Agreement shall be binding upon the VILLAGE and upon the

OWNER/LESSEE and its successors, to said property for a period of five (5) years from and after

the date of completion and approval of the facade improvement provided for herein. It shall be the

responsibility of the OWNER/LESSEE to inform subsequent OWNER(s)/LESSEE(s) of the

provisions of this Agreement.

Discussion In September of 2003, the Oswego Police Department entered into an intergovernmental agreement with the Kendall County Sheriff’s Office regarding use and maintenance of the newly purchased New World computer system that is currently used to maintain police records. The intergovernmental agreements have been five year agreements which include an annual maintenance schedule fee. The current agreement expires in the near future and the new agreement has been reviewed by the Village Attorney. No legal issues were identified with the new agreement during this review. THIS AGREEMENT is hereby entered into by and between the County of Kendall, on behalf of

the Kendall County Sheriff's Office, 111 West Fox Street, Yorkville, Illinois, and the Village of

Oswego, on behalf of the Oswego Police Department, 3525 Route 34, Oswego, Illinois.

WHEREAS, the Constitution of the State of Illinois of 1970, Article VII, Section 10,

provides that units of local government may contract or otherwise associate among themselves

to obtain or share services and to exercise, combine, or transfer any power or function in any

manner not prohibited by law or by ordinance and may use their credit, revenues, and other

resources to pay costs related to intergovernmental activities; and

WHEREAS, the Village of Oswego (hereinafter referred to as "Oswego"), and the County

of Kendall, Illinois (hereinafter referred to as "Kendall County"), are units of local government

within the meaning of Article VII, Section 10 of the Illinois Constitution of 1970 who are

authorized to enter into intergovernmental agreements pursuant to the Intergovernmental

Cooperation Act, 55 ILCS 220/1 et seq.; and

WHEREAS, The County of Kendall, on behalf of the Sheriff's Office has previously

purchased computer software through New World Systems, (hereinafter referred to as "New

World"); and

WHEREAS, said computer software includes multi-jurisdictional features which allow the

sharing of said computer software amongst different law enforcement agencies; and

WHEREAS, Kendall County operates the New World software on its current Aegis MSP

server(s) in use; and

WHEREAS, the Village of Oswego, on behalf of the Oswego Police Department, and

Kendall County, on behalf of the Sheriff's Office desire to enter into this Intergovernmental

Agreement in order to provide an arrangement which would facilitate the use of New World

Software by Oswego through the use of the MSP server(s) operated by Kendall County; and

WHEREAS, the parties to this Agreement agree that the MSP server(s) operated by

Kendall County has sufficient capacity at the present time to handle the New World computer

software which New World intends to provide to Oswego; and

WHEREAS, the parties that have executed this Agreement have the requisite authority

to execute this Agreement, and intend by the execution of this Agreement to bind Kendall

County and Oswego respectively to the terms of this Agreement; and

WHEREAS, the parties to this Agreement have each had ample opportunity to review

this Agreement with their respective governing bodies, if any, and that this Agreement has

been approved by legal counsel for the respective agencies and the respective governing

bodies, if any.

NOW, THEREFORE, in consideration of the premises and the mutual covenants hereafter set

forth, the parties agree as follows:

1. The above recitals are incorporated herein by reference.

2. Oswego will be permitted to use the Kendall County computer network to access the

MSP server(s) operated by Kendall County for the purposes of the operation of New

World Software.

3. All connectivity charges, including hardware, software, services, and security, incurred in

connection with Oswego's access to and operation of New World software via the

Oswego router on the Kendall County computer network will be paid directly by

Oswego. Kendall County will not replace or warrant any hardware used for the purposes

covered by this Agreement.

4. All Oswego New World software data will be placed solely on the Kendall County MSP

server(s).

5. Kendall County will arrange for all backup and data recovery systems, in accordance

with the regulations and operating procedures of Kendall County.

6. Kendall County shall have no liability to Oswego for data which is damaged or lost as a

result of the operation and/or failure of the MSP computer server(s), or the Kendall

County computer network. Oswego agrees to waive any and all claims against Kendall

County regarding such data and hold them harmless for same.

7. Kendall County will arrange for scheduled system downtime for maintenance with 24

hours confirmed notice to Oswego's designee.

8. Kendall County will respond to any unscheduled downtime due to system failure or

emergency situations as quickly as possible to minimize the impact to Oswego, and

Oswego shall assist as may be necessary to remedy such downtime. Oswego agrees to

waive any and all claims against Kendall County regarding such unscheduled downtime

and hold them harmless for same.

9. Oswego will administer all internal aspects of Oswego's use of New World software,

including issuance of passwords, authorizing new users, discontinuing access of former

users, assignment of security levels, and similar matters.

10. Oswego agrees to pay to Kendall County the total sum of 15% (fifteen percent) of

Kendall County's annual maintenance cost for the New World software operated on said

server(s). Said amount will be billed on an annual basis, with copies of all

requested/necessary documentation submitted to Oswego. Oswego's contribution to

Kendall County's maintenance cost will not be billed to Oswego until April of each year.

Oswego will arrange for payment of its portion of said maintenance expense to Kendall

County within 60 days of the request of Kendall County for reimbursement.

11. This Agreement is effective as of its last date of execution by the parties. This

Agreement shall be in effect for a period of one (1) year from the date of execution, and

shall automatically renew each year for a one (1) year period, for up to eight years,

unless either party gives written notice to cancel renewal to the other party ninety (90)

days prior to the date the agreement is scheduled to be renewed each year. For

purposes of calculating the renewal date, the renewal date would fall upon the same

month and day of the final signature to this agreement below.

12. Subject to the requirements of the Freedom of Information Act (FOIA) and/or other

comparable applicable state law, each party shall hold all confidential information of the

other party in trust and confidence for the party claiming confidentiality and not use

such confidential information other than for the benefit of that party. The other party

agrees not to disclose any such confidential information, by publication or otherwise, to

any other person or organization.

13. Subject to the requirements of the Freedom of Information Act (FOIA) and/or other

comparable applicable state law, each party acknowledges and agrees that the New

World software is confidential information and proprietary to New World. Each party

agrees to implement all reasonable measures to safeguard New World's proprietary

rights in software.

14. The parties agree that any modification to this Agreement must be in writing, signed by

authorized individuals on behalf of each of the undersigned agencies.

15. The parties agree that maintenance fees associated with future purchases of additional

New World products, to which the parties shall have access to, will become part of

Kendall's annual maintenance cost for the New World software and subject to terms of

the Agreement. Billing for any increase in maintenance cost as a result of the purchase

of additional New World products shall be deferred until the 1st day of April following

the purchase and shall be paid within sixty (60) days after April 1st.

16. The parties agree that Kendall County may allow additional jurisdictions use of the New

World software. Any jurisdiction wishing use of New World software as maintained by

Kendall County after the execution date of this agreement shall be required to pay their

fair share of the total upgrade cost for the New World Aegis MSP software and

associated hardware as incurred by Kendall County by dividing the said total costs by the

number of participants. Said payment shall be distributed equally by Oswego, Kendall

County and any other party that bore an equal portion of the total upgrade costs. In

addition, each additional jurisdiction requesting the use of the New World software

shall enter into a written Intergovernmental Agreement with terms and conditions

similar to those set forth in this document and any subsequent written amendments.

17. This Agreement and the rights ofthe parties hereunder may not be assigned except by

operation of law or agreement signed by each party, and the terms and conditions of

this Agreement shall inure to the benefit of and be binding upon the respective

successors and assigns of the parties hereto. Nothing in this Agreement, express or

implied, is intended to confer upon any party, other than the parties and their

respective successors and assigns, any rights, remedies, obligations, or liabilities under

or by reason of such agreements. Nothing contained in this Agreement, nor any act of

the parties pursuant to this Agreement, shall be deemed or construed by any of the

parties hereto or by third persons, to create any joint employer relationship and/or any

relationship of third-party beneficiary, principal, agent, limited or general partnership,

joint venture, or any association or relationship involving the parties.

18. In any action with respect to this Agreement, the Parties are free to pursue any legal

remedies at law or in equity. The prevailing party by 75% or more of damages sought, in

any action brought pursuant to this Agreement, shall be entitled to reasonable

attorneys' fees and court costs arising out of any action or claim to enforce the

provisions of this Agreement. In awarding attorney fees, the Court shall not be bound by

any Court fee schedule, but shall, in the interest of justice, award the full amount of

costs, expenses, and attorney fees paid or incurred in good faith.

19. Oswego and Kendall County shall each defend, with counsel of the other party's own

choosing, indemnify, and hold harmless the other party, including past, present, and

future board members, elected officials, insurers, employees, and agents from and

against any and all claims, liabilities, obligations, losses, penalties, fines, damages, and

expenses and costs relating thereto, including but not limited to attorneys' fees and

other legal expenses, which the other party, its past, present, and future board

members, elected officials, insurers, employees, and/or agents may hereafter sustain,

incur or be required to pay arising from the indemnifying party's negligent conduct in

performance of their duties under this Agreement. Further, each party to this

Intergovernmental Agreement agrees to indemnify and save the other party to this

Agreement harmless from and against any and all judgments, suits, costs and expenses

resulting from any alleged infringement of any patent or copyright of New World

software by the indemnifying party.

20. All terms and provisions of this Agreement shall be governed by the laws of the State of

Illinois and are subject to good faith and fair dealing implied in all Illinois contracts. The

parties agree that the proper venue for this Agreement shall be in the Twenty-Third

Judicial Circuit, Kendall County, Illinois. In case any provision of this Agreement shall be

declared or found invalid, illegal, or unenforceable by a court of competent jurisdiction,

such provision shall, to the extent possible, be modified by the court in such manner as

to be valid, legal, and enforceable so as to most nearly retain the intent of the parties,

and, if such modification is not possible, such provision shall be severed from this

Agreement, and in either case the validity, legality, and enforceability of the remaining

provisions of this Agreement shall not in any way be affected or impaired thereby.

21. This Agreement may be executed in counterparts (including facsimile signatures), each

of which shall be deemed to be an original and both of which shall constitute one and

the same Agreement.

22. Any notice required or permitted to be given pursuant to this Agreement shall be duly

given if sent by fax, certified mail, or courier service and received, in the case of notice

to Kendall County, to the Kendall County Sheriff, Attention: Undersheriff Harold Martin,

1102 Cornell Lane, Yorkville, Illinois, 60560, fax (630) 553-1972 with copy sent to:

Kendall County State's Attorney, 807 John Street, Yorkville, Illinois, 60560, fax (630) 553-

4204. And, in the case of Oswego, to: Jeffrey Burgner, Chief of Oswego Police, Oswego

Police Department, 3525 Route 34 Oswego, Illinois 60543.

23. Neither party will be responsible to the other for damage, loss, injury, or interruption of

work if the damage, loss, injury, or interruption of work is caused solely by conditions

that are beyond the reasonable control of the parties, and without the intentional

misconduct or negligence, of that party (hereinafter referred to as a "force majeure

event"). To the extent not within the control of either party, such force majeure events

include: acts of God, acts of any governmental authorities, fire, explosions or other

casualties, vandalism and riots or war. A party claiming a force majeure event ("the

claiming party") shall promptly notify the other party in writing, describing the nature

and estimated duration of the claiming party's inability to perform due to the force

majeure event. The cause of such inability to perform will be remedied by the claiming

party with all reasonable dispatch.

24. This Agreement represents the entire agreement between the parties and there are no

other promises or conditions in any other agreement, whether oral or written. This

Agreement supersedes any other prior written or oral agreements between the parties

and may not be further modified except in writing acknowledged and agreed to by both

parties.

25. Kendall County and Oswego each hereby warrant and represent that their respective

signatures set forth below have been and are on the date of this Agreement duly

authorized by all necessary and appropriate corporate and/or governmental action to

execute this Agreement.

Background Oswegoland Park District submitted a Special Event Permit application for the Gobbler Hobbler 10K run to be held on November 15, 2015. As part of this event, one lane of Route 31 will be temporarily closed between Century Drive and Shore Drive. The lane closure would occur in the first mile of the race; affecting Route 31 from 8:00 a.m. until the last runner passes at approximately 10:00 a.m. Runners will also cross Route 25 at Boulder Hill Pass. OSWEGOLAND PARK DISTRICT’S GOBBLER HOBBLER IN THE VILLAGE OF OSWEGO AND THE TEMPORARY CLOSING OF ROUTE 31

______________________________________________________________________________ WHEREAS, the Village of Oswego (“Village”) has a population of more than 25,000 and is therefore a “Home Rule Unit” under the 1970 Illinois Constitution; and WHEREAS, the Illinois Constitution of 1970 provides that a Home Rule Unit may exercise any power and perform any function pertaining to its government and affairs, including but not limited to the power to regulate for the protection of the public health, safety, morals and welfare; to license, to tax; and to incur debt; and WHEREAS, the Oswegoland Park District is sponsoring a 10K (Gobbler Hobbler) in the Village of Oswego, which event constitutes a public purpose to encourage a healthy community; and WHEREAS, this fun run will require the temporary closure of one lane of Route 31 for the first hour of the race between Century Drive and Shore Drive (.46 miles); one State Highway in the Village of Oswego; and WHEREAS, Section 4-408 of the Illinois Highways Code authorizes the Department of Transportation to issue permits to local authorities to temporarily close portions of State Highways for such public purposes. NOW, THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND BOARD OF TRUSTEES OF THE VILLAGE OF OSWEGO, KENDALL AND WILL COUNTIES, ILLINOIS, as follows: that permission be requested of the Department of Transportation to temporarily close one (1) lane on Route 31 between Century Drive and Shore Drive (.46 miles). BE IT FURTHER RESOLVED, that this closure shall occur during the approximate time period between 8:00 a.m. and 10:00 a.m. on November 15, 2015. Variance 910.15 July 1, 2015 Donation Requirements None. Staff Analysis The applicant is requesting a variance to construct a roof over a rear patio. The petitioner had previously poured a rear concrete patio with the intention of constructing a roof structure over it in the future (as seen in the attached photograph). Concrete patios do not have to comply with the rear yard building setback requirements, but have to meet a 5 foot setback. In the R-2 District, the rear yard setback is 30 feet. When submitting the building plans for the roofed structure, it was discovered that this parcel has a 40 foot rear yard setback. The proposed roofed structure would encroach 5 feet into the 40 foot rear yard setback. The setback requirements are established to provide proper separation to allow for light and air to access between buildings. In the Zoning Ordinance, the rear yard setback requirement is 30 feet. The petitioner intended to meet this requirement by constructing the patio 35 feet from the property line. The neighboring properties have large areas of separation between buildings. The single-family home to the rear of this proposed addition will still be approximately 100 feet from the proposed addition. Standards for Variations The Village Board shall not vary the regulations of this Ordinance unless the Zoning Board of Appeals shall make findings of fact based upon the evidence as presented that: 1. The property in question cannot yield a reasonable return if permitted to be used only under

the conditions allowed by the regulations of the district in which it is located.

Response: The applicant installed a concrete porch intending to construct a roof structure over the top at a future date. The porch is in compliance with the Zoning Ordinance regulations for the R-2 District, but does not meet the subdivision requirement of 40 feet. If the variance is not granted, a 5 foot wide area of porch will be left and not usable.

2. The alleged hardship has not been directly created by any person presently having a

proprietary interest in the premises.

Response: The proposed addition meets the requirements of the Zoning Ordinance. The additional requirement requiring the variance is beyond the Zoning requirements.

3. Strict enforcement of this title would result in practical difficulties or imposed exceptional

hardships due to special and unusual conditions which are not generally found on other properties in the same zoning district.

Response: Strict enforcement of this title would result in a roof structure over a concrete porch except for the 5 feet that extends into the rear yard setback. The 40 foot setback is greater than the 30 foot setback of the R-2 District.

4. The proposed variation will not be materially detrimental to the public welfare or injurious to

other property or improvements in the neighborhood and will not alter the essential character.

Variance 910.15 July 1, 2015

Response: The proposed variation will not adversely affect the public welfare or alter the character of the neighborhood. The structure will still be approximately 100 feet from the single-family home to the rear.

5. The proposed variation is in harmony with the spirit and intent of this ordinance.

Response: The proposed variance will allow for a covered porch, which is consistent with the residential development of the neighborhood.

Recommendation Staff is recommending the Zoning Board of Appeals accept the findings of fact and recommend approval of the variance to reduce the rear yard setback 5 feet for 536 Litchfield Way.

Purpose: To consider action to waive the bid process and approve the purchase price of $24,649.92 each for the purchase of two vehicles for the Building and Zoning Department. Background: Building and Zoning has currently budgeted $42,000.00for capital expenditure for the purchase of two new B&Z vehicles. The Village had established the budget amount to acquire two Ford Escape SUVs. At the July 7, 2015 Committee of the Whole Meeting, the Village Board discussed the option to acquire two four wheel drive trucks instead of the small SUV’s that were budgeted to allow more flexibility for the use of the vehicles. Discussion: At the July 7th Board Committee of the Whole Meeting the Board agreed to move forward with the staff recommendation to purchase two Ford F-150 trucks totaling $48,100.00. The Village Board recommended that staff re-visit the proposal with the local Ford dealer. The Village Ordinance allows for the Village to select a local vendor if they are within 5% of the lowest bid. The River View Ford proposal of $24,649.92 per vehicle is within the range for a local vendor preference. This price is $599.92 over the state bid price, and below the Suburban Purchasing Cooperative bid price of $24,652.00. Funding: $42,000 budgeted Recommendation:

Discussion of the 5- Year CIP for Fleet

The Village conducts annual evaluations of each vehicle. We use a scoring system based upon the age, miles/hours, type of service, reliability, maintenance and repair costs, and overall condition. The score determines whether the vehicle is eligible for replacement. Department managers then review the scores, budget, and use to program the replacement year.

Replacement Point Range:

Under 18 points Condition I Excellent

18 - 22 points Condition II Good

23 - 27 points Condition III Qualifies for replacement

28+ points Condition IV High priority replacement

Discussion: Village Code requires competitive bids for purchases over $10,000. (Section 1-19-3-D). Exemptions allow for alternate procurement methods when appropriate. For example, we will use Exemption #5 (Section 1-19-7-(A)-5) to procure the majority of vehicles through joint purchasing organizations including the State of Illinois and the National Joint Powers Alliance (NJPA). These organizations conduct competitive bidding in lieu of the Village. We propose to purchase all new trucks through the State of Illinois joint purchasing program and the combination backhoe/loader through NJPA.

Exemption #7 allows the Village to make “[p]urchases which can be made at a public auction, closeout sale, bankruptcy sale or other similar sale at a cost below market cost” (Section 1-18-7-(A)-7). We propose to implement this exemption to purchase a used bucket truck rather than purchasing a new one. We will realize significant savings over a new vehicle while ensuring that we receive a vehicle that is in good working condition.

As the trucks have Ford chassis, we contacted Riverview Ford to determine if they could match the State bid. They indicated that they could not be competitive due to the various attachments required.

1. A new 2016 Ford F550 dump truck - $62,665.00: this truck will come fully equipped with snowplow and central hydraulic to fit our salt spreader. It will replace a 2005 Ford F550 plow truck with a vehicle policy score of 28.

2. A new 2016 Ford F250 Crew Cab with snow plow - $33,900.00: this truck will replace a 2005 Ford F250 that has plowed snow and is in need of replacement. It has a vehicle policy score of 26.

3. A new 2016 Ford F550 Utility truck - $59,575.00: this truck will be equipped with an

enclosed service body to transport all tools and equipment needed to repair and service underground utilities. This will replace truck #123. It has a vehicle policy score of 26. Picture is of a similar vehicle that will be purchased.

4. A new 2015 Combination backhoe - $98,012.00: replaces a 1995 backhoe/loader that the

village purchased new. It has a policy score of 43.

5. A used 2011 Dodge 5500 bucket truck - $72,500.00: replaces the 1999 bucket truck the

Village currently has. It is well over its useful life with a vehicle policy score of 37.

The attached ordinance authorizes the disposal of the vehicles that will be replaced as well as an additional dump truck that was replaced late last year. The actual disposal will occur once the replacement vehicle arrives and is placed into service. Funding This project is included in the FY15/16 budget. The Village budgeted $325,700.00 for the purchases.

welfare; to license, to tax; and to incur debt; and


the Village which are of a general and permanent nature, which said codified set is known and

designated as the Village Code of the Village of Oswego, as amended; and

WHEREAS, the Village of Oswego is the owner of this property which no longer serves

a useful purpose; and

WHEREAS, the Village wishes to dispose of such property as described on Attachment

“A”.

NOW, THEREFORE, BE IT ORDAINED, BY THE PRESIDENT AND BOARD

OF TRUSTEES OF THE VILLAGE OF OSWEGO, KENDALL COUNTY, ILLINOIS, as

follows:

Section 1: That pursuant to authority granted the Village under Illinois Compiled

Statute, Chapter 65 ILCS 5/11-76-4 and the findings of the Village corporate authorities, the

Village of Oswego is hereby authorized to dispose of the surplus property, detailed in Attachment

“A”.


Section 2: SEVERABILITY

This ordinance and every provision thereof shall be considered severable. If any section,

paragraph, clause, sentence or provision of this Ordinance shall be adjudged by any Court of

competent jurisdiction to be invalid, such judgment shall not affect, impair, invalidate or nullify

the remainder thereof, which remainder shall remain and continue in full force and effect.

Section 3: REPEALER

All ordinances or parts of ordinances in conflict herewith are hereby repealed to the extent of

such conflict.

Section 4: EFFECTIVE DATE

This Ordinance shall be in full force and effect immediately upon its passage, approval and

Publication in pamphlet form which is hereby authorized, as provided by law.

Acceptance. These Terms and Conditions shall govern all contracts for the sale of any goods to Buyer by Power Equipment Leasing Company and/or its subsidiaries and divisions (collectively "Seller") These Terms and Conditions shall control over any conflicting terms and conditions set forth in any request for quotation, purchase order, confirmation or other transaction document submitted to Seller by Buyer. Delays in Delivery. Seller shall not be responsible for any delay in delivery of goods to Buyer due to fires, strikes, riots, Acts of God, government orders or restrictions, delays in transportation, delays by suppliers of materials or parts, inability to obtain necessary labor or other causes beyond Seller's control. In the event of such delay, the delivery date shall be extended for a reasonable period of time. Damage or Loss In Transit. All risk of loss shall pass to Buyer at the time of delivery of the goods. FROM: Community Development Director, Rod Zenner Administrative Intern, Aaron Howe DATE: July 14, 2015 AGENDA: July 21, 2015 Village Board Committee of the Whole Meeting SUBJECT: ECO (Environmentally Conscious Oswego) Commission Ordinance Revision Purpose: To review and discuss the draft revision to Title 2 Chapter 7 of the Municipal Code regarding the make-up of the ECO Commission. Discussion: The ECO Commission currently consists of 7 voting members plus 4 non-voting members (2 staff members from the Village and the Park District and 2 members who live outside the Village limits). The Chair of the Commission has requested an amendment to the Ordinance to change the make-up of the Commission so it will have 9 voting members, all of whom are residents of the Village with 2 non-voting members consisting of staff from the Village and Park District. The Village has had several candidates apply to join the ECO Commission. All of the candidates are current residents of the Village. There has been difficulty in finding candidates to fill the two non-resident positions, which have been vacant for years. Increasing the membership to nine members may serve to bring new ideas to the Commission and increase the opportunities for residents to become involved. Staff has prepared a draft ordinance to change the Commission’s make-up, increasing the number of residents and eliminating the non-resident positions. Changes are shown in highlight and underlined for new language and strikethrough for language proposed to be eliminated. Funding: Not Applicable Recommendation: Staff is presenting the draft ordinance to amend the ECO Commission. Staff recommends waiving the second read and approving. SECTION 2. REPEALER. All ordinances, resolutions, orders or parts thereof, which conflict with the provisions of this ordinance, is to the extent of such conflict, hereby repealed. SECTION 3. ECO (ENVIRONMENTALLY CONSCIOUS OSWEGO) COMMISSION

2-7-1: PURPOSE: 2-7-2: MEMBERSHIP: 2-7-3: TERM OF OFFICE: 2-7-4: OFFICERS: 2-7-5: MEETING: 2-7-6: POWERS, DUTIES, AND RESPONSIBILITIES:

2-7-1: PURPOSE:

The ECO (eEnvironmentally cConscious Oswego) commission is created as an advisory commission to the Vvillage Bboard of Ttrustees and Vvillage staff as requested by the Vvillage Ppresident to:

(A) Increase the amount of space used for public parks and natural habitat that can be made available for public enjoyment.

(B) Improve how the generation of waste is managed, including increasing the type and amount of waste recycled.

(C) Institute sustainable development, balanced growth, and develop a "green" infrastructure.

(D) Increase water conservation and watershed quality.

(E) Increase the type and amount of biodiversity and to improve habitat by increasing the planting of native flora. (Ord. 07-94, 6-25-2007)

2-7-2: MEMBERSHIP: The ECO commission shall consist of a total of eleven (11) members: seven (7) voting members, all residing within the corporate limits of the Vvillage of Oswego, two (2) voting members which may be residents of the Village of Oswego or from the territory contiguous to the Village of Oswego not more than 1.5 miles beyond the corporate limits, and twofour (24) ex officio, non-voting members: one from the Vvillage of Oswego staff and ; one from the Oswegoland Ppark Ddistrict; and two (2) from the territory contiguous to the village of Oswego, not more than 1.5 miles beyond the corporate limits. Members shall be appointed by the Vvillage Ppresident with advice and consent of the Vvillage Bboard of Ttrustees. The members shall be appointed on the basis of expertise, experience, and interest in the areas of public open space; management of the generation of waste; the creation of

"green" infrastructure; water conservation; recycling; biodiversity and habitat improvement through planting of native flora; or related fields. The Vvillage Ppresident, with advice and consent of the Vvillage Bboard of Ttrustees, may remove individual ECO commission members.(Ord. 07-94, 6-25-2007) 2-7-3: TERM OF OFFICE: Ex officio members from the Vvillage of Oswego and the Oswegoland Ppark Ddistrict shall serve for their terms of elected or appointed offices or as otherwise provided by the ECO commission. Ex officio members from the area within 1.5 miles of the village of Oswego corporate limits shall serve three (3) year terms with initial terms as follows: One member for one year term; One member for two (2) year terms. All other members shall serve three (3) year terms with initial terms as follows: Three Two (32) members for one year terms; Three (3) members for two (2) year terms; ThreeTwo (32) members for three (3) year terms. Vacancies shall be filled for the unexpired term only. Following the adoption of this chapter and the appointment of the initial ECO commission members, terms shall be considered to begin on May 1 of the calendar year and end on April 30. (Ord. 07-94, 6-25-2007) 2-7-4: OFFICERS: The Vvillage Ppresident, with advice and consent of the Vvillage Bboard of Ttrustees, shall annually appoint a chairperson and an acting chairperson. The acting chairperson shall serve in the absence of the chairperson. (Ord. 07-94, 6-25-2007) 2-7-5: MEETING: A quorum shall consist of a majority of the appointed, voting members. All decisions or actions of the ECO commission shall be made by a majority vote of those members present and voting at any meeting where a quorum exists. The ECO commission shall meet monthly or bimonthly. These meeting dates will be approved by the village of Oswego board of trustees at the beginning of each calendar year. No members of the ECO commission shall vote on any matter that may materially or apparently affect the property, income or business interest of that member, or if otherwise prohibited by law. No action shall be taken by the ECO commission that could in any manner deprive or restrict the owner of property in its use, modification, maintenance, disposition, or demolition until such owner shall first have had the opportunity to be heard at a public meeting of the ECO commission, as provided herein. The chairperson, and in their absence the acting chairperson,

may administer oaths. All meetings of the ECO commission shall be open to the public unless properly closed under the Illinois open meetings act. The ECO commission shall keep minutes of its proceedings, showing the vote, indicating such fact, and shall keep records of its examinations and other official actions, all of which shall be immediately filed in the office of the village clerk and shall be a public record. (Ord. 07-94, 6-25-2007) 2-7-6: POWERS, DUTIES, AND RESPONSIBILITIES: The ECO commission shall have the following powers, duties and responsibilities as directed by the Vvillage Ppresident and Bboard of Ttrustees to:

(A) Build cooperative partnerships with governmental agencies, environmental groups, educational organizations, and other groups;

(B) Balance the complex interrelations between environmental, economics and personal needs;

(C) Research and educate ourselves and others to obtain practical solutions for environmental issues;

(D) Recognize that protection of our natural assets is an investment in the economic health of our community and in the value of our private property. (Ord. 07-94, 6-25-2007)
