Building Department reserve fund, if required.

Whereas s.11(2) of the Municipal Act,2001,as amended ('the
Act"), permits municipalities to pass by-laws respecting the
health, safety and well-being of persons"; and
Whereas the Provincial Policy Statement (PPS), under
section 1.6.5, gives the following direction:
"Public service facilities should be co-located in community
hubs, where appropriate, to promote cost-effectiveness and facilitate service integration, access to transit and active
transportation"; and
Whereas the Ministry of Health and Long Term Care (MOHLTC) provides financial direction and support to the
South East Grey Community Health Centre and the County owned long term care home 'Grey Gables', and has also
approved a new hospital to be built next to Grey Gables; and
Whereas these facilities are or will be three public service facilities, which are or will be, located in close proximity to
each other and will support the concept outlined in the PPS
section 1.6.5.; and

Whereas if the County decides to sell Grey Gables to a private sector operator, this would be in conflict with the
PPS.; and
Whereas it should be noted that approval to sell Grey Gables
must be sanctioned by the MOHLTC; and
Whereas the by-law concept being requested would be to
establish that the status quo currently meets the PPS and
would indicate that any change to this would be a conflict;
Now therefor be it resolved that the Council of Grey
Highlands requests a staff report that will explore by-law options that will protect citizen rights to continue the current
quality of life provided by the County owned long term care
facility known as Grey Gables; and
That staff are authorized to seek legal advice in order to
bring back the by-law options.

That the staff of the Municipality of Grey Highlands be authorized to prepare a RFP (request for proposal) to hire
the services of a consultant that is qualified to prepare and present a report to the Ministry of Health and Long Term
Care at a public meeting. This report will express the concerns of the citizens and Council of Grey Highlands in
regard to the potential closure of Grey Gables as a long term care facility and the subsequent re zoning that would be
required in order to facilitate the sale to a private
corporation; and
That funding will come from the Save Grey Gables reserve
and scoring will be done by the CAO, the Treasurer, the Mayor and Deputy Mayor and one member selected by
Council; and
That the RFP will be prepared as soon as possible and will be circulated through the usual channels and to a selected
group of consultants; and
That Dr. Jim Harrold will be hired to work with staff on the specific RFP wording and in the preparation of a list of
potential consultants.

That this Council has read and considered the Notice of Application for Judicial Review and the Notice of
Constitutional Question filed by CCSAGE Naturally Green in Ottawa Divisional Court, Court File No. 15 -
2162 (the “Application”); and
That recognizing that concerns about the specific WPD White Pines Project approved by the Respondent
Director, Minister and Board are particular to the Municipality of Prince Edward County and its
residents, this Council endorses the more general challenge to the Green Energy Act and its ancillary
legislation as set out in the Application for the
following reasons:
1. Green Energy Act, 2009, S.O. 2009, c. 12 , Sched. A,
s.5 strips municipalities of rural Ontario and their residents, but not those of urban or suburban Ontario,
of statutory rights to enact, rely on and claim the
benefit of sound land use planning principles;
2. Environmental Protection Act, c. E-19, s.142.1
unduly limits the rights of residents of rural Ontario to challenge the Respondent’s decision to issue the REA,
while the rights afforded to a proponent of a Class 4
wind facility are unrestricted;
3. Ontario Energy Board Act, S.O. 1998, c. 15, Sched.
B, s. 96(2) unduly restricts the matters to be considered in assessing the public interest in granting
leave to construct an electricity transmission or
distribution line;
4. Planning Act, R.S.O. 1990, c. P.13, s. 62.0.2
eliminates the right of rural municipalities and their residents to exercise sound planning principles in
respect of industrial uses of land within their
jurisdiction;
5. Electricity Act, 1998, S.O. 1998, c. 15, Sched. A,
s.41 eliminates the right of rural municipalities to influence or direct the installation of electricity
transmission or distribution lines connected to renewable energy projects on roads owned and
maintained by the municipality.

6. Ontario Regulation 282/98 under the Assessment
Act provides preferential rates of assessment to proponents of industrial wind turbines to the
prejudice of host municipalities; and

severed. The County of Grey also allows for surplus farm lots. The Planner noted lands are designated as prime
agriculture within the Grey Highlands Official Plan.

Presentation by the Applicant/Agent - The applicant's
agent, Krysten Rennie from Georgian Planning Solutions explained the OPA application and the severance. Ms.
Rennie noted that the subject lands are designated as
agriculture in the Grey Highlands Official Plan and the current policies allow for surplus property severances but
is still awaiting approval from the County. It was noted that the owner first inquired about the severance when
the Official Plan was first under review but didn't realize it would take this long which is why the application is site
specific.

Whereas the Provincial Policy Statement (PPS), under
section 1.6.5, gives the following direction:
"Public service facilities should be co-located in community
hubs, where appropriate, to promote cost-effectiveness and facilitate service integration, access to transit and active
transportation"; and
Whereas the Ministry of Health and Long Term Care (MOHLTC) provides financial direction and support to the
South East Grey Community Health Centre and the County owned long term care home 'Grey Gables', and has also
approved a new hospital to be built next to Grey Gables;
and
Whereas these facilities are or will be three public service
facilities, which are or will be, located in close proximity to each other and will support the concept outlined in the PPS
section 1.6.5.; and
Whereas if the County decides to sell Grey Gables to a private sector operator, this would be in conflict with the
PPS.; and
Whereas it should be noted that approval to sell Grey
Gables must be sanctioned by the MOHLTC; and
Whereas the by-law concept being requested would be to establish that the status quo currently meets the PPS and
would indicate that any change to this would be a conflict;
Now therefor be it resolved that the Council of Grey Highlands requests a staff report that will explore by-law
options that will protect citizen rights to continue the current quality of life provided by the County owned long
term care facility known as Grey Gables; and
That staff are authorized to seek legal advice in order to
bring back the by-law options.

That Report CAO.17.05 Christmas Lighting in Villages of Flesherton & Markdale be received;
And that Council directs staff regarding the purchase and installation of
Christmas lights in villages as outlined in Option 2:
Direct staff to proceed with investment in lights for existing light poles with power sources and installation and proceed to investigate the
potential to expand the program to other poles in villages and other
locations for 2018 installation.
Background and Analysis:
The municipal council has expressed an interest in refurbishing its Christmas
lighting program in the villages of Grey Highlands. Staff were directed by the
CAO to investigate and provide a recommendation report back to Council.
In the past, the municipality has placed Christmas lights poles through the village of Flesherton and the town of Markdale along the Hwy 10 corridor.
Historically, other municipal villages have not installed powered Christmas
lights. The opportunity to expand into other villages will be explored in a

Historically, Christmas lights have been installed on Hydro One poles in the villages, due to traditional agreements with Hydro. These are not contracted

nor recorded. Municipal staff consulted with Hydro One earlier this year in
regards to a report on banners, and was advised by Hydro One to inventory poles and record serial numbers for consideration of pole use.
Municipal staff has now completed this inventory (within the villages of Flesherton and Markdale) and noted where there are:
- Banner poles in place on poles - Christmas Light brackets in place on poles
- Christmas Light bracket marks in place on poles (ie used but removed) - Power sources in place on poles
There are often by-laws in place for pole use, and there are rules to follow
for installing banners on poles. Hydro One will advise on specific requirements so the municipality may follow up on this to ensure compliance
with Hydro One. There is a potential to expand beyond current communities in future.
Historically the Christmas lights in Flesherton & Priceville have been installed
by Hydro One, as part of an agreement from the sale of Flesherton &
Priceville utilities to Hydro One – this agreement will be formalized moving forward. The installation of Christmas lights in Markdale is completed by a
local company with a high lift.
It was noted during inventory, some light brackets are installed on the sidewalk side to ensure there is no chance of vehicles interfering with the
lights. Proper traffic clearances would need to be controlled through municipal TES department to ensure no interference with vehicles or traffic.
A spreadsheet of available poles has been created. In Markdale there are 11
existing power units on poles and 10 brackets up (new lights include brackets). In Flesherton there are 18 poles with power sources (16 have
brackets). So status quo for lights is 29 existing power source poles.
Estimates for lights are based on a variety of styles of “snowflake” from a
three suppliers (all side-mounted for light pole installation):

From averaging the supplier costs – median cost is $700 per light assembly.
It should be noted, during the inventory it was not possible to test the power
sources on poles – it is unknown if they are all in working order. Replacing power sources, or installing new ones would have a per unit cost of
approximately $350 plus installation cost.
Installation costs estimated based on quote by hourly rate cost (with existing hardware in place) at approximately $60 per installation. NOTE: Intallation
costs are only applied for Markdale as Hydro One installs the lights in
Flesherton and Priceville.
So, purchase and installation per unit (in Markdale only): $700 + $60 = $760 (not including replacement of any power sources not working at time of
installation). Purchase of lights for Flesherton are averaged at $700 per unit
(again, not including power unit replacement).
Operational Considerations:
There are three alternatives available for consideration:
1. Maintain the existing policy/procedure with respect to Christmas lights (ie status quo). This alternative is not recommended as lights are old
and are not expected to be useful for another season.
2. Direct staff to proceed with investment in lights for existing light poles with power sources and proceed to investigate potential to expand
program to other poles in villages and other locations for 2018 installation.
3. Advise staff as to an alternative direction.

Grey Highlands’ Strategic Plan:
The recommendation(s) included in this Staff Report support the following
goals identified in the 2013-2018 Strategic Plan:
1. Communications – 1.2 Develop and deliver a renewed marketing and
branding approach through community engagement
2. Community and Economic Development – 2.2 Capitalizing on Grey Highlands’ location advantage and 2.3 Promoting local commercial,
industrial and retail growth and sustainability and 2.6 Promoting a
sense of community pride, engagement and belonging
Financial Impact:
The 2017 budget did not include an allocation of funds for new Christmas
lights, but there will be funds available due to cost savings on other projects.
Based on the cost estimates, replacing the Christmas lights in Flesherton (18 x $700 = $12,600) and Markdale (11 x $760 = $8360) for the 2017 season
would be approximately$20,960.
While this represents unbudgeted spending, the facilities budget is presently
in great shape and will end the year under budget. There are ample available funds to accommodate the financial requirements of this project
without significantly impacting the overall municipal financial position at
year-end.
Legal Impact:
There are no legal implications for the Corporation resulting from the
proposed recommendation.
Staffing Impact:
There would likely be some staffing implications for the Corporation resulting from the proposed recommendations but these are undetermined at this
time.

Being a by-law to establish a Records Retention Program for the Municipality of Grey Highlands
Whereas the Municipal Act, S.O. 2001 provides under Section 254 (1)
and 255 (2) that a municipality shall retain and preserve the records of the municipality and its local boards in a secure and accessible manner
and that a record of a municipality may be destroyed if a retention period for the record has been established under this section; and
Whereas the Municipal Act, S.O. 2001 provides under Section 255 (3)
that a municipality may, subject to the approval of the municipal auditor,
establish retention periods during which the records of the municipality and local boards of the municipality must be retained and preserved; and
Whereas the Municipal Act, S.O. 2001 provides under Section 23.1 that
the municipality may delegate its powers and duties to a person and that the Council of the Corporation of the Municipality of Grey Highlands
deems it expedient to grant the Clerk delegated authority to update the retention schedule for the records of the Municipality of Grey Highlands; and
Now therefore be it resolved that the Council of The Corporation of
the Municipality of Grey Highlands enacts as follows:
1. That the Records Retention Policy identified as Schedule ‘A’, in substantively the same form as that attached hereto which forms
an integral part of this by-law, be adopted; and
2. That the Records Retention Schedule identified as Schedule ‘B’, in
substantively the same form as that attached hereto which forms an integral part of this by-law, be adopted and that the Clerk be
authorized to amend the Records Retention Schedule annually, as required, only based on updates in legislation only; and
3. That, notwithstanding #2 above, any other updates requested to
the retention schedule be brought back to Council for approval;
4. That By-Law #2005-50 is hereby repealed.
5. That this By-Law takes effect upon the date of final passing, subject to the approval of the municipal auditor.

1.0 Purpose
It is the policy of the Municipality of Grey Highlands to provide a
corporate-wide Records Management Program to maintain, protect, preserve and dispose of records in accordance with government
regulations, legal requirements, historical/archival needs and to maintain
a high level of customer service.
The purpose of the Corporate Records Management Program shall be:
• To ensure that records, regardless of their physical medium, are organized, secure, retrievable, retained appropriately and managed
efficiently throughout the active, semi-active and inactive states of their life cycle.
• To provide a framework and guidelines for the program to manage the creation, security, use, receipt, access, maintenance, retention and
disposition of records regardless of their physical medium, and to establish and define accountability, responsibility and roles for the
program. Final disposition of records shall be pursuant to the provisions of the Municipality of Grey Highlands Records Retention
Schedule. • To ensure that all records in the custody and control of the Municipality
and its local boards, regardless of their physical medium, are the
property of the Municipality and are subject to its control, contingent on existing legislation and by-laws.
Where records are in the possession of an outside agency, such records will be under the Municipality’s control when:
o the record is specified in a contract as being under the control of the Municipality;
o the content of the record relates to the Municipality’s mandate and functions;

o the Municipality has the authority to regulate the record’s use and disposition;
o the outside agency is a consultant and the record was created specifically for, and presented to the public body; or
o the contract permits the Municipality to inspect, review, or copy the records produced, received or acquired.
• To ensure that records, regardless of their physical medium, are managed in compliance with the provisions of the Municipal Freedom
of Information and Protection of Privacy Act (MFIPPA) and any other Municipality of Grey Highlands Policy.
2.0 Scope
This policy applies to all records within the Municipality of Grey Highlands,
including those produced or received within the departments. The Records Management Policy shall also apply to all records in the custody and
control of Council and its committees, Municipal administration and local boards of the Municipality. Local Boards, for the purposes of this policy,
shall be as defined in the Municipal Act, and shall include the Library Board, Museum Board, Police Services Board, Committee of Adjustment,
or any other board, commission, committee, body or local authority established or exercising any power under any Act with respect to the
affairs or purposes of one or more municipalities, excluding a school board
and a conservation authority.
This policy regulates the creation of all documents and records,
maintenance of active records in the corporate alpha-numeric file classification system, preparation, issuance and updating of approved
records retention schedules, management of inactive records storage, and the identification and protection of the Municipality of Grey Highlands
records in accordance with government regulations and legal requirements.
3.0 Policy
The Records Management policy shall:
• provide records keeping systems and services that efficiently maintain and retrieve information.
• provide efficient and prompt disposal of records when their administrative, legal, and fiscal value has ceased and all

requirements of Municipality of Grey Highlands by-laws as they affect public documents have been met while preserving those
records of enduring value to the Municipality. • provide efficient development and use of electronic records
management systems where cost effective applications exist. • help prevent the creation of unnecessary records, including forms,
directives and reports. • provide for the storage and retrieval of inactive records.
• provide for ongoing training of staff involved in delivering and using the records management program.
• provide for the preservation of corporate history.
Implementation of the policy will ensure that:
• there is corporate compliance with the file classification system.
• filing and storage space is economically utilized.
• vital and archival records are protected. • legal requirements are met.
• retrieval of records is simplified. • staff turnover does not affect the corporate memory of its records.
• index of all corporate records as required by MFIPPA is maintained.
3.1 Definitions
Records Management: is the application of systematic control to recorded information which is required in the operation of the municipal offices. The
services provided through the records management program include:
• filing of records
• retrieval of records • disposition of records
• retention of records • records retention scheduling
• archival of records • inactive records storage
Corporate Record: is a collection of valuable information, however
recorded. A record could be in printed form, on film, recorded by electronic means or otherwise. Regardless of its format, a corporate record documents
an aspect of the business of the Municipality. A non-exhaustive list of
examples of corporate records includes: • memoranda
• corporate policies and by-laws

• corporate contracts or agreements • video or audio recordings of meetings
• record emails • corporate reports
• personnel records • letters received by representatives of the Municipality
• letters sent by representatives of the Municipality; etc.
Non-Records: The following are examples of documents that may be in the
possession of a representative of the Municipality, but which do not constitute corporate records:
• advertisements or flyers prepared by outside agencies for seminars,
office supplies, etc. • a personal note of thanks to a staff member
• a draft document (paper or electronic) or a series of draft documents of things that ultimately, when finalized, become
corporate records, unless same must be retained to define or defend a position taken
• photocopied newspaper or magazine articles • working papers and notes to oneself compiled when researching for
the creation of a corporate record
• transitory records or emails
Municipality: the Corporation of the Municipality of Grey Highlands. All
records, regardless of physical form or characteristics are the property of the
Municipality of Grey Highlands and subject to its control.
Department Head: the officer who by administrative policy is in charge of an office of the Municipality of Grey Highlands that creates or receives
records.
Essential Record: any record of the Municipality of Grey Highlands
necessary to the resumption or continuation of its operations in an emergency or disaster, to the re-creation of its legal and financial status, or
to the protection and fulfillment of obligations to the people of the
Municipality of Grey Highlands. (i.e. By-law)
Permanent Record: any record of the Municipality of Grey Highlands for which the retention period on a records retention schedule is given as
permanent.
Records Retention Schedule: a document prepared by or under the authority of the Records Manager and/or Clerk, (generally from the Ontario
Municipal Records Management System – TOMRMS as amended) listing the

records maintained by the Municipality of Grey Highlands, their retention periods, and other records disposition information that the records
management program may require.
Transitory Records: are non-records which are ether required for a limited
time to complete a routine action, are used in the preparation of a final record, are retained as information or as a convenience copy by offices or
individuals, are conversational in nature with no specific direction or importance, or are background information to develop a course of action or
final document. (Includes many general emails, letters of receipt or thanks, or the compilation of an information file while working on a specific project
with copies of records for ease of reference.)
3.2 Policy Requirements
The Municipality of Grey Highlands and its local boards shall:
a) provide record keeping systems and services that efficiently maintain
and retrieve information. b) provide efficient and prompt disposal of records.
c) provide efficient development and use software for records management where cost effective applications exist.
d) standardize the type of equipment and supplies utilized in the maintaining of records within the Municipality.
e) prevent the creation of unnecessary records, including forms,
directives and reports. f) provide for the storage and retrieval of inactive records.
g) provide specific protection to vital and archival records. h) provide for ongoing training of staff involved in delivering and using
the program. i) provide for transfer of those records of historical value to the County
Archives, Grey Roots Museum and Archives. j) ensure that the records program shall be subject to current by-laws
and legislation.
3.3 Responsibilities
The Clerk’s Department shall be responsible for the administration of the
Corporate Records Management Program and for the establishment and maintenance of a program manual which shall include the records
management procedures and shall assign duties for the ongoing operation

and maintenance of the program.
An employee of the Clerk’s Department shall serve as Records Manager for the Municipality of Grey Highlands under the direction of the Clerk.
Employees are expected to follow this policy and best records management
practices.
Duties of the Records Manager In addition to other duties assigned in this policy, the Records Manager shall
(under the direction of the Clerk): • administer the records management program and provide assistance
to Department Heads in its implementation; • develop procedures to ensure the permanent preservation of the
historically valuable records of the Municipality;
• establish standards and/or procedures for filing and storage equipment and for recordkeeping supplies;
• study the feasibility of the current system, and if appropriate, establish a uniform filing system and a forms design and control system for the
Municipality of Grey Highlands; • monitor records retention schedules and administrative rules;
• disseminate to Council and Department Heads information and updates concerning the retention schedule on an annual basis;
• ensure that the maintenance, preservation, micro filming, destruction or other disposition of the records of the Municipality of Grey
Highlands are carried out in accordance with the policies and procedures of the records management program;
• maintain records of the records destroyed under approved records control schedules or through records destruction authorization
requests; and
• bring to the attention of the Clerk and Chief Administrative Officer non-compliance by Department Heads or other municipal personnel
with the policies and procedures of the records management program.
Duties and Responsibilities of Department Heads In addition to other duties assigned in this policy, Department Heads shall:
• co-operate with the Records Manager in carrying out the policies and procedures established in the Municipality of Grey Highlands for the
efficient and economical management of records and in carrying out the requirements of this ordinance;
• adequately document the transaction of government business and the services, programs and duties for which the Department Head and his
or her staff are responsible; and • maintain the records in his or her care and carry out their

preservation, destruction or other disposition only in accordance with the policies and procedures of the records management program of
the Municipality of Grey Highlands and the requirements of this policy.
3.4 Implementation of Records Retention Schedule; Destruction of Records under the Schedule
• A records retention schedule adopted by Council shall be implemented
by Department Heads. The Records Manager shall provide an updated retention schedule to Department Heads annually when released by
TOMRMS, noting any changes from the previous year, based on current legislation.
• A record whose retention period has expired on a records retention schedule shall be destroyed unless an open records request is pending
on the record, the subject matter of the record is pertinent to a pending law suit, or the Department Head requests in writing to the
Records Manager that the record be retained for an additional period.

Being a by-law to name a road Stonebrook Way within the Municipality of Grey Highlands
Whereas the Municipal Act 2001, S.O. 2001 c.25, as amended (the
“Act”) provides municipalities may pass By-laws respecting highways; and
Whereas the Council of the Municipality of Grey Highlands deems it
desirable to name certain roads to be developed with the Municipality of Grey Highlands; and
Whereas notice of the proposed name has been published in a newspaper having general circulation on the week of August 23, 2017;
had been received in a report to Council on August 23, 2017, and was posted on the Municipal website and at the Municipal Office on August 29,
2017; and
Now therefore be it resolved that the Council of The Corporation of the Municipality of Grey Highlands enacts as follows:
That Street “A” as shown on the draft plan of subdivision for the
Stonebrook development be known as Stonebrook Way.

Being a by-law to authorize the Mayor and Municipal Clerk to enter into a Site Plan Agreement between the Municipality of Grey
Highlands and POY MFG Inc.
Whereas the Council of the corporation of the Municipality of Grey
Highlands deems it necessary and in the public interest to enter into a Site Plan Agreement with POY MFG Inc. to construct a small scale
industrial welding shop; and; and
Whereas the Corporation of the Council of the Municipality of Grey
Highlands is authorized by the Municipal Act to enter into such an agreement; and
Whereas the Corporation of the Municipality of Grey Highlands passed
By-law 2017-53 on June 21, 2017 authorizing entering into this agreement under the company owner’s name of William L. Martin; and
Whereas the By-law and agreement are required to be in the name of
the registered owner of the lands being the name of the company POY MFG Inc.
Now therefore be it resolved that the Council of The Corporation of
the Municipality of Grey Highlands enacts as follows:
1. That the Mayor and the Municipal Clerk are hereby authorized to
execute a Site Plan Agreement with POY MFG Inc. as the property owner of Lot 43, Concession 2 in the former Township of Osprey; a
copy of which is attached hereto as Schedule ‘A’. and is hereby declared to form part of this by-law; and
2. That By-law 2017-53 is hereby repealed and replaced with this by-
law; and
3. That this By-Law takes effect upon the date of final passing.

THIS AGREEMENT made in triplicate this __ Day of _________, 2017.
BETWEEN
THE CORPORATION OF THE MUNICIPALITY OF GREY HIGHLANDS
(Herein referred to as the Municipality)
-And-
POY MFG Inc.
(Herein referred to as the Owner)
WHEREAS an application for Site Plan Approval under Section 41 of the
Planning Act of Ontario, R.S.O. 1990, as amended, was made to the Municipality to permit the use of the lands for the purpose of a small-scale
Rural Commercial shop on the subject property.
AND WHEREAS the parcel affected by this Agreement is more particularly
described as being LOT 43, CONCESSION 2, NDR TOWNSHIP OF OSPREY;
MUNICIPALITY OF GREYHIGHLANDS, being PIN 37260-0082 (LT).
AND WHEREAS the Municipality approved Zoning By-law No. 2017-08
permitting the placement of a Rural Commercial use on the 15TH day of
February, 2017.
AND WHEREAS the Rural Commercial Use is proposed to allow a small scale shop for machining press work welding and assembling to operate on
the property.
AND WHEREAS one of the requirements of the Zoning By-law is that the
Owner obtain Site Plan Approval and enter into a Site Plan Agreement with
the Municipality of Grey Highlands.
AND WHEREAS the Planning Act under Section 41(7)(c) enables a local
municipality to require the owner to enter into one or more agreements.
AND WHEREAS the Municipality has enacted a By-law to provide for the
designation of the lands as a “Site Plan Control Area”;
AND WHEREAS the Owner intends to develop the lands in accordance with
the Plans and Works to Be Constructed described in Schedule “B”;
AND WHEREAS the Owner has provided written documentation to the
Municipality indicating that the small-scale commercial / industrial use is directly supportive of the farm operation, and required in close proximity to
the farm operations in the area consistent with Section 2.3.3 of the
Provincial Policy Statement.

NOW THEREFORE this Agreement Witnesseth that in consideration of the mutual covenants hereinafter contained, the parties hereto hereby covenant
and agree as follows:
1. COVENANTS BY THE OWNER
The Owner covenants and agrees as follows:
a) The Owner is the registered owner of the subject lands described
herein, and has provided the Municipality with a Registered Deed
containing the legal description of the subject lands.
b) The Owner consents and agrees that this Agreement shall be registered against title to these subject lands, at their expense, and
shall take priority over any subsequent registrations against the title to
the subject lands.
c) That this agreement shall be binding on the Owner and from time to
time, their heirs, executors, administrators, successors and assigns.
d) The Owner shall obtain all necessary approvals from the Municipality
and from all Ministries and Agencies
e) The Owner acknowledges and agrees that the small-scale commercial /
industrial shop shall be permitted to have a maximum gross floor area of 250 m², with a maximum outdoor storage area of 750 m². The
small-scale commercial / industrial shop is required to remain secondary to the principal permitted Rural / Agricultural use of the
property.
f) The Owner acknowledges and agrees that the small-scale commercial /
industrial use shall employ no more than five (5) full time employees
at any one time in addition to the Owner.
g) The Owner acknowledges and agrees that an Entrance Permit may be required from the Municipality of Grey Highlands Environmental &
Transportation Services Department.
h) The Owner acknowledges and agrees to provide securities in the amount of $1,500.00 as detailed below. Upon completion of the
works, the Owner may apply for a reduction. However, a minimum of 10% of the securities will be held for a period of one (1) year from the
date the construction is completed as a maintenance holdback. Upon completion of the final inspection at the one (1) year period, and the
approval of as-constructed drawings prepared by the Owner, the
remaining securities will be released.

i) Securities shall be provided in the form of Letter of Credit or Cheque
equal to the estimated cost of fencing, trees and landscaping on site,
as per the Landscaping and Buffer Standards By-law number 2015-59. In the event that landscaping works perish within the first year of
installation they shall be replaced at the sole expense of the Owner, failing which, the Municipality shall undertake the work by drawing
upon the securities.
j) Notwithstanding anything herein before contained in this Agreement,
when the Owner is deemed by the Municipality to be in default of this Agreement, the Municipality reserves the right to realize upon
securities (provided by the Owner), as they see fit, in order to
complete and fulfill the requirements of this Agreement.
k) All works, once constructed or provided in accordance with the requirements of this Agreement, shall be properly maintained and
repaired as required to the satisfaction of the Municipality at the sole
expense of the Owner.
l) That all light standards on site direct the light downwards so as to
avoid creating a nuisance to adjacent landowners and / or passing
motorists.
m) Regular weekly refuse and bi-weekly recycling collection will be provided as outlined in the current Waste Collection & Mandatory
Recycling By-law. Should the commercial premise exceed the collection limit for curbside collection, the owner(s) will be required to
provide their own collection bin and to arrange for the disposal of said
bin.
n) The Owner must take all necessary precautions to prevent erosion and sedimentation of sewers, ditches, culverts, slopes, etc. prior to and
during construction. Failing adequate precautions being taken, the Owner shall be responsible for correcting any damage and paying all
maintenance costs resulting there from.
o) The Owner acknowledges and agrees that appropriate dust control
measures will be their responsibility. Regular applications of calcium,
or an approved alternative, shall be applied to the gravel areas of the
site to prevent the creation of a nuisance to the adjacent landowners.

p) The Owner acknowledges and agrees that the truck traffic associated with the Rural Commercial Use will be limited to a maximum of 2
trucks per day, round trip. The Owner further acknowledges and agrees that truck traffic will be required to comply with all half load
restrictions imposed by the Authority Having Jurisdiction over the
roadway.
q) The Owner acknowledges and agrees that the hours of operation associated with the small-scale commercial / industrial operation will
be limited to 7:00 am to 6:00 pm with limited overtime hours, Monday
to Friday, an occasional Saturday and no Sundays.
r) If an adjacent landowner makes a written request to Council for the construction of a fence or landscape buffer, and Council accepts such a
request or amends such a request as they see fit, the Owner will be
required to construct a fence or landscape buffer to the satisfaction of the Municipality. The cost thereof or the costs of maintenance and
repair of such fence or fences will be the obligation of the Owner.
s) The parties further acknowledge and agree that this Agreement may
not be terminated or cancelled without the prior written consent of the
Municipality of Grey Highlands.
t) Any changes or amendments to the Site Plan will be subject to the Municipality’s Site Plan Control Manual and must be mutually agreed
upon and in writing.
u) The Owner acknowledges and agrees that the use and development of
the property shall be in accordance with the approved Site Plan, as prepared by the Agent, and provided with the Site Plan Application on
May 4, 2017.
v) The Owner covenants and agrees with the Municipality on behalf of
itself, its successors and assignees, to indemnify and save harmless
the Municipality, its servants and agents from and against any and all actions, suits, claims and demands whatsoever, which may arise either
directly or indirectly by reason of any work performed. The Owner further covenants and agrees to release and forever discharge the
Municipality from and against all claims, demands, causes of actions, of every nature and type whatsoever that may arise either as a result
of the failure of the Municipality to carry out any of its obligations under this Agreement, or as a result of the Municipality performing any
municipal work on the said lands or the adjacent properties which may damage or interfere with the works of the Owner, provided that such
default, failure or neglect was not caused as a result of negligence on
the Part of the Municipality, its servants or agents.

2. COVENANTS BY THE MUNICIPALITY
The Municipality covenants and agrees as follows:
a) That the Municipality agrees that subject to compliance by the Owner with all relevant Municipal By-laws, Provincial Statutes and
Regulations, Agency requirements, and the provisions of this
Agreement, the Owner may proceed to develop the subject lands.
IN WITNESS WHEREOF the parties hereto have executed this Agreement and have hereunto caused to be affixed the corporate seals, duly attested to
by the property signing officers.

WORKS TO BE CONSTRUCTED
The following list is a summary of the works required in general terms only:
▪ The construction of a power room within the existing building.
▪ The construction of an outdoor storage area, loading area and parking
facilities associated with the Rural Commercial Shop.
▪ The completion of grading and landscaping as per the Site Plan dated
May 4, 2017.
All of the above noted works to be constructed in accordance with the
conditions and standards set out in this Agreement and the Plans prepared
by the Property Owner and approved by the Municipal Planner.

BY-LAW NUMBER 2017-77
A BY-LAW TO LIFT A HOLDING PROVISION BEING a By-law to lift a hold provision by amending the Municipality of Grey Highlands Comprehensive Zoning By-law No. 2004-50; WHEREAS Section 6.1.5 of the Municipality of Grey Highlands Official Plan, enables the Comprehensive Zoning By-law to contain provisions which specify the use to which lands buildings or structures may be put at such time in the future as the holding provision is removed by amendment to the By-law. AND WHEREAS in accordance with Section 4.3.2 (b) of the Municipality of Grey Highlands Official Plan, and Section 5.5(d) of Comprehensive Zoning By-law 2004-50, the lands affected by this By-law are subject to a holding provision due to their proximity to a Provincially Significant Wetland. AND WHEREAS the Council of the Corporation of the Municipality of Grey Highlands deems it in the public interest to pass a By-law to amend By-law No. 2004-50. AND WHEREAS pursuant to the provisions of Sections 34 and 36(1) of the Planning Act, R.S.O. 1990, as amended, By-laws may be amended by Councils of Municipalities; NOW THEREFORE THE COUNCIL OF THE CORPORATION OF THE MUNICIPALITY OF GREY HIGHLANDS ENACTS AS FOLLOWS:
1. By-law No. 2004-50 is hereby amended by affecting the lands described as Lot 30, RCP 833, in the Former Township of Artemesia has shown on Schedule “A” attached hereto.
2. Schedule “E-1” of By-law No. 2004-50 is hereby amended by removing
the holding provision from a portion of the property, subject to the following:
a) The holding provision shall only be removed from the portion of the
property identified on Schedule “A” of this By-law, and b) Removal of the holding provision shall only permit the construction of
deck measuring 10 metres x 3 metres in addition to a stair well to ground level.
3. Schedule “A” and all other notations thereon are hereby declared to
form part of this By-law.
4. This By-law shall come into force and take effect upon being passed by Council subject to any approval necessary pursuant to the Planning Act, R.S.O. 1990, as amended.

BEING a By-law to amend the Municipality of Grey Highlands Comprehensive Zoning By-law No. 2004-50; WHEREAS the Council of the Corporation of the Municipality of Grey Highlands deems it in the public interest to pass a By-law to amend By-law No. 2004-50. AND WHEREAS pursuant to the provisions of Section 34 of the Planning Act, R.S.O. 1990, as amended, By-laws may be amended by Councils of Municipalities; NOW THEREFORE THE COUNCIL OF THE CORPORATION OF THE MUNICIPALITY OF GREY HIGHLANDS ENACTS AS FOLLOWS:
1. By-law No. 2004-50 is hereby amended by affecting the lands described as Lot 30, RCP 833, in the former Township of Artemesia, as shown on Schedule “A” attached hereto.
2. Schedule “E-1” of By-law No. 2004-50 is hereby amended by
changing the zone on the subject property from Residential Shoreline (RS) and Hazard (H) zone to the Residential Shoreline (RS-302) zone and Hazard (H) zone.
3. Section 16 of By-law No. 2004-50 is hereby applicable to the
subject lands as follows:
“16.302 Notwithstanding any provisions of By-law 2004-50 to the contrary, the following provision in addition to any other provision within the Residential Shoreline (RS-302) zone, shall apply to those lands zoned Residential Shoreline (RS-302):
i. Notwithstanding the provisions of Section 5.2
(Lot Development Requirements) and Section 5.3 (Non-Complying Lots, Buildings and Structures) as defined in the General Provisions of this By-law, on lands identified with a (-13) exception number which have frontage on a private road, the lands may be used, and buildings thereon may be erected, enlarged, repaired or renovated provided all other provisions of the By-law are complied with.
ii. A minimum rear yard setback of 18 metres to permit the construction of a deck addition measuring 3 metres by 10 metres and including stairs to ground level.”
4. Schedule “A” and all other notations thereon are hereby declared
to form part of this By-law.
5. This By-law shall come into force and take effect upon being passed by Council subject to any approval necessary pursuant to the Planning Act, R.S.O. 1990, as amended.

The Corporation of the Municipality of Grey Highlands By-Law Number 2017-82
A By-Law to confirm the proceedings of the Council of the Municipality of
Grey Highlands
WHEREAS the Municipal Act 2001, S.O. 2001, c 25, Section 5(1), provides that the powers of a municipality shall be exercised by its council; and
WHEREAS the Municipal Act 2001, S.O. 2001, c 25, Section 5(3), provides a municipal power, including a municipality's capacity, rights, powers and
privileges under section 9, shall be exercised by bylaw unless the municipality is specifically authorized to do otherwise; and
WHEREAS it is deemed expedient that the actions of all meetings of Council of The Corporation of the Municipality of Grey Highlands be confirmed by by-law;
NOW THEREFORE the Council of the Municipality of Grey Highlands hereby enacts as follows:
1. That the actions of the Council of The Corporation of the Municipality of
Grey Highlands in respect of: a) Each recommendation in the reports; b) Each motion, resolution or other action passed, taken or adopted at
the meetings listed below are hereby adopted, ratified and confirmed as if same were expressly included in this by-law,
provided that such adoption and confirmation shall not be deemed to include the final passing of a by-law that requires the prior
approval of a Minister, a Ministry, to the Ontario Municipal Board or any other governmental body:
• Regular Meeting of Council held September 13, 2017
2. That the Mayor and proper officials of The Corporation of the Municipality
of Grey Highlands are hereby authorized and directed to do all things necessary to give effect to the action of the Council of The Corporation of the Municipality of Grey Highlands, referred to in Section 1.
3. That the Mayor, or in the absence of the Mayor, the Deputy Mayor and the Clerk, or in the absence of the Clerk, the Deputy Clerk
a) are authorized and directed to execute all documents to the action taken by Council as described in Section 1;
b) are authorized and directed to affix the seal of The Corporation of
the Municipality of Grey Highlands to all such documents referred to in Section 1.
4. That this by-law shall come into effect upon the passing thereof.
