ComPro (CZ) Product Licence Agreement

IMPORTANT - READ CAREFULLY.BY INSTALLING THE SOFTWARE, YOU WILL INDICATE YOUR ACCEPTANCE OF THE FOLLOWINGCOMPRO (CZ) LICENCE AGREEMENT.

This is a legal agreement between you, the licensee, and ComPro (CZ). By installing this software package,you are agreeing to be bound by the terms of this agreement. IF YOU DO NOT AGREE TO THE TERMS OFTHIS AGREEMENT, DO NOT CONTINUE WITH THIS INSTALLATION. ComPro (CZ) specifically retains title to allComPro (CZ) software and does not sell any rights in ComPro (CZ) software. Instead ComPro (CZ) grantsthe right to use the software by means of a software licence.

ComPro (CZ) SOFTWARE LICENCE

1. GRANT OF LICENCE.In consideration of payment of the licence fee which is part of the price you paid for this product and

your agreement to abide by the terms and conditions of this agreement ComPro (CZ) grants you the non-exclusive right to use one copy of the enclosed software ("SOFTWARE") on a single workstation connectedto a single computer. You may not network the SOFTWARE or otherwise copy it or use it on more than onecomputer or computer workstation at the same time.

2. COPYRIGHT.The SOFTWARE is owned by ComPro (CZ) unless otherwise indicated. The SOFTWARE is protected by

copyright laws and international treaty provisions. Therefore you must treat the SOFTWARE like any othercopyrighted material except that you may either (a) make one copy of the SOFTWARE solely for backup orarchiving purposes, or (b) transfer the SOFTWARE to a single hard disk provided you keep the original forbackup or archiving purposes.

3. RESTRICTIONS ON USE.You may use the SOFTWARE to recover and/or protect only your own applications for which you are the

lawful copyright holder. You may not assign, licence, rent or lease the SOFTWARE and accompanyingmaterials. You may not use the SOFTWARE to recover and/or protect an application on behalf of a thirdparty for profit or non-profit or otherwise where you are not the lawful copyright holder. You may nottransfer the right of using the SOFTWARE to third party. You may not transfer the SOFTWARE from onecomputer to another over a network. You may not modify, adapt, translate, reverse engineer, decompile ordisassemble the SOFTWARE. You may not modify, adapt, translate or create derivative works based on theSOFTWARE.

4. INDEMNIFICATION.You agree to indemnify, defend, and hold ComPro (CZ) harmless from and against any claims, suits,

damages, expenses, including legal fees brought against or suffered by any kind related to or caused bythe use of the SOFTWARE.

5. LIMITED WARRANTY.

LIMITED WARRANTY. ComPro (CZ) warrants that the SOFTWARE will be free from defects under normaluse for a period of 90 days from the date of purchase. If any defect in the software should occur during this90 day period, the software and a copy of your receipt may be returned to ComPro (CZ), and the softwarewill be replaced without charge. THIS WARRANTY IS LIMITED TO YOU ONLY.

CUSTOMER REMEDIES. ComPro (CZ)'s entire liability and your exclusive remedy shall be replacement ofthe software. This Limited Warranty is void if failure of the software has resulted from accident, neglect,abuse or misapplication. Any replacement of the software will be warranted for the remainder of the

original warranty period.

NO OTHER WARRANTIES. COMPRO (CZ) DISCLAIMS ALL OTHER WARRANTIES, EITHER EXPRESS ORIMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OR MERCHANTABILITY AND FITNESS FORA PARTICULAR PURPOSE, WITH RESPECT TO THE SOFTWARE AND THE ACCOMPANYING WRITTENMATERIALS.

NO LIABILITY FOR CONSEQUENTIAL DAMAGE. IN NO EVENT SHELL COMPRO (CZ) BE LIABLE FOR ANYDAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS,BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR OTHER PECUNIARY LOSS) ARISING OUTOF THE USE OF OR INABILITY TO USE THE SOFTWARE AND ACCOMPANYING WRITTEN MATERIALS, EVEN IFCOMPRO (CZ) HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
