The contract establishes the basis for a continuing relationship between CDN Comunicacao Corporativa Ltda. and Secretariat. Pursuant to the contract, CDN International, Inc. will be providing services directly to the foreign principal. Such services include public relations outreach and counseling on behalf of the foreign principal regarding the overall country image of Brazil.

As described above, CDN International, Inc. will be providing services directly to the foreign principal. Such services include public relations outreach and counseling on behalf of the foreign principal regarding the overall country image of Brazil. Please note that such services may include contacting the US media, academics, investment analysts and others.

SECTION ONE - Purpose- The purpose of this Addendum is to alter the wording of Section Two of the original contract to include a nepotism prohibition clause (as determined by Decree No. 7,203 of June 4 2010) and to extend the validity of the original contract for twelve (12) months until January 16, 2017.

SECTION TWO - Amendment

By force of this Addendum, Clause Two ofthe original Contract shall now read as follows:

SECTION TWO-OBLIGATIONS OF THE PARTIES

I - The following are obligations of the CONTRACTOR, assumed ih addition to other obligations established under this Contract



1. Implement the products and services related to the purpose ofthe contract in accordance with the specifications stipulated by the PRINCIPAL

2. Implement the products and services as demanded by the PRINCIPAL and obtain its prior approval in writing before starting services or assuming expenses related to the contract.

3. Take immediate action in case of changes, rejections, cancellations or interruptions of one or more ofthe products and services, reporting them to the PRINCIPAL and ensuring compliance with its obligations for products and services rendered up until the date of said occurrences, provided that they have not been caused by the CONTRACTOR or its agents.

4. Undertake to hot serve ads or publish information related to the activities described in the purpose ofthe contract without prior written authorization from the PRINCIPAL.

5. Provide clarifications to the PRINCIPAL regarding any discreditable acts or facts reported that may involve it, regardless of being requested to do so.

6. Maintain unrestricted and absolute secrecy, for itself and on behalf of its agents, under penalty of civil, criminal and administrative, ot the following:

a. Subjects of interest of the PRINCIPAL or third parties which may come to its knowledge as a result of the contract.

b. Products generated during the work and information, data, documents and other elements used in the contract, the use or disclosure of which to third parties, even partially, is prohibited without prior written consent from the PRINCIPAL.

7. Maintain the eligibility and qualification conditions described in Tender Notice 001/2013-SECOM throughout the term of the contract.

8. Exercise quality control in the execution of the products and services rendered, based on the parameters defined by the PRINCIPAL.

9. Celebrate a Term of Commitment relating to confidentiality and secrecy in compliance with the template defined by SECOM, under which the PRINCIPAL, Its agents and employees, including those overseas, undertake not to relay knowledge of confidential information, taking responsibility for all persons who may come to have access to information through them, and as such undertaking to indemnify any harm and/or damages arising from any breach of confidentiality of the information provided.

II - The following are obligations ofthe PRINCIPAL, assumed in addition to other obligations established under this Contract

1. Fulfill the financial commitments undertaken before the CONTRACTOR. 2. Provide the CONTRACTOR with the guidelines about the products and services.

3. Provide and make available to the CONTRACTOR the elements and information that may be necessary for the implementation of the products and services.

4. Provide conditions for the smooth implementation ofthe products and services.

5. Notify the CONTRACTOR formally and in a timely manner of any irregularities observed in the performance ofthe contract.

6. Notify ihe contractor in writing and in advance of any fines, penalties and debts under its responsibility;

7. Make payments under the conditions and prices agreed.

Subclause One - The PRINCIPAL may, at its discretion, assess the performance of the CONTRACTOR regarding the planning and implementation ofthe contracted products and services. To this end, the PRINCIPAL may conduct audits in the products and services rendered, at no cost to the CONTRACTOR; such audits may be conducted by its own civil servants, by other members of the Federal Executive power or by specialized companies.

Subclause Two • The use of employees who are family members of public officials occupying commissioned or trust positions in the PRINCIPAL for implementation of the services is strictly forbidden, pursuant to the provisions of Article 7, Decree 7,203 of June 4 2010.

SECTION THREE - Are hereby ratified the remaining terms and conditions of the original Contract and of Addendum No. 01 thereto, which remain unmodified by this instrument.

SECTION FOUR - Publication - The PRINCIPAL shall arrange for the summarized



publication of this instrument, in accordance with the sole paragraph of Article 61, Law 8,666 of June 21 1993.

As firm, standing proof of their agreement, in witness whereof, the parties hereto have drafted this Addendum, which, having been read and found to be compliant, has been undersigned by the contracting parties, which then extracted from it the necessary copies, all having the same full effect as the original.

CLAUSULA SEGUNDA - Da alteracao

Por forca do objeto do presente Termo Aditivo a Clausula Segunda do Contrato originario passa a ter a seguinte redac§o:

CLAUSULA SEGUNDA - DAS OBRIGAQdES DAS PARTES

I - SSo obrigagdes da CONTRATADA, a/6m de outras assumidas neste Contrato:

1. Executar osprodutos e servigos relacionados com o objeto do contrato de acordo com as especificagdes estipuladas pela CONTRA TANTE.

2. Executar os produtos e servigos mediante demanda da CONTRATANTE e obter sua aprovagSo previa, por escrito, antes de iniciar servigo ou de assumir despesa relacionada com o contrato.

3. Tomar provid&ncias, de imediato, em casos de alteragdes. rejeigdes, cancelamentos ou interrupgdes de urn ou mais produtos e servigos, mediante comunicagSo da CONTRATANTE, respeitadas suas obrigagOes pelos produtos e servigos prestados ate a data dessas ocorrdncias, desde que nSo causadas pela prdpria CONTRATADA ou por seus prepostos.

4. Comprometer-se a nSo veicular publlcidade ou informagSo acerca das atividades objeto do contrato sem previa e expressa autorizagSo da CONTRATANTE.

5. Prestar esclarecimentos a CONTRATANTE sobre eventuais atos ou fatos desabonadores noticiados que a envolvam, independentemente de solicitagSo.

6. Mariter, por si e por seus prepostos, sob pena de responsabilidade civil, penal e administrative, irrestrito e total sigilo sobre:

a, Os assuntos de interesse da CONTRATANTE ou de terceiros de que tomar conhecimento em decorr&ncia da execugSo do contrato.

b. Os produtos gerados no decorrer dos trabalhos e as informagdes, os dados, os documentos e outros elementos utllizados na execugSo do contrato, vedado o seu uso ou divulgagao a terceiros, ainda que parc/a/, sem previa e expressa autorizagSo da CONTRATANTE.

7. Manter durante toda a vlgincia do contrato, as condigdes de habilitagSo e qiialificagSo exigidas no Edital da Concorr&ncia n° 001/2013-SECOM.

8. Exercer o controle de qualidade na execugSo dos produtos e servigos prestados, com base nos parSmetros determinados pela CONTRA TA NTE.

9. Assinar Termo de Compromisso relativo a confidehcialidade e sigilo, conforme modelo definido pela SECOM, se comprometendo, por si, seus prepostos e funcionarios, inclusive no exterior, a nSo repassar o conhecimento das informagdes confidenciais, responsabilizando-se por todas as pessoas que vierem a ter acesso as informagdes, por seu intermedio, e obrigando-se, assim, a ressarcir a ocorr§ncia de qualquer dano e/ou prejulzo oriundo de eventual quebra do sigilo das informagdes fornecidas

4. Proporcionar condigdes para a boa execugSo dos produtos e servigos.

5 Notlficar, formal e tempestivamente, a CONTRATADA sobre as irregularidades observadas no cumprimento do contrato,

6. Notificar a contratada, por escrito e com anteced&ncia, sobre multas, penalidades e quaisquer d6bitos de sua responsabilidade;

7. Efetuar os pagamentos nas condigdes e pregos pactuados.

Subclausula Prfmeira - A CONTRATANTE poderd, a seu julzo, avaliar o desempenho da CONTRATADA quanto ao planejarnento e a execugSo dos produtos e servigos contratados.
