Technical DataBound inserts, which are smaller than the
format of the magazine/paper, are generally
positioned at the top and with bleed at the
top. They are supplied folded and trimmed
on the sides and at the bottom with a head
trim of 4 mm. Bound inserts consisting of
more than 4 pages must be closed at the
top and cross-folded and designed as one
product. The smallest format that can be
processed is 105 x 148 mm. The thickness
of the bound insert may not exceed 2 mm.
Bound inserts having the same format as
the paper (230 x 300 mm) require a head
and foot trim of 4 mm each and a side trim
of min 5 mm and max. 15 mm, the right-
hand sides require a fold of 10 mm. Other
bound inserts are available upon request.

SamplesBefore accepting the contract,
the publisher must be given a
binding sample (five copies) and,

and weights. The deadline for their
submission is the booking deadline.

TrimThe minimum trim for bleed
advertisements is 4 mm. Please make
sure that important components of the
advertisement (logos and text) are placed
within 5 mm of the edge of the page.
Printing signsCorner, fold and cutting signs must be
placed 4 mm outside the picture margin,
the thickness of the printing signs may not
exceed 0.1 mm.
Type fonts Do not use any system fonts. Use type
cutting and not the type style menu of a
program. Minimum font sizes for negative
type and halftone types 7 points.
Lines and borders Minimum line thickness 0.3 point s or 0.1 mm.
ColorsColor pictures must only be in CMYK mode.
Special colors (HKS or Pantone), DCS2
formats and Duplex, Triplex must be
separated into CMYK.
Black areasFor multi-color printing, black areas should
be underlaid with approx. 40 % cyanogen
raster value.

General Terms and Conditions of Business
1. 1. Order1.1 An order within the meaning of the following General Terms of Business shall be
deemed to be the agreement governing publication of one or several advertisements of
a Client for the purpose of dissemination in magazines. The General Terms of Business
of IDG Media shall also apply accordingly to orders for third-party supplements such as
tip-ins, bound inserts or other inserts, provided they are suitable for publication and
distribution. Any digression from these Terms of Business shall not be effective unless
made in writing. No terms and conditions of the Client to the contrary shall apply, even
if IDG Media does not object in a given instance.
1.2 The order shall not be effective until accepted by written order confirmation, unless
agreement on the conclusion of contract has been reached in a different manner, espe-
cially before written confirmation of the order.
2. Execution2.1 There shall be no entitlement to inclusion of advertisements in particular issues,
particular editions or at particular places in the publication. IDG Media will be free
to position an advertisement in an appropriate place, unless its placement has been
agreed for a particular issue, a particular edition and a particular place in the
publication provided that the print material is supplied to IDG Media in good time.
IDG Media will otherwise be entitled to position it in a suitable place in a different
issue. Exclusion of competitors is not possible. In the case of classified advertisements
IDG Media guarantees that they will be printed in the relevant classified section,
without this requiring explicit agreement
2.2 If the Client is granted the right to order individual advertisements within the
purview of an Agreement, the order is to be executed within one calendar year after
the conclusion of agreement if nothing else is agreed during the term of the master
contract.
3. Right of Refusal3.1 IDG Media reserves the right to turn down advertising and supplement orders –
including individual advertising texts and supplements in the case of master contracts –
on grounds of content, origin or technical form in compliance with standard principles
of IDG Media materially justified by customary practice in the industry, if their content
violates the law, infringes regulations of the authorities or offends common decency
or their publication is deemed to be unreasonable for IDG Media. To this extent,
IDG Me-dia may withdraw from orders already confirmed – including from individual
partorders based on master contracts – if it is not until after conclusion of the Agree-
ment that IDG Media becomes aware of the content, origin or technical form of an
order that would have entitled it to reject the same. Moreover, orders of supplements
will not be binding on IDG Media until after presentation of a sample of the
supplement and its approval.
3.2 No supplements, whose format or getup give the reader the impression of their
being an integral part of the magazine or which contain third-party advertisements,
will be accepted. The Client will be notified of rejection of the order without delay.
Any advertisements, which on account of their artistic design are not recognizable as
advertising, will be clearly marked by IDG Media with the word “advertisement”.
4. Delivery of Print Material4.1 The Client shall be responsible for the timely delivery of faultless print material or
supplements. The Client shall, when so required by IDG Media, immediately replace any
print material that is visibly unsuitable or damaged. The costs of producing ordered print
material as well as of major changes to originally agreed versions which are requested
by the Client or are attributable to the Client on account of the technical quality of the
print material supplied, shall be borne by the Client.
4.2 Where any defects in the print material are not immediately recognizable, but
only become apparent during the printing process, the Client shall not be entitled to
file any claims in case of inadequate printing. Print material will be returned only at
the express wish of the Client. The obligation for safekeeping ends three months after
the last publication. IDG Media will have no obligation to examine the content of
advertisements and their legal admissibility.
5. Proofs
Proofs will be supplied only on express request; the Client shall bear responsibility for
the correctness of the returned proofs. IDG Media will consider only those corrections by
the Client that are notified to it within the period set on dispatch of the proof.
6. Warranty6.1 In the case of bilateral mercantile transactions, the Client is obliged to notify
possible defects immediately after the placement of the advertisement, after they
have come to his attention or on discovery. In the case of a failure to fulfil the
requirement to give notice of defects the placement of the advertisement shall be
deemed as approved.
6.2 In the case of wholly or partially illegible, incorrect or incomplete printing
of an advertisement attributable to IDG Media, the Client shall be entitled to
subsequent performance through placement of a make-good advertisement
free from any defects, however only to the extent to which the purpose of the
advertisement was impaired. Should IDG Media fail to meet this obligation within
a reasonable fixed period or if the makegood advertisement is also defective,
then the Client may in the case of single advertisements demand reduction of the
remuneration or withdraw from the Agreement; in the case of master contracts the
Client may only demand reduction of the remuneration relating to the defective
partial service.
6.3 In the case of errors of any type whatsoever resulting from transmission by
telephone, IDG Media will not be liable for the correctness of the acceptance of
the order.
7. Liability7.1 IDG Media will be exclusively liable for damages arising from intent, gross
negligence and missing guaranteed properties. In all other instances, IDG Media
will be liable only in the event of breach of a substantial obligation, or upon
delayed performance or owing to impossibility of performance, for damages
whose occurrence had to be reasonably expected at the time of the conclusion of
the Agreement, not, however, for damages that have arisen fortuitously or indirect
damages or consequential damages.
7.2 Liability with respect to businessmen for gross and ordinary negligence, in the
case of vicarious agents who are not statutory agents or senior executives, also in
the case of intent, is limited to the customarily and typically foreseeable damage
in such cases as cannot be controlled by the Client. With negligent breach of a
substantial obligation the liability of IDG Media will be limited at the utmost to
the amount of the agreed remuneration.
7.3 Statutory liability for personal damage and in accordance with the German
Product Liability Act remains unaffected, IDG has the option of the plea of
contributory negligence.
7.4 The Client is entitled only to claim damages from IDG Media owing to defects to
the extent that IDG is liable under Articles 276, 278 BGB (German Civil Code).
7.5 Insofar as IDG Media is obliged to pay damages it shall treat the Client as if
the Agreement had not been concluded; damages owing to non-performance are
excluded.
8. Terms of Payment8.1 If the Client does not make an advance payment, any invoices and voucher
copy will – if so agreed – be sent forthwith, but where possible within 14 days of
publication of the advertisement. The prices of the advertisements will be based
on the relevant valid price list. In the event of any changes, the new conditions
will in the case of price reductions also apply immediately to current orders, and
in the case of price increases one month after notification of the respective valid
conditions in the imprint or other suitable place in the magazine. In the case of a
price increase the Client has the right to withdraw from the Agreement. The Client
is obliged to exercise this right within 5 working days after receipt of the informa-
tion of the price increase. The price will be due immediately on publication of the
advertisement and payable within 20 days of receipt of the invoice, unless any
other term of payment or advance payment is agreed in a given instance. Where
the time of receipt of the invoice is not certain, the Client – provided it is not the
user – shall be deemed to be in default no later than 20 days after the due date
and publication of the advertisement.
8.2 In their contracts with, and offers and invoices to, the advertisers, advertising
agencies and other advertising brokers are obliged to adhere to the price lists of
IDG Media.

9. Discounts9.1 Any discounts for early payment will be granted as provided in the price list. Any
agreed or granted discounts for the placement of several advertisements or on conclusion
of master contracts will apply only if the respective quantity and time frame are adhered
to. Failure to comply with the agreed quantity or the time frame will entitle IDG Media to
subsequently charge the discount in proportion to the difference between the discount
granted and that corresponding to the quantity actually purchased.
9.2 The application of a group discount to subsidiaries shall be subject to written proof of
a capital tie-up at a minimum rate of 50%. Any remuneration granted by IDG Media for
the procurement of business may not be passed on by the Client either in whole or in part.
10. Default of Payment10.1 Should the Client be in default with a payment, IDG Media will be entitled to demand
without prior notice default interest until receipt of the payment pursuant to Art. 288
Para 2 BGB (German Civil Code), or pursuant to Art. 288 Para 1 BGB and to charge
collection expenses.
10.2 If IDG Media learns after conclusion of the Agreement that its pecuniary claim against
the Client is jeopardized by lack of solvency on the part of the Client due to its poor
financial circumstances then IDG Media may - notwithstanding any payment agreements
- demand advance payment for any placements already made, immediate payment of any
outstanding invoices, even if not yet due, reject further placements of advertisements or
withdraw from the Agreement.
11. Voucher CopyIn the case of advertisements, IDG Media will, by special agreement, supply a voucher copy
with the invoice. Depending on the type and scope of the advertising order, excerpts from
the advertisements, tear sheets or complete voucher copies will be supplied. If it is no
longer possible to procure a voucher copy, a legally binding certificate from IDG Media on
the publication and dissemination of the advertisement will be provided in its place.
12. Keyed AdvertisementsIn the case of keyed advertisements, IDG Media will exercise the due prudence of a
businessman with respect to the safekeeping and timely forwarding of offers.
Registered letters, express letters and other forms of delivery and communication will
be forwarded by IDG Media only by normal mail. The replies to keyed advertisements will
be kept for 4 weeks. Any communications which cannot be delivered in this period will be
destroyed.
13. Defaults in PerformanceIDG Media will not be liable for any performance delays arising as a result of force majeure,
strike, lock-out, business disruptions or other equivalent events. After cessation of such
an event, IDG Media may publish advertisements in the next possible issue of the printed
publication or it may withdraw from the Agreement in whole or in part. To this extent, the
Client shall not be entitled to claim any damages.
14. Privacy Policy14.1 IDG Media gives its assurance that the order will be executed exclusively in accordance
with the provisions of the Federal Data Protection Act (Bundesdatenschutzgesetzes, BDSG)
and other legal regulations relating to data protection. The personal data provided by the
Client as part of the execution of the order, especially the placing and the processing of
the order, will be stored in a machine-readable manner, processed and used exclusively
for this purpose, unless the Client has consented to another type of use, as well as for the
purpose of invoicing and remuneration.
14.2 The Client authorises IDG Media to acquire, process, store and use its personal data
within the scope of the order placing and processing insofar as this is necessary to carry out
the placement of the advertisement and the respective invoicing. IDG Media is furthermore
authorised to access the personal data relinquished to it for the maintenance of its working
condition. To this extent IDG Media guarantees that it will treat the data relinquished to it
as confidential.
14.3 The Client may at any time view free of charge its personal data stored with IDG
Media. The Client may address an inquiry in writing to IDG Media for this purpose.
14.4 Within the purview of the statutory data protection regulations IDG Media undertakes
to use the Client’s data known to it from the mandate relationship, unless the Client has
consented otherwise to IDG Media making further use of these data, exclusively for the
fulfilment of the purposes of these
General Terms of Business, to preserve the confidentiality of the data and to enjoin its
employees to observe the same secrecy in accordance with the legal requirements.
15. Granting and warranty of rightsIn placing the order the Client gives its guarantee and assurance that it is the
unqualified holder of all exploitation rights in the advertisements that are
required for the placement of the advertisement.
The Client shall to this extent indemnify IDG Media against any and all claims
of third parties that may arise from the violation of legal regulations.
In cases of dispute the Client undertakes to indemnify IDG Media from the
costs of a necessary legal defence and to support it with all necessary infor-
mation and documents in a legal defence with respect to third parties.
16. Place of Jurisdiction and Applicable LawThe place of jurisdiction and performance shall be Munich, where IDG Media
is domiciled, if the Client is a qualified businessman, if it has no general
place of jurisdiction in Germany, it has moved its place of domicile or place
of habitual residence after conclusion of the Agreement to somewhere
outside the territory covered by the law, or if its place of domicile or place of
habitual residence is not known at the time when legal proceedings are in-
stituted. Otherwise the general place of jurisdiction of the Client shall apply.
The laws of the Federal Republic of Germany shall apply to the exclusion of
UN purchase law (CISG).
17. Final Provisions17.1 All information, consents, communications or inquiries about these
Terms of Business are binding only in writing. Dispatch by e-mail is equi-
valent to the written form. In the case of dispatch by fax or e-mail the date
when this is received by the other partner respectively is relevant.
17.2 The General Terms of Business and any other written agreements will
retain their validity, even if any individual provisions should prove to be
invalid. The provision in question shall then be construed in such a manner
as to achieve as far as possible its originally intended commercial and legal
objectives.

@Flash Tracking Kit Brief Instructions
Back in the summer of 2001, Macromedia and DoubleClick
jointly developed the “Flash Tracking Kit“ for counting clicks
on flash-based advertisements in the DART AdManagement
System. Note: This new method with all its advantages will
function on Flash 4 and above (if, however, an older soft-
ware version is used, the clicks can be counted by using DART
ClickCommand).
Brief instructions for the Flash Tracking Kit:
1. In the not yet compressed Flash ad (.fla format) go to the
“getURL action“ menu
2. In the “URL” field, do not insert the full URL, but: clickTag
3. On the right-hand side next to the URL field, activate the
”Expression“ box
4. In the “Window“ field (below the URL) write: _blank
(do not activate the relevant “Expression“ box here (!))
5. Leave the “Variables” field unchanged at Don‘t send
6. Export the file as swf file

1. 1. Advertising Order1.1 For the purpose of the following General Terms of Business, an order shall be deemed to be the agreement governing the placement of one or several advertisements by the Client in information and communication services, particularly the Internet, for the purpose of disseminating the advertisement through IDG Media.1.2 The advertising order is subject exclusively to these General Terms of Business and the price lists of IDG Media which form a substantial part of the order. No terms and conditions of the Client to the contrary shall apply, even if IDG Media does not object in a given instance.
2. Advertising material2.1 For the purpose of these General Terms of Business advertisements can consist of one or a number of the following elements listed below:- an image or text,- sound sequences and/or moving images (e.g. banners),- a sensitive area which if clicked on creates a link to additional data at an online address specified by the Client in the sphere of the Client or of a third party.2.2 Any advertisements which on account of their design are not recognisable as advertising will be clearly marked as such.2.3 As a basic principle applicable formats for the placement of advertisements are those formats that are specified in the relevant valid price list of IDG Media. Special formats and special types of advertising are possible after prior consultation and by special agreement with IDG Media.
3. Conclusion of Agreement3.1 On principle, the Agreement is concluded by written order confirmation or by e-mail, provided there are no contrary individual agreements by the parties. The General Terms of Business also apply to the confirmation of orders placed either personally or by phone.3.2 With orders placed by advertising agencies the Agreement is concluded with the agency in the absence of other written agreements. If the advertiser itself is to become the Client, the advertiser has to be identified by name by the advertising agency. IDG Media is entitled to request a proof of mandate from the advertising agency.3.3 Advertising orders placed by several clients or other interested parties within one advertisement presentation (e.g. banner-popup advertising) requires the conclusion of an additional agreement in writing or by e-mail by all parties involved.3.4 The order must be received at the latest 3 working days before the commencement of the placement, unless exceptions to this have been agreed. The conditions specified in the order confirmation are relevant for the placement and proper performance.
4. Execution4.1 If the Client is granted the right to order individual advertisements within the purview of an Agreement, the order is to be executed within one calendar year after the conclu-sion of agreement if nothing else is agreed during the term of the master contract. If the Client fails to observe the one-year period, the Client is obliged to repay IDG Media the difference between the discount granted and that corresponding to the quantity actually purchased.4.2 The Client shall be granted the right to place additional advertisements exceeding the quantity specified in the order within the agreed period or the period stated under Item 4.1 provided that IDG Media has capacity available.
5. Right of Refusal5.1 IDG Media reserves the right to reject and refuse advertising orders – including individual calls within the pur-view of a concluded agreement comprising several advertisements – on grounds of content, origin or technical form or owing to the website to which it is linked in compliance with standard, materially justified principles. The same shall apply, if the adverts or the website to which they are linked violate the law and/or in-fringe regulations of the authorities or if their content has been objected to by the German Advertising Council (Deutscher Werberat) in a complaints procedure or their publication is deemed unacceptable for IDG Media.5.2 IDG Media is entitled in particular to withdraw an already published advertisement, if the Client itself subse-quently alters the content of the advertisement or if the data connected to the advertisement by means of a link are subsequently modified. In this case, the Client is not entitled to a replacement free of charge, whereas IDG Media retains its agreed right to compensation.
6. Delivery of Data6.1 The Client shall be responsible for the timely and complete delivery of faultless and suitable advertisements 3 working days before the commencement of the placement at the latest. For special advertising forms a period of 5 working days or corresponding agreements with IDG Media shall apply.6.2 The obligation of IDG Media for the safekeeping of the respective advertisement ends 3 months after its last dissemination.6.3 IDG Media shall request replacement for recognisably unsuitable or damaged copies. No responsibility is accepted for the agreed dissemination of the advertisement in the event of incomplete and in particular late delivery or subsequent modification. 6.4 IDG Media will examine the exchange or modification of advertisements by the Client after the agreed period or deviation from a possibly existing motif schedule with a view to whether a placement is still possible within the agreed period of time without any legal redress for the Client.6.5 If keyed advertisements are placed the replies will be kept or stored for 4 weeks. Any communications that have not been fetched or called within this period will be destroyed or deleted.
7. Notice of DefectIn the case of bilateral mercantile transactions, the Client is obliged to notify possible defects immediately after the placement of the advertisement, after they have come to his attention or on discovery. In the case of a failure to fulfil the requirement to give notice of defects the placement of the advertisement shall be deemed as approved.
8. Warranty8.1 Within the scope of the foreseeable requirements, IDG Media guarantees the best possible reproduction of the advertisement corresponding to the customary technical standard. However, the Client is aware that it is impossible, given the respective state of the art, to create a program that is completely free of faults. A fault in the presentation of the advertisement shall not be deemed to be present, if the impairment arises through the use of an unsuitable presentation software and/or hardware (e.g. browser) or through the malfunction of the communication networks of other operators or the breakdown of the processors of third parties (e.g. other providers), or through incomplete and/or not updated offers on so-called proxy servers (intermediate storage facilities) or through the breakdown of the ad-server used by IDG Media lasting not more than 24 hours (continuously or in total) within 30 days after the com-mencement of the contractually agreed placement. In the event of a breakdown of the ad-server over a considerable period of time (more than 10 % of the time booked) for a confirmed booking tied to a particular time, the Client’s obligation to pay for the period of the break-down shall be cancelled. All further claims are, however, excluded.8.2 If the reproduction quality of the advertisement is unsatisfactory, the Client shall be entitled to a reduction in payment or to the execution of a faultless advertisement in its stead, only to the extent, however, to which the purpose of the advertisement was impaired. If the Client allows the appropriate deadline it has been granted to elapse or a substitute advertisement is impossible the Client is entitled to a reduction in payment or the cancellation of the order.8.3 Where any defects in the advertising material are not immediately recognizable the Client shall not be entitled to file any claims in case of inadequate publication. The same shall apply to faults in repeated placements, if the advertiser fails to draw attention to the faults before the next following placement.8.4 IDG Media will eliminate as quickly as possible any non-trivial malfunctions and faults in its servers and make every effort to eliminate trivial impairments within a reasonable period of time. IDG Media will endeavour to keep the service via the web always accessible.8.5 IDG Media shall be answerable for the availability of its servers to the extent that the non-availability and hence the work and down times are based on wilful or gross negligence by IDG Media. This does not apply if the non-availability is based on force majeure, or IDG Media is not responsible for such non-availability, or the work is carried out only in the interest of the Client. In this respect IDG Media expressly excludes any warranty.8.6 IDG Media is not obliged to examine advertisements or contents to ensure that they are correct, up-to-date, complete, reliable, of good quality and free of errors and in this respect shall neither provide any guarantee nor accept any liability either expressly or by implication.
9. Liability9.1 IDG Media will be exclusively liable for damages arising from intent, gross negligence and missing guaranteed properties. In all other instances, IDG Media will be liable only in the event of breach of a substantial obligation, or upon delayed performance or owing to impossibility of performance, for damages whose occurrence had to be reasonably expected at the time of the conclusion of the Agreement, not, however, for damages that have arisen fortuitously or indirect damages or consequential damages.9.2 Liability with respect to businessmen for gross and ordinary negligence, in the case of vicarious agents who are not statutory agents or senior executives, also in the case of intent, is limited to the customarily and typically foresee-able damage in such cases as cannot be controlled by the Client. With negligent breach of a substantial obligation the
liability of IDG Media will be limited at the utmost to the amount of the agreed remuneration.9.3 Statutory liability for personal damage and in accordance with the German Product Liability Act remains unaffected; IDG has the option of the plea of contributory negligence.
9.4 The Client is entitled only to claim damages from IDG Media owing to defects to the extent that IDG is liable under Articles 276, 278 BGB (German Civil Code).9.5 Insofar as IDG Media is obliged to pay damages it shall treat the Client as if the Agreement had not been concluded; damages owing to non-performance are excluded. In case of data losses IDG Media is liable only for the damage that would have occurred even if the Client had secured the data in an orderly manner.
10. Price List10.1 On principle, as far as the remuneration of IDG Media is concerned, the price list with the discount schedule published in the Internet at the time of the placement of the order shall apply. IDG Media reserves the right to change its prices, discounts and other conditions any time. In the event of any changes, the new conditions will in the case of price reductions also apply immediately to current orders and in the case of price increases one month after notification of the respective valid conditions on the Internet. In the case of a price increase the Client has the right to withdraw from the Agreement. The Client is obliged to exercise this right within 5 working days after receipt of the information of the price increase.10.2 Discounts are based on the respective valid price list. Any discounts for early payment will be granted as provided in the price list. Any agreed or granted discounts for the placement of several advertisements or on conclusion of master contracts will apply only if the respective quantity and time frame are adhered to. Failure to comply with the agreed quantity or the time frame will entitle IDG Media to subsequently charge the discount in proportion to the difference between the discount granted and that corresponding to the quantity actually purchased.10.3 The application of a group discount to subsidiaries shall be subject to written proof of a capital tie up at a minimum rate of 50%. Any remuneration granted by IDG Media for the procurement of business may not be passed on by the Client either in whole or in part.
11. Terms of Payment11.1 The price for the placement of the advertisement will be due immediately on publication of the adver-tisement and payable within 20 days of receipt of the invoice, unless any other term of payment or advance payment is agreed in a given instance.11.2 In their contracts with, and offers and invoices to, the advertisers, advertising agencies and other advertising brokers are obliged to adhere to the price lists of IDG Media.
12. Default of Payment12.1 Should the Client be in default with a payment, IDG Media will be entitled to demand without prior notice default interest until receipt of the payment pursuant to Art. 288 Para 2 BGB (German Civil Code), or pursuant to Art. 288 Para 1 BGB and to charge collection expenses.12.2 If IDG Media learns after conclusion of the Agreement that its pecuniary claim against the Client is jeopardized by lack of solvency on the part of the Client due to its poor financial circumstances then IDG Media may - notwithstanding any payment agreements - demand advance payment for any placements already made, immediate payment of any outstanding invoices, even if not yet due, reject further placements of advertisements or withdraw from the Agreement.
13. Privacy Policy13.1 IDG Media gives its assurance that the order will be executed exclusively in accordance with the provisions of the Federal Data Protection Act (Bundesdatenschutzge-setzes, BDSG) and other legal regulations relating to data protection. The personal data provided by the Client as part of the execution of the order, especially the placing and the processing of the order, will be stored in a machinereadable manner, processed and used exclusively for this purpose, unless the Client has consented to another type of use, as well as for the purpose of invoicing and remuneration.13.2 The Client authorises IDG Media to acquire, process, store and use its personal data within the scope of the order placing and processing insofar as this is necessary to carry out the placement of the advertisement and the respective invoicing. IDG Media is furthermore authorised to access the personal data relinquished to it for the maintenance of its working condition. To this extent IDG Media guarantees that it will treat the data relinquished to it as confidential.13.3 The Client may at any time view free of charge its personal data stored with IDG Media. The Client may address an inquiry in writing to IDG Media for this purpose.13.4 Within the purview of the statutory data protection regulations IDG Media undertakes to use the Client’s data known to it from the mandate relationship, unless the Client has consented otherwise to IDG Media making further use of these data, exclusively for the fulfilment of the purposes of these General Terms of Business, to preserve the confidentiality of the data and to enjoin its employees to observe the same secrecy in accordance with the legal requirements.
14. Granting and Warranty of Rights14.1 The Client confers to IDG Media all rights of use under copyright, ancillary copyright and other rights, as required for the use of the advertisement in online media of all types including the Internet, in particular the right to reproduce, disseminate, transfer, broadcast, process, extract and call up from a database, to the extent this is necessary for the execution of the order in terms of time, location and content. The rights named above shall be conferred to IDG Media in all cases irrespective of location and related in terms of time to the order thereby entitling it to place the advertisement or the advertisements by means of all known technical processes and all known forms of online media.14.2 IDG Media may grant any number of sublicenses to the granted rights for the agreed placement of the advertisement and may transfer the granted rights to third parties. The Client furthermore authorises IDG Media to pass on advertising information in appropriate amounts for purposes of market research to esta-blished market research institutes. If the Client is not prepared to do this it must inform IDG Media of this in writing on conclusion of the Agreement. In the event of the Client using special techniques to acquire or collect data arising from the placement of advertisements from the online offers of IDG Media, it undertakes to observe the provisions of the German Data Protection Act (Bundesdatenschutzgesetz, BDSG) and other regulations relating to data protection in the acquisition, processing and use of personal data.14.3 Insofar as it receives anonymous or pseudonymous – also personrelatable – data from access to advertisements delivered by it for online offers by IDG Media it shall be allowed to analyse these data only within the framework of the respective campaign for the specific advertiser who commissioned the Client with the placement of the respective campaign. This analysis, however, may only comprise the anonymous and pseudonymous data generated by advertisement placements on the online offers of IDG Media.14.4 Above and beyond this, the Client is not permitted to process, use and forward data that it acquires from access to advertisements it has supplied for online offers of IDG media. In particular, the Client may not store, analyse, or otherwise use for its own purposes, data from advertisement placements in the online offers of IDG Media and/or transfer these to third parties. The same applies to the creation of profiles based on the behaviour of users in response to an offer by IDG Media and any other type of further use.14.5 In placing the order the Client gives its guarantee and assurance that it is the unqualified holder of all exploitation rights in the advertisements that are required for the placement of the advertisement. The Client shall to this extent indemnify IDG Media against any and all claims of third parties that may arise from the violation of legal regulations.In cases of dispute the Client undertakes to indemnify IDG Media from the costs of a necessary legal defence and to support it with all necessary information and documents in a legal defence with respect to third parties.
15. Place of Jurisdiction and Applicable LawThe place of jurisdiction and performance shall be Munich, where IDG Media is domiciled, if the Client is a qualified businessman, if it has no general place of jurisdiction in Germany, it has moved its place of domicile or place of habitual residence after conclusion of the Agreement to somewhere outside the territory covered by the law, or if its place of domicile or place of habitual residence is not known at the time when legal proceedings are instituted. Otherwise the general place of jurisdiction of the Client shall apply. The laws of the Federal Republic of Germany shall apply to the exclusion of UN purchase law (CISG).
16. Final Provisions16.1 All information, consents, communications or inquiries about these Terms of Business are binding only in writing. Dispatch by e-mail is equivalent to the written form. In the case of dispatch by fax or e-mail the date when this is received by the other partner respectively is relevant.16.2 The General Terms of Business and any other written agreements will retain their validity, even if any individual provisions should prove to be invalid. The provision in question shall then be construed in such a manner as to achieve as far as possible its originally intended commercial and legal objectives.
