Limited review report to the Board of Directors ofCapital India Finance Limited (formerly known as Bhilwara Tex-fin Limited)

for the quarter ended 31Decemberr2017

We have reviewed the accompanying statement of unaudited finanoial results of iWs Capital IndiaF'inance Limited (formerly known as Bhilwara Tex-fin Limited) ("the Company") for the quarterended 31 December, 2017 ("Statement"). This Statement is the responsibility of the Company'smanagement and has been approved by the Board of Directors onltfth February, 2018. Ourresponsibility is to issue a report on these financial statements based on our review.

We conducted our review in accordance with the Standard on Review Engagement (SRE) 2410,engagements to Review of Interim Financial Information Performed by the Independent Auditors ofEntity" issued by the Institute of Chartered Accountants of India. This standard requires that we planand perform the review to obtain moderate assurance as to whether the Statements are free of materialmisstatement. A review is limited primarily to inquiries of Company personnel and analyticalprocedure applied to financial data and thus provides less assurance than an audit. We have notperformed an audit and accordingly, we do not express an audit opinion.

Based on our review conducted as above, nothing has come to our attention that causes us to believethat the accompanying Statement of unaudited financial results prepared in accordance with applicableacoounting standards prescribed by section 133 of the Companies Act, 2013 read with rule 7 of theCornpanies (Accounts) Rules, 2014 and other recognized accounting practices and policies has notdisclosed the information required to be disclosed in terms of Regulation 33 of the SEBI (ListingObligations and Disclosure Requirements) Regulations,2015 including the manner in which it is to bedisclosed, or that it contains any material misstatement.
