Plaintiff, 1301 Properties Owner LP, by its attorneys, Rosenberg & Estis, P.C., as
and for its Complaint alleges as follows:
PARTIES
1. Plaintiff is, and was at all relevant times, a Delaware limited partnership
authorized to do business in the State of New York.
2. Upon information and belief, each defendant listed in the caption of this
action, whose names are incorporated into this paragraph by reference, was, at all relevant times,

a partner (collectively and/or individually, "Partners") in the law firm of Dewey & LeBoeuf LLP
("Tenant") .
3. Upon information and belief, Tenant was a domestic registered limited
liability partnership.
4. Upon information and belief, each Partner is, or was at relevant times, a
resident of the State of Arizona, California, Colorado, Connecticut, Florida, Illinois, Maryland,
Massachusetts, New Jersey, New York, North Carolina, Ohio, Pennsylvania, Tennessee, Texas,
Utah, Vermont or Virginia, or the District of Columbia.
FACTS
A. The Lease
5. By Agreement of Lease, made as of December 8, 1989, between plaintiff,
the successor-in-interest to Tishman Speyer Trammel Crow Limited Partnership, as landlord, and
Tenant, the successor-in-interest to Dewey, Ballantine, Bushby, Palmer &Wood, as tenant, as
most recently amended by Twelfth Amendment to Lease and Agreement, dated as of August 29,
2008, between Paramount Group, Inc., as agent for plaintiff, and Tenant (the "Lease"), plaintiff
leased to Tenant floors 21 through and including 33, and portions of the concourse and
subconcourse levels in the building commonly known as and located at 1301 Avenue of the
Americas, New York, New York (the "Premises").
6. The Lease provides, inter alia, that:
a. Tenant is required to pay to plaintiff Fixed Rent, OperatingEscalation Rent, Tax Escalation Rent, additional rent and otheramounts due under the Lease;1
b. The term of the Lease expires on September 30, 2020;

c. If Tenant fails to pay amounts due under the Lease, Tenant isrequired to pay a late charge;
d. If there is an "Event of Default" under the Lease by Tenant and theLease is terminated by plaintiff, Tenant is required to pay toplaintiff:
i. "all Fixed Rent, Escalation Rent and other items of Rentalpayable under this Lease by Tenant to Landlord to the dateupon which this Lease and the Term shall have expired andcome to an end" (Lease § 17.2(a)(i)); and
ii. "as damages, any deficiency (referred to as the`Deficiency') between the Rental for each month of theperiod which otherwise would have constituted theunexpired portion of the Term and the net amount, if any,of rents collected under any reletting effected pursuant tothe provisions of Section 17.1(a)(ii) for any
part
of suchperiod (first deducting from the rents collected under anysuch reletting all of Landlord's expenses in connection withtermination of this Lease, Landlord's re-entry upon thePremises and such reletting including all repossessioncosts, brokerage commissions, legal expenses, attorneys'fees and disbursements, alteration costs and other expensesof preparing the Premises for reletting)" (underscoring inoriginal) (Lease § 17.2(a)(ii)).'
B. Tenant Breached the Lease
7. Tenant failed to pay Tax Escalation Rent in the total amount of
$1,628,056.65 (the "Arrears").
8. As a result of Tenant's failure to pay the Arrears, by Notice to Tenant,
dated Apri124, 2012, plaintiff demanded Tenant to pay the Arrears on or before May 7, 2012
(the "Cure Date").
9. Tenant failed to pay the Arrears on or before the Cure Date.
1 Lease § 17.2(a)(iii) also provides plaintiff with the right to obtain liquidated damages. Plaintiff hereby reservesits right to seek such liquidated damages from Partners, and any and all other remedies under the Lease and/orlaw.

10. As a result of Tenant's failure to pay the Arrears on or before the Cure
Date, an "Event of Default" occurred under the terms of the Lease (the "Event of Default").
11. By Notice of Termination, dated May 14, 2012, plaintiff terminated the
Lease, effective May 25, 2012.
12. Tenant has failed to pay, inter alia, (a) the Arrears, and (b) any and all
other damages and/or amounts due under the Lease through and including May 31, 2012.
13. Starting on June 1, 2012 and on the first day of each month thereafter
through and including the date hereof, Tenant has also failed to pay any part of the Deficiency,
except that Tenant paid plaintiff the amount of $78,912.86 pursuant to a Stipulation and Order,
dated July 31, 2012, by and between plaintiff and Tenant, that was "So Ordered" on August 10,
2012 (the "Order"), by the United States Bankruptcy Court for the Southern District of New
York (the "Bankruptcy Court") in a Chapter 11 case (case no. 12-12321-mg) filed by Tenant on
May 28, 2012 (the "Chapter 11 ").1
14. The amount of the Deficiency continues to accrue.
15. Tenant has also failed to pay to plaintiff all of the expenses that plaintiff
has incurred in connection with plaintiff s reletting of a part of the Premises, including, without
limitation, repossession costs, brokerage commissions, legal expenses, attorneys' fees and
disbursements, alteration costs and/or other expenses of preparing the Premises for reletting
("Reletting Expenses").
16. If plaintiff relets any other portions) of the Premises in the future,
plaintiff will incur additional Reletting Expenses.
' Plaintiff acknowledges and respects the automatic stay imposed by law as a result of Tenant's Chapter 11.Nothing set forth herein shall be construed as a demand for the non-party Tenant to pay any amounts due underthe Lease. Plaintiff has filed a proof of claim in the Chapter 11.

C. Tenant's Chapter 11 Proceeding
17. On May 28, 2012, Tenant filed its Chapter 11.
18. On February 27, 2013, the Bankruptcy Court confirmed Tenant's modified
Second Amended Chapter 11 Plan of Liquidation of Dewey & LeBoeuf LLP, dated January 7,
2013, as modified.
19. Upon information and belief, Tenant is insolvent and/or is unable to pay
all ot~ its monetary obligations under the Lease, and/or other debts.
FIRST CAUSE OF ACTION
20. Plaintiff repeats and realleges paragraphs 1 through 19 above as if set forth
at length herein.
21. Lease § 29.1(a) provides, inter alia, as follows:
"If Tenant is a partnership (or is comprised of two(2) or more persons, individually or as co-partnersof a partnership) or if Tenant's interest in this Leaseshall be assigned to a partnership (or to two (2) ormore persons, individually or as co-partners of apartnership) pursuant to Article 12 hereof (any suchpartnership or combination of persons beingreferred to in this Article 29 as ̀ PartnershipTenant'), the following provisions shall apply tosuch Partnership Tenant:
(i) the liability of each of the parties comprisingPartnership Tenant shall be joint and several,subject to the provisions of this Article 29...
(ii) each of the parties comprising Partnership Tenanthereby consents in advance to, and agrees to bebound by (x} any written instrument which mayhereafter be executed by Partnership Tenant or anysuccessor partnership, changing, modifying,extending or discharging this Lease, in whole or inpart.. .

(iv) if Partnership Tenant shall admit new partners, allof such new partners shall, by their admission toPartnership Tenant, be deemed to have assumedjoint and several liability for the performance of allof the terms, covenants and conditions of this Leaseon Tenant's part to be observed and performed,subject to the provisions of this Article 29 hereof'(underscoring in original).
22. Paragraph 6 of Tenant's "Registration of a Partnership Without Limited
Partners as a Registered Limited Liability Under Section 121-1500 of the New York Partnership
Law" that has been filed with the State of New York, states as follows:
"Partners specified (by name or by generalreference to partners) in any agreement orinstrument, whether now in effect or hereafterexecuted and delivered, pursuant to which saidpartners act as guarantors or sureties for, orotherwise axe contractually liable for or under, theloan agreements, promissory notes, guaranties orleases of the Partnership are, to the extent set forththerein, so contractually liable for or under suchloan agreements, promissory notes, guaranties orleases in their capacity as partners in thePartnership, as authorized pursuant to subdivision(d) of Section 26 of the New York PartnershipLaw."
23. Pursuant to the terms of the Lease, Partners are jointly and severally liable
for all amounts that are due and will become due under the Lease.
24. The amounts due under the Lease have not been paid, except for the
$78,912.86 that was paid pursuant to the terms of the Order.
25. Plaintiff has performed under the Lease.
26. By reason of the foregoing, plaintiff has been damaged and will continue
to be damaged in an amount to be determined, plus interest.

SECOND CAUSE OF ACTION
27. Plaintiff repeats and realleges paragraphs 1 through 19 and 21 through and
including 25 above as if set forth at length herein.
28. Pursuant to Lease § 18.1(a), plaintiff is entitled to all attorneys' fees and
disbursements incurred by plaintiff in connection with, inter alia,
the Event of Default,
including, without limitation, the Chapter 11 and prosecuting this action (collectively,
"Attorneys' Fees").
29. Plaintiff has incurred and will incur Attorneys' Fees.
30. Pursuant to the terms of the Lease, Partners are jointly and severally liable
for Attorneys' Fees.
31. By reason of the foregoing, plaintiff has been damaged and will continue
to be damaged in an amount to be determined, plus interest.
WHEREFORE, plaintiff demands judgment as follows:
A. On the first cause of action, a money judgment against Partners, jointlyand severally, in an amount to be determined, plus interest;
B. On the second cause of action, a money judgment against Partners, jointlyand severally, in an amount to be determined, plus interest; and
C. For such other and further relief that the Court deems just and proper,including, without limitation, costs and disbursements.
