The Puerto Rico Chapter of the Associated General Contractors of America (AGC-PR)

presents its Proposal for the Revitalization of Vital Infrastructure in Puerto Rico.

This proposal was developed by AGC-PR in consultation with the principal PR Government

agencies with direct impact on the island’s infrastructure. The proposal lists in detail the

projects that must be addressed under Title V of PROMESA regarding the revitalization of

Puerto Rico’s infrastructure and the expedited permitting process.

Over 200 projects of vital infrastructure –sewer and water, road and highway, energy and

public housing- are included herein. Total investment exceeds $3.7 billion. Moreover, these

projects will impact the lives of thousands of families and create over 75,000 jobs directly,

indirectly and induced.

In addition, the proposal by AGC-PR includes a plan to establish a Bidding Preference for

Local Vendors Procedure to give priority to local general contractors, sub-contractors and

suppliers of services and materials; and maximize the positive impact that these projects are

expected to have on the Island’s economy and job market. This initiative was developed after

the one that is currently used in the State of Florida.

This proposal will be presented to the Congressional Task Force on economic development,

the Federal Oversight Board and the Revitalization Coordinator who will be appointed under

Title V of PROMESA.

With this proposal AGC-PR urges those now assisting Puerto Rico to gain fiscal responsibility

and access to the capital markets – at a federal and local level - to:

1. Make critical infrastructure projects a priority for the revitalization of Puerto Rico,

ignite economic activity, create new jobs in the short and medium term, and achieve

environmental and health protection for residents.

2. Establish a uniform bidding process for State and Municipal public projects, based on

the process currently used by Federal Government agencies.

3. Enforce the requirements of PR Law Number 131 of September 2, 2010 that establishes

uniform general conditions for public works contracting.

4. Establish a mechanism to guarantee the availability of funds and prompt payment to

contractors in the construction of public works.

5. Renew discussion of the Prompt Payment Act of 2009 to amend PR Law 25 of

December 8, 1989 to ensure compliance with the agreed payment terms between the

government and contractors and prompt payment.

The construction industry has an immediate and strong impact on the general economic

activity of the Island. For every $1 million invested in construction 22 direct, indirect and

induced jobs are created. The multiplying effect of the construction industry is $6.80 per

$1 invested. Moreover, as mentioned, failing to promptly address Puerto Rico’s critical

infrastructure extends the Island’s exposure to environmental and health impacts resulting

from aged or non-existent infrastructure.

AGC-PR is the leading voice of Puerto Rico’s construction industry since 1963. The Puerto

Rico Chapter, which is affiliated to the Associated General Contractors of America based in

Washington, D.C., has 300 members, which generate 80% of the overall activity in Puerto

Rico’s construction sector. Our members include general contractors, sub-contractors and

suppliers of services and materials.

Public Housing Projects

Below you will find a detailed inventory of the critical public housing projects that should be

addressed promptly to guarantee the access of low income families to affordable housing and

improve their quality of life.

The main difficulty in the construction of public housing projects is the deficiency of funds,

in other words the gap between the funds committed to develop a project to the actual amount

received by the agency.

AGC-PR urges the Task Force, the Fiscal Oversight Board and the Revitalization

Coordinator to evaluate ways to address the aforementioned deficiency of funds which is

affecting timely completion and the availability of these units for families in need.

Sewer and Potable Water Infrastructure Projects

Below you will find a detailed inventory of the projects related to sewer and potable water

infrastructure that should be addressed promptly in order to guarantee the people’s access to

clean potable water and environmental safety. Many of these projects were already under

way, either in construction or permitting stages, but had to be put on hold due to the fiscal

and economic crisis in Puerto Rico, which shut PRASA’s access to the financial markets.

As of September 2016, PRASA owed general contractors, subcontractors and vendors over

$100 million. AGC-PR urges the Task Force, the Fiscal Oversight Board and the

Revitalization Coordinator to facilitate the commencement, or help identify funds not only

to start construction but to pay contractors the outstanding balance for work that to-date has

been completed, delivered and duly certified. We are optimistic that PROMESA and the

Fiscal Oversight Board will help Puerto Rico gain a much needed access to the financial

markets.

All of the foregoing projects are of great urgency for Puerto Rico given the impact on public

health, and environmental and natural resource protection. These projects are part of

PRASA’s Consent Agreement with the US Environmental Protection Agency of March,

2015, to ensure that PRASA can achieve compliance with federal environmental

requirements and protection of human health. Neglecting this area of infrastructure will

prolong the environmental and health consequences facing Puerto Rico and its population.

Road and Highway Infrastructure Projects

Below you will find a detailed inventory of the transportation related projects in Puerto Rico

that should be addressed promptly to guarantee road and public safety and promote economic

growth in Puerto Rico. AGC-PR urges the Task Force, the Fiscal Oversight Board and the

Revitalization Coordinator to help:

1. Identify funding sources for “shovel ready” projects so these can begin as soon as the

funds become available.

2. Establish viable payment plans to cancel debts currently owed by the PR Highway and

Transportation Authority to local general contractors regarding the state portion of the

funding for completed and ongoing projects.

Energy Infrastructure Projects

Below you will find a detailed inventory of the critical energy projects that should be

addressed promptly to guarantee the people’s access to reliable sources of clean energy at a

competitive price.

The current precarious state of PREPA’s main transmission & distribution infrastructure

requires significant upgrades to guarantee quality and dependable electrical services. These

projects have been labeled by PREPA as “urgent”.

The projects included herein should be addressed under an expedited process for the following

reasons:

1. Puerto Rico’s current infrastructure is limited and vulnerable with respect to the South-

North transfer capacity and based on the higher demand for energy in the Northern

part of the Island, where the majority of businesses operate and most people reside.

2. Puerto Rico’s current electric infrastructure limits the flexibility to integrate new

generation capabilities and hinders the maximization of renewable energy integration

and future wheeling opportunities.

3. Puerto Rico’s current infrastructure is mostly aerial and exposed to atmospheric

disturbances such as hurricanes. In many cases this aging infrastructure is located in

hard to access and mountainous areas, which further increases it vulnerability to major

and lengthy outages.

4. These projects should be undertaken using a Public Private Partnership structure,

which integrates the mandatory participation of a LOCAL contractor in order to

maximize the direct economic benefits to Puerto Rico.

5. PREPA does not comply with new federal emission standards that protect human

health and the environment. The urgency of modernizing our electric infrastructure

and investing in the transmission and distribution system is of utmost priority to

address these serious and impactful consequences immediately.

U.S. TERRITORY OF PUERTO RICO COMMONWEALTH OF PUERTO RICO PROCUREMENT REGULATION XXXX BIDDING PREFERENCE FOR LOCAL VENDORS-CONSTRUCTION

Sec. 1-1. Definitions. Sec. 1-2. Local preference; procedure. Sec. 1-3. Other preferences. Sec. 1-4. Exemptions. Sec. 1-5. Procedures.

Sec. 1-1. Definitions.

a) Construction services means all labor, services, and materials provided through funding, partial or complete, of

the U.S. Federal Government, or the Government of the Commonwealth of Puerto Rico, in connection with

the construction, alteration, repair, demolition, reconstruction, or any other improvements to a government

facility, public right-of-way, utility, public facility or real property.

b) Responsive and responsible bidder means a business which meets ALL of the requirements set forth on the

Instructions to Bidders for the particular solicitation, AND possesses ALL of the legal, financial, operational and

technical requirements (specialized knowledge, similar experiences, or expertise) for the construction services

solicited. The qualifications of local businesses shall be evaluated on the basis of the size and scope of typical

construction contracts within the territory, and not by strict Federal Acquisition Regulation (FAR), as with

Federal Government Contracts.

c) Local business means the vendor has a valid business tax receipt issued by Puerto Rico’s Internal Revenue

Department (Departamento de Hacienda) at least three (3) year prior to bid or proposal opening and its

Principal place of business has a physical address located within the limits of the Territory of Puerto Rico, and in

an area zoned for the conduct of such business, from which the vendor operates or performs on a day-to-day

basis. Post Office Boxes are not verifiable and shall not be used for the purpose of establishing said physical

address. In order to be eligible for local preference, the vendor must provide a copy of the business tax receipt

for the covered period prior to recommendation for award. In addition to the foregoing, a vendor should not

be considered a local business unless it contributes to the economic development and well-being of Puerto Rico

in a verifiable and measurable way. This may include, but not limited to, the retention and expansion of

employment opportunities and the support and increase to Puerto Rico’s tax base. Vendors shall affirm in

writing their compliance with the foregoing at the time of submitting their bid or proposal to be eligible for

consideration as a local business under this regulation. A vendor who misrepresents the status of its firm under

this Regulation in a proposal or bid submitted to the issuing government agency will lose the privilege to claim

any preference under this Regulation for a period of up to one year.

d) Principal place of business means the nerve center or center of overall direction, control, and coordination of

the activities of the bidder. If the bidder has only one (1) business location, such business location shall be

considered its principal place of business.

Sec. 1-2. Local preference; procedure.

The purchases of construction services by the Government, shall give preference to local businesses in the following

manner.

Under a competitive bid solicitation, the following shall apply:

a) If the low responsive and responsible bidder is not a local business, then the lowest of the responsive and

responsible local businesses submitting a proposal within fifteen percent (15%) of the lowest bid, shall have an

opportunity to negotiate its final bid with the owner, The local business best and final offer must be lower than

its original, and within the estimated project costs.

b) If for whatever reason, the lowest of the responsive and responsible local businesses does not exercise its first

right of refusal, as described in a) above, then the next in line of the remaining responsive and responsible local

businesses submitting an original bid within fifteen percent (15%) of the lowest bid, shall have an opportunity

to submit a best and final bid, as described in a). The selection committee shall have no more than XX days to

conclude the award process.

c) For all other competitive solicitations in which objective factors used to evaluate the responses from vendors

are assigned point totals, if, upon the completion of final rankings (technical and price combined, if applicable)

by the evaluation committee, a non-local business is the highest- ranked proposer and the ranking of a local

proposer is within fifteen percent (15%) of the numerical ranking obtained by the non-local proposer, the

highest-ranked local proposer shall have the opportunity to proceed to negotiations with the contracting

agency.

Sec. 1-3. Other preferences. The preferences established herein in no way limit any contracting branch of the Government of the Commonwealth of

Puerto Rico to compare quality of materials proposed for purchase and compare qualifications, character, responsibility

and fitness of all persons, firms, or corporations submitting bids or proposals. Further, the preferences established

herein in no way prohibit the right of any branch of the Commonwealth of Puerto Rico from giving any other

preference permitted by law in addition to the preference authorized herein.

Sec. 1-4. Exemptions. Construction projects with an estimated project cost of $200,000.00 or less, excluding permits and fees, are

exempt from this Regulation.

Sec. 1-5. Procedures. All government agencies and instrumentalities with independent power to contract construction services shall adopt

rules and procedures implementing this Regulation.

Para enmendar los Artículos 1, 2 y 3 de la Ley Núm. 198 de 1943, según enmendada, a los fines dedisponer que el Pliego de Condiciones Generales Uniformes para la Contratación de Obras Públicas

LEY NUM. 131 DE 2 DE SEPTIEMBRE DE 2010 Para enmendar los Artículos 1, 2 y 3 de la Ley Núm. 198 de 15 de mayo de 1943, según enmendada, a los fines

de disponer que el Pliego de Condiciones Generales Uniformes para la Contratación de Obras Públicas,preparado por el Secretario del Departamento de Transportación y Obras Públicas y aprobado por elGobernador, regirá las relaciones contractuales en toda construcción de obra pública que realicen lasagencias, departamentos, corporaciones públicas y demás instrumentalidades; los Municipios estaránexentos de las disposiciones de esta Ley y disponer que la aprobación del referido Pliego se hará enarmonía con las disposiciones de la Ley Núm. 170 de 12 de agosto de 1988, según enmendada, conocidacomo la “Ley de Procedimiento Administrativo Uniforme del Estado Libre Asociado de Puerto Rico”; yactualizar varios conceptos incluidos en la referida Ley a la luz de la realidad jurídica presente.

EXPOSICION DE MOTIVOS

La Ley Núm. 198 de 15 de mayo de 1943, según enmendada, fue aprobada con el objetivo de autorizar yordenar al Secretario de Transportación y Obras Públicas a preparar y promulgar un nuevo Pliego deCondiciones Generales Uniformes para la Contratación de Obras Públicas en Puerto Rico.

La citada Ley Núm. 198 tuvo el propósito principal de establecer una nueva arquitectura legal aplicable alas obras públicas. De hecho, con la aprobación de dicha Ley se dejaron sin efecto las Condiciones Generalespara la Contratación de Obras Públicas Insulares de 1902, que habían sido aprobadas de conformidad con elArtículo 426 del Código Político de Puerto Rico. En la Exposición de Motivos de la Ley Núm. 198, antes citada,se señala que [d]icho documento resulta en la actualidad arcaico en varias de sus disposiciones y es necesariomodernizarlo y ponerlo a tono con las exigencias de esta época y de acuerdo con los cambios en losprocedimientos sobre construcciones.

Así, la Ley Núm. 198, citada, autorizó al entonces Comisionado de lo Interior, hoy Secretario deTransportación y Obras Públicas, a preparar un nuevo Pliego de Condiciones Generales Uniformes para laContratación de Obras Públicas Insulares. Dicho Pliego debía ser aprobado por el Gobernador de Puerto Rico ypublicado.

En el Artículo 3 de la Ley Núm. 198, citada, se consignó la facultad del Secretario de Transportación yObras Públicas para poder enmendar dicho Pliego de Condiciones Generales Uniformes, siempre que cuente conla aprobación del Gobernador. Del desarrollo histórico de esta legislación surge la adopción de varios pliegosentre 1946 hasta 1976.

La importancia de la existencia de unas guías generales incorporadas a los contratos de obra públicaradica en que permite la resolución de las controversias de manera uniforme, facilitando la revisión por parte delos tribunales. Además, viabiliza una unidad de conceptos y de procesos que permitan al Gobierno, como dueñode las obras, y a los contratistas, entrar con seguridad a los procesos de subasta, desarrollo de obras y resoluciónde disputas. Respecto al concepto unitario, como bien apunta el tratadista Luis Diez ­ Picazo, las condiciones

generales de la contratación son normas generales de organización de todos los contratos de la institucióncontratante. Véase, Fundamentos del Derecho Civil Patrimonial, Madrid, Volumen I, 1979.

En el caso Cristy & Sánchez, 84 DPR 234 (1961), nuestro Tribunal Supremo señaló que desde el 1946 enadelante hay que considerar dicho Pliego de Condiciones Generales Uniformes como un estatuto que regula elcontrato de obra pública por ser una reglamentación administrativa preparada por un funcionario competente envirtud de una delegación legislativa expresa. Sin embargo, esta expresión sobre la delegación debemos ubicarlaen el contexto de la centralización gubernamental de la época.

La realidad actual es distinta por lo que otras entidades gubernamentales, que tienen facultades similaresal DTOP, como lo serían las corporaciones públicas, no están expresamente cubiertas por las disposiciones de laLey Núm. 198. Aunque no están explícitamente excluidas de la normativa, la práctica común es que lasagencias, corporaciones públicas y los municipios incorporan a sus contratos de obras las condiciones queestiman convenientes, en muchos casos basado en lo establecido por organizaciones profesionales de los EstadosUnidos.

Un hecho relevante es que ni siquiera las entidades gubernamentales adscritas al DTOP, se han obligadocon lo dispuesto en la Ley Núm. 198, citada. Incluso, en algunos casos que han llegado a los Tribunales se haexpresado que el Pliego de Condiciones Generales Uniformes para la Contratación de Obras Públicas,promulgado al amparo de la Ley Núm. 198, citada, debe considerarse como un estatuto meramente supletorio, supeditado a la voluntad de las partes, y que las referidas condiciones generales no aplican automáticamente ysin necesidad de incorporarlas textualmente por virtud de ley a todos los contratos de obra pública. Es decir, elreconocimiento reglamentario del Pliego de Condiciones Generales Uniformes ha provocado algunos problemasen la interpretación y cumplimiento del estatuto rector.

Por su parte, mediante esta Ley atemperamos el trámite de aprobación de la Condiciones Generales a lodispuesto en la Ley de Procedimiento Administrativo Uniforme del Estado Libre Asociado de Puerto Rico(LPAU). El trámite actual dispuesto en la Ley Núm. 198, citada, refleja un estado de derecho previo a laaprobación en nuestra jurisdicción de la LPAU. Ciertamente, por tratarse de una facultad delegada dereglamentación en un organismo administrativo de la Rama Ejecutiva que impactará a terceros, es importanteasegurar que el DTOP cumplirá con la LPAU, de manera que se limiten las impugnaciones a la reglamentaciónadoptada.

Por las consideraciones que anteceden, esta Asamblea Legislativa entiende necesario y conveniente

enmendar la Ley Núm. 198, citada, a los fines de establecer que el Pliego de Condiciones Generales Uniformespara la Contratación de Obras Públicas preparado por el Secretario del Departamento de Transportación y ObrasPúblicas, y aprobado por el Gobernador, regirá las relaciones contractuales en toda construcción de obra públicaque realicen las agencias, departamentos, corporaciones públicas y demás instrumentalidades; y que laaprobación de dicho cuerpo de normas se hará en armonía con la Ley de Procedimiento AdministrativoUniforme del Estado Libre Asociado de Puerto Rico.

DECRETASE POR LA ASAMBLEA LEGISLATIVA DE PUERTO RICO:

Artículo 1.­ Para enmendar el Artículo 1 de la Ley Núm. 198 de 15 de mayo de 1943, según enmendada,para que se lea como sigue:

“Artículo 1.­ Por la presente se autoriza y ordena al Secretario de Transportación y Obras Públicas paraque prepare, dentro de un término razonable, un Pliego de Condiciones Generales Uniformes para laContratación de la Construcción de Obras Públicas por parte de cualquier agencia, departamento, corporaciónpública o instrumentalidad del Gobierno de Puerto Rico. Los Municipios estarán exentos de las disposiciones deesta Ley. Este Pliego de Condiciones Generales Uniformes, así preparado, será sometido a la aprobación delGobernador de Puerto Rico y, luego de aprobado por éste, será debidamente promulgado y publicado deconformidad con lo dispuesto en la Ley Núm. 170 de 12 de agosto de 1988, según enmendada, conocida comola “Ley de Procedimiento Administrativo Uniforme del Estado Libre Asociado de Puerto Rico”. Este tendráfuerza y vigor de ley.”

Artículo 2.­ Se enmiendan los Artículos 2 y 3 de la Ley Núm. 198 de 15 de mayo de 1943, segúnenmendada, para que se lean como sigue:

“Artículo 2.­ A partir de la fecha en que tuviere fuerza de ley el Pliego de Condiciones GeneralesUniformes para Contratación de Obras Públicas, según se determina en el Artículo anterior, quedaráautomáticamente derogado el Artículo 426 del Código Político de Puerto Rico, así como las CondicionesGenerales para la Contratación de Obras Públicas formuladas y publicadas por el Secretario de Transportación yObras Públicas en el año 1902.

Artículo 3.­ El Secretario de Transportación y Obras Públicas podrá enmendar, con la aprobación delGobernador, el Pliego de Condiciones Generales Uniformes para la Contratación de Obras Públicas que seprepare y promulgare de acuerdo con las disposiciones de esta Ley, Disponiéndose, que el trámite de enmiendasse hará de conformidad con lo dispuesto en la Ley Núm. 170 de 12 de agosto de 1988, según enmendada,conocida como la “Ley de Procedimiento Administrativo Uniforme del Estado Libre Asociado de PuertoRico”.”

Artículo 3.­ Esta Ley entrará en vigor inmediatamente después de su aprobación.

Summary - Prompt Payment Act

In 2009 AGC-PR was part of an initiative to amend various articles (2,3,4,5,5,6,7,8,9) of PR

Law Number 25 of December 8, 1989 and introduce new ones in order to grant providers of

goods and services of the Government of Puerto Rico the right of charging interest to the

government for late payments, authorize the adoption of ruling and other related purposes.

The purposes of the initiative were:

1. Ensure compliance with the agreed payment terms in order to promote development

of commerce and industry.

2. Ensure on-time payment in order to avoid risking the economy stability of the Island.

3. Promote an effective and agile initiative that could be established by every government

agency for any type of contracting/purchase

4. Establish penalties and consequences for the agencies that violate the Law

The initiative also established billing requirements, payment schedule and deadlines.

Provisions to allow electronic billing and deposits between the government and providers of

goods and services were also part of the initiative.

By the end of Governor Luis Fortuño’s term (2008-2012), the Prompt Payment initiative had

been approved by both the PR Senate and the House of Representatives. However, Governor

Fortuño vetoed the project due to the menacing onset of the fiscal crisis.

AGC-PR co-authored this initiative and supported its establishment because it would

contribute to a climate of certainty when doing business with the government of Puerto Rico

and public agencies.

AGC-PR still supports the approval of a similar initiative to require PR government agencies

to comply with the agreed contracts and ensure on-time payment.

PROMESA, or the Puerto Rico Oversight, Management, Economic Stability Act creates a Federal Fiscal Oversight Board for Puerto Rico, composed of 7 members. Title V of PROMESA establishes the guidelines for identifying critical infrastructure projects that are aged and/or non-compliant and in urgent need of upgrades or new construction. Title V also establishes a process to help expedite their modernization to ensure environmental compliance, protection of human health and effective public services as part of the revitalization of Puerto Rico’s infrastructure. Furthermore, Title V creates the position of a Revitalization Coordinator to implement and address all of the above.

PROMESA has the purpose of establishing a Federal Fiscal Oversight Board to address Puerto Rico’s fiscal and economic crisis and reactivate its economy. Under Title V, PROMESA specifically addresses the issues of critical infrastructure and permitting to help modernize outdated infrastructure under the direction of a Revitalization Coordinator. The Congressional Economic Task Force under PROMESA has requested input from stakeholders, including Puerto Rico’s private sector, to help identify and facilitate measures to promptly reestablish sustainable economic growth on the island. Given the severe impact to the construction industry resulting from the fiscal and economic crisis, as well as the deteriorating infrastructure and resulting impact on public services, and the fact that Title V specifically addresses these realities, we hereby confirm our support and participation in this process and any related efforts. PROMESA, or the Puerto Rico Oversight, Management, Economic Stability Act creates a Federal Fiscal Oversight Board for Puerto Rico, composed of 7 members. Title V of PROMESA establishes the guidelines for identifying critical infrastructure projects that are aged and/or non-compliant and in urgent need of upgrades or new construction. Title V also establishes a process to help expedite their modernization to ensure environmental compliance, protection of human health and effective public services as part of the revitalization of Puerto Rico’s infrastructure. Furthermore, Title V creates the position of a Revitalization Coordinator to implement and address all of the above.
