    SECTION 00100 - ADVERTISEMENT FOR BIDS

    NOTICE OF BIDS

    Notice is hereby given that sealed bids will be received by the New Zion Board of Trustees, 729 Carrollton Avenue, Greenwood, Mississippi, for a New Sanctuary and Support Facility- Phase 1. All bids will be received until 6:00 P.M., CST on Tuesday, May 09, 2017, at which time they will be publicly opened and read aloud. Bid documents are being made available via electronic copy. For a copy of the contract documents please contact Kusa, Olutosin at 601-981-1227 or [email protected]. Questions regarding plan clarifications or request for information should be directed to the architect as follows: M3A Architecture PLLC/William L. McElroy AIA, NCARB 601-981-1227 – P 601-983-4444 – F All Contractors who intend to submit “BIDS” are required to attend the mandatory pre-bid conference at New Zion Missionary Baptist Church, 729 Carrollton Avenue, Greenwood, Mississippi, on Monday, April 17, 2016, at 6:00 PM. Failure to attend Pre Bid Conference will result in disqualification of bid submission. All bids must be accompanied by bid security equal to five percent (5%) of the sum of the base bid and all alternates, and must be in the form of a certified check, cashier’s check or a Bid Bond written by a company licensed to do business in Mississippi. The successful bidder will be required to furnish a Performance and a Payment Bond written by a company licensed to do business in Mississippi, each in an amount equal to 100% of the contract amount.     1.05 INVITATION

    A. BID SUBMISSION 1. Bids signed and under seal, executed, and dated will be received at the

    2. Offers submitted after the above time shall be returned to the bidder unopened.

    C. AVAILABILITY 1. Bid documents are being made available electronically to all invited

    Bidders. 2. Bid Documents are made available only for the purpose of obtaining offers

    for this project. Their use does not grant a license for other purposes.

    D. EXAMINATION 1. Bid Documents may be viewed at the office of M3A Architecture, PLLC.

    located at 4880 McWillie Circle, Jackson, Mississippi 39206. 2. Upon receipt of Bid Documents verify that documents are complete. Notify

    M3A Architects, PLLC. should the documents be incomplete. 3. Immediately notify M3A Architects, PLLC. upon finding discrepancies or

    omissions in the Bid Documents.

    E. INQUIRIES/ADDENDA 1. Direct questions to Lena Franklin, telephone 601-981-1227, fax number

    601-983-4444 e-mail [email protected] 2. Addenda may be issued during the bidding period. All Addenda become

    part of the Contract Documents. Include resultant costs in the Bid Amount.

    3. Verbal answers are not binding on any party. 4. Clarifications requested by bidders must be in writing not less than SEVEN

    (7) days before date set for receipt of bids. All request for clarifications received after the deadline are subject to a lack of response.

    5. All replies will be in the form of an Addendum, a copy of which will be forwarded to known recipients.

    F. PRODUCT/ASSEMBLY/SYSTEM SUBSTITUTIONS 1. Where the Bid Documents stipulate a particular product, substitutions will

    not be considered prior to bid opening. All bids must be based off the specified product or a listed approved equal.

    1.07 SITE ASSESSMENT

    A. SITE EXAMINATION 1. All bidders are required to examine the project site before submitting a bid. 2. The bidder is required to contact the Owner in order to arrange a date and

    time to visit the project site. 3. The bidder is not required to contact M3A Architecture, PLLC. in order to

    B. MANDATORY PREBID CONFERENCE 1. A bidder’s conference has been scheduled for 6:00 PM on April 17, 2017

    at the New Zion M.B. Church, 729 Carrollton Avenue, Greenwood, Mississippi

    2. All Invited bidders must attend this mandatory pre bid conference. 3. Attendance is mandatory to be eligible to submit a formal “BID”. 4. Representatives of M3A Architecture, PLLC. will be in attendance. 5. Summarized minutes of this meeting will be circulated to attendees. These

    minutes will not form part of the Contract Documents. 6. Information relevant to the Bid Documents will be recorded in an

    Addendum, issued to Bid Document recipients.

    1.08 QUALIFICATIONS

    A. EVIDENCE OF QUALIFICATIONS 1. To demonstrate qualification for performing the Work of this Contract,

    bidders may be requested to submit written evidence of financial position, license to perform work in the State of Mississippi. Qualification Statement will be requested from selected low bidders and required to be submitted forty eight (48) hours after bids are opened.

    B. SUBCONTRACTORS/SUPPLIERS/OTHERS 1. The Owner reserves the right to reject a proposed subcontractor for

    reasonable cause. 2. Section 00410 – Supplementary Bid Form A – List of Subcontractors to be

    requested from qualified selected bidders within forty eight (48) hours of bid submission. Failure to provide upon request may be waived or be declared unacceptable at the discretion of the Owner,

    1.09 BID SUBMISSION

    A. SUBMISSION PROCEDURE – HARD COPY 1. Bidders shall be solely responsible for the delivery of their bids in the

    manner and time prescribed. 2. Submit THREE (3) copies of the executed offer on the Bid Forms provided,

    signed and sealed with the required security in a closed opaque envelope, clearly identified with bidder's name, certificate of responsibility number, project name and number, bid package number and Owner’s name on the outside.

    3. Improperly completed information, irregularities in bid bond, shall be cause not to open the Bid Form envelope and declare the bid invalid or informal.

    4. An abstract summary of submitted bids will be made available to all bidders following bid opening.

    C. BID INELIGIBILITY 1. Bids that are unsigned, improperly signed or sealed, conditional, illegible,

    obscure, contain arithmetical errors, erasures, alterations, or irregularities of any kind, will at the discretion of the Owner, be declared unacceptable.

    2. Bid Forms, Appendices, and enclosures that are improperly prepared will, at the discretion of the Owner, be declared unacceptable.

    3. Failure to provide security deposit, bonding or insurance requirements will, at the discretion of the Owner, be waived.

    1.10 BID ENCLOSURES/REQUIREMENTS

    A. SECURITY DEPOSIT 1. Bids shall be accompanied by a security deposit as follows:

    a. Bid Bond in the amount of five percent (5%) of base bid price on AIA A310 Bid Bond Form.

    2. Endorse the Bid Bond in the name of the New Zion M.B. Church Board of Trustees as oblige, signed and sealed by the principal and surety.

    3. The security deposit will be returned after delivery to Monroe City School Board of the required Performance and Payment Bond(s) by the accepted bidder.

    4. Include the cost of bid security in the Bid Amount. 5. If no contract is awarded, all security deposits will be returned.

    1.02 IDENTIFICATION

    A. The "Supplements" included hereinafter modify the "Instructions To Bidders" (AIA Document A701, Instructions to Bidders, 1997 Edition) identified in Section 00200.

    1.03 GENERAL REVISIONS

    A. Where a portion of the Instructions To Bidders is modified by these Supplementary

    Instructions To Bidders, the unaltered portions shall remain in effect.

    1.04 SUPPLEMENTS

    A. To Article 1 - Definitions:

Any unusual conditions found to exist at the site or discrepancies found on the drawings shall be called to the attention of the Architect prior to submitting proposal and request interpretation.     excuse thereafter shall be entertained for failure to carry out work in satisfactory manner and no additional compensation shall be allowed for such discrepancies or unusual conditions.

    “No substitution will be considered prior to receipt of bids. Substitutions will be considered as per Section 01600 as incorporated in the specifications.”

    Bids shall be submitted in TRIPLICATE.

    2. Alter paragraph 4.1.4 to read:

    All bids must be normal and regular in every respect with no interlineations, excisions or special conditions shall be made on or included in the Bid Form by the Bidder.

    3. Add to paragraph 4.2.1:

    The bid must be accompanied by a bid guaranty which shall not be less than five percent (5%) of the amount of the Base Bid. At the option of the Bidder, the guaranty may be a Certified Check, Bank Draft, Negotiable U. S. Government Bonds (at par value), or a Bid Bond. The Bid Bond shall be secured by a guaranty of a surety company listed in the latest U. S. Treasury Circular 570. The amount of such Bid Bond shall be within the maximum specified for such Company in said Circular 570. No bid will be considered unless it is accompanied by the required guaranty. Certified check or bank draft must be made payable to the order of the Owner. Cash deposits will not be accepted. The Bid guaranty shall insure the execution of the Agreement and the furnishing of the surety bond or bonds by the successful Bidder, all as required by the Bid/Contract Documents.     D. To Article 7 - Performance Bond and Payment Bond:

    of the Contract as awarded as security for the faithful performance of the Contract (Performance Bond). In addition, the successful bidder shall within the period specified above furnish a surety bond in a penal sum not less than the amount of the contract as awarded, as security for the payment of all persons, firms or corporations to whom Contractor may become legally indebted for labor, materials, tools, equipment, or services of any nature including utility and transportation services, employed or used by him in performing the work (Payment Bond). Such bonds shall be in the same form as those included in the Contract Documents and shall have the same date as or a date subsequent to that of the Agreement. The current power of attorney for the person who signs for any surety by a guaranty or surety company listed in the latest issue of the U. S. Treasury Circular 570 and the penal sum shall be within the maximum specified for such company in said Circular 570. Said power of attorney shall be provided on a stipulated AIA form or approved similar forms.

    E. To Section 00200 - Instructions To Bidders, add the following Article 9 - Miscellaneous

    Provisions:

    ARTICLE 9

    MISCELLANEOUS PROVISIONS

    9.1 STATEMENT OF BIDDER'S QUALIFICATIONS

    9.1.1. Each Bidder shall, upon request of the Owner, submit on the form specified for that purpose, his experience record in constructing the type of improvements embraced in the project, his organization and equipment available for the work contemplated and when specifically requested by the Owner, a detailed financial statement. The Owner shall have the right to take steps as it deems necessary to determine the ability of the Bidder to perform his obligations under the Contract and the Bidder shall furnish the Owner all such information and data for this purpose as it may request. The right is reserved to reject any Bid where an investigation of the available evidence of information does not satisfy the Owner that the Bidder is qualified to carry out properly the terms of the Contract.

    9.2 OTHER CONTRACTS

    9.2.1 The Owner may award or may have awarded other contracts for additional

    work and the Contractor shall operate fully with such other Contractors by scheduling his own work with that to be performed under other Contracts as may be directed by the Owner. The Contractor shall not commit or permit any act which will interfere with the performance of work by any other Contractor as scheduled.

    9.3 REVIEW BY OWNER

    9.3.1 The Owner and its authorized representatives and agents shall at all times

    have access to and be permitted to observe and review all work, materials, equipment, payrolls, personnel records, employment conditions, material invoices, and other relevant data and records pertaining to this Contract provided, however, that all instructions and approval with respect to the Work will be given the Contractor only by the Owner through its authorized representatives or agents.

    9.4 RETAINAGE

    9.4.1 Bidders are instructed to review the GENERAL CONDITIONS - ARTICLE 9,

    regarding Payments and Completion. The Owner shall consistently retain five percent (5%) of the portion of the Contract Sum properly allocable to labor, materials, and equipment incorporated in the work and five percent (5%) of the portion of the Contract Sum properly allocable to materials and equipment suitably stored at the site or if approved by the Owner at some other location agreed upon in writing. When the contract is at least 50% complete, on schedule, and satisfactory, in the Construction Mangers’ opinion 50% of the retainage to date shall be returned to the contractor for distribution to the appropriate subcontractor and suppliers. Provided, however, The Owner shall consistently retain two and one half percent (2.5%) of the portion of the Contract Sum properly allocable to labor, materials, and equipment incorporated in the work and two and one half percent (2.5%) of the portion of the Contract Sum properly allocable to materials and equipment suitably stored at the site or if approved by the Owner at some other location agreed upon in writing until the point of Final Acceptance by the Owner is achieved.

    9.5 EQUAL EMPLOYMENT OPPORTUNITY

    9.5.1 Attention to Bidders is particularly called to the requirement for ensuring that

    employees and applicants for employment are not discriminated against because of their race, color, religion, sex, or national origin. (Title IV of the Civil Rights Act of 1964, 42USC2000d and Title 43, Part 17 CFR). The Bidder's attention is also called to the Federal Requirement for Affirmative Action to Insure Equal Employment Opportunity (Executive Order 11246 entitled, "Equal Employment Opportunity" as amended by Executive Order 11375 and supplemented in Department of Labor Regulations 41 CFR Part 60).

    9.6 CONTRACT TIME

    9.6.1 The selected Contractor shall substantially complete (95%) the herein

    described work within TWO HUNDRED AND FORTY (240) calendar days from the issuance of the “Notice to Proceed”.

    9.7 AWARD OF CONTRACT

    9.7.1 In determining the lowest responsible bid, the following will be considered:

    1. Whether a Bidder:

    a. Maintains a permanent place of business. b. Has adequate equipment to do the work properly and

    expediently. c. Has suitable financial status. d. Has appropriate practical and technical experience. e. Has met the requirements of the Washington County’s Equal

    Business Opportunity Policy as specified in the supplemental general conditions.

    2. A Bidder must hold a valid Certificate of Responsibility in accordance

    with statutory requirements. Any sub-contractor whose work exceeds

    9.7.2 The contract, if awarded, will be awarded as promptly as possible after the

    opening of the bids as, in the discretion of the Owner, possible. The Owner reserves the right, in its discretion, to determine what are informalities in making, receiving, and opening the bids and the awarding of a contract thereon, and the further right to waive any such informality when such waiver is, in the discretion of the Owner, in the best interest of the Owner.

    9.8 BOND FORMS

    9.8.1 Performance Bond and Labor Material Payment Bond Standard Forms are

    included herewith. Bonds must be written and submitted on these forms only. No other forms will be accepted.

    9.9 NONRESIDENT CONTRACTORS

    9.9.1 When a non-resident contractor submits a bid for a Louisiana public project,

    he shall attach thereto a copy of his resident State's current law pertaining to such State's treatment of non-resident contractors.

    9.10 PRE-BID CONFERENCE

    9.10.1 A mandatory Pre-Bid Conference will be held. Location, time and date will be

    set by the Project Manager. ALL INVITED CONTRACTORS, SUBCONTRACTORS, AND SUPPLIERS ARE REQUIRED TO ATTEND.

    9.10.2 All Bidders are expected to have familiarized themselves with conditions

    relating to The Work prior to the Pre-Bid Conference.

    9.11 WITHDRAWAL OF BIDS

    9.11.1 Any bid may be withdrawn prior to the scheduled time for opening of bids or authorized postponement thereof. Any bid received after the time and date specified will not be considered. Bids may not be withdrawn until sixty (60) days after receipt of bids.

    9.12 LAWS AND REGULATIONS

    9.12.1 Bidders' attention is directed to the fact that all applicable state laws,

    municipal ordinances, and the rules and regulations of all authorities having jurisdiction over construction of the project apply to the contract.

    9.13 LIQUIDATED DAMAGES

    9.13.1 For Failure to Enter Into Contract: The successful bidder, upon his failure or

    refusal to execute and deliver the contract and bonds required within ten (10) days after he has received notice of acceptance of his bid, will forfeit to the Owner as liquidated damages the security deposited with his bid.

    9.13.2 For Failure to Substantially Complete Project in Time Stipulated: Refer to

    Supplementary Conditions.

    9.14 WARRANTIES

    9.14.1 As per state law - Any wording to the effect of disallowing "WARRANTIES EITHER EXPRESSED OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE" SHALL BE removed or deleted from the warranty.

    9.15 DISQUALIFICATION OF BIDDERS

    9.15.1 Disqualification of bidders: Any one or more of the following causes may be considered as sufficient for the disqualification of the bidder and the rejection of his bid:

    1. For failing to pay, or satisfactorily settle, all bills due all persons

    furnishing labor, equipment and supplies on former contracts. 2. For being in arrears on existing contracts. 3. Being in litigation with Washington County. 4. Having defaulted on a previous contract(s). 5. Failure to submit a completed and fully executed Bid Submission

    SUPPLEMENTS TO GENERAL CONDITIONS AIA DOCUMENT A201 ARTICLE 1 GENERAL PROVISIONS SGC1 Amend subparagraph 1.1.1 of AIA General Conditions to include: Any stipulations made in the

    Advertisement for Bid, Instructions to Bidders or Supplements thereto or other elements of the Bidding Documents, which provide for specific requirements of the Contractor/Selected Bidder, shall also form a part of this Contract.

    SGC2 Supplement paragraph 1.1.6 as follows:

    Manufactured items installed per manufacturers’ instructions, recommendations, directions, etc., latest edition unless otherwise specified. Manufacturers’ Technical Association's or Societies or Government's Specifications referenced herein become a part of these specifications.

    ARTICLE 2 OWNER SGC3 Delete Subparagraph 2.2.5 and substitute the following:

    2.2.5 The Contractor may have printed at his own expense, any number of additional copies for its use during construction.

    SGC4 Add to paragraph 2.4 new subparagraph 2.4.2 of the AIA General Conditions to read as follows: Review by Owner: The owner or its authorized representatives, and agents shall, at all times, have access to and be permitted to observe and review all work, materials, equipment, payrolls,

    personnel records, employment conditions, material invoices and other relevant data and records pertaining to this Contract, provided, however, that all instructions and approval with respect to the work will be given the Contractor only by the Owner through its authorized representatives or agents.

    ARTICLE 3 CONTRACTOR SGC5 Supplement paragraph 3.2.1 as follows:

    Any unusual condition found to exist at the site or discrepancies found on drawings shall be called to the attention of the Architect prior to submitting the bid and an interpretation requested from the Architect. If the Contractor fails to make such request, no excuse will be entertained thereafter for failure to carry out work in a satisfactory manner. No additional compensation will be allowed for such discrepancies or unusual conditions. Refer to paragraph 3.2 of INSTRUCTIONS TO BIDDERS.

    SGC6 Add the following subparagraph 3.12.1.1 to 3.12.1 After the Contract has been executed, the Owner and the Architect will consider a formal request for substitution of products in place of those specified only under the conditions set forth in the General Requirements (Division 1 of the Specifications). ARTICLE 4 ADMINISTRATION OF THE CONTRACT SGC7 Add Clause 4.3.7.3 Extension of time due to weather conditions will not be approved if:

    1. Actual rain days (0.10 inch or more of precipitation) are less than the normal rain days for the period in question as listed below:

    January 7 May 6 September 6 February 6 June 6 October 4 March 7 July 9 November 5 April 5 August 7 December 7

    SGC8 Delete section 4.5 Mediation in its entirety and substitute the following:

    4.5 Settlement of Disputes and Claims: All claims, disputes and other matters in question between the Contractor and the Owner as specifically described in section 4.5 and elsewhere in the Contract Documents shall be settled in the proper Courts of Law in lieu of specified Mediation.

    SGC9 Delete section 4.6 Arbitration in its entirety and substitute the following:

    4.6 Settlement of Disputes and Claims: All claims, disputes and other matters in question between the Contractor and the Owner as specifically described in section 4.6 and elsewhere in the Contract Documents shall be settled in the proper Courts of Law in lieu of specified arbitration.

    ARTICLE 5 SUBCONTRACTORS SGC10 Modify 5.2.1 to include the following:

    No later than 10 days after the date of commencement, the contractor shall furnish in writing to the Owner through the Architect the names of persons or entities proposed as manufacturers for

    each of the products identified in General Requirements ( Division 1 of the Specifications) and, where applicable, the names of the installing contractor.

    ARTICLE 6 CONSTRUCTION BY OWNER OR BY SEPARATE CONTRACTORS SGC11 Supplement subparagraph 6.2.1 as follows:

    The General Contractor shall assist subcontractors in locating work elements so that accurate locations of their devices, materials, etc. may be determined.

    ARTICLE 7 CHANGES IN THE WORK SGC12 Supplement subparagraph 7.1.1 to read as follows:

    The Contractor, after notifying the Architect of a claim for an increase in the Contract Sum, shall submit an itemized cost breakdown as to the total sum of the additional work and setting out the length of time in which this price will remain good. No work shall be begun pertaining to this additional cost until the Contractor has an executed copy of this change order document or, except in an emergency endangering life or property in which case, the Contractor shall proceed in accordance with subparagraph 10.3.1

    ARTICLE 8 TIME SGC13 8.1 subparagraph 8.1.2 shall include the following

    The contractor shall man the project within seven (7) days after a notice to proceed is issued. The difference after the seven (7) days from the PROJECT START WORK DATE will be deducted from any extension(s) of time requested by the Contractor. An adjustment of time for weather or unforseen circumstances will be determined by the project architect.

    SGC14 8.1 add subparagraph 8.1.2.1

    Any day(s), (excluding Saturday and Sunday) that are determined to be a workable day and the project site is not manned by the contractor, shall be deducted from any requested extension(s) of time whether unforseen, Owner or weather related.

    SGC15 8.3 subparagraph 8.3.3 shall include:

    FAILURE TO COMPLETE WORK ON TIME: Should the Contractor fail to complete the work within the specified time or within any extra time allowed under this contract, $1,000.00 day shall be deducted from funds due the Contractor, or, if no money is due the Contractor, the Owner shall have the right to recover said sum or sums from the contractor, or from the surety, or from both. The amounts of these deductions are to cover liquidated damages to the owner incurred by additional or other expenses due to the failure of the Contractor to complete the work or any part of the work within the time specified and such deductions are not to be considered penalties.

    ARTICLE 9 PAYMENTS AND COMPLETION SGC16 Subparagraph 9.3.1 shall include the following:

    Based upon Applications for Payment submitted to the Architect by the Contractor and Certificates for Payment issued by the Architect, the Owner shall make progress payments on account of the Contract Sum to the Contractor as provided in the Contract Documents for the period ending the last day of the month as follows:

    Not later than thirty (30) days following the end of the period covered by the Application for Payment ninety five percent (95%) of the portions of the Contract Sum properly allocable to labor, materials and equipment incorporated in the Work and ninety five percent (95%) of the portion of the Contract Sum properly allocable to materials and equipment suitably stored at the site or at some other location agreed upon in writing, for the period covered by the Application for Payment, less the aggregate of previous payments made by the Owner. After a Fifty Percent (50%) Completion of the Scope of Work has been achieved in the opinion of the Professionals Not later than thirty (30) days following said period covered by the Application for Payment ninety seven point five percent (97.5%) of the portions of the Contract Sum properly allocable to labor, materials and equipment incorporated in the Work and ninety seven point five (97.5%) of the portion of the Contract Sum properly allocable to materials and equipment suitably stored at the site or at some other location agreed upon in writing, for the period covered by the Application for Payment, less the aggregate of previous payments made by the Owner. Upon fifty percent (50%) completion of agreed upon Scope of Work, the Owner shall return fifty percent (50%) of the retainage to date to the contractor for distribution to the appropriate subcontractors and suppliers. Upon Substantial Completion of the entire work, a sum sufficient to increase the total payments to one hundred percent (100%) of the Contract Sum, less such accounts as the Architect shall determine for all incomplete work and unsettled claims as provided in the Contract Documents. The Contractor shall submit the Application for Payment to the Architect by the 5th day following the end of the period covered by the Application for Payment.

    SGC17 Modify Section 9.3, paragraph 9.3.3 to include:

    The provisions of this paragraph shall be inserted in all subcontracts and material contracts and notice of its provisions shall be given to all persons furnishing materials for the work when no formal contract is entered into for such materials. Nothing contained in this paragraph, however, shall defect or impair the right of persons furnishing materials or labor to recover under any bond given by the Contractor for their protection of any rights under any law permitting such persons to look to funds due the Contractor in the hands of the Owner.

    SGC18 Modify section 9.8, subparagraph 9.8.1 to include:

    The date of substantial completion of work or designated portion thereof is the date certified by the Architect when construction is sufficiently complete in accordance with the Contract Documents so the Owner may occupy the work or designated portion thereof for the use for which it is intended. Furthermore, neither the final certificate of payment nor any provisions in the Contract nor partial or entire use of the Improvements embraced in this Contract or relieve the warranties or responsibility for faulty materials or workmanship. The Contractor shall promptly remedy any defects in the work and pay for any damage to other work resulting therefrom that shall appear within a period of twelve(12) months from the date of final acceptance of the work or from the date of substantial completion.

    SGC19 Paragraph 9.9.1 shall be modified to include:

    The Owner shall have the right to take possession of and use any completed or partially completed portion of the work, notwithstanding the time for completing the entire work or such portion may not have expired and such taking possession and use shall not be deemed as acceptance of any work not completed in accordance with the Contract Documents. If such prior use increases the cost of or delays the work, the Contractor shall be entitled to such extra compensation or extension of time, or both, as the Owner may determine upon recommendation of the Architect.

    SGC20 Supplement subparagraph 9.9.3 as follows:

    If final acceptance is made more than thirty days after date of substantial completion the guarantee period shall begin at date of final acceptance. Specified periods of warranty shall not apply in cases of fraud or concealed defects in workmanship or materials.

    ARTICLE 11 INSURANCE AND BONDS SGC21 Article 11 shall be supplemented as follows:

    Insurance Requirements: Insurance coverage specified herein constitutes the minimum requirements and said requirements shall in no way lessen or limit the liability of the Contractor under the terms of the Contract. The Contractor shall procure and maintain at his own expense, any additional kinds and amounts of insurance that, in its own judgement, may be necessary for its proper protection in the prosecution of the work.

    The Contractor shall carry insurance as prescribed herein and all policies shall be with companies satisfactory to the Owner.

    If a part of this Contract is sublet, the Contractor shall require each subcontractor to carry insurance of the same kinds and in like amounts as carried by the prime contractor. Certificates of Insurance shall state that thirty (30) days written notice will be given to the Owner before the policy is canceled or changed. The Certificates of Insurance shall also state that the insurance carrier will notify the owner prior to any cancellation or changes. Any wording to the effect of "will attempt" or "will endeavor" and that the owner will not hold the carrier blameless SHALL BE removed or deleted from Insurance Certificate. No Contractor or subcontractor will be allowed to start any construction work on this contract until certificates of all insurance required herein are approved by the Architect. The certificates shall show the type, amount, class or operations covered, effective dates and dates of expiration of policies.

    The Contractor shall secure and maintain in effect for the period of the contract and pay all premiums for the following kinds of insurance:

    A. Workmen's Compensation and Employer's Liability Insurance:

    This insurance shall protect the Contractor against all claims under applicable State Workmen's Compensation Laws. The Contractor shall also be protected and shall cause each subcontractor to be protected against claims for injury, disease or death of employees which for any reason may not fall within the provisions of the Workmen's Compensation Law. The liability limits shall not be less than the required statutory for Workmen's Compensation and Employer's Liability in the amount of one hundred thousand dollars ($100,000.00) for each person. This policy shall include an "all state" endorsement.

    B. Contractor's Comprehensive Public Liability and Property Damage Insurance: Covering

    all operations in connection with the performance of this contract in amounts not less than the following: Bodily injury liability: In the amount of One Million dollars ($1,000,000.00) for each person and One Million dollars ($1,000,000.00) for each accident and property damage liability in the amount of One Million dollars ($1,000,000.00) for all damages arising out of the injury or destruction of property in any one accident and subject to that limit per accident a total (or aggregate) limit of One Million dollars ($1,000,000.00) for all damages arising out of injury or to destruction of property during the policy period.     policies carried by both the prime and subcontractors shall contain an endorsement to include the coverage of the following hazards. 1. Explosion, collapse and underground property damage or destruction of

    property below the surface of the ground such as wires, conduits, pipes, mains, sewers, etc. caused by the Contractors operations.

    2. The collapse of and structural injury to any building, structure or property on or adjacent to the City's premises caused by the Contractor's operations in the removal of other buildings, structures or supports, or by excavation below the surface of the ground.

    3. Contractual Liability Coverage for the "Hold Harmless" segments of the contract Documents.

    C. Contractor's Contingent or Protective Liability and Property Damage:

    In case part of this contract is sublet the Contractor shall secure contingent or protective liability and property damage insurance to protect him from any and all claims arising from the operation of his subcontractor in the execution of work included in the Contract. In no case shall the amount of such protection be less than the limits of $500,000.00/$1,000,000.00 for Property Damage Insurance. The coverage in each case shall be acceptable to the Owner.

    D. Automotive Public Liability and Property Damage:

    The Contractor shall maintain automobile public liability insurance in the amount of not less than $250,000.00 for injury to one person and $500,000.00 for one accident and automobile property damage from any and all claims arising from the use of the following: 1. Contractor's own automobiles and trucks 2. Hired automobiles and trucks 3. Automobiles and trucks owned by subcontractors The aforementioned is to cover use of automobiles and trucks on and off the site of the project.

    E. Owners Protective Liability Policy:

    The Contractor shall maintain Owner's Protective Liability insurance with New Zion M.B. Church as the named insured and their servants, agents and employees as additional insured in amounts not less than the following. 1. Bodily injury in the amount of One million dollars ($1,000,000.00) for each

    person and One million dollars($1,000,000.00) for each accident and property damage liability in the amount One million dollars ($1,000,000.00) for all damages arising out of an injury or destruction of property in any one accident and subject to that limit per accident a total (or aggregate) limit of One million dollars (1,000,000.00) for all property during the policy period.

    F. Builder's Risk Insurance (Fire and Extended Coverage):

    Until the project is completed and is accepted by the Owner, the Contractor is required to maintain Builder's Risk Insurance (fire and extended coverage) adequate to fully cover the insurable portion of the project for the benefit of the Owner, the prime Contractor and subcontractors as their interests may appear.

    ARTICLE 13 TESTS AND INSPECTIONS SGC22 Amend subparagraph 13.5.1 as follows:

    A. The Contractor shall notify the Owner sufficiently in advance of backfilling or concealing any facilities to permit proper inspection. If the Contractor fails to notify Owner, the Contractor shall uncover for inspection and recover such facilities all at his own expense when so requested by the Owner or the Architect.

    B. Inspection of materials and appurtenances to be incorporated in the improvements

    embraced in this Contract may be at the place of production, manufacture or shipment, whenever the quantity justifies it and such inspection and acceptance unless otherwise stated herein shall be final except as regards: 1. Latent defects 2. Departures from specific requirements of the contract 3. Damage or loss in transit 4. Fraud or such gross mistake as amounts to fraud, subject to the requirements

    contained in the preceding sentence the inspection of materials as a whole or in part may be made at the project site.

    C. Neither inspection, testing, approval or acceptance of the work in whole or in part by

    the Owner or its agents shall relive the Contractor or his sureties of full responsibility for materials furnished or work performed not in strict accordance with the contract.

    SGC23 Amend Article 13 by inserting the following:

    13.8 SECTION 00435 SUPPLEMENT D MBE/WBE PARTICIPATION STATEMENT 13.8.1 The contractor agrees to make good faith efforts to meet the goals of this agreement by making available opportunities for MBEs (AABEs, HBEs, and ABEs) and WBEs for utilization in the work set forth within this agreement, and shall take the following actions as part of its good faith efforts:

    .1 Notification to MBEs and WBEs that the contractor has subcontracting opportunities available and maintenance of records of the MBE’s and WBE’s responses. .2 Maintenance by the contractor of a file of the names and addresses of each MBE and WBE contracted and action taken with respect to each such contract. .3 Dissemination of the contractor’s MBE/WBE policy externally by informing and discussing it with all management and technical assistance sources; by advertising in news media and by notifying and discussing it with all subcontractors and suppliers. .4 Specific and continuing personal (both written and oral) recruitment efforts directed at MBE and WBE contractor organizations, MBE and WBE assistance organizations. .5 Sub-division of the contract into economically feasible segments as practice to allow the greatest opportunity for participation by MBEs and WBEs. .6 Increasing where possible the number of aggregate purchase items so as to eliminate the requirement of front-end purchases of material for as many MBE and WBE subcontractors as possible. .7 Adoption of the MBE/WBE PARTICIPATION STATEMENT submitted with its response to the Invitation for Bids or Request for Proposals obligations under this agreement, as approved by the MBE/WBE Officer. .8 Submission of monthly reports on the forms and to the extent required by the MBE/WBE Officer, to be due on the last day of each month following the award of the work set forth in this agreement.

    13.8.2 The contractor further agrees that its breach of the MBE/WBE provisions contained herein shall subject it to any or all of the following penalties:

    .1 Withholding of ten percent(10%) of all future payments under the involved eligible project until it is determined that the contractor is in compliance;

    ARTICLE 14 TERMINATION BY THE OWNER FOR CAUSE SGC24 Amend paragraph 14.2 of AIA General Conditions by adding the following:

    Termination or Breach: A. In the event that any of the provisions of the Contract are violated by the Contractor or

    by any of his subcontractors, the Owner may serve written notice upon the Contractor and his surety of its intention to terminate the contract. Such notices shall contain the reasons for such intention to terminate the contract and unless within ten (10) days after the serving of such notice upon the Contractor such violation will cease and satisfactory arrangement for correction be made, the contract shall, upon expiration of said ten (10) days, cease and terminate.
