The foundation of AAA Insolvency Professionals LLP (AAAIP) goes back to 1984 when I founded M/s AKG & Co., Chartered Accountants and the prime engagements were Debt Syndication, Working Capital Management, Loan Applications, Nursing and rehabilitation of Sick Units, rescheduling and restructuring of Debt and Equity and in the process a well-practiced and experienced team was developed. This Firm rose to a level of well-respected mid-level CA. Firm.

The foundation of AAAIP was further strengthened with the launch of SARFAESI Operations in the year 2003, when I founded AAA Capital Services Pvt. Ltd. (AAACS) along with CS. Kanwal Goyal who retired from a Public Sector Undertaking as Director (Finance), Adv. Sanjay Gupta and CA. Ankit Goel joined later on and this company achieved peaks in the profession of Resolution Agents, Enforcement Agents and supporting agency under SARFAESI Act. AAACS also handled various projects of Debt and Equity funding, Venture Capital funding, BIFR cases, CDR cases etc.

The idea of launching Insolvency and Bankruptcy operations was conceived in March 2016, when the Bankruptcy Law Reforms Committee (BLRC) report and draft IBC Code came on public domain. By that time, AAA Group already had about 190 Human Resources well-practiced and experienced in all the aforesaid domains. The geographical spread of SARFAESI operations was already extended to 20 states of the country with more than 50 cities and Banks had assigned more than 19,725 cases to us under SARFAESI Act for resolution, enforcement or support.

AAAIP was incorporated on 20-12-2016 by its four founder partners and it became one of the first two ‘Insolvency Professionals Entity (IPE)’ recognized by IBBI on 01-03-2017. We proudly say that AAAIP is totally home-grown IPE and is having no international association or alignment.

The journey, so far, for AAAIP has been very smooth and encouraging and we are proud to share that now it is an organisation with 30 partners as on 03-04-2019 (out of which 29 are Insolvency Professionals), 260 Human Resources at its disposal spread across the country. The Human resources are now well trained for IBC operations and are divided into different teams such as CIRP team, Liquidation team, Legal team, Finance and Corporate Debtor Operation team, Claim Verification team, front-end team, transaction and property sale team, security and watch and ward team, HR team, IT team and these teams are duly supported by Large Panel of Advocates at different NCLT locations, registered valuers, forensic auditors, retired bankers etc. for facilitating successful completion of CIRP and Liquidation processes.

Interim Resolution Professional (IRP)

i. The partners of AAAIP, who are qualified Insolvency Professionals, may act as Interim Resolution Professional, if appointed, and continue to perform their duties as IRP till appointment of RP.

ii. AAAIP shall support IRP in doing and complying with all his duties such as Public Announcements, receive, verify and admit claims, continue the operations and control of operations at Corporate Debtor, take control and custody of all the assets of the corporate debtor, constitute Committee of Creditors, file report before NCLT, convene first meeting of COC, appoint other professionals, depute security guards for watch and ward of assets and to assist all functions of the IRP.

Resolution Professional (RP)

i. The partners of AAAIP who are qualified Insolvency Professionals, may work as Resolution Professional, if appointed.

ii. AAAIP shall support RP in doing and complying with all his duties such as running the operations of the Company as a going concern, appointment of valuers, preparation of information memorandum, raising interim finance, convene all the meetings of COC, work as per the consent and directions of members of COC as per law, invite resolution applicants for putting forward a resolution plan, release Expression of Interest, CAll for resolution plans, release approved bid evaluation criteria, receive and examine Resolution Plans,

present all Resolution Plans before COC, examine sustainable debt of the Company, present the liquidation value of the Company, examine books of accounts for finding avoidable transactions u/s 43, 45, 50 & 66 and file applications for recovery from beneficial creditors, beneficial transferees, lenders with exorbitant terms of loans, contributories for fraudulent transactions.

iii. To submit approved resolution plan before NCLT and represent before NCLT for sanction of Resolution plan and to finally handover the custody and control of company to successful resolution applicant.

iv. Drafting, settling and filing all representations, reports, petitions, replies, rejoinders and all other such pleading as may be necessary before the Adjudicating Authority and appearances for hearing before the Adjudicating Authority.

v. Filing and defending of any Applications which may be filed by the company or against the company with NCLT/ NCLAT.

Liquidation Process

i. The partners of AAAIP, who are qualified Insolvency Professionals, may act as Liquidator, if appointed.

ii. AAAIP would support and assist the liquidator in doing and complying with all his duties and responsibilities such as making of Public Announcement, receive, verify and admit all

claims, take custody and control of all the assets of the Corporate Debtor, apply and obtain help from local administration by making an application to Adjudicating Authority, if required, to obtain the valuation and prepare report of the assets and property of the Corporate Debtor, to protect and preserve the assets and properties of the Corporate Debtor, to carry on the business of the Corporate Debtor for its beneficial liquidation.

iii. To support and assist the liquidator for selling the immovable and movable property and actionable claims of the Corporate Debtor, to prepare all reports required under liquidation process, to appoint professionals for any assistance, to distribute proceeds of sale or realization of assets to creditors, to institute any claim or recovery suit or insolvency for any of the Corporate Debtor.

iv. To explore the market for possible figure of liquidation assets such as to realise the maximum value for creditors.

v. To investigate the financial affairs of the Corporate Debtor to determine undervalued, preferential, extortionate credit or fraudulent transactions and take necessary actions for maximization of recovery for the creditors.

Voluntary Liquidation

i. Partners of AAAIP may be appointed as Voluntary Liquidator u/s 59 of the IBC.

ii. AAAIP will support its partners to do all functions of Voluntary Liquidator such as taking over control and custody of all the assets; disposing all the assets; recovery from all dues; distribution of funds to creditors; closure of the company and to do all compliances.

iii. To prepare all the reports required for Company for complete closure
